依照《國(guo)(guo)有企(qi)業(ye)監事會暫行(xing)條(tiao)例(li)》(國(guo)(guo)務(wu)院令第(di)283號)、《關(guan)(guan)于(yu)加強和(he)改進國(guo)(guo)有企(qi)業(ye)監事會工(gong)作(zuo)的若干意見》(國(guo)(guo)資發監督(du)(du)〔2006〕174號)和(he)《關(guan)(guan)于(yu)進一步支持配(pei)合監事會開展(zhan)監督(du)(du)檢查工(gong)作(zuo)有關(guan)(guan)事項(xiang)的通(tong)知(zhi)》(國(guo)(guo)資發監督(du)(du)〔2012〕120號)的有關(guan)(guan)規定,各中央企(qi)業(ye)每年(nian)向監事會報(bao)送《企(qi)業(ye)年(nian)度工(gong)作(zuo)報(bao)告(gao)(gao)》(以(yi)下簡(jian)稱年(nian)度報(bao)告(gao)(gao))。為做好2016年(nian)度報(bao)告(gao)(gao)填報(bao)工(gong)作(zuo),現將有關(guan)(guan)事項(xiang)通(tong)知(zhi)如下:
一、加強組織領導,健全工作體(ti)系
各中(zhong)央企(qi)業(ye)要(yao)(yao)(yao)高度(du)重視年(nian)度(du)報(bao)告(gao)(gao)工(gong)(gong)(gong)(gong)(gong)作(zuo)(zuo),健全(quan)組(zu)織(zhi)領(ling)導(dao)機制(zhi)(zhi),成(cheng)(cheng)立年(nian)度(du)報(bao)告(gao)(gao)工(gong)(gong)(gong)(gong)(gong)作(zuo)(zuo)領(ling)導(dao)小(xiao)組(zu)或聯席會議,統(tong)(tong)籌(chou)謀(mou)劃、協(xie)同推動各項工(gong)(gong)(gong)(gong)(gong)作(zuo)(zuo)。要(yao)(yao)(yao)研究制(zhi)(zhi)定(ding)年(nian)度(du)報(bao)告(gao)(gao)工(gong)(gong)(gong)(gong)(gong)作(zuo)(zuo)落(luo)實(shi)方(fang)案,明(ming)確工(gong)(gong)(gong)(gong)(gong)作(zuo)(zuo)目標(biao)、具體(ti)措(cuo)施、責(ze)(ze)任主(zhu)體(ti)和進度(du)要(yao)(yao)(yao)求(qiu),強化(hua)部門(men)(men)聯動,結(jie)合企(qi)業(ye)實(shi)際編制(zhi)(zhi)可(ke)追溯、可(ke)量化(hua)、可(ke)評價、可(ke)考核的(de)工(gong)(gong)(gong)(gong)(gong)作(zuo)(zuo)任務分(fen)(fen)解(jie)臺賬。企(qi)業(ye)法(fa)定(ding)代表人(ren)要(yao)(yao)(yao)認(ren)真履行(xing)好年(nian)度(du)報(bao)告(gao)(gao)工(gong)(gong)(gong)(gong)(gong)作(zuo)(zuo)第(di)一(yi)責(ze)(ze)任人(ren)職責(ze)(ze),強化(hua)領(ling)導(dao)、落(luo)實(shi)責(ze)(ze)任,嚴(yan)格把關、確保質量;分(fen)(fen)管領(ling)導(dao)要(yao)(yao)(yao)履行(xing)好直接責(ze)(ze)任人(ren)職責(ze)(ze),深(shen)入一(yi)線、靠前指揮,把控關鍵、重點督辦(ban);牽(qian)頭部門(men)(men)要(yao)(yao)(yao)加(jia)強組(zu)織(zhi)協(xie)調,及時分(fen)(fen)解(jie)落(luo)實(shi)任務、規范(fan)工(gong)(gong)(gong)(gong)(gong)作(zuo)(zuo)流程(cheng)(cheng)、細化(hua)工(gong)(gong)(gong)(gong)(gong)作(zuo)(zuo)要(yao)(yao)(yao)求(qiu)、密切(qie)跟蹤督促、強化(hua)過程(cheng)(cheng)控制(zhi)(zhi);協(xie)同部門(men)(men)要(yao)(yao)(yao)明(ming)確任務分(fen)(fen)工(gong)(gong)(gong)(gong)(gong),主(zhu)動參與、積(ji)極配合,細化(hua)落(luo)實(shi)工(gong)(gong)(gong)(gong)(gong)作(zuo)(zuo)責(ze)(ze)任,形成(cheng)(cheng)有效工(gong)(gong)(gong)(gong)(gong)作(zuo)(zuo)合力(li)。中(zhong)央企(qi)業(ye)集團總部要(yao)(yao)(yao)加(jia)強對子企(qi)業(ye)年(nian)度(du)報(bao)告(gao)(gao)工(gong)(gong)(gong)(gong)(gong)作(zuo)(zuo)的(de)統(tong)(tong)籌(chou)領(ling)導(dao),做到(dao)統(tong)(tong)一(yi)部署、統(tong)(tong)一(yi)標(biao)準、統(tong)(tong)一(yi)實(shi)施、統(tong)(tong)一(yi)審核,建立完善橫向全(quan)面覆蓋、縱(zong)向責(ze)(ze)任到(dao)人(ren)的(de)組(zu)織(zhi)管理體(ti)系。
二、圍繞中心(xin)工作(zuo),全(quan)面梳理排(pai)查
各中(zhong)央企(qi)(qi)(qi)業(ye)(ye)(ye)要(yao)(yao)以(yi)年(nian)(nian)度(du)報告工(gong)(gong)作(zuo)(zuo)(zuo)(zuo)為抓手,緊密(mi)圍繞(rao)中(zhong)心工(gong)(gong)作(zuo)(zuo)(zuo)(zuo),全面(mian)總結一年(nian)(nian)來企(qi)(qi)(qi)業(ye)(ye)(ye)經營(ying)管(guan)理(li)(li)(li)和改(gai)革發(fa)(fa)展(zhan)情(qing)況(kuang)(kuang),深入排(pai)查重(zhong)大問(wen)題(ti)和風(feng)(feng)險隱患,探索建(jian)立(li)企(qi)(qi)(qi)業(ye)(ye)(ye)自(zi)查問(wen)題(ti)清單(dan),認真分析(xi)查找(zhao)原因,制(zhi)定切實可行(xing)的(de)整(zheng)改(gai)措施。要(yao)(yao)圍繞(rao)黨中(zhong)央、國(guo)(guo)(guo)務院重(zhong)大決策部署及國(guo)(guo)(guo)資(zi)(zi)監管(guan)政策規定執行(xing)情(qing)況(kuang)(kuang),系統梳(shu)理(li)(li)(li)深化國(guo)(guo)(guo)企(qi)(qi)(qi)國(guo)(guo)(guo)資(zi)(zi)改(gai)革和推進供給側結構性改(gai)革、瘦身健體、提(ti)質(zhi)增(zeng)效(xiao)等(deng)重(zhong)點任務落(luo)實情(qing)況(kuang)(kuang),著重(zhong)分析(xi)化解過剩(sheng)產(chan)能、處置“僵尸企(qi)(qi)(qi)業(ye)(ye)(ye)”、特困(kun)企(qi)(qi)(qi)業(ye)(ye)(ye)專項(xiang)治理(li)(li)(li)、壓(ya)縮(suo)管(guan)理(li)(li)(li)層級、減少(shao)法人數(shu)量、加快解決歷(li)史遺留問(wen)題(ti)等(deng)重(zhong)點專項(xiang)工(gong)(gong)作(zuo)(zuo)(zuo)(zuo)情(qing)況(kuang)(kuang)及存(cun)在(zai)的(de)問(wen)題(ti)。要(yao)(yao)以(yi)提(ti)高發(fa)(fa)展(zhan)質(zhi)量和效(xiao)益(yi)為中(zhong)心,全面(mian)梳(shu)理(li)(li)(li)、集中(zhong)排(pai)查企(qi)(qi)(qi)業(ye)(ye)(ye)內部控(kong)制(zhi)、財務管(guan)理(li)(li)(li)、運(yun)營(ying)管(guan)控(kong)、境外資(zi)(zi)產(chan)管(guan)理(li)(li)(li)、黨建(jian)及公(gong)司治理(li)(li)(li)等(deng)方面(mian)存(cun)在(zai)的(de)重(zhong)要(yao)(yao)管(guan)控(kong)缺(que)陷(xian),詳細(xi)報告企(qi)(qi)(qi)業(ye)(ye)(ye)重(zhong)大資(zi)(zi)產(chan)減值、重(zhong)大資(zi)(zi)產(chan)損失、重(zhong)大經營(ying)風(feng)(feng)險、債(zhai)務違約風(feng)(feng)險等(deng)重(zhong)要(yao)(yao)風(feng)(feng)險事項(xiang)。要(yao)(yao)建(jian)立(li)健全年(nian)(nian)度(du)報告揭示問(wen)題(ti)整(zheng)改(gai)落(luo)實機制(zhi),形(xing)成部門間齊抓共管(guan)、整(zheng)改(gai)聯(lian)動(dong)的(de)工(gong)(gong)作(zuo)(zuo)(zuo)(zuo)局(ju)面(mian),有效(xiao)發(fa)(fa)揮年(nian)(nian)度(du)報告在(zai)系統診斷和風(feng)(feng)險預判方面(mian)的(de)重(zhong)要(yao)(yao)作(zuo)(zuo)(zuo)(zuo)用。
三、加強溝通配合(he),明確(que)范圍重(zhong)點
各中(zhong)央(yang)企(qi)(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)要深入貫徹落實(shi)中(zhong)央(yang)企(qi)(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)監(jian)(jian)(jian)事(shi)會(hui)(hui)工作會(hui)(hui)議精神,按照“兩個融(rong)入”、“五個必須(xu)”的總體要求,進一步加強與(yu)派(pai)駐本企(qi)(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)監(jian)(jian)(jian)事(shi)會(hui)(hui)的溝通(tong)配合,根據(ju)監(jian)(jian)(jian)事(shi)會(hui)(hui)監(jian)(jian)(jian)督(du)檢查工作需要,結合企(qi)(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)經營(ying)規模、組織架(jia)構、管控(kong)模式(shi)、行(xing)業(ye)(ye)特點(dian)(dian)、區域分布、發展階(jie)段等(deng)情況,共(gong)同確(que)定企(qi)(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)填(tian)報(bao)范(fan)(fan)圍(wei)(wei)和年(nian)度(du)重(zhong)點(dian)(dian)披露事(shi)項。原則上(shang)(shang),年(nian)度(du)報(bao)告填(tian)報(bao)范(fan)(fan)圍(wei)(wei)包括(kuo)企(qi)(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)集(ji)團、境(jing)(jing)內(外(wai))二(er)級(ji)(ji)單位、各級(ji)(ji)金融(rong)子(zi)企(qi)(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)以及(ji)所(suo)托管企(qi)(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye);整體上(shang)(shang)市中(zhong)央(yang)企(qi)(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)填(tian)報(bao)范(fan)(fan)圍(wei)(wei)包括(kuo)控(kong)股(gu)上(shang)(shang)市公(gong)司所(suo)屬(shu)境(jing)(jing)內(外(wai))二(er)級(ji)(ji)單位;離岸公(gong)司、殼公(gong)司等(deng)特殊子(zi)企(qi)(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)不納(na)入填(tian)報(bao)范(fan)(fan)圍(wei)(wei),監(jian)(jian)(jian)事(shi)會(hui)(hui)另有(you)要求的除外(wai)。三級(ji)(ji)(含)以下重(zhong)要子(zi)企(qi)(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)及(ji)重(zhong)要非法人實(shi)體等(deng)填(tian)報(bao)范(fan)(fan)圍(wei)(wei)與(yu)監(jian)(jian)(jian)事(shi)會(hui)(hui)共(gong)同商(shang)定,根據(ju)監(jian)(jian)(jian)事(shi)會(hui)(hui)工作需要及(ji)年(nian)度(du)監(jian)(jian)(jian)督(du)檢查計劃安排,納(na)入填(tian)報(bao)范(fan)(fan)圍(wei)(wei)。鼓勵有(you)條件(jian)的中(zhong)央(yang)企(qi)(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)試行(xing)全(quan)級(ji)(ji)次報(bao)送。要根據(ju)派(pai)駐本企(qi)(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)監(jian)(jian)(jian)事(shi)會(hui)(hui)的要求,分行(xing)業(ye)(ye)、分業(ye)(ye)務板塊梳(shu)理重(zhong)點(dian)(dian)關注事(shi)項和重(zhong)點(dian)(dian)填(tian)報(bao)內容。
四、融入(ru)日常管控(kong),完善長效機制
各中央企(qi)業(ye)要深入(ru)推(tui)進年度(du)(du)(du)報(bao)(bao)告(gao)工(gong)(gong)(gong)作(zuo)(zuo)(zuo)與企(qi)業(ye)日常管(guan)控工(gong)(gong)(gong)作(zuo)(zuo)(zuo)的深度(du)(du)(du)融(rong)合(he),努力實(shi)現(xian)工(gong)(gong)(gong)作(zuo)(zuo)(zuo)聯(lian)動、信(xin)(xin)息(xi)(xi)共享、資源整合(he)、成果共用(yong),著力形(xing)成以(yi)年度(du)(du)(du)報(bao)(bao)告(gao)為抓(zhua)手的企(qi)業(ye)自我(wo)診斷(duan)、自我(wo)完善的長效(xiao)工(gong)(gong)(gong)作(zuo)(zuo)(zuo)機(ji)制(zhi)。要加強年度(du)(du)(du)報(bao)(bao)告(gao)制(zhi)度(du)(du)(du)建(jian)(jian)(jian)設(she),建(jian)(jian)(jian)立統一工(gong)(gong)(gong)作(zuo)(zuo)(zuo)規范(fan)和(he)標準(zhun)體系,科學安排工(gong)(gong)(gong)作(zuo)(zuo)(zuo)進度(du)(du)(du),細化規范(fan)工(gong)(gong)(gong)作(zuo)(zuo)(zuo)標準(zhun),嚴(yan)格審核評價流程(cheng),實(shi)現(xian)全(quan)程(cheng)閉環管(guan)理(li)。要建(jian)(jian)(jian)立內部協同(tong)聯(lian)動機(ji)制(zhi),充(chong)(chong)分(fen)(fen)利用(yong)已有(you)管(guan)理(li)系統、內部成果、工(gong)(gong)(gong)作(zuo)(zuo)(zuo)報(bao)(bao)告(gao)等信(xin)(xin)息(xi)(xi)載(zai)體,避免重復歸集、重復報(bao)(bao)送。要實(shi)現(xian)年度(du)(du)(du)報(bao)(bao)告(gao)與企(qi)業(ye)信(xin)(xin)息(xi)(xi)化工(gong)(gong)(gong)作(zuo)(zuo)(zuo)有(you)效(xiao)對接,充(chong)(chong)分(fen)(fen)利用(yong)信(xin)(xin)息(xi)(xi)化建(jian)(jian)(jian)設(she)基礎,以(yi)大數據為核心推(tui)進年度(du)(du)(du)報(bao)(bao)告(gao)信(xin)(xin)息(xi)(xi)化建(jian)(jian)(jian)設(she),創(chuang)新(xin)工(gong)(gong)(gong)作(zuo)(zuo)(zuo)方(fang)法(fa),提(ti)高(gao)工(gong)(gong)(gong)作(zuo)(zuo)(zuo)效(xiao)率,分(fen)(fen)享信(xin)(xin)息(xi)(xi)資源,深化成果應用(yong)。要建(jian)(jian)(jian)立健全(quan)年度(du)(du)(du)報(bao)(bao)告(gao)質量(liang)綜(zong)合(he)評價機(ji)制(zhi),研究制(zhi)定年度(du)(du)(du)報(bao)(bao)告(gao)工(gong)(gong)(gong)作(zuo)(zuo)(zuo)及支持配合(he)監事會工(gong)(gong)(gong)作(zuo)(zuo)(zuo)與業(ye)績考核掛(gua)鉤(gou)的具(ju)體措施,完善激勵約束長效(xiao)機(ji)制(zhi),推(tui)動年度(du)(du)(du)報(bao)(bao)告(gao)工(gong)(gong)(gong)作(zuo)(zuo)(zuo)落到實(shi)處。
五、落實填報任務,按時備案報送
(一)請(qing)各中(zhong)央企(qi)業于2016年12月(yue)15日前將與(yu)派駐本企(qi)業監事(shi)會共同(tong)確(que)定的擬(ni)報(bao)送年度(du)報(bao)告有關事(shi)項(xiang),以正式文件形(xing)式(式樣(yang)見附件1)報(bao)監事(shi)會工作局備案(an)。
(二)請各中央企業于(yu)2017年(nian)2月28日前將集團公司與各級子企業年(nian)度報告一并(bing)以正式(shi)文件(jian)(jian)形(xing)式(shi)(式(shi)樣見附件(jian)(jian)2)報送派(pai)駐(zhu)本企業監事會(紙質材(cai)料1套(tao),光盤(pan)2套(tao)),同時將年(nian)度報告(光盤(pan)1套(tao))及(ji)正式(shi)文件(jian)(jian)報送監事會工作局備案。
(三)年度(du)(du)報告繼續使用軟件(jian)填報。《2016年度(du)(du)企(qi)業年度(du)(du)工(gong)作(zuo)報告格式文本及(ji)編制說明》安裝在填報軟件(jian)中,繼續探索推進(jin)信(xin)息(xi)化報送和綜合(he)應(ying)用。需要填報軟件(jian)及(ji)紙質材(cai)料(liao)的企(qi)業請與監事會工(gong)作(zuo)局聯系。
(四)國(guo)資委將(jiang)組織召開“2016年度中(zhong)央(yang)(yang)企業(ye)年度工作報告(gao)布置(zhi)培訓視(shi)頻會議”,屆時請各中(zhong)央(yang)(yang)企業(ye)按通知(zhi)要求組織相關人員(yuan)參(can)會。
