堅持政企分開、明確功能定位、強化多元化決策
——新加坡淡馬錫考察的啟示

黨(dang)的(de)(de)十九(jiu)屆四中全會(hui)作出了(le)堅持和(he)(he)(he)(he)完(wan)(wan)善(shan)(shan)中國(guo)(guo)(guo)(guo)特(te)(te)色社會(hui)主義制度(du)(du)、推進國(guo)(guo)(guo)(guo)家治(zhi)理(li)(li)體(ti)系(xi)和(he)(he)(he)(he)治(zhi)理(li)(li)能(neng)力現(xian)(xian)代(dai)化的(de)(de)決定。完(wan)(wan)善(shan)(shan)中國(guo)(guo)(guo)(guo)特(te)(te)色現(xian)(xian)代(dai)企(qi)業(ye)(ye)(ye)制度(du)(du),是(shi)堅持和(he)(he)(he)(he)完(wan)(wan)善(shan)(shan)中國(guo)(guo)(guo)(guo)特(te)(te)色社會(hui)主義制度(du)(du)的(de)(de)重要(yao)內容;健全國(guo)(guo)(guo)(guo)有(you)企(qi)業(ye)(ye)(ye)公(gong)(gong)司(si)(si)法人(ren)治(zhi)理(li)(li)結構(gou)(gou),是(shi)推進國(guo)(guo)(guo)(guo)家治(zhi)理(li)(li)體(ti)系(xi)和(he)(he)(he)(he)治(zhi)理(li)(li)能(neng)力現(xian)(xian)代(dai)化的(de)(de)題中應有(you)之意。構(gou)(gou)建系(xi)統完(wan)(wan)備、科學規(gui)范、運行(xing)有(you)效的(de)(de)制度(du)(du)體(ti)系(xi),把制度(du)(du)優勢更好(hao)轉化為企(qi)業(ye)(ye)(ye)治(zhi)理(li)(li)效能(neng),是(shi)我國(guo)(guo)(guo)(guo)國(guo)(guo)(guo)(guo)有(you)企(qi)業(ye)(ye)(ye)改革的(de)(de)重要(yao)任務(wu)。在(zai)深化國(guo)(guo)(guo)(guo)有(you)企(qi)業(ye)(ye)(ye)改革、建立完(wan)(wan)善(shan)(shan)現(xian)(xian)代(dai)企(qi)業(ye)(ye)(ye)制度(du)(du)的(de)(de)過程中,國(guo)(guo)(guo)(guo)務(wu)院國(guo)(guo)(guo)(guo)資委始終重視學習借鑒世(shi)界范圍內公(gong)(gong)司(si)(si)治(zhi)理(li)(li)的(de)(de)經驗成果,和(he)(he)(he)(he)新加坡(po)淡(dan)馬錫公(gong)(gong)司(si)(si)進行(xing)了(le)長期(qi)合作交(jiao)流并多次組(zu)織中央企(qi)業(ye)(ye)(ye)負責人(ren)實地考察。

45年(nian)里,淡馬(ma)錫(xi)(xi)資(zi)產凈值增長(chang)近千倍,復合年(nian)化(hua)(hua)(hua)股東總回報率為(wei)15%。作為(wei)一個單一國有(you)股東的(de)(de)企(qi)業能(neng)夠取得(de)這樣的(de)(de)成就(jiu),在世界范圍內極為(wei)罕見。近期(qi),我(wo)有(you)幸參加了(le)國資(zi)委(wei)組織的(de)(de)淡馬(ma)錫(xi)(xi)董(dong)事論壇(tan)(第27期(qi))。結(jie)(jie)合長(chang)期(qi)對(dui)(dui)淡馬(ma)錫(xi)(xi)的(de)(de)研究思考和此次實地考察學習,我(wo)認為(wei),淡馬(ma)錫(xi)(xi)在堅(jian)持(chi)政企(qi)分開、明(ming)確功能(neng)定(ding)位、強化(hua)(hua)(hua)多(duo)元化(hua)(hua)(hua)決策(ce)、堅(jian)持(chi)投資(zi)收益最大(da)化(hua)(hua)(hua)方面有(you)深(shen)入探索(suo),形成了(le)協調(diao)運轉、有(you)效制衡(heng)的(de)(de)公司法人(ren)治(zhi)理結(jie)(jie)構(gou)(gou),對(dui)(dui)國有(you)企(qi)業尤其是中央(yang)企(qi)業完善公司治(zhi)理結(jie)(jie)構(gou)(gou)有(you)一定(ding)啟發意義。

一、堅持政企分開,清晰對國有企業授權邊界

1、新(xin)(xin)加坡政(zheng)(zheng)府和(he)淡(dan)馬錫的(de)“一(yi)臂之(zhi)距(ju)”。政(zheng)(zheng)府和(he)企(qi)(qi)業(ye)的(de)關系是國(guo)有企(qi)(qi)業(ye)管理的(de)世界性(xing)難題(ti)。新(xin)(xin)加坡國(guo)有企(qi)(qi)業(ye)也經歷過政(zheng)(zheng)企(qi)(qi)不(bu)分(fen)的(de)階段(duan),后(hou)來新(xin)(xin)加坡以淡(dan)馬錫為核(he)心進行(xing)了政(zheng)(zheng)企(qi)(qi)分(fen)開的(de)改革,改革關鍵(jian)是政(zheng)(zheng)府和(he)企(qi)(qi)業(ye)保(bao)持(chi)恰(qia)當(dang)距(ju)離(li),這(zhe)個距(ju)離(li)被稱為“一(yi)臂之(zhi)距(ju)”。

首先,政(zheng)府(fu)(fu)對(dui)(dui)淡馬(ma)(ma)(ma)錫(xi)(xi)的(de)(de)管控通過法律來(lai)實現。淡馬(ma)(ma)(ma)錫(xi)(xi)是(shi)根(gen)據新(xin)加(jia)坡憲法而(er)成立的(de)(de)一(yi)家機構,有(you)特定的(de)(de)憲法條款保護(hu)淡馬(ma)(ma)(ma)錫(xi)(xi)積累的(de)(de)儲備金。其次,政(zheng)府(fu)(fu)對(dui)(dui)淡馬(ma)(ma)(ma)錫(xi)(xi)的(de)(de)管理有(you)著清(qing)(qing)晰的(de)(de)鏈條。淡馬(ma)(ma)(ma)錫(xi)(xi)的(de)(de)股權結構非常簡(jian)單,新(xin)加(jia)坡財(cai)政(zheng)部對(dui)(dui)淡馬(ma)(ma)(ma)錫(xi)(xi)實行(xing)專(zhuan)管,切斷(duan)了其他政(zheng)府(fu)(fu)部門(men)對(dui)(dui)淡馬(ma)(ma)(ma)錫(xi)(xi)可能的(de)(de)干擾。最后,財(cai)政(zheng)部對(dui)(dui)淡馬(ma)(ma)(ma)錫(xi)(xi)的(de)(de)管控是(shi)清(qing)(qing)單式的(de)(de)股東行(xing)為,除確定淡馬(ma)(ma)(ma)錫(xi)(xi)董事會成員和總裁,審查淡馬(ma)(ma)(ma)錫(xi)(xi)的(de)(de)業績表現外,其余權力基本上授予了董事會。

2、清晰授權(quan)、政(zheng)企(qi)(qi)分開是(shi)深化(hua)我(wo)國(guo)國(guo)有(you)(you)(you)企(qi)(qi)業(ye)(ye)改革的(de)(de)(de)(de)重點。在世(shi)界范圍(wei)內(nei),政(zheng)企(qi)(qi)不(bu)分是(shi)國(guo)有(you)(you)(you)企(qi)(qi)業(ye)(ye)管理中的(de)(de)(de)(de)通病。淡(dan)馬錫執行(xing)董事(shi)兼CEO何(he)晶認為(wei):“政(zheng)府(fu)(fu)一(yi)(yi)開始就讓淡(dan)馬錫獨立(li)運作,政(zheng)府(fu)(fu)不(bu)干涉企(qi)(qi)業(ye)(ye)的(de)(de)(de)(de)專業(ye)(ye)化(hua)經(jing)營(ying)(ying)和(he)經(jing)營(ying)(ying)策略的(de)(de)(de)(de)制(zhi)定(ding),是(shi)新加(jia)坡(po)國(guo)有(you)(you)(you)經(jing)濟(ji)成功的(de)(de)(de)(de)關(guan)(guan)鍵。世(shi)界上(shang)很多企(qi)(qi)業(ye)(ye)之所以失敗,是(shi)因為(wei)它們無法成功的(de)(de)(de)(de)理清控股責(ze)(ze)任(ren)和(he)管理責(ze)(ze)任(ren)之間的(de)(de)(de)(de)關(guan)(guan)系。”同樣,中國(guo)國(guo)有(you)(you)(you)企(qi)(qi)業(ye)(ye)70年的(de)(de)(de)(de)發展歷史中,如何(he)更好(hao)地處理好(hao)政(zheng)府(fu)(fu)和(he)企(qi)(qi)業(ye)(ye)的(de)(de)(de)(de)關(guan)(guan)系一(yi)(yi)直是(shi)困擾國(guo)有(you)(you)(you)企(qi)(qi)業(ye)(ye)發展的(de)(de)(de)(de)難題(ti)之一(yi)(yi)。

黨的(de)(de)(de)(de)十八(ba)大以(yi)來,黨中(zhong)央、國務院相繼發布了《關(guan)(guan)于(yu)全面(mian)深(shen)化(hua)(hua)改革若干重(zhong)大問題的(de)(de)(de)(de)決定》《關(guan)(guan)于(yu)深(shen)化(hua)(hua)國有(you)(you)企(qi)(qi)業(ye)改革的(de)(de)(de)(de)指導意見》《關(guan)(guan)于(yu)改革和(he)完善國有(you)(you)資(zi)(zi)產管(guan)(guan)理(li)體制(zhi)的(de)(de)(de)(de)若干意見》《改革國有(you)(you)資(zi)(zi)本授權(quan)經營體制(zhi)方案》等文件,都要求(qiu)依(yi)(yi)法理(li)順政(zheng)(zheng)府(fu)(fu)與國有(you)(you)企(qi)(qi)業(ye)的(de)(de)(de)(de)出資(zi)(zi)關(guan)(guan)系(xi),促使國有(you)(you)企(qi)(qi)業(ye)真正成(cheng)為依(yi)(yi)法自(zi)主(zhu)經營、自(zi)負盈虧、自(zi)擔風險(xian)、自(zi)我(wo)約束、自(zi)我(wo)發展(zhan)的(de)(de)(de)(de)獨(du)立(li)市(shi)場主(zhu)體。可以(yi)說,政(zheng)(zheng)企(qi)(qi)分開(kai)(kai)(kai)、政(zheng)(zheng)資(zi)(zi)分開(kai)(kai)(kai)是(shi)(shi)國有(you)(you)企(qi)(qi)業(ye)深(shen)化(hua)(hua)改革的(de)(de)(de)(de)關(guan)(guan)鍵之一。新(xin)加坡對(dui)(dui)淡馬(ma)錫的(de)(de)(de)(de)清單式、法律(lv)式的(de)(de)(de)(de)管(guan)(guan)理(li),對(dui)(dui)我(wo)們有(you)(you)啟發意義。政(zheng)(zheng)企(qi)(qi)分開(kai)(kai)(kai)、政(zheng)(zheng)資(zi)(zi)分開(kai)(kai)(kai)的(de)(de)(de)(de)關(guan)(guan)鍵并不是(shi)(shi)徹底斷開(kai)(kai)(kai)政(zheng)(zheng)府(fu)(fu)和(he)企(qi)(qi)業(ye)的(de)(de)(de)(de)關(guan)(guan)系(xi),而是(shi)(shi)明確(que)出資(zi)(zi)關(guan)(guan)系(xi)、委托代理(li)關(guan)(guan)系(xi)、授權(quan)邊界等,確(que)立(li)國有(you)(you)企(qi)(qi)業(ye)的(de)(de)(de)(de)市(shi)場主(zhu)體地位,最大限度降低(di)政(zheng)(zheng)府(fu)(fu)對(dui)(dui)市(shi)場運行的(de)(de)(de)(de)直接干預(yu)。貫徹落實十九屆四(si)中(zhong)全會的(de)(de)(de)(de)要求(qiu),當前需要重(zhong)點(dian)考慮將權(quan)責關(guan)(guan)系(xi)的(de)(de)(de)(de)基(ji)本原則轉(zhuan)化(hua)(hua)為可操作細則,通過法律(lv)、章(zhang)程(cheng)或者清單明確(que)權(quan)力邊界。

二、做實多元化董事會,實現權力制衡

1、淡(dan)(dan)馬(ma)(ma)(ma)(ma)錫(xi)(xi)董(dong)(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)(shi)會(hui)(hui)有(you)(you)著實(shi)實(shi)在(zai)(zai)在(zai)(zai)的(de)(de)(de)(de)權(quan)(quan)力(li)(li)。淡(dan)(dan)馬(ma)(ma)(ma)(ma)錫(xi)(xi)公(gong)(gong)司(si)治理(li)(li)(li)的(de)(de)(de)(de)關(guan)鍵是(shi)(shi)(shi)做(zuo)實(shi)董(dong)(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)(shi)會(hui)(hui)。淡(dan)(dan)馬(ma)(ma)(ma)(ma)錫(xi)(xi)的(de)(de)(de)(de)董(dong)(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)(shi)會(hui)(hui)成員(yuan)(yuan)和(he)總(zong)經理(li)(li)(li)由(you)(you)提名(ming)(ming)委員(yuan)(yuan)會(hui)(hui)向新加坡財政部提名(ming)(ming),由(you)(you)財政部向總(zong)統(tong)提名(ming)(ming),最后由(you)(you)總(zong)統(tong)批(pi)準。淡(dan)(dan)馬(ma)(ma)(ma)(ma)錫(xi)(xi)董(dong)(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)(shi)會(hui)(hui)擁有(you)(you)實(shi)權(quan)(quan)體現(xian)在(zai)(zai)三個(ge)方面(mian):一是(shi)(shi)(shi)淡(dan)(dan)馬(ma)(ma)(ma)(ma)錫(xi)(xi)董(dong)(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)(shi)會(hui)(hui)在(zai)(zai)重大(da)(da)(da)事(shi)(shi)(shi)(shi)(shi)項上有(you)(you)著實(shi)實(shi)在(zai)(zai)在(zai)(zai)的(de)(de)(de)(de)決定(ding)權(quan)(quan),包括治理(li)(li)(li)、對(dui)股(gu)東(dong)負責(ze)、制定(ding)長(chang)(chang)遠(yuan)戰略、選(xuan)擇經理(li)(li)(li)層(ceng)(ceng)、通(tong)過股(gu)東(dong)大(da)(da)(da)會(hui)(hui)對(dui)投(tou)(tou)(tou)資公(gong)(gong)司(si)行(xing)使股(gu)東(dong)權(quan)(quan)力(li)(li)。二是(shi)(shi)(shi)淡(dan)(dan)馬(ma)(ma)(ma)(ma)錫(xi)(xi)董(dong)(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)(shi)組(zu)成多(duo)(duo)元(yuan)(yuan),董(dong)(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)(shi)來(lai)源于(yu)政府官員(yuan)(yuan)、下屬企(qi)業(ye)領(ling)(ling)袖(xiu)和(he)社會(hui)(hui)商業(ye)人士,且獨(du)立董(dong)(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)(shi)或(huo)者(zhe)外部董(dong)(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)(shi)占絕(jue)對(dui)多(duo)(duo)數地位(wei),相(xiang)當一部分(fen)來(lai)自(zi)(zi)于(yu)新加坡之外的(de)(de)(de)(de)跨國(guo)公(gong)(gong)司(si)領(ling)(ling)袖(xiu)。這種設計(ji)是(shi)(shi)(shi)對(dui)西(xi)方公(gong)(gong)司(si)治理(li)(li)(li)結構的(de)(de)(de)(de)重大(da)(da)(da)突破,淡(dan)(dan)馬(ma)(ma)(ma)(ma)錫(xi)(xi)董(dong)(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)(shi)會(hui)(hui)并非是(shi)(shi)(shi)股(gu)權(quan)(quan)或(huo)者(zhe)產權(quan)(quan)決定(ding)的(de)(de)(de)(de),本質(zhi)是(shi)(shi)(shi)治理(li)(li)(li)多(duo)(duo)元(yuan)(yuan)化(hua)(hua)而不(bu)是(shi)(shi)(shi)股(gu)權(quan)(quan)多(duo)(duo)元(yuan)(yuan)化(hua)(hua)。三是(shi)(shi)(shi)董(dong)(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)(shi)會(hui)(hui)的(de)(de)(de)(de)多(duo)(duo)元(yuan)(yuan)化(hua)(hua)體現(xian)在(zai)(zai)權(quan)(quan)力(li)(li)分(fen)配和(he)制衡(heng)。不(bu)同董(dong)(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)(shi)角色(se)有(you)(you)著制衡(heng)細則:董(dong)(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)(shi)長(chang)(chang)和(he)總(zong)裁由(you)(you)不(bu)同人擔任(ren);董(dong)(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)(shi)長(chang)(chang)和(he)副董(dong)(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)(shi)長(chang)(chang)只(zhi)能來(lai)自(zi)(zi)獨(du)立董(dong)(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)(shi),不(bu)可來(lai)自(zi)(zi)股(gu)東(dong)董(dong)(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)(shi)和(he)執行(xing)董(dong)(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)(shi);董(dong)(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)(shi)長(chang)(chang)和(he)副董(dong)(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)(shi)長(chang)(chang)不(bu)能加入審(shen)計(ji)委員(yuan)(yuan)會(hui)(hui);董(dong)(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)(shi)長(chang)(chang)擔任(ren)領(ling)(ling)袖(xiu)與薪酬委員(yuan)(yuan)會(hui)(hui)主席;執行(xing)董(dong)(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)(shi)僅一人且需兼(jian)任(ren)淡(dan)(dan)馬(ma)(ma)(ma)(ma)錫(xi)(xi)總(zong)裁;總(zong)裁不(bu)能加入審(shen)計(ji)委員(yuan)(yuan)會(hui)(hui);股(gu)東(dong)董(dong)(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)(shi)不(bu)能參與領(ling)(ling)袖(xiu)培育與薪酬委員(yuan)(yuan)會(hui)(hui);董(dong)(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)(shi)長(chang)(chang)在(zai)(zai)投(tou)(tou)(tou)票(piao)出現(xian)平(ping)局時有(you)(you)二次(ci)投(tou)(tou)(tou)票(piao)權(quan)(quan)或(huo)者(zhe)決定(ding)性(xing)投(tou)(tou)(tou)票(piao)。這些(xie)復(fu)雜的(de)(de)(de)(de)制度設計(ji),形成了制衡(heng)甚(shen)至(zhi)監督。和(he)西(xi)方國(guo)家(jia)大(da)(da)(da)不(bu)相(xiang)同的(de)(de)(de)(de)是(shi)(shi)(shi),淡(dan)(dan)馬(ma)(ma)(ma)(ma)錫(xi)(xi)董(dong)(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)(shi)會(hui)(hui)董(dong)(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)(shi)沒有(you)(you)一分(fen)錢的(de)(de)(de)(de)股(gu)權(quan)(quan),做(zuo)實(shi)董(dong)(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)(shi)會(hui)(hui)的(de)(de)(de)(de)關(guan)鍵并不(bu)是(shi)(shi)(shi)通(tong)過股(gu)權(quan)(quan)多(duo)(duo)元(yuan)(yuan)化(hua)(hua)或(huo)管理(li)(li)(li)層(ceng)(ceng)持股(gu),而是(shi)(shi)(shi)通(tong)過多(duo)(duo)元(yuan)(yuan)的(de)(de)(de)(de)董(dong)(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)(shi)實(shi)現(xian)治理(li)(li)(li)的(de)(de)(de)(de)多(duo)(duo)元(yuan)(yuan)化(hua)(hua)。整體來(lai)看,淡(dan)(dan)馬(ma)(ma)(ma)(ma)錫(xi)(xi)董(dong)(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)(shi)會(hui)(hui)雖無產權(quan)(quan)股(gu)權(quan)(quan)但是(shi)(shi)(shi)經政府授(shou)權(quan)(quan)而有(you)(you)實(shi)權(quan)(quan),是(shi)(shi)(shi)一個(ge)多(duo)(duo)元(yuan)(yuan)的(de)(de)(de)(de)組(zu)成,運作中(zhong)形成了明(ming)顯的(de)(de)(de)(de)權(quan)(quan)力(li)(li)制衡(heng),和(he)經理(li)(li)(li)層(ceng)(ceng)權(quan)(quan)力(li)(li)邊界非常清晰(xi)。這是(shi)(shi)(shi)最值得我國(guo)國(guo)有(you)(you)企(qi)業(ye)董(dong)(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)(shi)會(hui)(hui)建設學習借鑒的(de)(de)(de)(de)方面(mian)。
