“‘雙百(bai)企(qi)(qi)業(ye)’要在(zai)國(guo)(guo)企(qi)(qi)改(gai)革三年(nian)(nian)行動(dong)中勇(yong)立改(gai)革潮頭、爭當先鋒表率。”10月27日,國(guo)(guo)務院國(guo)(guo)資委(wei)副主(zhu)任翁杰明(ming)在(zai)國(guo)(guo)企(qi)(qi)改(gai)革“雙百(bai)行動(dong)”現(xian)場推進會上(shang)表示,要指導推動(dong)“雙百(bai)企(qi)(qi)業(ye)”在(zai)今年(nian)(nian)年(nian)(nian)底前率先實(shi)現(xian)經理(li)層任期制和(he)契約(yue)化管理(li);加(jia)(jia)快健全容錯糾錯機(ji)制,賦予(yu)“雙百(bai)企(qi)(qi)業(ye)”更(geng)大改(gai)革自主(zhu)權;支持“雙百(bai)企(qi)(qi)業(ye)”積極探索(suo)超額利潤分享、骨干員(yuan)工跟投等激勵(li)(li)方式(shi);鼓勵(li)(li)探索(suo)對“雙百(bai)企(qi)(qi)業(ye)”實(shi)施更(geng)加(jia)(jia)市場化差異化管控模式(shi)。
有序實施混改
翁杰明表示,“雙百(bai)行動”實(shi)(shi)施兩年多(duo)(duo)來,八成(cheng)以上(shang)“雙百(bai)企(qi)(qi)業(ye)(ye)”建立了董(dong)事(shi)(shi)會,實(shi)(shi)現外部董(dong)事(shi)(shi)占多(duo)(duo)數,董(dong)事(shi)(shi)會職權進(jin)一步落實(shi)(shi)。半(ban)數以上(shang)“雙百(bai)企(qi)(qi)業(ye)(ye)”有序實(shi)(shi)施了混合(he)所有制改革,有些已經(jing)成(cheng)功(gong)上(shang)市。近(jin)200戶“雙百(bai)企(qi)(qi)業(ye)(ye)”在(zai)本級開(kai)展了經(jing)理(li)層任期制和契約化管理(li),或者推行了職業(ye)(ye)經(jing)理(li)人制度,覆(fu)蓋面遠高于(yu)其他國有企(qi)(qi)業(ye)(ye)。100余戶“雙百(bai)企(qi)(qi)業(ye)(ye)”開(kai)展了股權、分紅(hong)權等不同方(fang)式的中長期激勵。目前(qian),“雙百(bai)企(qi)(qi)業(ye)(ye)”全員勞動生產(chan)率(lv)超出(chu)中央企(qi)(qi)業(ye)(ye)平(ping)均水平(ping)50.7%,近(jin)三年復合(he)增(zeng)長率(lv)達9.9%。
“雙(shuang)百(bai)(bai)行動(dong)(dong)”專(zhuan)項評估工作組發(fa)布(bu)的“雙(shuang)百(bai)(bai)企業”三項制度改(gai)革(ge)有關進展情(qing)況報告顯示,目前(qian)“雙(shuang)百(bai)(bai)企業”中有80家上市(shi)(shi)公(gong)(gong)(gong)司(si)(si)(si),自(zi)納入“雙(shuang)百(bai)(bai)行動(dong)(dong)”綜(zong)合改(gai)革(ge)后(hou),充分發(fa)揮上市(shi)(shi)公(gong)(gong)(gong)司(si)(si)(si)優(you)勢,全(quan)面(mian)推進改(gai)革(ge),取得積極成(cheng)效。三項制度改(gai)革(ge)力度及效果整(zheng)體(ti)優(you)于(yu)非(fei)上市(shi)(shi)公(gong)(gong)(gong)司(si)(si)(si),尤(you)其是在(zai)綜(zong)合成(cheng)效方面(mian)大幅優(you)于(yu)非(fei)上市(shi)(shi)公(gong)(gong)(gong)司(si)(si)(si)。2019年,上市(shi)(shi)公(gong)(gong)(gong)司(si)(si)(si)全(quan)員勞動(dong)(dong)生產率、人(ren)工成(cheng)本利潤率分別(bie)是非(fei)上市(shi)(shi)公(gong)(gong)(gong)司(si)(si)(si)的1.42倍、1.47倍。
報告顯(xian)示,推行(xing)“雙百行(xing)動”綜合改革,對“雙百企(qi)業(ye)”經(jing)營業(ye)績的促進作(zuo)用陸續顯(xian)現。2019年營業(ye)收入、凈資產增長(chang)(chang)率分別達到9.3%、11.4%,利潤總額正(zheng)向增長(chang)(chang),實現以改革創新(xin)帶(dai)動高質(zhi)量發展。
更深層次改革
翁杰明表示,“雙百企業”在全面(mian)落實國(guo)企改革(ge)三年行動各項任務(wu)要求(qiu)基礎上(shang),必須聚焦(jiao)治(zhi)理機(ji)制(zhi)(zhi)、用人機(ji)制(zhi)(zhi)、激勵機(ji)制(zhi)(zhi)實施(shi)更深(shen)層次改革(ge),才能真正有效提升(sheng)企業活力和效率。
具體而言,在治理(li)機制上,各(ge)中(zhong)央企業(ye)、各(ge)地國資委要(yao)指(zhi)導推動“雙百企業(ye)”加(jia)快實現董(dong)事會應建盡建、配齊配強,外部董(dong)事原則上占(zhan)多數(shu)。要(yao)全面依法落實“雙百企業(ye)”董(dong)事會各(ge)項權(quan)利,保障(zhang)經(jing)理(li)層經(jing)營自(zi)主權(quan),堅(jian)持權(quan)利義務責(ze)任(ren)相(xiang)統一(yi),保障(zhang)董(dong)事會和經(jing)理(li)層有效(xiao)履(lv)職。要(yao)加(jia)快轉變(bian)監管(guan)理(li)念和方式,絕不能在管(guan)控模式上搞“一(yi)刀切(qie)”,鼓勵(li)探索對“雙百企業(ye)”實施(shi)更加(jia)市(shi)場化的差異化管(guan)控模式,提高“雙百企業(ye)”經(jing)營決策(ce)效(xiao)率。
在用(yong)(yong)人機(ji)制(zhi)(zhi)(zhi)(zhi)上,各(ge)中(zhong)央(yang)企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)、各(ge)地(di)國(guo)資委要(yao)(yao)指導(dao)推動“雙百企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)”在今年(nian)年(nian)底前率先實現經理層任期(qi)制(zhi)(zhi)(zhi)(zhi)和(he)契(qi)約(yue)化(hua)管理,具備條件的(de)(de)(de)(de)要(yao)(yao)加快推行(xing)職(zhi)業(ye)(ye)(ye)經理人制(zhi)(zhi)(zhi)(zhi)度(du)。要(yao)(yao)大力引進和(he)培(pei)養高端人才,特別是科(ke)技人才,建立有利于科(ke)技人才潛心研(yan)究(jiu)和(he)創(chuang)(chuang)新(xin)的(de)(de)(de)(de)考核評(ping)價(jia)(jia)制(zhi)(zhi)(zhi)(zhi)度(du),通(tong)過多(duo)(duo)軌制(zhi)(zhi)(zhi)(zhi)職(zhi)業(ye)(ye)(ye)通(tong)道給(gei)予事業(ye)(ye)(ye)平(ping)臺,激(ji)發科(ke)技人才創(chuang)(chuang)新(xin)創(chuang)(chuang)造(zao)精神。要(yao)(yao)加快健全市場化(hua)用(yong)(yong)工(gong)制(zhi)(zhi)(zhi)(zhi)度(du),通(tong)過實施管理人員競爭上崗(gang)、末等調(diao)整(zheng)和(he)不勝任退出制(zhi)(zhi)(zhi)(zhi)度(du),實現管理人員上下實績(ji)說(shuo)話(hua)、員工(gong)進出能(neng)力說(shuo)話(hua)、收入增(zeng)減(jian)效益說(shuo)話(hua),使企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)內(nei)部真正動起(qi)來、活起(qi)來。在激(ji)勵(li)機(ji)制(zhi)(zhi)(zhi)(zhi)上,各(ge)中(zhong)央(yang)企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)、各(ge)地(di)國(guo)資委和(he)“雙百企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)”要(yao)(yao)在內(nei)部分(fen)配上更(geng)多(duo)(duo)向科(ke)技人才、關鍵崗(gang)位核心人才等群體傾斜(xie),使有限的(de)(de)(de)(de)激(ji)勵(li)資源(yuan)能(neng)夠“好鋼用(yong)(yong)在刀刃上”。要(yao)(yao)在逐一(yi)梳理評(ping)估的(de)(de)(de)(de)基礎上,用(yong)(yong)好用(yong)(yong)足現行(xing)的(de)(de)(de)(de)股權、分(fen)紅(hong)權、員工(gong)持(chi)股等激(ji)勵(li)政策,建立起(qi)風險(xian)共擔、利益共享的(de)(de)(de)(de)中(zhong)長期(qi)激(ji)勵(li)機(ji)制(zhi)(zhi)(zhi)(zhi)。要(yao)(yao)支持(chi)“雙百企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)”積極探索(suo)超(chao)額(e)利潤分(fen)享、骨干員工(gong)跟投等激(ji)勵(li)方式(shi),更(geng)多(duo)(duo)采(cai)用(yong)(yong)增(zeng)量(liang)激(ji)勵(li),引導(dao)關鍵崗(gang)位核心人才為企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)創(chuang)(chuang)造(zao)更(geng)多(duo)(duo)增(zeng)量(liang)價(jia)(jia)值(zhi),形成(cheng)激(ji)勵(li)機(ji)制(zhi)(zhi)(zhi)(zhi)有效發揮(hui)作用(yong)(yong)的(de)(de)(de)(de)良性循環(huan)。
