黨(dang)中央、國(guo)務院在(zai)日前印發的(de)《關于(yu)深(shen)化國(guo)有企業改革(ge)(ge)的(de)指導意(yi)見》(以(yi)下簡稱《指導意(yi)見》)中明確(que)指出,要(yao)完善(shan)國(guo)有資(zi)(zi)(zi)產(chan)管(guan)(guan)理(li)(li)體(ti)(ti)制(zhi),以(yi)管(guan)(guan)資(zi)(zi)(zi)本(ben)為(wei)(wei)主(zhu)(zhu)推進國(guo)有資(zi)(zi)(zi)產(chan)監管(guan)(guan)機構職能轉變,以(yi)管(guan)(guan)資(zi)(zi)(zi)本(ben)為(wei)(wei)主(zhu)(zhu)改革(ge)(ge)國(guo)有資(zi)(zi)(zi)本(ben)授(shou)權經營體(ti)(ti)制(zhi),以(yi)管(guan)(guan)資(zi)(zi)(zi)本(ben)為(wei)(wei)主(zhu)(zhu)推動國(guo)有資(zi)(zi)(zi)本(ben)合理(li)(li)流(liu)動優(you)化配(pei)置,以(yi)管(guan)(guan)資(zi)(zi)(zi)本(ben)為(wei)(wei)主(zhu)(zhu)推進經營性國(guo)有資(zi)(zi)(zi)產(chan)集(ji)中統一監管(guan)(guan)。這(zhe)對于(yu)推動國(guo)有企業真正成(cheng)為(wei)(wei)獨立(li)市場(chang)主(zhu)(zhu)體(ti)(ti),增(zeng)強(qiang)國(guo)有經濟(ji)整體(ti)(ti)功(gong)能和效率,維護國(guo)有資(zi)(zi)(zi)產(chan)安全,具有十(shi)分(fen)重要(yao)的(de)意(yi)義(yi)。我們要(yao)深(shen)入學(xue)習領會和貫(guan)徹落實文(wen)件要(yao)求,扎實推進完善(shan)國(guo)有資(zi)(zi)(zi)產(chan)管(guan)(guan)理(li)(li)體(ti)(ti)制(zhi)、以(yi)管(guan)(guan)資(zi)(zi)(zi)本(ben)為(wei)(wei)主(zhu)(zhu)加強(qiang)國(guo)有資(zi)(zi)(zi)產(chan)監管(guan)(guan)的(de)各項工(gong)作,為(wei)(wei)發展(zhan)壯大國(guo)有經濟(ji)提供堅強(qiang)保障。
一、按照以管資本為主的要求完善國有資產管理體制,推動國有企業真正成為獨立市場主體
改(gai)(gai)革開(kai)放以來,國(guo)(guo)有(you)(you)資(zi)(zi)(zi)產(chan)(chan)管(guan)(guan)(guan)(guan)(guan)(guan)(guan)理(li)(li)(li)體制(zhi)(zhi)(zhi)(zhi)(zhi)(zhi)改(gai)(gai)革始終與(yu)國(guo)(guo)有(you)(you)企(qi)(qi)(qi)業改(gai)(gai)革相(xiang)(xiang)(xiang)伴相(xiang)(xiang)(xiang)生、共(gong)同深(shen)(shen)化。黨的十六大在總結(jie)(jie)國(guo)(guo)有(you)(you)資(zi)(zi)(zi)產(chan)(chan)管(guan)(guan)(guan)(guan)(guan)(guan)(guan)理(li)(li)(li)體制(zhi)(zhi)(zhi)(zhi)(zhi)(zhi)實踐經(jing)驗的基礎(chu)(chu)上,明確提(ti)出(chu)(chu):“建立(li)中央政(zheng)(zheng)(zheng)府和地方(fang)(fang)(fang)(fang)政(zheng)(zheng)(zheng)府分(fen)(fen)別代表國(guo)(guo)家履行(xing)出(chu)(chu)資(zi)(zi)(zi)人(ren)職(zhi)(zhi)責,享有(you)(you)所(suo)有(you)(you)者權(quan)(quan)益,權(quan)(quan)利、義務和責任相(xiang)(xiang)(xiang)統(tong)一(yi),管(guan)(guan)(guan)(guan)(guan)(guan)(guan)資(zi)(zi)(zi)產(chan)(chan)和管(guan)(guan)(guan)(guan)(guan)(guan)(guan)人(ren)、管(guan)(guan)(guan)(guan)(guan)(guan)(guan)事(shi)相(xiang)(xiang)(xiang)結(jie)(jie)合的國(guo)(guo)有(you)(you)資(zi)(zi)(zi)產(chan)(chan)管(guan)(guan)(guan)(guan)(guan)(guan)(guan)理(li)(li)(li)體制(zhi)(zhi)(zhi)(zhi)(zhi)(zhi)”。2003年3月,國(guo)(guo)務院(yuan)正式(shi)(shi)(shi)成立(li)國(guo)(guo)有(you)(you)資(zi)(zi)(zi)產(chan)(chan)監(jian)督管(guan)(guan)(guan)(guan)(guan)(guan)(guan)理(li)(li)(li)委員會,根據國(guo)(guo)務院(yuan)的授(shou)權(quan)(quan),專(zhuan)門承擔國(guo)(guo)有(you)(you)資(zi)(zi)(zi)產(chan)(chan)監(jian)管(guan)(guan)(guan)(guan)(guan)(guan)(guan)職(zhi)(zhi)責,不(bu)承擔社會公共(gong)管(guan)(guan)(guan)(guan)(guan)(guan)(guan)理(li)(li)(li)職(zhi)(zhi)能。這一(yi)體制(zhi)(zhi)(zhi)(zhi)(zhi)(zhi),明確了(le)政(zheng)(zheng)(zheng)府以出(chu)(chu)資(zi)(zi)(zi)方(fang)(fang)(fang)(fang)式(shi)(shi)(shi)管(guan)(guan)(guan)(guan)(guan)(guan)(guan)理(li)(li)(li)國(guo)(guo)有(you)(you)企(qi)(qi)(qi)業,在解決政(zheng)(zheng)(zheng)企(qi)(qi)(qi)不(bu)分(fen)(fen)、國(guo)(guo)有(you)(you)企(qi)(qi)(qi)業多頭管(guan)(guan)(guan)(guan)(guan)(guan)(guan)理(li)(li)(li)、“九龍治水”等方(fang)(fang)(fang)(fang)面邁出(chu)(chu)了(le)一(yi)大步,為(wei)(wei)國(guo)(guo)有(you)(you)企(qi)(qi)(qi)業成為(wei)(wei)獨(du)立(li)市(shi)場主體奠(dian)定(ding)(ding)了(le)體制(zhi)(zhi)(zhi)(zhi)(zhi)(zhi)基礎(chu)(chu)。但(dan)應當看到,在監(jian)管(guan)(guan)(guan)(guan)(guan)(guan)(guan)體制(zhi)(zhi)(zhi)(zhi)(zhi)(zhi)機制(zhi)(zhi)(zhi)(zhi)(zhi)(zhi)方(fang)(fang)(fang)(fang)面還存在一(yi)些(xie)問(wen)題,一(yi)定(ding)(ding)程度(du)上制(zhi)(zhi)(zhi)(zhi)(zhi)(zhi)約了(le)企(qi)(qi)(qi)業活力。比如政(zheng)(zheng)(zheng)企(qi)(qi)(qi)分(fen)(fen)開(kai)、政(zheng)(zheng)(zheng)資(zi)(zi)(zi)分(fen)(fen)開(kai)還不(bu)完全到位,國(guo)(guo)有(you)(you)資(zi)(zi)(zi)產(chan)(chan)監(jian)管(guan)(guan)(guan)(guan)(guan)(guan)(guan)工(gong)作還存在越(yue)位、缺(que)位、錯位現象(xiang),監(jian)管(guan)(guan)(guan)(guan)(guan)(guan)(guan)方(fang)(fang)(fang)(fang)式(shi)(shi)(shi)存在一(yi)定(ding)(ding)行(xing)政(zheng)(zheng)(zheng)化色彩。同時,經(jing)過多年的改(gai)(gai)革發(fa)展,公司制(zhi)(zhi)(zhi)(zhi)(zhi)(zhi)股(gu)份制(zhi)(zhi)(zhi)(zhi)(zhi)(zhi)已經(jing)成為(wei)(wei)國(guo)(guo)有(you)(you)企(qi)(qi)(qi)業的主要組織形式(shi)(shi)(shi),企(qi)(qi)(qi)業的治理(li)(li)(li)結(jie)(jie)構(gou)、管(guan)(guan)(guan)(guan)(guan)(guan)(guan)理(li)(li)(li)方(fang)(fang)(fang)(fang)式(shi)(shi)(shi)都發(fa)生了(le)深(shen)(shen)刻變(bian)化,這在客觀上要求國(guo)(guo)資(zi)(zi)(zi)監(jian)管(guan)(guan)(guan)(guan)(guan)(guan)(guan)機構(gou)主動調整完善監(jian)管(guan)(guan)(guan)(guan)(guan)(guan)(guan)職(zhi)(zhi)能和方(fang)(fang)(fang)(fang)式(shi)(shi)(shi),以管(guan)(guan)(guan)(guan)(guan)(guan)(guan)資(zi)(zi)(zi)本(ben)為(wei)(wei)主,注重通過公司法人(ren)治理(li)(li)(li)結(jie)(jie)構(gou)依(yi)法行(xing)使(shi)國(guo)(guo)有(you)(you)股(gu)東權(quan)(quan)利,實現對國(guo)(guo)有(you)(you)資(zi)(zi)(zi)產(chan)(chan)的有(you)(you)效監(jian)管(guan)(guan)(guan)(guan)(guan)(guan)(guan)。
貫徹(che)落實《指導意見》要求,完善國有資(zi)(zi)(zi)產管(guan)理(li)體(ti)制,要以(yi)(yi)管(guan)資(zi)(zi)(zi)本為(wei)主推(tui)進職能轉(zhuan)變(bian),準確把(ba)握依法履(lv)行出資(zi)(zi)(zi)人職責的(de)定位,科學界定國有資(zi)(zi)(zi)產出資(zi)(zi)(zi)人監管(guan)的(de)邊界,實現以(yi)(yi)管(guan)企(qi)業為(wei)主向以(yi)(yi)管(guan)資(zi)(zi)(zi)本為(wei)主的(de)轉(zhuan)變(bian),推(tui)動國有企(qi)業真正成為(wei)獨立市場(chang)主體(ti),夯(hang)實發展壯大國有經濟的(de)微觀基礎(chu)。
一是堅持政(zheng)(zheng)企(qi)分(fen)開、政(zheng)(zheng)資(zi)分(fen)開、所有(you)權(quan)(quan)(quan)和經營權(quan)(quan)(quan)分(fen)離。政(zheng)(zheng)府(fu)部(bu)門(men)依法(fa)(fa)行使公共(gong)管(guan)理(li)職能,從經濟調(diao)節和社會管(guan)理(li)角度進行社會公共(gong)管(guan)理(li)。國有(you)資(zi)產監(jian)管(guan)機構作為政(zheng)(zheng)府(fu)直屬特設機構,根據授權(quan)(quan)(quan)代表本級人民政(zheng)(zheng)府(fu)對監(jian)管(guan)企(qi)業依法(fa)(fa)履行出資(zi)人職責,科學界定國有(you)資(zi)產出資(zi)人監(jian)管(guan)的(de)邊界,專司國有(you)資(zi)產監(jian)管(guan),不干預企(qi)業自(zi)主經營權(quan)(quan)(quan)。國有(you)企(qi)業依法(fa)(fa)享(xiang)有(you)獨(du)立的(de)法(fa)(fa)人財產權(quan)(quan)(quan),依法(fa)(fa)自(zi)主經營、自(zi)負盈虧、自(zi)擔風險、自(zi)我約(yue)束、自(zi)我發展。
二是(shi)推進(jin)國有資(zi)(zi)(zi)(zi)(zi)產監(jian)(jian)管(guan)(guan)(guan)(guan)(guan)機構(gou)職(zhi)(zhi)能(neng)轉變(bian)。該管(guan)(guan)(guan)(guan)(guan)的(de)(de)要科學(xue)管(guan)(guan)(guan)(guan)(guan)理、決不(bu)缺(que)位,重點管(guan)(guan)(guan)(guan)(guan)好(hao)國有資(zi)(zi)(zi)(zi)(zi)本布局、規范資(zi)(zi)(zi)(zi)(zi)本運(yun)作、提高資(zi)(zi)(zi)(zi)(zi)本回(hui)報(bao)、維護資(zi)(zi)(zi)(zi)(zi)本安全。不(bu)該管(guan)(guan)(guan)(guan)(guan)的(de)(de)要依法放權(quan)、決不(bu)越位,將依法應由企業自主經營(ying)(ying)決策的(de)(de)事(shi)項歸(gui)位于企業,將延伸到子(zi)企業的(de)(de)管(guan)(guan)(guan)(guan)(guan)理事(shi)項原則上歸(gui)位于一級(ji)企業,將配合(he)承(cheng)擔的(de)(de)公共管(guan)(guan)(guan)(guan)(guan)理職(zhi)(zhi)能(neng)歸(gui)位于相關(guan)政府(fu)部門和單(dan)位。國有資(zi)(zi)(zi)(zi)(zi)產監(jian)(jian)管(guan)(guan)(guan)(guan)(guan)機構(gou)依法對(dui)國有資(zi)(zi)(zi)(zi)(zi)本投(tou)資(zi)(zi)(zi)(zi)(zi)、運(yun)營(ying)(ying)公司(si)和其他直接監(jian)(jian)管(guan)(guan)(guan)(guan)(guan)的(de)(de)企業履(lv)行出資(zi)(zi)(zi)(zi)(zi)人職(zhi)(zhi)責(ze)。
三是(shi)改進國有(you)(you)資(zi)(zi)產監管(guan)方(fang)式和(he)(he)手(shou)段(duan)。更多運(yun)用(yong)(yong)法治化(hua)、市場化(hua)監管(guan)方(fang)式,改變行政(zheng)化(hua)管(guan)理(li)方(fang)式。針對企業不同(tong)功能(neng)定(ding)位,在戰略規(gui)劃制定(ding)、資(zi)(zi)本運(yun)作模式、人(ren)員選用(yong)(yong)機制、經營業績考核等方(fang)面,實(shi)施更加(jia)精準有(you)(you)效的分(fen)類(lei)監管(guan)。重(zhong)視通(tong)過(guo)公(gong)司(si)(si)(si)治理(li)結構履(lv)行出資(zi)(zi)人(ren)職責,規(gui)范董事(shi)會(hui)運(yun)作,嚴(yan)格選派(pai)股東代(dai)表和(he)(he)董事(shi)、監事(shi)。注重(zhong)管(guan)好公(gong)司(si)(si)(si)章程(cheng),通(tong)過(guo)“一企一策”制定(ding)公(gong)司(si)(si)(si)章程(cheng),將國有(you)(you)資(zi)(zi)產出資(zi)(zi)人(ren)意志有(you)(you)效體現(xian)在公(gong)司(si)(si)(si)章程(cheng)中(zhong)。建立(li)監管(guan)權力清單(dan)和(he)(he)責任清單(dan),加(jia)大運(yun)用(yong)(yong)信息化(hua)手(shou)段(duan)的力度(du),優化(hua)監管(guan)流程(cheng),提高監管(guan)效率,加(jia)強監管(guan)工作協同(tong)。
二、按照以管資本為主的要求優化國有資本布局結構,增強國有經濟整體功能和效率
優化(hua)國(guo)(guo)有(you)(you)(you)資(zi)(zi)本(ben)布局(ju)結構(gou),是提(ti)升國(guo)(guo)有(you)(you)(you)經(jing)濟整體(ti)運行(xing)質量的(de)(de)重要(yao)途徑(jing),也是發揮(hui)國(guo)(guo)有(you)(you)(you)經(jing)濟主(zhu)(zhu)導(dao)(dao)作用、放(fang)(fang)大(da)國(guo)(guo)有(you)(you)(you)資(zi)(zi)本(ben)功(gong)能的(de)(de)必然要(yao)求。隨著國(guo)(guo)有(you)(you)(you)資(zi)(zi)產管理(li)體(ti)制改(gai)革(ge)逐步深(shen)化(hua),國(guo)(guo)有(you)(you)(you)企業(ye)(ye)日益發展(zhan)壯大(da),國(guo)(guo)有(you)(you)(you)資(zi)(zi)本(ben)運行(xing)效率不(bu)(bu)斷提(ti)高(gao),國(guo)(guo)有(you)(you)(you)經(jing)濟布局(ju)和(he)結構(gou)調(diao)整取得積(ji)極(ji)進展(zhan)。國(guo)(guo)有(you)(you)(you)資(zi)(zi)本(ben)逐步向(xiang)大(da)企業(ye)(ye)大(da)集團集中(zhong),向(xiang)重要(yao)行(xing)業(ye)(ye)和(he)關鍵領域集中(zhong),涌現出(chu)(chu)一批具有(you)(you)(you)較強國(guo)(guo)際競(jing)爭力(li)的(de)(de)骨干企業(ye)(ye)。2015年美國(guo)(guo)《財(cai)富》雜志發布的(de)(de)世界500強企業(ye)(ye)名單(dan)中(zhong),我國(guo)(guo)國(guo)(guo)有(you)(you)(you)企業(ye)(ye)達到(dao)83家。但也應當看(kan)到(dao),當前國(guo)(guo)有(you)(you)(you)資(zi)(zi)本(ben)運行(xing)效率有(you)(you)(you)待進一步提(ti)高(gao),國(guo)(guo)有(you)(you)(you)資(zi)(zi)本(ben)布局(ju)結構(gou)仍然存在分布過(guo)寬、戰線(xian)過(guo)長(chang)等突出(chu)(chu)問(wen)題(ti),國(guo)(guo)有(you)(you)(you)資(zi)(zi)本(ben)合理(li)流動的(de)(de)機制尚不(bu)(bu)健(jian)全,制約了國(guo)(guo)有(you)(you)(you)資(zi)(zi)本(ben)功(gong)能作用的(de)(de)有(you)(you)(you)效發揮(hui)。當前,我國(guo)(guo)經(jing)濟發展(zhan)進入新(xin)常(chang)態(tai),國(guo)(guo)有(you)(you)(you)企業(ye)(ye)過(guo)去主(zhu)(zhu)要(yao)憑(ping)(ping)借要(yao)素投(tou)入的(de)(de)快速增長(chang)模(mo)(mo)式不(bu)(bu)可(ke)持(chi)續(xu),憑(ping)(ping)借高(gao)強度大(da)規(gui)模(mo)(mo)投(tou)資(zi)(zi)拉(la)動的(de)(de)模(mo)(mo)式不(bu)(bu)可(ke)持(chi)續(xu),憑(ping)(ping)借低(di)水(shui)平競(jing)爭的(de)(de)粗放(fang)(fang)增長(chang)模(mo)(mo)式不(bu)(bu)可(ke)持(chi)續(xu),迫切需要(yao)通(tong)過(guo)優化(hua)國(guo)(guo)有(you)(you)(you)資(zi)(zi)本(ben)布局(ju)結構(gou),推進國(guo)(guo)有(you)(you)(you)企業(ye)(ye)轉型升級,增強國(guo)(guo)有(you)(you)(you)經(jing)濟的(de)(de)活力(li)、控制力(li)、影響力(li)、抗風險(xian)能力(li)。按照《指導(dao)(dao)意(yi)見》要(yao)求,堅(jian)持(chi)以市場為(wei)導(dao)(dao)向(xiang)、以企業(ye)(ye)為(wei)主(zhu)(zhu)體(ti),有(you)(you)(you)進有(you)(you)(you)退、有(you)(you)(you)所(suo)為(wei)有(you)(you)(you)所(suo)不(bu)(bu)為(wei),優化(hua)國(guo)(guo)有(you)(you)(you)資(zi)(zi)本(ben)布局(ju)結構(gou),為(wei)發展(zhan)壯大(da)國(guo)(guo)有(you)(you)(you)經(jing)濟提(ti)供強有(you)(you)(you)力(li)支(zhi)撐(cheng)。
一是(shi)明確國(guo)(guo)(guo)(guo)有資本(ben)集中(zhong)(zhong)(zhong)的重點方(fang)向。緊緊圍(wei)繞服務(wu)國(guo)(guo)(guo)(guo)家戰(zhan)略(lve),落實國(guo)(guo)(guo)(guo)家產業(ye)政策和(he)重點產業(ye)布局調整總體(ti)要求,優化國(guo)(guo)(guo)(guo)有資本(ben)重點投資方(fang)向和(he)領(ling)域,實現“三個集中(zhong)(zhong)(zhong)”,即推動(dong)國(guo)(guo)(guo)(guo)有資本(ben)向關系國(guo)(guo)(guo)(guo)家安全(quan)、國(guo)(guo)(guo)(guo)民經(jing)濟命脈和(he)國(guo)(guo)(guo)(guo)計民生的重要行業(ye)和(he)關鍵領(ling)域、重點基礎設施集中(zhong)(zhong)(zhong),向前瞻性戰(zhan)略(lve)性產業(ye)集中(zhong)(zhong)(zhong),向具(ju)有核心(xin)競爭力的優勢(shi)企業(ye)集中(zhong)(zhong)(zhong)。
二是(shi)建(jian)立健全國(guo)(guo)有(you)(you)(you)資本(ben)布局和(he)結(jie)構調整機制。制定國(guo)(guo)家(jia)發展規(gui)劃、產(chan)業政(zheng)策(ce)和(he)國(guo)(guo)有(you)(you)(you)資本(ben)收益分配(pei)(pei)管理規(gui)則(ze),建(jian)立健全國(guo)(guo)有(you)(you)(you)資本(ben)進(jin)(jin)退(tui)機制,引(yin)導國(guo)(guo)有(you)(you)(you)資本(ben)優化投資方(fang)向和(he)投資領域。推(tui)進(jin)(jin)經營(ying)性國(guo)(guo)有(you)(you)(you)資產(chan)集中統一監(jian)(jian)管,穩步將黨(dang)政(zheng)機關、事業單位所屬企業的國(guo)(guo)有(you)(you)(you)資本(ben)納(na)入經營(ying)性國(guo)(guo)有(you)(you)(you)資產(chan)集中統一監(jian)(jian)管體(ti)系,為擴大國(guo)(guo)有(you)(you)(you)資本(ben)配(pei)(pei)置范圍、提高(gao)配(pei)(pei)置效率(lv)創造條件。加強(qiang)(qiang)國(guo)(guo)有(you)(you)(you)資產(chan)基礎(chu)管理,統一制度規(gui)范、統一工作體(ti)系,強(qiang)(qiang)化對國(guo)(guo)有(you)(you)(you)資本(ben)布局結(jie)構調整的支撐服務。
三(san)是(shi)運(yun)用市場(chang)化方式推動國(guo)(guo)有(you)(you)資(zi)(zi)(zi)(zi)本合理(li)流(liu)動優(you)化配置(zhi)。充分發揮(hui)國(guo)(guo)有(you)(you)資(zi)(zi)(zi)(zi)本投(tou)資(zi)(zi)(zi)(zi)、運(yun)營公(gong)司的(de)作用,清理(li)退出一(yi)(yi)批、重(zhong)組整合一(yi)(yi)批、創新(xin)發展一(yi)(yi)批國(guo)(guo)有(you)(you)企(qi)業。建(jian)立健全優(you)勝劣汰市場(chang)化退出機制,切實(shi)保障退出企(qi)業依法實(shi)行(xing)關(guan)閉或破(po)產(chan)(chan),加快處(chu)置(zhi)低效(xiao)無效(xiao)資(zi)(zi)(zi)(zi)產(chan)(chan),淘汰落后產(chan)(chan)能。建(jian)立健全國(guo)(guo)有(you)(you)資(zi)(zi)(zi)(zi)本形態轉換(huan)機制,支持企(qi)業依法合規通過證券交易、產(chan)(chan)權交易等資(zi)(zi)(zi)(zi)本市場(chang),以(yi)市場(chang)公(gong)允(yun)價格(ge)處(chu)置(zhi)企(qi)業資(zi)(zi)(zi)(zi)產(chan)(chan),將變現的(de)國(guo)(guo)有(you)(you)資(zi)(zi)(zi)(zi)本用于(yu)更需(xu)要的(de)領域和(he)行(xing)業。支持國(guo)(guo)有(you)(you)企(qi)業開展國(guo)(guo)際(ji)化經(jing)營,鼓勵國(guo)(guo)有(you)(you)企(qi)業之間以(yi)及與其他(ta)所有(you)(you)制企(qi)業以(yi)資(zi)(zi)(zi)(zi)本為紐帶(dai),強(qiang)強(qiang)聯(lian)合、優(you)勢互補,加快培育一(yi)(yi)批具有(you)(you)世界一(yi)(yi)流(liu)水平的(de)跨國(guo)(guo)公(gong)司。
三、按照以管資本為主的要求加強國有資產監督,切實維護國有資產安全
國(guo)(guo)有(you)(you)(you)(you)資(zi)(zi)產(chan)(chan)來(lai)之不易,是全(quan)國(guo)(guo)人(ren)民的(de)共同(tong)財富,是全(quan)面建成小康社會、實現全(quan)體人(ren)民共同(tong)富裕的(de)重(zhong)要(yao)(yao)物質基礎。國(guo)(guo)有(you)(you)(you)(you)企(qi)業(ye)改革(ge)要(yao)(yao)先加強(qiang)(qiang)監(jian)(jian)(jian)管(guan)(guan)、防止國(guo)(guo)有(you)(you)(you)(you)資(zi)(zi)產(chan)(chan)流(liu)失,這一條做不好,國(guo)(guo)有(you)(you)(you)(you)企(qi)業(ye)其他改革(ge)難以取得預期成效。近年來(lai),國(guo)(guo)有(you)(you)(you)(you)資(zi)(zi)產(chan)(chan)監(jian)(jian)(jian)督(du)(du)(du)工(gong)(gong)作(zuo)(zuo)得到(dao)了(le)有(you)(you)(you)(you)力(li)加強(qiang)(qiang),但針對性(xing)、實效性(xing)還需(xu)要(yao)(yao)進(jin)一步增強(qiang)(qiang),既存在(zai)監(jian)(jian)(jian)督(du)(du)(du)不到(dao)位、監(jian)(jian)(jian)督(du)(du)(du)不力(li)等(deng)(deng)問題,也存在(zai)多頭檢(jian)查、重(zhong)復(fu)監(jian)(jian)(jian)督(du)(du)(du)等(deng)(deng)問題,一些(xie)國(guo)(guo)有(you)(you)(you)(you)企(qi)業(ye)也暴露(lu)出管(guan)(guan)理不規范、內(nei)部(bu)人(ren)控制嚴(yan)重(zhong)、企(qi)業(ye)領(ling)導(dao)人(ren)員(yuan)權(quan)力(li)缺乏制約等(deng)(deng)問題。要(yao)(yao)按照《指(zhi)導(dao)意見》部(bu)署,按照以管(guan)(guan)資(zi)(zi)本(ben)為主(zhu)的(de)要(yao)(yao)求加強(qiang)(qiang)國(guo)(guo)有(you)(you)(you)(you)資(zi)(zi)產(chan)(chan)監(jian)(jian)(jian)督(du)(du)(du)工(gong)(gong)作(zuo)(zuo),沿國(guo)(guo)有(you)(you)(you)(you)資(zi)(zi)本(ben)投資(zi)(zi)運營和管(guan)(guan)理的(de)全(quan)鏈條,突(tu)出監(jian)(jian)(jian)督(du)(du)(du)工(gong)(gong)作(zuo)(zuo)重(zhong)點,發揮(hui)企(qi)業(ye)內(nei)部(bu)監(jian)(jian)(jian)督(du)(du)(du)、出資(zi)(zi)人(ren)監(jian)(jian)(jian)督(du)(du)(du)和各監(jian)(jian)(jian)督(du)(du)(du)主(zhu)體的(de)功能作(zuo)(zuo)用,加快(kuai)形成全(quan)面覆蓋、分工(gong)(gong)明確、協同(tong)配(pei)合、制約有(you)(you)(you)(you)力(li)的(de)國(guo)(guo)有(you)(you)(you)(you)資(zi)(zi)產(chan)(chan)監(jian)(jian)(jian)督(du)(du)(du)體系,切實防止國(guo)(guo)有(you)(you)(you)(you)資(zi)(zi)產(chan)(chan)流(liu)失,保(bao)障和促進(jin)國(guo)(guo)有(you)(you)(you)(you)經濟健康發展。
一(yi)是強(qiang)化企(qi)業(ye)內部監(jian)(jian)(jian)督(du)。進一(yi)步(bu)(bu)明確企(qi)業(ye)作為維護國有資(zi)產安(an)全(quan)、防(fang)止流失的(de)責(ze)任主(zhu)體(ti)。完善(shan)企(qi)業(ye)內部監(jian)(jian)(jian)督(du)體(ti)系,建立(li)橫向涵(han)蓋(gai)企(qi)業(ye)各(ge)(ge)治理(li)主(zhu)體(ti)和(he)(he)職能部門(men)、縱向包括各(ge)(ge)子企(qi)業(ye)和(he)(he)業(ye)務板塊的(de)監(jian)(jian)(jian)督(du)工作體(ti)系,形成(cheng)監(jian)(jian)(jian)督(du)合力(li)(li)。突出監(jian)(jian)(jian)督(du)重點,對權力(li)(li)集中、資(zi)金密集、資(zi)源(yuan)富集、資(zi)產聚集的(de)部門(men)和(he)(he)崗(gang)(gang)位加(jia)(jia)強(qiang)監(jian)(jian)(jian)督(du),實(shi)行(xing)分(fen)(fen)事行(xing)權、分(fen)(fen)崗(gang)(gang)設權、分(fen)(fen)級授權,定期輪崗(gang)(gang),防(fang)止權力(li)(li)濫用(yong)。進一(yi)步(bu)(bu)落實(shi)董事會、監(jian)(jian)(jian)事會的(de)監(jian)(jian)(jian)督(du)職責(ze),加(jia)(jia)強(qiang)法律審核(he)把關,實(shi)現依法治企(qi)。加(jia)(jia)強(qiang)職工民(min)主(zhu)監(jian)(jian)(jian)督(du),健全(quan)企(qi)業(ye)民(min)主(zhu)管理(li)制度(du),充分(fen)(fen)保障職工群眾(zhong)對企(qi)業(ye)改革發展的(de)知(zhi)情權、參與權和(he)(he)監(jian)(jian)(jian)督(du)權。
二是完善出資(zi)(zi)(zi)人(ren)監(jian)(jian)(jian)督(du)(du)。堅持出資(zi)(zi)(zi)人(ren)管理和(he)(he)監(jian)(jian)(jian)督(du)(du)的有機(ji)統一(yi),進一(yi)步加強(qiang)出資(zi)(zi)(zi)人(ren)監(jian)(jian)(jian)督(du)(du)。健全國(guo)(guo)(guo)有企(qi)業規(gui)劃投資(zi)(zi)(zi)、改制重組、產(chan)權管理、財務評價、業績考核、選(xuan)人(ren)用人(ren)、薪酬(chou)分配(pei)等規(gui)范國(guo)(guo)(guo)有資(zi)(zi)(zi)本運(yun)作、防止流失的制度(du),加大(da)對國(guo)(guo)(guo)有資(zi)(zi)(zi)產(chan)監(jian)(jian)(jian)管制度(du)執行情況的監(jian)(jian)(jian)督(du)(du)力度(du)。開展(zhan)國(guo)(guo)(guo)有資(zi)(zi)(zi)產(chan)監(jian)(jian)(jian)管機(ji)構向所(suo)出資(zi)(zi)(zi)企(qi)業依法委派(pai)總會計(ji)師試點工作,強(qiang)化出資(zi)(zi)(zi)人(ren)對企(qi)業重大(da)財務事項的監(jian)(jian)(jian)督(du)(du)。加強(qiang)企(qi)業境外(wai)(wai)國(guo)(guo)(guo)有資(zi)(zi)(zi)產(chan)監(jian)(jian)(jian)督(du)(du),確保企(qi)業境外(wai)(wai)國(guo)(guo)(guo)有資(zi)(zi)(zi)產(chan)安(an)全可(ke)控、有效運(yun)營。加強(qiang)和(he)(he)改進外(wai)(wai)派(pai)監(jian)(jian)(jian)事會監(jian)(jian)(jian)督(du)(du),明(ming)確職(zhi)責定位,發揮監(jian)(jian)(jian)事會作為出資(zi)(zi)(zi)人(ren)監(jian)(jian)(jian)督(du)(du)專門(men)力量的作用,加強(qiang)當期和(he)(he)事中監(jian)(jian)(jian)督(du)(du),強(qiang)化監(jian)(jian)(jian)督(du)(du)成果運(yun)用,建立健全核查、移交和(he)(he)整改機(ji)制。
三是加強(qiang)(qiang)與各監(jian)(jian)(jian)督(du)(du)力(li)量的(de)(de)協同配合。大力(li)支持審計(ji)、紀(ji)檢(jian)監(jian)(jian)(jian)察和巡(xun)視等(deng)監(jian)(jian)(jian)督(du)(du)機(ji)構開(kai)展工(gong)作(zuo)。進一步(bu)厘清政府部門公(gong)共審計(ji)、出資人審計(ji)和企(qi)(qi)業(ye)內部審計(ji)之間的(de)(de)職(zhi)責分(fen)工(gong),健(jian)全國(guo)(guo)有(you)資本審計(ji)監(jian)(jian)(jian)督(du)(du)體系和制度(du)。加強(qiang)(qiang)紀(ji)檢(jian)監(jian)(jian)(jian)察監(jian)(jian)(jian)督(du)(du)和巡(xun)視工(gong)作(zuo),強(qiang)(qiang)化對企(qi)(qi)業(ye)領導人員廉潔(jie)從業(ye)、行使權(quan)力(li)等(deng)的(de)(de)監(jian)(jian)(jian)督(du)(du),加大大案要案查處(chu)力(li)度(du)。積極配合建立(li)外部監(jian)(jian)(jian)督(du)(du)協同機(ji)制,整合出資人監(jian)(jian)(jian)管、外派(pai)監(jian)(jian)(jian)事(shi)會(hui)監(jian)(jian)(jian)督(du)(du)與審計(ji)、紀(ji)檢(jian)監(jian)(jian)(jian)察、巡(xun)視等(deng)監(jian)(jian)(jian)督(du)(du)力(li)量,建立(li)監(jian)(jian)(jian)督(du)(du)工(gong)作(zuo)會(hui)商機(ji)制,加強(qiang)(qiang)統(tong)籌,減少重(zhong)復(fu)檢(jian)查,提(ti)高(gao)監(jian)(jian)(jian)督(du)(du)效(xiao)能。加強(qiang)(qiang)社會(hui)監(jian)(jian)(jian)督(du)(du),完善國(guo)(guo)有(you)資產和國(guo)(guo)有(you)企(qi)(qi)業(ye)信息(xi)公(gong)開(kai)制度(du),設(she)立(li)統(tong)一的(de)(de)信息(xi)網絡(luo)平臺(tai),充(chong)分(fen)發揮輿論監(jian)(jian)(jian)督(du)(du)作(zuo)用,有(you)效(xiao)保障社會(hui)公(gong)眾對企(qi)(qi)業(ye)國(guo)(guo)有(you)資產運營的(de)(de)知情權(quan)和監(jian)(jian)(jian)督(du)(du)權(quan)。
四是嚴格(ge)責任(ren)追(zhui)究。加大對國(guo)有(you)企業(ye)違規經營(ying)責任(ren)追(zhui)究力(li)度,建立(li)健(jian)(jian)全國(guo)有(you)企業(ye)重大決策(ce)失職(zhi)、瀆(du)職(zhi)責任(ren)追(zhui)究和倒(dao)查(cha)機制,完善(shan)重大決策(ce)評估、決策(ce)事項履(lv)職(zhi)記(ji)錄、決策(ce)過錯認定標準等(deng)配套制度,嚴厲查(cha)處(chu)侵吞、貪污、輸送、揮霍國(guo)有(you)資(zi)(zi)產和逃廢(fei)金融債務的(de)行為。建立(li)健(jian)(jian)全企業(ye)國(guo)有(you)資(zi)(zi)產的(de)監督(du)問(wen)(wen)責機制,對企業(ye)重大違法違紀(ji)問(wen)(wen)題(ti)敷衍不追(zhui)、隱匿不報、查(cha)處(chu)不力(li)的(de),嚴格(ge)追(zhui)究有(you)關人員失職(zhi)瀆(du)職(zhi)責任(ren),確保監督(du)責任(ren)落到實(shi)處(chu),形成監督(du)工作(zuo)(zuo)閉環,充分體現監督(du)工作(zuo)(zuo)的(de)嚴肅(su)性和權(quan)威性。
以管(guan)資(zi)本(ben)為主(zhu)加(jia)強(qiang)國(guo)(guo)有(you)(you)資(zi)產監管(guan)是深(shen)(shen)化國(guo)(guo)有(you)(you)企業改革的一項重(zhong)(zhong)大(da)(da)任務(wu)。我們要認真貫(guan)徹(che)落實(shi)黨(dang)的十八大(da)(da)和十八屆三中、四中全會(hui)精(jing)(jing)神,深(shen)(shen)入(ru)學習(xi)(xi)貫(guan)徹(che)習(xi)(xi)近(jin)平總書記系列(lie)重(zhong)(zhong)要講話精(jing)(jing)神,自覺(jue)踐(jian)行(xing)“三嚴三實(shi)”要求(qiu),堅決(jue)貫(guan)徹(che)黨(dang)中央、國(guo)(guo)務(wu)院關于深(shen)(shen)化國(guo)(guo)有(you)(you)企業改革的重(zhong)(zhong)大(da)(da)決(jue)策部(bu)署(shu),加(jia)快落實(shi)以管(guan)資(zi)本(ben)為主(zhu)加(jia)強(qiang)國(guo)(guo)有(you)(you)資(zi)產監管(guan),為做(zuo)強(qiang)做(zuo)優做(zuo)大(da)(da)國(guo)(guo)有(you)(you)企業、發展壯大(da)(da)國(guo)(guo)有(you)(you)經濟提(ti)供堅強(qiang)保障。
