加速職能轉變 為國資監管體制改革先行探路

深圳市國(guo)(guo)(guo)資(zi)委堅持以(yi)習近平新(xin)時(shi)代中(zhong)國(guo)(guo)(guo)特(te)色社會(hui)主義思想(xiang)為(wei)(wei)指導,牢牢把握先(xian)行示范區(qu)、粵港澳大灣區(qu)“雙(shuang)區(qu)驅動”和(he)區(qu)域性國(guo)(guo)(guo)資(zi)國(guo)(guo)(guo)企綜合改革試驗“三重戰略機(ji)遇”,立足“國(guo)(guo)(guo)企出(chu)資(zi)人(ren)、國(guo)(guo)(guo)資(zi)監(jian)管(guan)人(ren)、黨建(jian)負責人(ren)”定位,積極轉(zhuan)變機(ji)構職(zhi)能(neng)和(he)履職(zhi)方(fang)式,初步探(tan)索出(chu)一條“以(yi)黨建(jian)為(wei)(wei)引領,優化(hua)出(chu)資(zi)人(ren)監(jian)管(guan)和(he)完善現代國(guo)(guo)(guo)有企業制度雙(shuang)向發力的職(zhi)能(neng)轉(zhuan)變路徑”。

一、堅持市場化、法治化、專業化監管路徑,把準職能轉變總方向

深化國資監管法治機構建設,強化“六位一體”綜合監管。深(shen)圳(zhen)(zhen)國(guo)(guo)(guo)資(zi)委(wei)堅持制(zhi)度先行(xing)、規(gui)則引(yin)領(ling),加快完善國(guo)(guo)(guo)資(zi)改革重(zhong)點(dian)領(ling)域和依(yi)(yi)法(fa)(fa)(fa)監(jian)(jian)(jian)(jian)(jian)管關鍵環節的(de)(de)頂層(ceng)設(she)(she)計,出臺《關于進一步(bu)(bu)加強國(guo)(guo)(guo)資(zi)監(jian)(jian)(jian)(jian)(jian)管法(fa)(fa)(fa)治(zhi)機構(gou)(gou)建(jian)設(she)(she)的(de)(de)實(shi)(shi)施(shi)方案(an)》,聚焦依(yi)(yi)法(fa)(fa)(fa)履(lv)職(zhi)、制(zhi)度體(ti)系(xi)、決策程(cheng)序、權力監(jian)(jian)(jian)(jian)(jian)督(du)(du)(du)、矛盾化解(jie)、文化建(jian)設(she)(she)和保障措施(shi)等多方位(wei)多領(ling)域,落(luo)細落(luo)小落(luo)實(shi)(shi)責(ze)(ze)任分(fen)工,實(shi)(shi)現依(yi)(yi)法(fa)(fa)(fa)履(lv)行(xing)職(zhi)責(ze)(ze)、依(yi)(yi)法(fa)(fa)(fa)建(jian)章(zhang)立制(zhi)、依(yi)(yi)法(fa)(fa)(fa)規(gui)范(fan)決策協(xie)同(tong)并進,推動(dong)建(jian)成(cheng)權責(ze)(ze)法(fa)(fa)(fa)定、職(zhi)能科學、履(lv)職(zhi)規(gui)范(fan)、透明高效的(de)(de)國(guo)(guo)(guo)資(zi)監(jian)(jian)(jian)(jian)(jian)管法(fa)(fa)(fa)治(zhi)機構(gou)(gou)。國(guo)(guo)(guo)資(zi)監(jian)(jian)(jian)(jian)(jian)管制(zhi)度體(ti)系(xi)的(de)(de)“四梁八(ba)柱(zhu)”初步(bu)(bu)成(cheng)型,有效護航改革發展行(xing)穩致遠。扎實(shi)(shi)推進紀檢監(jian)(jian)(jian)(jian)(jian)察體(ti)制(zhi)改革,為全國(guo)(guo)(guo)破(po)解(jie)國(guo)(guo)(guo)企(qi)同(tong)級監(jian)(jian)(jian)(jian)(jian)督(du)(du)(du)難題(ti)提(ti)供(gong)深(shen)圳(zhen)(zhen)經驗。整合黨的(de)(de)監(jian)(jian)(jian)(jian)(jian)督(du)(du)(du)、出資(zi)人監(jian)(jian)(jian)(jian)(jian)督(du)(du)(du)、企(qi)業內部監(jian)(jian)(jian)(jian)(jian)督(du)(du)(du)三方資(zi)源,構(gou)(gou)建(jian)企(qi)業黨委(wei)領(ling)導、紀委(wei)統(tong)籌(chou),紀檢監(jian)(jian)(jian)(jian)(jian)察、監(jian)(jian)(jian)(jian)(jian)事會(hui)、財務總監(jian)(jian)(jian)(jian)(jian)、內審、內控(kong)、風控(kong)協(xie)同(tong)聯動(dong)的(de)(de)“六位(wei)一體(ti)”大監(jian)(jian)(jian)(jian)(jian)督(du)(du)(du)體(ti)系(xi),形成(cheng)“職(zhi)責(ze)(ze)統(tong)一行(xing)使、資(zi)源集中調度、內容全面(mian)覆蓋、成(cheng)果(guo)開放共享”的(de)(de)監(jian)(jian)(jian)(jian)(jian)督(du)(du)(du)閉環。

持續完善國資監管體系,提升“兩類公司”功能。深圳(zhen)國(guo)(guo)(guo)(guo)(guo)(guo)資(zi)(zi)(zi)(zi)(zi)(zi)(zi)(zi)委(wei)重(zhong)點(dian)通過“一張清單(dan)、一個(ge)基(ji)金(jin)、三類(lei)平臺”,構(gou)建深圳(zhen)特色國(guo)(guo)(guo)(guo)(guo)(guo)資(zi)(zi)(zi)(zi)(zi)(zi)(zi)(zi)監管(guan)運營(ying)體制(zhi)(zhi)。“一張清單(dan)”,即(ji)制(zhi)(zhi)定國(guo)(guo)(guo)(guo)(guo)(guo)資(zi)(zi)(zi)(zi)(zi)(zi)(zi)(zi)監管(guan)權(quan)責清單(dan),并根(gen)據形勢發(fa)(fa)展(zhan)和(he)實際(ji)需(xu)求適(shi)時(shi)動態(tai)調整。“一個(ge)基(ji)金(jin)”,即(ji)構(gou)建以國(guo)(guo)(guo)(guo)(guo)(guo)資(zi)(zi)(zi)(zi)(zi)(zi)(zi)(zi)改革(ge)與戰略發(fa)(fa)展(zhan)基(ji)金(jin)為(wei)牽(qian)引的(de)國(guo)(guo)(guo)(guo)(guo)(guo)資(zi)(zi)(zi)(zi)(zi)(zi)(zi)(zi)基(ji)金(jin)群,目前基(ji)金(jin)群規模超4900億(yi)元(yuan),為(wei)管(guan)好資(zi)(zi)(zi)(zi)(zi)(zi)(zi)(zi)本(ben)、推進企(qi)業(ye)改革(ge)發(fa)(fa)展(zhan)提(ti)供了有(you)效(xiao)的(de)工具(ju)手段。“三類(lei)平臺”,即(ji)針對國(guo)(guo)(guo)(guo)(guo)(guo)有(you)資(zi)(zi)(zi)(zi)(zi)(zi)(zi)(zi)本(ben)商業(ye)屬性(xing)、公(gong)(gong)共(gong)服務(wu)屬性(xing)和(he)政府(fu)延伸功(gong)能屬性(xing),打(da)造(zao)(zao)(zao)國(guo)(guo)(guo)(guo)(guo)(guo)有(you)資(zi)(zi)(zi)(zi)(zi)(zi)(zi)(zi)本(ben)投(tou)(tou)資(zi)(zi)(zi)(zi)(zi)(zi)(zi)(zi)、運營(ying)公(gong)(gong)司和(he)公(gong)(gong)益類(lei)、功(gong)能類(lei)平臺,為(wei)從管(guan)企(qi)業(ye)為(wei)主(zhu)向管(guan)資(zi)(zi)(zi)(zi)(zi)(zi)(zi)(zi)本(ben)為(wei)主(zhu)轉變提(ti)供更(geng)加(jia)(jia)有(you)效(xiao)的(de)市(shi)場化手段和(he)運作機制(zhi)(zhi)。2004年組建投(tou)(tou)控公(gong)(gong)司,2007年成立遠(yuan)致公(gong)(gong)司,分別開展(zhan)國(guo)(guo)(guo)(guo)(guo)(guo)有(you)資(zi)(zi)(zi)(zi)(zi)(zi)(zi)(zi)本(ben)投(tou)(tou)資(zi)(zi)(zi)(zi)(zi)(zi)(zi)(zi)、運營(ying)公(gong)(gong)司試點(dian),作為(wei)國(guo)(guo)(guo)(guo)(guo)(guo)資(zi)(zi)(zi)(zi)(zi)(zi)(zi)(zi)委(wei)解決歷史遺(yi)留問題和(he)資(zi)(zi)(zi)(zi)(zi)(zi)(zi)(zi)本(ben)運作的(de)輔(fu)助平臺。2018年,深圳(zhen)市(shi)政府(fu)批準投(tou)(tou)控公(gong)(gong)司對標淡馬錫(xi)打(da)造(zao)(zao)(zao)國(guo)(guo)(guo)(guo)(guo)(guo)際(ji)一流國(guo)(guo)(guo)(guo)(guo)(guo)有(you)資(zi)(zi)(zi)(zi)(zi)(zi)(zi)(zi)本(ben)投(tou)(tou)資(zi)(zi)(zi)(zi)(zi)(zi)(zi)(zi)公(gong)(gong)司實施方(fang)案,加(jia)(jia)快打(da)造(zao)(zao)(zao)深圳(zhen)國(guo)(guo)(guo)(guo)(guo)(guo)企(qi)首家世(shi)界500強。重(zhong)點(dian)強化投(tou)(tou)控公(gong)(gong)司的(de)投(tou)(tou)資(zi)(zi)(zi)(zi)(zi)(zi)(zi)(zi)功(gong)能,將(jiang)(jiang)境內主(zhu)業(ye)不超過凈(jing)資(zi)(zi)(zi)(zi)(zi)(zi)(zi)(zi)產(chan)20%、約400億(yi)元(yuan)的(de)投(tou)(tou)資(zi)(zi)(zi)(zi)(zi)(zi)(zi)(zi)決策(ce)權(quan)授予企(qi)業(ye)。著力(li)提(ti)升遠(yuan)致公(gong)(gong)司的(de)國(guo)(guo)(guo)(guo)(guo)(guo)有(you)資(zi)(zi)(zi)(zi)(zi)(zi)(zi)(zi)本(ben)運作能力(li),將(jiang)(jiang)華(hua)潤深國(guo)(guo)(guo)(guo)(guo)(guo)投(tou)(tou)、中(zhong)國(guo)(guo)(guo)(guo)(guo)(guo)科技(ji)開發(fa)(fa)院等優質股權(quan)整合至遠(yuan)致公(gong)(gong)司,并將(jiang)(jiang)其單(dan)筆股權(quan)投(tou)(tou)資(zi)(zi)(zi)(zi)(zi)(zi)(zi)(zi)決策(ce)權(quan)限提(ti)升至凈(jing)資(zi)(zi)(zi)(zi)(zi)(zi)(zi)(zi)產(chan)的(de)5%、約10億(yi)元(yuan)。

突出“一類一策”,借力智慧管控平臺監管。完成(cheng)全系(xi)統各級企(qi)業的(de)(de)分類工作(zuo),按照行(xing)業規則和(he)市(shi)場(chang)規律,變“一(yi)企(qi)一(yi)策”討價(jia)還價(jia),為(wei)(wei)(wei)(wei)“一(yi)類一(yi)策”標準(zhun)度(du)量,突出監(jian)管的(de)(de)法(fa)治(zhi)化(hua)、規則化(hua)和(he)剛性約(yue)束。商業類企(qi)業實(shi)(shi)行(xing)商業化(hua)運作(zuo),實(shi)(shi)現(xian)優勝劣(lie)汰(tai)、有序(xu)進(jin)退(tui);公(gong)益類、功能類企(qi)業堅持以(yi)社(she)會(hui)效(xiao)益為(wei)(wei)(wei)(wei)本,兼顧經濟效(xiao)益。優先(xian)選擇上市(shi)公(gong)司作(zuo)為(wei)(wei)(wei)(wei)突破口,出臺(tai)專門治(zhi)理(li)辦法(fa),建(jian)(jian)(jian)立以(yi)章程為(wei)(wei)(wei)(wei)準(zhun)則、董事監(jian)事履(lv)職為(wei)(wei)(wei)(wei)抓手、重大事項溝通(tong)為(wei)(wei)(wei)(wei)必備程序(xu)、緊急(ji)情形干預(yu)為(wei)(wei)(wei)(wei)重要保障的(de)(de)“3+1”治(zhi)理(li)體(ti)系(xi),充分保障上市(shi)公(gong)司經營自主權。全面實(shi)(shi)施智慧國(guo)(guo)資(zi)(zi)國(guo)(guo)企(qi)信息(xi)化(hua)三(san)年規劃,組建(jian)(jian)(jian)智慧城市(shi)科技(ji)集團,打破信息(xi)壁壘(lei),打通(tong)信息(xi)孤島,實(shi)(shi)現(xian)數據資(zi)(zi)源共享、業務高度(du)協同(tong)和(he)實(shi)(shi)時(shi)智能監(jian)測(ce)。加快(kuai)建(jian)(jian)(jian)立信息(xi)集成(cheng)、實(shi)(shi)時(shi)在線(xian)、公(gong)開(kai)透明(ming)、協同(tong)高效(xiao)的(de)(de)要素(su)交(jiao)易綜合監(jian)管體(ti)系(xi),包括陽光采(cai)購(gou)、資(zi)(zi)金(jin)(jin)融通(tong)、資(zi)(zi)源性資(zi)(zi)產租賃、國(guo)(guo)有資(zi)(zi)產交(jiao)易、重大資(zi)(zi)源開(kai)發五個(ge)平(ping)臺(tai)。近半年來,陽光采(cai)購(gou)平(ping)臺(tai)完成(cheng)市(shi)屬企(qi)業委托(tuo)項目1488個(ge),節約(yue)資(zi)(zi)金(jin)(jin)16億元;資(zi)(zi)金(jin)(jin)融通(tong)平(ping)臺(tai)成(cheng)交(jiao)金(jin)(jin)額700億元,資(zi)(zi)金(jin)(jin)融通(tong)成(cheng)本較同(tong)期基準(zhun)利(li)率下降44個(ge)基點。

加快簡政放權步伐。2015年以來深圳國(guo)資委(wei)率先(xian)下放(取消)22項事權,抓緊(jin)對標《國(guo)務(wu)院國(guo)資委(wei)授(shou)權放權清(qing)單(dan)(2019年版(ban))》和《國(guo)務(wu)院國(guo)資委(wei)以管資本為主(zhu)推(tui)進職(zhi)能轉(zhuan)變(bian)方案》研究擴大(da)授(shou)權放權的紅(hong)利新空間(jian),推(tui)動(dong)實現國(guo)資委(wei)機(ji)關自我革命(ming),層(ceng)層(ceng)“松綁(bang)”激發(fa)企業(ye)自我發(fa)展活力(li)。在(zai)投(tou)控對標淡馬(ma)錫總體(ti)藍圖(tu)下配套形成(cheng)7個對標專題,努(nu)力(li)在(zai)監管體(ti)制(zhi)、經營機(ji)制(zhi)、風險管控、投(tou)資管理等方面實現系(xi)統性突破,確保國(guo)資監管放權縱向(xiang)到(dao)底、責任層(ceng)層(ceng)落實、動(dong)力(li)持(chi)續釋放。

二、加快完善現代國有企業制度,打通職能轉變“最后一公里”

以法治國企建設為抓手,助力培育具有全球競爭力的一流企業。以出臺《關于進(jin)一步加強(qiang)市屬國(guo)有(you)企(qi)(qi)(qi)(qi)業(ye)(ye)法(fa)治(zhi)(zhi)國(guo)企(qi)(qi)(qi)(qi)建設的(de)(de)實施意見》為(wei)有(you)利契機,助推企(qi)(qi)(qi)(qi)業(ye)(ye)法(fa)治(zhi)(zhi)工(gong)作向更高層次邁進(jin)。圍繞治(zhi)(zhi)理(li)、經營、管(guan)理(li)“三(san)個維度”,以健(jian)全企(qi)(qi)(qi)(qi)業(ye)(ye)法(fa)律管(guan)理(li)組織(zhi)體系為(wei)基礎,以有(you)效化解風險、依法(fa)合規經營為(wei)目標,以提高企(qi)(qi)(qi)(qi)業(ye)(ye)法(fa)律管(guan)理(li)能力為(wei)手段(duan),實現依法(fa)治(zhi)(zhi)理(li)、依法(fa)經營、依法(fa)管(guan)理(li)共同推進(jin),實現改(gai)(gai)革(ge)創新、高質量(liang)發(fa)展與(yu)依法(fa)治(zhi)(zhi)理(li)的(de)(de)有(you)機統(tong)一,為(wei)深(shen)圳打(da)造(zao)國(guo)企(qi)(qi)(qi)(qi)改(gai)(gai)革(ge)發(fa)展高地(di)提供(gong)堅(jian)實法(fa)治(zhi)(zhi)保障。

以資本運作為引擎,強調“實質性混改”,助推市屬國資國企做強做優做大。按(an)照管資(zi)(zi)(zi)本要求(qiu),淡化(hua)(hua)(hua)(hua)資(zi)(zi)(zi)本的區域(yu)、層級和所有制(zhi)屬(shu)性(xing),強化(hua)(hua)(hua)(hua)資(zi)(zi)(zi)本的逐(zhu)利性(xing)、擴(kuo)張性(xing)、流動(dong)(dong)性(xing),推動(dong)(dong)“資(zi)(zi)(zi)源資(zi)(zi)(zi)產(chan)(chan)(chan)化(hua)(hua)(hua)(hua)、資(zi)(zi)(zi)產(chan)(chan)(chan)資(zi)(zi)(zi)本化(hua)(hua)(hua)(hua)、資(zi)(zi)(zi)本證(zheng)券化(hua)(hua)(hua)(hua)”,發揮(hui)資(zi)(zi)(zi)本運作(zuo)乘數效(xiao)應(ying),為產(chan)(chan)(chan)業(ye)集團發展(zhan)插上(shang)“騰(teng)飛翅膀(bang)”。實(shi)施“上(shang)市(shi)公司(si)+”戰略,完成糧(liang)食(shi)與(yu)深深寶資(zi)(zi)(zi)產(chan)(chan)(chan)重(zhong)組,加快推動(dong)(dong)特發服務等3家企業(ye)IPO。深圳市(shi)屬(shu)控股(gu)上(shang)市(shi)公司(si)增至26家,資(zi)(zi)(zi)產(chan)(chan)(chan)證(zheng)券化(hua)(hua)(hua)(hua)率(lv)達58.5%,比年(nian)(nian)(nian)初增加2.5個(ge)百分點(dian)。實(shi)施基(ji)(ji)(ji)(ji)金(jin)群戰略,構建(jian)以國資(zi)(zi)(zi)改(gai)革與(yu)戰略發展(zhan)基(ji)(ji)(ji)(ji)金(jin)為牽引,涵蓋天(tian)使基(ji)(ji)(ji)(ji)金(jin)、創投基(ji)(ji)(ji)(ji)金(jin)、產(chan)(chan)(chan)業(ye)基(ji)(ji)(ji)(ji)金(jin)、并(bing)購基(ji)(ji)(ji)(ji)金(jin)的國資(zi)(zi)(zi)基(ji)(ji)(ji)(ji)金(jin)群,為管好資(zi)(zi)(zi)本、強化(hua)(hua)(hua)(hua)資(zi)(zi)(zi)本運作(zuo)提供市(shi)場化(hua)(hua)(hua)(hua)工具手段(duan)。按(an)照“混(hun)是手段(duan)、改(gai)是目的”和“成熟一家推動(dong)(dong)一家”的原則,實(shi)施混(hun)合所有制(zhi)改(gai)革三年(nian)(nian)(nian)行動(dong)(dong)方案,以混(hun)合所有制(zhi)改(gai)革帶動(dong)(dong)公司(si)治理、選(xuan)人(ren)用人(ren)、激勵(li)約束等內部(bu)機制(zhi)改(gai)革。重(zhong)點(dian)推進(jin)已立項企業(ye)開展(zhan)“實(shi)質性(xing)混(hun)改(gai)”,市(shi)屬(shu)企業(ye)混(hun)合所有制(zhi)比例超過80%。注重(zhong)“因企施策”,開展(zhan)管理層和核心(xin)骨干持股(gu)工作(zuo)。建(jian)立混(hun)改(gai)后評價機制(zhi),及時總結混(hun)改(gai)成效(xiao)。深圳交通中心(xin)、特發服務通過員工持股(gu),3年(nian)(nian)(nian)間(jian)利潤同(tong)比增長455%和475%。

推進董事會建設,提升公司治理水平。董(dong)(dong)(dong)(dong)事(shi)會(hui)(hui)上(shang)承股東會(hui)(hui)、國資監管部(bu)門,下接(jie)經理(li)層選聘(pin)、考核評價(jia),是(shi)實現以(yi)管資本為主(zhu)和企業市場化運營的關鍵層級(ji)。深圳國資委將卓越董(dong)(dong)(dong)(dong)事(shi)會(hui)(hui)建設作為公司(si)治理(li)的核心內容,聘(pin)請馬蔚華、任(ren)克(ke)雷等優(you)秀企業家(jia)擔(dan)任(ren)董(dong)(dong)(dong)(dong)事(shi),組建外(wai)(wai)部(bu)董(dong)(dong)(dong)(dong)事(shi)占多數,內部(bu)董(dong)(dong)(dong)(dong)事(shi)、專職外(wai)(wai)部(bu)董(dong)(dong)(dong)(dong)事(shi)和兼職外(wai)(wai)部(bu)董(dong)(dong)(dong)(dong)事(shi)合理(li)搭配、規模適中、專業互補的董(dong)(dong)(dong)(dong)事(shi)會(hui)(hui),持續優(you)化董(dong)(dong)(dong)(dong)事(shi)會(hui)(hui)結構,提升董(dong)(dong)(dong)(dong)事(shi)會(hui)(hui)決策效能(neng)(neng)。依法(fa)落實董(dong)(dong)(dong)(dong)事(shi)會(hui)(hui)職權,同步加強董(dong)(dong)(dong)(dong)事(shi)會(hui)(hui)向經理(li)層授(shou)權,強化監事(shi)會(hui)(hui)監督效能(neng)(neng),編(bian)制(zhi)公司(si)治理(li)評價(jia)報告。
