兵器工業集團全面加強外部董事履職支撐 促進董事會規范高效運行

中國兵器(qi)(qi)(qi)工(gong)(gong)業(ye)集(ji)團(tuan)有限公(gong)司(以下簡稱(cheng)“兵器(qi)(qi)(qi)工(gong)(gong)業(ye)集(ji)團(tuan)”)自2014年8月組(zu)建(jian)規(gui)范(fan)的(de)董事(shi)(shi)會(hui)以來,充分發(fa)(fa)揮外(wai)部董事(shi)(shi)作(zuo)用(yong),全面(mian)強化(hua)(hua)外(wai)部董事(shi)(shi)履(lv)職支撐(cheng)與服務(wu)保障工(gong)(gong)作(zuo),探索構建(jian)“三匯報、兩調研、一閉環”的(de)工(gong)(gong)作(zuo)機制,促(cu)進董事(shi)(shi)會(hui)規(gui)范(fan)化(hua)(hua)、專業(ye)化(hua)(hua)運行,為兵器(qi)(qi)(qi)工(gong)(gong)業(ye)集(ji)團(tuan)履(lv)行好強軍首責(ze)、推動高質量(liang)發(fa)(fa)展(zhan)提供(gong)了堅強保障。

一、建立“三匯報”機制,做深履職支撐工作。掌握(wo)充(chong)足信息是科學決(jue)策的(de)基礎。為使外(wai)部(bu)(bu)董(dong)(dong)事(shi)(shi)(shi)(shi)(shi)(shi)能夠及時獲(huo)取履職(zhi)所(suo)需的(de)有(you)(you)關(guan)信息,確保董(dong)(dong)事(shi)(shi)(shi)(shi)(shi)(shi)會(hui)(hui)決(jue)策的(de)科學性、有(you)(you)效性,兵器工(gong)(gong)業集(ji)(ji)團(tuan)(tuan)大(da)膽探索、積極實踐(jian),制定《外(wai)部(bu)(bu)董(dong)(dong)事(shi)(shi)(shi)(shi)(shi)(shi)務虛(xu)會(hui)(hui)和(he)匯(hui)(hui)(hui)報(bao)(bao)(bao)(bao)(bao)會(hui)(hui)運(yun)行(xing)(xing)辦(ban)法(試行(xing)(xing))》,建(jian)立“三匯(hui)(hui)(hui)報(bao)(bao)(bao)(bao)(bao)”機制,即預(yu)匯(hui)(hui)(hui)報(bao)(bao)(bao)(bao)(bao)、日(ri)常(chang)匯(hui)(hui)(hui)報(bao)(bao)(bao)(bao)(bao)和(he)重(zhong)(zhong)大(da)事(shi)(shi)(shi)(shi)(shi)(shi)項(xiang)(xiang)(xiang)(xiang)匯(hui)(hui)(hui)報(bao)(bao)(bao)(bao)(bao)。預(yu)匯(hui)(hui)(hui)報(bao)(bao)(bao)(bao)(bao)是指擬提交董(dong)(dong)事(shi)(shi)(shi)(shi)(shi)(shi)會(hui)(hui)審議(yi)(yi)決(jue)策的(de)重(zhong)(zhong)大(da)事(shi)(shi)(shi)(shi)(shi)(shi)項(xiang)(xiang)(xiang)(xiang),均事(shi)(shi)(shi)(shi)(shi)(shi)先(xian)向外(wai)部(bu)(bu)董(dong)(dong)事(shi)(shi)(shi)(shi)(shi)(shi)作預(yu)匯(hui)(hui)(hui)報(bao)(bao)(bao)(bao)(bao),充(chong)分(fen)聽取外(wai)部(bu)(bu)董(dong)(dong)事(shi)(shi)(shi)(shi)(shi)(shi)意見建(jian)議(yi)(yi);日(ri)常(chang)匯(hui)(hui)(hui)報(bao)(bao)(bao)(bao)(bao)主要(yao)以《董(dong)(dong)事(shi)(shi)(shi)(shi)(shi)(shi)月報(bao)(bao)(bao)(bao)(bao)》為載體(ti),按月向外(wai)部(bu)(bu)董(dong)(dong)事(shi)(shi)(shi)(shi)(shi)(shi)報(bao)(bao)(bao)(bao)(bao)告董(dong)(dong)事(shi)(shi)(shi)(shi)(shi)(shi)會(hui)(hui)決(jue)議(yi)(yi)執行(xing)(xing)情(qing)(qing)況(kuang)、董(dong)(dong)事(shi)(shi)(shi)(shi)(shi)(shi)會(hui)(hui)授(shou)權(quan)事(shi)(shi)(shi)(shi)(shi)(shi)項(xiang)(xiang)(xiang)(xiang)執行(xing)(xing)情(qing)(qing)況(kuang)以及集(ji)(ji)團(tuan)(tuan)科研(yan)生(sheng)產、經營管理等(deng)情(qing)(qing)況(kuang);重(zhong)(zhong)大(da)事(shi)(shi)(shi)(shi)(shi)(shi)項(xiang)(xiang)(xiang)(xiang)匯(hui)(hui)(hui)報(bao)(bao)(bao)(bao)(bao)重(zhong)(zhong)點(dian)報(bao)(bao)(bao)(bao)(bao)告關(guan)鍵核心技術攻(gong)關(guan)情(qing)(qing)況(kuang)、重(zhong)(zhong)大(da)改革任(ren)務進(jin)展、突發性重(zhong)(zhong)大(da)事(shi)(shi)(shi)(shi)(shi)(shi)件等(deng)。2020年,兵器工(gong)(gong)業集(ji)(ji)團(tuan)(tuan)先(xian)后召開(kai)外(wai)部(bu)(bu)董(dong)(dong)事(shi)(shi)(shi)(shi)(shi)(shi)會(hui)(hui)議(yi)(yi)5次(ci),預(yu)匯(hui)(hui)(hui)報(bao)(bao)(bao)(bao)(bao)董(dong)(dong)事(shi)(shi)(shi)(shi)(shi)(shi)會(hui)(hui)議(yi)(yi)案(an)25項(xiang)(xiang)(xiang)(xiang),占董(dong)(dong)事(shi)(shi)(shi)(shi)(shi)(shi)會(hui)(hui)審議(yi)(yi)全部(bu)(bu)議(yi)(yi)案(an)92.6%,外(wai)部(bu)(bu)董(dong)(dong)事(shi)(shi)(shi)(shi)(shi)(shi)提出(chu)意見建(jian)議(yi)(yi)100余(yu)條(tiao),均得到采納(na)并有(you)(you)效落實;向外(wai)部(bu)(bu)董(dong)(dong)事(shi)(shi)(shi)(shi)(shi)(shi)報(bao)(bao)(bao)(bao)(bao)送《董(dong)(dong)事(shi)(shi)(shi)(shi)(shi)(shi)月報(bao)(bao)(bao)(bao)(bao)》12期(qi),累(lei)計報(bao)(bao)(bao)(bao)(bao)送各類信息近500條(tiao);外(wai)部(bu)(bu)董(dong)(dong)事(shi)(shi)(shi)(shi)(shi)(shi)專(zhuan)題聽取“十(shi)四五”規劃(hua)、重(zhong)(zhong)點(dian)任(ren)務推(tui)進(jin)情(qing)(qing)況(kuang)、經濟運(yun)行(xing)(xing)情(qing)(qing)況(kuang)等(deng)匯(hui)(hui)(hui)報(bao)(bao)(bao)(bao)(bao)共11項(xiang)(xiang)(xiang)(xiang)。

二、完善“兩調研”機制,做細履職支撐工作。經(jing)常性深(shen)入(ru)基層開(kai)展(zhan)(zhan)調(diao)(diao)查研(yan)(yan)(yan)(yan)(yan)究是外部(bu)(bu)董事(shi)(shi)全面了(le)(le)(le)解集(ji)團(tuan)公司科研(yan)(yan)(yan)(yan)(yan)生產經(jing)營管理(li)情(qing)況(kuang)(kuang)、深(shen)刻理(li)解行業(ye)發(fa)(fa)展(zhan)(zhan)最有(you)效的手段。兵(bing)器工(gong)業(ye)集(ji)團(tuan)堅持定(ding)期調(diao)(diao)研(yan)(yan)(yan)(yan)(yan)與專(zhuan)題調(diao)(diao)研(yan)(yan)(yan)(yan)(yan)相(xiang)結合(he),體(ti)系(xi)化統籌、標準(zhun)化執行,不(bu)斷完善“兩調(diao)(diao)研(yan)(yan)(yan)(yan)(yan)”機制(zhi),有(you)力支撐了(le)(le)(le)外部(bu)(bu)董事(shi)(shi)履(lv)職(zhi)。統籌安排(pai)定(ding)期調(diao)(diao)研(yan)(yan)(yan)(yan)(yan),盡快(kuai)做到(dao)全覆蓋(gai)。綜(zong)合(he)外部(bu)(bu)董事(shi)(shi)任職(zhi)時間等(deng)情(qing)況(kuang)(kuang),科學合(he)理(li)制(zhi)定(ding)年(nian)度調(diao)(diao)研(yan)(yan)(yan)(yan)(yan)計劃,力爭用最短(duan)的時間做到(dao)二(er)級(ji)單(dan)(dan)(dan)位(wei)(wei)(wei)調(diao)(diao)研(yan)(yan)(yan)(yan)(yan)全覆蓋(gai)、重點三級(ji)單(dan)(dan)(dan)位(wei)(wei)(wei)基本覆蓋(gai),盡快(kuai)全面了(le)(le)(le)解掌(zhang)握(wo)兵(bing)器工(gong)業(ye)集(ji)團(tuan)總(zong)體(ti)情(qing)況(kuang)(kuang)。每(mei)年(nian)至少開(kai)展(zhan)(zhan)3次京(jing)外調(diao)(diao)研(yan)(yan)(yan)(yan)(yan)、1次境外調(diao)(diao)研(yan)(yan)(yan)(yan)(yan),并(bing)結合(he)現場董事(shi)(shi)會統籌開(kai)展(zhan)(zhan)京(jing)內調(diao)(diao)研(yan)(yan)(yan)(yan)(yan)。近三年(nian),外部(bu)(bu)董事(shi)(shi)年(nian)均調(diao)(diao)研(yan)(yan)(yan)(yan)(yan)不(bu)低(di)于30天,調(diao)(diao)研(yan)(yan)(yan)(yan)(yan)二(er)級(ji)成員單(dan)(dan)(dan)位(wei)(wei)(wei)不(bu)少于10家(jia)(jia),任職(zhi)3年(nian)以上(shang)的外部(bu)(bu)董事(shi)(shi)調(diao)(diao)研(yan)(yan)(yan)(yan)(yan)范圍基本覆蓋(gai)主(zhu)責(ze)主(zhu)業(ye)和重點單(dan)(dan)(dan)位(wei)(wei)(wei)。注重結合(he)重大(da)(da)事(shi)(shi)項,及時開(kai)展(zhan)(zhan)專(zhuan)題調(diao)(diao)研(yan)(yan)(yan)(yan)(yan)。圍繞兵(bing)器工(gong)業(ye)集(ji)團(tuan)年(nian)度重點工(gong)作任務、重大(da)(da)投資事(shi)(shi)項等(deng)開(kai)展(zhan)(zhan)專(zhuan)題調(diao)(diao)研(yan)(yan)(yan)(yan)(yan),推(tui)動有(you)關工(gong)作高(gao)質量(liang)落實落地。2020年(nian),外部(bu)(bu)董事(shi)(shi)圍繞“十四(si)五”規(gui)劃,用時17天、深(shen)入(ru)10余家(jia)(jia)二(er)級(ji)成員單(dan)(dan)(dan)位(wei)(wei)(wei),開(kai)展(zhan)(zhan)了(le)(le)(le)裝備研(yan)(yan)(yan)(yan)(yan)發(fa)(fa)生產保障、民品高(gao)質量(liang)發(fa)(fa)展(zhan)(zhan)、軍民融(rong)合(he)、國際化經(jing)營等(deng)專(zhuan)題調(diao)(diao)研(yan)(yan)(yan)(yan)(yan),為編制(zhi)“十四(si)五”規(gui)劃提出了(le)(le)(le)大(da)(da)量(liang)有(you)價(jia)值的意見(jian)和建(jian)議。

三、構建“一閉環”機制,做實履職支撐工作。閉環(huan)管理是推動工作落(luo)(luo)實(shi)(shi)(shi)的有(you)效手段(duan)。為確(que)保外(wai)(wai)部(bu)(bu)(bu)(bu)董(dong)(dong)事(shi)意見(jian)建(jian)議(yi)(yi)能夠得到有(you)效落(luo)(luo)實(shi)(shi)(shi),兵(bing)器工業集團(tuan)按照閉環(huan)管理的邏輯,構建(jian)了外(wai)(wai)部(bu)(bu)(bu)(bu)董(dong)(dong)事(shi)意見(jian)建(jian)議(yi)(yi)“報(bao)告(gao)—落(luo)(luo)實(shi)(shi)(shi)—再報(bao)告(gao)”的閉環(huan)報(bao)告(gao)機制(zhi)。“報(bao)告(gao)”是指(zhi)對外(wai)(wai)部(bu)(bu)(bu)(bu)董(dong)(dong)事(shi)在(zai)調研、聽取匯(hui)報(bao)過程中提(ti)出的意見(jian)建(jian)議(yi)(yi),董(dong)(dong)事(shi)會(hui)辦公室(shi)及時整理,形(xing)成專(zhuan)題報(bao)告(gao),向主要領導報(bao)告(gao);“落(luo)(luo)實(shi)(shi)(shi)”是指(zhi)將外(wai)(wai)部(bu)(bu)(bu)(bu)董(dong)(dong)事(shi)的意見(jian)建(jian)議(yi)(yi)逐條分解、拉條掛(gua)賬,明(ming)確(que)責任部(bu)(bu)(bu)(bu)門、完(wan)成時限,并納入(ru)督辦進行考核;“再報(bao)告(gao)”是指(zhi)外(wai)(wai)部(bu)(bu)(bu)(bu)董(dong)(dong)事(shi)意見(jian)建(jian)議(yi)(yi)落(luo)(luo)實(shi)(shi)(shi)情(qing)況(kuang)定(ding)期向外(wai)(wai)部(bu)(bu)(bu)(bu)董(dong)(dong)事(shi)再報(bao)告(gao),進一步聽取意見(jian)建(jian)議(yi)(yi)。2020年(nian),兵(bing)器工業集團(tuan)先(xian)后整理報(bao)送8份(fen)關于外(wai)(wai)部(bu)(bu)(bu)(bu)董(dong)(dong)事(shi)調研、專(zhuan)題會(hui)議(yi)(yi)的報(bao)告(gao),匯(hui)總(zong)(zong)整理外(wai)(wai)部(bu)(bu)(bu)(bu)董(dong)(dong)事(shi)意見(jian)建(jian)議(yi)(yi)80余條,總(zong)(zong)部(bu)(bu)(bu)(bu)相關部(bu)(bu)(bu)(bu)門和(he)成員(yuan)單位制(zhi)定(ding)落(luo)(luo)實(shi)(shi)(shi)措施100余條。在(zai)此基礎(chu)上,向外(wai)(wai)部(bu)(bu)(bu)(bu)董(dong)(dong)事(shi)報(bao)送4份(fen)落(luo)(luo)實(shi)(shi)(shi)情(qing)況(kuang)的報(bao)告(gao),對外(wai)(wai)部(bu)(bu)(bu)(bu)董(dong)(dong)事(shi)提(ti)出的意見(jian)建(jian)議(yi)(yi),基本做到了“件(jian)件(jian)有(you)回聲、事(shi)事(shi)有(you)落(luo)(luo)實(shi)(shi)(shi)”。
