國藥:以“三個堅持”為抓手扎實推進董事會建設和規范運作

國(guo)企改革三年行(xing)(xing)動(dong)實施以來,國(guo)藥集團以習近平新時代中國(guo)特色社會(hui)主義思想為指(zhi)導,認真貫徹落實黨(dang)中央、國(guo)務(wu)院決(jue)策部署,系統謀(mou)劃(hua)、精心組織、上下聯動(dong)、狠抓實效(xiao),將三年行(xing)(xing)動(dong)與集團發展(zhan)規劃(hua)深入融合。三年來,改革重點任務(wu)實現破(po)局闖(chuang)關,重點領域取得標志性成果,改革紅利不斷(duan)釋放,高(gao)質量發展(zhan)取得積(ji)極成效(xiao)。

堅持點面結合 搭建完善的董事會運作體系

國藥集團貫徹落(luo)實“兩(liang)個一(yi)以貫之(zhi)”要求(qiu),加快構建中國特色現代(dai)企(qi)業制度,不斷推進董事會與其他治理主體(ti)規(gui)范(fan)運作、同向發力。

著(zhu)力完善“三重一(yi)(yi)大(da)”決(jue)策體系。積(ji)極探索加強黨(dang)的(de)(de)領導與完善公(gong)司治(zhi)理(li)(li)相統(tong)一(yi)(yi)的(de)(de)有(you)(you)效途徑,系統(tong)梳理(li)(li)不同(tong)治(zhi)理(li)(li)主體間權責(ze)關系,明確界定黨(dang)委、董事會和(he)經理(li)(li)層(ceng)的(de)(de)功能(neng)定位,并(bing)結合實際研(yan)究(jiu)制定“三重一(yi)(yi)大(da)”決(jue)策事項清單,細化黨(dang)委前置研(yan)究(jiu)與董事會、經理(li)(li)層(ceng)決(jue)策的(de)(de)有(you)(you)序銜接,進一(yi)(yi)步理(li)(li)順決(jue)策流(liu)程,逐步形成了黨(dang)委、董事會、經理(li)(li)層(ceng)權責(ze)法定、權責(ze)透明、協調運轉、有(you)(you)效制衡的(de)(de)法人治(zhi)理(li)(li)結構。

著力健(jian)全(quan)完善(shan)董事(shi)(shi)(shi)(shi)會(hui)(hui)(hui)制(zhi)度(du)體(ti)(ti)系。對標對表國務(wu)院國資委出臺的(de)一系列政策法規(gui)(gui),加強頂層設計,建立健(jian)全(quan)保(bao)障董事(shi)(shi)(shi)(shi)會(hui)(hui)(hui)規(gui)(gui)范高效運行的(de)“1+M+N”制(zhi)度(du)體(ti)(ti)系。“1”即《公司章程》,是國藥集團(tuan)各治理(li)主(zhu)體(ti)(ti)運作(zuo)的(de)根(gen)本法則;“M”包括《股(gu)東會(hui)(hui)(hui)議事(shi)(shi)(shi)(shi)規(gui)(gui)則》《董事(shi)(shi)(shi)(shi)會(hui)(hui)(hui)議事(shi)(shi)(shi)(shi)規(gui)(gui)則》《董事(shi)(shi)(shi)(shi)會(hui)(hui)(hui)專業委員(yuan)會(hui)(hui)(hui)工作(zuo)規(gui)(gui)則》《總經理(li)辦(ban)(ban)公室議事(shi)(shi)(shi)(shi)規(gui)(gui)則》,突出董事(shi)(shi)(shi)(shi)會(hui)(hui)(hui)的(de)經營決策主(zhu)體(ti)(ti)定位;“N”包括《董事(shi)(shi)(shi)(shi)會(hui)(hui)(hui)授權管(guan)理(li)辦(ban)(ban)法》《董事(shi)(shi)(shi)(shi)會(hui)(hui)(hui)提案管(guan)理(li)辦(ban)(ban)法》《董事(shi)(shi)(shi)(shi)會(hui)(hui)(hui)決議事(shi)(shi)(shi)(shi)項督辦(ban)(ban)制(zhi)度(du)》以及涉及董事(shi)(shi)(shi)(shi)會(hui)(hui)(hui)職權的(de)戰略(lve)管(guan)理(li)、風險管(guan)理(li)、債(zhai)務(wu)管(guan)理(li)、投資管(guan)理(li)等制(zhi)度(du)。各項制(zhi)度(du)相互(hu)銜(xian)接(jie)、相互(hu)對應,從不同維(wei)度(du)和層面為董事(shi)(shi)(shi)(shi)會(hui)(hui)(hui)履(lv)職行權提供(gong)了制(zhi)度(du)保(bao)障。

著(zhu)力推(tui)進(jin)董(dong)(dong)事(shi)(shi)會(hui)(hui)(hui)決(jue)策(ce)閉環管(guan)理。規范(fan)會(hui)(hui)(hui)議(yi)(yi)(yi)安(an)(an)排,每年制定(ding)發布董(dong)(dong)事(shi)(shi)會(hui)(hui)(hui)年度會(hui)(hui)(hui)議(yi)(yi)(yi)計劃(hua),將董(dong)(dong)事(shi)(shi)會(hui)(hui)(hui)固定(ding)審(shen)(shen)議(yi)(yi)(yi)事(shi)(shi)項細化(hua)明確到具體月份(fen),一體聯動,做(zuo)好(hao)相關(guan)前置決(jue)策(ce)程序安(an)(an)排,除緊急(ji)事(shi)(shi)項和特殊情(qing)況外,減少召開臨時(shi)會(hui)(hui)(hui)議(yi)(yi)(yi)或避免傳簽審(shen)(shen)議(yi)(yi)(yi)重大投資(zi)事(shi)(shi)項。規范(fan)提(ti)案(an)管(guan)理,董(dong)(dong)事(shi)(shi)會(hui)(hui)(hui)決(jue)策(ce)事(shi)(shi)項嚴格(ge)按照有關(guan)規定(ding),履行黨委前置研究(jiu)程序和法律審(shen)(shen)核(he)程序,相關(guan)前置審(shen)(shen)核(he)意(yi)見如實(shi)(shi)向董(dong)(dong)事(shi)(shi)會(hui)(hui)(hui)報告(gao);圍繞董(dong)(dong)事(shi)(shi)會(hui)(hui)(hui)關(guan)注點(dian)和審(shen)(shen)議(yi)(yi)(yi)點(dian),不斷強(qiang)化(hua)董(dong)(dong)事(shi)(shi)會(hui)(hui)(hui)提(ti)案(an)內(nei)容和形式審(shen)(shen)查,保障(zhang)科學決(jue)策(ce)。規范(fan)決(jue)議(yi)(yi)(yi)督(du)辦,建立董(dong)(dong)事(shi)(shi)會(hui)(hui)(hui)決(jue)議(yi)(yi)(yi)執行情(qing)況臺(tai)賬(zhang),定(ding)期跟蹤(zong)直至決(jue)議(yi)(yi)(yi)事(shi)(shi)項完結或中止。董(dong)(dong)事(shi)(shi)會(hui)(hui)(hui)每半(ban)年集(ji)中聽(ting)取(qu)決(jue)議(yi)(yi)(yi)事(shi)(shi)項執行情(qing)況,對實(shi)(shi)施中存在的(de)問題及(ji)時(shi)提(ti)出整改要求,強(qiang)化(hua)督(du)導落實(shi)(shi)。

堅持內外融合 增強外部董事履職保障能力

國(guo)藥集團作為股權(quan)多元化中央企業,董事會成(cheng)員中,6名外(wai)部(bu)董事代表(biao)了三方(fang)股東(dong)意志。集團高度重視外(wai)部(bu)董事履(lv)職支撐保障(zhang)(zhang),通過探索建立(li)一(yi)系列工(gong)作機制,保障(zhang)(zhang)外(wai)部(bu)董事履(lv)職盡責,從(cong)而有效發揮(hui)各(ge)方(fang)優勢,確保各(ge)方(fang)股東(dong)權(quan)益。

認真(zhen)做好(hao)外部(bu)(bu)(bu)董(dong)(dong)(dong)事(shi)(shi)(shi)調(diao)研(yan)(yan)工(gong)作。圍繞集(ji)(ji)團發展(zhan)(zhan)戰略實施、重(zhong)大決(jue)策(ce)執行落實等重(zhong)點(dian),科學(xue)合理(li)制定董(dong)(dong)(dong)事(shi)(shi)(shi)會(hui)年度調(diao)研(yan)(yan)計(ji)劃,每年組織3-5次跨(kua)區域、跨(kua)業(ye)(ye)(ye)態的(de)(de)集(ji)(ji)中式(shi)調(diao)研(yan)(yan),確保(bao)外部(bu)(bu)(bu)董(dong)(dong)(dong)事(shi)(shi)(shi)能夠全面掌握(wo)國藥(yao)集(ji)(ji)團下屬企業(ye)(ye)(ye)落實集(ji)(ji)團重(zhong)大決(jue)策(ce)和工(gong)作部(bu)(bu)(bu)署情況以及(ji)深入了解基(ji)層企業(ye)(ye)(ye)生產經(jing)營現(xian)(xian)狀;同時,根據外部(bu)(bu)(bu)董(dong)(dong)(dong)事(shi)(shi)(shi)專業(ye)(ye)(ye)背景(jing)、關(guan)注領域及(ji)個人(ren)意(yi)愿,或(huo)結(jie)合外部(bu)(bu)(bu)董(dong)(dong)(dong)事(shi)(shi)(shi)在董(dong)(dong)(dong)事(shi)(shi)(shi)會(hui)上提出(chu)的(de)(de)意(yi)見,有(you)(you)針對(dui)性(xing)地開展(zhan)(zhan)專題(ti)性(xing)調(diao)研(yan)(yan),加深對(dui)行業(ye)(ye)(ye)和企業(ye)(ye)(ye)的(de)(de)認知,基(ji)本上實現(xian)(xian)外部(bu)(bu)(bu)董(dong)(dong)(dong)事(shi)(shi)(shi)任職三年內調(diao)研(yan)(yan)范圍覆蓋主責主業(ye)(ye)(ye)和重(zhong)點(dian)企業(ye)(ye)(ye)。對(dui)調(diao)研(yan)(yan)中外部(bu)(bu)(bu)董(dong)(dong)(dong)事(shi)(shi)(shi)提出(chu)的(de)(de)意(yi)見建(jian)議,通過編制調(diao)研(yan)(yan)報告向(xiang)經(jing)理(li)層反饋,經(jing)理(li)層高度重(zhong)視,組織有(you)(you)關(guan)單位迅速落實,有(you)(you)力(li)增強了董(dong)(dong)(dong)事(shi)(shi)(shi)會(hui)權威性(xing)和有(you)(you)效性(xing)。

認(ren)真做好(hao)信(xin)息支(zhi)撐服(fu)務(wu)(wu)(wu)工(gong)作。為使(shi)外(wai)部董(dong)(dong)事(shi)能夠及時獲取履職所需的(de)(de)有關信(xin)息,確(que)保董(dong)(dong)事(shi)會(hui)決(jue)策(ce)(ce)的(de)(de)科學(xue)性、有效(xiao)性,集(ji)團重視加強對外(wai)部董(dong)(dong)事(shi)的(de)(de)決(jue)策(ce)(ce)信(xin)息支(zhi)持力度(du),提(ti)供專(zhuan)門的(de)(de)辦公(gong)場所,定(ding)期整理上(shang)級單位的(de)(de)監管(guan)文件、領導講話、重要(yao)會(hui)議和指示批(pi)示精神,安(an)排外(wai)部董(dong)(dong)事(shi)閱(yue)讀學(xue)習。積極拓(tuo)展企業(ye)信(xin)息渠道(dao),集(ji)各(ge)業(ye)務(wu)(wu)(wu)部門之力,向外(wai)部董(dong)(dong)事(shi)定(ding)期報送財務(wu)(wu)(wu)分析(xi)報告(gao)(gao)、風險運(yun)營分析(xi)報告(gao)(gao)、內審工(gong)作報告(gao)(gao)、法治建(jian)設報告(gao)(gao)等資料,便于外(wai)部董(dong)(dong)事(shi)及時掌握企業(ye)工(gong)作動(dong)態、財務(wu)(wu)(wu)數據、各(ge)板塊經營情(qing)況、改革發(fa)展等信(xin)息,提(ti)高內外(wai)部董(dong)(dong)事(shi)決(jue)策(ce)(ce)信(xin)息對稱性,保障董(dong)(dong)事(shi)會(hui)科學(xue)決(jue)策(ce)(ce)。

認真做好重大事(shi)(shi)(shi)項(xiang)溝通報(bao)(bao)告。董(dong)(dong)(dong)(dong)事(shi)(shi)(shi)長高度重視與外(wai)部(bu)(bu)董(dong)(dong)(dong)(dong)事(shi)(shi)(shi)的(de)溝通交流(liu),每次召(zhao)開董(dong)(dong)(dong)(dong)事(shi)(shi)(shi)會定(ding)期會議時,向(xiang)外(wai)部(bu)(bu)董(dong)(dong)(dong)(dong)事(shi)(shi)(shi)介(jie)紹近期改革發(fa)展(zhan)、經(jing)營管(guan)(guan)理、重點工作進展(zhan)等情(qing)(qing)況,聽取(qu)外(wai)部(bu)(bu)董(dong)(dong)(dong)(dong)事(shi)(shi)(shi)意見(jian)建議。經(jing)營班(ban)子在(zai)日常工作中(zhong)主動(dong)向(xiang)外(wai)部(bu)(bu)董(dong)(dong)(dong)(dong)事(shi)(shi)(shi)報(bao)(bao)告分管(guan)(guan)領域(yu)工作情(qing)(qing)況,共同探討企(qi)業(ye)改革發(fa)展(zhan)重大事(shi)(shi)(shi)項(xiang),凝聚推動(dong)企(qi)業(ye)發(fa)展(zhan)合力。注(zhu)重決(jue)(jue)(jue)策的(de)科學性,決(jue)(jue)(jue)策重大經(jing)營管(guan)(guan)理事(shi)(shi)(shi)項(xiang)前,董(dong)(dong)(dong)(dong)事(shi)(shi)(shi)長或董(dong)(dong)(dong)(dong)事(shi)(shi)(shi)會秘書(shu)組織相關單位向(xiang)外(wai)部(bu)(bu)董(dong)(dong)(dong)(dong)事(shi)(shi)(shi)分別介(jie)紹情(qing)(qing)況,充分交流(liu)意見(jian)和看法,形成初步共識后(hou)再上(shang)會決(jue)(jue)(jue)策;積(ji)極營造(zao)民主務(wu)實的(de)董(dong)(dong)(dong)(dong)事(shi)(shi)(shi)會文化,支持外(wai)部(bu)(bu)董(dong)(dong)(dong)(dong)事(shi)(shi)(shi)充分發(fa)表(biao)意見(jian)、獨立判斷,對于外(wai)部(bu)(bu)董(dong)(dong)(dong)(dong)事(shi)(shi)(shi)提出意見(jian)較(jiao)多的(de)事(shi)(shi)(shi)項(xiang),內部(bu)(bu)董(dong)(dong)(dong)(dong)事(shi)(shi)(shi)積(ji)極聽取(qu)采納(na),并(bing)將有關意見(jian)作為(wei)決(jue)(jue)(jue)議執行的(de)必要條件(jian),確保決(jue)(jue)(jue)策實效。

堅持上下貫通 推動子公司董事會規范運作

國藥集團始(shi)終把(ba)子(zi)公(gong)司(si)董(dong)事會(hui)建設(she)作為完善治理(li)(li)結構、提(ti)升(sheng)治理(li)(li)能力的重要環節和(he)抓(zhua)手,持續推動子(zi)公(gong)司(si)加強董(dong)事會(hui)建設(she),落實(shi)子(zi)公(gong)司(si)董(dong)事會(hui)職(zhi)權,優化子(zi)公(gong)司(si)董(dong)事會(hui)運(yun)作機(ji)制,努(nu)力打造(zao)具(ju)有國藥特色的母(mu)子(zi)公(gong)司(si)治理(li)(li)體系。

以提升(sheng)決策(ce)效(xiao)率(lv)為目標,有(you)(you)序(xu)開展董(dong)事(shi)(shi)會(hui)(hui)授(shou)權工作。規(gui)(gui)范(fan)董(dong)事(shi)(shi)會(hui)(hui)授(shou)權管理,在堅持依(yi)法合規(gui)(gui)、權責對等、科學適度、風(feng)險可控的(de)(de)原則下,逐步加大(da)對二(er)級公司(si)(si)董(dong)事(shi)(shi)會(hui)(hui)的(de)(de)授(shou)權力度;并(bing)根據各公司(si)(si)經營管理狀(zhuang)況(kuang)、資(zi)產負債規(gui)(gui)模與資(zi)產質量、業務負荷(he)程(cheng)度、風(feng)險控制能力等,實(shi)施(shi)差異化(hua)授(shou)權。同時,強化(hua)授(shou)權后(hou)的(de)(de)監督管理,定期對二(er)級公司(si)(si)董(dong)事(shi)(shi)會(hui)(hui)決策(ce)的(de)(de)規(gui)(gui)范(fan)性(xing)、有(you)(you)效(xiao)性(xing)進行檢查(cha)和評估(gu),綜合考慮治理水平、行權效(xiao)果等情況(kuang),動態調(diao)整對二(er)級公司(si)(si)的(de)(de)授(shou)權事(shi)(shi)項清(qing)單,有(you)(you)效(xiao)提升(sheng)二(er)級公司(si)(si)董(dong)事(shi)(shi)會(hui)(hui)決策(ce)質量和效(xiao)率(lv)。

以提升管(guan)控水平為根本,扎實推(tui)進董(dong)(dong)(dong)事(shi)(shi)(shi)會(hui)(hui)(hui)應(ying)建(jian)(jian)(jian)(jian)盡建(jian)(jian)(jian)(jian)。根據(ju)(ju)國(guo)(guo)務院國(guo)(guo)資委關于中(zhong)央企(qi)(qi)業(ye)加強(qiang)子企(qi)(qi)業(ye)董(dong)(dong)(dong)事(shi)(shi)(shi)會(hui)(hui)(hui)建(jian)(jian)(jian)(jian)設的(de)有關要求,結合企(qi)(qi)業(ye)實際,印發《加強(qiang)子公(gong)司(si)董(dong)(dong)(dong)事(shi)(shi)(shi)會(hui)(hui)(hui)建(jian)(jian)(jian)(jian)設工作(zuo)方案》,明確(que)各(ge)級企(qi)(qi)業(ye)董(dong)(dong)(dong)事(shi)(shi)(shi)會(hui)(hui)(hui)應(ying)建(jian)(jian)(jian)(jian)盡建(jian)(jian)(jian)(jian)的(de)原則和范圍(wei)(wei),經過系(xi)統性(xing)排查和梳理,形(xing)成《集(ji)團所屬應(ying)建(jian)(jian)(jian)(jian)董(dong)(dong)(dong)事(shi)(shi)(shi)會(hui)(hui)(hui)企(qi)(qi)業(ye)清(qing)單》,通過建(jian)(jian)(jian)(jian)立工作(zuo)臺賬(zhang),定期核實數(shu)據(ju)(ju)、逐項銷號,大(da)力推(tui)進各(ge)級企(qi)(qi)業(ye)董(dong)(dong)(dong)事(shi)(shi)(shi)會(hui)(hui)(hui)應(ying)建(jian)(jian)(jian)(jian)盡建(jian)(jian)(jian)(jian)。截至2021年底(di),納(na)入應(ying)建(jian)(jian)(jian)(jian)范圍(wei)(wei)的(de)195戶(hu)子企(qi)(qi)業(ye)已全部建(jian)(jian)(jian)(jian)立董(dong)(dong)(dong)事(shi)(shi)(shi)會(hui)(hui)(hui)。同時,配(pei)套開展配(pei)齊(qi)建(jian)(jian)(jian)(jian)強(qiang)工作(zuo),積極拓寬外(wai)部董(dong)(dong)(dong)事(shi)(shi)(shi)來源(yuan)渠(qu)道,在全系(xi)統大(da)力實施外(wai)部董(dong)(dong)(dong)事(shi)(shi)(shi)制(zhi)度,1戶(hu)二級公(gong)司(si)修訂公(gong)司(si)章(zhang)程,增補一名外(wai)部董(dong)(dong)(dong)事(shi)(shi)(shi)到位(wei);1戶(hu)二級公(gong)司(si)結合所處行業(ye)特點,引進一名行業(ye)經驗豐富(fu)的(de)外(wai)部董(dong)(dong)(dong)事(shi)(shi)(shi)到位(wei)。截至2021年底(di),集(ji)團應(ying)建(jian)(jian)(jian)(jian)盡建(jian)(jian)(jian)(jian)企(qi)(qi)業(ye)已全部實現董(dong)(dong)(dong)事(shi)(shi)(shi)會(hui)(hui)(hui)外(wai)部董(dong)(dong)(dong)事(shi)(shi)(shi)占多數(shu)。

以(yi)提升治理(li)(li)效(xiao)能為(wei)重點,深化(hua)落(luo)實子(zi)(zi)公(gong)司(si)董(dong)(dong)事(shi)(shi)(shi)會(hui)(hui)職(zhi)權(quan)(quan)(quan)。國藥集團作為(wei)首(shou)批中(zhong)央企(qi)業集團層面(mian)開展(zhan)(zhan)落(luo)實董(dong)(dong)事(shi)(shi)(shi)會(hui)(hui)職(zhi)權(quan)(quan)(quan)試(shi)點單(dan)位,不(bu)斷總結工(gong)(gong)作成效(xiao)和(he)(he)經驗,進一(yi)步將規范董(dong)(dong)事(shi)(shi)(shi)會(hui)(hui)建設的有關(guan)要求和(he)(he)內涵向下延(yan)伸,在(zai)10戶二級子(zi)(zi)公(gong)司(si)和(he)(he)4戶上(shang)(shang)市公(gong)司(si)中(zhong)分批分次差(cha)異化(hua)開展(zhan)(zhan)落(luo)實子(zi)(zi)公(gong)司(si)董(dong)(dong)事(shi)(shi)(shi)會(hui)(hui)職(zhi)權(quan)(quan)(quan)工(gong)(gong)作。10戶二級子(zi)(zi)公(gong)司(si)圍繞落(luo)實董(dong)(dong)事(shi)(shi)(shi)會(hui)(hui)六項職(zhi)權(quan)(quan)(quan),研究制(zhi)定本(ben)企(qi)業落(luo)實董(dong)(dong)事(shi)(shi)(shi)會(hui)(hui)職(zhi)權(quan)(quan)(quan)實施(shi)方案(an),細化(hua)工(gong)(gong)作目標、工(gong)(gong)作措施(shi),強(qiang)化(hua)組織(zhi)實施(shi),并加快修訂公(gong)司(si)章程、董(dong)(dong)事(shi)(shi)(shi)會(hui)(hui)議事(shi)(shi)(shi)規則、經理(li)(li)層考(kao)核(he)與薪酬管(guan)理(li)(li)辦法等基本(ben)制(zhi)度;同時,進一(yi)步指導所屬上(shang)(shang)市公(gong)司(si)結合開展(zhan)(zhan)經理(li)(li)層任期制(zhi)和(he)(he)契約(yue)化(hua)管(guan)理(li)(li)工(gong)(gong)作,制(zhi)訂實施(shi)落(luo)實董(dong)(dong)事(shi)(shi)(shi)會(hui)(hui)三項管(guan)理(li)(li)職(zhi)權(quan)(quan)(quan)的實施(shi)方案(an)。通過開展(zhan)(zhan)落(luo)實董(dong)(dong)事(shi)(shi)(shi)會(hui)(hui)職(zhi)權(quan)(quan)(quan)工(gong)(gong)作,進一(yi)步增強(qiang)子(zi)(zi)公(gong)司(si)董(dong)(dong)事(shi)(shi)(shi)會(hui)(hui)行權(quan)(quan)(quan)履職(zhi)能力(li),提升董(dong)(dong)事(shi)(shi)(shi)會(hui)(hui)規范運作水平,有效(xiao)提高子(zi)(zi)公(gong)司(si)的改革發展(zhan)(zhan)活力(li)和(he)(he)效(xiao)率。
