國藥:以“三個堅持”為抓手扎實推進董事會建設和規范運作

國(guo)企改(gai)(gai)革(ge)三年(nian)行(xing)動(dong)(dong)實施以(yi)來,國(guo)藥集(ji)團以(yi)習近(jin)平新時代中國(guo)特色社會主(zhu)義思想(xiang)為指(zhi)導(dao),認真(zhen)貫徹落實黨中央、國(guo)務(wu)院(yuan)決策部(bu)署(shu),系統謀劃(hua)、精心組織、上(shang)下(xia)聯動(dong)(dong)、狠抓(zhua)實效(xiao),將三年(nian)行(xing)動(dong)(dong)與集(ji)團發展(zhan)規劃(hua)深入融合(he)。三年(nian)來,改(gai)(gai)革(ge)重點任務(wu)實現破局闖(chuang)關,重點領域取(qu)得(de)標(biao)志(zhi)性成果,改(gai)(gai)革(ge)紅利不斷釋放,高質(zhi)量發展(zhan)取(qu)得(de)積極成效(xiao)。

堅持點面結合 搭建完善的董事會運作體系

國藥集團(tuan)貫徹落實“兩(liang)個(ge)一以(yi)貫之”要求,加快(kuai)構建中國特色現代企(qi)業制度(du),不斷推進董事會與(yu)其他治理(li)主體規范運作(zuo)、同(tong)向發力。

著(zhu)力(li)完善(shan)“三重一大”決(jue)策(ce)體系(xi)(xi)。積極探索加強(qiang)黨(dang)的(de)(de)領導(dao)與完善(shan)公司治理(li)相統(tong)一的(de)(de)有(you)效途徑,系(xi)(xi)統(tong)梳理(li)不同治理(li)主體間權(quan)(quan)(quan)責關(guan)系(xi)(xi),明確界定(ding)黨(dang)委、董事(shi)會和經(jing)理(li)層的(de)(de)功能定(ding)位,并結合實際研(yan)究制定(ding)“三重一大”決(jue)策(ce)事(shi)項清單,細化黨(dang)委前置研(yan)究與董事(shi)會、經(jing)理(li)層決(jue)策(ce)的(de)(de)有(you)序(xu)銜接,進一步理(li)順決(jue)策(ce)流程,逐步形(xing)成了黨(dang)委、董事(shi)會、經(jing)理(li)層權(quan)(quan)(quan)責法(fa)定(ding)、權(quan)(quan)(quan)責透明、協(xie)調運轉、有(you)效制衡的(de)(de)法(fa)人治理(li)結構(gou)。

著力健全完(wan)善董(dong)(dong)事(shi)會制(zhi)度(du)體系(xi)。對標對表國(guo)務院國(guo)資委出(chu)臺(tai)的(de)(de)(de)一系(xi)列政策法(fa)規(gui)(gui),加強頂(ding)層(ceng)設計,建立健全保(bao)障董(dong)(dong)事(shi)會規(gui)(gui)范(fan)高(gao)效運(yun)行的(de)(de)(de)“1+M+N”制(zhi)度(du)體系(xi)。“1”即《公司章程》,是國(guo)藥集團各(ge)治理(li)主(zhu)體運(yun)作(zuo)的(de)(de)(de)根本法(fa)則;“M”包(bao)括(kuo)《股東會議(yi)(yi)事(shi)規(gui)(gui)則》《董(dong)(dong)事(shi)會議(yi)(yi)事(shi)規(gui)(gui)則》《董(dong)(dong)事(shi)會專業委員會工作(zuo)規(gui)(gui)則》《總經理(li)辦(ban)公室議(yi)(yi)事(shi)規(gui)(gui)則》,突出(chu)董(dong)(dong)事(shi)會的(de)(de)(de)經營決策主(zhu)體定位;“N”包(bao)括(kuo)《董(dong)(dong)事(shi)會授權管(guan)理(li)辦(ban)法(fa)》《董(dong)(dong)事(shi)會提案(an)管(guan)理(li)辦(ban)法(fa)》《董(dong)(dong)事(shi)會決議(yi)(yi)事(shi)項督辦(ban)制(zhi)度(du)》以及涉及董(dong)(dong)事(shi)會職權的(de)(de)(de)戰略管(guan)理(li)、風險(xian)管(guan)理(li)、債務管(guan)理(li)、投資管(guan)理(li)等制(zhi)度(du)。各(ge)項制(zhi)度(du)相(xiang)互銜接(jie)、相(xiang)互對應(ying),從不(bu)同(tong)維(wei)度(du)和(he)層(ceng)面為董(dong)(dong)事(shi)會履職行權提供了制(zhi)度(du)保(bao)障。

著力推進(jin)董(dong)(dong)(dong)事(shi)(shi)(shi)會(hui)(hui)決(jue)(jue)(jue)策(ce)閉(bi)環管(guan)理(li)。規(gui)范會(hui)(hui)議(yi)(yi)安(an)排(pai),每年制定發布董(dong)(dong)(dong)事(shi)(shi)(shi)會(hui)(hui)年度會(hui)(hui)議(yi)(yi)計劃,將董(dong)(dong)(dong)事(shi)(shi)(shi)會(hui)(hui)固定審(shen)(shen)議(yi)(yi)事(shi)(shi)(shi)項(xiang)細化明確(que)到(dao)具體(ti)月份,一(yi)體(ti)聯動,做好相關(guan)(guan)前(qian)置(zhi)決(jue)(jue)(jue)策(ce)程(cheng)序(xu)安(an)排(pai),除緊急事(shi)(shi)(shi)項(xiang)和(he)(he)(he)特殊情(qing)況外,減少召開臨時(shi)(shi)會(hui)(hui)議(yi)(yi)或避免傳(chuan)簽審(shen)(shen)議(yi)(yi)重大投資事(shi)(shi)(shi)項(xiang)。規(gui)范提案管(guan)理(li),董(dong)(dong)(dong)事(shi)(shi)(shi)會(hui)(hui)決(jue)(jue)(jue)策(ce)事(shi)(shi)(shi)項(xiang)嚴格按(an)照有關(guan)(guan)規(gui)定,履行(xing)黨(dang)委前(qian)置(zhi)研究程(cheng)序(xu)和(he)(he)(he)法律審(shen)(shen)核程(cheng)序(xu),相關(guan)(guan)前(qian)置(zhi)審(shen)(shen)核意見如實(shi)向董(dong)(dong)(dong)事(shi)(shi)(shi)會(hui)(hui)報告;圍繞(rao)董(dong)(dong)(dong)事(shi)(shi)(shi)會(hui)(hui)關(guan)(guan)注點和(he)(he)(he)審(shen)(shen)議(yi)(yi)點,不(bu)斷(duan)強(qiang)化董(dong)(dong)(dong)事(shi)(shi)(shi)會(hui)(hui)提案內容(rong)和(he)(he)(he)形式審(shen)(shen)查,保(bao)障科(ke)學決(jue)(jue)(jue)策(ce)。規(gui)范決(jue)(jue)(jue)議(yi)(yi)督辦,建立董(dong)(dong)(dong)事(shi)(shi)(shi)會(hui)(hui)決(jue)(jue)(jue)議(yi)(yi)執(zhi)行(xing)情(qing)況臺賬,定期跟蹤(zong)直至決(jue)(jue)(jue)議(yi)(yi)事(shi)(shi)(shi)項(xiang)完結(jie)或中(zhong)止。董(dong)(dong)(dong)事(shi)(shi)(shi)會(hui)(hui)每半年集中(zhong)聽取決(jue)(jue)(jue)議(yi)(yi)事(shi)(shi)(shi)項(xiang)執(zhi)行(xing)情(qing)況,對實(shi)施(shi)中(zhong)存在的問(wen)題及(ji)時(shi)(shi)提出(chu)整改要求(qiu),強(qiang)化督導落實(shi)。

堅持內外融合 增強外部董事履職保障能力

國藥集(ji)團(tuan)作(zuo)為股權(quan)多元化中(zhong)央企業,董(dong)事會成員中(zhong),6名外(wai)部董(dong)事代(dai)表了三(san)方股東(dong)(dong)意志。集(ji)團(tuan)高度重視外(wai)部董(dong)事履(lv)職支撐保(bao)(bao)障,通過探索(suo)建立一系列工作(zuo)機(ji)制,保(bao)(bao)障外(wai)部董(dong)事履(lv)職盡責,從(cong)而有(you)效發(fa)揮(hui)各(ge)方優勢,確保(bao)(bao)各(ge)方股東(dong)(dong)權(quan)益。

認真做好外(wai)(wai)(wai)(wai)部(bu)董(dong)事(shi)(shi)(shi)調(diao)研(yan)工作(zuo)。圍(wei)繞集(ji)團發展(zhan)戰(zhan)略(lve)實(shi)(shi)施、重(zhong)大(da)決(jue)策(ce)執行(xing)落實(shi)(shi)等重(zhong)點(dian),科學(xue)合理(li)制定董(dong)事(shi)(shi)(shi)會(hui)年度調(diao)研(yan)計劃,每年組織(zhi)(zhi)3-5次跨(kua)區域(yu)、跨(kua)業(ye)(ye)態的集(ji)中式調(diao)研(yan),確保外(wai)(wai)(wai)(wai)部(bu)董(dong)事(shi)(shi)(shi)能夠全面掌握國藥集(ji)團下屬企(qi)業(ye)(ye)落實(shi)(shi)集(ji)團重(zhong)大(da)決(jue)策(ce)和(he)工作(zuo)部(bu)署情況以(yi)及(ji)深入了解(jie)基(ji)層企(qi)業(ye)(ye)生產經營現(xian)狀;同時,根據外(wai)(wai)(wai)(wai)部(bu)董(dong)事(shi)(shi)(shi)專業(ye)(ye)背景、關(guan)(guan)注(zhu)領(ling)域(yu)及(ji)個人意愿,或(huo)結合外(wai)(wai)(wai)(wai)部(bu)董(dong)事(shi)(shi)(shi)在(zai)董(dong)事(shi)(shi)(shi)會(hui)上提出的意見,有(you)針對(dui)性(xing)地開(kai)展(zhan)專題(ti)性(xing)調(diao)研(yan),加深對(dui)行(xing)業(ye)(ye)和(he)企(qi)業(ye)(ye)的認知,基(ji)本上實(shi)(shi)現(xian)外(wai)(wai)(wai)(wai)部(bu)董(dong)事(shi)(shi)(shi)任職三年內調(diao)研(yan)范圍(wei)覆(fu)蓋主責主業(ye)(ye)和(he)重(zhong)點(dian)企(qi)業(ye)(ye)。對(dui)調(diao)研(yan)中外(wai)(wai)(wai)(wai)部(bu)董(dong)事(shi)(shi)(shi)提出的意見建議,通過編(bian)制調(diao)研(yan)報告(gao)向經理(li)層反饋(kui),經理(li)層高度重(zhong)視,組織(zhi)(zhi)有(you)關(guan)(guan)單位(wei)迅速(su)落實(shi)(shi),有(you)力增強(qiang)了董(dong)事(shi)(shi)(shi)會(hui)權威(wei)性(xing)和(he)有(you)效性(xing)。

認(ren)真(zhen)做(zuo)好信息(xi)(xi)支(zhi)(zhi)撐服務(wu)(wu)工(gong)(gong)(gong)作(zuo)。為使外(wai)(wai)部(bu)(bu)董事(shi)能夠及(ji)時(shi)獲取履職所(suo)需的(de)有(you)關信息(xi)(xi),確(que)保董事(shi)會決(jue)(jue)(jue)策(ce)的(de)科(ke)學(xue)性(xing)(xing)、有(you)效性(xing)(xing),集(ji)團(tuan)重視(shi)加(jia)強(qiang)對(dui)外(wai)(wai)部(bu)(bu)董事(shi)的(de)決(jue)(jue)(jue)策(ce)信息(xi)(xi)支(zhi)(zhi)持(chi)力度(du),提(ti)供(gong)專門(men)的(de)辦公場所(suo),定(ding)期整理上級單位的(de)監管(guan)文件、領導講話、重要會議和指(zhi)示批示精神,安排外(wai)(wai)部(bu)(bu)董事(shi)閱讀學(xue)習。積極拓(tuo)展企業信息(xi)(xi)渠道,集(ji)各業務(wu)(wu)部(bu)(bu)門(men)之力,向外(wai)(wai)部(bu)(bu)董事(shi)定(ding)期報送財務(wu)(wu)分析報告、風(feng)險運營分析報告、內(nei)審工(gong)(gong)(gong)作(zuo)報告、法治建設(she)報告等(deng)資料,便于外(wai)(wai)部(bu)(bu)董事(shi)及(ji)時(shi)掌握企業工(gong)(gong)(gong)作(zuo)動態(tai)、財務(wu)(wu)數據(ju)、各板塊經營情況、改革發展等(deng)信息(xi)(xi),提(ti)高內(nei)外(wai)(wai)部(bu)(bu)董事(shi)決(jue)(jue)(jue)策(ce)信息(xi)(xi)對(dui)稱性(xing)(xing),保障(zhang)董事(shi)會科(ke)學(xue)決(jue)(jue)(jue)策(ce)。

認真(zhen)做(zuo)好(hao)重(zhong)大(da)事(shi)(shi)(shi)項(xiang)溝通(tong)報告。董(dong)(dong)事(shi)(shi)(shi)長(chang)高度重(zhong)視與外(wai)(wai)部(bu)董(dong)(dong)事(shi)(shi)(shi)的(de)(de)溝通(tong)交(jiao)流(liu),每次召開董(dong)(dong)事(shi)(shi)(shi)會(hui)定期(qi)會(hui)議(yi)時(shi),向外(wai)(wai)部(bu)董(dong)(dong)事(shi)(shi)(shi)介紹近(jin)期(qi)改革發展(zhan)、經營(ying)管(guan)理、重(zhong)點工(gong)作(zuo)進(jin)展(zhan)等(deng)情(qing)況(kuang),聽(ting)(ting)取外(wai)(wai)部(bu)董(dong)(dong)事(shi)(shi)(shi)意見建議(yi)。經營(ying)班(ban)子在日(ri)常(chang)工(gong)作(zuo)中(zhong)主動向外(wai)(wai)部(bu)董(dong)(dong)事(shi)(shi)(shi)報告分(fen)(fen)管(guan)領(ling)域工(gong)作(zuo)情(qing)況(kuang),共同(tong)探討企業(ye)改革發展(zhan)重(zhong)大(da)事(shi)(shi)(shi)項(xiang),凝聚(ju)推動企業(ye)發展(zhan)合力。注(zhu)重(zhong)決(jue)策的(de)(de)科學(xue)性(xing),決(jue)策重(zhong)大(da)經營(ying)管(guan)理事(shi)(shi)(shi)項(xiang)前,董(dong)(dong)事(shi)(shi)(shi)長(chang)或董(dong)(dong)事(shi)(shi)(shi)會(hui)秘(mi)書組織相關(guan)(guan)單(dan)位向外(wai)(wai)部(bu)董(dong)(dong)事(shi)(shi)(shi)分(fen)(fen)別介紹情(qing)況(kuang),充(chong)分(fen)(fen)交(jiao)流(liu)意見和(he)看法,形(xing)成初步共識(shi)后再上會(hui)決(jue)策;積(ji)極營(ying)造民主務(wu)實的(de)(de)董(dong)(dong)事(shi)(shi)(shi)會(hui)文化,支持外(wai)(wai)部(bu)董(dong)(dong)事(shi)(shi)(shi)充(chong)分(fen)(fen)發表意見、獨立(li)判斷(duan),對于外(wai)(wai)部(bu)董(dong)(dong)事(shi)(shi)(shi)提出意見較多的(de)(de)事(shi)(shi)(shi)項(xiang),內(nei)部(bu)董(dong)(dong)事(shi)(shi)(shi)積(ji)極聽(ting)(ting)取采納,并將有(you)關(guan)(guan)意見作(zuo)為決(jue)議(yi)執行的(de)(de)必要條件,確保決(jue)策實效。

堅持上下貫通 推動子公司董事會規范運作

國藥集團始終把子(zi)公司(si)董事(shi)會(hui)建(jian)設作(zuo)為完(wan)善治理結構(gou)、提升治理能力的重(zhong)要環(huan)節和抓手,持續(xu)推動子(zi)公司(si)加強董事(shi)會(hui)建(jian)設,落實子(zi)公司(si)董事(shi)會(hui)職權,優化子(zi)公司(si)董事(shi)會(hui)運(yun)作(zuo)機制,努力打造具有國藥特色的母子(zi)公司(si)治理體(ti)系(xi)。

以(yi)提升決策效率為目標,有序開展董事會(hui)(hui)授權(quan)(quan)工作。規(gui)(gui)范(fan)董事會(hui)(hui)授權(quan)(quan)管(guan)理(li),在堅持依法合規(gui)(gui)、權(quan)(quan)責對等(deng)、科學適(shi)度(du)(du)、風(feng)(feng)險(xian)可控(kong)的(de)(de)(de)原則下,逐步加大對二級(ji)(ji)公司(si)(si)董事會(hui)(hui)的(de)(de)(de)授權(quan)(quan)力(li)度(du)(du);并根(gen)據各公司(si)(si)經(jing)營(ying)管(guan)理(li)狀(zhuang)況、資(zi)產(chan)負(fu)債規(gui)(gui)模與資(zi)產(chan)質(zhi)量、業務負(fu)荷程(cheng)度(du)(du)、風(feng)(feng)險(xian)控(kong)制能力(li)等(deng),實施差異化(hua)授權(quan)(quan)。同時,強化(hua)授權(quan)(quan)后(hou)的(de)(de)(de)監(jian)督(du)管(guan)理(li),定期對二級(ji)(ji)公司(si)(si)董事會(hui)(hui)決策的(de)(de)(de)規(gui)(gui)范(fan)性(xing)、有效性(xing)進(jin)行檢查和評估,綜合考慮(lv)治理(li)水平、行權(quan)(quan)效果等(deng)情況,動態(tai)調整(zheng)對二級(ji)(ji)公司(si)(si)的(de)(de)(de)授權(quan)(quan)事項清單,有效提升二級(ji)(ji)公司(si)(si)董事會(hui)(hui)決策質(zhi)量和效率。

以提升管控水平為根本,扎(zha)實(shi)推(tui)進董(dong)(dong)事(shi)(shi)會(hui)(hui)應(ying)建(jian)(jian)盡建(jian)(jian)。根據國務院國資委(wei)關于中央企(qi)業(ye)加強子(zi)企(qi)業(ye)董(dong)(dong)事(shi)(shi)會(hui)(hui)建(jian)(jian)設的有關要(yao)求,結(jie)(jie)合(he)企(qi)業(ye)實(shi)際,印發《加強子(zi)公(gong)(gong)司(si)董(dong)(dong)事(shi)(shi)會(hui)(hui)建(jian)(jian)設工(gong)作(zuo)方(fang)案》,明(ming)確(que)各(ge)級企(qi)業(ye)董(dong)(dong)事(shi)(shi)會(hui)(hui)應(ying)建(jian)(jian)盡建(jian)(jian)的原(yuan)則(ze)和范(fan)圍(wei),經過系(xi)統性(xing)排查和梳理,形(xing)成《集(ji)團所(suo)屬應(ying)建(jian)(jian)董(dong)(dong)事(shi)(shi)會(hui)(hui)企(qi)業(ye)清單》,通過建(jian)(jian)立工(gong)作(zuo)臺賬(zhang),定期核實(shi)數據、逐項銷(xiao)號(hao),大力推(tui)進各(ge)級企(qi)業(ye)董(dong)(dong)事(shi)(shi)會(hui)(hui)應(ying)建(jian)(jian)盡建(jian)(jian)。截至2021年底(di),納入應(ying)建(jian)(jian)范(fan)圍(wei)的195戶子(zi)企(qi)業(ye)已全部(bu)建(jian)(jian)立董(dong)(dong)事(shi)(shi)會(hui)(hui)。同時,配(pei)套開展配(pei)齊建(jian)(jian)強工(gong)作(zuo),積(ji)極拓寬外(wai)部(bu)董(dong)(dong)事(shi)(shi)來源渠道(dao),在全系(xi)統大力實(shi)施外(wai)部(bu)董(dong)(dong)事(shi)(shi)制度(du),1戶二級公(gong)(gong)司(si)修訂公(gong)(gong)司(si)章(zhang)程,增補(bu)一(yi)名外(wai)部(bu)董(dong)(dong)事(shi)(shi)到位(wei);1戶二級公(gong)(gong)司(si)結(jie)(jie)合(he)所(suo)處行業(ye)特點,引(yin)進一(yi)名行業(ye)經驗豐富的外(wai)部(bu)董(dong)(dong)事(shi)(shi)到位(wei)。截至2021年底(di),集(ji)團應(ying)建(jian)(jian)盡建(jian)(jian)企(qi)業(ye)已全部(bu)實(shi)現董(dong)(dong)事(shi)(shi)會(hui)(hui)外(wai)部(bu)董(dong)(dong)事(shi)(shi)占(zhan)多(duo)數。

以提(ti)(ti)升治理效(xiao)(xiao)能為(wei)重(zhong)點(dian),深化落(luo)實(shi)(shi)(shi)子(zi)公(gong)(gong)司(si)(si)董(dong)(dong)(dong)事(shi)(shi)(shi)(shi)會(hui)職(zhi)權(quan)(quan)(quan)(quan)。國(guo)藥集團(tuan)作(zuo)(zuo)為(wei)首批中(zhong)央企業集團(tuan)層面開(kai)展落(luo)實(shi)(shi)(shi)董(dong)(dong)(dong)事(shi)(shi)(shi)(shi)會(hui)職(zhi)權(quan)(quan)(quan)(quan)試點(dian)單位,不斷總結工作(zuo)(zuo)成效(xiao)(xiao)和(he)經(jing)驗,進(jin)一步(bu)將規(gui)(gui)范(fan)董(dong)(dong)(dong)事(shi)(shi)(shi)(shi)會(hui)建設的(de)有(you)關要求和(he)內涵(han)向下延(yan)伸(shen),在10戶(hu)(hu)二(er)(er)級子(zi)公(gong)(gong)司(si)(si)和(he)4戶(hu)(hu)上市(shi)公(gong)(gong)司(si)(si)中(zhong)分批分次差異化開(kai)展落(luo)實(shi)(shi)(shi)子(zi)公(gong)(gong)司(si)(si)董(dong)(dong)(dong)事(shi)(shi)(shi)(shi)會(hui)職(zhi)權(quan)(quan)(quan)(quan)工作(zuo)(zuo)。10戶(hu)(hu)二(er)(er)級子(zi)公(gong)(gong)司(si)(si)圍繞落(luo)實(shi)(shi)(shi)董(dong)(dong)(dong)事(shi)(shi)(shi)(shi)會(hui)六項職(zhi)權(quan)(quan)(quan)(quan),研究制定本企業落(luo)實(shi)(shi)(shi)董(dong)(dong)(dong)事(shi)(shi)(shi)(shi)會(hui)職(zhi)權(quan)(quan)(quan)(quan)實(shi)(shi)(shi)施方案,細化工作(zuo)(zuo)目(mu)標(biao)、工作(zuo)(zuo)措施,強化組織(zhi)實(shi)(shi)(shi)施,并加快修訂(ding)公(gong)(gong)司(si)(si)章(zhang)程、董(dong)(dong)(dong)事(shi)(shi)(shi)(shi)會(hui)議事(shi)(shi)(shi)(shi)規(gui)(gui)則、經(jing)理層考核與(yu)薪酬管理辦法(fa)等基本制度;同(tong)時,進(jin)一步(bu)指導所(suo)屬上市(shi)公(gong)(gong)司(si)(si)結合開(kai)展經(jing)理層任期制和(he)契約化管理工作(zuo)(zuo),制訂(ding)實(shi)(shi)(shi)施落(luo)實(shi)(shi)(shi)董(dong)(dong)(dong)事(shi)(shi)(shi)(shi)會(hui)三項管理職(zhi)權(quan)(quan)(quan)(quan)的(de)實(shi)(shi)(shi)施方案。通過(guo)開(kai)展落(luo)實(shi)(shi)(shi)董(dong)(dong)(dong)事(shi)(shi)(shi)(shi)會(hui)職(zhi)權(quan)(quan)(quan)(quan)工作(zuo)(zuo),進(jin)一步(bu)增強子(zi)公(gong)(gong)司(si)(si)董(dong)(dong)(dong)事(shi)(shi)(shi)(shi)會(hui)行(xing)權(quan)(quan)(quan)(quan)履職(zhi)能力,提(ti)(ti)升董(dong)(dong)(dong)事(shi)(shi)(shi)(shi)會(hui)規(gui)(gui)范(fan)運作(zuo)(zuo)水平,有(you)效(xiao)(xiao)提(ti)(ti)高子(zi)公(gong)(gong)司(si)(si)的(de)改革發展活力和(he)效(xiao)(xiao)率。

在國(guo)(guo)務院國(guo)(guo)資(zi)委(wei)的指導(dao)和(he)(he)(he)(he)幫(bang)助(zhu)(zhu)下,國(guo)(guo)藥(yao)集團(tuan)公(gong)司治理(li)和(he)(he)(he)(he)董(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)會(hui)(hui)建(jian)設(she)工(gong)(gong)作(zuo)取得了(le)積(ji)極進展(zhan)和(he)(he)(he)(he)明顯成效(xiao):一是(shi)董(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)會(hui)(hui)制(zhi)度體(ti)系不斷健(jian)全,經(jing)過(guo)十(shi)幾年的董(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)會(hui)(hui)建(jian)設(she)實踐,形成了(le)完備成熟(shu)的董(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)會(hui)(hui)制(zhi)度和(he)(he)(he)(he)運作(zuo)體(ti)系,使(shi)董(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)會(hui)(hui)與其他治理(li)主體(ti)權(quan)(quan)責邊界清(qing)(qing)晰,有(you)(you)助(zhu)(zhu)于分(fen)清(qing)(qing)職(zhi)責、提(ti)高(gao)效(xiao)率、提(ti)升管理(li)能力(li),使(shi)董(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)會(hui)(hui)的運轉有(you)(you)章可(ke)循,強化(hua)董(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)會(hui)(hui)經(jing)營決(jue)(jue)策(ce)(ce)(ce)主體(ti)作(zuo)用。二是(shi)決(jue)(jue)策(ce)(ce)(ce)水(shui)(shui)平有(you)(you)效(xiao)提(ti)高(gao),通過(guo)在全級(ji)(ji)次企(qi)業開展(zhan)董(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)會(hui)(hui)應建(jian)盡建(jian)和(he)(he)(he)(he)外(wai)部董(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)占多數(shu)制(zhi)度,實現(xian)(xian)了(le)企(qi)業的決(jue)(jue)策(ce)(ce)(ce)權(quan)(quan)與執行權(quan)(quan)分(fen)開,不斷做實各級(ji)(ji)企(qi)業董(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)會(hui)(hui),使(shi)派出董(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)可(ke)以根據股東的要求和(he)(he)(he)(he)自己(ji)的判斷科學(xue)審慎行使(shi)表決(jue)(jue)權(quan)(quan),獨立客觀地發表意見,決(jue)(jue)策(ce)(ce)(ce)過(guo)程(cheng)中的研究(jiu)討論比較(jiao)充分(fen),避免了(le)重(zhong)大決(jue)(jue)策(ce)(ce)(ce)一個(ge)(ge)人(ren)說(shuo)了(le)算(suan)的現(xian)(xian)象,使(shi)經(jing)營決(jue)(jue)策(ce)(ce)(ce)更加科學(xue)和(he)(he)(he)(he)合理(li)。三(san)是(shi)風(feng)險(xian)防(fang)范體(ti)系更加完善,各級(ji)(ji)企(qi)業董(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)會(hui)(hui)始終(zhong)把風(feng)險(xian)防(fang)范作(zuo)為工(gong)(gong)作(zuo)重(zhong)心(xin)之(zhi)一,不斷指導(dao)和(he)(he)(he)(he)推動任職(zhi)企(qi)業健(jian)全風(feng)險(xian)內控體(ti)系,實現(xian)(xian)對重(zhong)大風(feng)險(xian)的實時跟蹤、風(feng)險(xian)預警,將風(feng)險(xian)內控工(gong)(gong)作(zuo)融入經(jing)營管理(li)各個(ge)(ge)環節。公(gong)司治理(li)水(shui)(shui)平的提(ti)升也賦能企(qi)業高(gao)質量(liang)發展(zhan),推動集團(tuan)經(jing)濟效(xiao)益和(he)(he)(he)(he)綜合競爭實力(li)不斷增(zeng)強。2021年,國(guo)(guo)藥(yao)集團(tuan)營業收(shou)入實現(xian)(xian)7023億,同比增(zeng)長(chang)(chang)31.71%;利潤總(zong)額、凈(jing)利潤大幅增(zeng)長(chang)(chang),全員(yuan)勞(lao)動生產率同比增(zeng)長(chang)(chang)129.64%,資(zi)產負債(zhai)率54.13%,同比下降5.82個(ge)(ge)百分(fen)點,經(jing)濟效(xiao)益和(he)(he)(he)(he)凈(jing)資(zi)產收(shou)益率名(ming)列中央企(qi)業首位,創歷史最好水(shui)(shui)平。
