所屬中國鐵路物資股份有限公司:混改挽救的“百年老店”

原中(zhong)國(guo)鐵物(wu)深耕鐵路(lu)行(xing)業130余年(nian)(nian),因(yin)鋼貿風險事件(jian)一(yi)度(du)連續3年(nian)(nian)虧損、嚴重資(zi)(zi)不抵債(zhai)(zhai)(zhai),陷(xian)于生死邊緣。作為原中(zhong)國(guo)鐵物(wu)的(de)“優質資(zi)(zi)產(chan)包”,中(zhong)國(guo)鐵路(lu)物(wu)資(zi)(zi)股(gu)(gu)(gu)份(fen)(fen)有限公(gong)(gong)司(簡稱鐵物(wu)股(gu)(gu)(gu)份(fen)(fen))實施“市(shi)場(chang)化(hua)(hua)(hua)債(zhai)(zhai)(zhai)轉股(gu)(gu)(gu)+混改(gai)上市(shi)”,通過(guo)債(zhai)(zhai)(zhai)轉股(gu)(gu)(gu)用(yong)債(zhai)(zhai)(zhai)權(quan)換(huan)股(gu)(gu)(gu)權(quan),通過(guo)重組上市(shi)用(yong)股(gu)(gu)(gu)權(quan)換(huan)股(gu)(gu)(gu)票,實現華麗轉身、本(ben)質脫困(kun)。中(zhong)國(guo)物(wu)流(liu)集團成立(li)后,“百年(nian)(nian)老店”在(zai)新的(de)起點上承接起更(geng)為崇高的(de)戰略使命。2017年(nian)(nian)順利實施市(shi)場(chang)化(hua)(hua)(hua)債(zhai)(zhai)(zhai)轉股(gu)(gu)(gu),引入國(guo)調基(ji)金等7家債(zhai)(zhai)(zhai)轉股(gu)(gu)(gu)投資(zi)(zi)人、70.5億(yi)元(yuan)資(zi)(zi)金,既解(jie)決了企業償債(zhai)(zhai)(zhai)資(zi)(zi)金來源問(wen)題,又(you)增加了公(gong)(gong)司權(quan)益,大幅降低了資(zi)(zi)產(chan)負債(zhai)(zhai)(zhai)率。為落實市(shi)場(chang)化(hua)(hua)(hua)債(zhai)(zhai)(zhai)轉股(gu)(gu)(gu)既定(ding)的(de)“一(yi)攬子”方案,2021年(nian)(nian)1月鐵物(wu)股(gu)(gu)(gu)份(fen)(fen)成功(gong)在(zai)深交(jiao)所上市(shi),并(bing)定(ding)向募(mu)集配套資(zi)(zi)金15.7億(yi)元(yuan),進(jin)一(yi)步促進(jin)公(gong)(gong)司發展。

作(zuo)為(wei)國(guo)有控(kong)股(gu)上(shang)市公(gong)司(si),鐵(tie)物(wu)股(gu)份持續落實國(guo)企改革三年(nian)行動(dong),加強同主要股(gu)東和潛(qian)在(zai)投(tou)資(zi)者溝通,進一步優(you)化(hua)股(gu)東結構,引入新的(de)戰略投(tou)資(zi)者積(ji)極(ji)股(gu)東,盤(pan)活限售流通股(gu)解禁釋放出的(de)資(zi)本空(kong)間。

所屬中儲南京智慧物流科技有限公司:混改孕育壯大的物流行業“明星”

中(zhong)儲南京智(zhi)(zhi)慧(hui)物(wu)流(liu)科技有限公(gong)司(簡稱中(zhong)儲智(zhi)(zhi)運(yun))是(shi)我國第一(yi)批“無車承運(yun)人”試(shi)點企(qi)業,是(shi)在智(zhi)(zhi)慧(hui)物(wu)流(liu)領域推行混改(gai)的典型企(qi)業。公(gong)司成(cheng)立(li)伊始(shi)就連(lian)續(xu)多輪(lun)混改(gai)引戰(zhan),通過(guo)持續(xu)調整優化股權結構,不(bu)斷(duan)做強做優做大。2017年末至2022年初,中(zhong)儲智(zhi)(zhi)運(yun)已先后(hou)完成(cheng)A輪(lun)、B輪(lun)、B+輪(lun)、C輪(lun)、D輪(lun)共五輪(lun)融(rong)資(zi)(融(rong)資(zi)額共計13.5億元(yuan),其中(zhong)D輪(lun)融(rong)資(zi)完成(cheng)7.61億元(yuan)),實現投后(hou)企(qi)業估值進一(yi)步提升。

A輪引戰以貨(huo)(huo)“換”股(gu)。鎖定擁(yong)有充足貨(huo)(huo)源的(de)產(chan)業(ye)戰略(lve)投(tou)資者,約(yue)定各合作企(qi)業(ye)在中(zhong)儲智運平臺(tai)上達到(dao)約(yue)定的(de)交易金額、業(ye)務量(liang)條件時,可(ke)獲得(de)參與A輪投(tou)資的(de)資格(ge)。最終5位產(chan)業(ye)投(tou)資人成為與企(qi)業(ye)高協同性的(de)戰略(lve)投(tou)資者。

B輪引戰趁“勢”追“機(ji)”。引入(ru)中國國有企業(ye)(ye)結構(gou)(gou)調整(zheng)基(ji)金,實(shi)現(xian)投(tou)后(hou)企業(ye)(ye)估值10億(yi)元,既(ji)提(ti)升公司市值、優化(hua)股權(quan)結構(gou)(gou),又打(da)開(kai)資(zi)(zi)本(ben)市場知名度、充實(shi)資(zi)(zi)本(ben)快速擴張。同年(nian)下半年(nian),采取公開(kai)征集(ji)投(tou)資(zi)(zi)人方(fang)式完成B+輪融(rong)資(zi)(zi)1.72億(yi)元。隨后(hou)又先后(hou)通(tong)過資(zi)(zi)本(ben)公積轉增股本(ben)和老股東增資(zi)(zi),進一步實(shi)現(xian)股權(quan)結構(gou)(gou)調整(zheng)和優化(hua)。

D輪引戰(zhan)(zhan)以“融”升(sheng)級(ji)(ji)。中(zhong)儲智(zhi)運確定了由“網(wang)絡貨運平(ping)臺(tai)戰(zhan)(zhan)略(lve)”向“智(zhi)能供應鏈(lian)綜合(he)服務平(ping)臺(tai)戰(zhan)(zhan)略(lve)”升(sheng)級(ji)(ji)的發展(zhan)(zhan)戰(zhan)(zhan)略(lve),以融資(zi)為抓手(shou)驅動(dong)戰(zhan)(zhan)略(lve)升(sheng)級(ji)(ji),于(yu)2022年3月以公開征集(ji)投資(zi)人方式成功完成D輪融資(zi),引進中(zhong)國國有企業混合(he)所有制改革(ge)基金有限(xian)(xian)公司、江蘇國源新(xin)能源裝備有限(xian)(xian)公司、粵(yue)高資(zi)本控(kong)股(廣州)有限(xian)(xian)公司、河南(nan)遠海中(zhong)原物流(liu)產業發展(zhan)(zhan)基金(有限(xian)(xian)合(he)伙(huo))、遠海(青島)產業投資(zi)基金中(zhong)心(有限(xian)(xian)合(he)伙(huo))5位戰(zhan)(zhan)略(lve)投資(zi)者,向物流(liu)行業新(xin)起點新(xin)賽道進軍(jun)。
