黨中央、國(guo)(guo)務院在(zai)日前印發(fa)的(de)(de)《關于深(shen)化國(guo)(guo)有(you)(you)(you)企(qi)業(ye)改(gai)革的(de)(de)指(zhi)導(dao)意(yi)見》(以(yi)下(xia)簡稱《指(zhi)導(dao)意(yi)見》)中明確(que)指(zhi)出(chu),要完善國(guo)(guo)有(you)(you)(you)資(zi)(zi)(zi)(zi)產(chan)(chan)(chan)(chan)管(guan)(guan)理體(ti)制(zhi),以(yi)管(guan)(guan)資(zi)(zi)(zi)(zi)本為(wei)主推進國(guo)(guo)有(you)(you)(you)資(zi)(zi)(zi)(zi)產(chan)(chan)(chan)(chan)監(jian)(jian)管(guan)(guan)機(ji)構職能(neng)轉變,以(yi)管(guan)(guan)資(zi)(zi)(zi)(zi)本為(wei)主改(gai)革國(guo)(guo)有(you)(you)(you)資(zi)(zi)(zi)(zi)本授權(quan)經營(ying)(ying)體(ti)制(zhi),以(yi)管(guan)(guan)資(zi)(zi)(zi)(zi)本為(wei)主推動國(guo)(guo)有(you)(you)(you)資(zi)(zi)(zi)(zi)本合理流動優化配置,以(yi)管(guan)(guan)資(zi)(zi)(zi)(zi)本為(wei)主推進經營(ying)(ying)性國(guo)(guo)有(you)(you)(you)資(zi)(zi)(zi)(zi)產(chan)(chan)(chan)(chan)集中統一監(jian)(jian)管(guan)(guan)。這(zhe)對于推動國(guo)(guo)有(you)(you)(you)企(qi)業(ye)真(zhen)正(zheng)成(cheng)為(wei)獨立市場主體(ti),增強國(guo)(guo)有(you)(you)(you)經濟整體(ti)功(gong)能(neng)和效率,維護國(guo)(guo)有(you)(you)(you)資(zi)(zi)(zi)(zi)產(chan)(chan)(chan)(chan)安(an)全,具(ju)有(you)(you)(you)十分(fen)重要的(de)(de)意(yi)義。我們要深(shen)入學習領(ling)會和貫(guan)徹落實文件要求,扎(zha)實推進完善國(guo)(guo)有(you)(you)(you)資(zi)(zi)(zi)(zi)產(chan)(chan)(chan)(chan)管(guan)(guan)理體(ti)制(zhi)、以(yi)管(guan)(guan)資(zi)(zi)(zi)(zi)本為(wei)主加強國(guo)(guo)有(you)(you)(you)資(zi)(zi)(zi)(zi)產(chan)(chan)(chan)(chan)監(jian)(jian)管(guan)(guan)的(de)(de)各項工作,為(wei)發(fa)展壯大國(guo)(guo)有(you)(you)(you)經濟提供堅強保障。
一(yi)、按照以管(guan)資本為主的要求完善(shan)國有(you)(you)資產管(guan)理(li)體制,推(tui)動國有(you)(you)企業真(zhen)正成為獨立市場主體
改(gai)革開(kai)(kai)放以來(lai),國(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)資(zi)(zi)(zi)產管(guan)(guan)理(li)(li)(li)(li)(li)體(ti)(ti)(ti)制改(gai)革始終與國(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)企(qi)業(ye)(ye)改(gai)革相(xiang)(xiang)伴(ban)相(xiang)(xiang)生、共(gong)同深化(hua)。黨的(de)(de)十六(liu)大在(zai)(zai)總結國(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)資(zi)(zi)(zi)產管(guan)(guan)理(li)(li)(li)(li)(li)體(ti)(ti)(ti)制實踐經(jing)驗的(de)(de)基(ji)礎(chu)上(shang),明(ming)確提出:“建立(li)中央政(zheng)(zheng)府(fu)和(he)(he)地(di)方(fang)政(zheng)(zheng)府(fu)分(fen)別代表(biao)國(guo)(guo)(guo)(guo)家履行(xing)出資(zi)(zi)(zi)人(ren)職(zhi)責(ze),享有(you)(you)(you)(you)(you)所有(you)(you)(you)(you)(you)者權益(yi),權利(li)(li)、義務和(he)(he)責(ze)任(ren)相(xiang)(xiang)統一(yi)(yi),管(guan)(guan)資(zi)(zi)(zi)產和(he)(he)管(guan)(guan)人(ren)、管(guan)(guan)事相(xiang)(xiang)結合的(de)(de)國(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)資(zi)(zi)(zi)產管(guan)(guan)理(li)(li)(li)(li)(li)體(ti)(ti)(ti)制”。2003年(nian)3月,國(guo)(guo)(guo)(guo)務院正式(shi)成立(li)國(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)資(zi)(zi)(zi)產監(jian)督管(guan)(guan)理(li)(li)(li)(li)(li)委(wei)員會(hui),根(gen)據(ju)國(guo)(guo)(guo)(guo)務院的(de)(de)授權,專門承(cheng)擔國(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)資(zi)(zi)(zi)產監(jian)管(guan)(guan)職(zhi)責(ze),不承(cheng)擔社會(hui)公(gong)共(gong)管(guan)(guan)理(li)(li)(li)(li)(li)職(zhi)能。這(zhe)一(yi)(yi)體(ti)(ti)(ti)制,明(ming)確了(le)政(zheng)(zheng)府(fu)以出資(zi)(zi)(zi)方(fang)式(shi)管(guan)(guan)理(li)(li)(li)(li)(li)國(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)企(qi)業(ye)(ye),在(zai)(zai)解決政(zheng)(zheng)企(qi)不分(fen)、國(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)企(qi)業(ye)(ye)多頭(tou)管(guan)(guan)理(li)(li)(li)(li)(li)、“九龍治水”等方(fang)面邁出了(le)一(yi)(yi)大步,為(wei)(wei)國(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)企(qi)業(ye)(ye)成為(wei)(wei)獨立(li)市場主體(ti)(ti)(ti)奠定(ding)了(le)體(ti)(ti)(ti)制基(ji)礎(chu)。但應(ying)當看(kan)到,在(zai)(zai)監(jian)管(guan)(guan)體(ti)(ti)(ti)制機制方(fang)面還存在(zai)(zai)一(yi)(yi)些(xie)問題,一(yi)(yi)定(ding)程(cheng)度上(shang)制約(yue)了(le)企(qi)業(ye)(ye)活(huo)力。比如政(zheng)(zheng)企(qi)分(fen)開(kai)(kai)、政(zheng)(zheng)資(zi)(zi)(zi)分(fen)開(kai)(kai)還不完全到位(wei),國(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)資(zi)(zi)(zi)產監(jian)管(guan)(guan)工(gong)作還存在(zai)(zai)越位(wei)、缺位(wei)、錯位(wei)現(xian)象,監(jian)管(guan)(guan)方(fang)式(shi)存在(zai)(zai)一(yi)(yi)定(ding)行(xing)政(zheng)(zheng)化(hua)色(se)彩。同時,經(jing)過(guo)多年(nian)的(de)(de)改(gai)革發展,公(gong)司制股份制已經(jing)成為(wei)(wei)國(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)企(qi)業(ye)(ye)的(de)(de)主要組織形式(shi),企(qi)業(ye)(ye)的(de)(de)治理(li)(li)(li)(li)(li)結構、管(guan)(guan)理(li)(li)(li)(li)(li)方(fang)式(shi)都發生了(le)深刻變化(hua),這(zhe)在(zai)(zai)客觀上(shang)要求國(guo)(guo)(guo)(guo)資(zi)(zi)(zi)監(jian)管(guan)(guan)機構主動調整完善監(jian)管(guan)(guan)職(zhi)能和(he)(he)方(fang)式(shi),以管(guan)(guan)資(zi)(zi)(zi)本為(wei)(wei)主,注(zhu)重通過(guo)公(gong)司法人(ren)治理(li)(li)(li)(li)(li)結構依法行(xing)使國(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)股東權利(li)(li),實現(xian)對國(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)資(zi)(zi)(zi)產的(de)(de)有(you)(you)(you)(you)(you)效監(jian)管(guan)(guan)。
貫徹(che)落實(shi)《指導意見(jian)》要求,完善國有(you)資(zi)產管(guan)理體(ti)制,要以(yi)管(guan)資(zi)本(ben)為(wei)(wei)主推進職能(neng)轉變,準確把握依(yi)法履(lv)行出資(zi)人職責的定(ding)位,科(ke)學界定(ding)國有(you)資(zi)產出資(zi)人監管(guan)的邊(bian)界,實(shi)現以(yi)管(guan)企業(ye)為(wei)(wei)主向以(yi)管(guan)資(zi)本(ben)為(wei)(wei)主的轉變,推動國有(you)企業(ye)真正成為(wei)(wei)獨立市場主體(ti),夯實(shi)發展壯大國有(you)經濟的微(wei)觀基礎。
一是堅持政(zheng)企分開、政(zheng)資(zi)(zi)(zi)分開、所有(you)權(quan)和經(jing)營權(quan)分離。政(zheng)府(fu)部門依(yi)(yi)法(fa)(fa)行(xing)(xing)使公(gong)共管(guan)(guan)理職能,從(cong)經(jing)濟調節和社會(hui)管(guan)(guan)理角(jiao)度進行(xing)(xing)社會(hui)公(gong)共管(guan)(guan)理。國有(you)資(zi)(zi)(zi)產(chan)監(jian)管(guan)(guan)機(ji)構作為(wei)政(zheng)府(fu)直屬(shu)特設機(ji)構,根據授權(quan)代表本級人民政(zheng)府(fu)對監(jian)管(guan)(guan)企業依(yi)(yi)法(fa)(fa)履行(xing)(xing)出(chu)資(zi)(zi)(zi)人職責,科(ke)學(xue)界定國有(you)資(zi)(zi)(zi)產(chan)出(chu)資(zi)(zi)(zi)人監(jian)管(guan)(guan)的(de)邊界,專司國有(you)資(zi)(zi)(zi)產(chan)監(jian)管(guan)(guan),不干(gan)預企業自(zi)主經(jing)營權(quan)。國有(you)企業依(yi)(yi)法(fa)(fa)享有(you)獨(du)立的(de)法(fa)(fa)人財產(chan)權(quan),依(yi)(yi)法(fa)(fa)自(zi)主經(jing)營、自(zi)負盈虧、自(zi)擔風(feng)險、自(zi)我(wo)約束、自(zi)我(wo)發展。
二(er)是推進國(guo)(guo)有(you)資(zi)產監(jian)管(guan)(guan)(guan)機構(gou)職(zhi)能轉(zhuan)變。該管(guan)(guan)(guan)的要(yao)科(ke)學管(guan)(guan)(guan)理、決(jue)不(bu)缺位(wei),重點(dian)管(guan)(guan)(guan)好國(guo)(guo)有(you)資(zi)本(ben)(ben)布局、規范資(zi)本(ben)(ben)運(yun)作、提(ti)高資(zi)本(ben)(ben)回報、維護資(zi)本(ben)(ben)安全。不(bu)該管(guan)(guan)(guan)的要(yao)依法(fa)放權(quan)、決(jue)不(bu)越位(wei),將(jiang)依法(fa)應由企業(ye)(ye)自主經營決(jue)策的事(shi)項歸(gui)位(wei)于(yu)企業(ye)(ye),將(jiang)延(yan)伸(shen)到(dao)子企業(ye)(ye)的管(guan)(guan)(guan)理事(shi)項原(yuan)則上歸(gui)位(wei)于(yu)一級企業(ye)(ye),將(jiang)配合承擔的公共管(guan)(guan)(guan)理職(zhi)能歸(gui)位(wei)于(yu)相關政府部門和(he)單位(wei)。國(guo)(guo)有(you)資(zi)產監(jian)管(guan)(guan)(guan)機構(gou)依法(fa)對國(guo)(guo)有(you)資(zi)本(ben)(ben)投資(zi)、運(yun)營公司和(he)其他直接監(jian)管(guan)(guan)(guan)的企業(ye)(ye)履(lv)行出(chu)資(zi)人職(zhi)責。
三是改(gai)進國有資(zi)(zi)(zi)產監管(guan)(guan)方式(shi)(shi)和手(shou)段。更多運用(yong)(yong)法治(zhi)(zhi)化(hua)(hua)、市場化(hua)(hua)監管(guan)(guan)方式(shi)(shi),改(gai)變行政化(hua)(hua)管(guan)(guan)理方式(shi)(shi)。針對(dui)企業不同功(gong)能定位,在戰略規(gui)劃制定、資(zi)(zi)(zi)本運作模式(shi)(shi)、人員選用(yong)(yong)機制、經營業績考(kao)核等方面(mian),實施更加(jia)精準有效的分類監管(guan)(guan)。重(zhong)視(shi)通過公司(si)治(zhi)(zhi)理結構履行出資(zi)(zi)(zi)人職(zhi)責(ze),規(gui)范董(dong)事(shi)會運作,嚴格選派(pai)股東(dong)代表和董(dong)事(shi)、監事(shi)。注重(zhong)管(guan)(guan)好公司(si)章程,通過“一企一策”制定公司(si)章程,將(jiang)國有資(zi)(zi)(zi)產出資(zi)(zi)(zi)人意志有效體現在公司(si)章程中。建立(li)監管(guan)(guan)權力清單和責(ze)任清單,加(jia)大運用(yong)(yong)信息化(hua)(hua)手(shou)段的力度,優化(hua)(hua)監管(guan)(guan)流程,提高監管(guan)(guan)效率,加(jia)強監管(guan)(guan)工作協同。
二、按照以管資(zi)本(ben)(ben)為主的要求(qiu)優(you)化國有資(zi)本(ben)(ben)布局(ju)結構(gou),增強國有經濟整體(ti)功能和效率
優(you)化國(guo)(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)資(zi)(zi)(zi)(zi)本(ben)(ben)(ben)布(bu)局結(jie)(jie)構,是提(ti)升國(guo)(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)經(jing)濟(ji)(ji)整體(ti)運(yun)(yun)行(xing)質量的(de)(de)(de)重要(yao)途徑,也是發(fa)揮國(guo)(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)經(jing)濟(ji)(ji)主導(dao)作用、放大(da)國(guo)(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)資(zi)(zi)(zi)(zi)本(ben)(ben)(ben)功能的(de)(de)(de)必(bi)然(ran)要(yao)求。隨著國(guo)(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)資(zi)(zi)(zi)(zi)產管理(li)體(ti)制(zhi)(zhi)改革逐步深化,國(guo)(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)企(qi)(qi)(qi)業日益發(fa)展(zhan)壯大(da),國(guo)(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)資(zi)(zi)(zi)(zi)本(ben)(ben)(ben)運(yun)(yun)行(xing)效率(lv)(lv)不(bu)斷(duan)提(ti)高,國(guo)(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)經(jing)濟(ji)(ji)布(bu)局和結(jie)(jie)構調(diao)整取(qu)得積極進(jin)(jin)展(zhan)。國(guo)(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)資(zi)(zi)(zi)(zi)本(ben)(ben)(ben)逐步向大(da)企(qi)(qi)(qi)業大(da)集(ji)團(tuan)集(ji)中,向重要(yao)行(xing)業和關(guan)鍵領域(yu)集(ji)中,涌(yong)現出一批具有(you)(you)(you)(you)(you)較強國(guo)(guo)(guo)(guo)(guo)(guo)(guo)際競(jing)爭(zheng)力(li)的(de)(de)(de)骨干(gan)企(qi)(qi)(qi)業。2015年美國(guo)(guo)(guo)(guo)(guo)(guo)(guo)《財(cai)富(fu)》雜志發(fa)布(bu)的(de)(de)(de)世(shi)界(jie)500強企(qi)(qi)(qi)業名單(dan)中,我國(guo)(guo)(guo)(guo)(guo)(guo)(guo)國(guo)(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)企(qi)(qi)(qi)業達到83家。但(dan)也應(ying)當(dang)看到,當(dang)前(qian)國(guo)(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)資(zi)(zi)(zi)(zi)本(ben)(ben)(ben)運(yun)(yun)行(xing)效率(lv)(lv)有(you)(you)(you)(you)(you)待進(jin)(jin)一步提(ti)高,國(guo)(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)資(zi)(zi)(zi)(zi)本(ben)(ben)(ben)布(bu)局結(jie)(jie)構仍然(ran)存在分布(bu)過(guo)寬、戰線過(guo)長(chang)等突出問題,國(guo)(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)資(zi)(zi)(zi)(zi)本(ben)(ben)(ben)合理(li)流動的(de)(de)(de)機制(zhi)(zhi)尚不(bu)健全(quan),制(zhi)(zhi)約(yue)了國(guo)(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)資(zi)(zi)(zi)(zi)本(ben)(ben)(ben)功能作用的(de)(de)(de)有(you)(you)(you)(you)(you)效發(fa)揮。當(dang)前(qian),我國(guo)(guo)(guo)(guo)(guo)(guo)(guo)經(jing)濟(ji)(ji)發(fa)展(zhan)進(jin)(jin)入(ru)新(xin)常態,國(guo)(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)企(qi)(qi)(qi)業過(guo)去主要(yao)憑借(jie)要(yao)素(su)投入(ru)的(de)(de)(de)快速增(zeng)(zeng)長(chang)模(mo)式(shi)不(bu)可持續,憑借(jie)高強度大(da)規模(mo)投資(zi)(zi)(zi)(zi)拉(la)動的(de)(de)(de)模(mo)式(shi)不(bu)可持續,憑借(jie)低(di)水(shui)平競(jing)爭(zheng)的(de)(de)(de)粗(cu)放增(zeng)(zeng)長(chang)模(mo)式(shi)不(bu)可持續,迫(po)切需要(yao)通過(guo)優(you)化國(guo)(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)資(zi)(zi)(zi)(zi)本(ben)(ben)(ben)布(bu)局結(jie)(jie)構,推(tui)進(jin)(jin)國(guo)(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)企(qi)(qi)(qi)業轉型(xing)升級,增(zeng)(zeng)強國(guo)(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)經(jing)濟(ji)(ji)的(de)(de)(de)活力(li)、控制(zhi)(zhi)力(li)、影響力(li)、抗(kang)風險能力(li)。按照《指導(dao)意見》要(yao)求,堅持以市場為(wei)導(dao)向、以企(qi)(qi)(qi)業為(wei)主體(ti),有(you)(you)(you)(you)(you)進(jin)(jin)有(you)(you)(you)(you)(you)退、有(you)(you)(you)(you)(you)所(suo)為(wei)有(you)(you)(you)(you)(you)所(suo)不(bu)為(wei),優(you)化國(guo)(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)資(zi)(zi)(zi)(zi)本(ben)(ben)(ben)布(bu)局結(jie)(jie)構,為(wei)發(fa)展(zhan)壯大(da)國(guo)(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)經(jing)濟(ji)(ji)提(ti)供強有(you)(you)(you)(you)(you)力(li)支(zhi)撐。
一是明確國(guo)有資(zi)本(ben)集中的(de)重(zhong)(zhong)點(dian)方向(xiang)(xiang)。緊緊圍(wei)繞(rao)服(fu)務國(guo)家戰(zhan)略,落實(shi)國(guo)家產(chan)業政策和(he)(he)重(zhong)(zhong)點(dian)產(chan)業布局(ju)調整總(zong)體(ti)要求,優化國(guo)有資(zi)本(ben)重(zhong)(zhong)點(dian)投資(zi)方向(xiang)(xiang)和(he)(he)領(ling)域(yu),實(shi)現“三(san)個集中”,即推動國(guo)有資(zi)本(ben)向(xiang)(xiang)關(guan)系國(guo)家安(an)全(quan)、國(guo)民經濟命脈和(he)(he)國(guo)計(ji)民生的(de)重(zhong)(zhong)要行業和(he)(he)關(guan)鍵(jian)領(ling)域(yu)、重(zhong)(zhong)點(dian)基礎設施集中,向(xiang)(xiang)前(qian)瞻性戰(zhan)略性產(chan)業集中,向(xiang)(xiang)具有核(he)心競(jing)爭力(li)的(de)優勢企業集中。
二是建(jian)立(li)健全國(guo)(guo)有(you)資(zi)本布局(ju)和(he)結構調(diao)整(zheng)機(ji)制。制定國(guo)(guo)家發(fa)展規(gui)(gui)劃、產(chan)業(ye)政策和(he)國(guo)(guo)有(you)資(zi)本收益分配管(guan)理(li)規(gui)(gui)則,建(jian)立(li)健全國(guo)(guo)有(you)資(zi)本進(jin)退(tui)機(ji)制,引導國(guo)(guo)有(you)資(zi)本優化(hua)投(tou)資(zi)方向(xiang)和(he)投(tou)資(zi)領域。推進(jin)經營性(xing)國(guo)(guo)有(you)資(zi)產(chan)集中(zhong)統(tong)一(yi)(yi)監(jian)(jian)管(guan),穩步將(jiang)黨政機(ji)關、事(shi)業(ye)單位(wei)所屬企業(ye)的國(guo)(guo)有(you)資(zi)本納入經營性(xing)國(guo)(guo)有(you)資(zi)產(chan)集中(zhong)統(tong)一(yi)(yi)監(jian)(jian)管(guan)體系,為擴大(da)國(guo)(guo)有(you)資(zi)本配置范(fan)圍、提高配置效(xiao)率(lv)創造(zao)條件。加(jia)強國(guo)(guo)有(you)資(zi)產(chan)基礎(chu)管(guan)理(li),統(tong)一(yi)(yi)制度規(gui)(gui)范(fan)、統(tong)一(yi)(yi)工作體系,強化(hua)對國(guo)(guo)有(you)資(zi)本布局(ju)結構調(diao)整(zheng)的支撐服務。
三(san)是運用(yong)市(shi)場化方式推動國(guo)有(you)資(zi)(zi)(zi)(zi)本合(he)(he)理流動優(you)化配置(zhi)(zhi)。充分發揮國(guo)有(you)資(zi)(zi)(zi)(zi)本投資(zi)(zi)(zi)(zi)、運營(ying)公(gong)司的(de)作用(yong),清理退出(chu)一(yi)(yi)批、重組(zu)整合(he)(he)一(yi)(yi)批、創新發展一(yi)(yi)批國(guo)有(you)企(qi)業。建立(li)健全優(you)勝劣汰市(shi)場化退出(chu)機制(zhi),切實保障退出(chu)企(qi)業依(yi)法(fa)(fa)實行(xing)關(guan)閉或破產(chan)(chan),加快(kuai)處置(zhi)(zhi)低效無效資(zi)(zi)(zi)(zi)產(chan)(chan),淘汰落(luo)后產(chan)(chan)能。建立(li)健全國(guo)有(you)資(zi)(zi)(zi)(zi)本形態(tai)轉換機制(zhi),支(zhi)(zhi)持企(qi)業依(yi)法(fa)(fa)合(he)(he)規通過證券交(jiao)易、產(chan)(chan)權(quan)交(jiao)易等資(zi)(zi)(zi)(zi)本市(shi)場,以(yi)市(shi)場公(gong)允價(jia)格處置(zhi)(zhi)企(qi)業資(zi)(zi)(zi)(zi)產(chan)(chan),將(jiang)變現的(de)國(guo)有(you)資(zi)(zi)(zi)(zi)本用(yong)于更需要的(de)領域(yu)和行(xing)業。支(zhi)(zhi)持國(guo)有(you)企(qi)業開展國(guo)際化經營(ying),鼓勵國(guo)有(you)企(qi)業之間以(yi)及(ji)與其他所有(you)制(zhi)企(qi)業以(yi)資(zi)(zi)(zi)(zi)本為(wei)紐帶,強強聯合(he)(he)、優(you)勢互補,加快(kuai)培育一(yi)(yi)批具(ju)有(you)世界(jie)一(yi)(yi)流水平的(de)跨國(guo)公(gong)司。
三、按照以(yi)管資本為主的要求加強國有資產(chan)監督,切(qie)實維(wei)護國有資產(chan)安全
國(guo)有(you)(you)(you)資(zi)產(chan)(chan)來(lai)之不(bu)易,是全(quan)國(guo)人(ren)民的(de)(de)共同財富(fu)(fu),是全(quan)面(mian)建成小康(kang)社(she)會、實(shi)現全(quan)體人(ren)民共同富(fu)(fu)裕的(de)(de)重(zhong)要(yao)物質(zhi)基礎。國(guo)有(you)(you)(you)企(qi)業(ye)改(gai)革(ge)要(yao)先加(jia)(jia)強監(jian)管(guan)、防止國(guo)有(you)(you)(you)資(zi)產(chan)(chan)流失,這一條做不(bu)好,國(guo)有(you)(you)(you)企(qi)業(ye)其他改(gai)革(ge)難以取得(de)(de)預(yu)期成效(xiao)。近年來(lai),國(guo)有(you)(you)(you)資(zi)產(chan)(chan)監(jian)督(du)(du)(du)工(gong)(gong)(gong)作(zuo)(zuo)得(de)(de)到(dao)了有(you)(you)(you)力加(jia)(jia)強,但針對(dui)性(xing)、實(shi)效(xiao)性(xing)還(huan)需要(yao)進一步(bu)增強,既存在監(jian)督(du)(du)(du)不(bu)到(dao)位、監(jian)督(du)(du)(du)不(bu)力等問(wen)題,也存在多頭檢(jian)查(cha)、重(zhong)復監(jian)督(du)(du)(du)等問(wen)題,一些國(guo)有(you)(you)(you)企(qi)業(ye)也暴(bao)露出(chu)(chu)管(guan)理不(bu)規(gui)范、內部(bu)人(ren)控制(zhi)嚴重(zhong)、企(qi)業(ye)領(ling)導(dao)人(ren)員權力缺乏制(zhi)約等問(wen)題。要(yao)按照《指導(dao)意(yi)見》部(bu)署,按照以管(guan)資(zi)本(ben)為主的(de)(de)要(yao)求加(jia)(jia)強國(guo)有(you)(you)(you)資(zi)產(chan)(chan)監(jian)督(du)(du)(du)工(gong)(gong)(gong)作(zuo)(zuo),沿國(guo)有(you)(you)(you)資(zi)本(ben)投資(zi)運營和管(guan)理的(de)(de)全(quan)鏈條,突出(chu)(chu)監(jian)督(du)(du)(du)工(gong)(gong)(gong)作(zuo)(zuo)重(zhong)點(dian),發揮企(qi)業(ye)內部(bu)監(jian)督(du)(du)(du)、出(chu)(chu)資(zi)人(ren)監(jian)督(du)(du)(du)和各(ge)監(jian)督(du)(du)(du)主體的(de)(de)功能作(zuo)(zuo)用,加(jia)(jia)快形(xing)成全(quan)面(mian)覆蓋、分工(gong)(gong)(gong)明確、協同配(pei)合、制(zhi)約有(you)(you)(you)力的(de)(de)國(guo)有(you)(you)(you)資(zi)產(chan)(chan)監(jian)督(du)(du)(du)體系,切實(shi)防止國(guo)有(you)(you)(you)資(zi)產(chan)(chan)流失,保障(zhang)和促進國(guo)有(you)(you)(you)經濟(ji)健康(kang)發展(zhan)。
一是強(qiang)化企(qi)(qi)(qi)業(ye)內部(bu)(bu)監(jian)(jian)(jian)督(du)(du)。進一步明確企(qi)(qi)(qi)業(ye)作(zuo)為維護國有資產(chan)安全、防止流失(shi)的責任主(zhu)(zhu)體。完善企(qi)(qi)(qi)業(ye)內部(bu)(bu)監(jian)(jian)(jian)督(du)(du)體系,建立橫(heng)向(xiang)涵(han)蓋企(qi)(qi)(qi)業(ye)各(ge)治(zhi)理主(zhu)(zhu)體和(he)職能部(bu)(bu)門(men)、縱向(xiang)包括各(ge)子企(qi)(qi)(qi)業(ye)和(he)業(ye)務板(ban)塊的監(jian)(jian)(jian)督(du)(du)工(gong)(gong)作(zuo)體系,形成監(jian)(jian)(jian)督(du)(du)合力。突(tu)出監(jian)(jian)(jian)督(du)(du)重點,對權(quan)(quan)力集(ji)中、資金密集(ji)、資源富集(ji)、資產(chan)聚(ju)集(ji)的部(bu)(bu)門(men)和(he)崗(gang)位加(jia)強(qiang)監(jian)(jian)(jian)督(du)(du),實(shi)行分(fen)(fen)事(shi)行權(quan)(quan)、分(fen)(fen)崗(gang)設權(quan)(quan)、分(fen)(fen)級(ji)授權(quan)(quan),定期輪崗(gang),防止權(quan)(quan)力濫用。進一步落實(shi)董(dong)事(shi)會、監(jian)(jian)(jian)事(shi)會的監(jian)(jian)(jian)督(du)(du)職責,加(jia)強(qiang)法律審核把關(guan),實(shi)現依法治(zhi)企(qi)(qi)(qi)。加(jia)強(qiang)職工(gong)(gong)民主(zhu)(zhu)監(jian)(jian)(jian)督(du)(du),健全企(qi)(qi)(qi)業(ye)民主(zhu)(zhu)管理制度,充分(fen)(fen)保障(zhang)職工(gong)(gong)群眾(zhong)對企(qi)(qi)(qi)業(ye)改革發(fa)展的知情權(quan)(quan)、參與權(quan)(quan)和(he)監(jian)(jian)(jian)督(du)(du)權(quan)(quan)。
二是完(wan)善出(chu)(chu)(chu)資(zi)人(ren)(ren)監(jian)(jian)(jian)督(du)(du)。堅持出(chu)(chu)(chu)資(zi)人(ren)(ren)管(guan)理(li)和(he)監(jian)(jian)(jian)督(du)(du)的有(you)機統一,進(jin)一步加(jia)(jia)(jia)強(qiang)(qiang)(qiang)出(chu)(chu)(chu)資(zi)人(ren)(ren)監(jian)(jian)(jian)督(du)(du)。健(jian)全國(guo)(guo)有(you)企(qi)業規劃投資(zi)、改(gai)制重組、產(chan)權管(guan)理(li)、財務(wu)(wu)評價、業績考核、選人(ren)(ren)用人(ren)(ren)、薪酬分配(pei)等規范國(guo)(guo)有(you)資(zi)本運(yun)作、防止(zhi)流失(shi)的制度,加(jia)(jia)(jia)大對(dui)(dui)國(guo)(guo)有(you)資(zi)產(chan)監(jian)(jian)(jian)管(guan)制度執行情(qing)況的監(jian)(jian)(jian)督(du)(du)力度。開展國(guo)(guo)有(you)資(zi)產(chan)監(jian)(jian)(jian)管(guan)機構向所出(chu)(chu)(chu)資(zi)企(qi)業依法委派(pai)總(zong)會計師試點工作,強(qiang)(qiang)(qiang)化出(chu)(chu)(chu)資(zi)人(ren)(ren)對(dui)(dui)企(qi)業重大財務(wu)(wu)事項的監(jian)(jian)(jian)督(du)(du)。加(jia)(jia)(jia)強(qiang)(qiang)(qiang)企(qi)業境(jing)(jing)外(wai)國(guo)(guo)有(you)資(zi)產(chan)監(jian)(jian)(jian)督(du)(du),確(que)保企(qi)業境(jing)(jing)外(wai)國(guo)(guo)有(you)資(zi)產(chan)安(an)全可控(kong)、有(you)效運(yun)營。加(jia)(jia)(jia)強(qiang)(qiang)(qiang)和(he)改(gai)進(jin)外(wai)派(pai)監(jian)(jian)(jian)事會監(jian)(jian)(jian)督(du)(du),明確(que)職責(ze)定位,發揮監(jian)(jian)(jian)事會作為出(chu)(chu)(chu)資(zi)人(ren)(ren)監(jian)(jian)(jian)督(du)(du)專(zhuan)門力量的作用,加(jia)(jia)(jia)強(qiang)(qiang)(qiang)當期和(he)事中監(jian)(jian)(jian)督(du)(du),強(qiang)(qiang)(qiang)化監(jian)(jian)(jian)督(du)(du)成果運(yun)用,建立健(jian)全核查、移交和(he)整改(gai)機制。
三是加強(qiang)與各監(jian)(jian)(jian)督力(li)量(liang)的(de)協(xie)同(tong)配合(he)。大(da)力(li)支持審(shen)計(ji)、紀(ji)檢(jian)監(jian)(jian)(jian)察和巡視等監(jian)(jian)(jian)督機構開展工(gong)作(zuo)。進一(yi)步厘清政府部門公共審(shen)計(ji)、出資人審(shen)計(ji)和企業(ye)內部審(shen)計(ji)之間的(de)職責分(fen)工(gong),健全國(guo)有(you)(you)資本審(shen)計(ji)監(jian)(jian)(jian)督體系和制度(du)(du)。加強(qiang)紀(ji)檢(jian)監(jian)(jian)(jian)察監(jian)(jian)(jian)督和巡視工(gong)作(zuo),強(qiang)化對(dui)企業(ye)領導人員廉潔從業(ye)、行使權力(li)等的(de)監(jian)(jian)(jian)督,加大(da)大(da)案(an)要案(an)查(cha)處力(li)度(du)(du)。積極(ji)配合(he)建(jian)立(li)(li)外部監(jian)(jian)(jian)督協(xie)同(tong)機制,整合(he)出資人監(jian)(jian)(jian)管、外派(pai)監(jian)(jian)(jian)事會(hui)監(jian)(jian)(jian)督與審(shen)計(ji)、紀(ji)檢(jian)監(jian)(jian)(jian)察、巡視等監(jian)(jian)(jian)督力(li)量(liang),建(jian)立(li)(li)監(jian)(jian)(jian)督工(gong)作(zuo)會(hui)商機制,加強(qiang)統籌,減少重(zhong)復檢(jian)查(cha),提高監(jian)(jian)(jian)督效能。加強(qiang)社會(hui)監(jian)(jian)(jian)督,完善國(guo)有(you)(you)資產(chan)和國(guo)有(you)(you)企業(ye)信息公開制度(du)(du),設立(li)(li)統一(yi)的(de)信息網絡平臺,充分(fen)發揮輿論監(jian)(jian)(jian)督作(zuo)用,有(you)(you)效保障社會(hui)公眾(zhong)對(dui)企業(ye)國(guo)有(you)(you)資產(chan)運營的(de)知情權和監(jian)(jian)(jian)督權。
四是嚴(yan)格責(ze)任(ren)(ren)(ren)追(zhui)(zhui)究(jiu)。加大(da)對(dui)國(guo)有企業(ye)(ye)違規經營責(ze)任(ren)(ren)(ren)追(zhui)(zhui)究(jiu)力度,建立健(jian)全國(guo)有企業(ye)(ye)重大(da)決策(ce)失職、瀆職責(ze)任(ren)(ren)(ren)追(zhui)(zhui)究(jiu)和(he)倒查(cha)(cha)機(ji)(ji)制,完善重大(da)決策(ce)評估(gu)、決策(ce)事項履職記錄、決策(ce)過(guo)錯認定標(biao)準等(deng)配套制度,嚴(yan)厲查(cha)(cha)處侵吞、貪污、輸送(song)、揮霍國(guo)有資產(chan)和(he)逃廢金融債務(wu)的(de)行為。建立健(jian)全企業(ye)(ye)國(guo)有資產(chan)的(de)監(jian)督問責(ze)機(ji)(ji)制,對(dui)企業(ye)(ye)重大(da)違法違紀問題敷(fu)衍不追(zhui)(zhui)、隱匿不報、查(cha)(cha)處不力的(de),嚴(yan)格追(zhui)(zhui)究(jiu)有關人員失職瀆職責(ze)任(ren)(ren)(ren),確保監(jian)督責(ze)任(ren)(ren)(ren)落到實(shi)處,形成監(jian)督工作閉環,充(chong)分體現監(jian)督工作的(de)嚴(yan)肅性和(he)權威性。
以(yi)管(guan)(guan)資(zi)本(ben)為主加強(qiang)國(guo)有資(zi)產監管(guan)(guan)是深化國(guo)有企業改(gai)革的一項重大(da)(da)任務。我們要認真(zhen)貫徹落(luo)實黨的十八(ba)大(da)(da)和十八(ba)屆三(san)中(zhong)(zhong)(zhong)、四中(zhong)(zhong)(zhong)全會(hui)精神,深入學習(xi)貫徹習(xi)近(jin)平總(zong)書記系(xi)列重要講話(hua)精神,自(zi)覺踐行“三(san)嚴(yan)三(san)實”要求(qiu),堅決(jue)貫徹黨中(zhong)(zhong)(zhong)央、國(guo)務院關于(yu)深化國(guo)有企業改(gai)革的重大(da)(da)決(jue)策部署(shu),加快(kuai)落(luo)實以(yi)管(guan)(guan)資(zi)本(ben)為主加強(qiang)國(guo)有資(zi)產監管(guan)(guan),為做強(qiang)做優做大(da)(da)國(guo)有企業、發展壯大(da)(da)國(guo)有經濟(ji)提供堅強(qiang)保障。
