黨的(de)十八屆五(wu)中全會強調,以管(guan)資(zi)(zi)本為主加強國(guo)有(you)資(zi)(zi)產(chan)監(jian)管(guan)。這為完善國(guo)有(you)資(zi)(zi)產(chan)管(guan)理體制進一步(bu)指明(ming)了方向,對于(yu)國(guo)有(you)資(zi)(zi)本優(you)化布局(ju)、規范運作、提(ti)高回報、維(wei)護安全都具(ju)有(you)重要意(yi)義(yi)。
以管資本為主加強國有資產監管意義重大
深入推(tui)進政(zheng)企分(fen)(fen)開政(zheng)資(zi)(zi)(zi)(zi)分(fen)(fen)開、形成面向創(chuang)新(xin)發展的(de)國(guo)(guo)有(you)資(zi)(zi)(zi)(zi)產(chan)管(guan)(guan)(guan)(guan)理體制(zhi)(zhi)的(de)需要。我國(guo)(guo)國(guo)(guo)有(you)資(zi)(zi)(zi)(zi)產(chan)管(guan)(guan)(guan)(guan)理體制(zhi)(zhi)改革與國(guo)(guo)有(you)企業(ye)改革相伴(ban)相生,始終(zhong)圍繞(rao)正確處理政(zheng)府(fu)(fu)與企業(ye)的(de)關系逐步(bu)深入。1988年國(guo)(guo)家設(she)立(li)國(guo)(guo)有(you)資(zi)(zi)(zi)(zi)產(chan)管(guan)(guan)(guan)(guan)理局(ju),探(tan)索由專門機構統一(yi)負(fu)責(ze)國(guo)(guo)有(you)資(zi)(zi)(zi)(zi)產(chan)基礎(chu)管(guan)(guan)(guan)(guan)理等(deng)工(gong)作。2002年黨(dang)的(de)十六大(da)提(ti)出(chu),“建(jian)立(li)中央政(zheng)府(fu)(fu)和地(di)方政(zheng)府(fu)(fu)分(fen)(fen)別代表(biao)國(guo)(guo)家履行出(chu)資(zi)(zi)(zi)(zi)人(ren)職責(ze),享有(you)所(suo)有(you)者權益,權利(li)、義(yi)務(wu)(wu)和責(ze)任(ren)相統一(yi),管(guan)(guan)(guan)(guan)資(zi)(zi)(zi)(zi)產(chan)和管(guan)(guan)(guan)(guan)人(ren)、管(guan)(guan)(guan)(guan)事(shi)相結合的(de)國(guo)(guo)有(you)資(zi)(zi)(zi)(zi)產(chan)管(guan)(guan)(guan)(guan)理體制(zhi)(zhi)”,在“中央政(zheng)府(fu)(fu)和省(sheng)、市(地(di))兩級地(di)方政(zheng)府(fu)(fu)設(she)立(li)國(guo)(guo)有(you)資(zi)(zi)(zi)(zi)產(chan)管(guan)(guan)(guan)(guan)理機構”。國(guo)(guo)有(you)資(zi)(zi)(zi)(zi)產(chan)出(chu)資(zi)(zi)(zi)(zi)人(ren)監管(guan)(guan)(guan)(guan)體制(zhi)(zhi)的(de)確立(li),有(you)力(li)提(ti)升了國(guo)(guo)有(you)經濟發展質量(liang)和運(yun)行效率,但(dan)政(zheng)企不分(fen)(fen)、政(zheng)資(zi)(zi)(zi)(zi)不分(fen)(fen)問(wen)題依然存在,國(guo)(guo)有(you)資(zi)(zi)(zi)(zi)產(chan)監管(guan)(guan)(guan)(guan)工(gong)作還存在越位、缺位、錯位等(deng)問(wen)題。必須按照以管(guan)(guan)(guan)(guan)資(zi)(zi)(zi)(zi)本(ben)為主加強國(guo)(guo)有(you)資(zi)(zi)(zi)(zi)產(chan)監管(guan)(guan)(guan)(guan)的(de)要求(qiu),繼續(xu)推(tui)進政(zheng)企分(fen)(fen)開、政(zheng)資(zi)(zi)(zi)(zi)分(fen)(fen)開、所(suo)有(you)權與經營權分(fen)(fen)離(li),破除影響國(guo)(guo)有(you)資(zi)(zi)(zi)(zi)本(ben)服(fu)務(wu)(wu)創(chuang)新(xin)發展的(de)體制(zhi)(zhi)機制(zhi)(zhi)弊(bi)端。
強化國(guo)(guo)有(you)(you)企(qi)(qi)業(ye)(ye)市(shi)場(chang)主體地位、激(ji)發企(qi)(qi)業(ye)(ye)活力的(de)(de)(de)需要。經過多年(nian)改革(ge)發展(zhan)(zhan),公(gong)司(si)制(zhi)股份制(zhi)成為(wei)國(guo)(guo)有(you)(you)企(qi)(qi)業(ye)(ye)的(de)(de)(de)重要組(zu)(zu)織形(xing)式。直(zhi)接管(guan)(guan)理企(qi)(qi)業(ye)(ye)的(de)(de)(de)方式已經不適應國(guo)(guo)有(you)(you)企(qi)(qi)業(ye)(ye)組(zu)(zu)織形(xing)式的(de)(de)(de)深(shen)刻變革(ge),必須按(an)照(zhao)公(gong)司(si)治(zhi)理規(gui)則,以管(guan)(guan)資(zi)本為(wei)主明確國(guo)(guo)有(you)(you)資(zi)產監管(guan)(guan)機構(gou)職(zhi)責定位,保(bao)(bao)護公(gong)司(si)制(zhi)企(qi)(qi)業(ye)(ye)法(fa)人財產權,保(bao)(bao)障國(guo)(guo)有(you)(you)企(qi)(qi)業(ye)(ye)作為(wei)獨立(li)市(shi)場(chang)主體依(yi)法(fa)自(zi)主經營、自(zi)負盈虧、自(zi)擔風險、自(zi)我約束、自(zi)我發展(zhan)(zhan),在(zai)市(shi)場(chang)競(jing)爭中成為(wei)實施創新驅(qu)動發展(zhan)(zhan)戰略、建設創新型(xing)國(guo)(guo)家的(de)(de)(de)中堅力量。
推進國(guo)(guo)有(you)(you)資本(ben)布(bu)局結(jie)構戰略性(xing)調(diao)整(zheng)、放大國(guo)(guo)有(you)(you)資本(ben)功(gong)能的需要。目前,國(guo)(guo)有(you)(you)資本(ben)還存(cun)在分布(bu)過(guo)寬、戰線過(guo)長、集(ji)中度(du)不夠等(deng)突出(chu)問題(ti),嚴重制約著(zhu)國(guo)(guo)有(you)(you)經濟(ji)主導作用的發揮(hui)。要以管資本(ben)為主,緊緊圍(wei)繞服(fu)務(wu)國(guo)(guo)家戰略目標,充分利用多層次資本(ben)市場(chang)和國(guo)(guo)有(you)(you)資本(ben)運營平(ping)臺(tai),著(zhu)力推進國(guo)(guo)有(you)(you)資本(ben)布(bu)局結(jie)構戰略性(xing)調(diao)整(zheng),充分發揮(hui)國(guo)(guo)有(you)(you)企業的功(gong)能作用。
維護國(guo)有(you)(you)資(zi)(zi)(zi)產安全(quan)(quan)、防止國(guo)有(you)(you)資(zi)(zi)(zi)產流(liu)失的需要。一些國(guo)有(you)(you)企業(ye)內部管理(li)混亂,侵吞、貪污、輸送、揮霍國(guo)有(you)(you)資(zi)(zi)(zi)產現象時有(you)(you)發生。要以管資(zi)(zi)(zi)本(ben)為主,加強國(guo)有(you)(you)資(zi)(zi)(zi)本(ben)經營管理(li)全(quan)(quan)鏈條監(jian)管,全(quan)(quan)面規范管理(li)制(zhi)度,落實國(guo)有(you)(you)資(zi)(zi)(zi)本(ben)監(jian)管責任(ren),嚴(yan)(yan)格執行國(guo)有(you)(you)資(zi)(zi)(zi)本(ben)監(jian)管政(zheng)策(ce)與紀(ji)律,建立(li)健全(quan)(quan)監(jian)督長效機制(zhi),確保國(guo)有(you)(you)資(zi)(zi)(zi)本(ben)安全(quan)(quan)運營,嚴(yan)(yan)防國(guo)有(you)(you)資(zi)(zi)(zi)產流(liu)失。
牢牢把握以管資本為主加強國有資產監管的總體要求
科學界定國(guo)(guo)有(you)(you)資(zi)(zi)(zi)(zi)產(chan)(chan)(chan)出(chu)(chu)資(zi)(zi)(zi)(zi)人(ren)監(jian)管(guan)(guan)(guan)(guan)(guan)職(zhi)責。進(jin)一步理(li)(li)順政府公(gong)(gong)(gong)共(gong)(gong)(gong)管(guan)(guan)(guan)(guan)(guan)理(li)(li)部門、國(guo)(guo)有(you)(you)資(zi)(zi)(zi)(zi)產(chan)(chan)(chan)監(jian)管(guan)(guan)(guan)(guan)(guan)機(ji)構(gou)和國(guo)(guo)有(you)(you)企(qi)業(ye)的(de)關系。政府公(gong)(gong)(gong)共(gong)(gong)(gong)管(guan)(guan)(guan)(guan)(guan)理(li)(li)部門依(yi)(yi)法(fa)行(xing)使(shi)公(gong)(gong)(gong)共(gong)(gong)(gong)管(guan)(guan)(guan)(guan)(guan)理(li)(li)職(zhi)能,從經(jing)濟(ji)調節和社會(hui)管(guan)(guan)(guan)(guan)(guan)理(li)(li)角度進(jin)行(xing)社會(hui)公(gong)(gong)(gong)共(gong)(gong)(gong)管(guan)(guan)(guan)(guan)(guan)理(li)(li)。國(guo)(guo)有(you)(you)資(zi)(zi)(zi)(zi)產(chan)(chan)(chan)監(jian)管(guan)(guan)(guan)(guan)(guan)機(ji)構(gou)對(dui)監(jian)管(guan)(guan)(guan)(guan)(guan)企(qi)業(ye)依(yi)(yi)法(fa)履(lv)行(xing)出(chu)(chu)資(zi)(zi)(zi)(zi)人(ren)職(zhi)責,專司國(guo)(guo)有(you)(you)資(zi)(zi)(zi)(zi)產(chan)(chan)(chan)監(jian)管(guan)(guan)(guan)(guan)(guan),不(bu)承擔社會(hui)公(gong)(gong)(gong)共(gong)(gong)(gong)管(guan)(guan)(guan)(guan)(guan)理(li)(li)職(zhi)能。國(guo)(guo)家出(chu)(chu)資(zi)(zi)(zi)(zi)企(qi)業(ye)依(yi)(yi)法(fa)接受國(guo)(guo)有(you)(you)資(zi)(zi)(zi)(zi)產(chan)(chan)(chan)監(jian)管(guan)(guan)(guan)(guan)(guan)機(ji)構(gou)的(de)監(jian)管(guan)(guan)(guan)(guan)(guan),不(bu)得侵害所(suo)有(you)(you)者(zhe)權(quan)益。國(guo)(guo)有(you)(you)資(zi)(zi)(zi)(zi)產(chan)(chan)(chan)監(jian)管(guan)(guan)(guan)(guan)(guan)機(ji)構(gou)的(de)主要職(zhi)責是:對(dui)所(suo)監(jian)管(guan)(guan)(guan)(guan)(guan)企(qi)業(ye)依(yi)(yi)法(fa)行(xing)使(shi)資(zi)(zi)(zi)(zi)產(chan)(chan)(chan)收益、參與重大決(jue)策(ce)、選擇(ze)管(guan)(guan)(guan)(guan)(guan)理(li)(li)者(zhe)等(deng)出(chu)(chu)資(zi)(zi)(zi)(zi)人(ren)權(quan)利,承擔監(jian)督(du)所(suo)監(jian)管(guan)(guan)(guan)(guan)(guan)企(qi)業(ye)國(guo)(guo)有(you)(you)資(zi)(zi)(zi)(zi)產(chan)(chan)(chan)保值(zhi)增值(zhi)的(de)責任(ren);貫徹黨管(guan)(guan)(guan)(guan)(guan)干部原則和黨管(guan)(guan)(guan)(guan)(guan)人(ren)才原則,按照管(guan)(guan)(guan)(guan)(guan)理(li)(li)權(quan)限加(jia)強和改進(jin)企(qi)業(ye)領(ling)導人(ren)員(yuan)管(guan)(guan)(guan)(guan)(guan)理(li)(li);依(yi)(yi)法(fa)落實(shi)國(guo)(guo)有(you)(you)資(zi)(zi)(zi)(zi)本經(jing)營責任(ren),依(yi)(yi)法(fa)落實(shi)企(qi)業(ye)法(fa)人(ren)財產(chan)(chan)(chan)權(quan)和經(jing)營自主權(quan);除(chu)履(lv)行(xing)出(chu)(chu)資(zi)(zi)(zi)(zi)人(ren)職(zhi)責以外,不(bu)干預企(qi)業(ye)生產(chan)(chan)(chan)經(jing)營活(huo)動(dong)。

改(gai)進(jin)(jin)國(guo)有(you)資產監(jian)(jian)(jian)管(guan)(guan)方(fang)式(shi)。堅持權利以(yi)出(chu)(chu)資為限、監(jian)(jian)(jian)管(guan)(guan)以(yi)法(fa)定為據,大力推進(jin)(jin)依法(fa)監(jian)(jian)(jian)管(guan)(guan),改(gai)進(jin)(jin)監(jian)(jian)(jian)管(guan)(guan)方(fang)式(shi)。注重事(shi)(shi)(shi)前(qian)規(gui)范制度、事(shi)(shi)(shi)中加強(qiang)(qiang)監(jian)(jian)(jian)控、事(shi)(shi)(shi)后強(qiang)(qiang)化問責,更多運用法(fa)治(zhi)化、市場化監(jian)(jian)(jian)管(guan)(guan)方(fang)式(shi)。注重通(tong)過公(gong)司治(zhi)理履行出(chu)(chu)資人職責,加強(qiang)(qiang)公(gong)司章(zhang)程管(guan)(guan)理,規(gui)范董事(shi)(shi)(shi)會運作,嚴格選(xuan)派和管(guan)(guan)理股(gu)東代表和董事(shi)(shi)(shi)、監(jian)(jian)(jian)事(shi)(shi)(shi)。完(wan)善國(guo)有(you)資產監(jian)(jian)(jian)管(guan)(guan)信(xin)息公(gong)開制度,設立統一的(de)信(xin)息公(gong)開網絡平(ping)臺,依法(fa)依規(gui)、及時準確披露(lu)國(guo)有(you)資本(ben)整體(ti)運營和監(jian)(jian)(jian)管(guan)(guan)信(xin)息。

推(tui)動國有(you)企業成為獨立市(shi)場主體。推(tui)進公(gong)司(si)制(zhi)股(gu)份制(zhi)改革(ge),健全權(quan)(quan)責(ze)對等(deng)、協調運轉、有(you)效制(zhi)衡的公(gong)司(si)法人(ren)治理機(ji)制(zhi),落實和(he)維護董(dong)事會依法行(xing)使重大決策、選人(ren)用人(ren)、薪酬分配等(deng)權(quan)(quan)利,保障經(jing)(jing)(jing)理層經(jing)(jing)(jing)營(ying)自(zi)主權(quan)(quan)。推(tui)行(xing)職業經(jing)(jing)(jing)理人(ren)制(zhi)度,合理增加市(shi)場化選聘比(bi)例。深化企業內部管理人(ren)員能上能下、員工(gong)能進能出、收入能增能減的制(zhi)度改革(ge)。
提高(gao)國(guo)有資本(ben)配(pei)置和運(yun)(yun)營效率。改組、組建(jian)國(guo)有資本(ben)投(tou)資運(yun)(yun)營公(gong)司(si),探(tan)索(suo)依法自(zi)主開展(zhan)投(tou)資融資、產業培育、資本(ben)整合的(de)有效模式,打造(zao)國(guo)有資本(ben)市場化運(yun)(yun)作的(de)專業平臺。堅持以市場為導(dao)向、以企業為主體(ti),按(an)照“做好增量(liang)、盤活存量(liang)、主動(dong)減量(liang)”的(de)思路,加大國(guo)有企業、國(guo)有資本(ben)調整力度,促進轉型升(sheng)級。
推進(jin)經營(ying)性國(guo)有(you)(you)資(zi)(zi)(zi)產(chan)(chan)集中統(tong)一(yi)監管(guan)(guan)。穩步(bu)將黨(dang)政機關(guan)、事業單位所屬企業的(de)(de)國(guo)有(you)(you)資(zi)(zi)(zi)本(ben)納(na)入(ru)經營(ying)性國(guo)有(you)(you)資(zi)(zi)(zi)產(chan)(chan)集中統(tong)一(yi)監管(guan)(guan)體系,具備條(tiao)件的(de)(de)進(jin)入(ru)國(guo)有(you)(you)資(zi)(zi)(zi)本(ben)投資(zi)(zi)(zi)運營(ying)公司。加強國(guo)有(you)(you)資(zi)(zi)(zi)產(chan)(chan)基礎管(guan)(guan)理,按(an)照(zhao)統(tong)一(yi)制度規范、統(tong)一(yi)工作體系的(de)(de)原則,抓(zhua)緊制定企業國(guo)有(you)(you)資(zi)(zi)(zi)產(chan)(chan)基礎管(guan)(guan)理條(tiao)例。發(fa)揮國(guo)有(you)(you)資(zi)(zi)(zi)產(chan)(chan)監管(guan)(guan)機構專業化監管(guan)(guan)優勢,逐步(bu)推進(jin)國(guo)有(you)(you)資(zi)(zi)(zi)產(chan)(chan)出資(zi)(zi)(zi)人監管(guan)(guan)全覆蓋(gai)。
