為推(tui)動中(zhong)央企業合規(gui)(gui)管(guan)理(li)(li)(li)體(ti)系建設(she),加強法律(lv)(lv)糾紛(fen)案件管(guan)理(li)(li)(li),進一步提升依法合規(gui)(gui)經營(ying)能力和風險防范(fan)水平(ping),我們(men)以“中(zhong)央企業合規(gui)(gui)管(guan)理(li)(li)(li)體(ti)系建設(she)及(ji)法律(lv)(lv)糾紛(fen)案件管(guan)理(li)(li)(li)實務”為主題,舉辦2016年第3期法治講堂(tang)。

借(jie)此機會,我簡要通報一下國(guo)務(wu)院(yuan)國(guo)資(zi)委(wei)政策法規局近期重點開(kai)展(zhan)的幾(ji)項(xiang)工(gong)作,請各(ge)中央企業和地(di)方國(guo)資(zi)委(wei)予(yu)以(yi)支(zhi)持和配合。
(一(yi))貫(guan)徹(che)落實(shi)(shi)好(hao)中央出臺的關(guan)于(yu)(yu)法(fa)(fa)(fa)(fa)治建設(she)的兩個(ge)(ge)重要(yao)文件(jian)。2015年(nian)12月23日(ri),中共(gong)中央、國(guo)(guo)(guo)務院印(yin)發(fa)了(le)(le)《法(fa)(fa)(fa)(fa)治政(zheng)府建設(she)實(shi)(shi)施綱要(yao)(2015-2020年(nian))》(中發(fa)〔2015〕36號),對(dui)(dui)推(tui)(tui)進(jin)(jin)法(fa)(fa)(fa)(fa)治政(zheng)府建設(she)進(jin)(jin)行(xing)了(le)(le)全(quan)面(mian)部(bu)署。2016年(nian)5月26日(ri),中辦(ban)、國(guo)(guo)(guo)辦(ban)印(yin)發(fa)了(le)(le)《關(guan)于(yu)(yu)推(tui)(tui)行(xing)法(fa)(fa)(fa)(fa)律(lv)(lv)(lv)顧(gu)問制(zhi)度(du)(du)(du)和(he)(he)(he)公(gong)(gong)(gong)職律(lv)(lv)(lv)師公(gong)(gong)(gong)司(si)律(lv)(lv)(lv)師制(zhi)度(du)(du)(du)的意見》(中辦(ban)發(fa)〔2016〕30號),對(dui)(dui)黨政(zheng)機(ji)關(guan)和(he)(he)(he)國(guo)(guo)(guo)有企(qi)業(ye)建立(li)健全(quan)法(fa)(fa)(fa)(fa)律(lv)(lv)(lv)顧(gu)問制(zhi)度(du)(du)(du)和(he)(he)(he)公(gong)(gong)(gong)職律(lv)(lv)(lv)師公(gong)(gong)(gong)司(si)律(lv)(lv)(lv)師制(zhi)度(du)(du)(du)做(zuo)出了(le)(le)明確規定(ding)。貫(guan)徹(che)落實(shi)(shi)以上(shang)(shang)兩份(fen)重要(yao)文件(jian),我們(men)研究起草了(le)(le)《國(guo)(guo)(guo)務院國(guo)(guo)(guo)資委(wei)推(tui)(tui)進(jin)(jin)國(guo)(guo)(guo)資監(jian)(jian)管(guan)法(fa)(fa)(fa)(fa)治機(ji)構(gou)建設(she)實(shi)(shi)施方案》,從依(yi)法(fa)(fa)(fa)(fa)全(quan)面(mian)履職、完善法(fa)(fa)(fa)(fa)規制(zhi)度(du)(du)(du)體系(xi)、推(tui)(tui)進(jin)(jin)民(min)主科學決策、強(qiang)化(hua)權力制(zhi)約監(jian)(jian)督、依(yi)法(fa)(fa)(fa)(fa)有效化(hua)解矛(mao)盾糾(jiu)紛、全(quan)面(mian)提高法(fa)(fa)(fa)(fa)治思(si)維和(he)(he)(he)依(yi)法(fa)(fa)(fa)(fa)監(jian)(jian)管(guan)能力等6個(ge)(ge)方面(mian),規定(ding)了(le)(le)25項工作任(ren)務和(he)(he)(he)具體措施,打造國(guo)(guo)(guo)資監(jian)(jian)管(guan)法(fa)(fa)(fa)(fa)治機(ji)構(gou),并將在國(guo)(guo)(guo)資委(wei)機(ji)關(guan)建立(li)法(fa)(fa)(fa)(fa)律(lv)(lv)(lv)顧(gu)問和(he)(he)(he)公(gong)(gong)(gong)職律(lv)(lv)(lv)師制(zhi)度(du)(du)(du),方案正式印(yin)發(fa)后各省可參(can)考借鑒。同時,我們(men)還(huan)將與(yu)(yu)司(si)法(fa)(fa)(fa)(fa)部(bu)加強(qiang)協調配合,處理好(hao)國(guo)(guo)(guo)有企(qi)業(ye)公(gong)(gong)(gong)司(si)律(lv)(lv)(lv)師與(yu)(yu)法(fa)(fa)(fa)(fa)律(lv)(lv)(lv)顧(gu)問制(zhi)度(du)(du)(du)銜接等問題。希望中央企(qi)業(ye)和(he)(he)(he)各地國(guo)(guo)(guo)資委(wei)認真學習并貫(guan)徹(che)落實(shi)(shi)上(shang)(shang)述(shu)中央文件(jian)精神,抓住(zhu)難得機(ji)遇,進(jin)(jin)一(yi)步完善法(fa)(fa)(fa)(fa)律(lv)(lv)(lv)顧(gu)問制(zhi)度(du)(du)(du),提升國(guo)(guo)(guo)資委(wei)系(xi)統法(fa)(fa)(fa)(fa)治建設(she)水平。
(二)持續推(tui)動(dong)法治(zhi)央(yang)(yang)企(qi)(qi)(qi)(qi)建(jian)(jian)設(she)(she)。為深(shen)入貫徹(che)國(guo)務(wu)(wu)院(yuan)國(guo)資(zi)委(wei)(wei)去年12月(yue)出臺(tai)的(de)《關(guan)于全面(mian)推(tui)進(jin)法治(zhi)央(yang)(yang)企(qi)(qi)(qi)(qi)建(jian)(jian)設(she)(she)的(de)意見》,我們召(zhao)開(kai)了(le)部分中央(yang)(yang)企(qi)(qi)(qi)(qi)業(ye)座(zuo)談研(yan)討(tao)會,并于6月(yue)2日下(xia)發(fa)了(le)《關(guan)于做好(hao)法治(zhi)央(yang)(yang)企(qi)(qi)(qi)(qi)建(jian)(jian)設(she)(she)進(jin)展情況(kuang)統(tong)計(ji)報告(gao)工(gong)(gong)作(zuo)的(de)通知(zhi)》,將(jiang)定(ding)期對法治(zhi)央(yang)(yang)企(qi)(qi)(qi)(qi)建(jian)(jian)設(she)(she)進(jin)展情況(kuang)進(jin)行(xing)匯總(zong)統(tong)計(ji)和通報;關(guan)于中央(yang)(yang)企(qi)(qi)(qi)(qi)業(ye)總(zong)法律顧問向國(guo)務(wu)(wu)院(yuan)國(guo)資(zi)委(wei)(wei)述(shu)職(zhi)工(gong)(gong)作(zuo)的(de)通知(zhi)也將(jiang)下(xia)發(fa)。希望各中央(yang)(yang)企(qi)(qi)(qi)(qi)業(ye)積極配(pei)合,做好(hao)相關(guan)工(gong)(gong)作(zuo):一(yi)是及時(shi)上報《法治(zhi)央(yang)(yang)企(qi)(qi)(qi)(qi)建(jian)(jian)設(she)(she)實施方案》(國(guo)資(zi)委(wei)(wei)文件要求于6月(yue)底(di)前上報)及2015、2016年召(zhao)開(kai)法治(zhi)工(gong)(gong)作(zuo)會議(yi)情況(kuang)。二是按時(shi)上報法治(zhi)央(yang)(yang)企(qi)(qi)(qi)(qi)建(jian)(jian)設(she)(she)進(jin)展情況(kuang)統(tong)計(ji)表(首(shou)次上報時(shi)間為10月(yue)底(di))。三是做好(hao)總(zong)法律顧問向國(guo)資(zi)委(wei)(wei)述(shu)職(zhi)準備工(gong)(gong)作(zuo)。下(xia)一(yi)步,我們還(huan)將(jiang)繼續召(zhao)開(kai)分行(xing)業(ye)、分片區(qu)法治(zhi)工(gong)(gong)作(zuo)座(zuo)談研(yan)討(tao)會,強化(hua)對法治(zhi)央(yang)(yang)企(qi)(qi)(qi)(qi)建(jian)(jian)設(she)(she)的(de)分類指(zhi)導和推(tui)動(dong)。
(三)加強中央(yang)企(qi)業(ye)(ye)重(zhong)(zhong)大(da)法(fa)律(lv)糾紛案(an)(an)(an)(an)(an)件管理(li)(li)。近(jin)年(nian)來中央(yang)企(qi)業(ye)(ye)案(an)(an)(an)(an)(an)件涉案(an)(an)(an)(an)(an)金額大(da)幅增加,融資(zi)性(xing)(xing)貿易糾紛和(he)涉外重(zhong)(zhong)大(da)案(an)(an)(an)(an)(an)件多(duo),國有(you)企(qi)業(ye)(ye)之間(jian)的(de)糾紛也(ye)比較(jiao)多(duo)。在中央(yang)企(qi)業(ye)(ye)穩增長、提質增效進入攻堅(jian)階段的(de)新(xin)形(xing)勢下(xia),做(zuo)好重(zhong)(zhong)大(da)法(fa)律(lv)糾紛案(an)(an)(an)(an)(an)件協調管理(li)(li)工作有(you)利于避(bi)免(mian)和(he)減少國有(you)資(zi)產損失(shi)、維(wei)護企(qi)業(ye)(ye)經濟利益(yi)和(he)合法(fa)權益(yi)。但在案(an)(an)(an)(an)(an)件協調過程中我們也(ye)發現一(yi)些問(wen)題,部分中央(yang)企(qi)業(ye)(ye)對本(ben)集團所(suo)屬企(qi)業(ye)(ye)重(zhong)(zhong)大(da)法(fa)律(lv)糾紛案(an)(an)(an)(an)(an)件不了解情況、不掌握動態,指導協調不夠有(you)力,造(zao)成了一(yi)定經濟損失(shi)。為此,我們正在抓(zhua)緊研究起草《關于進一(yi)步加強中央(yang)企(qi)業(ye)(ye)重(zhong)(zhong)大(da)法(fa)律(lv)糾紛案(an)(an)(an)(an)(an)件管理(li)(li)的(de)通知(zhi)》,堅(jian)持問(wen)題導向,就(jiu)健全完善(shan)(shan)重(zhong)(zhong)大(da)法(fa)律(lv)糾紛案(an)(an)(an)(an)(an)件管理(li)(li)機制制度,提出有(you)針(zhen)對性(xing)(xing)的(de)原則要求。希望(wang)中央(yang)企(qi)業(ye)(ye)據此及時細化完善(shan)(shan)本(ben)集團內部的(de)法(fa)律(lv)糾紛案(an)(an)(an)(an)(an)件管理(li)(li)辦法(fa),促進案(an)(an)(an)(an)(an)件依(yi)法(fa)妥善(shan)(shan)處理(li)(li),挽回(hui)或減少經濟損失(shi)。
(四)匯總(zong)(zong)通報省(sheng)屬(shu)國(guo)(guo)有(you)重點(dian)企(qi)業(ye)(ye)(ye)落實(shi)法(fa)(fa)制(zhi)工(gong)(gong)作(zuo)第三(san)個(ge)三(san)年(nian)目(mu)(mu)標(biao)情況。在各省(sheng)級國(guo)(guo)資委(wei)的大力支持(chi)下,我們已經收集匯總(zong)(zong)了目(mu)(mu)標(biao)落實(shi)進展情況,進行了階段性(xing)總(zong)(zong)結分(fen)析。總(zong)(zong)體上看,近兩(liang)年(nian)省(sheng)屬(shu)國(guo)(guo)有(you)重點(dian)企(qi)業(ye)(ye)(ye)法(fa)(fa)治(zhi)工(gong)(gong)作(zuo)各項指標(biao)均有(you)明顯提升(sheng)。北京、遼寧、江蘇、福建、重慶、深圳(zhen)等地(di)總(zong)(zong)法(fa)(fa)律(lv)顧問(wen)制(zhi)度建設覆蓋面(mian)達到(dao)100%,江西、吉林、內蒙古、浙江、廈門等地(di)企(qi)業(ye)(ye)(ye)總(zong)(zong)法(fa)(fa)律(lv)顧問(wen)專職率和法(fa)(fa)律(lv)顧問(wen)持(chi)證(zheng)上崗率均超過(guo)70%,部分(fen)指標(biao)提前完(wan)成。但是(shi)也(ye)應當看到(dao),各地(di)落實(shi)企(qi)業(ye)(ye)(ye)法(fa)(fa)制(zhi)工(gong)(gong)作(zuo)第三(san)個(ge)三(san)年(nian)目(mu)(mu)標(biao)情況省(sheng)屬(shu)國(guo)(guo)有(you)重點(dian)企(qi)業(ye)(ye)(ye)法(fa)(fa)治(zhi)工(gong)(gong)作(zuo)仍不(bu)平(ping)衡,有(you)的省(sheng)市企(qi)業(ye)(ye)(ye)總(zong)(zong)法(fa)(fa)律(lv)顧問(wen)制(zhi)度建設與目(mu)(mu)標(biao)相比還有(you)很大差距(ju)。國(guo)(guo)務院國(guo)(guo)資委(wei)關于省(sheng)屬(shu)國(guo)(guo)有(you)重點(dian)企(qi)業(ye)(ye)(ye)法(fa)(fa)制(zhi)工(gong)(gong)作(zuo)第三(san)個(ge)三(san)年(nian)目(mu)(mu)標(biao)落實(shi)情況的通報即將(jiang)下發(fa),希望(wang)各省(sheng)級國(guo)(guo)資委(wei)全面(mian)對照目(mu)(mu)標(biao)要求,查找(zhao)薄弱環(huan)節(jie),利用(yong)有(you)限的半年(nian)時(shi)間,抓緊整改落實(shi)。
(五)正式啟動國(guo)(guo)(guo)資委系統“七(qi)五”普法(fa)(fa)工作(zuo)。按照第八次(ci)全國(guo)(guo)(guo)法(fa)(fa)治宣(xuan)(xuan)傳(chuan)教育工作(zuo)會(hui)議部署要(yao)(yao)求(qiu),國(guo)(guo)(guo)務院國(guo)(guo)(guo)資委《關(guan)于(yu)在國(guo)(guo)(guo)資委系統開展(zhan)法(fa)(fa)治宣(xuan)(xuan)傳(chuan)教育的(de)第七(qi)個(ge)五年規劃(hua)》將(jiang)于(yu)本(ben)周(zhou)下發,對中央(yang)企業和各省級國(guo)(guo)(guo)資委開展(zhan)“七(qi)五”普法(fa)(fa)工作(zuo)做出具(ju)體安排。請中央(yang)企業和各地國(guo)(guo)(guo)資委按照規劃(hua)要(yao)(yao)求(qiu),結合本(ben)企業和本(ben)地方(fang)實(shi)際及時制定具(ju)體措施規劃(hua),并按要(yao)(yao)求(qiu)報送國(guo)(guo)(guo)資委普法(fa)(fa)辦,確保“七(qi)五”普法(fa)(fa)起(qi)好(hao)步,開好(hao)局(ju)。
(六)認真做好涉外談判對(dui)話(hua)和法(fa)律(lv)事務工作。近(jin)期重點(dian)主要(yao)包括中美商貿聯委會(hui)前期準備工作以及世貿組織貿易政策審議(yi)工作,同時,啟動第二批《一(yi)帶(dai)一(yi)路沿線國家法(fa)律(lv)風險防范指引》編輯出版工作,繼續組織相關中央企業編寫新加(jia)坡、印(yin)度等國家的分冊(ce)。
