編者(zhe)按:貫徹(che)落(luo)實中共中央、國(guo)務院(yuan)印發的(de)《法(fa)(fa)治(zhi)政府建(jian)設實施(shi)綱要(yao)(2015-2020年)》,根(gen)據《國(guo)務院(yuan)國(guo)資委(wei)推進國(guo)資監管法(fa)(fa)治(zhi)機構建(jian)設實施(shi)方案》,國(guo)資委(wei)起草(cao)形成了《關于2018年法(fa)(fa)治(zhi)建(jian)設工作情況(kuang)的(de)報告》,已在(zai)國(guo)資委(wei)網站發布。現將全文刊登(deng),供參(can)考。

貫徹落實中(zhong)共中(zhong)央(yang)、國務院印發的《法治政府(fu)建設實施綱要(2015-2020年)》和中(zhong)央(yang)全面依法治國委(wei)員會要求,國資委(wei)2018年法治建設工(gong)作取(qu)得積極進展:
2018年,國資委以習近平(ping)新時代中(zhong)(zhong)國特(te)色社會主義思想為指(zhi)導,全面(mian)(mian)貫徹落實(shi)黨的十九(jiu)大和十九(jiu)屆二(er)中(zhong)(zhong)、三中(zhong)(zhong)全會精神,深(shen)入貫徹全面(mian)(mian)依法治(zhi)(zhi)(zhi)(zhi)國戰略部(bu)署,認真落實(shi)國務院關于法治(zhi)(zhi)(zhi)(zhi)政府建(jian)設(she)的工作(zuo)要(yao)求,扎實(shi)推進國資監(jian)管法治(zhi)(zhi)(zhi)(zhi)機構建(jian)設(she),在依法全面(mian)(mian)履(lv)職、完善法規(gui)體系、健全決策(ce)機制、強化(hua)權力監(jian)督、有(you)效化(hua)解矛盾、開展法治(zhi)(zhi)(zhi)(zhi)宣(xuan)傳(chuan)、促進依法治(zhi)(zhi)(zhi)(zhi)企等(deng)方面(mian)(mian)取得積(ji)極成效,國資國企法治(zhi)(zhi)(zhi)(zhi)建(jian)設(she)邁出新步伐。
一、切實加強對法治建設的領導和頂層制度設計
一是(shi)深入學習(xi)(xi)(xi)貫徹習(xi)(xi)(xi)近(jin)(jin)平總(zong)書(shu)(shu)記(ji)(ji)(ji)全(quan)(quan)面(mian)依(yi)(yi)法(fa)(fa)(fa)治(zhi)(zhi)(zhi)(zhi)國新理(li)念新思想新戰略。習(xi)(xi)(xi)近(jin)(jin)平總(zong)書(shu)(shu)記(ji)(ji)(ji)在中(zhong)(zhong)央全(quan)(quan)面(mian)依(yi)(yi)法(fa)(fa)(fa)治(zhi)(zhi)(zhi)(zhi)國委(wei)員會(hui)(hui)第一次會(hui)(hui)議上(shang)強(qiang)(qiang)調,要(yao)(yao)加強(qiang)(qiang)黨(dang)(dang)對(dui)全(quan)(quan)面(mian)依(yi)(yi)法(fa)(fa)(fa)治(zhi)(zhi)(zhi)(zhi)國的(de)(de)領(ling)導,更(geng)好發揮法(fa)(fa)(fa)治(zhi)(zhi)(zhi)(zhi)固根本(ben)穩預期利長(chang)遠的(de)(de)保(bao)障(zhang)(zhang)作(zuo)(zuo)用。黨(dang)(dang)委(wei)會(hui)(hui)專(zhuan)題組(zu)(zu)織(zhi)(zhi)學習(xi)(xi)(xi),深刻領(ling)會(hui)(hui)習(xi)(xi)(xi)近(jin)(jin)平總(zong)書(shu)(shu)記(ji)(ji)(ji)重要(yao)(yao)講(jiang)(jiang)話精(jing)神,研究推(tui)進(jin)國資(zi)國企(qi)法(fa)(fa)(fa)治(zhi)(zhi)(zhi)(zhi)建(jian)設(she)(she)的(de)(de)貫徹落(luo)實(shi)措施,并將(jiang)有(you)關(guan)學習(xi)(xi)(xi)情況向中(zhong)(zhong)央全(quan)(quan)面(mian)依(yi)(yi)法(fa)(fa)(fa)治(zhi)(zhi)(zhi)(zhi)國委(wei)員會(hui)(hui)辦(ban)公室報告。黨(dang)(dang)委(wei)會(hui)(hui)傳達學習(xi)(xi)(xi)2018年(nian)(nian)中(zhong)(zhong)央政法(fa)(fa)(fa)工(gong)(gong)作(zuo)(zuo)會(hui)(hui)議精(jing)神,原原本(ben)本(ben)地學習(xi)(xi)(xi)了習(xi)(xi)(xi)近(jin)(jin)平總(zong)書(shu)(shu)記(ji)(ji)(ji)關(guan)于政法(fa)(fa)(fa)工(gong)(gong)作(zuo)(zuo)的(de)(de)重要(yao)(yao)指示,研究了下(xia)一步(bu)貫徹落(luo)實(shi)的(de)(de)工(gong)(gong)作(zuo)(zuo)安排。二是(shi)組(zu)(zu)織(zhi)(zhi)開展憲(xian)法(fa)(fa)(fa)學習(xi)(xi)(xi)宣貫活動。先后召開3次黨(dang)(dang)委(wei)會(hui)(hui)議,深入學習(xi)(xi)(xi)習(xi)(xi)(xi)近(jin)(jin)平總(zong)書(shu)(shu)記(ji)(ji)(ji)在十九(jiu)屆二中(zhong)(zhong)全(quan)(quan)會(hui)(hui)上(shang)的(de)(de)重要(yao)(yao)講(jiang)(jiang)話精(jing)神,認真(zhen)學習(xi)(xi)(xi)憲(xian)法(fa)(fa)(fa)修(xiu)正案。組(zu)(zu)織(zhi)(zhi)召開國資(zi)委(wei)系(xi)統深入學習(xi)(xi)(xi)宣傳和(he)貫徹實(shi)施憲(xian)法(fa)(fa)(fa)動員部署視頻會(hui)(hui),全(quan)(quan)面(mian)布置國資(zi)委(wei)系(xi)統學習(xi)(xi)(xi)宣貫工(gong)(gong)作(zuo)(zuo)。邀請(qing)專(zhuan)家在黨(dang)(dang)委(wei)中(zhong)(zhong)心組(zu)(zu)集體學習(xi)(xi)(xi)和(he)委(wei)機關(guan)法(fa)(fa)(fa)治(zhi)(zhi)(zhi)(zhi)建(jian)設(she)(she)培(pei)訓(xun)班上(shang)作(zuo)(zuo)憲(xian)法(fa)(fa)(fa)專(zhuan)題講(jiang)(jiang)座(zuo),進(jin)一步(bu)弘揚憲(xian)法(fa)(fa)(fa)精(jing)神、增強(qiang)(qiang)憲(xian)法(fa)(fa)(fa)意識。三(san)是(shi)強(qiang)(qiang)化制(zhi)度(du)設(she)(she)計(ji)。黨(dang)(dang)政主要(yao)(yao)負責同志切實(shi)履(lv)行推(tui)進(jin)法(fa)(fa)(fa)治(zhi)(zhi)(zhi)(zhi)建(jian)設(she)(she)第一責任(ren)(ren)人(ren)職(zhi)責,深入研究謀(mou)劃國資(zi)國企(qi)法(fa)(fa)(fa)治(zhi)(zhi)(zhi)(zhi)建(jian)設(she)(she)年(nian)(nian)度(du)工(gong)(gong)作(zuo)(zuo)任(ren)(ren)務,并納(na)入《國資(zi)委(wei)2018年(nian)(nian)工(gong)(gong)作(zuo)(zuo)要(yao)(yao)點》,確保(bao)法(fa)(fa)(fa)治(zhi)(zhi)(zhi)(zhi)建(jian)設(she)(she)與(yu)其他重點工(gong)(gong)作(zuo)(zuo)同部署、同推(tui)進(jin)、同督(du)促。委(wei)黨(dang)(dang)委(wei)會(hui)(hui)、委(wei)主任(ren)(ren)辦(ban)公會(hui)(hui)全(quan)(quan)年(nian)(nian)研究討論法(fa)(fa)(fa)治(zhi)(zhi)(zhi)(zhi)工(gong)(gong)作(zuo)(zuo)35次,制(zhi)定修(xiu)訂(ding)《中(zhong)(zhong)央企(qi)業(ye)違規(gui)經(jing)營投資(zi)責任(ren)(ren)追究實(shi)施辦(ban)法(fa)(fa)(fa)(試行)》《國資(zi)委(wei)立法(fa)(fa)(fa)工(gong)(gong)作(zuo)(zuo)規(gui)則》等文(wen)件(jian),為國資(zi)國企(qi)法(fa)(fa)(fa)治(zhi)(zhi)(zhi)(zhi)建(jian)設(she)(she)提供制(zhi)度(du)支撐和(he)保(bao)障(zhang)(zhang)。
二、依法推進國資監管職能轉變
一(yi)(yi)(yi)是進一(yi)(yi)(yi)步(bu)(bu)(bu)厘清權(quan)責邊界。根據《國(guo)務院(yuan)辦公廳關于轉(zhuan)發國(guo)務院(yuan)國(guo)資(zi)委以(yi)管(guan)(guan)(guan)資(zi)本(ben)(ben)(ben)為主推進職(zhi)能(neng)轉(zhuan)變方(fang)案(an)的通知》,研究(jiu)制定出(chu)(chu)資(zi)人監(jian)(jian)(jian)管(guan)(guan)(guan)權(quan)力(li)和(he)責任清單(dan),明確(que)(que)了規(gui)劃(hua)與投(tou)資(zi)監(jian)(jian)(jian)管(guan)(guan)(guan)、資(zi)本(ben)(ben)(ben)運(yun)營(ying)(ying)與收益管(guan)(guan)(guan)理(li)(li)、改革(ge)改組等9大(da)類(lei)36項權(quan)責事(shi)(shi)(shi)項,依法(fa)明確(que)(que)國(guo)資(zi)監(jian)(jian)(jian)管(guan)(guan)(guan)職(zhi)責范圍(wei),嚴(yan)格(ge)規(gui)范履職(zhi)方(fang)式(shi)和(he)流(liu)程(cheng)。二是突(tu)(tu)出(chu)(chu)“放(fang)管(guan)(guan)(guan)結(jie)合”。制定《上市公司(si)國(guo)有(you)股權(quan)監(jian)(jian)(jian)督管(guan)(guan)(guan)理(li)(li)辦法(fa)》《中央(yang)(yang)企(qi)業(ye)工(gong)資(zi)總額管(guan)(guan)(guan)理(li)(li)辦法(fa)》,進一(yi)(yi)(yi)步(bu)(bu)(bu)精(jing)簡下放(fang)監(jian)(jian)(jian)管(guan)(guan)(guan)事(shi)(shi)(shi)項、優化監(jian)(jian)(jian)管(guan)(guan)(guan)方(fang)式(shi),切實增強(qiang)企(qi)業(ye)活力(li)。突(tu)(tu)出(chu)(chu)管(guan)(guan)(guan)資(zi)本(ben)(ben)(ben)重(zhong)點職(zhi)能(neng),強(qiang)化投(tou)資(zi)規(gui)劃(hua)、資(zi)本(ben)(ben)(ben)運(yun)作和(he)考(kao)核分(fen)配監(jian)(jian)(jian)管(guan)(guan)(guan),防止(zhi)國(guo)有(you)資(zi)產流(liu)失。研究(jiu)起草中央(yang)(yang)企(qi)業(ye)公司(si)章程(cheng)指引(yin)、落(luo)實董事(shi)(shi)(shi)會職(zhi)權(quan)試點工(gong)作等相(xiang)關文(wen)件,注重(zhong)通過公司(si)法(fa)人治(zhi)理(li)(li)結(jie)構依法(fa)履行出(chu)(chu)資(zi)人職(zhi)責。三是強(qiang)化責任追究(jiu)。制定企(qi)業(ye)違(wei)規(gui)經(jing)營(ying)(ying)投(tou)資(zi)責任追究(jiu)辦法(fa),推動(dong)中央(yang)(yang)企(qi)業(ye)建(jian)立相(xiang)關制度(du)和(he)工(gong)作體(ti)系(xi)。深入開(kai)展(zhan)國(guo)有(you)資(zi)產重(zhong)大(da)損失調查及(ji)違(wei)規(gui)責任追究(jiu)。四是運(yun)用信(xin)息化手(shou)段加強(qiang)事(shi)(shi)(shi)中事(shi)(shi)(shi)后監(jian)(jian)(jian)管(guan)(guan)(guan)。初步(bu)(bu)(bu)建(jian)成國(guo)資(zi)國(guo)企(qi)在線(xian)監(jian)(jian)(jian)管(guan)(guan)(guan)系(xi)統,對中央(yang)(yang)企(qi)業(ye)集(ji)團層面“三重(zhong)一(yi)(yi)(yi)大(da)”事(shi)(shi)(shi)項決策(ce)制度(du)、規(gui)則、清單(dan)、程(cheng)序實現實時在線(xian)監(jian)(jian)(jian)管(guan)(guan)(guan),投(tou)資(zi)、考(kao)核分(fen)配等工(gong)作初步(bu)(bu)(bu)實現動(dong)態監(jian)(jian)(jian)測與展(zhan)示(shi),國(guo)資(zi)監(jian)(jian)(jian)管(guan)(guan)(guan)效能(neng)進一(yi)(yi)(yi)步(bu)(bu)(bu)提升。
三、完善國資監管法規制度體系
一(yi)(yi)是(shi)加強(qiang)重點領(ling)域(yu)國(guo)(guo)(guo)資監管(guan)立(li)(li)法(fa)(fa)(fa)。圍繞國(guo)(guo)(guo)資國(guo)(guo)(guo)企改革發(fa)展(zhan)(zhan)中(zhong)(zhong)心工(gong)作(zuo),編制(zhi)國(guo)(guo)(guo)資委2018年(nian)立(li)(li)法(fa)(fa)(fa)工(gong)作(zuo)計劃,列入立(li)(li)法(fa)(fa)(fa)項目21項。全年(nian)出(chu)臺《關于中(zhong)(zhong)央(yang)企業規(gui)(gui)(gui)(gui)(gui)范(fan)(fan)實施企業年(nian)金(jin)的(de)(de)意見》等(deng)規(gui)(gui)(gui)(gui)(gui)章規(gui)(gui)(gui)(gui)(gui)范(fan)(fan)性(xing)(xing)(xing)(xing)文(wen)(wen)件(jian)(jian)(jian)(jian)(jian)14件(jian)(jian)(jian)(jian)(jian)。截至目前(qian),國(guo)(guo)(guo)資委現行有(you)效(xiao)規(gui)(gui)(gui)(gui)(gui)章27件(jian)(jian)(jian)(jian)(jian)、規(gui)(gui)(gui)(gui)(gui)范(fan)(fan)性(xing)(xing)(xing)(xing)文(wen)(wen)件(jian)(jian)(jian)(jian)(jian)209件(jian)(jian)(jian)(jian)(jian),系統完(wan)備(bei)(bei)、科學有(you)效(xiao)的(de)(de)國(guo)(guo)(guo)資監管(guan)法(fa)(fa)(fa)規(gui)(gui)(gui)(gui)(gui)制(zhi)度體系基本形成。二是(shi)嚴格(ge)規(gui)(gui)(gui)(gui)(gui)范(fan)(fan)規(gui)(gui)(gui)(gui)(gui)章規(gui)(gui)(gui)(gui)(gui)范(fan)(fan)性(xing)(xing)(xing)(xing)文(wen)(wen)件(jian)(jian)(jian)(jian)(jian)制(zhi)定(ding)(ding)程序(xu)(xu)。根據《行政法(fa)(fa)(fa)規(gui)(gui)(gui)(gui)(gui)制(zhi)定(ding)(ding)程序(xu)(xu)條例(li)》和《規(gui)(gui)(gui)(gui)(gui)章制(zhi)定(ding)(ding)程序(xu)(xu)條例(li)》,修(xiu)訂國(guo)(guo)(guo)資委立(li)(li)法(fa)(fa)(fa)工(gong)作(zuo)規(gui)(gui)(gui)(gui)(gui)則,強(qiang)化(hua)黨對(dui)(dui)立(li)(li)法(fa)(fa)(fa)工(gong)作(zuo)的(de)(de)領(ling)導,細(xi)化(hua)公(gong)開(kai)征集(ji)項目建(jian)(jian)議、完(wan)善溝(gou)通協商機制(zhi)、開(kai)展(zhan)(zhan)評估(gu)等(deng)環節,提(ti)高立(li)(li)法(fa)(fa)(fa)工(gong)作(zuo)質量。印發(fa)《關于貫(guan)徹落實〈國(guo)(guo)(guo)務院辦公(gong)廳關于加強(qiang)行政規(gui)(gui)(gui)(gui)(gui)范(fan)(fan)性(xing)(xing)(xing)(xing)文(wen)(wen)件(jian)(jian)(jian)(jian)(jian)制(zhi)定(ding)(ding)和監督管(guan)理(li)工(gong)作(zuo)的(de)(de)通知(zhi)〉的(de)(de)通知(zhi)》,對(dui)(dui)嚴控(kong)發(fa)文(wen)(wen)數(shu)量、嚴格(ge)發(fa)文(wen)(wen)程序(xu)(xu)、加強(qiang)合(he)法(fa)(fa)(fa)性(xing)(xing)(xing)(xing)審核等(deng)提(ti)出(chu)明確要(yao)求(qiu)。全年(nian)開(kai)展(zhan)(zhan)規(gui)(gui)(gui)(gui)(gui)章規(gui)(gui)(gui)(gui)(gui)范(fan)(fan)性(xing)(xing)(xing)(xing)文(wen)(wen)件(jian)(jian)(jian)(jian)(jian)法(fa)(fa)(fa)律審核48件(jian)(jian)(jian)(jian)(jian)次,實行規(gui)(gui)(gui)(gui)(gui)范(fan)(fan)性(xing)(xing)(xing)(xing)文(wen)(wen)件(jian)(jian)(jian)(jian)(jian)統一(yi)(yi)登(deng)記、統一(yi)(yi)編號、統一(yi)(yi)印發(fa)。三(san)是(shi)持續開(kai)展(zhan)(zhan)規(gui)(gui)(gui)(gui)(gui)章規(gui)(gui)(gui)(gui)(gui)范(fan)(fan)性(xing)(xing)(xing)(xing)文(wen)(wen)件(jian)(jian)(jian)(jian)(jian)清理(li)工(gong)作(zuo)。按照(zhao)黨中(zhong)(zhong)央(yang)、國(guo)(guo)(guo)務院要(yao)求(qiu),開(kai)展(zhan)(zhan)涉黨和國(guo)(guo)(guo)家機構(gou)改革的(de)(de)規(gui)(gui)(gui)(gui)(gui)章規(gui)(gui)(gui)(gui)(gui)范(fan)(fan)性(xing)(xing)(xing)(xing)文(wen)(wen)件(jian)(jian)(jian)(jian)(jian)專項清理(li),同時對(dui)(dui)不(bu)適應國(guo)(guo)(guo)資監管(guan)新要(yao)求(qiu)的(de)(de)文(wen)(wen)件(jian)(jian)(jian)(jian)(jian)一(yi)(yi)并(bing)清理(li),共(gong)廢(fei)止(zhi)失(shi)效(xiao)15件(jian)(jian)(jian)(jian)(jian),文(wen)(wen)件(jian)(jian)(jian)(jian)(jian)清理(li)長效(xiao)機制(zhi)初步建(jian)(jian)立(li)(li)。四是(shi)積極參(can)與國(guo)(guo)(guo)家重點立(li)(li)法(fa)(fa)(fa)。開(kai)展(zhan)(zhan)《公(gong)司法(fa)(fa)(fa)》修(xiu)改問(wen)題(ti)研(yan)究(jiu),配合(he)做(zuo)好《企業國(guo)(guo)(guo)有(you)資產監督管(guan)理(li)暫行條例(li)》修(xiu)改工(gong)作(zuo)。在《審計法(fa)(fa)(fa)》《資源稅法(fa)(fa)(fa)》《中(zhong)(zhong)央(yang)儲(chu)備(bei)(bei)糧(liang)管(guan)理(li)條例(li)》等(deng)法(fa)(fa)(fa)律法(fa)(fa)(fa)規(gui)(gui)(gui)(gui)(gui)制(zhi)修(xiu)訂過程中(zhong)(zhong),充分反映(ying)相關意見建(jian)(jian)議。
四、推進決策科學化、民主化、法治化
一是落實(shi)(shi)依法(fa)決(jue)(jue)策(ce)機制。健(jian)全國(guo)資(zi)委(wei)工作(zuo)規則,全年共召(zhao)開(kai)63次黨(dang)委(wei)會(hui)、主任辦(ban)公(gong)(gong)會(hui)研究(jiu)重大(da)事項(xiang),嚴(yan)格落實(shi)(shi)集體領導、民主集中、會(hui)議決(jue)(jue)定(ding)的(de)決(jue)(jue)策(ce)機制,確(que)(que)保作(zuo)出(chu)各項(xiang)決(jue)(jue)策(ce)程(cheng)(cheng)序規范、科學有效。二是加強重大(da)決(jue)(jue)策(ce)合(he)法(fa)性(xing)審查(cha)(cha)。健(jian)全國(guo)資(zi)委(wei)重大(da)決(jue)(jue)策(ce)合(he)法(fa)性(xing)審查(cha)(cha)機制,明確(que)(que)決(jue)(jue)策(ce)方案(an)需包含法(fa)律(lv)(lv)(lv)法(fa)規政策(ce)依據、履行法(fa)定(ding)程(cheng)(cheng)序等情況(kuang)。充分(fen)發揮法(fa)律(lv)(lv)(lv)顧(gu)問和公(gong)(gong)職律(lv)(lv)(lv)師(shi)作(zuo)用(yong),全年對中央企業(ye)章程(cheng)(cheng)、改制重組方案(an)以及國(guo)有資(zi)本投資(zi)、運營(ying)公(gong)(gong)司試(shi)點等決(jue)(jue)策(ce)事項(xiang)進行法(fa)律(lv)(lv)(lv)論證把關。三是建(jian)(jian)立健(jian)全公(gong)(gong)平(ping)競爭(zheng)審查(cha)(cha)機制。落實(shi)(shi)國(guo)務院(yuan)關于建(jian)(jian)立公(gong)(gong)平(ping)競爭(zheng)審查(cha)(cha)制度的(de)要(yao)求,從市場準入(ru)、商品和要(yao)素自由流動等方面對政策(ce)措施(shi)深(shen)入(ru)開(kai)展審查(cha)(cha),同(tong)時組織(zhi)公(gong)(gong)平(ping)競爭(zheng)專項(xiang)清理,確(que)(que)保監管行為依法(fa)合(he)規。
五、強化對權力的制約和監督
一(yi)(yi)是(shi)健全(quan)常態(tai)化、長效化的監(jian)督制度。根(gen)據《各廳(ting)局職(zhi)能及(ji)主(zhu)(zhu)要(yao)工作(zuo)事項(xiang)(試行(xing))》,完善《國資(zi)(zi)委(wei)機關(guan)職(zhi)責分解一(yi)(yi)覽表》,進(jin)一(yi)(yi)步(bu)明(ming)確(que)工作(zuo)職(zhi)責和程序,優化履(lv)職(zhi)方式。出臺《關(guan)于規(gui)(gui)(gui)范國資(zi)(zi)委(wei)機關(guan)工作(zuo)人員(yuan)與中(zhong)央企業(ye)往來(lai)行(xing)為(wei)的規(gui)(gui)(gui)定(ding)》,對依(yi)法(fa)合(he)規(gui)(gui)(gui)行(xing)權(quan)履(lv)職(zhi)提(ti)出具(ju)體要(yao)求,推(tui)動(dong)(dong)構(gou)建(jian)與中(zhong)央企業(ye)“親”“清”健康的工作(zuo)關(guan)系。按照《關(guan)于合(he)理確(que)定(ding)并嚴(yan)格(ge)規(gui)(gui)(gui)范中(zhong)央企業(ye)負責人履(lv)職(zhi)待遇(yu)、業(ye)務支(zhi)出的意見(jian)》有關(guan)規(gui)(gui)(gui)定(ding),結(jie)合(he)巡視、審(shen)計(ji)、紀檢監(jian)察發現的突(tu)出問題,進(jin)一(yi)(yi)步(bu)健全(quan)相關(guan)制度規(gui)(gui)(gui)范。二(er)是(shi)自覺接受黨內監(jian)督和審(shen)計(ji)監(jian)督。組織召開(kai)(kai)國資(zi)(zi)委(wei)直屬(shu)機關(guan)警示教(jiao)育大(da)會,深入剖析中(zhong)央第一(yi)(yi)輪巡視國資(zi)(zi)委(wei)發現的突(tu)出問題,以(yi)典型案件為(wei)反(fan)面(mian)教(jiao)材,教(jiao)育引(yin)導廣大(da)黨員(yuan)干部深刻反(fan)思、引(yin)以(yi)為(wei)戒(jie)。配(pei)合(he)審(shen)計(ji)署對國資(zi)(zi)委(wei)開(kai)(kai)展2017年預算執行(xing)等情(qing)況審(shen)計(ji)以(yi)及(ji)相關(guan)專(zhuan)項(xiang)審(shen)計(ji),積極提(ti)供材料、主(zhu)(zhu)動(dong)(dong)說明(ming)情(qing)況、全(quan)力整(zheng)改問題。三是(shi)全(quan)面(mian)推(tui)進(jin)陽(yang)光監(jian)管。編(bian)制《國資(zi)(zi)委(wei)主(zhu)(zhu)動(dong)(dong)公(gong)開(kai)(kai)基本目錄(lu)》,包(bao)括(kuo)7類30項(xiang)具(ju)體公(gong)開(kai)(kai)事項(xiang),同時(shi)明(ming)確(que)了公(gong)開(kai)(kai)時(shi)限和公(gong)開(kai)(kai)方式。通過公(gong)告(gao)、新聞發布(bu)會、官方網站(zhan)、微信(xin)(xin)公(gong)眾(zhong)號(hao)等多種渠(qu)道主(zhu)(zhu)動(dong)(dong)發布(bu)國資(zi)(zi)國企權(quan)威信(xin)(xin)息,包(bao)括(kuo)國資(zi)(zi)監(jian)管規(gui)(gui)(gui)章規(gui)(gui)(gui)范性文件、中(zhong)央企業(ye)經濟運行(xing)情(qing)況、監(jian)督檢查(cha)結(jie)果等。
六、依法有效化解矛盾糾紛
一是(shi)妥(tuo)(tuo)(tuo)善(shan)應對機關涉訴(su)案(an)(an)件。認真(zhen)辦(ban)理行(xing)政復議、行(xing)政訴(su)訟(song)案(an)(an)件,就國資委涉行(xing)政訴(su)訟(song)案(an)(an)有關定性(xing)問題(ti),主動與最(zui)高(gao)(gao)法(fa)(fa)院溝(gou)通協調,最(zui)高(gao)(gao)法(fa)(fa)院明確不受理以行(xing)政復議為(wei)由對國資委提起的行(xing)政訴(su)訟(song)。二是(shi)立(li)足源頭治(zhi)理加(jia)強維穩(wen)工(gong)作。對于企(qi)業(ye)改(gai)(gai)制、廠(chang)辦(ban)大(da)(da)集體改(gai)(gai)革、分離企(qi)業(ye)辦(ban)社(she)會(hui)(hui)等可能引發(fa)社(she)會(hui)(hui)矛(mao)(mao)盾(dun)潛在風(feng)險的國企(qi)改(gai)(gai)革事項,加(jia)強業(ye)務工(gong)作與維穩(wen)工(gong)作的結合,將推(tui)進(jin)改(gai)(gai)革與確保(bao)穩(wen)定同謀劃、同部署、同落實(shi),從(cong)源頭上把(ba)控風(feng)險。組織中央(yang)企(qi)業(ye)開展矛(mao)(mao)盾(dun)糾紛(fen)排查(cha)化解,對排查(cha)出的不穩(wen)定問題(ti)建立(li)風(feng)險管控臺(tai)賬,并制訂相應化解措施。三是(shi)不斷(duan)提升信訪(fang)工(gong)作法(fa)(fa)治(zhi)化水(shui)平。嚴格執行(xing)信訪(fang)條例,全面推(tui)進(jin)訴(su)訪(fang)分離,運用法(fa)(fa)治(zhi)思維分類處理信訪(fang)問題(ti),引導信訪(fang)人通過司法(fa)(fa)程序妥(tuo)(tuo)(tuo)善(shan)解決矛(mao)(mao)盾(dun)問題(ti)。加(jia)強機關接訪(fang)辦(ban)信、復查(cha)復核、轉(zhuan)辦(ban)督辦(ban)等基礎業(ye)務管理,進(jin)一步優化網上辦(ban)理信訪(fang)的工(gong)作流程。四是(shi)指導協調中央(yang)企(qi)業(ye)重大(da)(da)法(fa)(fa)律糾紛(fen)案(an)(an)件。印發(fa)中央(yang)企(qi)業(ye)法(fa)(fa)律糾紛(fen)案(an)(an)件綜(zong)合分析報告,督促(cu)企(qi)業(ye)依(yi)法(fa)(fa)妥(tuo)(tuo)(tuo)善(shan)解決矛(mao)(mao)盾(dun)糾紛(fen),及時(shi)化解社(she)會(hui)(hui)不穩(wen)定因素。
七、大力推進“七五”普法工作
一是(shi)積極開(kai)(kai)展法(fa)(fa)(fa)(fa)治(zhi)(zhi)宣傳。制定《國(guo)務院國(guo)資(zi)委普(pu)法(fa)(fa)(fa)(fa)責(ze)任清單》,按照“業(ye)務誰主管誰普(pu)法(fa)(fa)(fa)(fa)”原則,明(ming)確各廳局責(ze)任。國(guo)資(zi)國(guo)企(qi)(qi)(qi)重要政策文(wen)件出臺后,通(tong)過(guo)舉行(xing)新聞發(fa)(fa)布(bu)(bu)會(hui)、媒體(ti)通(tong)氣會(hui),組(zu)織(zhi)專家(jia)解(jie)讀、發(fa)(fa)表(biao)專題(ti)(ti)文(wen)章等形式,做(zuo)好(hao)政策宣講解(jie)讀工(gong)作(zuo)。創建“國(guo)資(zi)法(fa)(fa)(fa)(fa)治(zhi)(zhi)”微(wei)信公眾號,定期(qi)發(fa)(fa)布(bu)(bu)中(zhong)(zhong)(zhong)(zhong)央企(qi)(qi)(qi)業(ye)法(fa)(fa)(fa)(fa)治(zhi)(zhi)建設(she)信息,加強(qiang)宣傳引導。組(zu)織(zhi)開(kai)(kai)展“七五”普(pu)法(fa)(fa)(fa)(fa)中(zhong)(zhong)(zhong)(zhong)期(qi)檢查,及時總結工(gong)作(zuo)情況上報全國(guo)普(pu)法(fa)(fa)(fa)(fa)辦。二是(shi)切實(shi)加強(qiang)系統內(nei)法(fa)(fa)(fa)(fa)治(zhi)(zhi)培(pei)訓。舉辦國(guo)資(zi)委機關(guan)法(fa)(fa)(fa)(fa)治(zhi)(zhi)建設(she)專題(ti)(ti)培(pei)訓班,邀(yao)(yao)請專家(jia)、法(fa)(fa)(fa)(fa)官為機關(guan)干部講授(shou)公平競爭審查、行(xing)政訴訟法(fa)(fa)(fa)(fa)和典型案(an)例。全年組(zu)織(zhi)6期(qi)“法(fa)(fa)(fa)(fa)治(zhi)(zhi)講堂(tang)”,邀(yao)(yao)請知名(ming)專家(jia)學者、律師(shi)進行(xing)視頻授(shou)課,國(guo)資(zi)委系統每(mei)期(qi)參加人(ren)員近2萬(wan)人(ren)。深(shen)入企(qi)(qi)(qi)業(ye)宣貫法(fa)(fa)(fa)(fa)治(zhi)(zhi)建設(she)要求,派員參加中(zhong)(zhong)(zhong)(zhong)央企(qi)(qi)(qi)業(ye)法(fa)(fa)(fa)(fa)治(zhi)(zhi)工(gong)作(zuo)會(hui)議(yi)、為企(qi)(qi)(qi)業(ye)黨委(黨組(zu))中(zhong)(zhong)(zhong)(zhong)心組(zu)專題(ti)(ti)學法(fa)(fa)(fa)(fa)授(shou)課70余次。舉辦中(zhong)(zhong)(zhong)(zhong)央企(qi)(qi)(qi)業(ye)境(jing)外法(fa)(fa)(fa)(fa)律風險(xian)防范等4個培(pei)訓班,組(zu)織(zhi)涉美訴訟應對(dui)法(fa)(fa)(fa)(fa)律事務境(jing)外培(pei)訓,取得了(le)較好(hao)效果。三是(shi)有力促(cu)進共(gong)享交(jiao)(jiao)流。將全部中(zhong)(zhong)(zhong)(zhong)央企(qi)(qi)(qi)業(ye)按行(xing)業(ye)、地域分成(cheng)12個協(xie)作(zuo)組(zu),組(zu)內(nei)企(qi)(qi)(qi)業(ye)輪流牽頭,圍繞不同主題(ti)(ti)定期(qi)座(zuo)談(tan)交(jiao)(jiao)流,全年各協(xie)作(zuo)組(zu)共(gong)開(kai)(kai)展活動34次。不斷(duan)充實(shi)中(zhong)(zhong)(zhong)(zhong)央企(qi)(qi)(qi)業(ye)法(fa)(fa)(fa)(fa)治(zhi)(zhi)建設(she)優(you)秀案(an)例庫(ku),已發(fa)(fa)布(bu)(bu)優(you)秀案(an)例200個,供企(qi)(qi)(qi)業(ye)學習(xi)借(jie)鑒。
八、促進中央企業提高依法治企水平
一(yi)是(shi)督(du)促企(qi)(qi)業(ye)(ye)法(fa)治(zhi)(zhi)建設(she)(she)第一(yi)責(ze)(ze)任人(ren)(ren)職責(ze)(ze)落(luo)實(shi)。貫徹(che)中央(yang)(yang)(yang)要(yao)求,印發《中央(yang)(yang)(yang)企(qi)(qi)業(ye)(ye)主(zhu)要(yao)負責(ze)(ze)人(ren)(ren)履(lv)行推(tui)(tui)進法(fa)治(zhi)(zhi)建設(she)(she)第一(yi)責(ze)(ze)任人(ren)(ren)職責(ze)(ze)規(gui)定(ding)》。組織(zhi)對(dui)全部中央(yang)(yang)(yang)企(qi)(qi)業(ye)(ye)貫徹(che)落(luo)實(shi)情況進行實(shi)地調研(yan),將第一(yi)責(ze)(ze)任人(ren)(ren)職責(ze)(ze)細化為38項(xiang)指(zhi)標,對(dui)企(qi)(qi)業(ye)(ye)逐(zhu)一(yi)分(fen)析評估,并逐(zhu)一(yi)反饋結果,有力促進法(fa)治(zhi)(zhi)央(yang)(yang)(yang)企(qi)(qi)建設(she)(she)整體(ti)水(shui)平不斷(duan)提升。二是(shi)指(zhi)導中央(yang)(yang)(yang)企(qi)(qi)業(ye)(ye)加(jia)(jia)強風(feng)險(xian)防范(fan)。在先(xian)行試點、總(zong)結研(yan)究的(de)基礎上,出臺《中央(yang)(yang)(yang)企(qi)(qi)業(ye)(ye)合規(gui)管(guan)理(li)(li)指(zhi)引(yin)(試行)》,編寫《知名(ming)跨國公司合規(gui)管(guan)理(li)(li)典型(xing)案(an)例匯編》,推(tui)(tui)動企(qi)(qi)業(ye)(ye)全面加(jia)(jia)強風(feng)險(xian)管(guan)控,提升依法(fa)合規(gui)經營(ying)(ying)管(guan)理(li)(li)能(neng)力。組織(zhi)企(qi)(qi)業(ye)(ye)全面開展境外(wai)法(fa)律(lv)風(feng)險(xian)排查處置,全面梳理(li)(li)企(qi)(qi)業(ye)(ye)海外(wai)經營(ying)(ying)5大(da)類20種風(feng)險(xian),強化綜合分(fen)析和(he)風(feng)險(xian)提示(shi)。三是(shi)夯實(shi)組織(zhi)體(ti)系和(he)隊伍建設(she)(she)。推(tui)(tui)動企(qi)(qi)業(ye)(ye)建立健(jian)全法(fa)治(zhi)(zhi)工作機構,探索(suo)設(she)(she)立法(fa)律(lv)服務中心(xin)等法(fa)律(lv)資源(yuan)集約化管(guan)理(li)(li)模(mo)式。指(zhi)導企(qi)(qi)業(ye)(ye)強化法(fa)律(lv)顧(gu)問配備和(he)隊伍培養(yang),目前中央(yang)(yang)(yang)企(qi)(qi)業(ye)(ye)全系統共有法(fa)律(lv)顧(gu)問1.1萬人(ren)(ren)。建立中央(yang)(yang)(yang)企(qi)(qi)業(ye)(ye)金融法(fa)律(lv)人(ren)(ren)才庫和(he)涉外(wai)法(fa)律(lv)人(ren)(ren)才庫,目前入庫專家193人(ren)(ren)。

●國資委政策法規局赴地方開展片區調研
2019年3月中(zhong)旬,政策法規局分別赴(fu)四(si)川、山東、湖北三個(ge)地(di)(di)方,組織召開(kai)了完(wan)善國有(you)(you)資(zi)(zi)產管(guan)理體制片區調(diao)研座談(tan)會,并深入(ru)實地(di)(di)調(diao)研了部(bu)分省屬重點(dian)國有(you)(you)企業。全國37個(ge)省級國資(zi)(zi)委(wei)和部(bu)分地(di)(di)市(shi)級國資(zi)(zi)委(wei)有(you)(you)關(guan)負責同志、政策法規處室負責同志參加了調(diao)研座談(tan)。

●中央企業法治工作重點措施
1.東(dong)(dong)航(hang)集團:為保(bao)(bao)證合(he)規經營,提(ti)升(sheng)旅客(ke)信(xin)息(xi)保(bao)(bao)護水平,東(dong)(dong)航(hang)集團制定下發(fa)《關于加強互聯網化東(dong)(dong)航(hang)戰略法(fa)(fa)律(lv)服務保(bao)(bao)障指(zhi)導意見》。成立(li)(li)GDPR合(he)規建設領(ling)導小組和(he)工作小組,任命數據保(bao)(bao)護官,東(dong)(dong)航(hang)成為國內(nei)首家設立(li)(li)數據保(bao)(bao)護官的(de)企(qi)業(ye)。聘(pin)請專業(ye)機構,利用外(wai)部資源就GDPR相關條款和(he)具體事(shi)項(xiang)提(ti)供(gong)法(fa)(fa)律(lv)建議。梳(shu)(shu)理內(nei)部風(feng)險點,開展合(he)規整改(gai),發(fa)布隱私政策,持續推進與供(gong)應商簽(qian)署相關協議,明確合(he)作伙伴(ban)的(de)數據保(bao)(bao)護義務和(he)責任。目前,梳(shu)(shu)理出的(de)44項(xiang)整改(gai)項(xiang)中除長期整改(gai)項(xiang)外(wai),其余已基本完成。
2.中國(guo)商飛:中國(guo)商飛深(shen)入學(xue)習(xi)貫徹(che)黨(dang)的十九大精(jing)神(shen),認(ren)真學(xue)習(xi)習(xi)近平新(xin)時(shi)代中國(guo)特(te)色社(she)會主義思想,大力推進(jin)法(fa)治商飛建(jian)設。一是不斷強化第一責(ze)任人職責(ze)貫徹(che)落(luo)(luo)(luo)實(shi)(shi)。董事長親自部(bu)署,親自動員,聽取匯報,提出(chu)要(yao)求。總經(jing)理親自策劃(hua),將落(luo)(luo)(luo)實(shi)(shi)第一責(ze)任人職責(ze)要(yao)求有(you)效落(luo)(luo)(luo)實(shi)(shi)延伸至各(ge)單(dan)位各(ge)部(bu)門。切實(shi)(shi)強化領導干部(bu)法(fa)治學(xue)習(xi),年度集中學(xue)法(fa)時(shi)間達41小時(shi)。二是進(jin)一步提升風險防(fang)控能力,專門成立(li)競爭對策專項改革小組,深(shen)入開展法(fa)律合規研究(jiu),形成《WTO貿易合規內部(bu)管理指(zhi)(zhi)引》《美國(guo)出(chu)口管制(zhi)合規指(zhi)(zhi)引》等一系列研究(jiu)成果。定期(qi)梳(shu)理排查境(jing)外法(fa)律風險,編制(zhi)人力資源、產(chan)品責(ze)任等專業領域法(fa)律風險崗位防(fang)控指(zhi)(zhi)引。
