【構建國資監管大格局】之四:深圳市優化監管體系
加速職能轉變 為國資監管體制改革先行探路

深圳市國(guo)資(zi)委堅持以習近平新時代(dai)中國(guo)特(te)色社(she)會主義(yi)思想為指導,牢牢把握先行(xing)示范區、粵港澳大灣區“雙(shuang)區驅(qu)動”和區域性國(guo)資(zi)國(guo)企綜合改革試驗(yan)“三重(zhong)戰略(lve)機遇”,立足“國(guo)企出(chu)資(zi)人、國(guo)資(zi)監(jian)管(guan)人、黨建(jian)負(fu)責人”定位,積極(ji)轉(zhuan)變機構職(zhi)能和履(lv)職(zhi)方式,初步探(tan)索出(chu)一(yi)條“以黨建(jian)為引領,優化(hua)出(chu)資(zi)人監(jian)管(guan)和完善現(xian)代(dai)國(guo)有企業(ye)制度雙(shuang)向發力的職(zhi)能轉(zhuan)變路徑”。

一、堅持市場化、法治化、專業化監管路徑,把準職能轉變總方向

深化國資監管法治機構建設,強化“六位一體”綜合監管。深圳國(guo)資(zi)委堅持制度(du)先行(xing)(xing)、規則引領(ling),加(jia)快完善國(guo)資(zi)改(gai)革(ge)重點領(ling)域和(he)(he)依(yi)(yi)法(fa)監(jian)(jian)(jian)(jian)管關鍵(jian)環節的(de)頂層設計,出臺《關于進一步加(jia)強(qiang)國(guo)資(zi)監(jian)(jian)(jian)(jian)管法(fa)治機構(gou)(gou)建設的(de)實(shi)(shi)施(shi)方案》,聚焦依(yi)(yi)法(fa)履(lv)職、制度(du)體(ti)系、決(jue)策程序(xu)、權(quan)力監(jian)(jian)(jian)(jian)督、矛盾化解(jie)、文化建設和(he)(he)保(bao)障措施(shi)等多(duo)方位多(duo)領(ling)域,落細落小落實(shi)(shi)責任分工,實(shi)(shi)現(xian)依(yi)(yi)法(fa)履(lv)行(xing)(xing)職責、依(yi)(yi)法(fa)建章(zhang)立(li)制、依(yi)(yi)法(fa)規范決(jue)策協同并進,推(tui)動建成權(quan)責法(fa)定、職能科(ke)學、履(lv)職規范、透(tou)明高效的(de)國(guo)資(zi)監(jian)(jian)(jian)(jian)管法(fa)治機構(gou)(gou)。國(guo)資(zi)監(jian)(jian)(jian)(jian)管制度(du)體(ti)系的(de)“四梁八柱”初步成型(xing),有效護(hu)航改(gai)革(ge)發展行(xing)(xing)穩致遠。扎實(shi)(shi)推(tui)進紀檢監(jian)(jian)(jian)(jian)察(cha)體(ti)制改(gai)革(ge),為全國(guo)破(po)解(jie)國(guo)企同級監(jian)(jian)(jian)(jian)督難題提供深圳經(jing)驗。整合黨的(de)監(jian)(jian)(jian)(jian)督、出資(zi)人監(jian)(jian)(jian)(jian)督、企業(ye)內部監(jian)(jian)(jian)(jian)督三方資(zi)源,構(gou)(gou)建企業(ye)黨委領(ling)導、紀委統(tong)(tong)籌,紀檢監(jian)(jian)(jian)(jian)察(cha)、監(jian)(jian)(jian)(jian)事會、財(cai)務(wu)總(zong)監(jian)(jian)(jian)(jian)、內審、內控、風(feng)控協同聯動的(de)“六位一體(ti)”大監(jian)(jian)(jian)(jian)督體(ti)系,形(xing)成“職責統(tong)(tong)一行(xing)(xing)使、資(zi)源集中調度(du)、內容(rong)全面(mian)覆蓋、成果開(kai)放共享”的(de)監(jian)(jian)(jian)(jian)督閉環。

持續完善國資監管體系,提升“兩類公司”功能。深(shen)(shen)圳(zhen)國(guo)資(zi)委重(zhong)點(dian)通過“一(yi)(yi)張清單(dan)(dan)、一(yi)(yi)個基(ji)金(jin)、三(san)類平(ping)(ping)臺(tai)”,構建深(shen)(shen)圳(zhen)特色(se)國(guo)資(zi)監管運(yun)營(ying)體制(zhi)。“一(yi)(yi)張清單(dan)(dan)”,即(ji)(ji)制(zhi)定國(guo)資(zi)監管權(quan)(quan)責清單(dan)(dan),并根(gen)據形(xing)勢發展(zhan)和實際需求適時動態調(diao)整。“一(yi)(yi)個基(ji)金(jin)”,即(ji)(ji)構建以國(guo)資(zi)改革與戰略發展(zhan)基(ji)金(jin)為(wei)牽引的(de)國(guo)資(zi)基(ji)金(jin)群,目前基(ji)金(jin)群規模超(chao)4900億元,為(wei)管好資(zi)本(ben)(ben)、推進企(qi)業(ye)(ye)(ye)(ye)改革發展(zhan)提(ti)(ti)(ti)供(gong)(gong)了有(you)效(xiao)的(de)工(gong)具(ju)手(shou)段。“三(san)類平(ping)(ping)臺(tai)”,即(ji)(ji)針對國(guo)有(you)資(zi)本(ben)(ben)商業(ye)(ye)(ye)(ye)屬(shu)(shu)性(xing)、公(gong)(gong)共服務屬(shu)(shu)性(xing)和政府延伸(shen)功(gong)能(neng)屬(shu)(shu)性(xing),打(da)造(zao)國(guo)有(you)資(zi)本(ben)(ben)投(tou)(tou)資(zi)、運(yun)營(ying)公(gong)(gong)司(si)(si)和公(gong)(gong)益類、功(gong)能(neng)類平(ping)(ping)臺(tai),為(wei)從管企(qi)業(ye)(ye)(ye)(ye)為(wei)主(zhu)(zhu)向管資(zi)本(ben)(ben)為(wei)主(zhu)(zhu)轉變(bian)提(ti)(ti)(ti)供(gong)(gong)更(geng)加有(you)效(xiao)的(de)市場化手(shou)段和運(yun)作機制(zhi)。2004年(nian)組建投(tou)(tou)控公(gong)(gong)司(si)(si),2007年(nian)成立遠(yuan)致(zhi)公(gong)(gong)司(si)(si),分別開展(zhan)國(guo)有(you)資(zi)本(ben)(ben)投(tou)(tou)資(zi)、運(yun)營(ying)公(gong)(gong)司(si)(si)試(shi)點(dian),作為(wei)國(guo)資(zi)委解(jie)決(jue)(jue)歷史遺留問(wen)題和資(zi)本(ben)(ben)運(yun)作的(de)輔助平(ping)(ping)臺(tai)。2018年(nian),深(shen)(shen)圳(zhen)市政府批準投(tou)(tou)控公(gong)(gong)司(si)(si)對標淡馬(ma)錫(xi)打(da)造(zao)國(guo)際一(yi)(yi)流國(guo)有(you)資(zi)本(ben)(ben)投(tou)(tou)資(zi)公(gong)(gong)司(si)(si)實施方案,加快(kuai)打(da)造(zao)深(shen)(shen)圳(zhen)國(guo)企(qi)首家世(shi)界500強。重(zhong)點(dian)強化投(tou)(tou)控公(gong)(gong)司(si)(si)的(de)投(tou)(tou)資(zi)功(gong)能(neng),將(jiang)境內(nei)主(zhu)(zhu)業(ye)(ye)(ye)(ye)不超(chao)過凈資(zi)產20%、約(yue)400億元的(de)投(tou)(tou)資(zi)決(jue)(jue)策權(quan)(quan)授(shou)予企(qi)業(ye)(ye)(ye)(ye)。著(zhu)力提(ti)(ti)(ti)升(sheng)遠(yuan)致(zhi)公(gong)(gong)司(si)(si)的(de)國(guo)有(you)資(zi)本(ben)(ben)運(yun)作能(neng)力,將(jiang)華潤深(shen)(shen)國(guo)投(tou)(tou)、中國(guo)科(ke)技開發院等優(you)質股(gu)權(quan)(quan)整合至遠(yuan)致(zhi)公(gong)(gong)司(si)(si),并將(jiang)其單(dan)(dan)筆股(gu)權(quan)(quan)投(tou)(tou)資(zi)決(jue)(jue)策權(quan)(quan)限(xian)提(ti)(ti)(ti)升(sheng)至凈資(zi)產的(de)5%、約(yue)10億元。

突出“一類一策”,借力智慧管控平臺監管。完成全(quan)系統(tong)各級企(qi)業(ye)(ye)的分類(lei)工(gong)作,按(an)照行業(ye)(ye)規(gui)則(ze)(ze)和市(shi)場規(gui)律,變“一(yi)企(qi)一(yi)策(ce)”討價(jia)還價(jia),為(wei)“一(yi)類(lei)一(yi)策(ce)”標準(zhun)度量,突(tu)出(chu)(chu)監(jian)管的法治化(hua)、規(gui)則(ze)(ze)化(hua)和剛性約(yue)束。商(shang)業(ye)(ye)類(lei)企(qi)業(ye)(ye)實(shi)行商(shang)業(ye)(ye)化(hua)運作,實(shi)現(xian)優(you)勝劣汰、有(you)序(xu)(xu)進(jin)退;公(gong)益(yi)類(lei)、功能(neng)類(lei)企(qi)業(ye)(ye)堅(jian)持以社(she)會效益(yi)為(wei)本,兼顧(gu)經(jing)濟效益(yi)。優(you)先選擇(ze)上(shang)市(shi)公(gong)司(si)作為(wei)突(tu)破口(kou),出(chu)(chu)臺(tai)(tai)專門治理辦(ban)法,建立以章程為(wei)準(zhun)則(ze)(ze)、董事(shi)監(jian)事(shi)履職(zhi)為(wei)抓手、重大事(shi)項溝通(tong)為(wei)必備程序(xu)(xu)、緊急情形(xing)干預(yu)為(wei)重要保障(zhang)的“3+1”治理體(ti)系,充分保障(zhang)上(shang)市(shi)公(gong)司(si)經(jing)營自主權。全(quan)面實(shi)施智(zhi)慧國(guo)資(zi)(zi)(zi)(zi)(zi)(zi)(zi)國(guo)企(qi)信息(xi)化(hua)三年(nian)規(gui)劃,組建智(zhi)慧城市(shi)科(ke)技集(ji)團(tuan),打(da)破信息(xi)壁壘,打(da)通(tong)信息(xi)孤島(dao),實(shi)現(xian)數(shu)據資(zi)(zi)(zi)(zi)(zi)(zi)(zi)源共享、業(ye)(ye)務(wu)高度協(xie)同(tong)和實(shi)時(shi)智(zhi)能(neng)監(jian)測(ce)。加快建立信息(xi)集(ji)成、實(shi)時(shi)在線、公(gong)開(kai)透(tou)明(ming)、協(xie)同(tong)高效的要素(su)交易(yi)綜合監(jian)管體(ti)系,包括陽(yang)光(guang)采購、資(zi)(zi)(zi)(zi)(zi)(zi)(zi)金(jin)融(rong)通(tong)、資(zi)(zi)(zi)(zi)(zi)(zi)(zi)源性資(zi)(zi)(zi)(zi)(zi)(zi)(zi)產租賃、國(guo)有(you)資(zi)(zi)(zi)(zi)(zi)(zi)(zi)產交易(yi)、重大資(zi)(zi)(zi)(zi)(zi)(zi)(zi)源開(kai)發(fa)五個平臺(tai)(tai)。近半年(nian)來(lai),陽(yang)光(guang)采購平臺(tai)(tai)完成市(shi)屬企(qi)業(ye)(ye)委托(tuo)項目1488個,節約(yue)資(zi)(zi)(zi)(zi)(zi)(zi)(zi)金(jin)16億元(yuan);資(zi)(zi)(zi)(zi)(zi)(zi)(zi)金(jin)融(rong)通(tong)平臺(tai)(tai)成交金(jin)額700億元(yuan),資(zi)(zi)(zi)(zi)(zi)(zi)(zi)金(jin)融(rong)通(tong)成本較(jiao)同(tong)期基準(zhun)利率下降44個基點。

加快簡政放權步伐。2015年以來深圳國(guo)資(zi)委(wei)率先下放(fang)(取消)22項事(shi)權(quan)(quan),抓緊對(dui)標《國(guo)務院國(guo)資(zi)委(wei)授權(quan)(quan)放(fang)權(quan)(quan)清單(2019年版)》和《國(guo)務院國(guo)資(zi)委(wei)以管(guan)資(zi)本(ben)為主推(tui)進職能(neng)轉變(bian)方案》研究擴大授權(quan)(quan)放(fang)權(quan)(quan)的紅利(li)新空間(jian),推(tui)動實現國(guo)資(zi)委(wei)機(ji)關自我革(ge)命,層(ceng)(ceng)層(ceng)(ceng)“松綁”激發(fa)企業自我發(fa)展活力(li)(li)。在投控(kong)對(dui)標淡(dan)馬(ma)錫(xi)總(zong)體藍圖下配套形成(cheng)7個對(dui)標專題(ti),努力(li)(li)在監管(guan)體制、經營機(ji)制、風險管(guan)控(kong)、投資(zi)管(guan)理等(deng)方面實現系統性突破,確保國(guo)資(zi)監管(guan)放(fang)權(quan)(quan)縱向到底、責任層(ceng)(ceng)層(ceng)(ceng)落實、動力(li)(li)持續釋放(fang)。

二、加快完善現代國有企業制度,打通職能轉變“最后一公里”

以法治國企建設為抓手,助力培育具有全球競爭力的一流企業。以出(chu)臺《關于進一步加強市屬國有企(qi)業法(fa)治(zhi)(zhi)(zhi)國企(qi)建(jian)設的實施意見》為有利契機(ji),助推企(qi)業法(fa)治(zhi)(zhi)(zhi)工作向更高(gao)層次(ci)邁進。圍繞治(zhi)(zhi)(zhi)理(li)(li)、經營(ying)、管理(li)(li)“三(san)個維度(du)”,以健全企(qi)業法(fa)律管理(li)(li)組織體(ti)系為基礎,以有效化解風險(xian)、依(yi)法(fa)合規經營(ying)為目標,以提高(gao)企(qi)業法(fa)律管理(li)(li)能力(li)為手段(duan),實現(xian)依(yi)法(fa)治(zhi)(zhi)(zhi)理(li)(li)、依(yi)法(fa)經營(ying)、依(yi)法(fa)管理(li)(li)共同推進,實現(xian)改革創新、高(gao)質量發展與依(yi)法(fa)治(zhi)(zhi)(zhi)理(li)(li)的有機(ji)統一,為深圳打造國企(qi)改革發展高(gao)地(di)提供堅實法(fa)治(zhi)(zhi)(zhi)保障。

以資本運作為引擎,強調“實質性混改”,助推市屬國資國企做強做優做大。按照管(guan)資(zi)本(ben)(ben)要(yao)求,淡化資(zi)本(ben)(ben)的區(qu)域、層級和所有制屬性(xing),強(qiang)化資(zi)本(ben)(ben)的逐利性(xing)、擴張性(xing)、流動性(xing),推(tui)動“資(zi)源資(zi)產(chan)化、資(zi)產(chan)資(zi)本(ben)(ben)化、資(zi)本(ben)(ben)證券(quan)化”,發(fa)(fa)揮資(zi)本(ben)(ben)運作(zuo)乘數效應,為產(chan)業(ye)(ye)(ye)集(ji)團發(fa)(fa)展(zhan)(zhan)插上“騰飛(fei)翅膀”。實(shi)(shi)施“上市(shi)公司+”戰略,完成糧食與深(shen)(shen)深(shen)(shen)寶資(zi)產(chan)重組,加快推(tui)動特(te)發(fa)(fa)服務(wu)(wu)等(deng)3家企業(ye)(ye)(ye)IPO。深(shen)(shen)圳市(shi)屬控股(gu)上市(shi)公司增至26家,資(zi)產(chan)證券(quan)化率達58.5%,比年初增加2.5個百分點(dian)。實(shi)(shi)施基(ji)(ji)金(jin)(jin)群(qun)戰略,構建以(yi)國(guo)資(zi)改(gai)(gai)(gai)革(ge)與戰略發(fa)(fa)展(zhan)(zhan)基(ji)(ji)金(jin)(jin)為牽引,涵蓋天使基(ji)(ji)金(jin)(jin)、創投基(ji)(ji)金(jin)(jin)、產(chan)業(ye)(ye)(ye)基(ji)(ji)金(jin)(jin)、并(bing)購基(ji)(ji)金(jin)(jin)的國(guo)資(zi)基(ji)(ji)金(jin)(jin)群(qun),為管(guan)好資(zi)本(ben)(ben)、強(qiang)化資(zi)本(ben)(ben)運作(zuo)提供市(shi)場化工具手(shou)段(duan)。按照“混是(shi)手(shou)段(duan)、改(gai)(gai)(gai)是(shi)目的”和“成熟一家推(tui)動一家”的原(yuan)則,實(shi)(shi)施混合所有制改(gai)(gai)(gai)革(ge)三(san)年行動方案,以(yi)混合所有制改(gai)(gai)(gai)革(ge)帶動公司治理(li)、選人用人、激勵(li)約(yue)束等(deng)內部機(ji)制改(gai)(gai)(gai)革(ge)。重點(dian)推(tui)進已立項企業(ye)(ye)(ye)開展(zhan)(zhan)“實(shi)(shi)質性(xing)混改(gai)(gai)(gai)”,市(shi)屬企業(ye)(ye)(ye)混合所有制比例超過80%。注(zhu)重“因(yin)企施策”,開展(zhan)(zhan)管(guan)理(li)層和核心骨干持(chi)股(gu)工作(zuo)。建立混改(gai)(gai)(gai)后評價機(ji)制,及時(shi)總結混改(gai)(gai)(gai)成效。深(shen)(shen)圳交(jiao)通中心、特(te)發(fa)(fa)服務(wu)(wu)通過員工持(chi)股(gu),3年間(jian)利潤同比增長455%和475%。

推進董事會建設,提升公司治理水平。董(dong)(dong)事(shi)會(hui)(hui)上承股東會(hui)(hui)、國資(zi)監(jian)管部(bu)(bu)門,下接經理(li)(li)層選聘、考核評價(jia),是實現以管資(zi)本為主(zhu)和企業(ye)市場化運營的(de)關鍵層級。深圳國資(zi)委將卓越董(dong)(dong)事(shi)會(hui)(hui)建設作為公司治(zhi)理(li)(li)的(de)核心內容,聘請馬蔚(yu)華、任克雷等優秀企業(ye)家(jia)擔任董(dong)(dong)事(shi),組建外(wai)部(bu)(bu)董(dong)(dong)事(shi)占多數,內部(bu)(bu)董(dong)(dong)事(shi)、專職(zhi)(zhi)外(wai)部(bu)(bu)董(dong)(dong)事(shi)和兼職(zhi)(zhi)外(wai)部(bu)(bu)董(dong)(dong)事(shi)合理(li)(li)搭配(pei)、規模適中(zhong)、專業(ye)互補的(de)董(dong)(dong)事(shi)會(hui)(hui),持續優化董(dong)(dong)事(shi)會(hui)(hui)結構,提升董(dong)(dong)事(shi)會(hui)(hui)決策效能。依法(fa)落實董(dong)(dong)事(shi)會(hui)(hui)職(zhi)(zhi)權,同步加(jia)強董(dong)(dong)事(shi)會(hui)(hui)向(xiang)經理(li)(li)層授權,強化監(jian)事(shi)會(hui)(hui)監(jian)督(du)效能,編制(zhi)公司治(zhi)理(li)(li)評價(jia)報告。

深化市場化選人用人改革,完善激勵機制。按照“市(shi)(shi)(shi)(shi)場(chang)(chang)(chang)化(hua)(hua)(hua)選聘(pin)(pin)、契約化(hua)(hua)(hua)管(guan)理(li)、差(cha)異化(hua)(hua)(hua)薪酬(chou)、市(shi)(shi)(shi)(shi)場(chang)(chang)(chang)化(hua)(hua)(hua)退出(chu)”原則,堅持組織(zhi)選拔與(yu)(yu)市(shi)(shi)(shi)(shi)場(chang)(chang)(chang)化(hua)(hua)(hua)選聘(pin)(pin)相結合,對組織(zhi)委(wei)派(pai)干部和市(shi)(shi)(shi)(shi)場(chang)(chang)(chang)化(hua)(hua)(hua)選聘(pin)(pin)干部進行分(fen)層分(fen)類管(guan)理(li)。積極(ji)探索(suo)破除身份(fen)限制,暢(chang)通企業(ye)(ye)(ye)領導人(ren)員(yuan)(yuan)(yuan)身份(fen)轉換通道,嚴(yan)格考(kao)(kao)核退出(chu),健全(quan)(quan)“能者(zhe)(zhe)上、平者(zhe)(zhe)讓、庸(yong)者(zhe)(zhe)下、劣(lie)者(zhe)(zhe)汰”的選人(ren)用人(ren)機制。完成2家(jia)直(zhi)管(guan)企業(ye)(ye)(ye)和一批(pi)商業(ye)(ye)(ye)類二級及以下企業(ye)(ye)(ye)經營(ying)班子整體市(shi)(shi)(shi)(shi)場(chang)(chang)(chang)化(hua)(hua)(hua)選聘(pin)(pin)工作(zuo)。樹立(li)和踐行“身份(fen)市(shi)(shi)(shi)(shi)場(chang)(chang)(chang)化(hua)(hua)(hua)、業(ye)(ye)(ye)績市(shi)(shi)(shi)(shi)場(chang)(chang)(chang)化(hua)(hua)(hua)、考(kao)(kao)核市(shi)(shi)(shi)(shi)場(chang)(chang)(chang)化(hua)(hua)(hua)、薪酬(chou)市(shi)(shi)(shi)(shi)場(chang)(chang)(chang)化(hua)(hua)(hua)”改(gai)革理(li)念(nian),成立(li)深圳市(shi)(shi)(shi)(shi)國資委(wei)企業(ye)(ye)(ye)領導人(ren)員(yuan)(yuan)(yuan)考(kao)(kao)核委(wei)員(yuan)(yuan)(yuan)會,全(quan)(quan)面落實董事會對經理(li)層契約化(hua)(hua)(hua)考(kao)(kao)核、差(cha)異化(hua)(hua)(hua)薪酬(chou)分(fen)配權利,通過(guo)對標市(shi)(shi)(shi)(shi)場(chang)(chang)(chang)、對比(bi)歷史、對照規(gui)劃,建(jian)立(li)薪酬(chou)與(yu)(yu)考(kao)(kao)核強掛鉤機制。開(kai)展限制性股票、超額利潤分(fen)享等(deng)多種長效激(ji)勵約束(shu)機制建(jian)設,實現價值分(fen)配與(yu)(yu)價值創造相結合。

三、充分發揮黨建引領作用,強化職能轉變政治保證
