黃淑和:進一步提高中央企業法制工作水平 依法保障和促進中央企業又好又快發展

  這次(ci)中(zhong)央(yang)(yang)企(qi)(qi)業(ye)(ye)法(fa)(fa)(fa)制(zhi)工(gong)作(zuo)會議(yi),是在(zai)中(zhong)央(yang)(yang)企(qi)(qi)業(ye)(ye)改革(ge)發(fa)展(zhan)取得顯著成(cheng)效、企(qi)(qi)業(ye)(ye)法(fa)(fa)(fa)制(zhi)工(gong)作(zuo)三(san)年(nian)(nian)目標(biao)基本實(shi)現的(de)形勢下(xia)召開的(de)一次(ci)重要(yao)(yao)(yao)會議(yi)。會議(yi)的(de)主(zhu)要(yao)(yao)(yao)任(ren)(ren)務是:深入貫徹落實(shi)黨的(de)十七大精神,全面總結國(guo)資(zi)委成(cheng)立以來特別是近三(san)年(nian)(nian)來中(zhong)央(yang)(yang)企(qi)(qi)業(ye)(ye)法(fa)(fa)(fa)制(zhi)工(gong)作(zuo),表彰中(zhong)央(yang)(yang)企(qi)(qi)業(ye)(ye)先進法(fa)(fa)(fa)律(lv)事務機構,部署今后三(san)年(nian)(nian)中(zhong)央(yang)(yang)企(qi)(qi)業(ye)(ye)法(fa)(fa)(fa)制(zhi)工(gong)作(zuo)的(de)目標(biao)和(he)任(ren)(ren)務,依法(fa)(fa)(fa)保障和(he)促進中(zhong)央(yang)(yang)企(qi)(qi)業(ye)(ye)又好又快發(fa)展(zhan)。國(guo)資(zi)委對(dui)這次(ci)會議(yi)高度重視,榮融同志專門作(zuo)出重要(yao)(yao)(yao)批示(shi),充分肯定了(le)三(san)年(nian)(nian)來中(zhong)央(yang)(yang)企(qi)(qi)業(ye)(ye)法(fa)(fa)(fa)制(zhi)工(gong)作(zuo)成(cheng)績(ji),對(dui)繼續做好中(zhong)央(yang)(yang)企(qi)(qi)業(ye)(ye)法(fa)(fa)(fa)制(zhi)工(gong)作(zuo)提出了(le)明確要(yao)(yao)(yao)求。下(xia)面,我講三(san)點意見。

  一、中央企業法制工作邁出堅實步(bu)伐,取得了明顯成效

  加強中(zhong)(zhong)(zhong)央(yang)企(qi)(qi)業(ye)法(fa)(fa)(fa)制(zhi)建(jian)(jian)(jian)設(she),是促進(jin)(jin)(jin)中(zhong)(zhong)(zhong)央(yang)企(qi)(qi)業(ye)適應市場競爭需要、提(ti)高(gao)國(guo)際競爭力(li)(li)、實(shi)現又好又快發展(zhan)(zhan)的(de)(de)(de)(de)一項(xiang)重要措施。國(guo)資(zi)(zi)委成立(li)以來特別是近三(san)年來,緊緊圍繞中(zhong)(zhong)(zhong)央(yang)企(qi)(qi)業(ye)改(gai)革發展(zhan)(zhan)的(de)(de)(de)(de)目(mu)標任務,全面推(tui)(tui)進(jin)(jin)(jin)“兩(liang)個體(ti)系”建(jian)(jian)(jian)設(she)。一是以《企(qi)(qi)業(ye)國(guo)有(you)資(zi)(zi)產監督管(guan)理(li)暫行條(tiao)例》為(wei)依據,制(zhi)定了(le)(le)(le)19件(jian)規章和(he)(he)104件(jian)規范(fan)性文(wen)件(jian),初(chu)(chu)步建(jian)(jian)(jian)立(li)了(le)(le)(le)國(guo)有(you)資(zi)(zi)產監督管(guan)理(li)法(fa)(fa)(fa)規體(ti)系。二是以企(qi)(qi)業(ye)法(fa)(fa)(fa)制(zhi)建(jian)(jian)(jian)設(she)三(san)年目(mu)標為(wei)導向,指(zhi)導推(tui)(tui)動(dong)中(zhong)(zhong)(zhong)央(yang)企(qi)(qi)業(ye)普遍設(she)立(li)了(le)(le)(le)法(fa)(fa)(fa)律(lv)事(shi)務機(ji)構,其中(zhong)(zhong)(zhong)53戶(hu)大型(xing)(xing)(xing)中(zhong)(zhong)(zhong)央(yang)企(qi)(qi)業(ye)和(he)(he)其他具備條(tiao)件(jian)的(de)(de)(de)(de)中(zhong)(zhong)(zhong)央(yang)企(qi)(qi)業(ye)還實(shi)行了(le)(le)(le)總法(fa)(fa)(fa)律(lv)顧(gu)(gu)問(wen)制(zhi)度,初(chu)(chu)步形成了(le)(le)(le)中(zhong)(zhong)(zhong)央(yang)企(qi)(qi)業(ye)法(fa)(fa)(fa)律(lv)顧(gu)(gu)問(wen)組織體(ti)系。經(jing)過(guo)“兩(liang)個體(ti)系”的(de)(de)(de)(de)上下聯動(dong)和(he)(he)相互作用,經(jing)過(guo)國(guo)資(zi)(zi)委和(he)(he)中(zhong)(zhong)(zhong)央(yang)企(qi)(qi)業(ye)的(de)(de)(de)(de)共同(tong)努力(li)(li),中(zhong)(zhong)(zhong)央(yang)企(qi)(qi)業(ye)法(fa)(fa)(fa)制(zhi)建(jian)(jian)(jian)設(she)初(chu)(chu)步實(shi)現了(le)(le)(le)“三(san)個轉(zhuan)(zhuan)(zhuan)變”:一是中(zhong)(zhong)(zhong)央(yang)企(qi)(qi)業(ye)法(fa)(fa)(fa)律(lv)顧(gu)(gu)問(wen)工作由(you)政府(fu)部門(men)引導轉(zhuan)(zhuan)(zhuan)向了(le)(le)(le)由(you)出資(zi)(zi)人推(tui)(tui)進(jin)(jin)(jin),這三(san)年推(tui)(tui)進(jin)(jin)(jin)力(li)(li)度之(zhi)大、涉及(ji)企(qi)(qi)業(ye)之(zhi)多、取得(de)進(jin)(jin)(jin)展(zhan)(zhan)之(zhi)快是前(qian)所未有(you)的(de)(de)(de)(de);二是中(zhong)(zhong)(zhong)央(yang)企(qi)(qi)業(ye)法(fa)(fa)(fa)律(lv)顧(gu)(gu)問(wen)工作重點(dian)由(you)事(shi)后補救轉(zhuan)(zhuan)(zhuan)向了(le)(le)(le)事(shi)前(qian)防(fang)范(fan)和(he)(he)事(shi)中(zhong)(zhong)(zhong)控制(zhi),企(qi)(qi)業(ye)法(fa)(fa)(fa)律(lv)風險防(fang)范(fan)機(ji)制(zhi)正在逐步建(jian)(jian)(jian)立(li)和(he)(he)完善;三(san)是中(zhong)(zhong)(zhong)央(yang)企(qi)(qi)業(ye)法(fa)(fa)(fa)律(lv)顧(gu)(gu)問(wen)工作內容由(you)事(shi)務型(xing)(xing)(xing)轉(zhuan)(zhuan)(zhuan)向了(le)(le)(le)管(guan)理(li)型(xing)(xing)(xing),這項(xiang)管(guan)理(li)已經(jing)成為(wei)企(qi)(qi)業(ye)管(guan)理(li)中(zhong)(zhong)(zhong)的(de)(de)(de)(de)一項(xiang)重要內容,其在依法(fa)(fa)(fa)規范(fan)、保(bao)障和(he)(he)促進(jin)(jin)(jin)企(qi)(qi)業(ye)改(gai)革發展(zhan)(zhan)中(zhong)(zhong)(zhong)的(de)(de)(de)(de)作用正在進(jin)(jin)(jin)一步顯(xian)現。

  (一)企業(ye)領(ling)導高度重視法制工作(zuo),法制建設(she)三年(nian)目標基(ji)本實(shi)現。

  2004年(nian)(nian)4月(yue)國(guo)(guo)資委提(ti)出國(guo)(guo)有(you)(you)重(zhong)點(dian)企業(ye)法制建設(she)(she)三(san)年(nian)(nian)目標后,中(zhong)央(yang)企業(ye)高度重(zhong)視,按照三(san)年(nian)(nian)目標的(de)要(yao)(yao)求(qiu),緊密結合自身的(de)實(shi)際,認真加以(yi)貫(guan)徹落實(shi)。截至2007年(nian)(nian)底,150戶(hu)(hu)中(zhong)央(yang)企業(ye)中(zhong),已有(you)(you)146戶(hu)(hu)設(she)(she)立(li)了(le)(le)(le)法律(lv)事務機構,占97.3%;另(ling)有(you)(you)4戶(hu)(hu)因規模較(jiao)小、機構調整等暫未設(she)(she)立(li)法律(lv)事務機構,但配(pei)備了(le)(le)(le)專職(zhi)法律(lv)顧(gu)問(wen);53戶(hu)(hu)大(da)型中(zhong)央(yang)企業(ye)按照國(guo)(guo)資委要(yao)(yao)求(qiu)全(quan)部建立(li)了(le)(le)(le)總法律(lv)顧(gu)問(wen)制度,另(ling)有(you)(you)28戶(hu)(hu)其(qi)他中(zhong)央(yang)企業(ye)根據(ju)自身發展(zhan)需要(yao)(yao)也建立(li)了(le)(le)(le)總法律(lv)顧(gu)問(wen)制度。三(san)年(nian)(nian)目標的(de)基本實(shi)現(xian),為切(qie)實(shi)做好中(zhong)央(yang)企業(ye)法制工作奠定了(le)(le)(le)堅實(shi)基礎。

  一(yi)是(shi)企(qi)業(ye)領導(dao)的(de)法(fa)(fa)(fa)(fa)制(zhi)觀念(nian)明顯增強(qiang)。中(zhong)(zhong)(zhong)國(guo)(guo)(guo)石油、中(zhong)(zhong)(zhong)國(guo)(guo)(guo)移動(dong)、中(zhong)(zhong)(zhong)國(guo)(guo)(guo)海運等企(qi)業(ye)主要(yao)(yao)領導(dao)強(qiang)調,現代大(da)型企(qi)業(ye)的(de)管(guan)理(li)關(guan)鍵要(yao)(yao)靠制(zhi)度(du)管(guan)理(li)和(he)依法(fa)(fa)(fa)(fa)管(guan)理(li),法(fa)(fa)(fa)(fa)律素(su)養(yang)(yang)(yang)是(shi)企(qi)業(ye)領導(dao)的(de)重(zhong)要(yao)(yao)素(su)養(yang)(yang)(yang);中(zhong)(zhong)(zhong)糧(liang)集(ji)團、中(zhong)(zhong)(zhong)國(guo)(guo)(guo)網通、黃金集(ji)團等企(qi)業(ye)領導(dao)高(gao)度(du)重(zhong)視(shi)重(zhong)大(da)決(jue)策的(de)法(fa)(fa)(fa)(fa)律審核把關(guan),要(yao)(yao)求法(fa)(fa)(fa)(fa)律部(bu)參加(jia)(jia)集(ji)團所(suo)有重(zhong)大(da)決(jue)策會(hui)議,將法(fa)(fa)(fa)(fa)律風險防(fang)范(fan)工作納入(ru)下屬單(dan)位負責人年度(du)考(kao)評指標體(ti)系;中(zhong)(zhong)(zhong)國(guo)(guo)(guo)航油領導(dao)班子(zi)結合新加(jia)(jia)坡事件(jian)的(de)教(jiao)訓,加(jia)(jia)快(kuai)培養(yang)(yang)(yang)和(he)形成依法(fa)(fa)(fa)(fa)決(jue)策的(de)思維(wei)方式(shi)和(he)管(guan)理(li)理(li)念(nian)。中(zhong)(zhong)(zhong)央(yang)企(qi)業(ye)主要(yao)(yao)領導(dao)法(fa)(fa)(fa)(fa)制(zhi)意識的(de)提高(gao),為推進企(qi)業(ye)法(fa)(fa)(fa)(fa)制(zhi)建設提供(gong)了重(zhong)要(yao)(yao)的(de)前(qian)提和(he)保(bao)障。

  二(er)是企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)法(fa)(fa)(fa)(fa)(fa)(fa)(fa)(fa)(fa)律(lv)(lv)(lv)(lv)顧(gu)(gu)(gu)(gu)(gu)問(wen)(wen)(wen)(wen)組(zu)(zu)織體(ti)系(xi)(xi)基本建(jian)立。企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)法(fa)(fa)(fa)(fa)(fa)(fa)(fa)(fa)(fa)律(lv)(lv)(lv)(lv)事務(wu)(wu)工(gong)(gong)作專(zhuan)業(ye)(ye)(ye)(ye)性很強,涉及面很廣(guang),必(bi)須有專(zhuan)門機(ji)構(gou)(gou)(gou)和(he)人(ren)(ren)員從(cong)事這項工(gong)(gong)作。按照國(guo)(guo)(guo)(guo)資委提出的(de)(de)三(san)(san)年(nian)目標要求(qiu),中(zhong)(zhong)央企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)普(pu)遍加強了(le)(le)以(yi)(yi)總(zong)(zong)(zong)(zong)法(fa)(fa)(fa)(fa)(fa)(fa)(fa)(fa)(fa)律(lv)(lv)(lv)(lv)顧(gu)(gu)(gu)(gu)(gu)問(wen)(wen)(wen)(wen)制(zhi)(zhi)度(du)(du)(du)為(wei)核心(xin)的(de)(de)企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)法(fa)(fa)(fa)(fa)(fa)(fa)(fa)(fa)(fa)律(lv)(lv)(lv)(lv)顧(gu)(gu)(gu)(gu)(gu)問(wen)(wen)(wen)(wen)制(zhi)(zhi)度(du)(du)(du)建(jian)設(she),建(jian)立了(le)(le)由企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)總(zong)(zong)(zong)(zong)法(fa)(fa)(fa)(fa)(fa)(fa)(fa)(fa)(fa)律(lv)(lv)(lv)(lv)顧(gu)(gu)(gu)(gu)(gu)問(wen)(wen)(wen)(wen)、法(fa)(fa)(fa)(fa)(fa)(fa)(fa)(fa)(fa)律(lv)(lv)(lv)(lv)事務(wu)(wu)機(ji)構(gou)(gou)(gou)和(he)法(fa)(fa)(fa)(fa)(fa)(fa)(fa)(fa)(fa)律(lv)(lv)(lv)(lv)顧(gu)(gu)(gu)(gu)(gu)問(wen)(wen)(wen)(wen)構(gou)(gou)(gou)成的(de)(de)法(fa)(fa)(fa)(fa)(fa)(fa)(fa)(fa)(fa)律(lv)(lv)(lv)(lv)顧(gu)(gu)(gu)(gu)(gu)問(wen)(wen)(wen)(wen)組(zu)(zu)織體(ti)系(xi)(xi)。截(jie)至2007年(nian)底,中(zhong)(zhong)央企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)及其重要下屬企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)實行總(zong)(zong)(zong)(zong)法(fa)(fa)(fa)(fa)(fa)(fa)(fa)(fa)(fa)律(lv)(lv)(lv)(lv)顧(gu)(gu)(gu)(gu)(gu)問(wen)(wen)(wen)(wen)制(zhi)(zhi)度(du)(du)(du)的(de)(de)戶(hu)(hu)數達到(dao)629戶(hu)(hu);三(san)(san)級(ji)以(yi)(yi)上企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)設(she)立獨立法(fa)(fa)(fa)(fa)(fa)(fa)(fa)(fa)(fa)律(lv)(lv)(lv)(lv)事務(wu)(wu)機(ji)構(gou)(gou)(gou)的(de)(de)戶(hu)(hu)數達到(dao)1769戶(hu)(hu);中(zhong)(zhong)央企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)全(quan)(quan)(quan)系(xi)(xi)統法(fa)(fa)(fa)(fa)(fa)(fa)(fa)(fa)(fa)律(lv)(lv)(lv)(lv)工(gong)(gong)作人(ren)(ren)員達到(dao)14308人(ren)(ren),比2004年(nian)底增(zeng)長(chang)了(le)(le)49%,其中(zhong)(zhong)具有企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)法(fa)(fa)(fa)(fa)(fa)(fa)(fa)(fa)(fa)律(lv)(lv)(lv)(lv)顧(gu)(gu)(gu)(gu)(gu)問(wen)(wen)(wen)(wen)執業(ye)(ye)(ye)(ye)資格的(de)(de)有6693人(ren)(ren)。許多企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)按照三(san)(san)年(nian)目標要求(qiu),采取了(le)(le)一系(xi)(xi)列措施。中(zhong)(zhong)航一集團(tuan)專(zhuan)門制(zhi)(zhi)定(ding)(ding)《企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)總(zong)(zong)(zong)(zong)法(fa)(fa)(fa)(fa)(fa)(fa)(fa)(fa)(fa)律(lv)(lv)(lv)(lv)顧(gu)(gu)(gu)(gu)(gu)問(wen)(wen)(wen)(wen)工(gong)(gong)作規定(ding)(ding)》,明確了(le)(le)總(zong)(zong)(zong)(zong)法(fa)(fa)(fa)(fa)(fa)(fa)(fa)(fa)(fa)律(lv)(lv)(lv)(lv)顧(gu)(gu)(gu)(gu)(gu)問(wen)(wen)(wen)(wen)的(de)(de)職(zhi)責(ze)定(ding)(ding)位。中(zhong)(zhong)國(guo)(guo)(guo)(guo)中(zhong)(zhong)鐵(tie)和(he)南航股份在(zai)公司(si)章程中(zhong)(zhong)明確規定(ding)(ding)實行總(zong)(zong)(zong)(zong)法(fa)(fa)(fa)(fa)(fa)(fa)(fa)(fa)(fa)律(lv)(lv)(lv)(lv)顧(gu)(gu)(gu)(gu)(gu)問(wen)(wen)(wen)(wen)制(zhi)(zhi)度(du)(du)(du)。中(zhong)(zhong)交集團(tuan)要求(qiu)子企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)總(zong)(zong)(zong)(zong)法(fa)(fa)(fa)(fa)(fa)(fa)(fa)(fa)(fa)律(lv)(lv)(lv)(lv)顧(gu)(gu)(gu)(gu)(gu)問(wen)(wen)(wen)(wen)必(bi)須具有企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)法(fa)(fa)(fa)(fa)(fa)(fa)(fa)(fa)(fa)律(lv)(lv)(lv)(lv)顧(gu)(gu)(gu)(gu)(gu)問(wen)(wen)(wen)(wen)執業(ye)(ye)(ye)(ye)資格,并(bing)按照總(zong)(zong)(zong)(zong)法(fa)(fa)(fa)(fa)(fa)(fa)(fa)(fa)(fa)律(lv)(lv)(lv)(lv)顧(gu)(gu)(gu)(gu)(gu)問(wen)(wen)(wen)(wen)專(zhuan)職(zhi)化和(he)專(zhuan)業(ye)(ye)(ye)(ye)化要求(qiu)直接考察任命。中(zhong)(zhong)國(guo)(guo)(guo)(guo)建(jian)筑二(er)級(ji)企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)全(quan)(quan)(quan)部建(jian)立了(le)(le)總(zong)(zong)(zong)(zong)法(fa)(fa)(fa)(fa)(fa)(fa)(fa)(fa)(fa)律(lv)(lv)(lv)(lv)顧(gu)(gu)(gu)(gu)(gu)問(wen)(wen)(wen)(wen)制(zhi)(zhi)度(du)(du)(du),并(bing)開始構(gou)(gou)(gou)建(jian)三(san)(san)級(ji)企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)法(fa)(fa)(fa)(fa)(fa)(fa)(fa)(fa)(fa)律(lv)(lv)(lv)(lv)顧(gu)(gu)(gu)(gu)(gu)問(wen)(wen)(wen)(wen)組(zu)(zu)織體(ti)系(xi)(xi)。東風公司(si)在(zai)各事業(ye)(ye)(ye)(ye)部、各子公司(si)和(he)專(zhuan)業(ye)(ye)(ye)(ye)廠建(jian)立了(le)(le)總(zong)(zong)(zong)(zong)法(fa)(fa)(fa)(fa)(fa)(fa)(fa)(fa)(fa)律(lv)(lv)(lv)(lv)顧(gu)(gu)(gu)(gu)(gu)問(wen)(wen)(wen)(wen)牽頭(tou)的(de)(de)全(quan)(quan)(quan)覆(fu)蓋的(de)(de)法(fa)(fa)(fa)(fa)(fa)(fa)(fa)(fa)(fa)律(lv)(lv)(lv)(lv)顧(gu)(gu)(gu)(gu)(gu)問(wen)(wen)(wen)(wen)組(zu)(zu)織體(ti)系(xi)(xi)。國(guo)(guo)(guo)(guo)家電網、中(zhong)(zhong)國(guo)(guo)(guo)(guo)石(shi)化、中(zhong)(zhong)國(guo)(guo)(guo)(guo)石(shi)油在(zai)全(quan)(quan)(quan)系(xi)(xi)統配備(bei)的(de)(de)專(zhuan)職(zhi)法(fa)(fa)(fa)(fa)(fa)(fa)(fa)(fa)(fa)律(lv)(lv)(lv)(lv)工(gong)(gong)作人(ren)(ren)員均(jun)超過1200人(ren)(ren)。中(zhong)(zhong)央企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)法(fa)(fa)(fa)(fa)(fa)(fa)(fa)(fa)(fa)律(lv)(lv)(lv)(lv)顧(gu)(gu)(gu)(gu)(gu)問(wen)(wen)(wen)(wen)組(zu)(zu)織體(ti)系(xi)(xi)的(de)(de)建(jian)立,奠(dian)定(ding)(ding)了(le)(le)堅實的(de)(de)企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)法(fa)(fa)(fa)(fa)(fa)(fa)(fa)(fa)(fa)制(zhi)(zhi)工(gong)(gong)作平臺。

  三(san)是(shi)企(qi)(qi)業(ye)合(he)規文化(hua)初步(bu)形成。三(san)年來,中(zhong)(zhong)央企(qi)(qi)業(ye)深(shen)入(ru)開展法(fa)制(zhi)宣傳教育(yu),進一步(bu)培育(yu)形成了“外講誠信、依(yi)法(fa)經營,內講制(zhi)度、依(yi)法(fa)管理”的企(qi)(qi)業(ye)合(he)規文化(hua)。結合(he)“五五”普法(fa)工作(zuo),中(zhong)(zhong)航(hang)二集團(tuan)(tuan)、國(guo)投、兵器工業(ye)集團(tuan)(tuan)等(deng)企(qi)(qi)業(ye)領(ling)導(dao)帶(dai)頭(tou)學法(fa)用(yong)法(fa);兵器裝備集團(tuan)(tuan)等(deng)企(qi)(qi)業(ye)主要領(ling)導(dao)專(zhuan)門在(zai)報刊(kan)雜志上發(fa)表有關加強(qiang)企(qi)(qi)業(ye)法(fa)律(lv)文化(hua)建(jian)設的文章。中(zhong)(zhong)國(guo)大唐、中(zhong)(zhong)國(guo)華電、攀鋼等(deng)企(qi)(qi)業(ye)圍繞企(qi)(qi)業(ye)發(fa)展戰略(lve),將合(he)規文化(hua)建(jian)設列(lie)為免费(fei)菠萝视(shi)频app下载建(jian)設的重點內容,積極創建(jian)良好的企(qi)(qi)業(ye)法(fa)律(lv)環境。

  (二)企業依法經營管理水(shui)平進(jin)一步提(ti)高,法律風險得到有(you)效控制。

  中央企(qi)業法律(lv)(lv)顧問組(zu)織(zhi)體系組(zu)建(jian)到(dao)位后,企(qi)業規章(zhang)制度建(jian)設、合(he)同管(guan)(guan)理(li)、法律(lv)(lv)審核把關(guan)、案件糾(jiu)紛管(guan)(guan)理(li)等工(gong)作(zuo)進一(yi)步加強,企(qi)業法律(lv)(lv)風險防范機制逐步建(jian)立(li)健全。從企(qi)業日常(chang)經營管(guan)(guan)理(li)到(dao)重(zhong)大(da)經營決策,企(qi)業法律(lv)(lv)顧問基本實現了全過程參與,發揮著(zhu)越來越重(zhong)要的作(zuo)用。

  近年來(lai),中(zhong)央(yang)企(qi)業(ye)融入經(jing)濟全(quan)(quan)(quan)球(qiu)化進(jin)程不(bu)(bu)斷加快(kuai),境(jing)外上市、境(jing)外并購、企(qi)業(ye)“走出(chu)去(qu)”、引進(jin)戰略(lve)(lve)投(tou)資(zi)(zi)等(deng)國(guo)際(ji)(ji)(ji)投(tou)資(zi)(zi)行為(wei)越來(lai)越多(duo),全(quan)(quan)(quan)球(qiu)范圍內整合資(zi)(zi)源(yuan)、人才(cai)、技(ji)術、產品等(deng)跨國(guo)經(jing)營(ying)(ying)行為(wei)逐(zhu)步(bu)全(quan)(quan)(quan)方(fang)位展開。在國(guo)際(ji)(ji)(ji)投(tou)資(zi)(zi)和跨國(guo)經(jing)營(ying)(ying)過程中(zhong),不(bu)(bu)可避免地(di)會(hui)遇到大(da)量(liang)的(de)(de)(de)法(fa)(fa)律(lv)(lv)事(shi)務,涉及復雜的(de)(de)(de)國(guo)際(ji)(ji)(ji)規(gui)(gui)則(ze)。稍有(you)不(bu)(bu)慎,就(jiu)可能卷(juan)入涉外法(fa)(fa)律(lv)(lv)糾紛,造成重大(da)資(zi)(zi)產損失,甚至(zhi)引發企(qi)業(ye)危(wei)機。據有(you)關(guan)資(zi)(zi)料顯示(shi),中(zhong)央(yang)企(qi)業(ye)近年來(lai)涉及的(de)(de)(de)境(jing)外反(fan)壟斷、反(fan)傾銷、反(fan)補(bu)貼(tie)、知識(shi)產權(quan)、產品質量(liang)、食品安全(quan)(quan)(quan)、勞動(dong)(dong)用工、環(huan)境(jing)保護、安全(quan)(quan)(quan)生產等(deng)方(fang)面的(de)(de)(de)法(fa)(fa)律(lv)(lv)案(an)件,已經(jing)呈現出(chu)明顯上升的(de)(de)(de)趨勢。當前(qian),世(shi)界(jie)經(jing)濟正進(jin)入新一(yi)(yi)輪調整期,失衡加劇,增速放緩,美(mei)國(guo)次貸危(wei)機影響蔓延,美(mei)元(yuan)持續貶值,全(quan)(quan)(quan)球(qiu)經(jing)濟不(bu)(bu)確定(ding)因素在逐(zhu)步(bu)增加。西方(fang)國(guo)家出(chu)于(yu)政治經(jing)濟考慮,很(hen)可能更加頻繁(fan)地(di)濫(lan)用知識(shi)產權(quan)、技(ji)術標準(zhun)、反(fan)傾銷反(fan)補(bu)貼(tie)等(deng)措(cuo)施(shi),打壓國(guo)內企(qi)業(ye),中(zhong)央(yang)企(qi)業(ye)涉外訴訟因此(ci)也會(hui)進(jin)一(yi)(yi)步(bu)增多(duo)。“不(bu)(bu)謀全(quan)(quan)(quan)局者不(bu)(bu)足以謀一(yi)(yi)域”。面對復雜多(duo)變的(de)(de)(de)世(shi)界(jie)經(jing)濟形勢和世(shi)界(jie)一(yi)(yi)流跨國(guo)公司的(de)(de)(de)激(ji)烈競(jing)(jing)爭,中(zhong)央(yang)企(qi)業(ye)必須立(li)足國(guo)際(ji)(ji)(ji)競(jing)(jing)爭,高(gao)度關(guan)注和研究國(guo)際(ji)(ji)(ji)規(gui)(gui)則(ze)和國(guo)外政策法(fa)(fa)規(gui)(gui)的(de)(de)(de)調整動(dong)(dong)向,綜(zong)合施(shi)策,趨利避害(hai),加快(kuai)提高(gao)依(yi)法(fa)(fa)整合利用全(quan)(quan)(quan)球(qiu)資(zi)(zi)源(yuan)的(de)(de)(de)能力,確保在法(fa)(fa)律(lv)(lv)規(gui)(gui)則(ze)提供(gong)的(de)(de)(de)框架(jia)內有(you)效實施(shi)國(guo)際(ji)(ji)(ji)化經(jing)營(ying)(ying)戰略(lve)(lve)。那種“規(gui)(gui)則(ze)不(bu)(bu)清(qing)主(zhu)意(yi)多(duo)、事(shi)情不(bu)(bu)明決(jue)心大(da)”的(de)(de)(de)盲目蠻干,不(bu)(bu)僅(jin)難以在激(ji)烈的(de)(de)(de)國(guo)際(ji)(ji)(ji)競(jing)(jing)爭中(zhong)取勝,而且很(hen)有(you)可能在國(guo)際(ji)(ji)(ji)競(jing)(jing)爭中(zhong)被淘汰出(chu)局。

  (二)國家法治環境(jing)不斷完(wan)善,正對中(zhong)央企業(ye)經(jing)營管理產(chan)生(sheng)廣泛(fan)深(shen)刻的影響。

  近幾年(nian)來(lai),隨著(zhu)(zhu)社(she)會主義市(shi)場經(jing)濟不斷發(fa)(fa)展,利益結構正(zheng)(zheng)在發(fa)(fa)生(sheng)深(shen)刻變(bian)化,各(ge)方面的(de)(de)利益調(diao)整和(he)(he)(he)(he)法(fa)(fa)(fa)律訴求不斷體現到相(xiang)(xiang)關立法(fa)(fa)(fa)之(zhi)中(zhong)。其中(zhong),與(yu)中(zhong)央企(qi)業密切(qie)相(xiang)(xiang)關的(de)(de)《公(gong)司法(fa)(fa)(fa)》、《證券法(fa)(fa)(fa)》、《物(wu)權法(fa)(fa)(fa)》、《勞(lao)動(dong)合同(tong)法(fa)(fa)(fa)》、《反(fan)壟斷法(fa)(fa)(fa)》、《企(qi)業破產(chan)法(fa)(fa)(fa)》等一系列法(fa)(fa)(fa)律相(xiang)(xiang)繼出臺,正(zheng)(zheng)對中(zhong)央企(qi)業經(jing)營(ying)管理產(chan)生(sheng)廣泛深(shen)刻的(de)(de)影響。如按照(zhao)新《公(gong)司法(fa)(fa)(fa)》規(gui)定(ding),需要(yao)對國(guo)有獨資一人(ren)公(gong)司進(jin)行(xing)變(bian)更調(diao)整和(he)(he)(he)(he)加(jia)強(qiang)規(gui)范;按照(zhao)《勞(lao)動(dong)合同(tong)法(fa)(fa)(fa)》規(gui)定(ding),需要(yao)對企(qi)業各(ge)種用工(gong)形式進(jin)行(xing)規(gui)范和(he)(he)(he)(he)調(diao)整等。同(tong)時還要(yao)注意(yi)到,按照(zhao)深(shen)入(ru)貫徹落實科學發(fa)(fa)展觀(guan)和(he)(he)(he)(he)構建和(he)(he)(he)(he)諧(xie)社(she)會的(de)(de)要(yao)求,當前企(qi)業安全生(sheng)產(chan)、環境(jing)保護、節能減(jian)排、產(chan)品質量等方面的(de)(de)標準日趨規(gui)范嚴格(ge),行(xing)政執法(fa)(fa)(fa)力(li)度正(zheng)(zheng)在進(jin)一步加(jia)大(da)。日趨嚴格(ge)的(de)(de)法(fa)(fa)(fa)律環境(jing),直接影響著(zhu)(zhu)中(zhong)央企(qi)業的(de)(de)內(nei)部管理秩(zhi)序和(he)(he)(he)(he)對外(wai)經(jing)營(ying)活動(dong),需要(yao)我們(men)從法(fa)(fa)(fa)律層面加(jia)強(qiang)研究(jiu),提高企(qi)業依法(fa)(fa)(fa)經(jing)營(ying)管理水平。

  (三)中央企(qi)業改革(ge)調整工作全面展開,對中央企(qi)業規范改制、依法調整提出了(le)更高要求(qiu)。

  (四)實現企(qi)業持續快速發展,對(dui)中央企(qi)業依法加強內部制度建設提出了新的課題。

  加(jia)強(qiang)企(qi)(qi)(qi)業(ye)(ye)內部(bu)制(zhi)(zhi)度(du)建(jian)(jian)設,是國(guo)內外成功企(qi)(qi)(qi)業(ye)(ye)在復(fu)雜(za)(za)多(duo)變的(de)市(shi)(shi)場環境(jing)(jing)中(zhong)(zhong)(zhong)(zhong)實現長期(qi)(qi)穩定(ding)發(fa)展(zhan)、逐步(bu)做強(qiang)做大的(de)重要經(jing)驗(yan)。忽(hu)視制(zhi)(zhi)度(du)建(jian)(jian)設,則是不(bu)(bu)(bu)(bu)(bu)少(shao)(shao)企(qi)(qi)(qi)業(ye)(ye)曇花一(yi)現、難(nan)以逃脫“三十(shi)年河(he)東(dong)、三十(shi)年河(he)西(xi)”命運的(de)深(shen)刻教訓。正反經(jing)驗(yan)教訓反復(fu)證明,企(qi)(qi)(qi)業(ye)(ye)管理(li)(li)成在“規(gui)制(zhi)(zhi)”,敗在“人治”。目前,中(zhong)(zhong)(zhong)(zhong)央(yang)企(qi)(qi)(qi)業(ye)(ye)大多(duo)處在投(tou)(tou)資(zi)高峰(feng)期(qi)(qi)和體(ti)制(zhi)(zhi)調整期(qi)(qi),投(tou)(tou)資(zi)規(gui)模不(bu)(bu)(bu)(bu)(bu)斷擴大,產業(ye)(ye)鏈條不(bu)(bu)(bu)(bu)(bu)斷延伸(shen),層級愈加(jia)復(fu)雜(za)(za),企(qi)(qi)(qi)業(ye)(ye)管理(li)(li)難(nan)度(du)和經(jing)營風險越來越大。而國(guo)際國(guo)內市(shi)(shi)場環境(jing)(jing)瞬息萬變,法律環境(jing)(jing)約束逐步(bu)加(jia)強(qiang)。相(xiang)比之(zhi)下,不(bu)(bu)(bu)(bu)(bu)少(shao)(shao)中(zhong)(zhong)(zhong)(zhong)央(yang)企(qi)(qi)(qi)業(ye)(ye)的(de)內部(bu)制(zhi)(zhi)度(du)建(jian)(jian)設與此還不(bu)(bu)(bu)(bu)(bu)相(xiang)適應,制(zhi)(zhi)度(du)不(bu)(bu)(bu)(bu)(bu)健全、管理(li)(li)不(bu)(bu)(bu)(bu)(bu)規(gui)范、靠人治靠個人權(quan)威管理(li)(li)企(qi)(qi)(qi)業(ye)(ye)的(de)現象仍然屢(lv)見不(bu)(bu)(bu)(bu)(bu)鮮,企(qi)(qi)(qi)業(ye)(ye)內部(bu)財務(wu)管理(li)(li)、成本管理(li)(li)、質量(liang)管理(li)(li)和安(an)全生(sheng)(sheng)產管理(li)(li)等還存在不(bu)(bu)(bu)(bu)(bu)少(shao)(shao)漏洞,對(dui)外投(tou)(tou)資(zi)、研(yan)發(fa)生(sheng)(sheng)產、合同交易、勞動用工(gong)等方面的(de)法律糾紛時(shi)有(you)(you)發(fa)生(sheng)(sheng),有(you)(you)的(de)甚至造成國(guo)有(you)(you)資(zi)產流失。中(zhong)(zhong)(zhong)(zhong)央(yang)企(qi)(qi)(qi)業(ye)(ye)要在復(fu)雜(za)(za)多(duo)變的(de)市(shi)(shi)場環境(jing)(jing)中(zhong)(zhong)(zhong)(zhong)實現穩健發(fa)展(zhan),必須嚴格(ge)按照法律法規(gui)規(gui)定(ding),結(jie)合企(qi)(qi)(qi)業(ye)(ye)自身實際,重視抓好(hao)中(zhong)(zhong)(zhong)(zhong)央(yang)企(qi)(qi)(qi)業(ye)(ye)規(gui)章制(zhi)(zhi)度(du)建(jian)(jian)設,建(jian)(jian)立健全內部(bu)管理(li)(li)秩序,進一(yi)步(bu)完善(shan)全系統管控的(de)各項制(zhi)(zhi)度(du),并不(bu)(bu)(bu)(bu)(bu)折不(bu)(bu)(bu)(bu)(bu)扣地貫徹落實好(hao)。

  總(zong)之,市(shi)場(chang)競(jing)爭(zheng)(zheng)無(wu)情,必(bi)(bi)須遵從法(fa)(fa)(fa)律(lv)。面對(dui)新(xin)形勢新(xin)挑戰,中央企(qi)(qi)業(ye)(ye)必(bi)(bi)須進一(yi)(yi)步增強以(yi)下(xia)法(fa)(fa)(fa)制理(li)念(nian)。一(yi)(yi)要(yao)(yao)牢固樹立(li)“市(shi)場(chang)競(jing)爭(zheng)(zheng),法(fa)(fa)(fa)律(lv)先行”的(de)(de)理(li)念(nian)。要(yao)(yao)充分研究市(shi)場(chang)競(jing)爭(zheng)(zheng)的(de)(de)法(fa)(fa)(fa)律(lv)環境,嚴格進行決策的(de)(de)法(fa)(fa)(fa)律(lv)把(ba)關,把(ba)法(fa)(fa)(fa)律(lv)風(feng)(feng)險防范工作擺到重(zhong)要(yao)(yao)位置。二要(yao)(yao)牢固樹立(li)“依(yi)(yi)法(fa)(fa)(fa)經(jing)(jing)(jing)(jing)營(ying),依(yi)(yi)法(fa)(fa)(fa)管理(li)”的(de)(de)理(li)念(nian)。無(wu)論是內部管理(li),還是市(shi)場(chang)經(jing)(jing)(jing)(jing)營(ying),都要(yao)(yao)依(yi)(yi)法(fa)(fa)(fa)管理(li),按規經(jing)(jing)(jing)(jing)營(ying)。三要(yao)(yao)牢固樹立(li)“加強企(qi)(qi)業(ye)(ye)法(fa)(fa)(fa)制工作同樣可(ke)以(yi)創(chuang)造經(jing)(jing)(jing)(jing)濟(ji)效(xiao)益”的(de)(de)理(li)念(nian)。堵(du)塞法(fa)(fa)(fa)律(lv)漏洞(dong),防范法(fa)(fa)(fa)律(lv)風(feng)(feng)險,避免資產損(sun)失,實(shi)際上(shang)就(jiu)是創(chuang)造了(le)經(jing)(jing)(jing)(jing)濟(ji)效(xiao)益。四要(yao)(yao)牢固樹立(li)“守(shou)法(fa)(fa)(fa)誠(cheng)信(xin)是企(qi)(qi)業(ye)(ye)第(di)一(yi)(yi)生命,違法(fa)(fa)(fa)經(jing)(jing)(jing)(jing)營(ying)是企(qi)(qi)業(ye)(ye)最大風(feng)(feng)險”的(de)(de)理(li)念(nian)。中央企(qi)(qi)業(ye)(ye)要(yao)(yao)走得(de)快(kuai),走得(de)好(hao),走得(de)遠(yuan),就(jiu)要(yao)(yao)當(dang)好(hao)重(zhong)信(xin)守(shou)諾的(de)(de)表(biao)率(lv),當(dang)好(hao)依(yi)(yi)法(fa)(fa)(fa)經(jing)(jing)(jing)(jing)營(ying)的(de)(de)表(biao)率(lv),立(li)足長遠(yuan)發展(zhan),打造百年(nian)老(lao)店(dian)。

  三、明確新(xin)(xin)目標新(xin)(xin)任務(wu),扎實做(zuo)好(hao)今后(hou)三年的企(qi)業法制(zhi)工作

  今(jin)后三(san)年(nian),是中(zhong)(zhong)央企(qi)(qi)(qi)業(ye)改(gai)革發(fa)展的(de)(de)關鍵時(shi)期。根據黨(dang)中(zhong)(zhong)央和國(guo)(guo)(guo)(guo)務院的(de)(de)要求,要加快(kuai)推進(jin)國(guo)(guo)(guo)(guo)有企(qi)(qi)(qi)業(ye)公(gong)司制股份(fen)制改(gai)革,優化國(guo)(guo)(guo)(guo)有經濟布(bu)局結構,增強國(guo)(guo)(guo)(guo)有經濟的(de)(de)活力(li)(li)、控制力(li)(li)和影響力(li)(li),到2010年(nian)要基(ji)本完成國(guo)(guo)(guo)(guo)有企(qi)(qi)(qi)業(ye)戰略性調整和改(gai)組,建立(li)比較完善的(de)(de)現代企(qi)(qi)(qi)業(ye)制度,打造一批擁有自主(zhu)知識(shi)產(chan)權和知名(ming)品牌(pai)、國(guo)(guo)(guo)(guo)際(ji)競爭力(li)(li)較強的(de)(de)優勢(shi)企(qi)(qi)(qi)業(ye)。中(zhong)(zhong)央企(qi)(qi)(qi)業(ye)法制工(gong)(gong)(gong)作(zuo)必(bi)須以中(zhong)(zhong)國(guo)(guo)(guo)(guo)特色(se)社會主(zhu)義理論和黨(dang)的(de)(de)十七大精神為指導,深入貫徹落實科(ke)學發(fa)展觀(guan),緊緊圍繞企(qi)(qi)(qi)業(ye)又好又快(kuai)發(fa)展的(de)(de)目(mu)標任務,在完成前三(san)年(nian)工(gong)(gong)(gong)作(zuo)目(mu)標的(de)(de)基(ji)礎上(shang),按照“深化工(gong)(gong)(gong)作(zuo),提高水平”的(de)(de)總體要求,再上(shang)新(xin)臺階(jie)新(xin)水平。

  (一)中央企業法制工(gong)作的總體目(mu)標(biao)和(he)主要任務。

  今后(hou)三(san)年(nian)中(zhong)央企(qi)(qi)業法(fa)(fa)(fa)制工作(zuo)的(de)總體目(mu)標是:以建(jian)立健全(quan)企(qi)(qi)業法(fa)(fa)(fa)律風險防范機制為核心,力爭到(dao)2010年(nian)在中(zhong)央企(qi)(qi)業及其(qi)重要子(zi)企(qi)(qi)業全(quan)部建(jian)立總法(fa)(fa)(fa)律顧問制度,企(qi)(qi)業規章制度、經濟合同(tong)和重要決策的(de)法(fa)(fa)(fa)律審核把關率(lv)達到(dao)100%,因違法(fa)(fa)(fa)經營發(fa)(fa)生的(de)新(xin)(xin)的(de)重大法(fa)(fa)(fa)律糾紛案件(jian)基本(ben)杜絕,歷史遺留的(de)重大法(fa)(fa)(fa)律糾紛案件(jian)基本(ben)解決,企(qi)(qi)業法(fa)(fa)(fa)制工作(zuo)在提高企(qi)(qi)業市場競爭力和發(fa)(fa)展壯(zhuang)大具有國(guo)際(ji)競爭力的(de)大公(gong)司大集團中(zhong)的(de)保障促進作(zuo)用得到(dao)進一步發(fa)(fa)揮。實現中(zhong)央企(qi)(qi)業法(fa)(fa)(fa)制工作(zuo)新(xin)(xin)的(de)三(san)年(nian)目(mu)標,要切實抓好以下重點工作(zuo):

  一(yi)是加強法(fa)(fa)(fa)制(zhi)(zhi)宣(xuan)傳(chuan)教育(yu),進一(yi)步創(chuang)建企(qi)業(ye)(ye)合(he)(he)規(gui)文(wen)化(hua)。企(qi)業(ye)(ye)法(fa)(fa)(fa)制(zhi)(zhi)宣(xuan)傳(chuan)教育(yu)既是國家(jia)普(pu)法(fa)(fa)(fa)工作(zuo)的(de)重(zhong)要(yao)(yao)組(zu)成部分(fen),也是培(pei)(pei)育(yu)企(qi)業(ye)(ye)合(he)(he)規(gui)文(wen)化(hua)的(de)重(zhong)要(yao)(yao)基礎。中央企(qi)業(ye)(ye)要(yao)(yao)根(gen)據(ju)“五五”普(pu)法(fa)(fa)(fa)規(gui)劃,按照新的(de)三(san)年目標要(yao)(yao)求,創(chuang)新普(pu)法(fa)(fa)(fa)方(fang)式,把日常(chang)經(jing)營管理涉(she)及的(de)法(fa)(fa)(fa)律法(fa)(fa)(fa)規(gui)和本企(qi)業(ye)(ye)法(fa)(fa)(fa)律風險(xian)管理制(zhi)(zhi)度作(zuo)為(wei)(wei)(wei)普(pu)法(fa)(fa)(fa)培(pei)(pei)訓的(de)重(zhong)要(yao)(yao)內容。要(yao)(yao)將(jiang)法(fa)(fa)(fa)律學習(xi)納入本企(qi)業(ye)(ye)黨委(黨組(zu))中心組(zu)學習(xi)的(de)內容,形成企(qi)業(ye)(ye)負(fu)(fu)責人定期學法(fa)(fa)(fa)制(zhi)(zhi)度。要(yao)(yao)把增(zeng)強法(fa)(fa)(fa)制(zhi)(zhi)意(yi)識、提(ti)升法(fa)(fa)(fa)律素養(yang)作(zuo)為(wei)(wei)(wei)評(ping)價企(qi)業(ye)(ye)負(fu)(fu)責人素質的(de)重(zhong)要(yao)(yao)內容。要(yao)(yao)定期組(zu)織法(fa)(fa)(fa)律輪訓,促(cu)進“法(fa)(fa)(fa)律進決策、法(fa)(fa)(fa)律進業(ye)(ye)務(wu)、法(fa)(fa)(fa)律進部門、法(fa)(fa)(fa)律進班(ban)組(zu)”,使法(fa)(fa)(fa)制(zhi)(zhi)宣(xuan)傳(chuan)教育(yu)工作(zuo)經(jing)常(chang)化(hua)、固定化(hua)、長期化(hua),為(wei)(wei)(wei)培(pei)(pei)育(yu)和構建企(qi)業(ye)(ye)合(he)(he)規(gui)文(wen)化(hua)、提(ti)升中央企(qi)業(ye)(ye)軟(ruan)實力(li)奠定堅實基礎。

  二是(shi)全面落(luo)實(shi)企(qi)業(ye)法(fa)(fa)(fa)律(lv)(lv)(lv)(lv)事務機構(gou)職(zhi)(zhi)能,實(shi)現法(fa)(fa)(fa)律(lv)(lv)(lv)(lv)顧(gu)(gu)(gu)問(wen)隊(dui)伍的(de)專業(ye)化(hua)。進一(yi)步加強中央企(qi)業(ye)法(fa)(fa)(fa)律(lv)(lv)(lv)(lv)顧(gu)(gu)(gu)問(wen)隊(dui)伍建設,是(shi)實(shi)現新(xin)的(de)三年(nian)目標(biao)的(de)重要組織保障。要力(li)爭(zheng)到2010年(nian)底(di),中央企(qi)業(ye)及其(qi)重要子(zi)企(qi)業(ye)法(fa)(fa)(fa)律(lv)(lv)(lv)(lv)事務機構(gou)作為獨立(li)職(zhi)(zhi)能部門(men)的(de)比例達(da)到70%以上。要實(shi)現法(fa)(fa)(fa)律(lv)(lv)(lv)(lv)顧(gu)(gu)(gu)問(wen)隊(dui)伍的(de)專業(ye)化(hua),結合國資委剛剛公布的(de)《國有(you)企(qi)業(ye)法(fa)(fa)(fa)律(lv)(lv)(lv)(lv)顧(gu)(gu)(gu)問(wen)職(zhi)(zhi)業(ye)崗位等級資格(ge)評審管理暫行辦法(fa)(fa)(fa)》,加強專業(ye)培訓,提高執業(ye)水平,不斷增強企(qi)業(ye)法(fa)(fa)(fa)律(lv)(lv)(lv)(lv)顧(gu)(gu)(gu)問(wen)隊(dui)伍的(de)整體(ti)素質,努力(li)造就一(yi)支既(ji)懂法(fa)(fa)(fa)律(lv)(lv)(lv)(lv)又懂經營(ying)管理的(de)復合型人才隊(dui)伍。到2010年(nian)底(di)中央企(qi)業(ye)總法(fa)(fa)(fa)律(lv)(lv)(lv)(lv)顧(gu)(gu)(gu)問(wen)專職(zhi)(zhi)率達(da)到70%;中央企(qi)業(ye)全系統法(fa)(fa)(fa)律(lv)(lv)(lv)(lv)人員(yuan)中具有(you)企(qi)業(ye)法(fa)(fa)(fa)律(lv)(lv)(lv)(lv)顧(gu)(gu)(gu)問(wen)執業(ye)資格(ge)的(de)比例達(da)到70%。

  三是依(yi)(yi)法(fa)完善企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)規(gui)(gui)章(zhang)制(zhi)度(du)(du),進一步(bu)夯實企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)管(guan)理基礎。規(gui)(gui)章(zhang)制(zhi)度(du)(du)建(jian)設是實現(xian)企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)可持續發展的(de)重要基礎,也是實現(xian)新(xin)的(de)三年目(mu)標的(de)制(zhi)度(du)(du)保障。中央(yang)企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)要分(fen)析總(zong)結企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)發展中面臨的(de)新(xin)情況新(xin)問題,進一步(bu)加(jia)強規(gui)(gui)章(zhang)制(zhi)度(du)(du)建(jian)設,規(gui)(gui)范(fan)企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)決策、經營管(guan)理的(de)各種行為。要加(jia)強對企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)規(gui)(gui)章(zhang)制(zhi)度(du)(du)的(de)法(fa)律審核把(ba)關,充分(fen)發揮(hui)法(fa)律事務(wu)工作機構在企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)規(gui)(gui)章(zhang)制(zhi)度(du)(du)制(zhi)定(ding)、實施過程中的(de)審核、協調(diao)、統(tong)籌作用,保障企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)規(gui)(gui)章(zhang)制(zhi)度(du)(du)的(de)依(yi)(yi)法(fa)合(he)規(gui)(gui)、科學高效。要重視提(ti)高規(gui)(gui)章(zhang)制(zhi)度(du)(du)的(de)執行力(li),結合(he)企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)內控體系建(jian)設,落實規(gui)(gui)章(zhang)制(zhi)度(du)(du)要求,加(jia)大制(zhi)度(du)(du)實施的(de)監督力(li)度(du)(du),維(wei)護制(zhi)度(du)(du)的(de)嚴肅性(xing)。

  四是以全面實(shi)(shi)施企(qi)(qi)(qi)(qi)業(ye)(ye)總(zong)法(fa)(fa)(fa)(fa)律(lv)顧(gu)問(wen)制(zhi)(zhi)(zhi)度為重(zhong)點,進(jin)一步創新(xin)企(qi)(qi)(qi)(qi)業(ye)(ye)法(fa)(fa)(fa)(fa)律(lv)管(guan)(guan)理(li)(li)(li)模式。增(zeng)強(qiang)(qiang)中(zhong)央(yang)(yang)企(qi)(qi)(qi)(qi)業(ye)(ye)集團(tuan)的(de)(de)控制(zhi)(zhi)(zhi)力,必須依法(fa)(fa)(fa)(fa)提高集團(tuan)公司對下屬(shu)企(qi)(qi)(qi)(qi)業(ye)(ye)的(de)(de)管(guan)(guan)控能力。要(yao)通過實(shi)(shi)行中(zhong)央(yang)(yang)企(qi)(qi)(qi)(qi)業(ye)(ye)總(zong)法(fa)(fa)(fa)(fa)律(lv)顧(gu)問(wen)制(zhi)(zhi)(zhi)度,加快完善企(qi)(qi)(qi)(qi)業(ye)(ye)集團(tuan)公司全系(xi)(xi)統法(fa)(fa)(fa)(fa)律(lv)管(guan)(guan)理(li)(li)(li)體(ti)(ti)系(xi)(xi),建立上下聯動的(de)(de)法(fa)(fa)(fa)(fa)律(lv)工(gong)作機制(zhi)(zhi)(zhi)。要(yao)進(jin)一步指導和推動下屬(shu)企(qi)(qi)(qi)(qi)業(ye)(ye)法(fa)(fa)(fa)(fa)制(zhi)(zhi)(zhi)工(gong)作,完善以事(shi)前(qian)防(fang)范(fan)、事(shi)中(zhong)控制(zhi)(zhi)(zhi)為主(zhu),事(shi)后補救為輔(fu)的(de)(de)法(fa)(fa)(fa)(fa)律(lv)管(guan)(guan)理(li)(li)(li)制(zhi)(zhi)(zhi)度,推進(jin)法(fa)(fa)(fa)(fa)律(lv)工(gong)作管(guan)(guan)理(li)(li)(li)信息(xi)化(hua)建設,強(qiang)(qiang)化(hua)對重(zhong)要(yao)子企(qi)(qi)(qi)(qi)業(ye)(ye)重(zhong)大事(shi)項的(de)(de)法(fa)(fa)(fa)(fa)律(lv)監控。要(yao)加快推行集團(tuan)公司總(zong)法(fa)(fa)(fa)(fa)律(lv)顧(gu)問(wen)領導下的(de)(de)多層次的(de)(de)法(fa)(fa)(fa)(fa)律(lv)顧(gu)問(wen)工(gong)作體(ti)(ti)系(xi)(xi)建設,優(you)化(hua)整合(he)(he)中(zhong)央(yang)(yang)企(qi)(qi)(qi)(qi)業(ye)(ye)系(xi)(xi)統內部法(fa)(fa)(fa)(fa)律(lv)資源,形成團(tuan)隊優(you)勢(shi),建立健全企(qi)(qi)(qi)(qi)業(ye)(ye)重(zhong)大法(fa)(fa)(fa)(fa)律(lv)問(wen)題“集體(ti)(ti)會診、集體(ti)(ti)論證”制(zhi)(zhi)(zhi)度,逐(zhu)步形成全系(xi)(xi)統、大范(fan)圍、廣覆(fu)蓋的(de)(de)法(fa)(fa)(fa)(fa)律(lv)工(gong)作網(wang)絡。要(yao)鼓勵探(tan)索中(zhong)央(yang)(yang)企(qi)(qi)(qi)(qi)業(ye)(ye)集中(zhong)管(guan)(guan)理(li)(li)(li)與條塊管(guan)(guan)理(li)(li)(li)相結合(he)(he)的(de)(de)法(fa)(fa)(fa)(fa)律(lv)工(gong)作管(guan)(guan)理(li)(li)(li)模式,從(cong)體(ti)(ti)制(zhi)(zhi)(zhi)機制(zhi)(zhi)(zhi)上逐(zhu)步解決法(fa)(fa)(fa)(fa)律(lv)業(ye)(ye)務和人(ren)員管(guan)(guan)理(li)(li)(li)分散、法(fa)(fa)(fa)(fa)律(lv)工(gong)作缺乏統籌的(de)(de)問(wen)題。

  六是加強(qiang)企(qi)(qi)業(ye)(ye)知(zhi)(zhi)識(shi)(shi)(shi)(shi)(shi)產(chan)(chan)(chan)權(quan)(quan)(quan)(quan)的(de)依法(fa)(fa)管(guan)理(li)(li)和(he)保(bao)(bao)護(hu)(hu),進一(yi)步提高中央企(qi)(qi)業(ye)(ye)核(he)心競爭力(li)。中央企(qi)(qi)業(ye)(ye)要(yao)(yao)(yao)認(ren)真(zhen)貫徹實施《國家知(zhi)(zhi)識(shi)(shi)(shi)(shi)(shi)產(chan)(chan)(chan)權(quan)(quan)(quan)(quan)戰(zhan)略(lve)綱要(yao)(yao)(yao)》,充(chong)分借(jie)鑒和(he)吸收(shou)《企(qi)(qi)業(ye)(ye)知(zhi)(zhi)識(shi)(shi)(shi)(shi)(shi)產(chan)(chan)(chan)權(quan)(quan)(quan)(quan)戰(zhan)略(lve)與管(guan)理(li)(li)指南》研(yan)究成果,完(wan)善知(zhi)(zhi)識(shi)(shi)(shi)(shi)(shi)產(chan)(chan)(chan)權(quan)(quan)(quan)(quan)依法(fa)(fa)管(guan)理(li)(li)和(he)保(bao)(bao)護(hu)(hu)的(de)機制(zhi)和(he)制(zhi)度。要(yao)(yao)(yao)提高知(zhi)(zhi)識(shi)(shi)(shi)(shi)(shi)產(chan)(chan)(chan)權(quan)(quan)(quan)(quan)的(de)維(wei)權(quan)(quan)(quan)(quan)意識(shi)(shi)(shi)(shi)(shi)和(he)水(shui)平(ping),充(chong)分運用知(zhi)(zhi)識(shi)(shi)(shi)(shi)(shi)產(chan)(chan)(chan)權(quan)(quan)(quan)(quan)法(fa)(fa)律(lv)制(zhi)度,加強(qiang)創(chuang)新(xin)成果的(de)法(fa)(fa)律(lv)保(bao)(bao)護(hu)(hu),著力(li)推進企(qi)(qi)業(ye)(ye)品牌(pai)建設,通過(guo)形成自(zi)主(zhu)知(zhi)(zhi)識(shi)(shi)(shi)(shi)(shi)產(chan)(chan)(chan)權(quan)(quan)(quan)(quan)維(wei)護(hu)(hu)和(he)提升企(qi)(qi)業(ye)(ye)品牌(pai)價值(zhi)。要(yao)(yao)(yao)積極(ji)參與國內外各類(lei)標準的(de)制(zhi)訂,及(ji)時將(jiang)擁有自(zi)主(zhu)知(zhi)(zhi)識(shi)(shi)(shi)(shi)(shi)產(chan)(chan)(chan)權(quan)(quan)(quan)(quan)的(de)核(he)心技術上升為國家標準和(he)國際標準,主(zhu)動(dong)取(qu)得標準制(zhi)定的(de)話語權(quan)(quan)(quan)(quan)。要(yao)(yao)(yao)加強(qiang)企(qi)(qi)業(ye)(ye)重組改制(zhi)、合(he)資(zi)(zi)合(he)作(zuo)、對(dui)外投資(zi)(zi)、人(ren)才流動(dong)等(deng)領(ling)域(yu)的(de)知(zhi)(zhi)識(shi)(shi)(shi)(shi)(shi)產(chan)(chan)(chan)權(quan)(quan)(quan)(quan)法(fa)(fa)律(lv)保(bao)(bao)護(hu)(hu),防止知(zhi)(zhi)識(shi)(shi)(shi)(shi)(shi)產(chan)(chan)(chan)權(quan)(quan)(quan)(quan)流失。積極(ji)應對(dui)知(zhi)(zhi)識(shi)(shi)(shi)(shi)(shi)產(chan)(chan)(chan)權(quan)(quan)(quan)(quan)法(fa)(fa)律(lv)訴訟,依法(fa)(fa)維(wei)護(hu)(hu)企(qi)(qi)業(ye)(ye)自(zi)身合(he)法(fa)(fa)權(quan)(quan)(quan)(quan)益。

  實現企業(ye)法(fa)制工作新的三年目標和任務,中央企業(ye)要(yao)注(zhu)意做好以(yi)下工作。

  二(er)是細化(hua)企業(ye)法(fa)制工作(zuo)(zuo)目標(biao)(biao)。中央企業(ye)要(yao)(yao)根據國資委(wei)提出的(de)新(xin)的(de)法(fa)制工作(zuo)(zuo)三年目標(biao)(biao),結合企業(ye)改革發展的(de)實(shi)際,細化(hua)本(ben)企業(ye)的(de)具體目標(biao)(biao),制定(ding)切實(shi)可行的(de)實(shi)施方案。要(yao)(yao)圍繞法(fa)律風險防(fang)范這個核心(xin),按(an)照本(ben)企業(ye)實(shi)際情況(kuang),對(dui)(dui)規章(zhang)制度、經濟合同和(he)重要(yao)(yao)經營(ying)決策的(de)法(fa)律審(shen)核進行分(fen)類細化(hua),增強可操作(zuo)(zuo)性。加強對(dui)(dui)完成工作(zuo)(zuo)目標(biao)(biao)的(de)跟蹤(zong)、指導(dao)和(he)監督,努力形成“目標(biao)(biao)層(ceng)(ceng)層(ceng)(ceng)分(fen)解(jie)、進度層(ceng)(ceng)層(ceng)(ceng)明確、監督層(ceng)(ceng)層(ceng)(ceng)到位、責(ze)任層(ceng)(ceng)層(ceng)(ceng)落實(shi)”的(de)良好工作(zuo)(zuo)局面。

  三是加快法(fa)(fa)律(lv)工作(zuo)規(gui)范化(hua)、職(zhi)能化(hua)、專業(ye)(ye)化(hua)步(bu)伐。企(qi)(qi)(qi)業(ye)(ye)法(fa)(fa)律(lv)顧問(wen)(wen)隊伍的(de)(de)(de)素質水平(ping),直(zhi)接關系(xi)到新的(de)(de)(de)三年(nian)目(mu)標的(de)(de)(de)實現,直(zhi)接關系(xi)到企(qi)(qi)(qi)業(ye)(ye)法(fa)(fa)制工作(zuo)的(de)(de)(de)質量和成效(xiao)。要通過有關制度的(de)(de)(de)健全(quan)完善,明(ming)確企(qi)(qi)(qi)業(ye)(ye)法(fa)(fa)律(lv)顧問(wen)(wen)處理企(qi)(qi)(qi)業(ye)(ye)法(fa)(fa)律(lv)事務的(de)(de)(de)權(quan)限、責任、程(cheng)序和工作(zuo)時限等,同時支持企(qi)(qi)(qi)業(ye)(ye)法(fa)(fa)律(lv)顧問(wen)(wen)加強深造學(xue)習和取(qu)得(de)執(zhi)業(ye)(ye)資格,以此推進(jin)企(qi)(qi)(qi)業(ye)(ye)法(fa)(fa)律(lv)工作(zuo)的(de)(de)(de)規(gui)范化(hua)、職(zhi)能化(hua)和專業(ye)(ye)化(hua)。中(zhong)央企(qi)(qi)(qi)業(ye)(ye)廣大法(fa)(fa)律(lv)顧問(wen)(wen)也要充分認識自(zi)身(shen)肩負的(de)(de)(de)重任和職(zhi)責,堅(jian)持“有為才有位(wei),有位(wei)更有為”,努(nu)力提高自(zi)身(shen)水平(ping),勇(yong)挑重擔(dan),大膽實踐(jian),不斷(duan)進(jin)取(qu),為加快中(zhong)央企(qi)(qi)(qi)業(ye)(ye)改革(ge)發(fa)展和推進(jin)中(zhong)央企(qi)(qi)(qi)業(ye)(ye)法(fa)(fa)制工作(zuo)上臺階上水平(ping),繼續作(zuo)出新的(de)(de)(de)更大貢獻。

  四是重(zhong)視和(he)加(jia)強對政策法(fa)(fa)(fa)律(lv)環(huan)境(jing)的(de)(de)研(yan)(yan)究。要(yao)積(ji)極參與國(guo)(guo)家(jia)立法(fa)(fa)(fa)和(he)相(xiang)關政策的(de)(de)研(yan)(yan)究論證工(gong)作(zuo),充分反映國(guo)(guo)有(you)(you)企(qi)(qi)(qi)業(ye)(ye)改革發展(zhan)的(de)(de)實踐(jian)經驗,爭取有(you)(you)利于企(qi)(qi)(qi)業(ye)(ye)發展(zhan)的(de)(de)政策法(fa)(fa)(fa)律(lv)環(huan)境(jing)。要(yao)加(jia)強法(fa)(fa)(fa)律(lv)工(gong)作(zuo)的(de)(de)前(qian)瞻性研(yan)(yan)究,深入分析(xi)新的(de)(de)重(zhong)要(yao)法(fa)(fa)(fa)律(lv)的(de)(de)實施對國(guo)(guo)有(you)(you)企(qi)(qi)(qi)業(ye)(ye)改革發展(zhan)、經營管理的(de)(de)影響,認真研(yan)(yan)究提(ti)出(chu)貫徹落(luo)實相(xiang)關法(fa)(fa)(fa)律(lv)的(de)(de)具(ju)體措施。要(yao)嚴(yan)格(ge)執行(xing)國(guo)(guo)有(you)(you)資產(chan)監(jian)管法(fa)(fa)(fa)規規章,企(qi)(qi)(qi)業(ye)(ye)法(fa)(fa)(fa)律(lv)事務(wu)機構要(yao)在這(zhe)項工(gong)作(zuo)中發揮好牽頭作(zuo)用,一(yi)方(fang)面及時了(le)解國(guo)(guo)資委的(de)(de)立法(fa)(fa)(fa)動態(tai),積(ji)極建言獻策,使國(guo)(guo)有(you)(you)資產(chan)監(jian)管立法(fa)(fa)(fa)更加(jia)符合中央企(qi)(qi)(qi)業(ye)(ye)實際;另一(yi)方(fang)面,要(yao)緊(jin)密結(jie)合本企(qi)(qi)(qi)業(ye)(ye)實際,積(ji)極提(ti)出(chu)貫徹實施的(de)(de)具(ju)體建議(yi)。

  (三(san))國資委繼(ji)續加大對(dui)中(zhong)央企業(ye)法制工作的指導(dao)推動力度。

  在中央(yang)企業(ye)加強自身法制(zhi)建設(she)的(de)同(tong)時,國資委也將進一步加大對中央(yang)企業(ye)法制(zhi)工作的(de)指導推動力度(du)。為(wei)了全面(mian)完(wan)成(cheng)中央(yang)企業(ye)法制(zhi)建設(she)新的(de)三年目(mu)標,國資委將采取以(yi)下指導推進措施:

  一是研究出臺《關(guan)于(yu)加強中(zhong)央(yang)企(qi)業法制工(gong)(gong)(gong)作的(de)(de)(de)指(zhi)導意(yi)見》。在總結中(zhong)央(yang)企(qi)業法制工(gong)(gong)(gong)作取得的(de)(de)(de)成績和分析存(cun)在問題(ti)的(de)(de)(de)基(ji)礎上,進一步(bu)明確中(zhong)央(yang)企(qi)業法制工(gong)(gong)(gong)作的(de)(de)(de)重點任務和措施保障。同時,努力(li)反映(ying)中(zhong)央(yang)企(qi)業改革(ge)發(fa)展(zhan)的(de)(de)(de)實際(ji)情況(kuang),積極為(wei)企(qi)業爭取和創造更為(wei)有利的(de)(de)(de)政策法律環(huan)境。

  二是(shi)建立對中(zhong)(zhong)(zhong)央企(qi)業(ye)(ye)法(fa)制(zhi)(zhi)(zhi)工作三年目標完成(cheng)情況(kuang)的(de)定期(qi)通報和(he)評價(jia)制(zhi)(zhi)(zhi)度(du)。根據中(zhong)(zhong)(zhong)央企(qi)業(ye)(ye)實現三年目標的(de)進度(du)安(an)排和(he)實施方(fang)案的(de)備案情況(kuang),加強調研,每年對中(zhong)(zhong)(zhong)央企(qi)業(ye)(ye)完成(cheng)三年工作目標的(de)進度(du)情況(kuang)進行綜合(he)測評,重(zhong)點(dian)對中(zhong)(zhong)(zhong)央企(qi)業(ye)(ye)總(zong)法(fa)律(lv)(lv)顧問制(zhi)(zhi)(zhi)度(du)建設(she)情況(kuang),重(zhong)要(yao)決策、規章(zhang)制(zhi)(zhi)(zhi)度(du)和(he)合(he)同(tong)法(fa)律(lv)(lv)審核(he)情況(kuang),重(zhong)大法(fa)律(lv)(lv)糾紛案件處理(li)情況(kuang)等進行定期(qi)通報。同(tong)時(shi),把企(qi)業(ye)(ye)因(yin)違法(fa)經(jing)營(ying)造成(cheng)重(zhong)大資產損失,納入中(zhong)(zhong)(zhong)央企(qi)業(ye)(ye)經(jing)營(ying)業(ye)(ye)績考核(he)和(he)企(qi)業(ye)(ye)績效評價(jia),并予以責任追究。

  三是繼續幫助協調(diao)中(zhong)央(yang)企(qi)(qi)(qi)業重(zhong)大(da)法律糾紛(fen)(fen)案件(jian)。對中(zhong)央(yang)企(qi)(qi)(qi)業報(bao)請協調(diao)的(de)、符合《中(zhong)央(yang)企(qi)(qi)(qi)業重(zhong)大(da)法律糾紛(fen)(fen)案件(jian)管理(li)暫行辦法》規定的(de)有(you)關案件(jian),積極溝通相(xiang)關立法、執法、司法機關和政府(fu)有(you)關部門,爭取案件(jian)妥善解決,切實維護國有(you)資產安全。同時,定期對中(zhong)央(yang)企(qi)(qi)(qi)業發生的(de)重(zhong)大(da)法律糾紛(fen)(fen)案件(jian)進行認真總結,分析發案原因(yin)和趨勢,提(ti)出相(xiang)關的(de)政策措施(shi),進一步完善對重(zhong)大(da)法律糾紛(fen)(fen)案件(jian)的(de)管理(li)和處理(li)制度(du)。

  四是加強中央企(qi)(qi)業(ye)(ye)法(fa)(fa)律(lv)(lv)顧(gu)問(wen)(wen)(wen)(wen)隊伍建設。按照《國有企(qi)(qi)業(ye)(ye)法(fa)(fa)律(lv)(lv)顧(gu)問(wen)(wen)(wen)(wen)職(zhi)業(ye)(ye)崗位等級(ji)資格評(ping)審管理(li)暫行辦法(fa)(fa)》,指導企(qi)(qi)業(ye)(ye)設立(li)企(qi)(qi)業(ye)(ye)一級(ji)、二級(ji)和三級(ji)企(qi)(qi)業(ye)(ye)法(fa)(fa)律(lv)(lv)顧(gu)問(wen)(wen)(wen)(wen)崗位,完善(shan)企(qi)(qi)業(ye)(ye)法(fa)(fa)律(lv)(lv)顧(gu)問(wen)(wen)(wen)(wen)人才激勵機制,加強企(qi)(qi)業(ye)(ye)法(fa)(fa)律(lv)(lv)顧(gu)問(wen)(wen)(wen)(wen)的(de)(de)(de)交(jiao)流與培(pei)訓,建立(li)一支(zhi)梯次配備(bei)、結構合理(li)的(de)(de)(de)高(gao)素質(zhi)的(de)(de)(de)企(qi)(qi)業(ye)(ye)法(fa)(fa)律(lv)(lv)顧(gu)問(wen)(wen)(wen)(wen)隊伍。
