近日,國(guo)(guo)務(wu)(wu)院國(guo)(guo)資委印發了《關于切實加強(qiang)金融(rong)衍生業(ye)務(wu)(wu)管(guan)理有關事項的通(tong)知》(國(guo)(guo)資發財(cai)評規〔2020〕8號,以下(xia)簡稱《通(tong)知》),對原有金融(rong)衍生業(ye)務(wu)(wu)監管(guan)制度進行(xing)了整合、修訂。《通(tong)知》出臺(tai)后,國(guo)(guo)務(wu)(wu)院國(guo)(guo)資委有關負責人接受了記者(zhe)采訪。
1.問:請介紹一下《通知》出臺的背景。
答:金(jin)融(rong)(rong)衍(yan)(yan)生(sheng)(sheng)(sheng)(sheng)(sheng)業(ye)(ye)(ye)(ye)(ye)(ye)務(wu)(wu)(wu)是(shi)大型(xing)企(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)管(guan)(guan)(guan)理(li)價(jia)格(ge)風(feng)(feng)險的常用手段,可有(you)(you)(you)效(xiao)(xiao)對沖現(xian)貨價(jia)格(ge)波(bo)動風(feng)(feng)險,促(cu)進(jin)企(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)平穩運(yun)行(xing)。但金(jin)融(rong)(rong)衍(yan)(yan)生(sheng)(sheng)(sheng)(sheng)(sheng)業(ye)(ye)(ye)(ye)(ye)(ye)務(wu)(wu)(wu)本身也是(shi)一(yi)把“雙(shuang)刃(ren)劍”,具有(you)(you)(you)高杠桿性、高風(feng)(feng)險性和復雜性,如管(guan)(guan)(guan)控不(bu)(bu)當,易(yi)發(fa)生(sheng)(sheng)(sheng)(sheng)(sheng)損失風(feng)(feng)險。為指導企(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)加強金(jin)融(rong)(rong)衍(yan)(yan)生(sheng)(sheng)(sheng)(sheng)(sheng)業(ye)(ye)(ye)(ye)(ye)(ye)務(wu)(wu)(wu)風(feng)(feng)險管(guan)(guan)(guan)控,國(guo)資委先后印發(fa)了《關(guan)于(yu)進(jin)一(yi)步(bu)加強中(zhong)央(yang)(yang)企(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)金(jin)融(rong)(rong)衍(yan)(yan)生(sheng)(sheng)(sheng)(sheng)(sheng)業(ye)(ye)(ye)(ye)(ye)(ye)務(wu)(wu)(wu)監(jian)管(guan)(guan)(guan)的通知》(國(guo)資發(fa)評價(jia)〔2009〕19號)、《關(guan)于(yu)建立(li)中(zhong)央(yang)(yang)企(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)金(jin)融(rong)(rong)衍(yan)(yan)生(sheng)(sheng)(sheng)(sheng)(sheng)業(ye)(ye)(ye)(ye)(ye)(ye)務(wu)(wu)(wu)臨時(shi)監(jian)管(guan)(guan)(guan)機制的通知》(國(guo)資發(fa)評價(jia)〔2010〕187號)、《關(guan)于(yu)取消中(zhong)央(yang)(yang)企(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)境外商品衍(yan)(yan)生(sheng)(sheng)(sheng)(sheng)(sheng)業(ye)(ye)(ye)(ye)(ye)(ye)務(wu)(wu)(wu)核準(zhun)事項的通知》(國(guo)資發(fa)評價(jia)〔2015〕42號),構(gou)建了中(zhong)央(yang)(yang)企(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)金(jin)融(rong)(rong)衍(yan)(yan)生(sheng)(sheng)(sheng)(sheng)(sheng)業(ye)(ye)(ye)(ye)(ye)(ye)務(wu)(wu)(wu)監(jian)管(guan)(guan)(guan)制度(du)框架體(ti)系。多年(nian)來,中(zhong)央(yang)(yang)企(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)按照監(jian)管(guan)(guan)(guan)要求,審慎(shen)開展業(ye)(ye)(ye)(ye)(ye)(ye)務(wu)(wu)(wu),有(you)(you)(you)效(xiao)(xiao)管(guan)(guan)(guan)控風(feng)(feng)險,業(ye)(ye)(ye)(ye)(ye)(ye)務(wu)(wu)(wu)總(zong)體(ti)運(yun)行(xing)平穩。但監(jian)管(guan)(guan)(guan)中(zhong)發(fa)現(xian),有(you)(you)(you)部分(fen)企(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)存在集(ji)團管(guan)(guan)(guan)控不(bu)(bu)到位、業(ye)(ye)(ye)(ye)(ye)(ye)務(wu)(wu)(wu)審批不(bu)(bu)嚴(yan)格(ge)、操作程(cheng)序不(bu)(bu)規范、激勵趨向(xiang)投機以(yi)及業(ye)(ye)(ye)(ye)(ye)(ye)務(wu)(wu)(wu)報告不(bu)(bu)及時(shi)、不(bu)(bu)準(zhun)確等問(wen)題。同時(shi),隨(sui)著(zhu)近年(nian)來中(zhong)央(yang)(yang)企(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)加快“走出(chu)去”步(bu)伐(fa),積極拓展國(guo)際業(ye)(ye)(ye)(ye)(ye)(ye)務(wu)(wu)(wu),運(yun)用金(jin)融(rong)(rong)衍(yan)(yan)生(sheng)(sheng)(sheng)(sheng)(sheng)工具對沖大宗商品價(jia)格(ge)、利率、匯(hui)率波(bo)動風(feng)(feng)險的需(xu)求增多,開展金(jin)融(rong)(rong)衍(yan)(yan)生(sheng)(sheng)(sheng)(sheng)(sheng)業(ye)(ye)(ye)(ye)(ye)(ye)務(wu)(wu)(wu)出(chu)現(xian)一(yi)些新情況、新變化(hua),現(xian)行(xing)監(jian)管(guan)(guan)(guan)制度(du)已不(bu)(bu)能(neng)充分(fen)滿足企(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)實(shi)際業(ye)(ye)(ye)(ye)(ye)(ye)務(wu)(wu)(wu)需(xu)要。
貫徹(che)落實(shi)十九(jiu)屆四中全會關(guan)于“增強國有經(jing)濟抗風險(xian)能力”的(de)精(jing)神,為進一步指導中央(yang)企業(ye)(ye)規(gui)范開展金融衍生業(ye)(ye)務,在(zai)(zai)發揮其功能作用的(de)同時,切實(shi)有效(xiao)管(guan)控風險(xian),國資(zi)委(wei)(wei)在(zai)(zai)廣(guang)泛征求中央(yang)企業(ye)(ye)和有關(guan)監管(guan)部門意見(jian)的(de)基礎上(shang),對監管(guan)制(zhi)度進行了整合、修訂,研(yan)究(jiu)制(zhi)定了《通知》,經(jing)由國資(zi)委(wei)(wei)黨(dang)委(wei)(wei)會議審議通過后印(yin)發中央(yang)企業(ye)(ye)執行。
2.問:制定《通知》的主要原則是什么?
答:總體(ti)(ti)原(yuan)則是,堅(jian)持從嚴管(guan)控,堅(jian)持套期保值,堅(jian)持風險(xian)可控,嚴把“入口(kou)關(guan)”、“規模關(guan)”、“操(cao)作(zuo)關(guan)”,進(jin)一(yi)(yi)步明確各(ge)級主體(ti)(ti)責(ze)任,進(jin)一(yi)(yi)步明晰(xi)業務原(yuan)則,進(jin)一(yi)(yi)步規范操(cao)作(zuo)流程,進(jin)一(yi)(yi)步加強監(jian)督檢查(cha),指導企(qi)業建(jian)立“嚴格管(guan)控、規范操(cao)作(zuo)、風險(xian)可控”的金融(rong)(rong)衍生業務監(jian)管(guan)體(ti)(ti)系,切實發揮好金融(rong)(rong)衍生業務促進(jin)企(qi)業平穩運行的作(zuo)用(yong)。
在《通知》起(qi)草過(guo)程中,注重與原(yuan)制度相銜接,實(shi)(shi)現(xian)平穩(wen)過(guo)渡;注重以問題和風險(xian)為導向,解決(jue)企(qi)(qi)業(ye)(ye)實(shi)(shi)踐(jian)中存在的突(tu)出問題,補足制度短(duan)板;注重立足企(qi)(qi)業(ye)(ye)實(shi)(shi)際,充(chong)分吸收企(qi)(qi)業(ye)(ye)好的做法和管(guan)理經驗,提煉為制度規定,力求指導性(xing)、可操作性(xing)強(qiang)。
3.問:《通知》主要在哪些方面進行了修訂?
答:《通(tong)知》包括六(liu)個部分內(nei)容(rong),覆(fu)蓋事(shi)(shi)前(qian)、事(shi)(shi)中和事(shi)(shi)后的(de)關鍵環節(jie)。較原有制度的(de)變化主要體現在以(yi)下幾個方面。
一是落實各主體管控責任。進一步明確集(ji)(ji)團董事(shi)會、集(ji)(ji)團管理層(ceng)及(ji)集(ji)(ji)團職(zhi)能(neng)部門、操作主體的(de)職(zhi)責,建立健全三級管理體系,嚴格業務管控。
二是強(qiang)化套期(qi)保(bao)值原則。在堅持交(jiao)(jiao)易(yi)(yi)品種(zhong)與(yu)主業相關、交(jiao)(jiao)易(yi)(yi)時間、規模(mo)、方向與(yu)實(shi)貨匹配等要(yao)求的基礎上,進(jin)一步強(qiang)調(diao)套期(qi)保(bao)值的實(shi)質和(he)原則,即以(yi)降低實(shi)貨風險敞口為目的,禁止投機交(jiao)(jiao)易(yi)(yi);通(tong)過(guo)增加(jia)總量和(he)時點規模(mo)雙管控(kong),嚴防超(chao)規模(mo)交(jiao)(jiao)易(yi)(yi);通(tong)過(guo)要(yao)求建立科學的激勵約束(shu)和(he)業務(wu)效果(guo)綜合評判機制,防止片面追(zhui)求金融衍生業務(wu)單(dan)邊盈(ying)利(li)導致(zhi)投機行為。
三是實(shi)(shi)施分(fen)類(lei)(lei)管(guan)控。針對(dui)(dui)貨幣類(lei)(lei)、商品類(lei)(lei)衍生業(ye)務的(de)不同(tong)特點(dian)和(he)風(feng)險程度,在業(ye)務規模(mo)、崗位設置、信息系統(tong)等方(fang)面區別對(dui)(dui)待,即體現從嚴監管(guan),又(you)貼合企業(ye)實(shi)(shi)際。
四是細化風險(xian)管(guan)控(kong)(kong)要(yao)(yao)求(qiu)。在(zai)(zai)(zai)監控(kong)(kong)手段上,增加有關建立信(xin)息系統的要(yao)(yao)求(qiu),實現在(zai)(zai)(zai)線監測(ce),固化制度規定;在(zai)(zai)(zai)風險(xian)預警上,提(ti)出(chu)采用定量及定性方(fang)法(fa)及時識別各類風險(xian)的要(yao)(yao)求(qiu);在(zai)(zai)(zai)應急處理上,明確處理要(yao)(yao)求(qiu),妥善做好應對。
五是嚴控操作關(guan)鍵節(jie)點。堅持(chi)前中后(hou)臺分離原則,嚴格(ge)合規(gui)管(guan)理;強調(diao)授權審批(pi)要(yao)(yao)求,嚴防(fang)越(yue)權違規(gui)操作;增加保證金(jin)管(guan)控要(yao)(yao)求,規(gui)范資(zi)金(jin)使用,防(fang)范資(zi)金(jin)風險;建立(li)風險管(guan)理日報告、部門月核(he)對、管(guan)理層季溝(gou)通機(ji)制(zhi),加強業務動(dong)態管(guan)理。
六是(shi)強化(hua)(hua)監督檢查(cha)。對審計(ji)監督的原則性要求進行細化(hua)(hua),明確(que)集團(tuan)歸口管理部門和(he)內審部門的監督檢查(cha)責(ze)任和(he)側(ce)重(zhong)點,嚴防違規事項,確(que)保制度落(luo)實。
4.問:國資委將采取哪些監管措施?
答:國資委(wei)的監(jian)(jian)管仍然聚焦在事中跟蹤(zong)監(jian)(jian)測(ce)與(yu)事后監(jian)(jian)督檢查,督促(cu)企(qi)業(ye)加強風險(xian)管控(kong)。一是(shi)(shi)在日常工作中,建立定期(qi)報告(gao)制度,要(yao)求企(qi)業(ye)按季、按年報告(gao)業(ye)務開(kai)展(zhan)情況,對于(yu)重大事項(xiang),要(yao)求24小時內專(zhuan)項(xiang)報告(gao)。二是(shi)(shi)嚴肅問(wen)責(ze)追(zhui)責(ze),對于(yu)發生重大損失風險(xian)、造成嚴重影響等問(wen)題(ti)的,將(jiang)在業(ye)績(ji)考核中予以扣分或降級處理,并根(gen)據干部(bu)管理權限開(kai)展(zhan)責(ze)任(ren)追(zhui)究。三是(shi)(shi)會同有關部(bu)門(men),通過(guo)定期(qi)會商、信息(xi)共享(xiang)、聯合(he)檢查等方式,形(xing)成監(jian)(jian)管合(he)力,提升監(jian)(jian)管專(zhuan)業(ye)性。
5.問:國資委對抓好《通知》的落實有什么具體工作安排?
答:《通(tong)知》下(xia)發后,國資(zi)委將對(dui)中央企業(ye)和(he)(he)地(di)方(fang)國資(zi)監管部門進(jin)行培訓,就修訂的重點內(nei)容進(jin)行講解(jie)和(he)(he)說明,幫助(zhu)準確(que)理解(jie)和(he)(he)把握《通(tong)知》的內(nei)容和(he)(he)要求。做(zuo)好日常對(dui)口指(zhi)導,答疑解(jie)惑(huo),及時(shi)幫助(zhu)解(jie)決工作中遇(yu)到的困難和(he)(he)問題。加強對(dui)《通(tong)知》執行情況的跟蹤評測,督(du)促(cu)企業(ye)切實(shi)(shi)將《通(tong)知》要求落實(shi)(shi)到位。
