關于做好中央企業違規經營投資責任追究工作體系建設有關事項的通知 

 

各中央企業:

根據《國(guo)(guo)務院辦公廳關于建(jian)(jian)(jian)立國(guo)(guo)有(you)企(qi)(qi)業(ye)違規經(jing)營投資(zi)責(ze)(ze)任追(zhui)(zhui)究(jiu)(jiu)制(zhi)(zhi)(zhi)度(du)的(de)(de)意見》(國(guo)(guo)辦發(fa)〔2016〕63號,以下簡稱63號文(wen)件(jian)(jian)),按(an)照(zhao)國(guo)(guo)資(zi)委有(you)關要(yao)求,各中央企(qi)(qi)業(ye)高(gao)度(du)重視(shi),均(jun)成(cheng)立了違規經(jing)營投資(zi)責(ze)(ze)任追(zhui)(zhui)究(jiu)(jiu)工作領導小組或(huo)工作小組,其中大部分由企(qi)(qi)業(ye)主要(yao)負責(ze)(ze)人(ren)任組長(chang),有(you)序推進制(zhi)(zhi)(zhi)度(du)建(jian)(jian)(jian)設(she)(she)(she)、組織建(jian)(jian)(jian)設(she)(she)(she)和體系(xi)(xi)建(jian)(jian)(jian)設(she)(she)(she)。目前,責(ze)(ze)任追(zhui)(zhui)究(jiu)(jiu)工作專(zhuan)門制(zhi)(zhi)(zhi)度(du)、職(zhi)(zhi)能部門、報(bao)告機(ji)制(zhi)(zhi)(zhi)已(yi)基本實現全覆(fu)蓋,責(ze)(ze)任倒查(cha)機(ji)制(zhi)(zhi)(zhi)基本形成(cheng),以追(zhui)(zhui)責(ze)(ze)促進企(qi)(qi)業(ye)強(qiang)化管理、完善(shan)制(zhi)(zhi)(zhi)度(du)等(deng)取得積極成(cheng)效,保障企(qi)(qi)業(ye)合規經(jing)營及高(gao)質量發(fa)展作用逐步(bu)顯現,63號文(wen)件(jian)(jian)明確的(de)(de)第(di)一(yi)階段目標初(chu)步(bu)完成(cheng)。為進一(yi)步(bu)落實63號文(wen)件(jian)(jian)“在2020年(nian)底前,全面建(jian)(jian)(jian)立覆(fu)蓋各級履行出資(zi)人(ren)職(zhi)(zhi)責(ze)(ze)的(de)(de)機(ji)構及國(guo)(guo)有(you)企(qi)(qi)業(ye)的(de)(de)責(ze)(ze)任追(zhui)(zhui)究(jiu)(jiu)工作體系(xi)(xi),形成(cheng)職(zhi)(zhi)責(ze)(ze)明確、流程(cheng)清晰、規范(fan)有(you)序的(de)(de)責(ze)(ze)任追(zhui)(zhui)究(jiu)(jiu)工作機(ji)制(zhi)(zhi)(zhi)”的(de)(de)第(di)二階段目標,做好中央企(qi)(qi)業(ye)責(ze)(ze)任追(zhui)(zhui)究(jiu)(jiu)工作體系(xi)(xi)建(jian)(jian)(jian)設(she)(she)(she),現將有(you)關事(shi)項通知如下:

一(yi)、進一(yi)步提高(gao)對責(ze)(ze)(ze)(ze)任追(zhui)究(jiu)(jiu)工作(zuo)(zuo)重(zhong)要性的(de)認識(shi)。黨(dang)中央(yang)、國(guo)(guo)(guo)務院(yuan)高(gao)度重(zhong)視強(qiang)化(hua)(hua)國(guo)(guo)(guo)有(you)資(zi)產(chan)監(jian)管、落實(shi)國(guo)(guo)(guo)有(you)企(qi)業經(jing)營(ying)(ying)投資(zi)責(ze)(ze)(ze)(ze)任,黨(dang)的(de)十八屆三中全會(hui)以及(ji)國(guo)(guo)(guo)資(zi)國(guo)(guo)(guo)企(qi)改(gai)革系(xi)列(lie)(lie)文件對強(qiang)化(hua)(hua)經(jing)營(ying)(ying)投資(zi)責(ze)(ze)(ze)(ze)任追(zhui)究(jiu)(jiu),建立(li)健全國(guo)(guo)(guo)有(you)企(qi)業重(zhong)大(da)決(jue)策失誤(wu)和失職(zhi)、瀆職(zhi)責(ze)(ze)(ze)(ze)任追(zhui)究(jiu)(jiu)倒查機制等作(zuo)(zuo)出一(yi)系(xi)列(lie)(lie)部署(shu)。各(ge)中央(yang)企(qi)業要切實(shi)提高(gao)思想認識(shi),站(zhan)在守(shou)護好(hao)全體(ti)人民(min)共同財富的(de)高(gao)度,深刻(ke)理(li)(li)解責(ze)(ze)(ze)(ze)任追(zhui)究(jiu)(jiu)工作(zuo)(zuo)在有(you)效防止國(guo)(guo)(guo)有(you)資(zi)產(chan)流失、落實(shi)國(guo)(guo)(guo)有(you)資(zi)產(chan)保(bao)值增值責(ze)(ze)(ze)(ze)任方面的(de)重(zhong)要作(zuo)(zuo)用,將(jiang)推進責(ze)(ze)(ze)(ze)任追(zhui)究(jiu)(jiu)工作(zuo)(zuo)體(ti)系(xi)建設作(zuo)(zuo)為(wei)提升(sheng)合規經(jing)營(ying)(ying)水平和防范化(hua)(hua)解重(zhong)大(da)風險的(de)重(zhong)要抓手,通過有(you)效開展責(ze)(ze)(ze)(ze)任追(zhui)究(jiu)(jiu)工作(zuo)(zuo),促進各(ge)級經(jing)營(ying)(ying)管理(li)(li)人員(yuan)規范履職(zhi)、勤勉盡責(ze)(ze)(ze)(ze),推動企(qi)業合規經(jing)營(ying)(ying)、行(xing)穩(wen)致遠。

二(er)、深入推進組織(zhi)(zhi)體(ti)(ti)(ti)系(xi)建設。各中央企業(ye)要(yao)健全(quan)責(ze)(ze)(ze)任追(zhui)究(jiu)組織(zhi)(zhi)體(ti)(ti)(ti)系(xi),嚴格落(luo)實(shi)(shi)(shi)責(ze)(ze)(ze)任,層層傳導(dao)壓力(li),持續深入推進責(ze)(ze)(ze)任追(zhui)究(jiu)工(gong)(gong)(gong)作(zuo)。一要(yao)加強(qiang)工(gong)(gong)(gong)作(zuo)組織(zhi)(zhi)領(ling)導(dao)。企業(ye)主(zhu)要(yao)負(fu)(fu)責(ze)(ze)(ze)人要(yao)主(zhu)持研(yan)究(jiu)審議責(ze)(ze)(ze)任追(zhui)究(jiu)工(gong)(gong)(gong)作(zuo)重要(yao)事項,統籌謀劃,部署推動,保障(zhang)工(gong)(gong)(gong)作(zuo)有效(xiao)開展。分(fen)管負(fu)(fu)責(ze)(ze)(ze)人要(yao)靠前(qian)指揮,指導(dao)把關核查質量,督(du)促(cu)工(gong)(gong)(gong)作(zuo)深入推進。職能(neng)部門(men)要(yao)切實(shi)(shi)(shi)擔負(fu)(fu)起(qi)直接責(ze)(ze)(ze)任,抓緊編制(zhi)工(gong)(gong)(gong)作(zuo)體(ti)(ti)(ti)系(xi)建設方(fang)案,與人力(li)資(zi)源(yuan)、巡視、紀檢監察(cha)等部門(men)密切配(pei)(pei)合,做好具(ju)體(ti)(ti)(ti)組織(zhi)(zhi)實(shi)(shi)(shi)施。二(er)要(yao)進一步強(qiang)化職能(neng)部門(men)建設。要(yao)切實(shi)(shi)(shi)落(luo)實(shi)(shi)(shi)職能(neng)部門(men)編制(zhi)、人員(yuan)、資(zi)金等工(gong)(gong)(gong)作(zuo)保障(zhang),確保專項工(gong)(gong)(gong)作(zuo)獨立有效(xiao)開展。要(yao)配(pei)(pei)齊配(pei)(pei)強(qiang)配(pei)(pei)優工(gong)(gong)(gong)作(zuo)隊(dui)伍,加強(qiang)培訓教育和實(shi)(shi)(shi)踐(jian)鍛煉,提(ti)升專業(ye)能(neng)力(li)和專業(ye)精神(shen)。三要(yao)推進所屬企業(ye)責(ze)(ze)(ze)任追(zhui)究(jiu)工(gong)(gong)(gong)作(zuo)組織(zhi)(zhi)體(ti)(ti)(ti)系(xi)建設。按照(zhao)分(fen)級管理(li)、分(fen)層負(fu)(fu)責(ze)(ze)(ze)的原則,結合企業(ye)實(shi)(shi)(shi)際、行業(ye)特性等,實(shi)(shi)(shi)現職責(ze)(ze)(ze)主(zhu)體(ti)(ti)(ti)上有人管,監督(du)范圍(wei)上全(quan)覆蓋。

三、持(chi)續完善(shan)(shan)(shan)責任(ren)追(zhui)(zhui)(zhui)究(jiu)制(zhi)(zhi)(zhi)(zhi)度(du)(du)體(ti)系。各中央企業(ye)要(yao)加(jia)快構建內容(rong)協調、流程清晰、配套完備、有(you)效管用的責任(ren)追(zhui)(zhui)(zhui)究(jiu)制(zhi)(zhi)(zhi)(zhi)度(du)(du)體(ti)系,不斷提高工作規(gui)(gui)范(fan)化(hua)(hua)、制(zhi)(zhi)(zhi)(zhi)度(du)(du)化(hua)(hua)、科學化(hua)(hua)水平。一(yi)要(yao)推進制(zhi)(zhi)(zhi)(zhi)度(du)(du)深度(du)(du)覆(fu)蓋和(he)(he)有(you)效約束。根據所(suo)屬(shu)企業(ye)規(gui)(gui)模體(ti)量差異、業(ye)務模式特點等,因企施策細(xi)化(hua)(hua)責任(ren)追(zhui)(zhui)(zhui)究(jiu)范(fan)圍(wei)、劃(hua)分資產(chan)損失(shi)標準等,防止尺(chi)度(du)(du)范(fan)圍(wei)寬松,責任(ren)約束不足(zu)。二要(yao)完善(shan)(shan)(shan)配套制(zhi)(zhi)(zhi)(zhi)度(du)(du)。研究(jiu)制(zhi)(zhi)(zhi)(zhi)定(ding)損失(shi)認定(ding)、責任(ren)認定(ding)、離職(zhi)退休人員(yuan)違(wei)規(gui)(gui)責任(ren)追(zhui)(zhui)(zhui)究(jiu)處(chu)理(li)等實施細(xi)則,規(gui)(gui)范(fan)工作流程和(he)(he)標準,實現責任(ren)追(zhui)(zhui)(zhui)究(jiu)工作標準一(yi)致、有(you)章可(ke)循、規(gui)(gui)范(fan)有(you)序(xu)。三要(yao)夯實制(zhi)(zhi)(zhi)(zhi)度(du)(du)基礎。落(luo)實63號文(wen)件要(yao)求,進一(yi)步完善(shan)(shan)(shan)重(zhong)大(da)決策評(ping)估、決策事項履(lv)(lv)職(zhi)記錄等規(gui)(gui)定(ding);細(xi)化(hua)(hua)各類經營投資責任(ren)條(tiao)款和(he)(he)清單,明確(que)崗(gang)位職(zhi)責和(he)(he)履(lv)(lv)職(zhi)程序(xu);在有(you)關外聘(pin)董事、職(zhi)業(ye)經理(li)人聘(pin)任(ren)合同中,要(yao)明確(que)違(wei)規(gui)(gui)經營投資責任(ren)追(zhui)(zhui)(zhui)究(jiu)的原則要(yao)求。

四、扎實(shi)(shi)做(zuo)好違(wei)(wei)規問(wen)題(ti)線(xian)(xian)索(suo)查(cha)處(chu)。各(ge)中(zhong)央企(qi)業(ye)要(yao)(yao)違(wei)(wei)規必(bi)究,追(zhui)責(ze)必(bi)嚴,切實(shi)(shi)增強(qiang)國資(zi)監(jian)管法(fa)規制度(du)和(he)企(qi)業(ye)內部管理(li)(li)規定(ding)剛性約束。一(yi)要(yao)(yao)加大責(ze)任追(zhui)究工(gong)(gong)作(zuo)力(li)度(du)。對(dui)受理(li)(li)查(cha)辦的(de)違(wei)(wei)規經(jing)營投(tou)資(zi)問(wen)題(ti)線(xian)(xian)索(suo)實(shi)(shi)行對(dui)賬銷號管理(li)(li),集中(zhong)力(li)量抓好國有(you)資(zi)產重大損失調(diao)查(cha),依(yi)法(fa)依(yi)規追(zhui)究有(you)關(guan)(guan)人員責(ze)任。對(dui)發現的(de)涉(she)嫌違(wei)(wei)紀、職(zhi)務違(wei)(wei)法(fa)及犯(fan)罪的(de)問(wen)題(ti)線(xian)(xian)索(suo),要(yao)(yao)及時移送紀檢監(jian)察或司法(fa)機關(guan)(guan)查(cha)處(chu)。二(er)要(yao)(yao)強(qiang)化責(ze)任追(zhui)究工(gong)(gong)作(zuo)指導(dao)監(jian)督。組織(zhi)對(dui)所屬企(qi)業(ye)責(ze)任追(zhui)究工(gong)(gong)作(zuo)的(de)監(jian)督檢查(cha),強(qiang)化定(ding)性、定(ding)損、定(ding)責(ze)等關(guan)(guan)鍵(jian)環節的(de)指導(dao)把關(guan)(guan),根據需要(yao)(yao)可由上(shang)級企(qi)業(ye)直接開展核(he)查(cha)。三要(yao)(yao)加強(qiang)案(an)例通報(bao)(bao)和(he)有(you)關(guan)(guan)信息公(gong)開。要(yao)(yao)結(jie)(jie)合具(ju)體案(an)例的(de)調(diao)查(cha)處(chu)理(li)(li),在(zai)適當范圍總結(jie)(jie)、通報(bao)(bao)及公(gong)開調(diao)查(cha)處(chu)理(li)(li)情況,以(yi)案(an)為(wei)鑒,發揮“追(zhui)責(ze)一(yi)個、警示(shi)一(yi)片”的(de)警示(shi)教育作(zuo)用(yong),不(bu)斷提高監(jian)督追(zhui)責(ze)工(gong)(gong)作(zuo)的(de)影(ying)響力(li)和(he)透明(ming)度(du)。

五、探索(suo)工(gong)(gong)(gong)作(zuo)方式方法。責(ze)(ze)(ze)(ze)(ze)任(ren)追(zhui)(zhui)究(jiu)工(gong)(gong)(gong)作(zuo)政策性強、涉及(ji)面(mian)廣、專業(ye)(ye)要(yao)求高,各中央企業(ye)(ye)要(yao)積極探索(suo)工(gong)(gong)(gong)作(zuo)的新(xin)途徑新(xin)方法。一要(yao)探索(suo)開(kai)展境外核查追(zhui)(zhui)責(ze)(ze)(ze)(ze)(ze)。逐(zhu)步(bu)推進境外損失調查和(he)追(zhui)(zhui)責(ze)(ze)(ze)(ze)(ze)工(gong)(gong)(gong)作(zuo),關(guan)注重大(da)(da)決策、重大(da)(da)合同、大(da)(da)額資金管(guan)(guan)控和(he)境外子(zi)企業(ye)(ye)治理(li)等(deng)方面(mian)的資產流失風險,確保國有資本投到哪里,監管(guan)(guan)追(zhui)(zhui)責(ze)(ze)(ze)(ze)(ze)就延伸到哪里。二(er)要(yao)探索(suo)建(jian)立追(zhui)(zhui)責(ze)(ze)(ze)(ze)(ze)信(xin)息(xi)管(guan)(guan)理(li)系統(tong)。提升工(gong)(gong)(gong)作(zuo)信(xin)息(xi)化(hua)水平(ping),逐(zhu)步(bu)實現線上填報(bao)提交責(ze)(ze)(ze)(ze)(ze)任(ren)追(zhui)(zhui)究(jiu)工(gong)(gong)(gong)作(zuo)報(bao)告,對(dui)受理(li)、初步(bu)核實、分(fen)類(lei)處(chu)置(zhi)、核查、處(chu)理(li)和(he)整改(gai)等(deng)環(huan)節全過程(cheng)監督,研(yan)究(jiu)通過共享(xiang)經營管(guan)(guan)理(li)信(xin)息(xi)和(he)構建(jian)大(da)(da)數據模型(xing),精準發現違規問題。三要(yao)探索(suo)推進容錯(cuo)機制(zhi)(zhi)落實落地。進一步(bu)研(yan)究(jiu)落實“三個區(qu)分(fen)開(kai)來”的落地舉措,具體(ti)問題具體(ti)分(fen)析(xi),既防(fang)止(zhi)追(zhui)(zhui)責(ze)(ze)(ze)(ze)(ze)不(bu)力,又防(fang)止(zhi)追(zhui)(zhui)責(ze)(ze)(ze)(ze)(ze)泛化(hua)簡單化(hua)。同時,結合實際,研(yan)究(jiu)加強基金投資、混(hun)合所(suo)有制(zhi)(zhi)等(deng)新(xin)業(ye)(ye)態領域(yu)的責(ze)(ze)(ze)(ze)(ze)任(ren)追(zhui)(zhui)究(jiu)工(gong)(gong)(gong)作(zuo)。

六、不(bu)(bu)斷健(jian)全(quan)以追責促(cu)發(fa)展(zhan)(zhan)(zhan)(zhan)的(de)長效機制(zhi)。責任追究是手段不(bu)(bu)是目(mu)的(de),各(ge)中央(yang)企業要注(zhu)重做好監(jian)(jian)督“后(hou)半篇文章”,把追責成果(guo)轉化(hua)為促(cu)進(jin)(jin)企業健(jian)康發(fa)展(zhan)(zhan)(zhan)(zhan)的(de)監(jian)(jian)管(guan)(guan)效能。一要促(cu)進(jin)(jin)防范化(hua)解重大(da)風(feng)險(xian)(xian)。舉(ju)一反三(san),以點帶面,深入(ru)開展(zhan)(zhan)(zhan)(zhan)共性(xing)問題核查,排查問題隱(yin)患(huan),預警(jing)提示經營(ying)風(feng)險(xian)(xian)。適時介入(ru)風(feng)險(xian)(xian)事(shi)件處置,跟(gen)蹤關注(zhu)或(huo)有資(zi)產損(sun)(sun)失(shi),以追責促(cu)追損(sun)(sun),及時化(hua)解資(zi)產損(sun)(sun)失(shi)風(feng)險(xian)(xian)。二要推動完善(shan)企業內部控(kong)制(zhi)體(ti)系。針對發(fa)現的(de)內控(kong)缺陷和(he)管(guan)(guan)控(kong)漏洞,標本兼治,強化(hua)整(zheng)改落實,及時制(zhi)定(ding)修訂(ding)各(ge)項管(guan)(guan)理制(zhi)度,完善(shan)內控(kong)體(ti)系,提升管(guan)(guan)理水平。三(san)要保(bao)障(zhang)企業合(he)規(gui)經營(ying)健(jian)康發(fa)展(zhan)(zhan)(zhan)(zhan)。以責任追究為重要抓手,通(tong)過(guo)懲治教(jiao)育(yu)建(jian)設相(xiang)結合(he),強化(hua)各(ge)級管(guan)(guan)理人(ren)員合(he)規(gui)履(lv)職的(de)自(zi)覺性(xing)和(he)主(zhu)動性(xing),全(quan)面推進(jin)(jin)依法治企,有效促(cu)進(jin)(jin)企業穩(wen)健(jian)經營(ying)和(he)可(ke)持續發(fa)展(zhan)(zhan)(zhan)(zhan)。

國(guo)(guo)資(zi)委(wei)將加強對各(ge)中央企業(ye)責任追(zhui)究(jiu)工(gong)作的(de)指導,組織培訓(xun)和交流,根據需要(yao)檢查企業(ye)貫(guan)徹(che)落實(shi)(shi)63號文件、《中央企業(ye)違規經(jing)營投資(zi)責任追(zhui)究(jiu)實(shi)(shi)施(shi)辦(ban)法(試(shi)行)》(國(guo)(guo)資(zi)委(wei)令第(di)37號,以(yi)下簡稱37號令)的(de)工(gong)作情(qing)況等(deng)。各(ge)中央企業(ye)要(yao)認真制定責任追(zhui)究(jiu)工(gong)作體(ti)(ti)系建設(she)方案并(bing)于2019年(nian)5月底前(qian)將有關情(qing)況書(shu)面報(bao)送(song)國(guo)(guo)資(zi)委(wei),具體(ti)(ti)實(shi)(shi)施(shi)落實(shi)(shi)情(qing)況納(na)入(ru)年(nian)度定期報(bao)告一并(bing)報(bao)送(song)。同時,要(yao)注(zhu)意收(shou)集(ji)執行37號令以(yi)及(ji)推進責任追(zhui)究(jiu)工(gong)作體(ti)(ti)系建設(she)過程中的(de)新情(qing)況、新問題,及(ji)時報(bao)告國(guo)(guo)資(zi)委(wei)。
