  國務(wu)院總理溫家(jia)寶6月30日主(zhu)持召開(kai)國務(wu)院常務(wu)會議(yi),研(yan)究部署促進企(qi)業(ye)兼并(bing)(bing)重組(zu),聽取對中(zhong)央企(qi)業(ye)監督檢查和國有企(qi)業(ye)監事會工作情況匯(hui)報,審議(yi)并(bing)(bing)原則通過(guo)《自然災害救助(zhu)條例(草案)》。

    會議指(zhi)出(chu),近(jin)年來,各行業(ye)(ye)、各領域通過企(qi)業(ye)(ye)合并(bing)和股(gu)權、資(zi)(zi)產收購(gou)等多(duo)種形式積極(ji)進行整(zheng)合,企(qi)業(ye)(ye)兼并(bing)重組步伐加快,產業(ye)(ye)組織結(jie)構不斷優化。但一些(xie)行業(ye)(ye)產業(ye)(ye)集中(zhong)度低(di)、自主創新能(neng)力(li)不強(qiang)(qiang)、市(shi)(shi)場競(jing)爭(zheng)(zheng)力(li)較弱等問題仍然突出(chu)。在資(zi)(zi)源環境約束日益嚴重、國際產業(ye)(ye)競(jing)爭(zheng)(zheng)更加激烈的新形勢(shi)下,必須切實推(tui)進企(qi)業(ye)(ye)兼并(bing)重組,深化企(qi)業(ye)(ye)改革,促進產業(ye)(ye)結(jie)構優化升級,加快經濟(ji)發展(zhan)方式轉變,提高發展(zhan)質(zhi)量和效益,增強(qiang)(qiang)抵(di)御國際市(shi)(shi)場風(feng)險能(neng)力(li),實現可(ke)持續發展(zhan)。

    會議(yi)強(qiang)調(diao),促進企(qi)(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)兼(jian)(jian)并(bing)(bing)(bing)(bing)(bing)(bing)(bing)重(zhong)(zhong)(zhong)(zhong)組(zu)(zu)(zu),必須堅持發揮企(qi)(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)的(de)(de)主(zhu)體(ti)作用,充分尊重(zhong)(zhong)(zhong)(zhong)企(qi)(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)意愿;堅持市(shi)場(chang)化(hua)運作,促進市(shi)場(chang)公平(ping)競(jing)(jing)(jing)爭,優(you)勝劣汰(tai)(tai);依法妥善解決(jue)資(zi)(zi)(zi)產債(zhai)務(wu)處置和(he)(he)職工安置問題,維護(hu)企(qi)(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)、社會的(de)(de)和(he)(he)諧(xie)穩定。一(yi)要(yao)(yao)(yao)消除(chu)企(qi)(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)兼(jian)(jian)并(bing)(bing)(bing)(bing)(bing)(bing)(bing)重(zhong)(zhong)(zhong)(zhong)組(zu)(zu)(zu)的(de)(de)制度障(zhang)礙。清理廢止各種不利(li)于企(qi)(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)兼(jian)(jian)并(bing)(bing)(bing)(bing)(bing)(bing)(bing)重(zhong)(zhong)(zhong)(zhong)組(zu)(zu)(zu)和(he)(he)妨(fang)礙公平(ping)競(jing)(jing)(jing)爭的(de)(de)規定,堅決(jue)取消地(di)(di)(di)方自(zi)行(xing)(xing)出臺的(de)(de)限制外地(di)(di)(di)企(qi)(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)對(dui)本(ben)地(di)(di)(di)企(qi)(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)實(shi)施(shi)(shi)兼(jian)(jian)并(bing)(bing)(bing)(bing)(bing)(bing)(bing)重(zhong)(zhong)(zhong)(zhong)組(zu)(zu)(zu)的(de)(de)規定。地(di)(di)(di)區(qu)間可簽(qian)訂財稅(shui)利(li)益分成協(xie)(xie)議(yi),實(shi)現企(qi)(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)兼(jian)(jian)并(bing)(bing)(bing)(bing)(bing)(bing)(bing)重(zhong)(zhong)(zhong)(zhong)組(zu)(zu)(zu)成果共(gong)享。切實(shi)向民營資(zi)(zi)(zi)本(ben)開放(fang)法律法規未禁止進入的(de)(de)行(xing)(xing)業(ye)(ye)(ye)和(he)(he)領(ling)域,加(jia)快壟斷(duan)行(xing)(xing)業(ye)(ye)(ye)改革(ge),鼓勵民營資(zi)(zi)(zi)本(ben)通過(guo)(guo)兼(jian)(jian)并(bing)(bing)(bing)(bing)(bing)(bing)(bing)重(zhong)(zhong)(zhong)(zhong)組(zu)(zu)(zu)等(deng)方式(shi)進入壟斷(duan)行(xing)(xing)業(ye)(ye)(ye)的(de)(de)競(jing)(jing)(jing)爭性(xing)業(ye)(ye)(ye)務(wu)領(ling)域。二要(yao)(yao)(yao)加(jia)強(qiang)對(dui)企(qi)(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)兼(jian)(jian)并(bing)(bing)(bing)(bing)(bing)(bing)(bing)重(zhong)(zhong)(zhong)(zhong)組(zu)(zu)(zu)的(de)(de)引導(dao)和(he)(he)政(zheng)策扶持。通過(guo)(guo)兼(jian)(jian)并(bing)(bing)(bing)(bing)(bing)(bing)(bing)重(zhong)(zhong)(zhong)(zhong)組(zu)(zu)(zu),堅決(jue)淘(tao)汰(tai)(tai)落后產能。中(zhong)央設立專(zhuan)項資(zi)(zi)(zi)金(jin),支(zhi)持中(zhong)央企(qi)(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)兼(jian)(jian)并(bing)(bing)(bing)(bing)(bing)(bing)(bing)重(zhong)(zhong)(zhong)(zhong)組(zu)(zu)(zu)。支(zhi)持兼(jian)(jian)并(bing)(bing)(bing)(bing)(bing)(bing)(bing)重(zhong)(zhong)(zhong)(zhong)組(zu)(zu)(zu)企(qi)(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)技術改造(zao)和(he)(he)產品結構(gou)調(diao)整(zheng)。充分發揮資(zi)(zi)(zi)本(ben)市(shi)場(chang)推(tui)動企(qi)(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)重(zhong)(zhong)(zhong)(zhong)組(zu)(zu)(zu)的(de)(de)作用,落實(shi)稅(shui)收優(you)惠,加(jia)大金(jin)融支(zhi)持力(li)度,完善土地(di)(di)(di)管理政(zheng)策。三要(yao)(yao)(yao)改進對(dui)兼(jian)(jian)并(bing)(bing)(bing)(bing)(bing)(bing)(bing)重(zhong)(zhong)(zhong)(zhong)組(zu)(zu)(zu)的(de)(de)管理和(he)(he)服務(wu)。堅持政(zheng)企(qi)(qi)(qi)(qi)(qi)(qi)(qi)分開,規范和(he)(he)改進企(qi)(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)兼(jian)(jian)并(bing)(bing)(bing)(bing)(bing)(bing)(bing)重(zhong)(zhong)(zhong)(zhong)組(zu)(zu)(zu)行(xing)(xing)政(zheng)審批(pi)。加(jia)強(qiang)風險監(jian)控和(he)(he)信(xin)息披露,有(you)效防范和(he)(he)打擊(ji)內幕交易和(he)(he)市(shi)場(chang)操縱行(xing)(xing)為,保護(hu)企(qi)(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)利(li)益,防止國有(you)資(zi)(zi)(zi)產流失。做(zuo)好信(xin)息咨詢(xun)服務(wu),拓寬企(qi)(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)兼(jian)(jian)并(bing)(bing)(bing)(bing)(bing)(bing)(bing)重(zhong)(zhong)(zhong)(zhong)組(zu)(zu)(zu)供求信(xin)息的(de)(de)交流渠(qu)道。四要(yao)(yao)(yao)推(tui)進企(qi)(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)體(ti)制改革(ge),通過(guo)(guo)企(qi)(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)兼(jian)(jian)并(bing)(bing)(bing)(bing)(bing)(bing)(bing)重(zhong)(zhong)(zhong)(zhong)組(zu)(zu)(zu),進一(yi)步加(jia)強(qiang)和(he)(he)改善經營管理,促進自(zi)主(zhu)創(chuang)新(xin),提高企(qi)(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)市(shi)場(chang)競(jing)(jing)(jing)爭力(li)。會議(yi)要(yao)(yao)(yao)求各地(di)(di)(di)區(qu)、各有(you)關部門加(jia)強(qiang)組(zu)(zu)(zu)織(zhi)領(ling)導(dao)和(he)(he)指導(dao)協(xie)(xie)調(diao),細(xi)化(hua)配套政(zheng)策措施(shi)(shi),認真抓好工作落實(shi)。

    會議(yi)聽(ting)取了(le)(le)對中(zhong)央(yang)企(qi)(qi)業(ye)(ye)監(jian)(jian)督檢查(cha)和(he)(he)國(guo)有(you)(you)企(qi)(qi)業(ye)(ye)監(jian)(jian)事會工作(zuo)情況的匯報。會議(yi)指出,2009年,中(zhong)央(yang)企(qi)(qi)業(ye)(ye)認(ren)真貫徹黨中(zhong)央(yang)、國(guo)務(wu)院決(jue)策部(bu)(bu)(bu)署,積極應(ying)對國(guo)際金融(rong)危機,全面落實重點產業(ye)(ye)調整(zheng)和(he)(he)振興規(gui)(gui)劃,深化企(qi)(qi)業(ye)(ye)改革(ge),著力(li)增強經(jing)營(ying)活力(li)和(he)(he)創(chuang)新能力(li),切(qie)實履行(xing)(xing)社會責任,保(bao)持了(le)(le)生(sheng)(sheng)產經(jing)營(ying)總體平穩運行(xing)(xing),發(fa)揮了(le)(le)國(guo)有(you)(you)經(jing)濟主導作(zuo)用(yong)。同時,也存(cun)在一些影響企(qi)(qi)業(ye)(ye)持續(xu)(xu)發(fa)展和(he)(he)涉及國(guo)有(you)(you)資產安全的問(wen)題,主要(yao)是:部(bu)(bu)(bu)分企(qi)(qi)業(ye)(ye)歷史欠(qian)帳多;盲目(mu)(mu)擴張,財(cai)務(wu)風險大;效(xiao)益回升(sheng)基礎不(bu)穩固;發(fa)展主業(ye)(ye)不(bu)專注,布局結構(gou)不(bu)合理(li);企(qi)(qi)業(ye)(ye)集團管控力(li)度不(bu)足;境外項目(mu)(mu)缺乏控制;違(wei)法違(wei)紀(ji)違(wei)規(gui)(gui)問(wen)題時有(you)(you)發(fa)生(sheng)(sheng)。下一步,要(yao)繼續(xu)(xu)加大監(jian)(jian)事會監(jian)(jian)督力(li)度,完善外部(bu)(bu)(bu)監(jian)(jian)督機制,促進(jin)中(zhong)央(yang)企(qi)(qi)業(ye)(ye)深化改革(ge),規(gui)(gui)范(fan)管理(li),確保(bao)國(guo)有(you)(you)資產保(bao)值(zhi)增值(zhi)。

    會議(yi)(yi)審議(yi)(yi)并原(yuan)則通過《自(zi)然(ran)(ran)(ran)災(zai)(zai)(zai)害(hai)救(jiu)(jiu)(jiu)助(zhu)(zhu)(zhu)(zhu)(zhu)條(tiao)例(li)(草案(an))》。會議(yi)(yi)指(zhi)出(chu),我國自(zi)然(ran)(ran)(ran)災(zai)(zai)(zai)害(hai)多(duo)發頻發,是世界(jie)上受(shou)自(zi)然(ran)(ran)(ran)災(zai)(zai)(zai)害(hai)影(ying)響最嚴重(zhong)的國家之一(yi)。黨中央、國務院(yuan)歷來(lai)高度(du)重(zhong)視自(zi)然(ran)(ran)(ran)災(zai)(zai)(zai)害(hai)救(jiu)(jiu)(jiu)助(zhu)(zhu)(zhu)(zhu)(zhu)工(gong)作,經(jing)(jing)過多(duo)年努力,初步(bu)建立了自(zi)然(ran)(ran)(ran)災(zai)(zai)(zai)害(hai)救(jiu)(jiu)(jiu)助(zhu)(zhu)(zhu)(zhu)(zhu)應(ying)急體系。近(jin)5年來(lai),平均每(mei)年救(jiu)(jiu)(jiu)助(zhu)(zhu)(zhu)(zhu)(zhu)受(shou)災(zai)(zai)(zai)群眾6000萬至(zhi)8000萬人(ren)(ren)次。為進(jin)一(yi)步(bu)規范自(zi)然(ran)(ran)(ran)災(zai)(zai)(zai)害(hai)救(jiu)(jiu)(jiu)助(zhu)(zhu)(zhu)(zhu)(zhu)工(gong)作,保障受(shou)災(zai)(zai)(zai)人(ren)(ren)員(yuan)基本(ben)生活,有必(bi)要(yao)在總結實(shi)(shi)踐經(jing)(jing)驗(yan)的基礎上制定(ding)(ding)《自(zi)然(ran)(ran)(ran)災(zai)(zai)(zai)害(hai)救(jiu)(jiu)(jiu)助(zhu)(zhu)(zhu)(zhu)(zhu)條(tiao)例(li)》。條(tiao)例(li)草案(an)規定(ding)(ding),自(zi)然(ran)(ran)(ran)災(zai)(zai)(zai)害(hai)救(jiu)(jiu)(jiu)助(zhu)(zhu)(zhu)(zhu)(zhu)工(gong)作遵循(xun)以人(ren)(ren)為本(ben)、政(zheng)府(fu)主(zhu)導(dao)、分(fen)級(ji)管理、社會互(hu)助(zhu)(zhu)(zhu)(zhu)(zhu)與受(shou)災(zai)(zai)(zai)人(ren)(ren)員(yuan)自(zi)救(jiu)(jiu)(jiu)相結合的原(yuan)則,實(shi)(shi)行(xing)各級(ji)人(ren)(ren)民政(zheng)府(fu)行(xing)政(zheng)領導(dao)負(fu)責制。草案(an)明確了自(zi)然(ran)(ran)(ran)災(zai)(zai)(zai)害(hai)救(jiu)(jiu)(jiu)助(zhu)(zhu)(zhu)(zhu)(zhu)準備措(cuo)施,確立了預(yu)警響應(ying)、應(ying)急響應(ying)機制和受(shou)災(zai)(zai)(zai)人(ren)(ren)員(yuan)災(zai)(zai)(zai)后生活救(jiu)(jiu)(jiu)助(zhu)(zhu)(zhu)(zhu)(zhu)制度(du),強化(hua)了對救(jiu)(jiu)(jiu)助(zhu)(zhu)(zhu)(zhu)(zhu)款物的監管。
