關于做好2016年度《企業年度工作報告》填報工作的通知

各中央企業:

依照《國(guo)(guo)有企業(ye)監(jian)事(shi)會(hui)暫(zan)行條(tiao)例》(國(guo)(guo)務院令第283號(hao)(hao))、《關于(yu)加(jia)強和改進國(guo)(guo)有企業(ye)監(jian)事(shi)會(hui)工(gong)(gong)作的(de)若干意見》(國(guo)(guo)資發監(jian)督〔2006〕174號(hao)(hao))和《關于(yu)進一(yi)步支持配合監(jian)事(shi)會(hui)開(kai)展監(jian)督檢查(cha)工(gong)(gong)作有關事(shi)項(xiang)的(de)通知》(國(guo)(guo)資發監(jian)督〔2012〕120號(hao)(hao))的(de)有關規定,各中央企業(ye)每年向監(jian)事(shi)會(hui)報(bao)送《企業(ye)年度工(gong)(gong)作報(bao)告》(以下(xia)簡稱年度報(bao)告)。為做好2016年度報(bao)告填報(bao)工(gong)(gong)作,現將有關事(shi)項(xiang)通知如(ru)下(xia):

一(yi)、加強(qiang)組(zu)織領導(dao),健全工作體系

各中央企(qi)(qi)業(ye)要(yao)(yao)(yao)(yao)高度(du)重視年度(du)報告(gao)(gao)(gao)工(gong)(gong)(gong)(gong)(gong)作(zuo),健全組織(zhi)領(ling)(ling)導(dao)機制(zhi)(zhi),成立(li)年度(du)報告(gao)(gao)(gao)工(gong)(gong)(gong)(gong)(gong)作(zuo)領(ling)(ling)導(dao)小(xiao)組或聯席會議,統(tong)籌謀劃(hua)、協(xie)同推動各項工(gong)(gong)(gong)(gong)(gong)作(zuo)。要(yao)(yao)(yao)(yao)研究制(zhi)(zhi)定年度(du)報告(gao)(gao)(gao)工(gong)(gong)(gong)(gong)(gong)作(zuo)落(luo)(luo)實(shi)方(fang)案,明確(que)工(gong)(gong)(gong)(gong)(gong)作(zuo)目標(biao)、具體(ti)措(cuo)施、責任(ren)主體(ti)和進度(du)要(yao)(yao)(yao)(yao)求(qiu)(qiu),強化(hua)(hua)部門聯動,結合(he)企(qi)(qi)業(ye)實(shi)際編制(zhi)(zhi)可追(zhui)溯(su)、可量化(hua)(hua)、可評(ping)價、可考核(he)的工(gong)(gong)(gong)(gong)(gong)作(zuo)任(ren)務(wu)分(fen)解(jie)臺賬。企(qi)(qi)業(ye)法定代表(biao)人要(yao)(yao)(yao)(yao)認真履行好(hao)年度(du)報告(gao)(gao)(gao)工(gong)(gong)(gong)(gong)(gong)作(zuo)第一(yi)(yi)責任(ren)人職責,強化(hua)(hua)領(ling)(ling)導(dao)、落(luo)(luo)實(shi)責任(ren),嚴格把關、確(que)保質量;分(fen)管領(ling)(ling)導(dao)要(yao)(yao)(yao)(yao)履行好(hao)直接責任(ren)人職責,深入一(yi)(yi)線、靠前指揮,把控(kong)關鍵、重點督(du)辦;牽頭(tou)部門要(yao)(yao)(yao)(yao)加強組織(zhi)協(xie)調,及時分(fen)解(jie)落(luo)(luo)實(shi)任(ren)務(wu)、規范工(gong)(gong)(gong)(gong)(gong)作(zuo)流程(cheng)、細化(hua)(hua)工(gong)(gong)(gong)(gong)(gong)作(zuo)要(yao)(yao)(yao)(yao)求(qiu)(qiu)、密切(qie)跟蹤督(du)促(cu)、強化(hua)(hua)過程(cheng)控(kong)制(zhi)(zhi);協(xie)同部門要(yao)(yao)(yao)(yao)明確(que)任(ren)務(wu)分(fen)工(gong)(gong)(gong)(gong)(gong),主動參與、積(ji)極(ji)配合(he),細化(hua)(hua)落(luo)(luo)實(shi)工(gong)(gong)(gong)(gong)(gong)作(zuo)責任(ren),形成有效工(gong)(gong)(gong)(gong)(gong)作(zuo)合(he)力。中央企(qi)(qi)業(ye)集團總部要(yao)(yao)(yao)(yao)加強對子企(qi)(qi)業(ye)年度(du)報告(gao)(gao)(gao)工(gong)(gong)(gong)(gong)(gong)作(zuo)的統(tong)籌領(ling)(ling)導(dao),做到統(tong)一(yi)(yi)部署(shu)、統(tong)一(yi)(yi)標(biao)準、統(tong)一(yi)(yi)實(shi)施、統(tong)一(yi)(yi)審核(he),建立(li)完(wan)善橫向全面覆蓋、縱向責任(ren)到人的組織(zhi)管理體(ti)系。

二、圍繞中心工(gong)作,全(quan)面梳理排查

各中(zhong)央企(qi)業(ye)要以年(nian)(nian)度(du)(du)報(bao)(bao)告(gao)(gao)工作為抓(zhua)手(shou),緊密圍繞中(zhong)心工作,全(quan)(quan)面總結一年(nian)(nian)來企(qi)業(ye)經營管理(li)(li)和(he)改革(ge)發(fa)展(zhan)情況,深(shen)入排查重(zhong)(zhong)大(da)問(wen)(wen)題(ti)和(he)風(feng)(feng)險隱(yin)患,探索建立企(qi)業(ye)自(zi)查問(wen)(wen)題(ti)清(qing)單,認真分析查找原因,制定切實(shi)可行(xing)的整改措施。要圍繞黨(dang)中(zhong)央、國(guo)務(wu)院(yuan)重(zhong)(zhong)大(da)決策(ce)部(bu)署及國(guo)資監管政(zheng)策(ce)規定執行(xing)情況,系(xi)統(tong)梳(shu)理(li)(li)深(shen)化(hua)國(guo)企(qi)國(guo)資改革(ge)和(he)推進供(gong)給側結構性(xing)改革(ge)、瘦身健(jian)體、提質增效(xiao)(xiao)等(deng)重(zhong)(zhong)點任務(wu)落(luo)實(shi)情況,著重(zhong)(zhong)分析化(hua)解(jie)過(guo)剩產(chan)能、處置(zhi)“僵尸企(qi)業(ye)”、特困企(qi)業(ye)專項(xiang)治(zhi)理(li)(li)、壓縮管理(li)(li)層級、減(jian)少法(fa)人數量、加快解(jie)決歷史遺(yi)留問(wen)(wen)題(ti)等(deng)重(zhong)(zhong)點專項(xiang)工作情況及存在的問(wen)(wen)題(ti)。要以提高發(fa)展(zhan)質量和(he)效(xiao)(xiao)益為中(zhong)心,全(quan)(quan)面梳(shu)理(li)(li)、集(ji)中(zhong)排查企(qi)業(ye)內部(bu)控制、財務(wu)管理(li)(li)、運營管控、境(jing)外資產(chan)管理(li)(li)、黨(dang)建及公(gong)司治(zhi)理(li)(li)等(deng)方(fang)面存在的重(zhong)(zhong)要管控缺陷,詳細報(bao)(bao)告(gao)(gao)企(qi)業(ye)重(zhong)(zhong)大(da)資產(chan)減(jian)值、重(zhong)(zhong)大(da)資產(chan)損(sun)失、重(zhong)(zhong)大(da)經營風(feng)(feng)險、債(zhai)務(wu)違約風(feng)(feng)險等(deng)重(zhong)(zhong)要風(feng)(feng)險事項(xiang)。要建立健(jian)全(quan)(quan)年(nian)(nian)度(du)(du)報(bao)(bao)告(gao)(gao)揭示問(wen)(wen)題(ti)整改落(luo)實(shi)機(ji)制,形成部(bu)門間齊(qi)抓(zhua)共管、整改聯動的工作局面,有效(xiao)(xiao)發(fa)揮(hui)年(nian)(nian)度(du)(du)報(bao)(bao)告(gao)(gao)在系(xi)統(tong)診斷和(he)風(feng)(feng)險預判方(fang)面的重(zhong)(zhong)要作用。

三、加強(qiang)溝通(tong)配(pei)合,明確(que)范圍重(zhong)點

各(ge)中(zhong)央(yang)企(qi)(qi)業(ye)(ye)要(yao)(yao)(yao)(yao)深入貫徹(che)落實中(zhong)央(yang)企(qi)(qi)業(ye)(ye)監(jian)(jian)(jian)事(shi)(shi)(shi)會(hui)工作會(hui)議精(jing)神,按照“兩個(ge)融(rong)入”、“五個(ge)必須”的(de)總體(ti)(ti)(ti)要(yao)(yao)(yao)(yao)求(qiu),進一步加強與派駐本企(qi)(qi)業(ye)(ye)監(jian)(jian)(jian)事(shi)(shi)(shi)會(hui)的(de)溝通配合,根(gen)據(ju)監(jian)(jian)(jian)事(shi)(shi)(shi)會(hui)監(jian)(jian)(jian)督(du)檢(jian)(jian)查(cha)工作需(xu)要(yao)(yao)(yao)(yao),結合企(qi)(qi)業(ye)(ye)經營規模、組織架構、管控模式、行業(ye)(ye)特(te)點(dian)、區(qu)域分布、發展階段(duan)等情況,共同確(que)定企(qi)(qi)業(ye)(ye)填(tian)(tian)報(bao)(bao)范圍(wei)(wei)和(he)(he)年度(du)重(zhong)點(dian)披露事(shi)(shi)(shi)項。原(yuan)則上,年度(du)報(bao)(bao)告(gao)填(tian)(tian)報(bao)(bao)范圍(wei)(wei)包括(kuo)企(qi)(qi)業(ye)(ye)集(ji)團、境內(外(wai))二級單位、各(ge)級金(jin)融(rong)子(zi)企(qi)(qi)業(ye)(ye)以(yi)及所(suo)托管企(qi)(qi)業(ye)(ye);整體(ti)(ti)(ti)上市中(zhong)央(yang)企(qi)(qi)業(ye)(ye)填(tian)(tian)報(bao)(bao)范圍(wei)(wei)包括(kuo)控股上市公(gong)司(si)(si)所(suo)屬境內(外(wai))二級單位;離岸公(gong)司(si)(si)、殼公(gong)司(si)(si)等特(te)殊子(zi)企(qi)(qi)業(ye)(ye)不納入填(tian)(tian)報(bao)(bao)范圍(wei)(wei),監(jian)(jian)(jian)事(shi)(shi)(shi)會(hui)另有(you)要(yao)(yao)(yao)(yao)求(qiu)的(de)除外(wai)。三級(含)以(yi)下重(zhong)要(yao)(yao)(yao)(yao)子(zi)企(qi)(qi)業(ye)(ye)及重(zhong)要(yao)(yao)(yao)(yao)非法人實體(ti)(ti)(ti)等填(tian)(tian)報(bao)(bao)范圍(wei)(wei)與監(jian)(jian)(jian)事(shi)(shi)(shi)會(hui)共同商定,根(gen)據(ju)監(jian)(jian)(jian)事(shi)(shi)(shi)會(hui)工作需(xu)要(yao)(yao)(yao)(yao)及年度(du)監(jian)(jian)(jian)督(du)檢(jian)(jian)查(cha)計劃安(an)排,納入填(tian)(tian)報(bao)(bao)范圍(wei)(wei)。鼓勵有(you)條件的(de)中(zhong)央(yang)企(qi)(qi)業(ye)(ye)試行全級次報(bao)(bao)送。要(yao)(yao)(yao)(yao)根(gen)據(ju)派駐本企(qi)(qi)業(ye)(ye)監(jian)(jian)(jian)事(shi)(shi)(shi)會(hui)的(de)要(yao)(yao)(yao)(yao)求(qiu),分行業(ye)(ye)、分業(ye)(ye)務板塊(kuai)梳(shu)理重(zhong)點(dian)關(guan)注(zhu)事(shi)(shi)(shi)項和(he)(he)重(zhong)點(dian)填(tian)(tian)報(bao)(bao)內容。

四、融(rong)入日(ri)常(chang)管控,完善長效機制

各中央(yang)企(qi)(qi)(qi)業(ye)(ye)要(yao)(yao)深入推(tui)進年(nian)度(du)(du)(du)報(bao)(bao)告(gao)(gao)(gao)(gao)工(gong)(gong)作(zuo)與企(qi)(qi)(qi)業(ye)(ye)日(ri)常管(guan)控工(gong)(gong)作(zuo)的(de)深度(du)(du)(du)融合(he),努力實(shi)現工(gong)(gong)作(zuo)聯動、信息共享、資源整合(he)、成果(guo)共用,著力形成以年(nian)度(du)(du)(du)報(bao)(bao)告(gao)(gao)(gao)(gao)為(wei)抓手的(de)企(qi)(qi)(qi)業(ye)(ye)自(zi)我診斷(duan)、自(zi)我完(wan)善(shan)的(de)長效(xiao)工(gong)(gong)作(zuo)機制。要(yao)(yao)加強(qiang)年(nian)度(du)(du)(du)報(bao)(bao)告(gao)(gao)(gao)(gao)制度(du)(du)(du)建(jian)設(she),建(jian)立統一工(gong)(gong)作(zuo)規范和標(biao)(biao)準體系,科學安(an)排工(gong)(gong)作(zuo)進度(du)(du)(du),細化規范工(gong)(gong)作(zuo)標(biao)(biao)準,嚴格審核評(ping)價流程,實(shi)現全程閉(bi)環管(guan)理。要(yao)(yao)建(jian)立內部協同聯動機制,充分利(li)用已(yi)有管(guan)理系統、內部成果(guo)、工(gong)(gong)作(zuo)報(bao)(bao)告(gao)(gao)(gao)(gao)等信息載體,避免(mian)重(zhong)(zhong)復歸集、重(zhong)(zhong)復報(bao)(bao)送。要(yao)(yao)實(shi)現年(nian)度(du)(du)(du)報(bao)(bao)告(gao)(gao)(gao)(gao)與企(qi)(qi)(qi)業(ye)(ye)信息化工(gong)(gong)作(zuo)有效(xiao)對接(jie),充分利(li)用信息化建(jian)設(she)基礎,以大數據為(wei)核心推(tui)進年(nian)度(du)(du)(du)報(bao)(bao)告(gao)(gao)(gao)(gao)信息化建(jian)設(she),創新(xin)工(gong)(gong)作(zuo)方(fang)法,提(ti)高工(gong)(gong)作(zuo)效(xiao)率,分享信息資源,深化成果(guo)應用。要(yao)(yao)建(jian)立健全年(nian)度(du)(du)(du)報(bao)(bao)告(gao)(gao)(gao)(gao)質量(liang)綜(zong)合(he)評(ping)價機制,研(yan)究制定年(nian)度(du)(du)(du)報(bao)(bao)告(gao)(gao)(gao)(gao)工(gong)(gong)作(zuo)及支(zhi)持(chi)配合(he)監事會工(gong)(gong)作(zuo)與業(ye)(ye)績考(kao)核掛鉤的(de)具體措施,完(wan)善(shan)激勵約(yue)束長效(xiao)機制,推(tui)動年(nian)度(du)(du)(du)報(bao)(bao)告(gao)(gao)(gao)(gao)工(gong)(gong)作(zuo)落(luo)到實(shi)處。

五、落實填(tian)報任務,按時備案報送

(一)請各中央企業(ye)于2016年12月15日前將與派駐本企業(ye)監事(shi)會共同確定的擬報(bao)(bao)送(song)年度報(bao)(bao)告有(you)關(guan)事(shi)項,以正式(shi)文件形(xing)式(shi)(式(shi)樣見(jian)附件1)報(bao)(bao)監事(shi)會工作(zuo)局(ju)備案。

(二)請各(ge)中央企(qi)(qi)業(ye)于2017年2月28日前將集團(tuan)公司與各(ge)級(ji)子企(qi)(qi)業(ye)年度報(bao)(bao)告一并以(yi)正(zheng)式(shi)文件形式(shi)(式(shi)樣(yang)見附(fu)件2)報(bao)(bao)送派駐本企(qi)(qi)業(ye)監(jian)事會(hui)(紙質材(cai)料1套,光(guang)盤2套),同時將年度報(bao)(bao)告(光(guang)盤1套)及正(zheng)式(shi)文件報(bao)(bao)送監(jian)事會(hui)工作局備案。

(三(san))年(nian)度報告(gao)繼(ji)續使用軟件填報。《2016年(nian)度企(qi)業年(nian)度工作報告(gao)格式文本及編制說明》安裝在填報軟件中,繼(ji)續探索(suo)推(tui)進信息化(hua)報送和綜(zong)合應(ying)用。需要(yao)填報軟件及紙質材料的企(qi)業請與監事會工作局聯(lian)系(xi)。

(四)國(guo)資委將組織(zhi)召開“2016年(nian)度中央(yang)(yang)企業年(nian)度工作報(bao)告布置培(pei)訓視頻會(hui)議”,屆時(shi)請各中央(yang)(yang)企業按通知要求(qiu)組織(zhi)相(xiang)關人員參會(hui)。

各中(zhong)央企(qi)(qi)業(ye)在填(tian)報過程中(zhong)遇(yu)到(dao)的(de)問題,請及時與派(pai)駐(zhu)本企(qi)(qi)業(ye)監事(shi)會(hui)或(huo)監事(shi)會(hui)工作局聯系。
