各中央企業:
依(yi)照(zhao)《國有企(qi)業(ye)監(jian)事(shi)(shi)會(hui)暫行條(tiao)例》(國務院令第283號(hao))、《關(guan)(guan)于加強(qiang)和改進(jin)國有企(qi)業(ye)監(jian)事(shi)(shi)會(hui)工(gong)(gong)(gong)作的(de)若干(gan)意見》(國資(zi)發(fa)監(jian)督(du)〔2006〕174號(hao))和《關(guan)(guan)于進(jin)一步支持配合監(jian)事(shi)(shi)會(hui)開展監(jian)督(du)檢查(cha)工(gong)(gong)(gong)作有關(guan)(guan)事(shi)(shi)項的(de)通知》(國資(zi)發(fa)監(jian)督(du)〔2012〕120號(hao))的(de)有關(guan)(guan)規定,各中(zhong)央企(qi)業(ye)每年向監(jian)事(shi)(shi)會(hui)報送《企(qi)業(ye)年度(du)工(gong)(gong)(gong)作報告(gao)》(以下(xia)簡稱年度(du)報告(gao))。為(wei)做好2016年度(du)報告(gao)填報工(gong)(gong)(gong)作,現將有關(guan)(guan)事(shi)(shi)項通知如下(xia):
一、加強組(zu)織領導,健全工作體(ti)系
各中(zhong)央企業要(yao)高度(du)(du)重(zhong)視年度(du)(du)報(bao)告(gao)工(gong)(gong)作,健全組織領(ling)(ling)導(dao)(dao)機制(zhi),成立年度(du)(du)報(bao)告(gao)工(gong)(gong)作領(ling)(ling)導(dao)(dao)小(xiao)組或(huo)聯(lian)席會(hui)議(yi),統籌(chou)謀劃、協同推(tui)動各項工(gong)(gong)作。要(yao)研究制(zhi)定(ding)年度(du)(du)報(bao)告(gao)工(gong)(gong)作落實方案,明確(que)工(gong)(gong)作目標、具體(ti)措施、責(ze)任主體(ti)和進度(du)(du)要(yao)求,強(qiang)化(hua)(hua)(hua)部(bu)門(men)聯(lian)動,結(jie)合企業實際(ji)編制(zhi)可(ke)(ke)追溯(su)、可(ke)(ke)量(liang)化(hua)(hua)(hua)、可(ke)(ke)評價、可(ke)(ke)考核的(de)工(gong)(gong)作任務(wu)分(fen)(fen)解臺(tai)賬。企業法定(ding)代(dai)表人(ren)要(yao)認真(zhen)履(lv)行(xing)好年度(du)(du)報(bao)告(gao)工(gong)(gong)作第一(yi)責(ze)任人(ren)職責(ze),強(qiang)化(hua)(hua)(hua)領(ling)(ling)導(dao)(dao)、落實責(ze)任,嚴格把關、確(que)保質(zhi)量(liang);分(fen)(fen)管(guan)領(ling)(ling)導(dao)(dao)要(yao)履(lv)行(xing)好直(zhi)接責(ze)任人(ren)職責(ze),深入一(yi)線、靠(kao)前指揮,把控關鍵、重(zhong)點督(du)辦(ban);牽頭部(bu)門(men)要(yao)加強(qiang)組織協調(diao),及時分(fen)(fen)解落實任務(wu)、規范工(gong)(gong)作流程、細化(hua)(hua)(hua)工(gong)(gong)作要(yao)求、密切跟蹤督(du)促、強(qiang)化(hua)(hua)(hua)過程控制(zhi);協同部(bu)門(men)要(yao)明確(que)任務(wu)分(fen)(fen)工(gong)(gong),主動參與、積(ji)極配合,細化(hua)(hua)(hua)落實工(gong)(gong)作責(ze)任,形(xing)成有效工(gong)(gong)作合力。中(zhong)央企業集團總部(bu)要(yao)加強(qiang)對子(zi)企業年度(du)(du)報(bao)告(gao)工(gong)(gong)作的(de)統籌(chou)領(ling)(ling)導(dao)(dao),做到(dao)統一(yi)部(bu)署(shu)、統一(yi)標準、統一(yi)實施、統一(yi)審核,建立完(wan)善(shan)橫向全面覆(fu)蓋(gai)、縱向責(ze)任到(dao)人(ren)的(de)組織管(guan)理(li)體(ti)系(xi)。
二(er)、圍繞中心工作,全面梳理(li)排查(cha)
各中(zhong)(zhong)央(yang)企(qi)(qi)業要以(yi)年(nian)度(du)報(bao)告(gao)工(gong)(gong)作(zuo)為(wei)抓手(shou),緊密圍繞中(zhong)(zhong)心工(gong)(gong)作(zuo),全面(mian)總結一年(nian)來企(qi)(qi)業經營管(guan)(guan)理(li)(li)(li)(li)和(he)改革(ge)發展情(qing)(qing)(qing)況(kuang),深(shen)入排查重(zhong)(zhong)大問題和(he)風(feng)險(xian)隱患,探(tan)索建(jian)立企(qi)(qi)業自查問題清(qing)單,認真分析查找原因,制(zhi)(zhi)定切實可行的整改措施(shi)。要圍繞黨中(zhong)(zhong)央(yang)、國務院重(zhong)(zhong)大決策(ce)部署及(ji)(ji)國資(zi)(zi)監管(guan)(guan)政策(ce)規定執行情(qing)(qing)(qing)況(kuang),系統梳理(li)(li)(li)(li)深(shen)化國企(qi)(qi)國資(zi)(zi)改革(ge)和(he)推進供(gong)給側(ce)結構(gou)性改革(ge)、瘦身健(jian)(jian)體、提質增效等(deng)重(zhong)(zhong)點(dian)任務落(luo)實情(qing)(qing)(qing)況(kuang),著重(zhong)(zhong)分析化解過剩產(chan)能、處置“僵(jiang)尸企(qi)(qi)業”、特困(kun)企(qi)(qi)業專項治理(li)(li)(li)(li)、壓縮管(guan)(guan)理(li)(li)(li)(li)層級(ji)、減(jian)(jian)少法(fa)人數量(liang)、加快解決歷史遺留(liu)問題等(deng)重(zhong)(zhong)點(dian)專項工(gong)(gong)作(zuo)情(qing)(qing)(qing)況(kuang)及(ji)(ji)存(cun)(cun)在(zai)(zai)的問題。要以(yi)提高發展質量(liang)和(he)效益為(wei)中(zhong)(zhong)心,全面(mian)梳理(li)(li)(li)(li)、集中(zhong)(zhong)排查企(qi)(qi)業內(nei)部控制(zhi)(zhi)、財務管(guan)(guan)理(li)(li)(li)(li)、運營管(guan)(guan)控、境外資(zi)(zi)產(chan)管(guan)(guan)理(li)(li)(li)(li)、黨建(jian)及(ji)(ji)公司治理(li)(li)(li)(li)等(deng)方面(mian)存(cun)(cun)在(zai)(zai)的重(zhong)(zhong)要管(guan)(guan)控缺(que)陷,詳細報(bao)告(gao)企(qi)(qi)業重(zhong)(zhong)大資(zi)(zi)產(chan)減(jian)(jian)值、重(zhong)(zhong)大資(zi)(zi)產(chan)損失、重(zhong)(zhong)大經營風(feng)險(xian)、債(zhai)務違約風(feng)險(xian)等(deng)重(zhong)(zhong)要風(feng)險(xian)事項。要建(jian)立健(jian)(jian)全年(nian)度(du)報(bao)告(gao)揭示問題整改落(luo)實機制(zhi)(zhi),形(xing)成部門間齊抓共管(guan)(guan)、整改聯動(dong)的工(gong)(gong)作(zuo)局面(mian),有效發揮年(nian)度(du)報(bao)告(gao)在(zai)(zai)系統診(zhen)斷和(he)風(feng)險(xian)預判(pan)方面(mian)的重(zhong)(zhong)要作(zuo)用。
三、加強溝通配合,明確范圍重點
各中(zhong)央(yang)企(qi)(qi)(qi)業(ye)要(yao)深(shen)入貫徹(che)落實中(zhong)央(yang)企(qi)(qi)(qi)業(ye)監(jian)(jian)事(shi)(shi)(shi)會(hui)工(gong)(gong)作會(hui)議(yi)精神,按照“兩個融(rong)入”、“五個必(bi)須”的(de)(de)(de)總體(ti)要(yao)求(qiu),進一步(bu)加(jia)強(qiang)與派(pai)駐(zhu)本企(qi)(qi)(qi)業(ye)監(jian)(jian)事(shi)(shi)(shi)會(hui)的(de)(de)(de)溝通(tong)配(pei)合,根據(ju)監(jian)(jian)事(shi)(shi)(shi)會(hui)監(jian)(jian)督檢查(cha)工(gong)(gong)作需(xu)要(yao),結合企(qi)(qi)(qi)業(ye)經營規模、組織架構、管控模式、行(xing)(xing)業(ye)特(te)點(dian)、區域分(fen)布、發展階段等(deng)情況,共(gong)同確定(ding)企(qi)(qi)(qi)業(ye)填(tian)(tian)(tian)報(bao)(bao)(bao)范(fan)(fan)圍(wei)和年度重點(dian)披露(lu)事(shi)(shi)(shi)項。原(yuan)則上,年度報(bao)(bao)(bao)告填(tian)(tian)(tian)報(bao)(bao)(bao)范(fan)(fan)圍(wei)包括企(qi)(qi)(qi)業(ye)集團、境內(外(wai)(wai))二(er)級(ji)單位、各級(ji)金(jin)融(rong)子企(qi)(qi)(qi)業(ye)以及所托管企(qi)(qi)(qi)業(ye);整體(ti)上市中(zhong)央(yang)企(qi)(qi)(qi)業(ye)填(tian)(tian)(tian)報(bao)(bao)(bao)范(fan)(fan)圍(wei)包括控股上市公(gong)司所屬(shu)境內(外(wai)(wai))二(er)級(ji)單位;離岸公(gong)司、殼公(gong)司等(deng)特(te)殊子企(qi)(qi)(qi)業(ye)不納(na)入填(tian)(tian)(tian)報(bao)(bao)(bao)范(fan)(fan)圍(wei),監(jian)(jian)事(shi)(shi)(shi)會(hui)另有要(yao)求(qiu)的(de)(de)(de)除(chu)外(wai)(wai)。三(san)級(ji)(含)以下重要(yao)子企(qi)(qi)(qi)業(ye)及重要(yao)非法人實體(ti)等(deng)填(tian)(tian)(tian)報(bao)(bao)(bao)范(fan)(fan)圍(wei)與監(jian)(jian)事(shi)(shi)(shi)會(hui)共(gong)同商定(ding),根據(ju)監(jian)(jian)事(shi)(shi)(shi)會(hui)工(gong)(gong)作需(xu)要(yao)及年度監(jian)(jian)督檢查(cha)計劃安(an)排,納(na)入填(tian)(tian)(tian)報(bao)(bao)(bao)范(fan)(fan)圍(wei)。鼓(gu)勵有條件的(de)(de)(de)中(zhong)央(yang)企(qi)(qi)(qi)業(ye)試行(xing)(xing)全(quan)級(ji)次(ci)報(bao)(bao)(bao)送。要(yao)根據(ju)派(pai)駐(zhu)本企(qi)(qi)(qi)業(ye)監(jian)(jian)事(shi)(shi)(shi)會(hui)的(de)(de)(de)要(yao)求(qiu),分(fen)行(xing)(xing)業(ye)、分(fen)業(ye)務(wu)板塊(kuai)梳理重點(dian)關注事(shi)(shi)(shi)項和重點(dian)填(tian)(tian)(tian)報(bao)(bao)(bao)內容。
四、融入日常管控,完善(shan)長效(xiao)機制
各中央企業(ye)(ye)(ye)要深入推(tui)進年(nian)(nian)度(du)報(bao)(bao)(bao)告(gao)(gao)(gao)(gao)(gao)工(gong)(gong)(gong)作(zuo)(zuo)(zuo)與(yu)企業(ye)(ye)(ye)日常管(guan)控(kong)工(gong)(gong)(gong)作(zuo)(zuo)(zuo)的(de)深度(du)融合(he),努力實現(xian)工(gong)(gong)(gong)作(zuo)(zuo)(zuo)聯動、信息(xi)(xi)共享(xiang)、資(zi)源整合(he)、成(cheng)果共用,著力形(xing)成(cheng)以年(nian)(nian)度(du)報(bao)(bao)(bao)告(gao)(gao)(gao)(gao)(gao)為(wei)抓手(shou)的(de)企業(ye)(ye)(ye)自我診(zhen)斷、自我完(wan)善的(de)長效(xiao)(xiao)工(gong)(gong)(gong)作(zuo)(zuo)(zuo)機(ji)制。要加(jia)強年(nian)(nian)度(du)報(bao)(bao)(bao)告(gao)(gao)(gao)(gao)(gao)制度(du)建(jian)設(she),建(jian)立統(tong)一工(gong)(gong)(gong)作(zuo)(zuo)(zuo)規范和標準體(ti)(ti)系(xi),科學安(an)排(pai)工(gong)(gong)(gong)作(zuo)(zuo)(zuo)進度(du),細(xi)化(hua)規范工(gong)(gong)(gong)作(zuo)(zuo)(zuo)標準,嚴(yan)格審核(he)評(ping)價(jia)流程,實現(xian)全(quan)程閉環管(guan)理。要建(jian)立內部(bu)協同聯動機(ji)制,充分利用已有管(guan)理系(xi)統(tong)、內部(bu)成(cheng)果、工(gong)(gong)(gong)作(zuo)(zuo)(zuo)報(bao)(bao)(bao)告(gao)(gao)(gao)(gao)(gao)等(deng)信息(xi)(xi)載體(ti)(ti),避免重復歸(gui)集、重復報(bao)(bao)(bao)送。要實現(xian)年(nian)(nian)度(du)報(bao)(bao)(bao)告(gao)(gao)(gao)(gao)(gao)與(yu)企業(ye)(ye)(ye)信息(xi)(xi)化(hua)工(gong)(gong)(gong)作(zuo)(zuo)(zuo)有效(xiao)(xiao)對(dui)接,充分利用信息(xi)(xi)化(hua)建(jian)設(she)基礎(chu),以大數據(ju)為(wei)核(he)心推(tui)進年(nian)(nian)度(du)報(bao)(bao)(bao)告(gao)(gao)(gao)(gao)(gao)信息(xi)(xi)化(hua)建(jian)設(she),創(chuang)新工(gong)(gong)(gong)作(zuo)(zuo)(zuo)方(fang)法,提高工(gong)(gong)(gong)作(zuo)(zuo)(zuo)效(xiao)(xiao)率,分享(xiang)信息(xi)(xi)資(zi)源,深化(hua)成(cheng)果應用。要建(jian)立健全(quan)年(nian)(nian)度(du)報(bao)(bao)(bao)告(gao)(gao)(gao)(gao)(gao)質量(liang)綜合(he)評(ping)價(jia)機(ji)制,研(yan)究制定年(nian)(nian)度(du)報(bao)(bao)(bao)告(gao)(gao)(gao)(gao)(gao)工(gong)(gong)(gong)作(zuo)(zuo)(zuo)及支(zhi)持配合(he)監事會(hui)工(gong)(gong)(gong)作(zuo)(zuo)(zuo)與(yu)業(ye)(ye)(ye)績(ji)考核(he)掛鉤的(de)具體(ti)(ti)措施,完(wan)善激(ji)勵(li)約束長效(xiao)(xiao)機(ji)制,推(tui)動年(nian)(nian)度(du)報(bao)(bao)(bao)告(gao)(gao)(gao)(gao)(gao)工(gong)(gong)(gong)作(zuo)(zuo)(zuo)落到(dao)實處。
五、落實填報任務,按時備案(an)報送
(一(yi))請各中央企業于2016年12月15日前將與派駐本企業監事會共同確定的擬報送年度報告(gao)有(you)關事項,以正(zheng)式文件形(xing)式(式樣見附件1)報監事會工作局備案。
(二(er))請(qing)各中央企(qi)業(ye)于2017年(nian)(nian)2月28日前將(jiang)集團公司(si)與各級子企(qi)業(ye)年(nian)(nian)度報告一并以(yi)正式(shi)(shi)文(wen)件(jian)形(xing)式(shi)(shi)(式(shi)(shi)樣見附件(jian)2)報送派駐本企(qi)業(ye)監事會(紙質材(cai)料1套(tao),光盤2套(tao)),同時將(jiang)年(nian)(nian)度報告(光盤1套(tao))及正式(shi)(shi)文(wen)件(jian)報送監事會工作局(ju)備案。
(三)年度報(bao)(bao)(bao)(bao)告(gao)繼(ji)續(xu)使(shi)用軟件(jian)(jian)填(tian)報(bao)(bao)(bao)(bao)。《2016年度企業(ye)年度工作(zuo)(zuo)報(bao)(bao)(bao)(bao)告(gao)格式文本及編制說明》安裝在填(tian)報(bao)(bao)(bao)(bao)軟件(jian)(jian)中,繼(ji)續(xu)探索推(tui)進信息化報(bao)(bao)(bao)(bao)送和綜合應用。需要填(tian)報(bao)(bao)(bao)(bao)軟件(jian)(jian)及紙質材(cai)料的企業(ye)請與監事(shi)會工作(zuo)(zuo)局(ju)聯(lian)系。
(四)國資委將組織召(zhao)開(kai)“2016年度中央企業年度工作報告(gao)布(bu)置培訓視頻會議”,屆時請(qing)各(ge)中央企業按(an)通知(zhi)要求組織相關人員參會。
各(ge)中(zhong)央企(qi)(qi)業在填報過(guo)程中(zhong)遇到的問題(ti),請及時與派(pai)駐本企(qi)(qi)業監事會或監事會工作局聯系。
