2006年及過去三年中央企業改革發展情況

  2006年(nian),中(zhong)央企業以科學發(fa)展(zhan)觀為指導(dao),認真(zhen)貫徹落實黨中(zhong)央、國務院關于加強和(he)改善宏觀調控的各項政策措施,繼續(xu)(xu)深化(hua)(hua)改革,加快(kuai)結構調整,推進技術進步,強化(hua)(hua)資源節約(yue),加強企業管(guan)理,生產經營保持了持續(xu)(xu)快(kuai)速(su)健康發(fa)展(zhan)。

  一是(shi)經(jing)濟(ji)效益繼(ji)續保持較快(kuai)增(zeng)(zeng)(zeng)長(chang)。1-11月,中(zhong)央企(qi)業實(shi)(shi)現(xian)(xian)(xian)主(zhu)(zhu)營(ying)業務(wu)(wu)收(shou)(shou)入(ru)72984億元,同(tong)(tong)(tong)比(bi)增(zeng)(zeng)(zeng)長(chang)21.8%;實(shi)(shi)現(xian)(xian)(xian)利(li)潤(run)(run)6887.7億元,同(tong)(tong)(tong)比(bi)增(zeng)(zeng)(zeng)長(chang)18.9%;上繳(jiao)(jiao)稅金6146.5億元,同(tong)(tong)(tong)比(bi)增(zeng)(zeng)(zeng)長(chang)23.5%。絕大多數中(zhong)央企(qi)業實(shi)(shi)現(xian)(xian)(xian)了主(zhu)(zhu)營(ying)業務(wu)(wu)收(shou)(shou)入(ru)與利(li)潤(run)(run)的(de)同(tong)(tong)(tong)步增(zeng)(zeng)(zeng)長(chang),累計實(shi)(shi)現(xian)(xian)(xian)主(zhu)(zhu)營(ying)業務(wu)(wu)收(shou)(shou)入(ru)同(tong)(tong)(tong)比(bi)增(zeng)(zeng)(zeng)長(chang)的(de)有145家(jia),占(zhan)90.1%;實(shi)(shi)現(xian)(xian)(xian)利(li)潤(run)(run)同(tong)(tong)(tong)比(bi)增(zeng)(zeng)(zeng)長(chang)的(de)有129家(jia),占(zhan)80.1%。預(yu)計全年主(zhu)(zhu)營(ying)業務(wu)(wu)收(shou)(shou)入(ru)可(ke)(ke)達(da)8萬億元,實(shi)(shi)現(xian)(xian)(xian)利(li)潤(run)(run)可(ke)(ke)達(da)7200億元,上繳(jiao)(jiao)稅金可(ke)(ke)達(da)7000億元。到2006年底,中(zhong)央企(qi)業資(zi)產總(zong)額可(ke)(ke)達(da)12.2萬億元,比(bi)上年增(zeng)(zeng)(zeng)長(chang)15%左右(you)。

  二是運行質(zhi)量進一步提(ti)(ti)(ti)高(gao)(gao)。中(zhong)央企(qi)(qi)業(ye)盈(ying)利能(neng)力普(pu)遍增強,資(zi)(zi)產(chan)運營效率(lv)(lv)普(pu)遍提(ti)(ti)(ti)高(gao)(gao),總體(ti)負債水平(ping)(ping)(ping)穩中(zhong)有(you)(you)降。1-11月,中(zhong)央企(qi)(qi)業(ye)凈資(zi)(zi)產(chan)收益(yi)率(lv)(lv)平(ping)(ping)(ping)均(jun)為9.6%,同(tong)比(bi)(bi)(bi)(bi)(bi)提(ti)(ti)(ti)高(gao)(gao)0.4個百分(fen)點(dian),同(tong)比(bi)(bi)(bi)(bi)(bi)提(ti)(ti)(ti)高(gao)(gao)的企(qi)(qi)業(ye)有(you)(you)91家(jia)(jia);總資(zi)(zi)產(chan)報酬率(lv)(lv)平(ping)(ping)(ping)均(jun)為6.9%,同(tong)比(bi)(bi)(bi)(bi)(bi)提(ti)(ti)(ti)高(gao)(gao)0.2個百分(fen)點(dian),同(tong)比(bi)(bi)(bi)(bi)(bi)提(ti)(ti)(ti)高(gao)(gao)的企(qi)(qi)業(ye)有(you)(you)103家(jia)(jia)。總資(zi)(zi)產(chan)周轉率(lv)(lv)平(ping)(ping)(ping)均(jun)為0.64次,同(tong)比(bi)(bi)(bi)(bi)(bi)提(ti)(ti)(ti)高(gao)(gao)0.04次,同(tong)比(bi)(bi)(bi)(bi)(bi)提(ti)(ti)(ti)高(gao)(gao)的企(qi)(qi)業(ye)有(you)(you)113家(jia)(jia);應收賬(zhang)款周轉率(lv)(lv)11.8次,同(tong)比(bi)(bi)(bi)(bi)(bi)提(ti)(ti)(ti)高(gao)(gao)0.5次,同(tong)比(bi)(bi)(bi)(bi)(bi)提(ti)(ti)(ti)高(gao)(gao)的企(qi)(qi)業(ye)有(you)(you)100家(jia)(jia)。平(ping)(ping)(ping)均(jun)資(zi)(zi)產(chan)負債率(lv)(lv)為56.8%,多數企(qi)(qi)業(ye)資(zi)(zi)產(chan)負債率(lv)(lv)同(tong)比(bi)(bi)(bi)(bi)(bi)都(dou)有(you)(you)所降低。

  三是(shi)(shi)投(tou)(tou)資(zi)(zi)(zi)(zi)(zi)結(jie)構(gou)進一(yi)步優化(hua)(hua)(hua)。1-11月(yue),中(zhong)(zhong)央(yang)企(qi)業(ye)(ye)完(wan)成固定資(zi)(zi)(zi)(zi)(zi)產投(tou)(tou)資(zi)(zi)(zi)(zi)(zi)10553.9億(yi)元,同比(bi)增(zeng)長29.5%。主(zhu)(zhu)要(yao)有(you)以(yi)下幾個特點(dian):一(yi)是(shi)(shi)投(tou)(tou)資(zi)(zi)(zi)(zi)(zi)主(zhu)(zhu)要(yao)集中(zhong)(zhong)在石(shi)油(you)石(shi)化(hua)(hua)(hua)、電(dian)力(li)、電(dian)信(xin)等重(zhong)點(dian)行(xing)業(ye)(ye),這(zhe)三個行(xing)業(ye)(ye)的(de)(de)(de)(de)企(qi)業(ye)(ye)完(wan)成投(tou)(tou)資(zi)(zi)(zi)(zi)(zi)約占中(zhong)(zhong)央(yang)企(qi)業(ye)(ye)全部(bu)投(tou)(tou)資(zi)(zi)(zi)(zi)(zi)的(de)(de)(de)(de)85%。二是(shi)(shi)主(zhu)(zhu)業(ye)(ye)投(tou)(tou)資(zi)(zi)(zi)(zi)(zi)比(bi)重(zhong)提高,電(dian)力(li)、石(shi)油(you)石(shi)化(hua)(hua)(hua)、電(dian)信(xin)、冶(ye)金(jin)、汽車五大(da)行(xing)業(ye)(ye)97%以(yi)上的(de)(de)(de)(de)投(tou)(tou)資(zi)(zi)(zi)(zi)(zi)額投(tou)(tou)向了主(zhu)(zhu)業(ye)(ye)。三是(shi)(shi)投(tou)(tou)資(zi)(zi)(zi)(zi)(zi)的(de)(de)(de)(de)重(zhong)點(dian)主(zhu)(zhu)要(yao)是(shi)(shi)解決能源資(zi)(zi)(zi)(zi)(zi)源“瓶頸”制約、調整產品(pin)結(jie)構(gou)、提高生產技(ji)術水(shui)平(ping)。石(shi)油(you)石(shi)化(hua)(hua)(hua)企(qi)業(ye)(ye)投(tou)(tou)資(zi)(zi)(zi)(zi)(zi)主(zhu)(zhu)要(yao)用(yong)于(yu)油(you)田勘探開發,鋼(gang)鐵企(qi)業(ye)(ye)投(tou)(tou)資(zi)(zi)(zi)(zi)(zi)主(zhu)(zhu)要(yao)用(yong)于(yu)調整鋼(gang)材品(pin)種結(jie)構(gou),重(zhong)大(da)裝備制造(zao)企(qi)業(ye)(ye)投(tou)(tou)資(zi)(zi)(zi)(zi)(zi)主(zhu)(zhu)要(yao)用(yong)于(yu)提升技(ji)術裝備水(shui)平(ping)。四是(shi)(shi)投(tou)(tou)資(zi)(zi)(zi)(zi)(zi)中(zhong)(zhong)自有(you)資(zi)(zi)(zi)(zi)(zi)金(jin)比(bi)例(li)平(ping)均達到61.7%,比(bi)2005年提高1.1個百分(fen)點(dian),電(dian)信(xin)、汽車、石(shi)油(you)石(shi)化(hua)(hua)(hua)、冶(ye)金(jin)企(qi)業(ye)(ye)投(tou)(tou)資(zi)(zi)(zi)(zi)(zi)中(zhong)(zhong)自有(you)資(zi)(zi)(zi)(zi)(zi)金(jin)比(bi)例(li)均在70%以(yi)上。

  四是節(jie)(jie)(jie)能降耗(hao)(hao)取(qu)得新的(de)成效(xiao)。中(zhong)央企業(ye)認真貫(guan)徹落(luo)實《國(guo)(guo)務院(yuan)關于加強(qiang)節(jie)(jie)(jie)能工作的(de)決定》精(jing)神,積極開展創建資源節(jie)(jie)(jie)約型企業(ye)活(huo)動(dong),以節(jie)(jie)(jie)能降耗(hao)(hao)為抓手,帶動(dong)企業(ye)改(gai)革、結構調整、技(ji)術創新和加強(qiang)管理(li)。通過優化(hua)(hua)生(sheng)產系統組織管理(li)、加強(qiang)目(mu)標(biao)考(kao)核等一系列措施,節(jie)(jie)(jie)能降耗(hao)(hao)指標(biao)進一步(bu)優化(hua)(hua)。冶(ye)金企業(ye)主要能耗(hao)(hao)指標(biao)均有(you)不同(tong)程度下降,其(qi)中(zhong),寶鋼(gang)(gang)噸(dun)(dun)鋼(gang)(gang)耗(hao)(hao)新水比(bi)上(shang)年下降14.6%;武鋼(gang)(gang)噸(dun)(dun)鋼(gang)(gang)綜(zong)合(he)能耗(hao)(hao)同(tong)比(bi)下降22.58千克標(biao)煤(mei),預計全年余(yu)熱余(yu)能發電將超過10億千瓦時;鞍鋼(gang)(gang)噸(dun)(dun)鋼(gang)(gang)綜(zong)合(he)能耗(hao)(hao)同(tong)比(bi)下降61千克標(biao)煤(mei);中(zhong)國(guo)(guo)鋁(lv)業(ye)鋁(lv)材生(sheng)產綜(zong)合(he)能耗(hao)(hao)同(tong)比(bi)下降31%,全年節(jie)(jie)(jie)能有(you)望超100萬(wan)噸(dun)(dun)標(biao)煤(mei)。三大石(shi)油石(shi)化(hua)(hua)公(gong)司(si)預計全年節(jie)(jie)(jie)約能耗(hao)(hao)350萬(wan)噸(dun)(dun)標(biao)煤(mei),節(jie)(jie)(jie)水1億立方米。

  在生產經(jing)營快速(su)增長的(de)(de)同(tong)時,中央企(qi)業(ye)對經(jing)濟社會發(fa)展的(de)(de)貢獻(xian)(xian)進(jin)一步顯現。石(shi)油(you)石(shi)化企(qi)業(ye)在國(guo)內(nei)成(cheng)(cheng)品油(you)與進(jin)口成(cheng)(cheng)品油(you)價格(ge)倒掛較為嚴重(zhong)的(de)(de)情況下,通過提負荷、增資源、調(diao)結構(gou)、壓(ya)出(chu)口、保(bao)(bao)(bao)重(zhong)點等(deng)綜合措施,確保(bao)(bao)(bao)了國(guo)內(nei)成(cheng)(cheng)品油(you)市場(chang)的(de)(de)穩(wen)定供(gong)應。電(dian)(dian)力企(qi)業(ye)加強電(dian)(dian)網(wang)改造,加快發(fa)展農電(dian)(dian)事業(ye),全(quan)面(mian)推(tui)進(jin)“戶戶通電(dian)(dian)”工(gong)程(cheng),保(bao)(bao)(bao)障了電(dian)(dian)力供(gong)應。電(dian)(dian)信企(qi)業(ye)在經(jing)濟社會信息化建設(she)中發(fa)揮了重(zhong)要作用(yong)。軍(jun)工(gong)企(qi)業(ye)深化改革,加快技術創新,按時保(bao)(bao)(bao)質保(bao)(bao)(bao)量完成(cheng)(cheng)軍(jun)品科研和生產任務,為國(guo)防現代化建設(she)做出(chu)了重(zhong)要貢獻(xian)(xian)。建筑、建材、商貿(mao)等(deng)行業(ye)的(de)(de)中央企(qi)業(ye)在承擔國(guo)家重(zhong)點建設(she)工(gong)程(cheng)、穩(wen)定市場(chang)等(deng)方(fang)面(mian),都做出(chu)了重(zhong)要貢獻(xian)(xian)。

  2004-2006年是中(zhong)央(yang)企(qi)業(ye)負責人第一個業(ye)績考(kao)核任(ren)期。三年來,中(zhong)央(yang)企(qi)業(ye)發(fa)生了可喜變(bian)化。初步測算,2004-2006年,中(zhong)央(yang)企(qi)業(ye)主營業(ye)務收入(ru)增(zeng)長78.8%,年均遞增(zeng)21.4%;實現利潤增(zeng)長140%,年均遞增(zeng)33.8%;上(shang)繳稅金(jin)增(zeng)長96.5%,年均遞增(zeng)25.2%;凈資(zi)產收益率達(da)(da)到10%,提高了5個百分點;國有(you)資(zi)產保值增(zeng)值率達(da)(da)到144.4%。有(you)13家中(zhong)央(yang)企(qi)業(ye)進(jin)入(ru)2006年公(gong)布的世界500強(qiang),比2004年增(zeng)加5家。這是中(zhong)央(yang)企(qi)業(ye)1000萬(wan)干部(bu)職工抓(zhua)住機(ji)遇、頑強(qiang)拼搏、扎(zha)實工作的結果,成績來之(zhi)不易(yi)。在此,我代(dai)表國資(zi)委和(he)國資(zi)委黨委向你(ni)們,并(bing)通(tong)過你(ni)們向辛勤工作和(he)做出貢獻(xian)的全體干部(bu)職工表示衷心(xin)的感謝(xie)!

  三年來,中央企(qi)業認真貫徹(che)黨的十六大和(he)歷次全(quan)會精神,落(luo)實黨中央、國(guo)(guo)務院關(guan)于國(guo)(guo)有(you)資產(chan)管(guan)理體制改(gai)革和(he)國(guo)(guo)有(you)企(qi)業改(gai)革的一系列重大部署,抓住(zhu)改(gai)革、調整、創新、管(guan)理等(deng)關(guan)鍵環節,做(zuo)了(le)大量扎實有(you)效的工作(zuo),積累(lei)了(le)寶貴的經(jing)驗。

  (一)深化改(gai)革為企(qi)業發展提供強(qiang)大的動(dong)力。

  中(zhong)央(yang)企(qi)業把(ba)深化改革放在各項工(gong)作的(de)突(tu)出位置,圍繞企(qi)業發(fa)展(zhan)(zhan),大力推(tui)進股份制(zhi)改革,完善公司法人治理結構,深化三項制(zhi)度改革,推(tui)動(dong)體制(zhi)機制(zhi)創(chuang)新,為企(qi)業發(fa)展(zhan)(zhan)提供(gong)了強大的(de)動(dong)力。

  股份(fen)制(zhi)改革和(he)境內(nei)外上(shang)市(shi)推(tui)進了企(qi)(qi)業(ye)(ye)(ye)經營機制(zhi)轉(zhuan)換(huan)。2003年(nian)以(yi)來,共(gong)(gong)有(you)33家中(zhong)(zhong)央企(qi)(qi)業(ye)(ye)(ye)首(shou)次(ci)在(zai)(zai)境內(nei)外公(gong)開發(fa)行股票并上(shang)市(shi)。其中(zhong)(zhong),中(zhong)(zhong)國(guo)(guo)交通(tong)股份(fen)、中(zhong)(zhong)煤能源、招商能源運輸、大唐國(guo)(guo)際發(fa)電、中(zhong)(zhong)國(guo)(guo)通(tong)信服務(wu)、中(zhong)(zhong)海石油化學、南車株洲電氣、保利房地(di)產、中(zhong)(zhong)國(guo)(guo)建材(cai)等企(qi)(qi)業(ye)(ye)(ye)去年(nian)上(shang)市(shi),共(gong)(gong)募集資金575億(yi)元。到(dao)(dao)目前為止,中(zhong)(zhong)央企(qi)(qi)業(ye)(ye)(ye)控股的(de)194家上(shang)市(shi)公(gong)司(si)中(zhong)(zhong),已有(you)191家完成或正在(zai)(zai)啟動股權分置(zhi)改革,占總數(shu)的(de)98.45%。中(zhong)(zhong)央企(qi)(qi)業(ye)(ye)(ye)及下屬子企(qi)(qi)業(ye)(ye)(ye)的(de)公(gong)司(si)制(zhi)股份(fen)制(zhi)企(qi)(qi)業(ye)(ye)(ye)戶(hu)數(shu)比重已由2002年(nian)的(de)30.4%提高到(dao)(dao)2006年(nian)的(de)64.2%。

  中(zhong)(zhong)央(yang)企(qi)(qi)(qi)業(ye)(ye)董(dong)(dong)(dong)事(shi)(shi)會(hui)試(shi)(shi)點(dian)推進(jin)(jin)了(le)(le)公(gong)司法人治理結構的(de)(de)完善(shan)。寶鋼(gang)、神(shen)華(hua)等19家企(qi)(qi)(qi)業(ye)(ye)開展了(le)(le)董(dong)(dong)(dong)事(shi)(shi)會(hui)試(shi)(shi)點(dian),共(gong)選派了(le)(le)65名外部(bu)董(dong)(dong)(dong)事(shi)(shi),有14家試(shi)(shi)點(dian)企(qi)(qi)(qi)業(ye)(ye)的(de)(de)外部(bu)董(dong)(dong)(dong)事(shi)(shi)達到或超(chao)過了(le)(le)董(dong)(dong)(dong)事(shi)(shi)會(hui)成員的(de)(de)半數(shu),實現了(le)(le)企(qi)(qi)(qi)業(ye)(ye)決策層與(yu)執行層分(fen)開,董(dong)(dong)(dong)事(shi)(shi)會(hui)運作基本(ben)制度逐(zhu)步(bu)建立,各(ge)專(zhuan)門(men)委(wei)(wei)員會(hui)開始運行,企(qi)(qi)(qi)業(ye)(ye)管理層的(de)(de)責任感和使命(ming)感進(jin)(jin)一步(bu)增強(qiang)。未(wei)被列入試(shi)(shi)點(dian)的(de)(de)中(zhong)(zhong)央(yang)企(qi)(qi)(qi)業(ye)(ye),也積極推進(jin)(jin)規(gui)范的(de)(de)董(dong)(dong)(dong)事(shi)(shi)會(hui)建設。中(zhong)(zhong)船集團上海外高橋公(gong)司通過建立規(gui)范的(de)(de)國有股份公(gong)司董(dong)(dong)(dong)事(shi)(shi)會(hui),充分(fen)發(fa)揮董(dong)(dong)(dong)事(shi)(shi)會(hui)在(zai)企(qi)(qi)(qi)業(ye)(ye)經營(ying)決策中(zhong)(zhong)的(de)(de)核心作用,促(cu)進(jin)(jin)了(le)(le)企(qi)(qi)(qi)業(ye)(ye)發(fa)展。兵器裝備對子企(qi)(qi)(qi)業(ye)(ye)派出(chu)董(dong)(dong)(dong)事(shi)(shi)、監(jian)事(shi)(shi)和委(wei)(wei)派總會(hui)計師,并選派了(le)(le)專(zhuan)職出(chu)資人代(dai)表,目前集團子企(qi)(qi)(qi)業(ye)(ye)中(zhong)(zhong)的(de)(de)38戶工業(ye)(ye)企(qi)(qi)(qi)業(ye)(ye)全部(bu)建立了(le)(le)比較規(gui)范的(de)(de)董(dong)(dong)(dong)事(shi)(shi)會(hui)。

  三項制(zhi)度改(gai)革進(jin)一步增強了(le)企(qi)(qi)業(ye)(ye)(ye)的(de)(de)活力(li)。三年來,國(guo)資(zi)委(wei)大力(li)推進(jin)用(yong)(yong)(yong)人(ren)(ren)制(zhi)度改(gai)革,先后組織78家(次)企(qi)(qi)業(ye)(ye)(ye)面向社(she)會(hui)公開招聘81名高級(ji)經營管理(li)者,在(zai)10家企(qi)(qi)業(ye)(ye)(ye)通(tong)過競(jing)(jing)爭(zheng)上崗(gang)方式(shi)選(xuan)拔了(le)20名高級(ji)經營管理(li)者。通(tong)過開展公開招聘和競(jing)(jing)爭(zheng)上崗(gang),初步營造了(le)人(ren)(ren)才(cai)脫穎而出的(de)(de)良好環境,擴充(chong)了(le)中(zhong)(zhong)央(yang)企(qi)(qi)業(ye)(ye)(ye)人(ren)(ren)才(cai)儲備(bei),已有(you)1400多(duo)名社(she)會(hui)各類人(ren)(ren)才(cai)進(jin)入中(zhong)(zhong)央(yang)企(qi)(qi)業(ye)(ye)(ye)人(ren)(ren)才(cai)庫。許多(duo)企(qi)(qi)業(ye)(ye)(ye)把黨管干(gan)部(bu)的(de)(de)原則和市(shi)場(chang)(chang)化選(xuan)人(ren)(ren)用(yong)(yong)(yong)人(ren)(ren)相(xiang)結合(he),進(jin)行了(le)積極的(de)(de)探索,目前中(zhong)(zhong)央(yang)企(qi)(qi)業(ye)(ye)(ye)通(tong)過市(shi)場(chang)(chang)化方式(shi)選(xuan)用(yong)(yong)(yong)的(de)(de)各級(ji)經營管理(li)人(ren)(ren)才(cai),約(yue)占(zhan)總數的(de)(de)30%。一批企(qi)(qi)業(ye)(ye)(ye)建立了(le)比較完善有(you)效的(de)(de)面向社(she)會(hui)公開招聘和全體(ti)員工(gong)競(jing)(jing)爭(zheng)上崗(gang)、量化考核、末(mo)位淘(tao)汰、收入分配與業(ye)(ye)(ye)績(ji)掛鉤的(de)(de)機制(zhi)。

  (二)調整結構為企業發(fa)展(zhan)增添新(xin)的活力。

  三年來,我們始(shi)終把加快中央企(qi)(qi)業(ye)(ye)布局結(jie)構調(diao)整作為促進企(qi)(qi)業(ye)(ye)持續發展(zhan)的一項重(zhong)要措(cuo)施(shi),強調(diao)突出主業(ye)(ye),先后(hou)分(fen)五批核定公布了(le)137家(jia)中央企(qi)(qi)業(ye)(ye)的主業(ye)(ye)。中央企(qi)(qi)業(ye)(ye)圍(wei)繞做(zuo)強做(zuo)大主業(ye)(ye),積(ji)極開展(zhan)調(diao)整重(zhong)組(zu),縮(suo)短管理鏈條,推進自主創新,拓展(zhan)海(hai)外市(shi)場,企(qi)(qi)業(ye)(ye)發展(zhan)呈現了(le)新的活(huo)力。

  壓縮管(guan)(guan)理層級,優(you)化(hua)(hua)了(le)(le)企(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)組織結構(gou)(gou)。目(mu)前,大部分(fen)中(zhong)央(yang)企(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)已(yi)將管(guan)(guan)理層級初步壓縮到三級以(yi)內(nei)。廣核電(dian)取消(xiao)了(le)(le)三級以(yi)下(xia)(xia)的(de)全部企(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)。中(zhong)石化(hua)(hua)下(xia)(xia)屬煉化(hua)(hua)企(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)基(ji)本完(wan)成了(le)(le)扁(bian)平(ping)化(hua)(hua)改(gai)革,由三級管(guan)(guan)理變成了(le)(le)兩級管(guan)(guan)理。中(zhong)電(dian)投實(shi)行“小業(ye)(ye)(ye)(ye)(ye)(ye)(ye)主(zhu)、委托制”的(de)運(yun)營模式,在所有發電(dian)企(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)實(shi)施(shi)了(le)(le)主(zhu)輔(fu)分(fen)離(li)、運(yun)檢(jian)分(fen)離(li)、運(yun)管(guan)(guan)分(fen)離(li)。中(zhong)材科工(gong)(gong)和新時代集團重組內(nei)部松散業(ye)(ye)(ye)(ye)(ye)(ye)(ye)務板(ban)塊,有效整合產業(ye)(ye)(ye)(ye)(ye)(ye)(ye)鏈,優(you)化(hua)(hua)了(le)(le)集團內(nei)部資源(yuan)配(pei)置(zhi)。與(yu)此同時,中(zhong)央(yang)企(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)積極推進(jin)主(zhu)輔(fu)分(fen)離(li)輔(fu)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)改(gai)制和分(fen)離(li)企(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)辦社會職(zhi)能工(gong)(gong)作。截至2006年9月底(di),76家中(zhong)央(yang)企(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)主(zhu)輔(fu)分(fen)離(li)輔(fu)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)改(gai)制的(de)方(fang)案已(yi)經得到批復,共(gong)(gong)涉(she)及改(gai)制單位4879個(ge),分(fen)流(liu)安置(zhi)富(fu)余人(ren)員77.7萬人(ren)。目(mu)前,中(zhong)央(yang)企(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)共(gong)(gong)分(fen)離(li)企(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)辦普通中(zhong)小學1849所、公檢(jian)法機(ji)構(gou)(gou)345個(ge),移交在職(zhi)職(zhi)工(gong)(gong)14.8萬人(ren),離(li)退休教師6.93萬人(ren)。

  (三)加強管理為企業發(fa)展奠定堅實的(de)基(ji)礎。

  三年來,中央(yang)企業(ye)(ye)積(ji)極推進管(guan)(guan)(guan)理(li)創新(xin),加強(qiang)產(chan)權(quan)管(guan)(guan)(guan)理(li)、財務(wu)資金(jin)成(cheng)本(ben)管(guan)(guan)(guan)理(li)和戰略(lve)規劃(hua)管(guan)(guan)(guan)理(li),增強(qiang)集團(tuan)控制力(li)(li)和抗御風險能力(li)(li),亂投資、亂擔(dan)保、亂貸款(kuan)的現象基(ji)本(ben)得到(dao)遏(e)制,企業(ye)(ye)管(guan)(guan)(guan)理(li)逐步(bu)從粗放(fang)型向集約化、精(jing)細化轉變,管(guan)(guan)(guan)理(li)水平有了很大提高。

  強化(hua)產(chan)(chan)權管(guan)理(li),理(li)順(shun)產(chan)(chan)權關系,為(wei)企(qi)業(ye)(ye)(ye)改(gai)(gai)革發展奠(dian)定了(le)基(ji)礎。大(da)多數企(qi)業(ye)(ye)(ye)通過(guo)完善產(chan)(chan)權管(guan)理(li)制(zhi)度(du),加(jia)強產(chan)(chan)權基(ji)礎管(guan)理(li),有力地推動(dong)(dong)了(le)企(qi)業(ye)(ye)(ye)改(gai)(gai)制(zhi)上市(shi)、重組整(zheng)(zheng)合、主輔分(fen)離等改(gai)(gai)革的(de)(de)進(jin)(jin)行(xing)。核工(gong)業(ye)(ye)(ye)集團(tuan)將產(chan)(chan)權管(guan)理(li)制(zhi)度(du)細化(hua),設計了(le)產(chan)(chan)權管(guan)理(li)工(gong)作流(liu)程圖,有效(xiao)地規范了(le)集團(tuan)所屬企(qi)業(ye)(ye)(ye)的(de)(de)改(gai)(gai)革行(xing)為(wei)。中(zhong)航(hang)集團(tuan)結合產(chan)(chan)權換證及登記工(gong)作對(dui)各級(ji)子企(qi)業(ye)(ye)(ye)進(jin)(jin)行(xing)了(le)全面清(qing)理(li),為(wei)集團(tuan)資(zi)源(yuan)整(zheng)(zheng)合和(he)改(gai)(gai)革提供了(le)重要依據。兵器裝備(bei)、華(hua)能等企(qi)業(ye)(ye)(ye)統一(yi)招標(biao)評估(gu)機構,并進(jin)(jin)行(xing)動(dong)(dong)態管(guan)理(li),劣出優進(jin)(jin),從資(zi)產(chan)(chan)評估(gu)源(yuan)頭(tou)著手提高評估(gu)報告質量(liang)。中(zhong)央企(qi)業(ye)(ye)(ye)規范國(guo)有產(chan)(chan)權交(jiao)易、促進(jin)(jin)國(guo)有產(chan)(chan)權有序(xu)流(liu)轉工(gong)作初見成效(xiao),進(jin)(jin)一(yi)步(bu)發揮了(le)市(shi)場(chang)配(pei)置(zhi)資(zi)源(yuan)的(de)(de)效(xiao)用,促進(jin)(jin)了(le)資(zi)源(yuan)配(pei)置(zhi)方式的(de)(de)轉變。

  強化財務(wu)資(zi)(zi)(zi)金(jin)管(guan)理(li)(li)(li),加強成(cheng)本控制,促(cu)進了(le)經濟效益(yi)的(de)(de)提(ti)高。一批企業結合自身特(te)點,積極推廣精細化管(guan)理(li)(li)(li)、全(quan)面預算(suan)管(guan)理(li)(li)(li)等(deng)先進管(guan)理(li)(li)(li)理(li)(li)(li)念和方法,取得明(ming)顯成(cheng)效。中石油(you)采(cai)(cai)取貸(dai)款封閉(bi)運行、收支(zhi)兩條線及債務(wu)集(ji)中管(guan)理(li)(li)(li)等(deng)措(cuo)施(shi),撤并(bing)8000多個銀行賬(zhang)(zhang)戶(hu),債務(wu)規模(mo)縮減(jian)了(le)1000多億元(yuan)(yuan)(yuan)。國(guo)家電(dian)網(wang)清理(li)(li)(li)撤并(bing)銀行賬(zhang)(zhang)戶(hu)9480個,網(wang)省(sheng)公(gong)司歸集(ji)資(zi)(zi)(zi)金(jin)占貨幣資(zi)(zi)(zi)金(jin)存量的(de)(de)87.4%。寶鋼(gang)三年來(lai)實(shi)施(shi)精細化項目(mu)260項,共創(chuang)造財務(wu)收益(yi)12億元(yuan)(yuan)(yuan)。中國(guo)移動、中國(guo)電(dian)信(xin)等(deng)企業建(jian)立集(ji)中采(cai)(cai)購(gou)制度,加大(da)集(ji)中招標采(cai)(cai)購(gou)力(li)度,有效降低(di)了(le)設備(bei)采(cai)(cai)購(gou)成(cheng)本。國(guo)開投(tou)通過比價管(guan)理(li)(li)(li)選擇(ze)融資(zi)(zi)(zi)機(ji)構(gou),節(jie)約融資(zi)(zi)(zi)成(cheng)本約20億元(yuan)(yuan)(yuan)。中船(chuan)重工實(shi)行擔(dan)保集(ji)中審批管(guan)理(li)(li)(li),加大(da)對外(wai)擔(dan)保的(de)(de)清理(li)(li)(li)力(li)度,使對外(wai)擔(dan)保余(yu)額從年初(chu)的(de)(de)32.9億元(yuan)(yuan)(yuan)減(jian)少到1.8億元(yuan)(yuan)(yuan),大(da)大(da)降低(di)了(le)對外(wai)擔(dan)保風險。

  強化(hua)戰(zhan)(zhan)略規劃管(guan)理(li),為(wei)企業(ye)發(fa)展明確了(le)方向。中(zhong)糧充(chong)分發(fa)揮(hui)戰(zhan)(zhan)略規劃的(de)主導(dao)和引領(ling)作用,通過(guo)(guo)制(zhi)(zhi)定發(fa)展戰(zhan)(zhan)略,調(diao)整和重組業(ye)務單(dan)元,推進(jin)資源優化(hua)配(pei)置。中(zhong)遠按照(zhao)集團發(fa)展戰(zhan)(zhan)略,實行了(le)以流程(cheng)優化(hua)、資源重組、質量制(zhi)(zhi)勝、內涵發(fa)展為(wei)特征的(de)一(yi)系列改革(ge)舉措,加快(kuai)了(le)國際化(hua)進(jin)程(cheng)。中(zhong)化(hua)集團經過(guo)(guo)多年探索(suo),已經形成了(le)發(fa)展戰(zhan)(zhan)略導(dao)向下(xia)的(de)三年滾(gun)動規劃編制(zhi)(zhi)和年度預算考(kao)核緊密結(jie)合的(de)管(guan)理(li)機(ji)制(zhi)(zhi),促(cu)進(jin)了(le)經濟效益的(de)穩(wen)步提高。

  加強(qiang)投(tou)資(zi)(zi)(zi)活動全過(guo)程管理(li),提(ti)高了(le)(le)投(tou)入產(chan)出效益。中(zhong)石(shi)油、中(zhong)石(shi)化(hua)(hua)、中(zhong)國電(dian)信、華能(neng)(neng)、國電(dian)、國開投(tou)等企業(ye)建立健全了(le)(le)投(tou)資(zi)(zi)(zi)項目(mu)后評價制度(du),后評價工作逐步走向制度(du)化(hua)(hua)、規范化(hua)(hua)和程序化(hua)(hua)。中(zhong)石(shi)油后評價工作涵蓋了(le)(le)公司六大業(ye)務領域(yu),占(zhan)公司總投(tou)資(zi)(zi)(zi)額(e)的90%以上。中(zhong)石(shi)化(hua)(hua)把(ba)前一(yi)(yi)輪后評價結論作為后一(yi)(yi)輪改造(zao)的依據(ju),新上乙烯項目(mu)科學(xue)選用國產(chan)化(hua)(hua)設備(bei),相(xiang)同設備(bei)節(jie)省投(tou)資(zi)(zi)(zi)50%。華能(neng)(neng)通過(guo)能(neng)(neng)耗及污染物排放后評價,挖掘節(jie)能(neng)(neng)潛力,為建設資(zi)(zi)(zi)源節(jie)約型電(dian)廠提(ti)供了(le)(le)重要依據(ju)。

  加強(qiang)風(feng)(feng)險(xian)管(guan)理與控制(zhi),增強(qiang)了(le)抗御風(feng)(feng)險(xian)能力(li)。大多數(shu)企(qi)業(ye)(ye)都建立(li)健全了(le)風(feng)(feng)險(xian)管(guan)理的規章制(zhi)度,一批(pi)企(qi)業(ye)(ye)的境(jing)外(wai)上市公司建立(li)了(le)比較完(wan)善的內部控制(zhi)體系(xi),并(bing)將內控體系(xi)擴(kuo)展到存續企(qi)業(ye)(ye)。中(zhong)央企(qi)業(ye)(ye)還加快了(le)法律(lv)顧(gu)問(wen)(wen)制(zhi)度建設,已有119家(jia)企(qi)業(ye)(ye)設立(li)企(qi)業(ye)(ye)法律(lv)事務機構,33家(jia)實行(xing)了(le)總(zong)法律(lv)顧(gu)問(wen)(wen)制(zhi)度,依(yi)法決(jue)策、依(yi)法經營(ying)管(guan)理、依(yi)法維護權益的能力(li)和水平有了(le)明(ming)顯(xian)提高。

  (四(si))加強(qiang)和改進企業(ye)黨建為(wei)企業(ye)發展提供堅(jian)強(qiang)的保證。

  三年(nian)來(lai),中(zhong)(zhong)央企(qi)(qi)(qi)業(ye)(ye)認(ren)真(zhen)貫(guan)徹落實(shi)(shi)(shi)《中(zhong)(zhong)央組織(zhi)部(bu)、國(guo)務院國(guo)資(zi)(zi)(zi)委(wei)(wei)(wei)黨(dang)(dang)委(wei)(wei)(wei)關于加(jia)強(qiang)和改進(jin)(jin)中(zhong)(zhong)央企(qi)(qi)(qi)業(ye)(ye)黨(dang)(dang)建(jian)(jian)工(gong)(gong)(gong)(gong)作的(de)意見(jian)》,不斷探(tan)索(suo)新(xin)(xin)(xin)形勢下(xia)黨(dang)(dang)建(jian)(jian)工(gong)(gong)(gong)(gong)作的(de)新(xin)(xin)(xin)思(si)路和新(xin)(xin)(xin)途徑(jing),進(jin)(jin)一(yi)步(bu)加(jia)強(qiang)和改進(jin)(jin)了(le)(le)企(qi)(qi)(qi)業(ye)(ye)黨(dang)(dang)建(jian)(jian)工(gong)(gong)(gong)(gong)作。通過保持共(gong)產黨(dang)(dang)員先進(jin)(jin)性教(jiao)育活(huo)動(dong),企(qi)(qi)(qi)業(ye)(ye)黨(dang)(dang)員隊伍素質進(jin)(jin)一(yi)步(bu)提(ti)高,黨(dang)(dang)的(de)基層組織(zhi)建(jian)(jian)設(she)得到加(jia)強(qiang),一(yi)些影(ying)響企(qi)(qi)(qi)業(ye)(ye)改革發(fa)展穩(wen)定的(de)突出問(wen)題(ti)和涉及(ji)職工(gong)(gong)(gong)(gong)群(qun)眾切身(shen)利(li)益的(de)實(shi)(shi)(shi)際問(wen)題(ti)得到解決,并在(zai)建(jian)(jian)立健全(quan)黨(dang)(dang)員“長(chang)期受教(jiao)育、永(yong)葆先進(jin)(jin)性”長(chang)效(xiao)(xiao)機(ji)制(zhi)上取得新(xin)(xin)(xin)的(de)進(jin)(jin)展。董事會試點(dian)(dian)(dian)企(qi)(qi)(qi)業(ye)(ye)積(ji)極(ji)探(tan)索(suo)在(zai)完善公司(si)法(fa)人治理(li)結構(gou)(gou)條件下(xia),企(qi)(qi)(qi)業(ye)(ye)黨(dang)(dang)組織(zhi)發(fa)揮(hui)(hui)政治核心作用的(de)有(you)效(xiao)(xiao)形式(shi),為(wei)(wei)進(jin)(jin)一(yi)步(bu)加(jia)強(qiang)和改進(jin)(jin)企(qi)(qi)(qi)業(ye)(ye)黨(dang)(dang)建(jian)(jian)工(gong)(gong)(gong)(gong)作提(ti)供了(le)(le)經驗(yan)。東風公司(si)黨(dang)(dang)委(wei)(wei)(wei)領(ling)(ling)導(dao)(dao)和指導(dao)(dao)合(he)資(zi)(zi)(zi)企(qi)(qi)(qi)業(ye)(ye)黨(dang)(dang)組織(zhi),探(tan)索(suo)了(le)(le)黨(dang)(dang)組織(zhi)在(zai)合(he)資(zi)(zi)(zi)企(qi)(qi)(qi)業(ye)(ye)中(zhong)(zhong)發(fa)揮(hui)(hui)作用的(de)有(you)效(xiao)(xiao)途徑(jing)。中(zhong)(zhong)央企(qi)(qi)(qi)業(ye)(ye)領(ling)(ling)導(dao)(dao)班(ban)子(zi)建(jian)(jian)設(she)進(jin)(jin)一(yi)步(bu)加(jia)強(qiang),三年(nian)來(lai)國(guo)資(zi)(zi)(zi)委(wei)(wei)(wei)共(gong)任免(mian)中(zhong)(zhong)央企(qi)(qi)(qi)業(ye)(ye)領(ling)(ling)導(dao)(dao)班(ban)子(zi)成員747人,其(qi)中(zhong)(zhong)任命董事長(chang)、總經理(li)、黨(dang)(dang)委(wei)(wei)(wei)書記(ji)125人。通過開(kai)展創(chuang)建(jian)(jian)“四好(hao)”領(ling)(ling)導(dao)(dao)班(ban)子(zi)活(huo)動(dong),領(ling)(ling)導(dao)(dao)班(ban)子(zi)素質不斷提(ti)高,結構(gou)(gou)不斷優化,凝聚(ju)力、戰斗(dou)力有(you)了(le)(le)顯著提(ti)高,精神面貌(mao)有(you)了(le)(le)新(xin)(xin)(xin)的(de)變化,求真(zhen)務實(shi)(shi)(shi)、團結拼搏、開(kai)拓創(chuang)新(xin)(xin)(xin)已經成為(wei)(wei)中(zhong)(zhong)央企(qi)(qi)(qi)業(ye)(ye)領(ling)(ling)導(dao)(dao)班(ban)子(zi)的(de)主流。中(zhong)(zhong)央企(qi)(qi)(qi)業(ye)(ye)將紀檢監察(cha)工(gong)(gong)(gong)(gong)作融入(ru)經營管理(li),以制(zhi)度建(jian)(jian)設(she)為(wei)(wei)重(zhong)點(dian)(dian)(dian),加(jia)快構(gou)(gou)建(jian)(jian)懲防體系。中(zhong)(zhong)船集團積(ji)極(ji)探(tan)索(suo)紀檢監察(cha)工(gong)(gong)(gong)(gong)作新(xin)(xin)(xin)模式(shi),對重(zhong)點(dian)(dian)(dian)企(qi)(qi)(qi)業(ye)(ye)紀委(wei)(wei)(wei)負責人試行以集團公司(si)為(wei)(wei)主的(de)雙重(zhong)領(ling)(ling)導(dao)(dao),輪崗任職、交(jiao)叉兼職,取得了(le)(le)較好(hao)效(xiao)(xiao)果。中(zhong)(zhong)央企(qi)(qi)(qi)業(ye)(ye)不斷加(jia)強(qiang)宣(xuan)傳工(gong)(gong)(gong)(gong)作和思(si)想政治工(gong)(gong)(gong)(gong)作,積(ji)極(ji)推進(jin)(jin)免(mian)费菠(bo)萝视频app下(xia)载建(jian)(jian)設(she),推行廠(chang)務公開(kai)和職工(gong)(gong)(gong)(gong)民主管理(li),實(shi)(shi)(shi)施職工(gong)(gong)(gong)(gong)素質工(gong)(gong)(gong)(gong)程,努力發(fa)揮(hui)(hui)工(gong)(gong)(gong)(gong)青婦等(deng)群(qun)眾組織(zhi)的(de)作用,調動(dong)了(le)(le)職工(gong)(gong)(gong)(gong)的(de)積(ji)極(ji)性,維護了(le)(le)職工(gong)(gong)(gong)(gong)合(he)法(fa)權益,增強(qiang)了(le)(le)職工(gong)(gong)(gong)(gong)愛崗敬業(ye)(ye)的(de)自覺性,為(wei)(wei)企(qi)(qi)(qi)業(ye)(ye)發(fa)展營造了(le)(le)良好(hao)的(de)氛圍(wei)。

  在看到成績和進步的同時,我們也要十分清醒地看到,我們的工作還存在很多差距和不足,中央企業的改革發展仍然存在一些不容忽視的問題。一是企業改革相對滯后。目前,中央企業股份制改革的面還不夠寬,集團一級不少企業還是按《企業法》注冊的國有獨資企業。規范的董事會建設才剛起步,完善公司法人治理結構的任務十分繁重。企業內部改革還不到位,經營者能上能下、人員能進能出、收入能增能減的機制在不少企業還沒有真正建立。二是布局結構不盡合理。目前,中央企業分布仍然過寬,在國民經濟的95個大類行業中,中央企業三級以上企業涉足86個行業,行業分布面為90.5%。國有資本集中度仍然處于較低水平,中小型企業數量仍過多,相當一部分企業主業不清晰;大型企業在企業規模、創新能力、品牌建設、經營效率等方面與優秀的國際大公司相比,差距還相當大。歷史遺留的大量不良資產、無效資產和非主業資產還沒有得到徹底解決。三是經濟運行中仍然存在許多問題。有的企業資產運行質量不高,凈資產收益率和銷售利潤率甚至低于1%;有的企業債務風險較大,盲目擴大規模,過度負債經營,過度擔保;有的企業集團管控能力不強,管理相對滯后,對資金籌集、管理和利用等重大財務事項缺乏有效的內控監督,對所屬子企業缺乏有效控制。這些問題嚴重制約著中央企業的改革與發展,必須高度重視,抓住當前的有利時機,下決心、下功夫加快解決。
