國資委成立四年來的工作進展情況

  黨(dang)的十(shi)六(liu)大(da)和十(shi)六(liu)屆二中全會(hui)提(ti)出了(le)深化國(guo)有資產管理(li)體制改革(ge)的重大(da)任務(wu)(wu)和重要原則(ze),根(gen)據全國(guo)人大(da)十(shi)屆一次會(hui)議通過的國(guo)務(wu)(wu)院機構改革(ge)方案,2003年國(guo)務(wu)(wu)院成立了(le)國(guo)有資產監督管理(li)委員會(hui)。四年來,在黨(dang)中央、國(guo)務(wu)(wu)院的正確領導下,我們以鄧小(xiao)平理(li)論和“三個代表”重要思想為指導,認(ren)真(zhen)貫徹黨(dang)的十(shi)六(liu)大(da)精神,全面落(luo)實(shi)科學發(fa)展(zhan)觀,牢牢把握定位(wei),認(ren)真(zhen)履行職責,緊緊圍繞國(guo)有企(qi)業改革(ge)和發(fa)展(zhan),做(zuo)了(le)一些開創性的工作,國(guo)有資產管理(li)體制改革(ge)取(qu)得(de)了(le)積(ji)極進展(zhan)。

  (一(yi))以組建(jian)機構(gou)、健全規章(zhang)、落實責任為切入點(dian),建(jian)立和完善(shan)國有資產監管體制。

  建立(li)(li)和(he)(he)完善國(guo)(guo)(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)(you)資(zi)(zi)(zi)(zi)(zi)產(chan)(chan)(chan)監(jian)(jian)管(guan)(guan)體(ti)制(zhi),是國(guo)(guo)(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)(you)資(zi)(zi)(zi)(zi)(zi)產(chan)(chan)(chan)管(guan)(guan)理(li)體(ti)制(zhi)改(gai)革的(de)基礎(chu)。國(guo)(guo)(guo)(guo)(guo)(guo)(guo)(guo)資(zi)(zi)(zi)(zi)(zi)委(wei)(wei)成(cheng)立(li)(li)后,我們首先(xian)抓了(le)(le)(le)機構完善工(gong)作(zuo)(zuo)。到(dao)2004年6月,全(quan)國(guo)(guo)(guo)(guo)(guo)(guo)(guo)(guo)31個省(sheng)(區、市)和(he)(he)新疆生產(chan)(chan)(chan)建設兵(bing)團國(guo)(guo)(guo)(guo)(guo)(guo)(guo)(guo)資(zi)(zi)(zi)(zi)(zi)委(wei)(wei)全(quan)部組(zu)建。目前(qian)市(地(di)(di))國(guo)(guo)(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)(you)資(zi)(zi)(zi)(zi)(zi)產(chan)(chan)(chan)監(jian)(jian)管(guan)(guan)機構的(de)組(zu)建工(gong)作(zuo)(zuo)基本(ben)完成(cheng),全(quan)國(guo)(guo)(guo)(guo)(guo)(guo)(guo)(guo)大多數市(地(di)(di))設立(li)(li)了(le)(le)(le)國(guo)(guo)(guo)(guo)(guo)(guo)(guo)(guo)資(zi)(zi)(zi)(zi)(zi)委(wei)(wei),沒有(you)(you)(you)(you)(you)(you)單(dan)獨設立(li)(li)國(guo)(guo)(guo)(guo)(guo)(guo)(guo)(guo)資(zi)(zi)(zi)(zi)(zi)委(wei)(wei)的(de)也采取多種形(xing)(xing)式(shi)明(ming)(ming)確(que)(que)了(le)(le)(le)國(guo)(guo)(guo)(guo)(guo)(guo)(guo)(guo)資(zi)(zi)(zi)(zi)(zi)監(jian)(jian)管(guan)(guan)機構。與(yu)(yu)此同時,我們抓緊(jin)制(zhi)定與(yu)(yu)《企(qi)(qi)業(ye)(ye)國(guo)(guo)(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)(you)資(zi)(zi)(zi)(zi)(zi)產(chan)(chan)(chan)監(jian)(jian)督(du)管(guan)(guan)理(li)暫(zan)行條(tiao)例(li)(li)》(以(yi)下簡(jian)稱《條(tiao)例(li)(li)》)相配(pei)套的(de)規章(zhang)制(zhi)度。四年來(lai),國(guo)(guo)(guo)(guo)(guo)(guo)(guo)(guo)資(zi)(zi)(zi)(zi)(zi)委(wei)(wei)共制(zhi)訂(ding)發布(bu)(bu)了(le)(le)(le)企(qi)(qi)業(ye)(ye)改(gai)制(zhi)、產(chan)(chan)(chan)權(quan)轉讓、資(zi)(zi)(zi)(zi)(zi)產(chan)(chan)(chan)評估、業(ye)(ye)績考核(he)、財(cai)務(wu)監(jian)(jian)督(du)等18個規章(zhang)和(he)(he)80個規范性(xing)文件,地(di)(di)方國(guo)(guo)(guo)(guo)(guo)(guo)(guo)(guo)資(zi)(zi)(zi)(zi)(zi)委(wei)(wei)制(zhi)定了(le)(le)(le)1200多件地(di)(di)方規章(zhang)和(he)(he)規范性(xing)文件。針對中(zhong)央企(qi)(qi)業(ye)(ye)長期以(yi)來(lai)存在的(de)“有(you)(you)(you)(you)(you)(you)任命沒有(you)(you)(you)(you)(you)(you)明(ming)(ming)確(que)(que)任期,有(you)(you)(you)(you)(you)(you)職務(wu)沒有(you)(you)(you)(you)(you)(you)嚴(yan)格考核(he),薪酬(chou)同業(ye)(ye)績不(bu)掛鉤”的(de)狀(zhuang)況,我們在對中(zhong)央企(qi)(qi)業(ye)(ye)全(quan)面清(qing)產(chan)(chan)(chan)核(he)資(zi)(zi)(zi)(zi)(zi)、摸清(qing)家底(di)的(de)基礎(chu)上,先(xian)后與(yu)(yu)全(quan)部中(zhong)央企(qi)(qi)業(ye)(ye)負責(ze)人(ren)簽(qian)訂(ding)了(le)(le)(le)年度和(he)(he)任期經營(ying)業(ye)(ye)績考核(he)責(ze)任書。公布(bu)(bu)了(le)(le)(le)考核(he)結果,并嚴(yan)格兌現了(le)(le)(le)獎懲,初步(bu)規范了(le)(le)(le)中(zhong)央企(qi)(qi)業(ye)(ye)的(de)薪酬(chou)管(guan)(guan)理(li)。各地(di)(di)國(guo)(guo)(guo)(guo)(guo)(guo)(guo)(guo)資(zi)(zi)(zi)(zi)(zi)委(wei)(wei)也先(xian)后對所出(chu)資(zi)(zi)(zi)(zi)(zi)企(qi)(qi)業(ye)(ye)實行了(le)(le)(le)業(ye)(ye)績考核(he)。經過努力(li),中(zhong)央和(he)(he)省(sheng)、市(地(di)(di))三級國(guo)(guo)(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)(you)資(zi)(zi)(zi)(zi)(zi)產(chan)(chan)(chan)監(jian)(jian)管(guan)(guan)組(zu)織體(ti)系基本(ben)建立(li)(li),國(guo)(guo)(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)(you)資(zi)(zi)(zi)(zi)(zi)產(chan)(chan)(chan)監(jian)(jian)管(guan)(guan)法規體(ti)系初步(bu)形(xing)(xing)成(cheng),國(guo)(guo)(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)(you)資(zi)(zi)(zi)(zi)(zi)產(chan)(chan)(chan)保值增值的(de)責(ze)任體(ti)系層(ceng)層(ceng)到(dao)位,國(guo)(guo)(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)(you)資(zi)(zi)(zi)(zi)(zi)產(chan)(chan)(chan)監(jian)(jian)督(du)管(guan)(guan)理(li)體(ti)制(zhi)框架基本(ben)建立(li)(li)。

  (二)以財務(wu)監督和風險控制為抓手,強化出資人監管。

  管好賬本(ben)是出(chu)(chu)資(zi)人(ren)(ren)(ren)監(jian)(jian)(jian)(jian)(jian)管的關(guan)鍵。國資(zi)委(wei)成(cheng)(cheng)立以來(lai),始終(zhong)把中(zhong)(zhong)央(yang)企(qi)(qi)業(ye)(ye)財(cai)務(wu)(wu)(wu)監(jian)(jian)(jian)(jian)(jian)督(du)和風(feng)(feng)(feng)險(xian)(xian)控(kong)制(zhi)作(zuo)為(wei)一(yi)項(xiang)重要工作(zuo)來(lai)抓。出(chu)(chu)臺了(le)出(chu)(chu)資(zi)人(ren)(ren)(ren)財(cai)務(wu)(wu)(wu)監(jian)(jian)(jian)(jian)(jian)督(du)的一(yi)系(xi)(xi)列(lie)部(bu)(bu)門(men)規(gui)(gui)章(zhang),研究(jiu)制(zhi)訂(ding)并(bing)下發了(le)一(yi)批管理(li)制(zhi)度(du)和規(gui)(gui)范(fan),建立了(le)企(qi)(qi)業(ye)(ye)重要財(cai)務(wu)(wu)(wu)事(shi)項(xiang)備案(an)監(jian)(jian)(jian)(jian)(jian)督(du)制(zhi)度(du),開展(zhan)(zhan)了(le)企(qi)(qi)業(ye)(ye)財(cai)務(wu)(wu)(wu)預決算(suan)管理(li)、財(cai)務(wu)(wu)(wu)動態監(jian)(jian)(jian)(jian)(jian)測、會(hui)計(ji)核算(suan)監(jian)(jian)(jian)(jian)(jian)督(du)、經濟責任審(shen)計(ji)、內(nei)部(bu)(bu)審(shen)計(ji)管理(li)及中(zhong)(zhong)介財(cai)務(wu)(wu)(wu)審(shen)計(ji)監(jian)(jian)(jian)(jian)(jian)督(du)等各項(xiang)工作(zuo),出(chu)(chu)資(zi)人(ren)(ren)(ren)財(cai)務(wu)(wu)(wu)監(jian)(jian)(jian)(jian)(jian)督(du)體(ti)系(xi)(xi)基本(ben)形(xing)成(cheng)(cheng)。為(wei)加(jia)強(qiang)中(zhong)(zhong)央(yang)企(qi)(qi)業(ye)(ye)風(feng)(feng)(feng)險(xian)(xian)管理(li)與防范(fan),我們在大(da)(da)量調查研究(jiu)、總(zong)結企(qi)(qi)業(ye)(ye)風(feng)(feng)(feng)險(xian)(xian)控(kong)制(zhi)經驗(yan)與教(jiao)訓的基礎(chu)上,印發了(le)《中(zhong)(zhong)央(yang)企(qi)(qi)業(ye)(ye)全(quan)面風(feng)(feng)(feng)險(xian)(xian)管理(li)指(zhi)引(yin)》,引(yin)導和組織企(qi)(qi)業(ye)(ye)清理(li)高風(feng)(feng)(feng)險(xian)(xian)業(ye)(ye)務(wu)(wu)(wu),加(jia)強(qiang)風(feng)(feng)(feng)險(xian)(xian)監(jian)(jian)(jian)(jian)(jian)控(kong)。目前,大(da)(da)多數中(zhong)(zhong)央(yang)企(qi)(qi)業(ye)(ye)都建立健全(quan)了(le)風(feng)(feng)(feng)險(xian)(xian)管理(li)的規(gui)(gui)章(zhang)制(zhi)度(du),一(yi)批中(zhong)(zhong)央(yang)企(qi)(qi)業(ye)(ye)的境外上市公司(si)建立了(le)較(jiao)完(wan)善的內(nei)部(bu)(bu)控(kong)制(zhi)體(ti)系(xi)(xi),并(bing)將內(nei)控(kong)體(ti)系(xi)(xi)擴展(zhan)(zhan)到存(cun)續(xu)企(qi)(qi)業(ye)(ye)。同時我們積(ji)(ji)(ji)極探(tan)索和不斷(duan)(duan)完(wan)善監(jian)(jian)(jian)(jian)(jian)事(shi)會(hui)制(zhi)度(du),不斷(duan)(duan)改進(jin)、提高監(jian)(jian)(jian)(jian)(jian)事(shi)會(hui)工作(zuo),積(ji)(ji)(ji)極探(tan)索監(jian)(jian)(jian)(jian)(jian)事(shi)會(hui)監(jian)(jian)(jian)(jian)(jian)督(du)與紀檢監(jian)(jian)(jian)(jian)(jian)察監(jian)(jian)(jian)(jian)(jian)督(du)、審(shen)計(ji)監(jian)(jian)(jian)(jian)(jian)督(du)相結合的途徑和方式,切實(shi)加(jia)強(qiang)出(chu)(chu)資(zi)人(ren)(ren)(ren)監(jian)(jian)(jian)(jian)(jian)管。這幾(ji)年,國資(zi)委(wei)作(zuo)為(wei)出(chu)(chu)資(zi)人(ren)(ren)(ren)機構,還(huan)妥善處理(li)了(le)一(yi)些企(qi)(qi)業(ye)(ye)經營中(zhong)(zhong)的重大(da)(da)債(zhai)務(wu)(wu)(wu)危機事(shi)件。中(zhong)(zhong)國航油(新加(jia)坡(po))股份有(you)限公司(si)由于經營者違規(gui)(gui)操(cao)作(zuo),造(zao)成(cheng)(cheng)巨額虧損(sun)和債(zhai)務(wu)(wu)(wu)危機,在有(you)關(guan)部(bu)(bu)門(men)的積(ji)(ji)(ji)極支持下,我們指(zhi)導企(qi)(qi)業(ye)(ye)積(ji)(ji)(ji)極與債(zhai)權人(ren)(ren)(ren)溝通,制(zhi)定和實(shi)施企(qi)(qi)業(ye)(ye)重組計(ji)劃(hua),最大(da)(da)限度(du)地挽回了(le)損(sun)失和影(ying)響,國內(nei)外輿論評價積(ji)(ji)(ji)極。中(zhong)(zhong)國華源集團有(you)限公司(si)和三九企(qi)(qi)業(ye)(ye)集團的企(qi)(qi)業(ye)(ye)重組工作(zuo),目前也在積(ji)(ji)(ji)極穩妥進(jin)行。

  (三)以公開招(zhao)聘中央企業(ye)高(gao)級(ji)經(jing)營管理者為(wei)突破口(kou),探索建立適(shi)應現代企業(ye)制度要求(qiu)的選人用人新機制。

  長(chang)期(qi)以(yi)來(lai),企(qi)(qi)(qi)(qi)業(ye)經(jing)(jing)營管(guan)理(li)者(zhe)(zhe)基本沿(yan)用黨(dang)(dang)政(zheng)領導干(gan)部(bu)選(xuan)拔方式,與(yu)現代企(qi)(qi)(qi)(qi)業(ye)制(zhi)度(du)要(yao)求(qiu)的(de)選(xuan)人(ren)(ren)用人(ren)(ren)機制(zhi)存在差距(ju)。國資(zi)委(wei)成立后,以(yi)公(gong)開(kai)(kai)(kai)招(zhao)(zhao)聘(pin)中(zhong)央企(qi)(qi)(qi)(qi)業(ye)高級經(jing)(jing)營管(guan)理(li)者(zhe)(zhe)為突破口,把黨(dang)(dang)管(guan)干(gan)部(bu)的(de)原則和市場化(hua)選(xuan)聘(pin)相(xiang)(xiang)結合,努力營造人(ren)(ren)才脫(tuo)穎(ying)而出的(de)良好(hao)(hao)環境(jing),積極建立適應(ying)現代企(qi)(qi)(qi)(qi)業(ye)制(zhi)度(du)要(yao)求(qiu)的(de)選(xuan)人(ren)(ren)用人(ren)(ren)新機制(zhi)。四年來(lai),先后分六批(pi)進(jin)行(xing)了(le)(le)公(gong)開(kai)(kai)(kai)招(zhao)(zhao)聘(pin)高級經(jing)(jing)營管(guan)理(li)者(zhe)(zhe)的(de)試點(dian)工作,共有78家(次)中(zhong)央企(qi)(qi)(qi)(qi)業(ye)的(de)81個高級管(guan)理(li)職位面向全社會公(gong)開(kai)(kai)(kai)招(zhao)(zhao)聘(pin),不(bu)僅(jin)為中(zhong)央企(qi)(qi)(qi)(qi)業(ye)引進(jin)了(le)(le)一(yi)批(pi)優秀的(de)經(jing)(jing)營管(guan)理(li)人(ren)(ren)才,還(huan)初(chu)步(bu)建立了(le)(le)中(zhong)央企(qi)(qi)(qi)(qi)業(ye)人(ren)(ren)才儲備庫(ku)。在公(gong)開(kai)(kai)(kai)招(zhao)(zhao)聘(pin)中(zhong),國資(zi)委(wei)探(tan)索了(le)(le)黨(dang)(dang)管(guan)干(gan)部(bu)原則與(yu)市場化(hua)選(xuan)聘(pin)經(jing)(jing)營管(guan)理(li)者(zhe)(zhe)相(xiang)(xiang)結合的(de)途徑(jing),黨(dang)(dang)委(wei)重點(dian)“做到五管(guan)、把好(hao)(hao)五關(guan)”,即管(guan)原則,把好(hao)(hao)導向關(guan);管(guan)標準,把好(hao)(hao)資(zi)格(ge)關(guan);管(guan)程序,把好(hao)(hao)規則關(guan);管(guan)機制(zhi),把好(hao)(hao)政(zheng)策關(guan);管(guan)監督,把好(hao)(hao)調整(zheng)關(guan)。通過推(tui)行(xing)公(gong)開(kai)(kai)(kai)招(zhao)(zhao)聘(pin)和內部(bu)競爭(zheng)上崗,中(zhong)央企(qi)(qi)(qi)(qi)業(ye)已經(jing)(jing)初(chu)步(bu)形成了(le)(le)適應(ying)現代企(qi)(qi)(qi)(qi)業(ye)制(zhi)度(du)要(yao)求(qiu)的(de)多樣化(hua)的(de)經(jing)(jing)營管(guan)理(li)者(zhe)(zhe)選(xuan)拔方式。各地(di)國資(zi)委(wei)在這方面也進(jin)行(xing)了(le)(le)積極探(tan)索。

  (四)以(yi)國(guo)有大型企(qi)(qi)業股份(fen)制(zhi)改革為(wei)重點,建立現(xian)代企(qi)(qi)業制(zhi)度,完善公(gong)司法人治理結(jie)構。

  推進國有(you)(you)(you)大(da)型企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)股份制(zhi)改革(ge),是我(wo)們這幾年(nian)突出抓的(de)(de)一項重要(yao)工作。2003年(nian)以來共有(you)(you)(you)33家中(zhong)央(yang)企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)首次(ci)在(zai)境內外(wai)(wai)公開(kai)發行股票(piao)并(bing)上(shang)(shang)市。石油石化、通信、運(yun)輸、冶金等(deng)大(da)型企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)都在(zai)境內外(wai)(wai)上(shang)(shang)市。一些中(zhong)央(yang)企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)在(zai)主營業(ye)(ye)(ye)務(wu)上(shang)(shang)市的(de)(de)同時,將輔業(ye)(ye)(ye)重組上(shang)(shang)市也(ye)取得了(le)非(fei)常好的(de)(de)效果。近(jin)年(nian)來中(zhong)央(yang)企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)及其(qi)下屬子企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)的(de)(de)公司(si)制(zhi)改革(ge)步(bu)(bu)伐加快,公司(si)制(zhi)企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)戶數的(de)(de)比重由2002年(nian)的(de)(de)30.4%提高到64.2%。針對中(zhong)央(yang)企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)公司(si)法人治(zhi)理(li)結構不完(wan)(wan)善(shan)、不規范(fan)的(de)(de)情況,我(wo)們按照建(jian)立(li)和(he)完(wan)(wan)善(shan)現代(dai)企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)制(zhi)度(du)的(de)(de)要(yao)求,制(zhi)定了(le)一系列相關文件(jian),開(kai)展(zhan)了(le)國有(you)(you)(you)獨資公司(si)建(jian)立(li)和(he)完(wan)(wan)善(shan)董(dong)事(shi)會(hui)的(de)(de)試點(dian)(dian)工作,努力實現出資人責(ze)任的(de)(de)有(you)(you)(you)效落實。寶鋼集團(tuan)有(you)(you)(you)限(xian)公司(si)、神華集團(tuan)有(you)(you)(you)限(xian)責(ze)任公司(si)等(deng)19家企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)開(kai)展(zhan)了(le)董(dong)事(shi)會(hui)試點(dian)(dian),共選(xuan)派了(le)66名外(wai)(wai)部董(dong)事(shi),有(you)(you)(you)14家試點(dian)(dian)企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)的(de)(de)外(wai)(wai)部董(dong)事(shi)達(da)到或超過了(le)董(dong)事(shi)會(hui)成(cheng)員的(de)(de)半數,初(chu)步(bu)(bu)實現了(le)企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)決策(ce)權與執行權分(fen)開(kai)和(he)董(dong)事(shi)會(hui)選(xuan)聘、考核、獎(jiang)懲(cheng)經(jing)理(li)人員。

  (五)以核定主(zhu)業(ye)和(he)推進聯合重(zhong)組為主(zhu)線,推進中央企業(ye)國(guo)有經(jing)濟布局結構(gou)調整。

  針對中(zhong)(zhong)央企(qi)(qi)(qi)業(ye)(ye)(ye)行(xing)業(ye)(ye)(ye)分布過(guo)寬,部(bu)分企(qi)(qi)(qi)業(ye)(ye)(ye)主(zhu)業(ye)(ye)(ye)過(guo)多、主(zhu)業(ye)(ye)(ye)方向(xiang)(xiang)不明,資(zi)源配置不合理,資(zi)產(chan)運營(ying)效率不高等問題(ti),在認真調(diao)研的(de)(de)基(ji)礎(chu)上,先后分七批核定并(bing)公布了(le)153家中(zhong)(zhong)央企(qi)(qi)(qi)業(ye)(ye)(ye)的(de)(de)主(zhu)業(ye)(ye)(ye),積極推動中(zhong)(zhong)央企(qi)(qi)(qi)業(ye)(ye)(ye)的(de)(de)聯合重組(zu)和主(zhu)輔(fu)分離(li)輔(fu)業(ye)(ye)(ye)改制(zhi)(zhi)、分離(li)辦社會(hui)職能,促進(jin)國(guo)(guo)有(you)資(zi)本向(xiang)(xiang)關系國(guo)(guo)家安全和國(guo)(guo)民經(jing)濟命脈的(de)(de)重要行(xing)業(ye)(ye)(ye)和關鍵(jian)領域(yu)集中(zhong)(zhong)。四年來,已有(you)77家中(zhong)(zhong)央企(qi)(qi)(qi)業(ye)(ye)(ye)參(can)與了(le)41次(ci)重組(zu)。一批中(zhong)(zhong)央企(qi)(qi)(qi)業(ye)(ye)(ye)精干(gan)主(zhu)業(ye)(ye)(ye)、剝離(li)輔(fu)業(ye)(ye)(ye)、壓(ya)縮管理鏈條、強化(hua)財務管理,優化(hua)了(le)資(zi)源配置,增強了(le)核心競(jing)爭力。按照冶金、汽車、重大裝備(bei)、商(shang)貿等21個業(ye)(ye)(ye)務板(ban)塊(kuai),我們研究制(zhi)(zhi)訂了(le)《中(zhong)(zhong)央企(qi)(qi)(qi)業(ye)(ye)(ye)布局(ju)(ju)和結構(gou)調(diao)整(zheng)(zheng)的(de)(de)指(zhi)導意(yi)見》,中(zhong)(zhong)央企(qi)(qi)(qi)業(ye)(ye)(ye)國(guo)(guo)有(you)經(jing)濟布局(ju)(ju)結構(gou)調(diao)整(zheng)(zheng)的(de)(de)思路逐步清(qing)晰。在此基(ji)礎(chu)上,我們研究制(zhi)(zhi)定了(le)《關于推進(jin)國(guo)(guo)有(you)資(zi)本調(diao)整(zheng)(zheng)和國(guo)(guo)有(you)企(qi)(qi)(qi)業(ye)(ye)(ye)重組(zu)的(de)(de)指(zhi)導意(yi)見》,并(bing)由國(guo)(guo)務院辦公廳轉發(fa)(fa)(國(guo)(guo)辦發(fa)(fa)200697號)。同時在以資(zi)產(chan)經(jing)營(ying)公司為平臺推進(jin)企(qi)(qi)(qi)業(ye)(ye)(ye)調(diao)整(zheng)(zheng)重組(zu)、處置不良資(zi)產(chan)方面(mian)進(jin)行(xing)了(le)探索。各地結合實際(ji)研究制(zhi)(zhi)訂了(le)“十一五”國(guo)(guo)有(you)經(jing)濟布局(ju)(ju)結構(gou)調(diao)整(zheng)(zheng)規(gui)劃,明確了(le)調(diao)整(zheng)(zheng)的(de)(de)方向(xiang)(xiang)和國(guo)(guo)有(you)資(zi)本集中(zhong)(zhong)的(de)(de)領域(yu),對國(guo)(guo)有(you)企(qi)(qi)(qi)業(ye)(ye)(ye)實施(shi)有(you)進(jin)有(you)退(tui)的(de)(de)調(diao)整(zheng)(zheng),國(guo)(guo)有(you)經(jing)濟布局(ju)(ju)結構(gou)進(jin)一步優化(hua)。

  (六)以建立(li)現代產(chan)權(quan)制(zhi)度為核心,規范國有(you)企(qi)業(ye)改制(zhi)和國有(you)產(chan)權(quan)轉讓。

  由于國(guo)(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)資(zi)產(chan)(chan)(chan)出資(zi)人不(bu)到位、法規(gui)規(gui)章(zhang)不(bu)健全(quan)、產(chan)(chan)(chan)權(quan)(quan)(quan)交(jiao)易(yi)(yi)市場(chang)建設和(he)管理相(xiang)對滯后(hou)等原因,國(guo)(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)企業(ye)(ye)改(gai)(gai)(gai)制(zhi)和(he)產(chan)(chan)(chan)權(quan)(quan)(quan)轉(zhuan)(zhuan)讓一(yi)度出現了(le)(le)國(guo)(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)資(zi)產(chan)(chan)(chan)流(liu)失的(de)問題,成(cheng)為社會關注的(de)熱點之一(yi)。國(guo)(guo)(guo)(guo)(guo)(guo)(guo)資(zi)委(wei)成(cheng)立以來,會同有(you)(you)(you)關部(bu)門制(zhi)定(ding)并由國(guo)(guo)(guo)(guo)(guo)(guo)(guo)務院辦(ban)公廳轉(zhuan)(zhuan)發(fa)了(le)(le)有(you)(you)(you)關文件,制(zhi)定(ding)了(le)(le)一(yi)系列政策規(gui)定(ding),加(jia)強(qiang)了(le)(le)國(guo)(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)企業(ye)(ye)改(gai)(gai)(gai)制(zhi)和(he)國(guo)(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)產(chan)(chan)(chan)權(quan)(quan)(quan)轉(zhuan)(zhuan)讓的(de)監督檢查,同時推(tui)進了(le)(le)產(chan)(chan)(chan)權(quan)(quan)(quan)交(jiao)易(yi)(yi)市場(chang)的(de)建設和(he)規(gui)范運(yun)作。各地國(guo)(guo)(guo)(guo)(guo)(guo)(guo)資(zi)委(wei)認真(zhen)履行職責,嚴格把好國(guo)(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)企業(ye)(ye)改(gai)(gai)(gai)制(zhi)和(he)國(guo)(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)產(chan)(chan)(chan)權(quan)(quan)(quan)轉(zhuan)(zhuan)讓的(de)各個關口,推(tui)動了(le)(le)國(guo)(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)企業(ye)(ye)改(gai)(gai)(gai)制(zhi)和(he)國(guo)(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)產(chan)(chan)(chan)權(quan)(quan)(quan)轉(zhuan)(zhuan)讓工(gong)作的(de)有(you)(you)(you)序進行。據不(bu)完(wan)全(quan)統計(ji),省(sheng)級以上國(guo)(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)資(zi)產(chan)(chan)(chan)監管機構共選擇認定(ding)了(le)(le)64家(jia)產(chan)(chan)(chan)權(quan)(quan)(quan)交(jiao)易(yi)(yi)機構,初步(bu)形(xing)成(cheng)了(le)(le)覆蓋全(quan)國(guo)(guo)(guo)(guo)(guo)(guo)(guo)的(de)國(guo)(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)產(chan)(chan)(chan)權(quan)(quan)(quan)交(jiao)易(yi)(yi)平臺,國(guo)(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)產(chan)(chan)(chan)權(quan)(quan)(quan)交(jiao)易(yi)(yi)普遍(bian)進入市場(chang)公開(kai)操作。國(guo)(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)企業(ye)(ye)改(gai)(gai)(gai)制(zhi)和(he)國(guo)(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)產(chan)(chan)(chan)權(quan)(quan)(quan)轉(zhuan)(zhuan)讓逐步(bu)走上規(gui)范運(yun)作的(de)軌道(dao),有(you)(you)(you)效地防(fang)止了(le)(le)國(guo)(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)資(zi)產(chan)(chan)(chan)流(liu)失,維護了(le)(le)職工(gong)的(de)合(he)法權(quan)(quan)(quan)益(yi)。

  體制(zhi)的變革(ge)激發了企(qi)(qi)(qi)業(ye)的活力(li)。這幾年國(guo)(guo)有(you)(you)企(qi)(qi)(qi)業(ye)認真(zhen)貫徹黨(dang)的十六大(da)和歷次全會精神,落實黨(dang)中央、國(guo)(guo)務院關(guan)于(yu)國(guo)(guo)有(you)(you)資(zi)產(chan)管(guan)理體制(zhi)改革(ge)和國(guo)(guo)有(you)(you)企(qi)(qi)(qi)業(ye)改革(ge)的一(yi)系列重大(da)部(bu)署,深化改革(ge),調(diao)整結構,加強管(guan)理,加快技術創(chuang)新,國(guo)(guo)有(you)(you)企(qi)(qi)(qi)業(ye)改革(ge)發展取得了可喜成績(ji),國(guo)(guo)有(you)(you)經濟(ji)總量進(jin)一(yi)步(bu)增(zeng)加,經濟(ji)效(xiao)益和運行質量顯(xian)著提高(gao),國(guo)(guo)有(you)(you)企(qi)(qi)(qi)業(ye)競(jing)爭(zheng)能力(li)進(jin)一(yi)步(bu)增(zeng)強。

  2006年(nian)(nian)(nian)(nian)(nian),全國(guo)國(guo)有企業累計(ji)實現銷售收入16.2萬億元(yuan),比2003年(nian)(nian)(nian)(nian)(nian)增(zeng)(zeng)長50.9%,年(nian)(nian)(nian)(nian)(nian)均增(zeng)(zeng)長14.7%;實現利潤1.2萬億元(yuan),比2003年(nian)(nian)(nian)(nian)(nian)增(zeng)(zeng)長147.3%,年(nian)(nian)(nian)(nian)(nian)均增(zeng)(zeng)長35.2%;上繳稅(shui)金1.4萬億元(yuan),比2003年(nian)(nian)(nian)(nian)(nian)增(zeng)(zeng)長72%,年(nian)(nian)(nian)(nian)(nian)均增(zeng)(zeng)長19.8%。截至2006年(nian)(nian)(nian)(nian)(nian)底,全國(guo)國(guo)有企業資產(chan)總額為29萬億元(yuan),比2003年(nian)(nian)(nian)(nian)(nian)底增(zeng)(zeng)長45.7%,年(nian)(nian)(nian)(nian)(nian)均增(zeng)(zeng)長13.4%。

  2006年(nian)(nian)(nian)(nian)(nian)(nian)(nian)(nian),中(zhong)(zhong)央企(qi)業(ye)實現銷售(shou)(shou)收(shou)入8.3萬(wan)億(yi)(yi)(yi)(yi)(yi)元(yuan)(yuan)(yuan),比(bi)(bi)(bi)2003年(nian)(nian)(nian)(nian)(nian)(nian)(nian)(nian)增(zeng)(zeng)長(chang)85.3%,年(nian)(nian)(nian)(nian)(nian)(nian)(nian)(nian)均(jun)(jun)(jun)(jun)(jun)增(zeng)(zeng)長(chang)22.8%;實現利潤(run)7681.5億(yi)(yi)(yi)(yi)(yi)元(yuan)(yuan)(yuan),比(bi)(bi)(bi)2003年(nian)(nian)(nian)(nian)(nian)(nian)(nian)(nian)增(zeng)(zeng)長(chang)155.5%,年(nian)(nian)(nian)(nian)(nian)(nian)(nian)(nian)均(jun)(jun)(jun)(jun)(jun)增(zeng)(zeng)長(chang)36.7%;上繳(jiao)稅(shui)金(jin)6822.5億(yi)(yi)(yi)(yi)(yi)元(yuan)(yuan)(yuan),比(bi)(bi)(bi)2003年(nian)(nian)(nian)(nian)(nian)(nian)(nian)(nian)增(zeng)(zeng)長(chang)91.5%,年(nian)(nian)(nian)(nian)(nian)(nian)(nian)(nian)均(jun)(jun)(jun)(jun)(jun)增(zeng)(zeng)長(chang)24.2%;凈(jing)資(zi)(zi)產(chan)(chan)(chan)收(shou)益率(lv)10.1%,比(bi)(bi)(bi)2003年(nian)(nian)(nian)(nian)(nian)(nian)(nian)(nian)提高5.1個百分點(dian);總(zong)資(zi)(zi)產(chan)(chan)(chan)報酬(chou)率(lv)7.9%,比(bi)(bi)(bi)2003年(nian)(nian)(nian)(nian)(nian)(nian)(nian)(nian)提高2.9個百分點(dian)。截至2006年(nian)(nian)(nian)(nian)(nian)(nian)(nian)(nian)底(di),中(zhong)(zhong)央企(qi)業(ye)資(zi)(zi)產(chan)(chan)(chan)總(zong)額(e)為12.2萬(wan)億(yi)(yi)(yi)(yi)(yi)元(yuan)(yuan)(yuan),比(bi)(bi)(bi)2003年(nian)(nian)(nian)(nian)(nian)(nian)(nian)(nian)底(di)增(zeng)(zeng)長(chang)46.5%,年(nian)(nian)(nian)(nian)(nian)(nian)(nian)(nian)均(jun)(jun)(jun)(jun)(jun)增(zeng)(zeng)長(chang)13.6%;凈(jing)資(zi)(zi)產(chan)(chan)(chan)總(zong)額(e)為5.39萬(wan)億(yi)(yi)(yi)(yi)(yi)元(yuan)(yuan)(yuan),比(bi)(bi)(bi)2003年(nian)(nian)(nian)(nian)(nian)(nian)(nian)(nian)底(di)增(zeng)(zeng)長(chang)49.7%,年(nian)(nian)(nian)(nian)(nian)(nian)(nian)(nian)均(jun)(jun)(jun)(jun)(jun)增(zeng)(zeng)長(chang)14.4%。2006年(nian)(nian)(nian)(nian)(nian)(nian)(nian)(nian),中(zhong)(zhong)央企(qi)業(ye)銷售(shou)(shou)收(shou)入超過(guo)千億(yi)(yi)(yi)(yi)(yi)元(yuan)(yuan)(yuan)的(de)有21家,利潤(run)超過(guo)百億(yi)(yi)(yi)(yi)(yi)元(yuan)(yuan)(yuan)的(de)有13家,分別比(bi)(bi)(bi)2003年(nian)(nian)(nian)(nian)(nian)(nian)(nian)(nian)增(zeng)(zeng)加(jia)(jia)(jia)12家和7家。有13家中(zhong)(zhong)央企(qi)業(ye)進(jin)入2006年(nian)(nian)(nian)(nian)(nian)(nian)(nian)(nian)公布的(de)世界(jie)500強,比(bi)(bi)(bi)2003年(nian)(nian)(nian)(nian)(nian)(nian)(nian)(nian)增(zeng)(zeng)加(jia)(jia)(jia)7家。國(guo)資(zi)(zi)委成立后,中(zhong)(zhong)央企(qi)業(ye)第一個任期的(de)三(san)年(nian)(nian)(nian)(nian)(nian)(nian)(nian)(nian),資(zi)(zi)產(chan)(chan)(chan)總(zong)額(e)平(ping)均(jun)(jun)(jun)(jun)(jun)每(mei)年(nian)(nian)(nian)(nian)(nian)(nian)(nian)(nian)增(zeng)(zeng)加(jia)(jia)(jia)1.3萬(wan)億(yi)(yi)(yi)(yi)(yi)元(yuan)(yuan)(yuan),銷售(shou)(shou)收(shou)入平(ping)均(jun)(jun)(jun)(jun)(jun)每(mei)年(nian)(nian)(nian)(nian)(nian)(nian)(nian)(nian)增(zeng)(zeng)加(jia)(jia)(jia)1.2萬(wan)億(yi)(yi)(yi)(yi)(yi)元(yuan)(yuan)(yuan),實現利潤(run)平(ping)均(jun)(jun)(jun)(jun)(jun)每(mei)年(nian)(nian)(nian)(nian)(nian)(nian)(nian)(nian)增(zeng)(zeng)加(jia)(jia)(jia)1500億(yi)(yi)(yi)(yi)(yi)元(yuan)(yuan)(yuan),上繳(jiao)稅(shui)金(jin)平(ping)均(jun)(jun)(jun)(jun)(jun)每(mei)年(nian)(nian)(nian)(nian)(nian)(nian)(nian)(nian)增(zeng)(zeng)加(jia)(jia)(jia)1000億(yi)(yi)(yi)(yi)(yi)元(yuan)(yuan)(yuan)。初步測算,國(guo)有資(zi)(zi)產(chan)(chan)(chan)保(bao)值增(zeng)(zeng)值率(lv)達到144.7%。
