經中(zhong)(zhong)國中(zhong)(zhong)鐵股(gu)份有(you)限(xian)公司一屆二十六(liu)次董事會審議通(tong)過,并于(yu)2010年3月8日中(zhong)(zhong)國中(zhong)(zhong)鐵與控股(gu)股(gu)東(dong)中(zhong)(zhong)國鐵路工程總公司(下(xia)稱:中(zhong)(zhong)鐵工)簽(qian)署《產(chan)權轉讓(rang)(rang)協(xie)議》,中(zhong)(zhong)國中(zhong)(zhong)鐵受讓(rang)(rang)中(zhong)(zhong)鐵工所持有(you)的(de)中(zhong)(zhong)鐵港航(hang)工程局有(you)限(xian)公司(注(zhu)冊資(zi)本和實收資(zi)本均為人民幣389940100元)100%的(de)股(gu)權,轉讓(rang)(rang)價格(ge)為有(you)關《資(zi)產(chan)評(ping)估報告》(已備案(an))確定的(de)目標企業(ye)評(ping)估凈資(zi)產(chan)人民幣40864.09萬元。
中(zhong)(zhong)鐵港(gang)(gang)航(hang)局(ju)的(de)(de)(de)(de)(de)前(qian)身是成(cheng)立于1952年(nian)(nian)的(de)(de)(de)(de)(de)廣東中(zhong)(zhong)海工(gong)(gong)程(cheng)建設總(zong)局(ju),原隸屬(shu)于中(zhong)(zhong)國華潤總(zong)公司,2008年(nian)(nian)11月整(zheng)體并(bing)(bing)入中(zhong)(zhong)國鐵路工(gong)(gong)程(cheng)總(zong)公司。中(zhong)(zhong)鐵港(gang)(gang)航(hang)局(ju)在港(gang)(gang)口(kou)、碼頭等水工(gong)(gong)工(gong)(gong)程(cheng)施工(gong)(gong)方面(mian)具(ju)有較強的(de)(de)(de)(de)(de)實(shi)力(li),中(zhong)(zhong)國中(zhong)(zhong)鐵通過收(shou)購上述(shu)資產,能(neng)夠(gou)提(ti)升在水工(gong)(gong)工(gong)(gong)程(cheng)等方面(mian)的(de)(de)(de)(de)(de)施工(gong)(gong)能(neng)力(li),進一步完善產業(ye)鏈并(bing)(bing)實(shi)現業(ye)務(wu)(wu)(wu)間的(de)(de)(de)(de)(de)協同效應,真(zhen)正成(cheng)為(wei)能(neng)夠(gou)提(ti)供綜合(he)的(de)(de)(de)(de)(de)“一站式”解決(jue)方案的(de)(de)(de)(de)(de)工(gong)(gong)程(cheng)基建龍頭企(qi)業(ye)。同時,鑒于中(zhong)(zhong)鐵港(gang)(gang)航(hang)局(ju)為(wei)從事(shi)工(gong)(gong)程(cheng)基建的(de)(de)(de)(de)(de)施工(gong)(gong)企(qi)業(ye),與中(zhong)(zhong)國中(zhong)(zhong)鐵目前(qian)從事(shi)的(de)(de)(de)(de)(de)主營業(ye)務(wu)(wu)(wu)屬(shu)于同類業(ye)務(wu)(wu)(wu),因此,收(shou)購中(zhong)(zhong)鐵港(gang)(gang)航(hang)局(ju)股(gu)權可在今后(hou)避(bi)免中(zhong)(zhong)國中(zhong)(zhong)鐵與控股(gu)股(gu)東之間可能(neng)出現的(de)(de)(de)(de)(de)同業(ye)競爭。
