中國電子大力加強企業法律風險防范機制

  中國(guo)電(dian)子(zi)信息產業(ye)集團公司(以下稱中國(guo)電(dian)子(zi))認真(zhen)落實(shi)國(guo)資(zi)委關于(yu)加強企(qi)業(ye)法(fa)(fa)(fa)制(zhi)建設、在中央(yang)企(qi)業(ye)普遍實(shi)施總法(fa)(fa)(fa)律(lv)(lv)顧問制(zhi)度(du)的要求(qiu),以實(shi)施總法(fa)(fa)(fa)律(lv)(lv)顧問制(zhi)度(du)為(wei)契機,以建立健(jian)全法(fa)(fa)(fa)律(lv)(lv)風險防范機制(zhi)為(wei)手(shou)段,以服務于(yu)中國(guo)電(dian)子(zi)的改(gai)革發展大局為(wei)目標(biao),設立法(fa)(fa)(fa)律(lv)(lv)事務部(bu),充實(shi)法(fa)(fa)(fa)律(lv)(lv)工(gong)作人(ren)員,制(zhi)定法(fa)(fa)(fa)律(lv)(lv)工(gong)作流程,完(wan)善法(fa)(fa)(fa)律(lv)(lv)工(gong)作制(zhi)度(du),各(ge)項企(qi)業(ye)法(fa)(fa)(fa)制(zhi)工(gong)作取(qu)得(de)明顯成效。

  一、  主要(yao)做法

  (一)設(she)立(li)(li)法(fa)(fa)(fa)(fa)(fa)(fa)(fa)(fa)律(lv)(lv)事(shi)(shi)(shi)務(wu)(wu)部,充實(shi)(shi)法(fa)(fa)(fa)(fa)(fa)(fa)(fa)(fa)律(lv)(lv)工(gong)作(zuo)人(ren)(ren)(ren)員(yuan),為(wei)實(shi)(shi)施總(zong)法(fa)(fa)(fa)(fa)(fa)(fa)(fa)(fa)律(lv)(lv)顧(gu)(gu)(gu)問(wen)(wen)制(zhi)度創造必(bi)要(yao)(yao)條(tiao)件(jian)。隨(sui)著(zhu)中(zhong)國電(dian)子日益壯大(da),法(fa)(fa)(fa)(fa)(fa)(fa)(fa)(fa)律(lv)(lv)工(gong)作(zuo)涉及領域不斷增(zeng)加(jia),從而對法(fa)(fa)(fa)(fa)(fa)(fa)(fa)(fa)律(lv)(lv)工(gong)作(zuo)機構(gou)和人(ren)(ren)(ren)員(yuan)提出(chu)更高要(yao)(yao)求(qiu)。集(ji)(ji)(ji)團(tuan)公(gong)(gong)(gong)司原來在(zai)(zai)辦公(gong)(gong)(gong)廳下設(she)法(fa)(fa)(fa)(fa)(fa)(fa)(fa)(fa)律(lv)(lv)處,人(ren)(ren)(ren)員(yuan)編制(zhi)為(wei)四(si)人(ren)(ren)(ren)。為(wei)適應集(ji)(ji)(ji)團(tuan)公(gong)(gong)(gong)司法(fa)(fa)(fa)(fa)(fa)(fa)(fa)(fa)律(lv)(lv)業(ye)(ye)(ye)(ye)務(wu)(wu)快(kuai)速發展的(de)(de)(de)需(xu)要(yao)(yao),2007年,集(ji)(ji)(ji)團(tuan)公(gong)(gong)(gong)司在(zai)(zai)法(fa)(fa)(fa)(fa)(fa)(fa)(fa)(fa)律(lv)(lv)處的(de)(de)(de)基(ji)(ji)礎上,在(zai)(zai)總(zong)部設(she)立(li)(li)法(fa)(fa)(fa)(fa)(fa)(fa)(fa)(fa)律(lv)(lv)事(shi)(shi)(shi)務(wu)(wu)部,人(ren)(ren)(ren)員(yuan)編制(zhi)增(zeng)加(jia)到六人(ren)(ren)(ren),為(wei)集(ji)(ji)(ji)團(tuan)公(gong)(gong)(gong)司法(fa)(fa)(fa)(fa)(fa)(fa)(fa)(fa)律(lv)(lv)工(gong)作(zuo)的(de)(de)(de)開展奠(dian)定了必(bi)要(yao)(yao)的(de)(de)(de)基(ji)(ji)礎。為(wei)加(jia)強所(suo)屬(shu)企(qi)業(ye)(ye)(ye)(ye)的(de)(de)(de)法(fa)(fa)(fa)(fa)(fa)(fa)(fa)(fa)律(lv)(lv)工(gong)作(zuo),集(ji)(ji)(ji)團(tuan)公(gong)(gong)(gong)司在(zai)(zai)總(zong)法(fa)(fa)(fa)(fa)(fa)(fa)(fa)(fa)律(lv)(lv)顧(gu)(gu)(gu)問(wen)(wen)實(shi)(shi)施綱要(yao)(yao)中(zhong),根據不同情況,對所(suo)屬(shu)企(qi)業(ye)(ye)(ye)(ye)分(fen)別提出(chu)了明(ming)確(que)的(de)(de)(de)、具有(you)針對性的(de)(de)(de)要(yao)(yao)求(qiu):對集(ji)(ji)(ji)團(tuan)公(gong)(gong)(gong)司所(suo)屬(shu)十一家重(zhong)要(yao)(yao)子企(qi)業(ye)(ye)(ye)(ye),要(yao)(yao)求(qiu)其(qi)在(zai)(zai)2007年年底上報《總(zong)法(fa)(fa)(fa)(fa)(fa)(fa)(fa)(fa)律(lv)(lv)顧(gu)(gu)(gu)問(wen)(wen)制(zhi)度實(shi)(shi)施方案(an)》并盡快(kuai)實(shi)(shi)施總(zong)法(fa)(fa)(fa)(fa)(fa)(fa)(fa)(fa)律(lv)(lv)顧(gu)(gu)(gu)問(wen)(wen)制(zhi)度;設(she)立(li)(li)法(fa)(fa)(fa)(fa)(fa)(fa)(fa)(fa)律(lv)(lv)事(shi)(shi)(shi)務(wu)(wu)機構(gou),尚(shang)未建立(li)(li)法(fa)(fa)(fa)(fa)(fa)(fa)(fa)(fa)律(lv)(lv)事(shi)(shi)(shi)務(wu)(wu)機構(gou)的(de)(de)(de)  重(zhong)點(dian)子企(qi)業(ye)(ye)(ye)(ye),要(yao)(yao)求(qiu)盡快(kuai)建立(li)(li);其(qi)他規模較(jiao)大(da)的(de)(de)(de)企(qi)業(ye)(ye)(ye)(ye),要(yao)(yao)積極(ji)建立(li)(li)法(fa)(fa)(fa)(fa)(fa)(fa)(fa)(fa)律(lv)(lv)事(shi)(shi)(shi)務(wu)(wu)機構(gou),待條(tiao)件(jian)成(cheng)熟時(shi)適時(shi)實(shi)(shi)施總(zong)法(fa)(fa)(fa)(fa)(fa)(fa)(fa)(fa)律(lv)(lv)顧(gu)(gu)(gu)問(wen)(wen)制(zhi)度;對于一些規模較(jiao)小、成(cheng)立(li)(li)法(fa)(fa)(fa)(fa)(fa)(fa)(fa)(fa)律(lv)(lv)事(shi)(shi)(shi)務(wu)(wu)機構(gou)條(tiao)件(jian)不成(cheng)熟的(de)(de)(de)企(qi)業(ye)(ye)(ye)(ye),要(yao)(yao)根據實(shi)(shi)際情況設(she)立(li)(li)專職(zhi)的(de)(de)(de)企(qi)業(ye)(ye)(ye)(ye)法(fa)(fa)(fa)(fa)(fa)(fa)(fa)(fa)律(lv)(lv)顧(gu)(gu)(gu)問(wen)(wen);條(tiao)件(jian)有(you)限、暫不能設(she)立(li)(li)專職(zhi)法(fa)(fa)(fa)(fa)(fa)(fa)(fa)(fa)律(lv)(lv)顧(gu)(gu)(gu)問(wen)(wen)的(de)(de)(de)企(qi)業(ye)(ye)(ye)(ye),要(yao)(yao)有(you)兼職(zhi)的(de)(de)(de)法(fa)(fa)(fa)(fa)(fa)(fa)(fa)(fa)律(lv)(lv)工(gong)作(zuo)人(ren)(ren)(ren)員(yuan)。

  在集團公司下發(fa)的(de)(de)總法(fa)(fa)律(lv)顧問實(shi)施綱要中關于所屬(shu)企(qi)業設(she)立(li)法(fa)(fa)律(lv)機構和人員的(de)(de)要求,根據下屬(shu)企(qi)業的(de)(de)不(bu)同情(qing)況,提(ti)出了明確要求,對(dui)所屬(shu)企(qi)業的(de)(de)法(fa)(fa)律(lv)工作起到了推進作用。

  (二)整合(he)法律資(zi)源(yuan),實現(xian)資(zi)源(yuan)共享。

  1、密切與子(zi)企業(ye)(ye)(ye)(ye)聯(lian)系(xi),加(jia)強(qiang)對系(xi)統內企業(ye)(ye)(ye)(ye)的(de)(de)法(fa)(fa)律(lv)(lv)(lv)培訓,實行(xing)法(fa)(fa)律(lv)(lv)(lv)崗(gang)位(wei)的(de)(de)交流制(zhi)。近(jin)兩年(nian)來,中(zhong)國電子(zi)總(zong)(zong)部法(fa)(fa)律(lv)(lv)(lv)事務(wu)機構(gou)在所(suo)屬企業(ye)(ye)(ye)(ye)實行(xing)法(fa)(fa)律(lv)(lv)(lv)聯(lian)絡員制(zhi)度,密切和所(suo)屬企業(ye)(ye)(ye)(ye)的(de)(de)聯(lian)絡與溝通。同(tong)時,總(zong)(zong)部加(jia)強(qiang)了(le)對所(suo)屬企業(ye)(ye)(ye)(ye)法(fa)(fa)律(lv)(lv)(lv)工作(zuo)的(de)(de)指導和服務(wu),多次舉辦所(suo)屬企業(ye)(ye)(ye)(ye)法(fa)(fa)律(lv)(lv)(lv)人員的(de)(de)培訓,還在總(zong)(zong)部和所(suo)屬企業(ye)(ye)(ye)(ye)之間實行(xing)法(fa)(fa)律(lv)(lv)(lv)人員的(de)(de)崗(gang)位(wei)交流制(zhi)度。這些措施,使中(zhong)國電子(zi)法(fa)(fa)律(lv)(lv)(lv)顧問之間的(de)(de)聯(lian)系(xi)更加(jia)緊密,成(cheng)功經(jing)驗得以共享(xiang),實戰技能得到(dao)提高(gao),有效提升(sheng)了(le)中(zhong)國電子(zi)整體的(de)(de)法(fa)(fa)律(lv)(lv)(lv)工作(zuo)水平(ping)。

  2、建立內外(wai)結合(he)(he)的工作機制。除(chu)了(le)發揮企業內部(bu)(bu)法(fa)律(lv)顧問(wen)的作用之外(wai),中國電(dian)子還積極利用社會上律(lv)師(shi)事(shi)務所(suo)的法(fa)律(lv)資源(yuan)。通過比較(jiao)和選擇(ze),初步建立起服務優質、費用合(he)(he)理的外(wai)聘(pin)律(lv)師(shi)事(shi)務所(suo)名單庫(ku),規范收費標(biao)準和服務質量,高(gao)效利用外(wai)部(bu)(bu)法(fa)律(lv)資源(yuan)。

  3、發揮法(fa)律(lv)(lv)(lv)優勢資(zi)源作用,建立地區(qu)法(fa)律(lv)(lv)(lv)工(gong)作中(zhong)(zhong)心。中(zhong)(zhong)國電(dian)(dian)子(zi)的(de)企(qi)(qi)業主要分布在(zai)(zai)北京、南京、上(shang)海、深圳、武漢等地,根據所屬(shu)企(qi)(qi)業的(de)實(shi)際(ji)情況,中(zhong)(zhong)國電(dian)(dian)子(zi)積極探索法(fa)律(lv)(lv)(lv)資(zi)源整合(he)的(de)模式,在(zai)(zai)企(qi)(qi)業較(jiao)集中(zhong)(zhong)的(de)城市,嘗試以(yi)法(fa)律(lv)(lv)(lv)工(gong)作開展(zhan)較(jiao)好的(de)企(qi)(qi)業為中(zhong)(zhong)心,將同一地區(qu)所屬(shu)企(qi)(qi)業的(de)法(fa)律(lv)(lv)(lv)顧問(wen)組(zu)織起來,成立地區(qu)法(fa)律(lv)(lv)(lv)工(gong)作中(zhong)(zhong)心,以(yi)大帶小,協同工(gong)作,統一對(dui)該地區(qu)所屬(shu)企(qi)(qi)業提供(gong)法(fa)律(lv)(lv)(lv)服務(wu)。

  (三)規范法律工(gong)作內(nei)容,協調法律風(feng)(feng)險和全面風(feng)(feng)險管理、法律工(gong)作和知識產權工(gong)作的關系。

  1、規范法(fa)(fa)(fa)律(lv)(lv)(lv)工(gong)(gong)(gong)作內容,明(ming)確法(fa)(fa)(fa)律(lv)(lv)(lv)人(ren)(ren)(ren)員(yuan)職(zhi)責。針(zhen)對企業(ye)法(fa)(fa)(fa)律(lv)(lv)(lv)工(gong)(gong)(gong)作內容不清晰,法(fa)(fa)(fa)律(lv)(lv)(lv)工(gong)(gong)(gong)作難以主(zhu)(zhu)動(dong)出擊的(de)狀(zhuang)況,中國(guo)(guo)電子法(fa)(fa)(fa)律(lv)(lv)(lv)事(shi)務部根據國(guo)(guo)務院國(guo)(guo)資委頒布的(de)《國(guo)(guo)有企業(ye)法(fa)(fa)(fa)律(lv)(lv)(lv)顧(gu)問管(guan)理辦法(fa)(fa)(fa)》,梳(shu)理并規范了法(fa)(fa)(fa)律(lv)(lv)(lv)工(gong)(gong)(gong)作內容,將其劃分為:為重(zhong)大經營決(jue)策提供法(fa)(fa)(fa)律(lv)(lv)(lv)意見(jian)、日(ri)常經營進(jin)行合規性(xing)審查、規章(zhang)制度審核、合同管(guan)理、知(zhi)識產權管(guan)理、重(zhong)大法(fa)(fa)(fa)律(lv)(lv)(lv)糾紛案件協調和(he)統計、普法(fa)(fa)(fa)、指導所屬企業(ye)等幾大業(ye)務板(ban)塊(kuai),每個業(ye)務板(ban)塊(kuai)確定責任人(ren)(ren)(ren),各人(ren)(ren)(ren)做(zuo)好自(zi)己分工(gong)(gong)(gong)的(de)同時,全體法(fa)(fa)(fa)律(lv)(lv)(lv)工(gong)(gong)(gong)作人(ren)(ren)(ren)員(yuan)又高度協同工(gong)(gong)(gong)作,分工(gong)(gong)(gong)不分家(jia),使(shi)得(de)法(fa)(fa)(fa)律(lv)(lv)(lv)工(gong)(gong)(gong)作人(ren)(ren)(ren)員(yuan)人(ren)(ren)(ren)人(ren)(ren)(ren)主(zhu)(zhu)動(dong),處處配合,法(fa)(fa)(fa)律(lv)(lv)(lv)工(gong)(gong)(gong)作呈現(xian)日(ri)益精進(jin)的(de)狀(zhuang)態。

  2、立足法(fa)律(lv)(lv)(lv)風(feng)(feng)(feng)(feng)險(xian)(xian)(xian)(xian)防(fang)(fang)范,積極構建(jian)企(qi)(qi)業(ye)(ye)(ye)全(quan)面(mian)(mian)風(feng)(feng)(feng)(feng)險(xian)(xian)(xian)(xian)防(fang)(fang)范機(ji)制(zhi)(zhi)(zhi)。在《中(zhong)(zhong)央企(qi)(qi)業(ye)(ye)(ye)全(quan)面(mian)(mian)風(feng)(feng)(feng)(feng)險(xian)(xian)(xian)(xian)管(guan)理(li)指引》頒發后,法(fa)律(lv)(lv)(lv)事(shi)務部認識到法(fa)律(lv)(lv)(lv)風(feng)(feng)(feng)(feng)險(xian)(xian)(xian)(xian)和全(quan)面(mian)(mian)風(feng)(feng)(feng)(feng)險(xian)(xian)(xian)(xian)管(guan)理(li)的密切關系。針對中(zhong)(zhong)國(guo)(guo)電(dian)子(zi)前幾(ji)年法(fa)律(lv)(lv)(lv)風(feng)(feng)(feng)(feng)險(xian)(xian)(xian)(xian)嚴峻的情況(kuang),積極構建(jian)法(fa)律(lv)(lv)(lv)風(feng)(feng)(feng)(feng)險(xian)(xian)(xian)(xian)防(fang)(fang)范機(ji)制(zhi)(zhi)(zhi)。在加(jia)強(qiang)法(fa)律(lv)(lv)(lv)風(feng)(feng)(feng)(feng)險(xian)(xian)(xian)(xian)防(fang)(fang)范機(ji)制(zhi)(zhi)(zhi)建(jian)設(she)的同時,加(jia)強(qiang)對企(qi)(qi)業(ye)(ye)(ye)全(quan)面(mian)(mian)風(feng)(feng)(feng)(feng)險(xian)(xian)(xian)(xian)管(guan)理(li)的學(xue)習和培訓,完成《關于推進中(zhong)(zhong)國(guo)(guo)電(dian)子(zi)全(quan)面(mian)(mian)風(feng)(feng)(feng)(feng)險(xian)(xian)(xian)(xian)管(guan)理(li)工作初步(bu)方案(an)的提(ti)案(an)》提(ti)交公司董事(shi)會審(shen)定。法(fa)律(lv)(lv)(lv)事(shi)務部結合企(qi)(qi)業(ye)(ye)(ye)的內(nei)控制(zhi)(zhi)(zhi)度(du)建(jian)設(she),牽頭制(zhi)(zhi)(zhi)定中(zhong)(zhong)國(guo)(guo)電(dian)子(zi)各(ge)項(xiang)工作流(liu)程共(gong)三(san)百(bai)多項(xiang),初步(bu)規范了(le)工作流(liu)程,明確(que)了(le)各(ge)個環節的風(feng)(feng)(feng)(feng)險(xian)(xian)(xian)(xian)點,有效(xiao)防(fang)(fang)范了(le)企(qi)(qi)業(ye)(ye)(ye)經營風(feng)(feng)(feng)(feng)險(xian)(xian)(xian)(xian)。

  3、切(qie)實推(tui)進知識(shi)產(chan)(chan)(chan)(chan)權工(gong)(gong)作(zuo)。集團公(gong)司(si)(si)商(shang)標(biao)注冊、續展、授權許可、備(bei)案(an)和維權工(gong)(gong)作(zuo)是(shi)法(fa)律(lv)(lv)事(shi)務(wu)部(bu)的一項主要(yao)工(gong)(gong)作(zuo),法(fa)律(lv)(lv)事(shi)務(wu)部(bu)除做好此項工(gong)(gong)作(zuo)之外,還(huan)注重從(cong)生產(chan)(chan)(chan)(chan)經營信(xin)息中(zhong)(zhong)(zhong)發現商(shang)標(biao)管(guan)(guan)理(li)(li)中(zhong)(zhong)(zhong)存在的問題,并(bing)及時向公(gong)司(si)(si)領導層提(ti)出(chu)加(jia)強(qiang)中(zhong)(zhong)(zhong)國電(dian)(dian)(dian)子商(shang)標(biao)戰(zhan)略(lve)規劃制(zhi)定(ding)(ding)的合(he)理(li)(li)化建議。法(fa)律(lv)(lv)事(shi)務(wu)部(bu)還(huan)與公(gong)司(si)(si)相關(guan)部(bu)門共(gong)同制(zhi)定(ding)(ding)中(zhong)(zhong)(zhong)國電(dian)(dian)(dian)子知識(shi)產(chan)(chan)(chan)(chan)權管(guan)(guan)理(li)(li)辦(ban)法(fa)和商(shang)標(biao)管(guan)(guan)理(li)(li)辦(ban)法(fa)等知識(shi)產(chan)(chan)(chan)(chan)權管(guan)(guan)理(li)(li)制(zhi)度(du)。法(fa)律(lv)(lv)事(shi)務(wu)部(bu)在承擔國資委知識(shi)產(chan)(chan)(chan)(chan)權研究課題的過程中(zhong)(zhong)(zhong),結合(he)企(qi)業實際,提(ti)出(chu)中(zhong)(zhong)(zhong)國電(dian)(dian)(dian)子發展知識(shi)產(chan)(chan)(chan)(chan)權的思(si)路,擬定(ding)(ding)中(zhong)(zhong)(zhong)國電(dian)(dian)(dian)子知識(shi)產(chan)(chan)(chan)(chan)權管(guan)(guan)理(li)(li)辦(ban)法(fa)。為推(tui)廣國資委企(qi)業知識(shi)產(chan)(chan)(chan)(chan)權研究專題的成果,促進中(zhong)(zhong)(zhong)國電(dian)(dian)(dian)子知識(shi)產(chan)(chan)(chan)(chan)權應用(yong)水平提(ti)高,法(fa)律(lv)(lv)事(shi)務(wu)部(bu)將十五個(ge)知識(shi)產(chan)(chan)(chan)(chan)權示范合(he)同匯編成書,積極在所屬企(qi)業推(tui)廣使用(yong)。

  (四)制定法律工作(zuo)制度,明確(que)法律工作(zuo)流程。

  1、制(zhi)定(ding)(ding)法(fa)(fa)(fa)律工(gong)(gong)作(zuo)制(zhi)度。中國(guo)電子今(jin)年陸續制(zhi)定(ding)(ding)了《法(fa)(fa)(fa)律顧問管(guan)理(li)(li)辦(ban)(ban)法(fa)(fa)(fa)》、《合同(tong)管(guan)理(li)(li)辦(ban)(ban)法(fa)(fa)(fa)》、《重大案件管(guan)理(li)(li)辦(ban)(ban)法(fa)(fa)(fa)》和(he)《授權管(guan)理(li)(li)辦(ban)(ban)法(fa)(fa)(fa)》,并要求(qiu)所屬(shu)企業根(gen)據自身(shen)實際(ji)情況,參照上述管(guan)理(li)(li)辦(ban)(ban)法(fa)(fa)(fa)制(zhi)定(ding)(ding)相應的法(fa)(fa)(fa)律工(gong)(gong)作(zuo)制(zhi)度。這(zhe)些法(fa)(fa)(fa)律制(zhi)度的實施,使得企業法(fa)(fa)(fa)律工(gong)(gong)作(zuo)內化(hua)(hua)到企業經營的各(ge)個環節,法(fa)(fa)(fa)律工(gong)(gong)作(zuo)初步實現(xian)了制(zhi)度化(hua)(hua)、規(gui)范(fan)化(hua)(hua)和(he)流程(cheng)化(hua)(hua)。

  2、明確法(fa)律(lv)(lv)(lv)工(gong)(gong)作流程(cheng)和時限。從2007年(nian)開始,中國電(dian)子主要法(fa)律(lv)(lv)(lv)工(gong)(gong)作均已(yi)納入電(dian)子辦公(gong)系統。法(fa)律(lv)(lv)(lv)事務部設(she)計(ji)了(le)公(gong)司各類法(fa)律(lv)(lv)(lv)文件的法(fa)律(lv)(lv)(lv)會簽環(huan)節(jie)(jie),還(huan)特別設(she)計(ji)了(le)法(fa)務管(guan)理模(mo)塊,涵蓋了(le)合同審(shen)批、授權管(guan)理、法(fa)律(lv)(lv)(lv)意見書和案件管(guan)理工(gong)(gong)作。不需要簽報程(cheng)序擬(ni)簽合同的法(fa)律(lv)(lv)(lv)審(shen)批環(huan)節(jie)(jie)。在總結(jie)經驗的基礎上,規定法(fa)律(lv)(lv)(lv)人(ren)員(yuan)的審(shen)核時限,既要保(bao)證(zheng)審(shen)核質量,又要保(bao)證(zheng)工(gong)(gong)作效率。

  (五)狠抓(zhua)基礎(chu)工(gong)(gong)作(zuo)(zuo),創新(xin)法(fa)律工(gong)(gong)作(zuo)(zuo)內容。在近幾年的工(gong)(gong)作(zuo)(zuo)中(zhong),中(zhong)國電子法(fa)律事務部門花大力氣夯實基礎(chu),將原來的一些法(fa)律工(gong)(gong)作(zuo)(zuo)提升到(dao)一個新(xin)層次。

  1、明確規(gui)(gui)(gui)章(zhang)制(zhi)(zhi)度(du)(du)(du)層級,統一負(fu)責規(gui)(gui)(gui)章(zhang)制(zhi)(zhi)度(du)(du)(du)的(de)(de)審(shen)核(he)、定稿和匯編工作(zuo)。2006年,中國電子(zi)正式成為(wei)國資委董(dong)事(shi)(shi)會(hui)試點(dian)企業,根據中國電子(zi)新的(de)(de)章(zhang)程和議(yi)事(shi)(shi)規(gui)(gui)(gui)則,法律事(shi)(shi)務部提(ti)出分級次(ci)制(zhi)(zhi)定公司規(gui)(gui)(gui)章(zhang)制(zhi)(zhi)度(du)(du)(du)的(de)(de)董(dong)事(shi)(shi)會(hui)提(ti)案,董(dong)事(shi)(shi)會(hui)制(zhi)(zhi)定的(de)(de)基本管理(li)制(zhi)(zhi)度(du)(du)(du)統一稱為(wei)《制(zhi)(zhi)度(du)(du)(du)》,總經理(li)組織制(zhi)(zhi)定的(de)(de)具體管理(li)制(zhi)(zhi)度(du)(du)(du)統一稱為(wei)《管理(li)辦法》或《規(gui)(gui)(gui)定》。該提(ti)案已經董(dong)事(shi)(shi)會(hui)審(shen)議(yi)通過,進(jin)入實施(shi)階段。同時公司規(gui)(gui)(gui)章(zhang)制(zhi)(zhi)度(du)(du)(du)的(de)(de)審(shen)核(he)、定稿和匯編工作(zuo)統一由法律事(shi)(shi)務部負(fu)責。

  2、建(jian)立合(he)(he)同(tong)(tong)(tong)(tong)臺帳(zhang)(zhang)制(zhi)和合(he)(he)同(tong)(tong)(tong)(tong)預(yu)警(jing)制(zhi)。合(he)(he)同(tong)(tong)(tong)(tong)是公司(si)生產經營活(huo)動中非(fei)常(chang)重要的(de)(de)(de)法(fa)律文件,為及時反映公司(si)合(he)(he)同(tong)(tong)(tong)(tong)簽訂和履行的(de)(de)(de)全面(mian)情況,法(fa)律事(shi)務(wu)部(bu)在常(chang)規的(de)(de)(de)合(he)(he)同(tong)(tong)(tong)(tong)審核之外(wai),率先在總部(bu)建(jian)立合(he)(he)同(tong)(tong)(tong)(tong)總帳(zhang)(zhang)制(zhi),同(tong)(tong)(tong)(tong)時要求(qiu)相(xiang)關(guan)部(bu)門(men)建(jian)立本部(bu)門(men)的(de)(de)(de)合(he)(he)同(tong)(tong)(tong)(tong)臺帳(zhang)(zhang),每(mei)年年底法(fa)律事(shi)務(wu)部(bu)有(you)專人將合(he)(he)同(tong)(tong)(tong)(tong)總帳(zhang)(zhang)和臺帳(zhang)(zhang)進(jin)行核對(dui)、檢(jian)查(cha)和分(fen)(fen)析,完成合(he)(he)同(tong)(tong)(tong)(tong)簽訂履行情況分(fen)(fen)析報(bao)告,提(ti)交公司(si)領(ling)導(dao)。法(fa)律事(shi)務(wu)部(bu)還追蹤合(he)(he)同(tong)(tong)(tong)(tong)的(de)(de)(de)履行,實行合(he)(he)同(tong)(tong)(tong)(tong)履行的(de)(de)(de)預(yu)警(jing)制(zhi),發現問題主動和業務(wu)部(bu)門(men)溝通,做到有(you)問題及時處(chu)理(li)。

  3、將(jiang)普(pu)法(fa)(fa)工(gong)(gong)(gong)作和(he)公(gong)司(si)經(jing)營(ying)管理結合起來(lai),提(ti)(ti)高(gao)全員(yuan)法(fa)(fa)律(lv)(lv)(lv)意識(shi)(shi)。普(pu)法(fa)(fa)工(gong)(gong)(gong)作是(shi)企(qi)(qi)業(ye)(ye)法(fa)(fa)律(lv)(lv)(lv)工(gong)(gong)(gong)作的重要一(yi)環,為了扎實(shi)開展普(pu)法(fa)(fa)工(gong)(gong)(gong)作,杜(du)絕走過場和(he)形式主義,法(fa)(fa)律(lv)(lv)(lv)事務(wu)部將(jiang)普(pu)法(fa)(fa)工(gong)(gong)(gong)作和(he)企(qi)(qi)業(ye)(ye)經(jing)營(ying)管理結合起來(lai),通過編(bian)寫(xie)《案例(li)匯(hui)編(bian)》、創建《普(pu)法(fa)(fa)專刊》、舉(ju)辦(ban)各種法(fa)(fa)律(lv)(lv)(lv)培(pei)訓和(he)為公(gong)司(si)領導(dao)提(ti)(ti)供(gong)《CEC法(fa)(fa)律(lv)(lv)(lv)參考(kao)》等(deng)形式,為公(gong)司(si)領導(dao)和(he)企(qi)(qi)業(ye)(ye)經(jing)營(ying)人員(yuan)普(pu)及(ji)(ji)法(fa)(fa)律(lv)(lv)(lv)知(zhi)識(shi)(shi),提(ti)(ti)供(gong)及(ji)(ji)時(shi)、有針對性的法(fa)(fa)律(lv)(lv)(lv)信息,大(da)大(da)提(ti)(ti)高(gao)了公(gong)司(si)領導(dao)和(he)員(yuan)工(gong)(gong)(gong)的法(fa)(fa)律(lv)(lv)(lv)意識(shi)(shi),促(cu)進了企(qi)(qi)業(ye)(ye)依法(fa)(fa)合規經(jing)營(ying)。

  4、規(gui)范授權(quan)管理(li)。在(zai)公司原(yuan)有授權(quan)管理(li)工作中,存(cun)在(zai)著授權(quan)依(yi)據不(bu)(bu)規(gui)范,授權(quan)形(xing)式不(bu)(bu)統一(yi)、授權(quan)流(liu)程銜接不(bu)(bu)妥當等問題,法律事務(wu)部根據公司新的章(zhang)程和議事規(gui)則,規(gui)范了辦理(li)授權(quan)的依(yi)據,統一(yi)了授權(quan)書(shu)(shu)的格式,重(zhong)新梳理(li)了授權(quan)流(liu)程。所有授權(quan)書(shu)(shu)一(yi)式兩份(fen),一(yi)份(fen)使用(yong),一(yi)份(fen)存(cun)檔。

  5、結合(he)企業經營(ying)實際提(ti)出法律(lv)(lv)意見(jian)書。在審核合(he)同(tong)和(he)參(can)與重(zhong)大(da)決策經營(ying)方面(mian),原來法律(lv)(lv)事(shi)務部門(men)所提(ti)意見(jian)比較簡單,僅針(zhen)對的具體內容(rong)提(ti)出法律(lv)(lv)方面(mian)的建(jian)議(yi)。現在法律(lv)(lv)事(shi)務部對重(zhong)要的經營(ying)事(shi)項和(he)合(he)同(tong)所出具的法律(lv)(lv)意見(jian)書,除了規(gui)范、全面(mian)的法律(lv)(lv)意見(jian)之外(wai),還從公(gong)司經營(ying)的角度提(ti)出優化(hua)管理的建(jian)議(yi)。

  6、完善法律工作報告制度。為了方便公司領導及時了解全系統法律工作動態,法律事務部建立了工作報告制度。一是每月向總法律顧問提交法律工作月報,二是就重大法律事務提供匯總分析報告。目前,法律事務部定期向公司領導提交兩份報告:其一是中國電子總部合同簽訂和履行情況年度報告,對公司總部當年所簽訂的合同進行匯總、分類,計算出每類合同標的額,分析這些合同反映的公司經營特點,并對可能的風險進行分析;其二是中國電子案件匯總分析年度報告,通過匯總統計,報告案件發生數量、案件所在企業、案件涉及標的額和簡單案情等,報告還對案件發生趨勢進行分析,并對其中的問題提出整改建議。這些創新性的基礎工作,有利于公司領導從宏觀上把握有關情況,受到公司領導的肯定。

  目(mu)前,所屬企(qi)業在總部的(de)(de)統(tong)一要求(qiu)(qiu)和指(zhi)導(dao)下,正在在逐步按集團公司總法(fa)(fa)律顧問實施方案的(de)(de)要求(qiu)(qiu),構建以(yi)建立機構、充實人(ren)員、完善法(fa)(fa)律工(gong)作內(nei)容(rong)、制(zhi)定(ding)法(fa)(fa)律工(gong)作制(zhi)度(du)和梳理(li)(li)(li)法(fa)(fa)律工(gong)作流(liu)程(cheng)方式為主的(de)(de)法(fa)(fa)律風險防范(fan)(fan)機制(zhi)建設,并在制(zhi)度(du)建設、合同管(guan)理(li)(li)(li)、決(jue)策的(de)(de)參(can)與把關(guan)、法(fa)(fa)人(ren)治理(li)(li)(li)結構完善和案件防范(fan)(fan)等方面(mian)取(qu)得一定(ding)成效。

  二、主要經驗

  (一)領導重(zhong)(zhong)視是(shi)(shi)關(guan)鍵(jian)。中國(guo)電子(zi)的(de)(de)(de)法(fa)律(lv)(lv)(lv)(lv)工作(zuo)(zuo)之所以在這幾年快速發展(zhan),是(shi)(shi)和(he)公(gong)(gong)(gong)(gong)(gong)司(si)領導的(de)(de)(de)大(da)力支持分不開(kai)(kai)的(de)(de)(de)。中國(guo)電子(zi)的(de)(de)(de)董事(shi)長和(he)總經(jing)(jing)理(li)都很(hen)重(zhong)(zhong)視法(fa)律(lv)(lv)(lv)(lv)工作(zuo)(zuo),注重(zhong)(zhong)發揮法(fa)律(lv)(lv)(lv)(lv)人(ren)(ren)員的(de)(de)(de)作(zuo)(zuo)用,比如在某些(xie)重(zhong)(zhong)大(da)收購項(xiang)目上,公(gong)(gong)(gong)(gong)(gong)司(si)會(hui)(hui)根據法(fa)律(lv)(lv)(lv)(lv)事(shi)務(wu)(wu)部(bu)的(de)(de)(de)意見(jian)進行調整,避免(mian)了法(fa)律(lv)(lv)(lv)(lv)風(feng)險。總法(fa)律(lv)(lv)(lv)(lv)顧(gu)問作(zuo)(zuo)為主管(guan)法(fa)律(lv)(lv)(lv)(lv)事(shi)務(wu)(wu)的(de)(de)(de)公(gong)(gong)(gong)(gong)(gong)司(si)領導,在公(gong)(gong)(gong)(gong)(gong)司(si)重(zhong)(zhong)大(da)經(jing)(jing)濟活動和(he)法(fa)律(lv)(lv)(lv)(lv)風(feng)險控制(zhi)等(deng)方(fang)面及時指(zhi)導法(fa)律(lv)(lv)(lv)(lv)事(shi)務(wu)(wu)部(bu)開(kai)(kai)展(zhan)工作(zuo)(zuo),解決經(jing)(jing)營(ying)(ying)中面臨的(de)(de)(de)突(tu)出問題(ti)。總法(fa)律(lv)(lv)(lv)(lv)顧(gu)問不僅參(can)與中國(guo)電子(zi)重(zhong)(zhong)要生(sheng)產經(jing)(jing)營(ying)(ying)項(xiang)目的(de)(de)(de)提案蘊釀和(he)執(zhi)行過程的(de)(de)(de)法(fa)律(lv)(lv)(lv)(lv)監督,還(huan)通過參(can)加總經(jing)(jing)理(li)辦(ban)公(gong)(gong)(gong)(gong)(gong)會(hui)(hui)、參(can)與重(zhong)(zhong)大(da)經(jing)(jing)營(ying)(ying)決策和(he)列(lie)席(xi)集團公(gong)(gong)(gong)(gong)(gong)司(si)董事(shi)會(hui)(hui)等(deng)方(fang)式,努力控制(zhi)和(he)化(hua)解經(jing)(jing)營(ying)(ying)中的(de)(de)(de)法(fa)律(lv)(lv)(lv)(lv)風(feng)險。公(gong)(gong)(gong)(gong)(gong)司(si)還(huan)明確(que)規定(ding),法(fa)律(lv)(lv)(lv)(lv)事(shi)務(wu)(wu)部(bu)負責人(ren)(ren)列(lie)席(xi)總經(jing)(jing)理(li)辦(ban)公(gong)(gong)(gong)(gong)(gong)會(hui)(hui),使得(de)法(fa)律(lv)(lv)(lv)(lv)事(shi)務(wu)(wu)部(bu)的(de)(de)(de)意見(jian)能直(zhi)接反映(ying)到公(gong)(gong)(gong)(gong)(gong)司(si)決策層。公(gong)(gong)(gong)(gong)(gong)司(si)領導對法(fa)律(lv)(lv)(lv)(lv)工作(zuo)(zuo)的(de)(de)(de)理(li)解和(he)支持,給法(fa)律(lv)(lv)(lv)(lv)人(ren)(ren)員莫大(da)的(de)(de)(de)鼓舞,這也是(shi)(shi)中國(guo)電子(zi)法(fa)律(lv)(lv)(lv)(lv)工作(zuo)(zuo)得(de)以順(shun)利(li)開(kai)(kai)展(zhan)的(de)(de)(de)關(guan)鍵(jian)。

  (二)落(luo)實制度是保(bao)障(zhang)。企(qi)業(ye)法(fa)(fa)律工(gong)作(zuo)的開(kai)展(zhan),不(bu)僅要靠(kao)領(ling)導重視,更(geng)要靠(kao)制度保(bao)證,使(shi)企(qi)業(ye)法(fa)(fa)律工(gong)作(zuo)不(bu)因(yin)領(ling)導人個人看法(fa)(fa)的改(gai)變而改(gai)變。中國電子注(zhu)重法(fa)(fa)律工(gong)作(zuo)制度建設。這些制度一方面(mian)為企(qi)業(ye)法(fa)(fa)律顧問參與企(qi)業(ye)經(jing)(jing)營和決策(ce)提供了(le)制度化的渠(qu)道(dao),另一方面(mian)也強(qiang)化了(le)經(jing)(jing)營人員的法(fa)(fa)律意識,主動接受法(fa)(fa)律審查已經(jing)(jing)成為他們在(zai)經(jing)(jing)營中的工(gong)作(zuo)習(xi)慣。

  (三)積(ji)(ji)極主(zhu)動(dong)、敬業(ye)(ye)進(jin)取的(de)(de)(de)工(gong)(gong)作(zuo)(zuo)(zuo)態度是(shi)(shi)(shi)前提。企(qi)業(ye)(ye)法(fa)(fa)律工(gong)(gong)作(zuo)(zuo)(zuo)主(zhu)要(yao)(yao)是(shi)(shi)(shi)為有(you)(you)關(guan)業(ye)(ye)務(wu)(wu)部(bu)(bu)門服(fu)務(wu)(wu)的(de)(de)(de),具有(you)(you)從屬(shu)性和(he)被動(dong)性。法(fa)(fa)律事(shi)(shi)務(wu)(wu)部(bu)(bu)通(tong)過積(ji)(ji)極工(gong)(gong)作(zuo)(zuo)(zuo),化被動(dong)為主(zhu)動(dong)。一(yi)旦發現應有(you)(you)法(fa)(fa)律事(shi)(shi)務(wu)(wu)部(bu)(bu)門參與卻沒(mei)有(you)(you)參與的(de)(de)(de)情況,法(fa)(fa)律事(shi)(shi)務(wu)(wu)部(bu)(bu)會(hui)主(zhu)動(dong)與有(you)(you)關(guan)領導和(he)業(ye)(ye)務(wu)(wu)部(bu)(bu)門協商(shang),力(li)爭能夠及時介入(ru)。如果提交(jiao)法(fa)(fa)律事(shi)(shi)務(wu)(wu)部(bu)(bu)門審(shen)查的(de)(de)(de)事(shi)(shi)項中,存在事(shi)(shi)實不(bu)清的(de)(de)(de)情況,法(fa)(fa)律事(shi)(shi)務(wu)(wu)部(bu)(bu)不(bu)是(shi)(shi)(shi)滿足于僅向相關(guan)部(bu)(bu)門提出(chu)問(wen)題(ti),而(er)是(shi)(shi)(shi)主(zhu)動(dong)了解第(di)一(yi)手資料,使(shi)自己的(de)(de)(de)法(fa)(fa)律意見(jian)有(you)(you)堅實的(de)(de)(de)根(gen)據。在審(shen)核過程中,如果發現屬(shu)于經(jing)營(ying)上的(de)(de)(de)問(wen)題(ti),絕不(bu)因為超出(chu)法(fa)(fa)律范圍而(er)置之不(bu)管,而(er)是(shi)(shi)(shi)從公司根(gen)本利益出(chu)發,積(ji)(ji)極提出(chu)合理(li)化建議(yi)。法(fa)(fa)律事(shi)(shi)務(wu)(wu)部(bu)(bu)積(ji)(ji)極的(de)(de)(de)工(gong)(gong)作(zuo)(zuo)(zuo)態度、優質的(de)(de)(de)工(gong)(gong)作(zuo)(zuo)(zuo)對促進(jin)企(qi)業(ye)(ye)法(fa)(fa)律工(gong)(gong)作(zuo)(zuo)(zuo)的(de)(de)(de)全面開展起了重(zhong)要(yao)(yao)作(zuo)(zuo)(zuo)用(yong)。

  (四)樹立服務大(da)局意(yi)識,塑造(zao)(zao)不斷學(xue)習、協同工作(zuo)的(de)(de)(de)文化是基礎。企業法(fa)律要做(zuo)好,決不能僅靠一兩個人,而是要靠團隊的(de)(de)(de)力(li)量。企業法(fa)律工作(zuo)要達到高質量,必須(xu)要提高全體人員(yuan)的(de)(de)(de)素質,中國電子(zi)法(fa)律事(shi)務部(bu)非常(chang)重視培(pei)訓,除了創造(zao)(zao)條件參(can)加(jia)外(wai)部(bu)各項(xiang)專業知識的(de)(de)(de)培(pei)訓外(wai),還經常(chang)組織內部(bu)培(pei)訓。為了發揮每個法(fa)律工作(zuo)人員(yuan)的(de)(de)(de)積極性(xing),中國電子(zi)法(fa)律事(shi)務部(bu)提出“嚴謹、高效、團結(jie)、活潑”的(de)(de)(de)工作(zuo)要求(qiu),通過持續(xu)的(de)(de)(de)細節性(xing)的(de)(de)(de)工作(zuo),將(jiang)這些文化理念貫(guan)穿到每個法(fa)律工作(zuo)人員(yuan)心里(li),使得法(fa)律事(shi)務部(bu)成為一支熱(re)情、高效、敬業、團結(jie)協作(zuo)、能夠打硬仗的(de)(de)(de)團隊。
