經中(zhong)國(guo)中(zhong)鐵(tie)(tie)(tie)股(gu)份有限公(gong)司一屆二(er)十六次董事會審議通過,并于2010年3月8日中(zhong)國(guo)中(zhong)鐵(tie)(tie)(tie)與控股(gu)股(gu)東(dong)中(zhong)國(guo)鐵(tie)(tie)(tie)路工程(cheng)總(zong)公(gong)司(下稱:中(zhong)鐵(tie)(tie)(tie)工)簽署(shu)《產(chan)權轉(zhuan)讓協議》,中(zhong)國(guo)中(zhong)鐵(tie)(tie)(tie)受讓中(zhong)鐵(tie)(tie)(tie)工所(suo)持有的(de)中(zhong)鐵(tie)(tie)(tie)港航工程(cheng)局有限公(gong)司(注冊資本和實收資本均(jun)為(wei)人民幣389940100元)100%的(de)股(gu)權,轉(zhuan)讓價格為(wei)有關(guan)《資產(chan)評估報告》(已備案)確定的(de)目標企業評估凈(jing)資產(chan)人民幣40864.09萬(wan)元。
中(zhong)(zhong)(zhong)(zhong)鐵港(gang)航局的(de)(de)前(qian)身是(shi)成立于(yu)(yu)1952年的(de)(de)廣東(dong)中(zhong)(zhong)(zhong)(zhong)海(hai)工(gong)(gong)(gong)程(cheng)(cheng)建設總(zong)局,原隸屬于(yu)(yu)中(zhong)(zhong)(zhong)(zhong)國(guo)華潤總(zong)公(gong)司(si),2008年11月整體并入中(zhong)(zhong)(zhong)(zhong)國(guo)鐵路工(gong)(gong)(gong)程(cheng)(cheng)總(zong)公(gong)司(si)。中(zhong)(zhong)(zhong)(zhong)鐵港(gang)航局在港(gang)口、碼(ma)頭等水工(gong)(gong)(gong)工(gong)(gong)(gong)程(cheng)(cheng)施(shi)(shi)工(gong)(gong)(gong)方(fang)(fang)面(mian)具(ju)有較強的(de)(de)實(shi)力(li),中(zhong)(zhong)(zhong)(zhong)國(guo)中(zhong)(zhong)(zhong)(zhong)鐵通過收(shou)購(gou)上述資產,能夠提(ti)升在水工(gong)(gong)(gong)工(gong)(gong)(gong)程(cheng)(cheng)等方(fang)(fang)面(mian)的(de)(de)施(shi)(shi)工(gong)(gong)(gong)能力(li),進一(yi)步完善(shan)產業鏈并實(shi)現業務(wu)間的(de)(de)協同效應,真正成為(wei)能夠提(ti)供綜合的(de)(de)“一(yi)站式(shi)”解決方(fang)(fang)案的(de)(de)工(gong)(gong)(gong)程(cheng)(cheng)基建龍頭企業。同時(shi),鑒于(yu)(yu)中(zhong)(zhong)(zhong)(zhong)鐵港(gang)航局為(wei)從(cong)事(shi)(shi)工(gong)(gong)(gong)程(cheng)(cheng)基建的(de)(de)施(shi)(shi)工(gong)(gong)(gong)企業,與中(zhong)(zhong)(zhong)(zhong)國(guo)中(zhong)(zhong)(zhong)(zhong)鐵目(mu)前(qian)從(cong)事(shi)(shi)的(de)(de)主營(ying)業務(wu)屬于(yu)(yu)同類業務(wu),因此,收(shou)購(gou)中(zhong)(zhong)(zhong)(zhong)鐵港(gang)航局股(gu)權可在今后避免中(zhong)(zhong)(zhong)(zhong)國(guo)中(zhong)(zhong)(zhong)(zhong)鐵與控股(gu)股(gu)東(dong)之(zhi)間可能出(chu)現的(de)(de)同業競爭。
