近日,寧夏(xia)國資委(wei)召開自治區(qu)屬(shu)國有(you)企業外部(bu)(bu)(bu)董(dong)(dong)事(shi)聘任會議(yi),向寧夏(xia)農墾集團公司等7戶企業選派12名外部(bu)(bu)(bu)董(dong)(dong)事(shi)。加(jia)上前期選派的(de)17名外部(bu)(bu)(bu)董(dong)(dong)事(shi),至此(ci),自治區(qu)屬(shu)國有(you)企業外部(bu)(bu)(bu)董(dong)(dong)事(shi)基(ji)本選派到位,為進一(yi)步推(tui)進規范董(dong)(dong)事(shi)會建設,完善企業法(fa)人治理(li)結構奠定了重要基(ji)礎。
此次(ci)選派的12名外(wai)部董(dong)(dong)事,是(shi)寧(ning)夏(xia)國資(zi)委在充(chong)分(fen)考慮企業改革發展需要和董(dong)(dong)事會專業結構基礎上,按照“一企一策(ce)”“人(ren)崗(gang)相適”要求,從外(wai)部董(dong)(dong)事人(ren)才(cai)庫中選派的企業管(guan)理、高校、財務(wu)和法律(lv)類(lei)專業人(ren)才(cai),在企業改革、資(zi)本運作、財務(wu)管(guan)理、風險管(guan)控等方(fang)面(mian)具有較深理論功底和豐富實踐經驗。
寧(ning)夏國(guo)資委對(dui)新任(ren)外部(bu)董(dong)事(shi)(shi)提(ti)出(chu)具體要(yao)(yao)求。一(yi)是(shi)要(yao)(yao)立場(chang)堅(jian)定(ding),勤勉履職。外部(bu)董(dong)事(shi)(shi)必須要(yao)(yao)清(qing)楚自(zi)(zi)己(ji)的(de)立場(chang)、觀(guan)點和(he)(he)定(ding)位,要(yao)(yao)忠(zhong)實(shi)代表和(he)(he)維護(hu)出(chu)資人利(li)(li)(li)(li)益,勤勉工(gong)作(zuo)(zuo)。要(yao)(yao)獨立判(pan)斷、獨立思(si)考(kao)、獨立發(fa)(fa)表意見;要(yao)(yao)站(zhan)在(zai)(zai)(zai)企(qi)(qi)業(ye)(ye)(ye)(ye)全局(ju)的(de)高度,把握(wo)大局(ju)、統籌(chou)考(kao)慮(lv),客(ke)觀(guan)地分(fen)析問題,關注(zhu)風險,努(nu)力(li)提(ti)高決(jue)(jue)策(ce)的(de)科學(xue)性和(he)(he)有(you)效(xiao)性。二是(shi)要(yao)(yao)融入(ru)企(qi)(qi)業(ye)(ye)(ye)(ye),用(yong)心(xin)干事(shi)(shi)。要(yao)(yao)把企(qi)(qi)業(ye)(ye)(ye)(ye)真正放在(zai)(zai)(zai)心(xin)上,努(nu)力(li)了解(jie)、掌握(wo)企(qi)(qi)業(ye)(ye)(ye)(ye)運行情況,深入(ru)企(qi)(qi)業(ye)(ye)(ye)(ye)調研,融入(ru)企(qi)(qi)業(ye)(ye)(ye)(ye)發(fa)(fa)展(zhan),踏踏實(shi)實(shi)幫助(zhu)企(qi)(qi)業(ye)(ye)(ye)(ye)解(jie)決(jue)(jue)問題,實(shi)實(shi)在(zai)(zai)(zai)在(zai)(zai)(zai)為(wei)(wei)企(qi)(qi)業(ye)(ye)(ye)(ye)爭取(qu)權益,真真切(qie)切(qie)補充(chong)企(qi)(qi)業(ye)(ye)(ye)(ye)短板(ban),才能贏得企(qi)(qi)業(ye)(ye)(ye)(ye)的(de)尊(zun)重(zhong)(zhong)和(he)(he)信賴(lai)。三(san)是(shi)要(yao)(yao)注(zhu)意方式(shi),勤于溝通(tong)。要(yao)(yao)準確把握(wo)國(guo)企(qi)(qi)特點,注(zhu)意工(gong)作(zuo)(zuo)方式(shi)方法(fa),主動加強與(yu)公(gong)司董(dong)事(shi)(shi)會成(cheng)員(yuan)、經營團隊成(cheng)員(yuan),以(yi)及重(zhong)(zhong)要(yao)(yao)骨(gu)干員(yuan)工(gong)進(jin)(jin)行充(chong)分(fen)有(you)效(xiao)溝通(tong),向(xiang)企(qi)(qi)業(ye)(ye)(ye)(ye)提(ti)出(chu)寶貴的(de)意見建議,形(xing)成(cheng)良(liang)性互動的(de)工(gong)作(zuo)(zuo)氛圍,形(xing)成(cheng)共(gong)同深化國(guo)有(you)企(qi)(qi)業(ye)(ye)(ye)(ye)改革發(fa)(fa)展(zhan)的(de)合力(li)。四是(shi)要(yao)(yao)抓住重(zhong)(zhong)點,審(shen)時度勢(shi)。要(yao)(yao)在(zai)(zai)(zai)促進(jin)(jin)企(qi)(qi)業(ye)(ye)(ye)(ye)提(ti)質(zhi)增效(xiao)、調整結構、轉型升級、落(luo)實(shi)自(zi)(zi)治區(qu)黨委、政府重(zhong)(zhong)大任(ren)務(wu)方面,多(duo)思(si)考(kao)、多(duo)作(zuo)(zuo)為(wei)(wei),在(zai)(zai)(zai)幫助(zhu)企(qi)(qi)業(ye)(ye)(ye)(ye)進(jin)(jin)行決(jue)(jue)策(ce)把關、防范風險的(de)同時,為(wei)(wei)企(qi)(qi)業(ye)(ye)(ye)(ye)突破困境、順利(li)(li)(li)(li)爬坡過坎貢(gong)獻力(li)量,為(wei)(wei)企(qi)(qi)業(ye)(ye)(ye)(ye)轉型發(fa)(fa)展(zhan)創(chuang)新發(fa)(fa)展(zhan)貢(gong)獻智慧。五是(shi)要(yao)(yao)廉潔(jie)自(zi)(zi)律(lv),不謀私利(li)(li)(li)(li)。要(yao)(yao)嚴(yan)格遵(zun)守(shou)國(guo)資委關于外部(bu)董(dong)事(shi)(shi)報酬、福(fu)利(li)(li)(li)(li)待遇的(de)有(you)關規(gui)定(ding),不得利(li)(li)(li)(li)用(yong)職務(wu)之便(bian)謀取(qu)任(ren)何不正當利(li)(li)(li)(li)益或者在(zai)(zai)(zai)任(ren)職公(gong)司獲取(qu)未經出(chu)資人批準的(de)其(qi)他利(li)(li)(li)(li)益。要(yao)(yao)嚴(yan)格按照《自(zi)(zi)治區(qu)屬國(guo)有(you)企(qi)(qi)業(ye)(ye)(ye)(ye)外部(bu)董(dong)事(shi)(shi)管理辦法(fa)》有(you)關規(gui)定(ding),遵(zun)規(gui)守(shou)矩,廉潔(jie)干事(shi)(shi),自(zi)(zi)覺維護(hu)好出(chu)資人和(he)(he)任(ren)職企(qi)(qi)業(ye)(ye)(ye)(ye)利(li)(li)(li)(li)益。
