一是混(hun)(hun)(hun)合(he)所有(you)制(zhi)改(gai)革(ge)有(you)序推進(jin)(jin)(jin)(jin)。廣西加大推進(jin)(jin)(jin)(jin)混(hun)(hun)(hun)合(he)所有(you)制(zhi)改(gai)革(ge)力度,在集(ji)團(tuan)(tuan)層面加快推進(jin)(jin)(jin)(jin)。建工(gong)集(ji)團(tuan)(tuan)擬引進(jin)(jin)(jin)(jin)綠地集(ji)團(tuan)(tuan)作(zuo)為戰略(lve)投(tou)資(zi)者開(kai)展(zhan)混(hun)(hun)(hun)合(he)所有(you)制(zhi)改(gai)革(ge),混(hun)(hun)(hun)改(gai)方案(an)已(yi)報自治區(qu)黨委(wei)(wei)、政府(fu),相關清產核資(zi)、財務審計(ji)、資(zi)產評(ping)估工(gong)作(zuo)隨后展(zhan)開(kai)。柳工(gong)集(ji)團(tuan)(tuan)綜合(he)改(gai)革(ge)方案(an)提出加快集(ji)團(tuan)(tuan)層面混(hun)(hun)(hun)改(gai),企業形(xing)成(cheng)了共(gong)識,相關工(gong)作(zuo)正在有(you)序推進(jin)(jin)(jin)(jin)。榮桂集(ji)團(tuan)(tuan)已(yi)與(yu)相關民營企業進(jin)(jin)(jin)(jin)行(xing)洽(qia)談,初(chu)步達成(cheng)了混(hun)(hun)(hun)改(gai)意向。百礦(kuang)集(ji)團(tuan)(tuan)2019年5月21日與(yu)吉利(li)科(ke)技集(ji)團(tuan)(tuan)簽署(shu)合(he)作(zuo)協(xie)議,吉利(li)控股75%,百礦(kuang)集(ji)團(tuan)(tuan)的股東百色市國資(zi)委(wei)(wei)占25%股份。
二(er)是(shi)激勵(li)約(yue)(yue)束機制(zhi)進一步完善。5戶(hu)“雙百(bai)企業”推動(dong)內部(bu)三項制(zhi)度改(gai)革,基本建(jian)立(li)起管理(li)者能(neng)上能(neng)下、員工能(neng)進能(neng)出、收入能(neng)增能(neng)減(jian)的機制(zhi)。特別(bie)是(shi)堅持以(yi)業績為導向,完善績效考(kao)核和(he)收入分配管理(li),推動(dong)各項激勵(li)措施落到(dao)實處(chu),真正讓想(xiang)干事(shi)(shi)、能(neng)干事(shi)(shi)、會(hui)干事(shi)(shi)、干成事(shi)(shi)的人(ren)有(you)機會(hui)有(you)舞臺,杜絕“吃(chi)大(da)鍋(guo)飯”和(he)平均主義,打通“能(neng)者上、平者讓、庸者下”的渠道(dao)。北部(bu)灣港積(ji)極推行(xing)(xing)國(guo)有(you)控股上市公司股權(quan)激勵(li),結合自(zi)身實際情況和(he)現行(xing)(xing)政策開展股份回購(gou)。百(bai)礦集(ji)團(tuan)實行(xing)(xing)工資與效益聯動(dong)機制(zhi),推行(xing)(xing)全員契約(yue)(yue)化管理(li)及崗(gang)位目標考(kao)核,解決干多干少一個樣的“大(da)鍋(guo)飯”問題,充分調動(dong)干部(bu)職工的積(ji)極性(xing)(xing)、主動(dong)性(xing)(xing)、能(neng)動(dong)性(xing)(xing)。
三是(shi)法(fa)(fa)人治理(li)(li)結構進一(yi)步優化。5戶“雙(shuang)百企業(ye)”依照法(fa)(fa)律(lv)法(fa)(fa)規(gui)和(he)(he)公(gong)司(si)(si)章(zhang)程,規(gui)范黨委(wei)(wei)(wei)(wei)會(hui)(hui)(hui)(hui)(hui)、董(dong)(dong)(dong)事(shi)(shi)會(hui)(hui)(hui)(hui)(hui)、經理(li)(li)層的(de)(de)責(ze)權(quan),強化權(quan)利(li)與責(ze)任對等(deng),保(bao)障有效履(lv)職(zhi)。進一(yi)步完善董(dong)(dong)(dong)事(shi)(shi)會(hui)(hui)(hui)(hui)(hui)結構,增(zeng)派外(wai)部董(dong)(dong)(dong)事(shi)(shi)并(bing)完善了相(xiang)應的(de)(de)專門(men)委(wei)(wei)(wei)(wei)員(yuan)會(hui)(hui)(hui)(hui)(hui)。把加強黨的(de)(de)領導和(he)(he)完善公(gong)司(si)(si)治理(li)(li)統一(yi)起來,把黨委(wei)(wei)(wei)(wei)會(hui)(hui)(hui)(hui)(hui)研(yan)究討論作為董(dong)(dong)(dong)事(shi)(shi)會(hui)(hui)(hui)(hui)(hui)決策的(de)(de)前(qian)置程序,發揮黨委(wei)(wei)(wei)(wei)的(de)(de)領導核心(xin)和(he)(he)政治核心(xin)作用(yong),做到把方向、管(guan)大局(ju)、保(bao)落(luo)實。柳(liu)(liu)工集(ji)團(tuan)(tuan)(tuan)下(xia)屬核心(xin)企業(ye)柳(liu)(liu)工股(gu)份董(dong)(dong)(dong)事(shi)(shi)會(hui)(hui)(hui)(hui)(hui)結構為4+4+3的(de)(de)模(mo)式,即(ji)4名(ming)柳(liu)(liu)工集(ji)團(tuan)(tuan)(tuan)和(he)(he)柳(liu)(liu)工股(gu)份的(de)(de)董(dong)(dong)(dong)事(shi)(shi)、4名(ming)獨立董(dong)(dong)(dong)事(shi)(shi)以及3名(ming)外(wai)部董(dong)(dong)(dong)事(shi)(shi),公(gong)司(si)(si)董(dong)(dong)(dong)事(shi)(shi)會(hui)(hui)(hui)(hui)(hui)的(de)(de)運作市場化、法(fa)(fa)治化,切實保(bao)障了其他股(gu)東(dong)特(te)別是(shi)中小(xiao)股(gu)東(dong)的(de)(de)利(li)益(yi)。榮桂集(ji)團(tuan)(tuan)(tuan)加強董(dong)(dong)(dong)事(shi)(shi)會(hui)(hui)(hui)(hui)(hui)專門(men)委(wei)(wei)(wei)(wei)員(yuan)會(hui)(hui)(hui)(hui)(hui)建設(she),董(dong)(dong)(dong)事(shi)(shi)會(hui)(hui)(hui)(hui)(hui)下(xia)設(she)的(de)(de)戰略(lve)決策委(wei)(wei)(wei)(wei)員(yuan)會(hui)(hui)(hui)(hui)(hui)、風險控制(zhi)(zhi)委(wei)(wei)(wei)(wei)員(yuan)會(hui)(hui)(hui)(hui)(hui)、提(ti)名(ming)與薪酬考核委(wei)(wei)(wei)(wei)員(yuan)會(hui)(hui)(hui)(hui)(hui)、預算(suan)管(guan)理(li)(li)委(wei)(wei)(wei)(wei)員(yuan)會(hui)(hui)(hui)(hui)(hui)、審(shen)計委(wei)(wei)(wei)(wei)員(yuan)會(hui)(hui)(hui)(hui)(hui)等(deng)五個專門(men)委(wei)(wei)(wei)(wei)員(yuan)會(hui)(hui)(hui)(hui)(hui)。監(jian)事(shi)(shi)會(hui)(hui)(hui)(hui)(hui)列席榮桂集(ji)團(tuan)(tuan)(tuan)黨委(wei)(wei)(wei)(wei)會(hui)(hui)(hui)(hui)(hui)、董(dong)(dong)(dong)事(shi)(shi)會(hui)(hui)(hui)(hui)(hui)等(deng)重(zhong)大決策會(hui)(hui)(hui)(hui)(hui)議(yi),并(bing)形成參會(hui)(hui)(hui)(hui)(hui)情況(kuang)報告(gao),對監(jian)事(shi)(shi)會(hui)(hui)(hui)(hui)(hui)會(hui)(hui)(hui)(hui)(hui)議(yi)的(de)(de)召(zhao)開、議(yi)事(shi)(shi)和(he)(he)表(biao)決、會(hui)(hui)(hui)(hui)(hui)議(yi)記錄(lu)實行一(yi)會(hui)(hui)(hui)(hui)(hui)一(yi)報制(zhi)(zhi)度。
四是初步建(jian)立(li)市(shi)場化(hua)經營機(ji)制(zhi)(zhi)。各(ge)(ge)企業(ye)根據自(zi)身發(fa)展(zhan)階段和(he)(he)(he)實(shi)際(ji)情況,以(yi)市(shi)場為導向建(jian)立(li)和(he)(he)(he)完善(shan)各(ge)(ge)項機(ji)制(zhi)(zhi)。柳(liu)工集團推行“人(ren)才(cai)激(ji)勵(li)機(ji)制(zhi)(zhi)”,激(ji)發(fa)關鍵人(ren)才(cai)活力(li),在下(xia)屬(shu)兩(liang)家子企業(ye)成(cheng)功(gong)實(shi)現員(yuan)(yuan)工股(gu)權激(ji)勵(li)方(fang)案(an)(限制(zhi)(zhi)性股(gu)票的激(ji)勵(li)方(fang)案(an)),實(shi)現了(le)廣西區(qu)國有控股(gu)上市(shi)公司員(yuan)(yuan)工股(gu)權激(ji)勵(li)零的突(tu)破(po)。榮桂集團激(ji)發(fa)企業(ye)改革發(fa)展(zhan)的內生活力(li),組織開展(zhan)了(le)中層(ceng)管理(li)人(ren)員(yuan)(yuan)競聘上崗(gang)工作(zuo),形成(cheng)“不看身份(fen)、不看級別(bie)、只看崗(gang)位、只看貢(gong)獻”的氛圍,真(zhen)正(zheng)形成(cheng)“能(neng)者(zhe)(zhe)(zhe)上、平者(zhe)(zhe)(zhe)讓(rang)、庸者(zhe)(zhe)(zhe)下(xia)”的用(yong)人(ren)導向。北部灣港打破(po)身份(fen)差別(bie),建(jian)立(li)健全以(yi)合同管理(li)為核心(xin)、以(yi)崗(gang)位管理(li)為基(ji)礎的用(yong)工制(zhi)(zhi)度(du),形成(cheng)人(ren)員(yuan)(yuan)能(neng)上能(neng)下(xia)、能(neng)進能(neng)出(chu)的制(zhi)(zhi)度(du)化(hua)、規范(fan)化(hua)的員(yuan)(yuan)工退出(chu)渠道(dao)和(he)(he)(he)正(zheng)常流動機(ji)制(zhi)(zhi)。百礦集團全面(mian)推行經理(li)層(ceng)成(cheng)員(yuan)(yuan)任期制(zhi)(zhi)和(he)(he)(he)契約化(hua)管理(li),重(zhong)點規范(fan)各(ge)(ge)類治理(li)主(zhu)體(ti)權責,逐級實(shi)現充分、規范(fan)、有序的授權放(fang)權和(he)(he)(he)行權,全面(mian)提(ti)升國有企業(ye)運(yun)行效率和(he)(he)(he)市(shi)場化(hua)、現代(dai)化(hua)經營水平。
五是歷史遺留問題基本(ben)解決。5戶企業(ye)的辦社會職能(neng)基本(ben)移(yi)(yi)交(jiao)(jiao)屬(shu)(shu)地管理(li)(li),企業(ye)辦學校、醫院(yuan)、市政設(she)施等已移(yi)(yi)交(jiao)(jiao)地方。建工(gong)(gong)(gong)(gong)集(ji)(ji)團“三供(gong)(gong)一(yi)業(ye)”移(yi)(yi)交(jiao)(jiao)地方簽(qian)約率100%,16187戶簽(qian)訂(ding)(ding)了供(gong)(gong)水(shui)移(yi)(yi)交(jiao)(jiao)改造(zao)正(zheng)(zheng)式協(xie)議, 20270戶簽(qian)訂(ding)(ding)了供(gong)(gong)電移(yi)(yi)交(jiao)(jiao)改造(zao)正(zheng)(zheng)式協(xie)議,29579戶的物業(ye)簽(qian)訂(ding)(ding)正(zheng)(zheng)式移(yi)(yi)交(jiao)(jiao)協(xie)議,離退(tui)(tui)休人員(yuan)正(zheng)(zheng)在協(xie)商移(yi)(yi)交(jiao)(jiao)地方管理(li)(li)。柳工(gong)(gong)(gong)(gong)集(ji)(ji)團 “三供(gong)(gong)一(yi)業(ye)”分(fen)(fen)離移(yi)(yi)交(jiao)(jiao)工(gong)(gong)(gong)(gong)作基本(ben)完成(cheng),職工(gong)(gong)(gong)(gong)家屬(shu)(shu)區(qu)供(gong)(gong)水(shui)、供(gong)(gong)電、物業(ye)管理(li)(li)移(yi)(yi)交(jiao)(jiao)的工(gong)(gong)(gong)(gong)作完成(cheng)計劃(hua)進度的100%,涉(she)及(ji)物業(ye)資產無償劃(hua)撥正(zheng)(zheng)在辦理(li)(li)中。桂集(ji)(ji)團完成(cheng)了子公司改制工(gong)(gong)(gong)(gong)作及(ji)“三供(gong)(gong)一(yi)業(ye)”分(fen)(fen)離移(yi)(yi)交(jiao)(jiao)協(xie)議的簽(qian)訂(ding)(ding)工(gong)(gong)(gong)(gong)作,集(ji)(ji)團及(ji)所屬(shu)(shu)企業(ye)所有(you)退(tui)(tui)休人員(yuan)統(tong)一(yi)移(yi)(yi)交(jiao)(jiao)所屬(shu)(shu)社區(qu)實現社會化管理(li)(li)。
六是黨(dang)(dang)(dang)(dang)的建(jian)(jian)設(she)(she)進一步加(jia)強。5戶(hu)“雙百企(qi)(qi)業(ye)”落實黨(dang)(dang)(dang)(dang)委主體(ti)責(ze)(ze)任(ren),抓好(hao)黨(dang)(dang)(dang)(dang)組(zu)(zu)(zu)織建(jian)(jian)設(she)(she),創(chuang)(chuang)新黨(dang)(dang)(dang)(dang)建(jian)(jian)工作(zuo)載體(ti),發揮黨(dang)(dang)(dang)(dang)組(zu)(zu)(zu)織領導(dao)核(he)心(xin)(xin)和(he)政治核(he)心(xin)(xin)作(zuo)用,在企(qi)(qi)業(ye)管理中(zhong)把方向、管大(da)局、作(zuo)決策(ce)、保落實。柳工集團(tuan)(tuan)本(ben)級和(he)9家(jia)下屬全資(zi)或控股子(zi)企(qi)(qi)業(ye)完成了(le)“黨(dang)(dang)(dang)(dang)建(jian)(jian)入(ru)章”的工作(zuo),集團(tuan)(tuan)黨(dang)(dang)(dang)(dang)委與28個基層(ceng)黨(dang)(dang)(dang)(dang)組(zu)(zu)(zu)織簽訂(ding)《全面從(cong)嚴治黨(dang)(dang)(dang)(dang)責(ze)(ze)任(ren)書》,明確各(ge)(ge)基層(ceng)黨(dang)(dang)(dang)(dang)組(zu)(zu)(zu)織、負責(ze)(ze)人(ren)及領導(dao)班(ban)子(zi)在黨(dang)(dang)(dang)(dang)建(jian)(jian)、黨(dang)(dang)(dang)(dang)風廉政建(jian)(jian)設(she)(she)和(he)意識(shi)形態方面的各(ge)(ge)項(xiang)(xiang)工作(zuo)職責(ze)(ze)。榮(rong)桂集團(tuan)(tuan)根據不同業(ye)務板(ban)塊(kuai)將“三會一課” 現場落實到(dao)(dao)倉間、項(xiang)(xiang)目(mu)(mu)(mu)建(jian)(jian)設(she)(she)現場、生產車間,將“先鋒(feng)崗”建(jian)(jian)在糖垛(duo)位上、車間生產線(xian)上、租賃市(shi)場中(zhong)。北(bei)部(bu)(bu)灣港以創(chuang)(chuang)建(jian)(jian)“北(bei)港藍(lan)映黨(dang)(dang)(dang)(dang)旗紅(hong)”黨(dang)(dang)(dang)(dang)建(jian)(jian)品(pin)牌和(he)“樹流動(dong)(dong)紅(hong)旗黨(dang)(dang)(dang)(dang)支(zhi)部(bu)(bu)、評黨(dang)(dang)(dang)(dang)員先鋒(feng)”等活動(dong)(dong)為載體(ti),做到(dao)(dao)任(ren)務項(xiang)(xiang)目(mu)(mu)(mu)化、項(xiang)(xiang)目(mu)(mu)(mu)責(ze)(ze)任(ren)化、責(ze)(ze)任(ren)目(mu)(mu)(mu)標(biao)化。建(jian)(jian)工集團(tuan)(tuan)開展“支(zhi)部(bu)(bu)建(jian)(jian)在項(xiang)(xiang)目(mu)(mu)(mu)上·黨(dang)(dang)(dang)(dang)旗飄在工地上”主題(ti)活動(dong)(dong)和(he)“黨(dang)(dang)(dang)(dang)建(jian)(jian)品(pin)牌創(chuang)(chuang)建(jian)(jian)年”“組(zu)(zu)(zu)織力提升年”品(pin)牌創(chuang)(chuang)建(jian)(jian)活動(dong)(dong)。百礦集團(tuan)(tuan)推進企(qi)(qi)業(ye)黨(dang)(dang)(dang)(dang)建(jian)(jian)工作(zuo)融入(ru)決策(ce)、融入(ru)監督、融入(ru)制度,確保企(qi)(qi)業(ye)戰線(xian)延伸(shen)到(dao)(dao)哪(na)里(li),企(qi)(qi)業(ye)黨(dang)(dang)(dang)(dang)組(zu)(zu)(zu)織陣地就建(jian)(jian)設(she)(she)到(dao)(dao)哪(na)里(li)。
