近日,泰安市寧陽縣制定出臺《寧陽縣縣屬國有企業負責人年薪管理暫行辦法》。辦法的出臺,對于探索建立有效的激勵和約束機制,履行出資人職責,維護所有者權益,落實國有資產保值增值責任具有重要作用。
《辦法》規定,企業負責人薪酬管理應遵循堅持利益與責任、風險相一致,薪酬與業績相掛鉤的原則;堅持效率優先、兼顧公平的原則;堅持激勵與約束相統一,短期激勵與長期激勵相結合的原則;堅持物質激勵與精神激勵相結合的原則。
《辦法》明確,企業負責人的年薪由基本年薪和績效年薪構成。縣國資局按照規定程序對企業負責人進行考核,經縣政府同意后,依據考核結果核定企業負責人的年薪并下發正式文件。企業負責人年薪最高不能超過本企業職工平均收入的20倍。未經縣國資局同意,企業負責人不得在企業領取除年薪外的其他工資或福利性收入。企業負責人在所屬子企業兼職的,不得在子企業領取薪酬。企業當年職工平均收入水平不增長的,企業負責人當年的績效年薪不得增長;企業負責人當年年薪的增長幅度不得高于企業當年利潤增長率的增長幅度。
《辦(ban)法》要(yao)求(qiu),企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)當年(nian)(nian)發(fa)生虛報(bao)瞞(man)報(bao)財務狀況(kuang)的(de)(de)(de)、重(zhong)(zhong)大決策(ce)失(shi)(shi)誤或重(zhong)(zhong)大安(an)全事(shi)故等(deng)造(zao)成不(bu)良(liang)影響的(de)(de)(de)、重(zhong)(zhong)大投資擔保(bao)事(shi)項(xiang)未按規定申(shen)報(bao)造(zao)成重(zhong)(zhong)大損失(shi)(shi)的(de)(de)(de),縣(xian)國(guo)資局(ju)根(gen)據實(shi)(shi)際情況(kuang)從上繳的(de)(de)(de)風險(xian)金(jin)(jin)中(zhong)分(fen)別予(yu)以(yi)企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)負(fu)責人(ren)(ren)相應的(de)(de)(de)扣減(jian)(jian),風險(xian)金(jin)(jin)不(bu)足以(yi)扣減(jian)(jian)的(de)(de)(de),在(zai)(zai)當年(nian)(nian)的(de)(de)(de)年(nian)(nian)薪(xin)(xin)(xin)(xin)中(zhong)扣減(jian)(jian)。實(shi)(shi)行年(nian)(nian)薪(xin)(xin)(xin)(xin)制(zhi)的(de)(de)(de)企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye),考核(he)年(nian)(nian)度(du)內出(chu)現(xian)欠(qian)繳職工(gong)(gong)社會保(bao)險(xian)及拖欠(qian)工(gong)(gong)資的(de)(de)(de),分(fen)別按年(nian)(nian)薪(xin)(xin)(xin)(xin)總(zong)收(shou)入(ru)的(de)(de)(de)不(bu)同比(bi)例扣減(jian)(jian);虧損企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)以(yi)及當年(nian)(nian)拖欠(qian)職工(gong)(gong)工(gong)(gong)資或社會保(bao)險(xian)費6個(ge)月(yue)以(yi)上的(de)(de)(de),企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)負(fu)責人(ren)(ren)不(bu)得實(shi)(shi)行年(nian)(nian)薪(xin)(xin)(xin)(xin)制(zhi),其年(nian)(nian)收(shou)入(ru)不(bu)得超過職工(gong)(gong)平均收(shou)入(ru)的(de)(de)(de)2倍,股東(dong)不(bu)能分(fen)紅;當年(nian)(nian)未完(wan)成國(guo)有資產(chan)收(shou)益任(ren)務的(de)(de)(de),按未完(wan)成比(bi)例扣繳企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)負(fu)責人(ren)(ren)績(ji)效(xiao)年(nian)(nian)薪(xin)(xin)(xin)(xin)。縣(xian)國(guo)資局(ju)建立企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)負(fu)責人(ren)(ren)年(nian)(nian)薪(xin)(xin)(xin)(xin)風險(xian)金(jin)(jin)管理(li)制(zhi)度(du),根(gen)據企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)負(fu)責人(ren)(ren)年(nian)(nian)薪(xin)(xin)(xin)(xin)總(zong)額(e)確定其績(ji)效(xiao)年(nian)(nian)薪(xin)(xin)(xin)(xin)的(de)(de)(de)比(bi)例數(shu)額(e)作(zuo)為風險(xian)金(jin)(jin)予(yu)以(yi)收(shou)取。企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)應將企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)負(fu)責人(ren)(ren)年(nian)(nian)薪(xin)(xin)(xin)(xin)情況(kuang)及實(shi)(shi)施結果在(zai)(zai)企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)內進行公布(bu),接受職工(gong)(gong)的(de)(de)(de)民(min)主監督。縣(xian)國(guo)資局(ju)建立企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)負(fu)責人(ren)(ren)年(nian)(nian)薪(xin)(xin)(xin)(xin)發(fa)放情況(kuang)專項(xiang)檢查(cha)制(zhi)度(du),對(dui)超過核(he)定標(biao)準發(fa)放企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)負(fu)責人(ren)(ren)收(shou)入(ru)的(de)(de)(de),責令企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)收(shou)回超標(biao)準發(fa)放的(de)(de)(de)部(bu)分(fen),并對(dui)企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)、企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)負(fu)責人(ren)(ren)以(yi)及有關責任(ren)人(ren)(ren)給予(yu)通(tong)報(bao)批評;情節嚴(yan)重(zhong)(zhong)的(de)(de)(de),酌情扣減(jian)(jian)企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)負(fu)責人(ren)(ren)的(de)(de)(de)年(nian)(nian)薪(xin)(xin)(xin)(xin)。
