山西省印發《山西省人民(min)政(zheng)府關于深化國資國企改(gai)革(ge)的實施意(yi)見》,全文如(ru)下:
為貫(guan)徹落實(shi)黨(dang)的十八大、十八屆三中(zhong)全(quan)會精(jing)神,進(jin)一步深化國(guo)資(zi)國(guo)企(qi)改革,根據省委《關于深入(ru)貫(guan)徹黨(dang)的十八屆三中(zhong)全(quan)會精(jing)神加快推進(jin)轉型綜改試驗(yan)區(qu)建(jian)設的若干意(yi)見》(晉發〔2014〕3號),提(ti)出(chu)以下實(shi)施意(yi)見。
一、指導思想和(he)總(zong)體要求
(一)指導思想。
堅持(chi)以鄧小(xiao)平理(li)論、“三個代表”重要(yao)思想(xiang)和科(ke)學發(fa)展觀為(wei)指導,深入貫徹落實(shi)(shi)黨的十八大、十八屆三中全(quan)會(hui)精神,堅持(chi)基本經(jing)濟(ji)(ji)制度,堅持(chi)市場化改革方向,堅持(chi)政企分開、政資分開、所(suo)有(you)權(quan)(quan)與經(jing)營權(quan)(quan)相分離原(yuan)則,解放(fang)思想(xiang),擴大開放(fang),完善(shan)國(guo)有(you)資產管理(li)體(ti)制,推動國(guo)有(you)企業完善(shan)現(xian)代企業制度,進(jin)一步做強(qiang)做大國(guo)有(you)企業,增強(qiang)國(guo)有(you)經(jing)濟(ji)(ji)活(huo)力、控制力和影響力,積極發(fa)展混合所(suo)有(you)制經(jing)濟(ji)(ji),促(cu)進(jin)國(guo)有(you)經(jing)濟(ji)(ji)與其他(ta)所(suo)有(you)制經(jing)濟(ji)(ji)共同發(fa)展,為(wei)推動轉型綜改試驗區(qu)建設、實(shi)(shi)現(xian)山西全(quan)面建成(cheng)小(xiao)康社會(hui)目標(biao)作出積極貢獻。
(二)總體(ti)要求。
公有(you)(you)制實現(xian)形(xing)式(shi)進一(yi)步(bu)豐富。全面(mian)完成國(guo)有(you)(you)企(qi)(qi)業(ye)公司(si)制改(gai)革(ge),深化股份制改(gai)革(ge),具備條件的國(guo)有(you)(you)企(qi)(qi)業(ye)實現(xian)整(zheng)體(ti)上(shang)市或(huo)核心業(ye)務(wu)資產上(shang)市,提高國(guo)有(you)(you)資本證(zheng)券化水平。積極發(fa)展混合所有(you)(you)制經濟,引入非公有(you)(you)制經濟參(can)與國(guo)有(you)(you)企(qi)(qi)業(ye)改(gai)制重組,實現(xian)投資主體(ti)多元化。
現代(dai)企業(ye)制度(du)進一步完(wan)善(shan)。加強(qiang)產權代(dai)表(biao)管理(li),健(jian)全協調運轉、有(you)效制衡的(de)(de)公司(si)法(fa)人治理(li)結構。探索(suo)建(jian)立(li)職業(ye)經理(li)人制度(du)。建(jian)立(li)更加適應(ying)市場經濟的(de)(de)企業(ye)人事、勞動和分配制度(du),完(wan)善(shan)激(ji)勵(li)和約(yue)束(shu)機(ji)制。建(jian)立(li)完(wan)善(shan)國有(you)企業(ye)信(xin)息公開制度(du)。積極(ji)履行社(she)會責任,樹立(li)良(liang)好的(de)(de)企業(ye)形象(xiang)。
國有(you)資(zi)(zi)產管(guan)理(li)體制(zhi)進(jin)一步健全(quan)。以管(guan)資(zi)(zi)本為主(zhu)加強(qiang)國有(you)資(zi)(zi)產監(jian)(jian)(jian)管(guan)。推進(jin)經營性(xing)國有(you)資(zi)(zi)產集中統(tong)一監(jian)(jian)(jian)管(guan)。建立分(fen)類加強(qiang)監(jian)(jian)(jian)管(guan)、分(fen)類調整結(jie)構、分(fen)類實(shi)施(shi)考核的(de)制(zhi)度體系并逐步組(zu)織實(shi)施(shi)。將優化國有(you)資(zi)(zi)本配置和創新監(jian)(jian)(jian)管(guan)方式、完善(shan)監(jian)(jian)(jian)管(guan)體系相結(jie)合,提高監(jian)(jian)(jian)管(guan)的(de)科學(xue)性(xing)和有(you)效性(xing)。
二、主(zhu)要內容和重點任(ren)務(wu)
(三)深化(hua)產(chan)權改革,激發體制(zhi)機(ji)制(zhi)活力。進一(yi)步(bu)鞏(gong)固(gu)完善國有企(qi)業(ye)股(gu)權多元(yuan)化(hua)改革工作,按照總(zong)體設計、適時啟動(dong)、試點(dian)先行的工作原(yuan)則,推進國有企(qi)業(ye)股(gu)權多元(yuan)化(hua)改革,優化(hua)國有企(qi)業(ye)股(gu)權結構。積極(ji)創造條件推動(dong)國有企(qi)業(ye)特別是(shi)競(jing)爭性領域企(qi)業(ye)整體上市或核心業(ye)務資產(chan)上市。
(四)吸收(shou)多種(zhong)資本(ben),發展混合所(suo)有(you)(you)(you)(you)制(zhi)企業(ye)。鼓勵各類投資主(zhu)體(ti)通過多種(zhong)形式參(can)與國(guo)有(you)(you)(you)(you)企業(ye)改制(zhi)重組或國(guo)有(you)(you)(you)(you)控(kong)股(gu)(gu)(gu)上市(shi)公司增發股(gu)(gu)(gu)票。除(chu)國(guo)家規定(ding)的(de)領域(yu)外,國(guo)有(you)(you)(you)(you)企業(ye)資本(ben)投資項目可(ke)吸收(shou)一定(ding)比例(li)非國(guo)有(you)(you)(you)(you)股(gu)(gu)(gu)份,國(guo)有(you)(you)(you)(you)企業(ye)在(zai)競爭性領域(yu)新(xin)上項目允許非國(guo)有(you)(you)(you)(you)資本(ben)控(kong)股(gu)(gu)(gu)。積極引入股(gu)(gu)(gu)權(quan)投資基(ji)金參(can)與國(guo)有(you)(you)(you)(you)企業(ye)改制(zhi)上市(shi)、重組整合,構建開放(fang)型經濟體(ti)系。探(tan)索(suo)混合所(suo)有(you)(you)(you)(you)制(zhi)企業(ye)員工持股(gu)(gu)(gu)。
(五)完(wan)善法人(ren)治理(li)(li)結(jie)構,實(shi)現權力(li)有(you)效制(zhi)(zhi)(zhi)衡(heng)。建(jian)立(li)(li)健(jian)(jian)全股(gu)(gu)東(大(da))會(hui)(hui)(hui)、董(dong)(dong)(dong)事會(hui)(hui)(hui)、監(jian)事會(hui)(hui)(hui)、經(jing)理(li)(li)層(ceng)相(xiang)互(hu)獨立(li)(li)、各司其職(zhi)的責任(ren)制(zhi)(zhi)(zhi)體系,形(xing)成協調運(yun)轉、有(you)效制(zhi)(zhi)(zhi)衡(heng)的決策、執行(xing)、監(jian)督機(ji)(ji)制(zhi)(zhi)(zhi)。全面加強出資人(ren)對(dui)(dui)產權代表的委派與管(guan)(guan)理(li)(li)。積(ji)極(ji)推進國(guo)(guo)有(you)獨資公(gong)(gong)司、國(guo)(guo)有(you)控股(gu)(gu)公(gong)(gong)司規(gui)(gui)范董(dong)(dong)(dong)事會(hui)(hui)(hui)建(jian)設,探索建(jian)立(li)(li)外(wai)部董(dong)(dong)(dong)事制(zhi)(zhi)(zhi)度,董(dong)(dong)(dong)事會(hui)(hui)(hui)成員(yuan)(yuan)主(zhu)要(yao)以股(gu)(gu)東董(dong)(dong)(dong)事、外(wai)部董(dong)(dong)(dong)事和(he)職(zhi)工(gong)董(dong)(dong)(dong)事構成。加強董(dong)(dong)(dong)事會(hui)(hui)(hui)和(he)董(dong)(dong)(dong)事的任(ren)期考(kao)核(he)評價(jia)工(gong)作(zuo)(zuo)。對(dui)(dui)董(dong)(dong)(dong)事會(hui)(hui)(hui)運(yun)作(zuo)(zuo)規(gui)(gui)范、制(zhi)(zhi)(zhi)度健(jian)(jian)全、權責明確等條件具備的企業,逐(zhu)步(bu)將經(jing)理(li)(li)層(ceng)選聘(pin)、考(kao)核(he)評價(jia)、薪(xin)酬管(guan)(guan)理(li)(li)等權力(li)交(jiao)由(you)董(dong)(dong)(dong)事會(hui)(hui)(hui)負責管(guan)(guan)理(li)(li)。深化對(dui)(dui)經(jing)理(li)(li)層(ceng)選任(ren)及(ji)管(guan)(guan)理(li)(li)機(ji)(ji)制(zhi)(zhi)(zhi)改革,合理(li)(li)增加市場化選聘(pin)比例,形(xing)成經(jing)理(li)(li)層(ceng)產生以市場化選聘(pin)為(wei)主(zhu)導和(he)任(ren)期制(zhi)(zhi)(zhi)契約化管(guan)(guan)理(li)(li)的運(yun)行(xing)機(ji)(ji)制(zhi)(zhi)(zhi),逐(zhu)步(bu)推行(xing)職(zhi)業經(jing)理(li)(li)人(ren)制(zhi)(zhi)(zhi)度。根據企業規(gui)(gui)模大(da)小、行(xing)業類別和(he)實(shi)際情(qing)況,合理(li)(li)確定并從嚴掌握企業領導班子職(zhi)數。健(jian)(jian)全對(dui)(dui)董(dong)(dong)(dong)事會(hui)(hui)(hui)、經(jing)理(li)(li)層(ceng)等機(ji)(ji)構及(ji)相(xiang)關人(ren)員(yuan)(yuan)的責任(ren)追究機(ji)(ji)制(zhi)(zhi)(zhi)。充(chong)分發揮監(jian)事會(hui)(hui)(hui)的監(jian)督作(zuo)(zuo)用。
(六(liu))深化(hua)(hua)企(qi)(qi)業(ye)(ye)內部改(gai)革,完善激勵(li)(li)約束機制(zhi)(zhi)。進一步深化(hua)(hua)國(guo)有企(qi)(qi)業(ye)(ye)內部管理(li)人(ren)員能上能下、員工能進能出(chu)、收入能增能減的制(zhi)(zhi)度(du)(du)改(gai)革。切實(shi)(shi)簡政放(fang)權(quan),優化(hua)(hua)政務(wu)環境,落(luo)實(shi)(shi)企(qi)(qi)業(ye)(ye)自定編制(zhi)(zhi)、自主用工、自主分配(pei)(pei)等(deng)權(quan)利。合理(li)確定并嚴格規范管理(li)人(ren)員薪(xin)酬(chou)(chou)水平、職務(wu)待遇(yu)、職務(wu)消費、業(ye)(ye)務(wu)消費。根據(ju)國(guo)有企(qi)(qi)業(ye)(ye)功能定位、法人(ren)治(zhi)理(li)結構完善程度(du)(du)以及領(ling)(ling)導人(ren)員選(xuan)任(ren)(ren)方式等(deng),進一步改(gai)革完善國(guo)有企(qi)(qi)業(ye)(ye)領(ling)(ling)導人(ren)員薪(xin)酬(chou)(chou)分配(pei)(pei)制(zhi)(zhi)度(du)(du),探索授權(quan)董事會通過市場化(hua)(hua)機制(zhi)(zhi)確定經(jing)理(li)層薪(xin)酬(chou)(chou),使企(qi)(qi)業(ye)(ye)經(jing)營管理(li)人(ren)員薪(xin)酬(chou)(chou)與經(jing)營管理(li)績(ji)效、風險(xian)和責任(ren)(ren)緊密(mi)結合,與分類(lei)管理(li)相(xiang)適(shi)應,與選(xuan)任(ren)(ren)方式相(xiang)匹配(pei)(pei),體(ti)現管理(li)要素參與收益分配(pei)(pei)。積極(ji)推(tui)進企(qi)(qi)業(ye)(ye)管理(li)人(ren)員任(ren)(ren)期及中(zhong)長期激勵(li)(li)。進一步完善企(qi)(qi)業(ye)(ye)職工工資集(ji)體(ti)協商機制(zhi)(zhi)。
(七)加(jia)強(qiang)管(guan)理(li)創(chuang)新(xin),提(ti)高(gao)經濟運(yun)行質(zhi)量。利用(yong)市場(chang)倒逼(bi)機(ji)制,深化對標管(guan)理(li),借(jie)鑒世(shi)界一流企(qi)業的(de)管(guan)理(li)經驗(yan),完善安全生產、科研開發、項目(mu)建設等方(fang)面(mian)的(de)基礎管(guan)理(li)制度,構(gou)建適應市場(chang)經濟發展(zhan)(zhan)要求(qiu)的(de)管(guan)理(li)創(chuang)新(xin)動力(li)機(ji)制、運(yun)行機(ji)制、考核(he)評價機(ji)制和(he)成果轉(zhuan)化機(ji)制,提(ti)升(sheng)企(qi)業規范化、集約化、精(jing)細化管(guan)理(li)水平。創(chuang)新(xin)商業模式,發揮信息化在管(guan)理(li)模式創(chuang)新(xin)和(he)業態轉(zhuan)型(xing)中的(de)重要作用(yong),提(ti)高(gao)資源配(pei)置能力(li),推進產業升(sheng)級,轉(zhuan)變發展(zhan)(zhan)方(fang)式,增強(qiang)企(qi)業核(he)心競(jing)爭(zheng)力(li)和(he)抗風(feng)險能力(li)。
(八)推行信息(xi)公(gong)開(kai),提升(sheng)國(guo)企(qi)透明程度。建(jian)立更加公(gong)開(kai)透明的國(guo)有企(qi)業(ye)(ye)信息(xi)公(gong)開(kai)制度,借(jie)鑒上市公(gong)司管理模式,建(jian)立企(qi)業(ye)(ye)真(zhen)實(shi)、準確、及時披露相關信息(xi)的制度體系。各(ge)國(guo)有企(qi)業(ye)(ye)是(shi)信息(xi)公(gong)開(kai)的主體,公(gong)開(kai)的主要(yao)內(nei)容是(shi)企(qi)業(ye)(ye)財(cai)務(wu)狀況、經營成果、重(zhong)(zhong)大(da)投資(zi)、人員招聘、薪酬水平(ping)、職務(wu)消費、業(ye)(ye)務(wu)消費等重(zhong)(zhong)大(da)事項(xiang),在同級主要(yao)新聞媒體按季度、半(ban)年(nian)度和(he)年(nian)度公(gong)開(kai),主動接受社(she)會公(gong)眾監督。
(九(jiu))加(jia)強黨(dang)(dang)的領導,發(fa)揮(hui)(hui)政(zheng)治(zhi)核心作用(yong)。發(fa)揮(hui)(hui)黨(dang)(dang)組織(zhi)在(zai)(zai)深化企業(ye)改(gai)革中(zhong)的把關(guan)定向、動(dong)員群(qun)(qun)眾、服務群(qun)(qun)眾、促(cu)進和(he)(he)諧等方(fang)面的作用(yong),確保(bao)各項改(gai)革措(cuo)施的平穩推(tui)進。按(an)照(zhao)參與(yu)(yu)決策、帶頭執行、有(you)效(xiao)監(jian)督的要求,建立健(jian)全企業(ye)黨(dang)(dang)組織(zhi)在(zai)(zai)現(xian)代(dai)企業(ye)制(zhi)度(du)(du)下充分(fen)發(fa)揮(hui)(hui)政(zheng)治(zhi)核心作用(yong)的體制(zhi)機制(zhi)。堅持把黨(dang)(dang)管(guan)(guan)干部原則與(yu)(yu)董(dong)事會(hui)依法(fa)選擇(ze)經營(ying)管(guan)(guan)理(li)者(zhe)以及經營(ying)管(guan)(guan)理(li)者(zhe)依法(fa)行使(shi)用(yong)人權(quan)(quan)相(xiang)結合,探索黨(dang)(dang)組織(zhi)在(zai)(zai)企業(ye)選人用(yong)人中(zhong)發(fa)揮(hui)(hui)作用(yong)的有(you)效(xiao)途徑。充分(fen)發(fa)揮(hui)(hui)工會(hui)、共青團等群(qun)(qun)團組織(zhi)的作用(yong),完善(shan)職工代(dai)表大會(hui)等職工民主管(guan)(guan)理(li)制(zhi)度(du)(du)。落實(shi)黨(dang)(dang)風廉政(zheng)建設責任制(zhi),加(jia)強國有(you)企業(ye)反腐(fu)(fu)敗(bai)體制(zhi)機制(zhi)創新,健(jian)全反腐(fu)(fu)倡廉和(he)(he)改(gai)進作風常(chang)態化制(zhi)度(du)(du),完善(shan)懲治(zhi)和(he)(he)預防腐(fu)(fu)敗(bai)體系,形(xing)成(cheng)與(yu)(yu)企業(ye)制(zhi)度(du)(du)相(xiang)適應的權(quan)(quan)力運行制(zhi)約和(he)(he)監(jian)督體系。
(十)研(yan)究界定(ding)(ding)功能,探索(suo)國(guo)(guo)企(qi)分類監管(guan)。突(tu)出(chu)企(qi)業(ye)市場屬性,兼顧股(gu)權結構、產業(ye)特(te)征、發展階段(duan)不(bu)同(tong),探索(suo)國(guo)(guo)有(you)企(qi)業(ye)根據不(bu)同(tong)功能定(ding)(ding)位,實行分類監管(guan),推動國(guo)(guo)有(you)企(qi)業(ye)實現(xian)經濟效益(yi)和社(she)會效益(yi)的有(you)機統一、均衡發展。
(十一)成立(li)投資(zi)(zi)(運(yun)營)公(gong)司(si),提(ti)升資(zi)(zi)本(ben)(ben)運(yun)營效率。以管資(zi)(zi)本(ben)(ben)為主(zhu)(zhu)加強(qiang)國(guo)(guo)有(you)資(zi)(zi)產(chan)監管,形成具有(you)不(bu)同功能的國(guo)(guo)有(you)資(zi)(zi)本(ben)(ben)投資(zi)(zi)運(yun)營主(zhu)(zhu)體。選(xuan)擇主(zhu)(zhu)業明(ming)確、治理(li)結(jie)構較(jiao)為完善、科技創新能力(li)和(he)核心(xin)競爭(zheng)力(li)較(jiao)強(qiang)、風險管控機制健全的企業有(you)序(xu)改組為國(guo)(guo)有(you)資(zi)(zi)本(ben)(ben)投資(zi)(zi)公(gong)司(si),強(qiang)化產(chan)業聚集和(he)資(zi)(zi)源整合。以經(jing)營國(guo)(guo)有(you)資(zi)(zi)本(ben)(ben)為主(zhu)(zhu)要功能,有(you)序(xu)組建國(guo)(guo)有(you)資(zi)(zi)本(ben)(ben)運(yun)營公(gong)司(si)。推進國(guo)(guo)有(you)資(zi)(zi)本(ben)(ben)在一般競爭(zheng)性領(ling)域的合理(li)流動與有(you)序(xu)進退,提(ti)高國(guo)(guo)有(you)資(zi)(zi)本(ben)(ben)配(pei)置效率。
(十二)優化國資監(jian)(jian)(jian)(jian)管(guan)方式(shi),健全國資監(jian)(jian)(jian)(jian)督體系(xi)。將國資監(jian)(jian)(jian)(jian)管(guan)要求具(ju)體體現在公司(si)(si)章程(cheng)(cheng)中,使公司(si)(si)章程(cheng)(cheng)真(zhen)正成為在法律法規規范(fan)下行(xing)使出資人權利的(de)(de)重要手段和基本依據。完善經營(ying)業績考(kao)核(he)體系(xi),探索不同(tong)(tong)類(lei)別、不同(tong)(tong)行(xing)業、不同(tong)(tong)性質(zhi)企(qi)業的(de)(de)考(kao)核(he)模式(shi),提高(gao)考(kao)核(he)工作的(de)(de)導向性和針對性。加強財會、審計、紀檢(jian)監(jian)(jian)(jian)(jian)察、監(jian)(jian)(jian)(jian)事會監(jian)(jian)(jian)(jian)督的(de)(de)有效協同(tong)(tong),形成監(jian)(jian)(jian)(jian)督合力。
(十三)推動統一監(jian)(jian)(jian)管(guan),實現監(jian)(jian)(jian)管(guan)全面覆(fu)(fu)蓋(gai)(gai)。適(shi)時推進山西省企(qi)(qi)業(ye)(ye)國(guo)有(you)(you)資(zi)(zi)產監(jian)(jian)(jian)督管(guan)理條例的制(zhi)訂(ding)出臺,健全國(guo)有(you)(you)資(zi)(zi)產監(jian)(jian)(jian)管(guan)法(fa)規體系(xi),完(wan)善國(guo)有(you)(you)資(zi)(zi)產基(ji)礎管(guan)理制(zhi)度。充(chong)分發(fa)揮各級國(guo)資(zi)(zi)委的專業(ye)(ye)化監(jian)(jian)(jian)管(guan)優勢,推動經營性(xing)國(guo)有(you)(you)資(zi)(zi)產集中統一監(jian)(jian)(jian)管(guan),繼續(xu)深化脫(tuo)鉤改革工作,建(jian)立我省經營性(xing)國(guo)有(you)(you)資(zi)(zi)產監(jian)(jian)(jian)管(guan)全覆(fu)(fu)蓋(gai)(gai)體系(xi)。政(zheng)企(qi)(qi)脫(tuo)鉤后的企(qi)(qi)業(ye)(ye)、事業(ye)(ye)單(dan)位改革轉制(zhi)形成的企(qi)(qi)業(ye)(ye)、以(yi)及新組建(jian)的國(guo)有(you)(you)企(qi)(qi)業(ye)(ye)要逐步納入國(guo)資(zi)(zi)監(jian)(jian)(jian)管(guan)體系(xi)。
(十四)加強指導監督,完(wan)(wan)善國(guo)(guo)資(zi)委(wei)機(ji)(ji)構(gou)和(he)職(zhi)能。按照《中(zhong)華(hua)人民共和(he)國(guo)(guo)企(qi)業(ye)國(guo)(guo)有(you)(you)資(zi)產法》、《企(qi)業(ye)國(guo)(guo)有(you)(you)資(zi)產監督管(guan)(guan)理暫行(xing)條(tiao)例(li)》的(de)規(gui)定(ding),健全完(wan)(wan)善省、市(shi)國(guo)(guo)有(you)(you)資(zi)產監管(guan)(guan)機(ji)(ji)構(gou),依(yi)法明確(que)其作為本級政府國(guo)(guo)有(you)(you)資(zi)產出(chu)(chu)資(zi)人代表(biao)的(de)定(ding)位和(he)直屬特設機(ji)(ji)構(gou)的(de)性(xing)(xing)質(zhi)。明確(que)市(shi)、縣級國(guo)(guo)有(you)(you)資(zi)產監管(guan)(guan)責任主體(ti)。指導各市(shi)、縣準確(que)把握國(guo)(guo)資(zi)國(guo)(guo)企(qi)改(gai)(gai)革(ge)的(de)部(bu)署要求,進一步突出(chu)(chu)機(ji)(ji)構(gou)的(de)專(zhuan)業(ye)性(xing)(xing)和(he)獨立性(xing)(xing)。改(gai)(gai)革(ge)完(wan)(wan)善國(guo)(guo)有(you)(you)資(zi)本授權經營體(ti)制(zhi)。
(十五(wu))加強資(zi)(zi)本(ben)(ben)(ben)(ben)預(yu)算管(guan)理,探索收(shou)益(yi)(yi)共(gong)享(xiang)機制。完(wan)善(shan)國(guo)有(you)(you)資(zi)(zi)本(ben)(ben)(ben)(ben)經營(ying)預(yu)算制度,逐步提高國(guo)有(you)(you)資(zi)(zi)本(ben)(ben)(ben)(ben)收(shou)益(yi)(yi)上繳比例,合(he)理分配和(he)使用(yong)國(guo)有(you)(you)資(zi)(zi)本(ben)(ben)(ben)(ben)收(shou)益(yi)(yi),統籌(chou)考慮國(guo)有(you)(you)資(zi)(zi)本(ben)(ben)(ben)(ben)收(shou)益(yi)(yi)再投資(zi)(zi)和(he)民生(sheng)關系。進(jin)一(yi)(yi)步發揮(hui)國(guo)有(you)(you)資(zi)(zi)本(ben)(ben)(ben)(ben)經營(ying)預(yu)算在推進(jin)改革發展、布局結構調整、科技進(jin)步和(he)轉(zhuan)型(xing)升級中的引(yin)領作用(yong)。建立和(he)完(wan)善(shan)國(guo)有(you)(you)資(zi)(zi)本(ben)(ben)(ben)(ben)收(shou)益(yi)(yi)的共(gong)享(xiang)機制,在國(guo)有(you)(you)資(zi)(zi)本(ben)(ben)(ben)(ben)收(shou)益(yi)(yi)中確定(ding)一(yi)(yi)定(ding)比例直(zhi)接用(yong)于(yu)民生(sheng)支出。
(十六)持續深化(hua)改革(ge),完(wan)善(shan)國資(zi)監管(guan)(guan)體系。推動國有(you)重(zhong)要骨干(gan)企(qi)業進行(xing)股份制改造(zao),發展(zhan)(zhan)混合所有(you)制經濟,推行(xing)資(zi)源資(zi)產(chan)化(hua)、資(zi)產(chan)資(zi)本(ben)化(hua)、資(zi)本(ben)證(zheng)券化(hua)改革(ge)工作。到(dao)2020年(nian),建立完(wan)善(shan)科(ke)學的(de)現代企(qi)業制度,培(pei)育(yu)真正的(de)市場競爭主(zhu)體。形(xing)成覆蓋全面、監管(guan)(guan)到(dao)位(wei)、權(quan)責明確、科(ke)學發展(zhan)(zhan)的(de)國有(you)資(zi)產(chan)監管(guan)(guan)格局。
三、保障措施
(十七)成(cheng)立工作(zuo)機構,加強組織(zhi)領(ling)(ling)(ling)導(dao)。成(cheng)立山(shan)西省(sheng)(sheng)(sheng)深化省(sheng)(sheng)(sheng)屬(shu)國(guo)(guo)有(you)(you)企(qi)(qi)(qi)(qi)業改(gai)(gai)革(ge)(ge)工作(zuo)領(ling)(ling)(ling)導(dao)小(xiao)組(以下簡稱領(ling)(ling)(ling)導(dao)小(xiao)組),組長(chang)由(you)省(sheng)(sheng)(sheng)長(chang)擔任(ren),副組長(chang)由(you)常(chang)務副省(sheng)(sheng)(sheng)長(chang)、分(fen)管工業的(de)副省(sheng)(sheng)(sheng)長(chang)擔任(ren),領(ling)(ling)(ling)導(dao)小(xiao)組成(cheng)員(yuan)由(you)省(sheng)(sheng)(sheng)政(zheng)府辦(ban)(ban)公廳(ting)、省(sheng)(sheng)(sheng)委組織(zhi)部、省(sheng)(sheng)(sheng)編辦(ban)(ban)、省(sheng)(sheng)(sheng)發展改(gai)(gai)革(ge)(ge)委、省(sheng)(sheng)(sheng)經信(xin)委、省(sheng)(sheng)(sheng)財(cai)政(zheng)廳(ting)、省(sheng)(sheng)(sheng)人(ren)力資(zi)(zi)源社(she)會(hui)保障廳(ting)、省(sheng)(sheng)(sheng)國(guo)(guo)土資(zi)(zi)源廳(ting)、省(sheng)(sheng)(sheng)國(guo)(guo)資(zi)(zi)委、省(sheng)(sheng)(sheng)國(guo)(guo)稅局(ju)、省(sheng)(sheng)(sheng)地稅局(ju)、省(sheng)(sheng)(sheng)工商局(ju)、省(sheng)(sheng)(sheng)總工會(hui)等相關(guan)部門(men)主(zhu)要負責(ze)人(ren)組成(cheng)。領(ling)(ling)(ling)導(dao)小(xiao)組辦(ban)(ban)公室設在省(sheng)(sheng)(sheng)國(guo)(guo)資(zi)(zi)委,省(sheng)(sheng)(sheng)國(guo)(guo)資(zi)(zi)委主(zhu)任(ren)兼(jian)任(ren)辦(ban)(ban)公室主(zhu)任(ren)。領(ling)(ling)(ling)導(dao)小(xiao)組統一(yi)組織(zhi)領(ling)(ling)(ling)導(dao)省(sheng)(sheng)(sheng)屬(shu)國(guo)(guo)有(you)(you)企(qi)(qi)(qi)(qi)業改(gai)(gai)革(ge)(ge)工作(zuo),負責(ze)協調(diao)解決省(sheng)(sheng)(sheng)屬(shu)國(guo)(guo)有(you)(you)企(qi)(qi)(qi)(qi)業改(gai)(gai)革(ge)(ge)中的(de)重大問題,制定政(zheng)策(ce)措施。領(ling)(ling)(ling)導(dao)小(xiao)組辦(ban)(ban)公室負責(ze)省(sheng)(sheng)(sheng)屬(shu)國(guo)(guo)有(you)(you)企(qi)(qi)(qi)(qi)業改(gai)(gai)革(ge)(ge)的(de)日常(chang)工作(zuo),及(ji)時研究改(gai)(gai)革(ge)(ge)中存在的(de)問題,指導(dao)、審定和批復省(sheng)(sheng)(sheng)屬(shu)國(guo)(guo)有(you)(you)企(qi)(qi)(qi)(qi)業改(gai)(gai)革(ge)(ge)方(fang)案(an),協調(diao)相關(guan)部門(men)落實(shi)改(gai)(gai)革(ge)(ge)措施。各成(cheng)員(yuan)單位要高度重視,加強配合,密切(qie)協作(zuo),把支持深化國(guo)(guo)有(you)(you)企(qi)(qi)(qi)(qi)業改(gai)(gai)革(ge)(ge)列入(ru)重要議事日程(cheng),切(qie)實(shi)推動省(sheng)(sheng)(sheng)屬(shu)國(guo)(guo)有(you)(you)企(qi)(qi)(qi)(qi)業的(de)改(gai)(gai)革(ge)(ge)。
(十(shi)八(ba))優(you)化(hua)政(zheng)(zheng)(zheng)策(ce)環(huan)境,形成國(guo)企改(gai)革(ge)合(he)力。切實轉變(bian)政(zheng)(zheng)(zheng)府(fu)職能,最大(da)限度(du)減少行政(zheng)(zheng)(zheng)審批,優(you)化(hua)制度(du)、簡化(hua)手(shou)續、提高效(xiao)率(lv)。梳理(li)完善國(guo)有(you)企業改(gai)革(ge)涉及的工商登(deng)記、財稅管理(li)、土地變(bian)更、勞動保(bao)障、國(guo)資(zi)監管、證券監管等方面(mian)的政(zheng)(zheng)(zheng)策(ce)規定(ding),優(you)化(hua)政(zheng)(zheng)(zheng)策(ce)環(huan)境。各(ge)級(ji)政(zheng)(zheng)(zheng)府(fu)及有(you)關部門要加快政(zheng)(zheng)(zheng)府(fu)職能轉變(bian),建設服務型(xing)政(zheng)(zheng)(zheng)府(fu),以綜改(gai)試(shi)驗的理(li)念(nian),提供(gong)優(you)惠政(zheng)(zheng)(zheng)策(ce),解(jie)決企業實際(ji)困(kun)難,以政(zheng)(zheng)(zheng)策(ce)動力激發發展(zhan)(zhan)活(huo)力,為(wei)國(guo)有(you)企業改(gai)革(ge)發展(zhan)(zhan)創造良(liang)好(hao)環(huan)境。
(十九)制定政策措施,盡快解決遺留問題。依法合規、用好用活國有企業改革專項資金,研究制定有關政策措施,多渠道籌措資金,加大國有資本經營預算用于解決國有企業歷史遺留問題的力度。注重政策銜接,研究解決職工關心的實際問題,妥善安置轉崗職工,做好職工技能培訓和再就業工作,確保企業和社會穩定。
