山西省印發關于深化國資國企改革的實施意見

    山西(xi)省印(yin)發《山西(xi)省人民政府(fu)關于深化國(guo)資國(guo)企改革(ge)的實施意見》,全(quan)文如下(xia):

  為(wei)貫(guan)徹落實(shi)黨的十(shi)八(ba)大、十(shi)八(ba)屆(jie)三(san)中(zhong)全(quan)會(hui)(hui)精神,進一步(bu)深化國資國企改(gai)革,根據省委《關于深入(ru)貫(guan)徹黨的十(shi)八(ba)屆(jie)三(san)中(zhong)全(quan)會(hui)(hui)精神加快推進轉(zhuan)型綜(zong)改(gai)試(shi)驗區建設的若干意見》(晉(jin)發(fa)〔2014〕3號),提出(chu)以下實(shi)施意見。

  一、指導思想和總體要求

  (一(yi))指導(dao)思(si)想。

  堅持(chi)以鄧小平理論、“三個代表”重要思(si)想(xiang)和科學發展(zhan)觀(guan)為(wei)指導,深入(ru)貫徹(che)落(luo)實黨的十八(ba)大(da)、十八(ba)屆三中全會精(jing)神,堅持(chi)基(ji)本經濟制(zhi)度,堅持(chi)市場化改(gai)革方向,堅持(chi)政企(qi)分開、政資(zi)(zi)分開、所(suo)有(you)權與經營權相分離原則,解放(fang)思(si)想(xiang),擴大(da)開放(fang),完善國有(you)資(zi)(zi)產管理體制(zhi),推動國有(you)企(qi)業完善現代企(qi)業制(zhi)度,進一步做強(qiang)做大(da)國有(you)企(qi)業,增強(qiang)國有(you)經濟活力(li)、控制(zhi)力(li)和影(ying)響力(li),積極(ji)發展(zhan)混合所(suo)有(you)制(zhi)經濟,促(cu)進國有(you)經濟與其他所(suo)有(you)制(zhi)經濟共(gong)同(tong)發展(zhan),為(wei)推動轉(zhuan)型綜改(gai)試驗區建(jian)(jian)設、實現山(shan)西全面建(jian)(jian)成(cheng)小康(kang)社會目標作出(chu)積極(ji)貢獻。

  (二)總體要求。

  公(gong)有(you)(you)制實(shi)現(xian)形式進一(yi)步豐富(fu)。全面(mian)完成國有(you)(you)企業(ye)(ye)公(gong)司(si)制改革(ge),深(shen)化(hua)(hua)(hua)股(gu)份制改革(ge),具備條(tiao)件的國有(you)(you)企業(ye)(ye)實(shi)現(xian)整(zheng)體上市或核心業(ye)(ye)務資產上市,提高國有(you)(you)資本證(zheng)券化(hua)(hua)(hua)水(shui)平。積(ji)極發(fa)展混合所有(you)(you)制經濟(ji),引入(ru)非公(gong)有(you)(you)制經濟(ji)參與國有(you)(you)企業(ye)(ye)改制重組,實(shi)現(xian)投資主(zhu)體多元化(hua)(hua)(hua)。

  現(xian)代企(qi)業制度(du)進一步完(wan)善(shan)。加(jia)強產權代表管(guan)理,健(jian)全協調運轉(zhuan)、有效(xiao)制衡的(de)公(gong)司法人治理結構。探索建(jian)(jian)立(li)職業經理人制度(du)。建(jian)(jian)立(li)更加(jia)適應(ying)市場經濟的(de)企(qi)業人事、勞動和分配制度(du),完(wan)善(shan)激(ji)勵(li)和約束機制。建(jian)(jian)立(li)完(wan)善(shan)國有企(qi)業信息公(gong)開制度(du)。積(ji)極(ji)履(lv)行社會責(ze)任(ren),樹立(li)良(liang)好的(de)企(qi)業形象。

  國(guo)有(you)資產管(guan)(guan)理(li)體(ti)制進(jin)一(yi)步健(jian)全(quan)。以管(guan)(guan)資本為主加(jia)強國(guo)有(you)資產監(jian)管(guan)(guan)。推(tui)進(jin)經(jing)營性國(guo)有(you)資產集中統一(yi)監(jian)管(guan)(guan)。建立分類(lei)加(jia)強監(jian)管(guan)(guan)、分類(lei)調整結構、分類(lei)實(shi)施考核(he)的制度體(ti)系并逐步組織實(shi)施。將優化(hua)國(guo)有(you)資本配置(zhi)和創(chuang)新監(jian)管(guan)(guan)方式、完善監(jian)管(guan)(guan)體(ti)系相結合,提高監(jian)管(guan)(guan)的科(ke)學性和有(you)效性。

  二、主要(yao)內容和重(zhong)點任務

  (三)深(shen)化產權改(gai)革(ge)(ge),激(ji)發體制機制活力。進(jin)一步鞏固(gu)完善(shan)國(guo)有(you)企業股權多(duo)(duo)元化改(gai)革(ge)(ge)工作,按照總(zong)體設(she)計、適時啟動、試點先行的工作原則,推進(jin)國(guo)有(you)企業股權多(duo)(duo)元化改(gai)革(ge)(ge),優化國(guo)有(you)企業股權結構。積極創造條件(jian)推動國(guo)有(you)企業特(te)別(bie)是競爭性(xing)領域企業整(zheng)體上(shang)市或核心(xin)業務(wu)資(zi)產上(shang)市。

  (四(si))吸收(shou)多種資本,發展混合(he)所有(you)(you)(you)(you)制(zhi)企(qi)(qi)(qi)業。鼓勵各類投(tou)資主體通過多種形式參與國(guo)有(you)(you)(you)(you)企(qi)(qi)(qi)業改制(zhi)重(zhong)組(zu)或國(guo)有(you)(you)(you)(you)控(kong)股(gu)(gu)上(shang)市公司增發股(gu)(gu)票(piao)。除國(guo)家規定的領域外,國(guo)有(you)(you)(you)(you)企(qi)(qi)(qi)業資本投(tou)資項目可(ke)吸收(shou)一定比例(li)非國(guo)有(you)(you)(you)(you)股(gu)(gu)份,國(guo)有(you)(you)(you)(you)企(qi)(qi)(qi)業在(zai)競爭性領域新上(shang)項目允許非國(guo)有(you)(you)(you)(you)資本控(kong)股(gu)(gu)。積極(ji)引(yin)入股(gu)(gu)權投(tou)資基金參與國(guo)有(you)(you)(you)(you)企(qi)(qi)(qi)業改制(zhi)上(shang)市、重(zhong)組(zu)整(zheng)合(he),構建開放型經濟體系。探(tan)索(suo)混合(he)所有(you)(you)(you)(you)制(zhi)企(qi)(qi)(qi)業員工持股(gu)(gu)。

  (五(wu))完善法人治(zhi)理(li)(li)(li)結(jie)構(gou),實現權(quan)力有(you)效制(zhi)(zhi)(zhi)(zhi)衡。建立(li)(li)健(jian)(jian)全(quan)股(gu)東(dong)(大(da))會(hui)(hui)、董(dong)(dong)(dong)事(shi)會(hui)(hui)、監(jian)事(shi)會(hui)(hui)、經理(li)(li)(li)層(ceng)相互獨(du)立(li)(li)、各司(si)其職的(de)(de)責任(ren)(ren)制(zhi)(zhi)(zhi)(zhi)體系,形(xing)成協調運轉、有(you)效制(zhi)(zhi)(zhi)(zhi)衡的(de)(de)決策、執行(xing)、監(jian)督(du)機(ji)制(zhi)(zhi)(zhi)(zhi)。全(quan)面加強(qiang)出資人對(dui)(dui)(dui)產(chan)權(quan)代(dai)表的(de)(de)委派與(yu)管(guan)(guan)理(li)(li)(li)。積極推(tui)進國有(you)獨(du)資公(gong)司(si)、國有(you)控股(gu)公(gong)司(si)規(gui)范(fan)董(dong)(dong)(dong)事(shi)會(hui)(hui)建設,探索建立(li)(li)外(wai)部董(dong)(dong)(dong)事(shi)制(zhi)(zhi)(zhi)(zhi)度(du),董(dong)(dong)(dong)事(shi)會(hui)(hui)成員(yuan)主(zhu)要以股(gu)東(dong)董(dong)(dong)(dong)事(shi)、外(wai)部董(dong)(dong)(dong)事(shi)和職工(gong)董(dong)(dong)(dong)事(shi)構(gou)成。加強(qiang)董(dong)(dong)(dong)事(shi)會(hui)(hui)和董(dong)(dong)(dong)事(shi)的(de)(de)任(ren)(ren)期考(kao)(kao)核評價(jia)工(gong)作。對(dui)(dui)(dui)董(dong)(dong)(dong)事(shi)會(hui)(hui)運作規(gui)范(fan)、制(zhi)(zhi)(zhi)(zhi)度(du)健(jian)(jian)全(quan)、權(quan)責明確等(deng)條件具備的(de)(de)企業,逐步將(jiang)經理(li)(li)(li)層(ceng)選(xuan)(xuan)聘、考(kao)(kao)核評價(jia)、薪酬管(guan)(guan)理(li)(li)(li)等(deng)權(quan)力交由董(dong)(dong)(dong)事(shi)會(hui)(hui)負責管(guan)(guan)理(li)(li)(li)。深化(hua)對(dui)(dui)(dui)經理(li)(li)(li)層(ceng)選(xuan)(xuan)任(ren)(ren)及管(guan)(guan)理(li)(li)(li)機(ji)制(zhi)(zhi)(zhi)(zhi)改革,合理(li)(li)(li)增加市場化(hua)選(xuan)(xuan)聘比例,形(xing)成經理(li)(li)(li)層(ceng)產(chan)生(sheng)以市場化(hua)選(xuan)(xuan)聘為主(zhu)導和任(ren)(ren)期制(zhi)(zhi)(zhi)(zhi)契約化(hua)管(guan)(guan)理(li)(li)(li)的(de)(de)運行(xing)機(ji)制(zhi)(zhi)(zhi)(zhi),逐步推(tui)行(xing)職業經理(li)(li)(li)人制(zhi)(zhi)(zhi)(zhi)度(du)。根(gen)據企業規(gui)模大(da)小、行(xing)業類別和實際情況(kuang),合理(li)(li)(li)確定并從嚴(yan)掌(zhang)握企業領導班子職數。健(jian)(jian)全(quan)對(dui)(dui)(dui)董(dong)(dong)(dong)事(shi)會(hui)(hui)、經理(li)(li)(li)層(ceng)等(deng)機(ji)構(gou)及相關人員(yuan)的(de)(de)責任(ren)(ren)追究機(ji)制(zhi)(zhi)(zhi)(zhi)。充分發揮監(jian)事(shi)會(hui)(hui)的(de)(de)監(jian)督(du)作用。

  (六)深(shen)化企(qi)(qi)(qi)業內部改革(ge)(ge),完(wan)善(shan)激(ji)勵(li)約束(shu)機(ji)制(zhi)。進一步(bu)深(shen)化國(guo)有企(qi)(qi)(qi)業內部管理(li)(li)(li)人(ren)員(yuan)(yuan)(yuan)能(neng)(neng)(neng)上能(neng)(neng)(neng)下(xia)、員(yuan)(yuan)(yuan)工能(neng)(neng)(neng)進能(neng)(neng)(neng)出、收(shou)入能(neng)(neng)(neng)增能(neng)(neng)(neng)減的制(zhi)度(du)改革(ge)(ge)。切實(shi)簡政(zheng)放權(quan),優化政(zheng)務(wu)環境(jing),落實(shi)企(qi)(qi)(qi)業自定(ding)編(bian)制(zhi)、自主用工、自主分配等(deng)權(quan)利。合理(li)(li)(li)確(que)定(ding)并(bing)嚴格規范(fan)管理(li)(li)(li)人(ren)員(yuan)(yuan)(yuan)薪酬水(shui)平、職務(wu)待遇、職務(wu)消費(fei)、業務(wu)消費(fei)。根(gen)據國(guo)有企(qi)(qi)(qi)業功能(neng)(neng)(neng)定(ding)位、法(fa)人(ren)治理(li)(li)(li)結(jie)構完(wan)善(shan)程度(du)以(yi)及(ji)領導(dao)人(ren)員(yuan)(yuan)(yuan)選(xuan)任方式(shi)等(deng),進一步(bu)改革(ge)(ge)完(wan)善(shan)國(guo)有企(qi)(qi)(qi)業領導(dao)人(ren)員(yuan)(yuan)(yuan)薪酬分配制(zhi)度(du),探索授權(quan)董事會通過(guo)市場化機(ji)制(zhi)確(que)定(ding)經(jing)理(li)(li)(li)層薪酬,使企(qi)(qi)(qi)業經(jing)營管理(li)(li)(li)人(ren)員(yuan)(yuan)(yuan)薪酬與(yu)經(jing)營管理(li)(li)(li)績效、風險和責任緊密(mi)結(jie)合,與(yu)分類管理(li)(li)(li)相適應(ying),與(yu)選(xuan)任方式(shi)相匹配,體(ti)(ti)現管理(li)(li)(li)要素參(can)與(yu)收(shou)益分配。積極推進企(qi)(qi)(qi)業管理(li)(li)(li)人(ren)員(yuan)(yuan)(yuan)任期及(ji)中長(chang)期激(ji)勵(li)。進一步(bu)完(wan)善(shan)企(qi)(qi)(qi)業職工工資集體(ti)(ti)協商(shang)機(ji)制(zhi)。

  (七(qi))加(jia)強(qiang)管(guan)(guan)(guan)理(li)(li)創新(xin),提高(gao)經(jing)(jing)濟(ji)運行質量(liang)。利用市(shi)場倒逼機制(zhi)(zhi),深化(hua)(hua)對標管(guan)(guan)(guan)理(li)(li),借鑒世界一流(liu)企(qi)業(ye)(ye)的(de)管(guan)(guan)(guan)理(li)(li)經(jing)(jing)驗,完(wan)善安全(quan)生產(chan)、科研開(kai)發、項目建(jian)設等方面(mian)的(de)基礎(chu)管(guan)(guan)(guan)理(li)(li)制(zhi)(zhi)度,構建(jian)適應市(shi)場經(jing)(jing)濟(ji)發展要求(qiu)的(de)管(guan)(guan)(guan)理(li)(li)創新(xin)動(dong)力機制(zhi)(zhi)、運行機制(zhi)(zhi)、考核評價(jia)機制(zhi)(zhi)和成果(guo)轉(zhuan)(zhuan)化(hua)(hua)機制(zhi)(zhi),提升企(qi)業(ye)(ye)規范(fan)化(hua)(hua)、集約化(hua)(hua)、精細化(hua)(hua)管(guan)(guan)(guan)理(li)(li)水平。創新(xin)商業(ye)(ye)模式,發揮信息化(hua)(hua)在管(guan)(guan)(guan)理(li)(li)模式創新(xin)和業(ye)(ye)態轉(zhuan)(zhuan)型(xing)中的(de)重要作用,提高(gao)資源配(pei)置能力,推進產(chan)業(ye)(ye)升級,轉(zhuan)(zhuan)變發展方式,增(zeng)強(qiang)企(qi)業(ye)(ye)核心競爭力和抗風險能力。

  (八)推(tui)行信息(xi)公(gong)開,提升(sheng)國企(qi)(qi)透(tou)(tou)明程度(du)。建(jian)立(li)更加(jia)公(gong)開透(tou)(tou)明的國有企(qi)(qi)業信息(xi)公(gong)開制度(du),借鑒上(shang)市公(gong)司管理模式(shi),建(jian)立(li)企(qi)(qi)業真實(shi)、準確、及時披(pi)露相關信息(xi)的制度(du)體系。各國有企(qi)(qi)業是信息(xi)公(gong)開的主體,公(gong)開的主要(yao)內(nei)容是企(qi)(qi)業財務(wu)狀(zhuang)況、經營(ying)成果、重大投資、人員招聘、薪酬(chou)水平(ping)、職務(wu)消(xiao)費(fei)、業務(wu)消(xiao)費(fei)等重大事項,在同級主要(yao)新聞媒體按季度(du)、半年度(du)和年度(du)公(gong)開,主動接(jie)受(shou)社會公(gong)眾監督。

  (九(jiu))加強黨(dang)的(de)(de)(de)(de)領(ling)導,發(fa)揮(hui)(hui)政治核心(xin)作用(yong)。發(fa)揮(hui)(hui)黨(dang)組(zu)(zu)織在深(shen)化企(qi)(qi)業(ye)(ye)改革中的(de)(de)(de)(de)把關定向、動員群(qun)眾、服務群(qun)眾、促進和(he)(he)諧(xie)等(deng)方(fang)面的(de)(de)(de)(de)作用(yong),確保各項改革措施的(de)(de)(de)(de)平穩推進。按照參與決策、帶頭執行、有效監督的(de)(de)(de)(de)要求,建(jian)立健全(quan)企(qi)(qi)業(ye)(ye)黨(dang)組(zu)(zu)織在現代(dai)企(qi)(qi)業(ye)(ye)制(zhi)(zhi)度下充分發(fa)揮(hui)(hui)政治核心(xin)作用(yong)的(de)(de)(de)(de)體制(zhi)(zhi)機(ji)制(zhi)(zhi)。堅持(chi)把黨(dang)管(guan)干(gan)部原則與董事會依法選擇(ze)經營管(guan)理(li)者以(yi)及(ji)經營管(guan)理(li)者依法行使用(yong)人(ren)權(quan)相結(jie)合,探索(suo)黨(dang)組(zu)(zu)織在企(qi)(qi)業(ye)(ye)選人(ren)用(yong)人(ren)中發(fa)揮(hui)(hui)作用(yong)的(de)(de)(de)(de)有效途徑(jing)。充分發(fa)揮(hui)(hui)工(gong)會、共青團(tuan)等(deng)群(qun)團(tuan)組(zu)(zu)織的(de)(de)(de)(de)作用(yong),完善(shan)職(zhi)工(gong)代(dai)表大會等(deng)職(zhi)工(gong)民主管(guan)理(li)制(zhi)(zhi)度。落(luo)實黨(dang)風廉政建(jian)設責任(ren)制(zhi)(zhi),加強國有企(qi)(qi)業(ye)(ye)反腐(fu)敗(bai)(bai)體制(zhi)(zhi)機(ji)制(zhi)(zhi)創(chuang)新,健全(quan)反腐(fu)倡(chang)廉和(he)(he)改進作風常態(tai)化制(zhi)(zhi)度,完善(shan)懲治和(he)(he)預防腐(fu)敗(bai)(bai)體系,形成與企(qi)(qi)業(ye)(ye)制(zhi)(zhi)度相適應(ying)的(de)(de)(de)(de)權(quan)力運行制(zhi)(zhi)約和(he)(he)監督體系。

  (十)研究界定功能(neng),探(tan)索(suo)國企(qi)分(fen)類監管(guan)。突出企(qi)業(ye)市(shi)場屬性(xing),兼顧股權結構、產業(ye)特征、發(fa)展(zhan)階段不同,探(tan)索(suo)國有(you)(you)(you)企(qi)業(ye)根據不同功能(neng)定位,實(shi)行(xing)分(fen)類監管(guan),推動國有(you)(you)(you)企(qi)業(ye)實(shi)現經濟效益和社會效益的有(you)(you)(you)機統一、均衡發(fa)展(zhan)。

  (十(shi)一(yi))成立(li)投(tou)資(zi)(zi)(zi)(運(yun)營(ying))公(gong)司(si)(si)(si),提(ti)升(sheng)資(zi)(zi)(zi)本(ben)運(yun)營(ying)效(xiao)率(lv)。以管資(zi)(zi)(zi)本(ben)為(wei)主(zhu)加強國(guo)有(you)(you)(you)(you)(you)(you)資(zi)(zi)(zi)產監(jian)管,形(xing)成具有(you)(you)(you)(you)(you)(you)不同功能的國(guo)有(you)(you)(you)(you)(you)(you)資(zi)(zi)(zi)本(ben)投(tou)資(zi)(zi)(zi)運(yun)營(ying)主(zhu)體。選擇主(zhu)業明確(que)、治(zhi)理結構較(jiao)(jiao)為(wei)完善、科技(ji)創新能力(li)和核心競(jing)爭力(li)較(jiao)(jiao)強、風險管控機制健全的企業有(you)(you)(you)(you)(you)(you)序(xu)改組為(wei)國(guo)有(you)(you)(you)(you)(you)(you)資(zi)(zi)(zi)本(ben)投(tou)資(zi)(zi)(zi)公(gong)司(si)(si)(si),強化產業聚集(ji)和資(zi)(zi)(zi)源整合。以經營(ying)國(guo)有(you)(you)(you)(you)(you)(you)資(zi)(zi)(zi)本(ben)為(wei)主(zhu)要功能,有(you)(you)(you)(you)(you)(you)序(xu)組建國(guo)有(you)(you)(you)(you)(you)(you)資(zi)(zi)(zi)本(ben)運(yun)營(ying)公(gong)司(si)(si)(si)。推進國(guo)有(you)(you)(you)(you)(you)(you)資(zi)(zi)(zi)本(ben)在(zai)一(yi)般(ban)競(jing)爭性領(ling)域(yu)的合理流動與有(you)(you)(you)(you)(you)(you)序(xu)進退(tui),提(ti)高國(guo)有(you)(you)(you)(you)(you)(you)資(zi)(zi)(zi)本(ben)配置效(xiao)率(lv)。

  (十二)優(you)化國資(zi)(zi)監管方式,健全國資(zi)(zi)監督(du)體(ti)(ti)系(xi)。將國資(zi)(zi)監管要求具體(ti)(ti)體(ti)(ti)現在公司(si)章(zhang)程(cheng)(cheng)中(zhong),使公司(si)章(zhang)程(cheng)(cheng)真正成為在法(fa)律法(fa)規規范下(xia)行(xing)使出資(zi)(zi)人權利(li)的(de)重(zhong)要手段和基本依據。完善經營業績(ji)考核(he)(he)體(ti)(ti)系(xi),探索不(bu)同類別、不(bu)同行(xing)業、不(bu)同性質企(qi)業的(de)考核(he)(he)模(mo)式,提高(gao)考核(he)(he)工作的(de)導向(xiang)性和針對性。加強財會、審(shen)計(ji)、紀檢監察、監事會監督(du)的(de)有(you)效協同,形成監督(du)合力。

  (十三)推動統(tong)一監(jian)(jian)管(guan)(guan),實現監(jian)(jian)管(guan)(guan)全(quan)面覆(fu)蓋。適時(shi)推進山西省企業國(guo)(guo)有(you)(you)資(zi)(zi)產(chan)(chan)(chan)(chan)監(jian)(jian)督管(guan)(guan)理(li)條例的(de)(de)制訂出臺,健全(quan)國(guo)(guo)有(you)(you)資(zi)(zi)產(chan)(chan)(chan)(chan)監(jian)(jian)管(guan)(guan)法規體(ti)系(xi),完善國(guo)(guo)有(you)(you)資(zi)(zi)產(chan)(chan)(chan)(chan)基礎(chu)管(guan)(guan)理(li)制度。充分發揮各級國(guo)(guo)資(zi)(zi)委的(de)(de)專業化監(jian)(jian)管(guan)(guan)優(you)勢,推動經(jing)營性國(guo)(guo)有(you)(you)資(zi)(zi)產(chan)(chan)(chan)(chan)集中統(tong)一監(jian)(jian)管(guan)(guan),繼續(xu)深化脫鉤(gou)改(gai)革工作,建(jian)立我省經(jing)營性國(guo)(guo)有(you)(you)資(zi)(zi)產(chan)(chan)(chan)(chan)監(jian)(jian)管(guan)(guan)全(quan)覆(fu)蓋體(ti)系(xi)。政企脫鉤(gou)后的(de)(de)企業、事業單位改(gai)革轉制形成的(de)(de)企業、以及新組建(jian)的(de)(de)國(guo)(guo)有(you)(you)企業要逐步納入國(guo)(guo)資(zi)(zi)監(jian)(jian)管(guan)(guan)體(ti)系(xi)。

  (十四)加強指導(dao)監(jian)督,完(wan)善國(guo)(guo)資(zi)(zi)委機(ji)(ji)構(gou)和職(zhi)能。按照《中華人民(min)共和國(guo)(guo)企(qi)業國(guo)(guo)有資(zi)(zi)產(chan)(chan)法(fa)》、《企(qi)業國(guo)(guo)有資(zi)(zi)產(chan)(chan)監(jian)督管理(li)暫行條例》的規定(ding),健全完(wan)善省(sheng)、市(shi)(shi)國(guo)(guo)有資(zi)(zi)產(chan)(chan)監(jian)管機(ji)(ji)構(gou),依(yi)法(fa)明(ming)(ming)確(que)其(qi)作為本級政府國(guo)(guo)有資(zi)(zi)產(chan)(chan)出資(zi)(zi)人代表的定(ding)位和直(zhi)屬特設機(ji)(ji)構(gou)的性(xing)(xing)質(zhi)。明(ming)(ming)確(que)市(shi)(shi)、縣級國(guo)(guo)有資(zi)(zi)產(chan)(chan)監(jian)管責任主體。指導(dao)各市(shi)(shi)、縣準確(que)把握國(guo)(guo)資(zi)(zi)國(guo)(guo)企(qi)改革(ge)(ge)的部署要求,進一步突出機(ji)(ji)構(gou)的專業性(xing)(xing)和獨(du)立性(xing)(xing)。改革(ge)(ge)完(wan)善國(guo)(guo)有資(zi)(zi)本授權經營體制。

  (十(shi)五)加強資(zi)本預算管理(li),探索(suo)收(shou)(shou)(shou)(shou)益共(gong)享(xiang)(xiang)機制(zhi)。完(wan)善(shan)國(guo)(guo)(guo)有(you)(you)資(zi)本經(jing)營預算制(zhi)度,逐步(bu)提(ti)高國(guo)(guo)(guo)有(you)(you)資(zi)本收(shou)(shou)(shou)(shou)益上繳比例,合理(li)分配和(he)使用(yong)國(guo)(guo)(guo)有(you)(you)資(zi)本收(shou)(shou)(shou)(shou)益,統籌考慮國(guo)(guo)(guo)有(you)(you)資(zi)本收(shou)(shou)(shou)(shou)益再投資(zi)和(he)民(min)生關系。進(jin)一步(bu)發揮國(guo)(guo)(guo)有(you)(you)資(zi)本經(jing)營預算在(zai)推(tui)進(jin)改革發展、布(bu)局結構調整、科技進(jin)步(bu)和(he)轉型(xing)升(sheng)級中的(de)引領作用(yong)。建立和(he)完(wan)善(shan)國(guo)(guo)(guo)有(you)(you)資(zi)本收(shou)(shou)(shou)(shou)益的(de)共(gong)享(xiang)(xiang)機制(zhi),在(zai)國(guo)(guo)(guo)有(you)(you)資(zi)本收(shou)(shou)(shou)(shou)益中確定(ding)(ding)一定(ding)(ding)比例直接(jie)用(yong)于民(min)生支出。

  (十六)持續深化改(gai)革,完(wan)善國(guo)資(zi)監管體系。推(tui)動國(guo)有重要骨干企業進(jin)行(xing)股(gu)份制(zhi)改(gai)造,發展混(hun)合所有制(zhi)經濟,推(tui)行(xing)資(zi)源資(zi)產(chan)化、資(zi)產(chan)資(zi)本化、資(zi)本證券化改(gai)革工作。到2020年,建立完(wan)善科學(xue)的(de)(de)現代企業制(zhi)度,培(pei)育真正的(de)(de)市場競爭主體。形成覆蓋全面、監管到位(wei)、權(quan)責明確、科學(xue)發展的(de)(de)國(guo)有資(zi)產(chan)監管格局。

  (十七)成(cheng)立(li)(li)工(gong)作(zuo)(zuo)機構,加強(qiang)組(zu)(zu)(zu)(zu)織(zhi)領(ling)(ling)(ling)導(dao)。成(cheng)立(li)(li)山西省(sheng)(sheng)(sheng)深化(hua)省(sheng)(sheng)(sheng)屬(shu)國(guo)(guo)有(you)企(qi)業(ye)改(gai)(gai)(gai)(gai)革(ge)工(gong)作(zuo)(zuo)領(ling)(ling)(ling)導(dao)小(xiao)(xiao)(xiao)組(zu)(zu)(zu)(zu)(以下簡稱領(ling)(ling)(ling)導(dao)小(xiao)(xiao)(xiao)組(zu)(zu)(zu)(zu)),組(zu)(zu)(zu)(zu)長(chang)由(you)省(sheng)(sheng)(sheng)長(chang)擔(dan)任(ren),副組(zu)(zu)(zu)(zu)長(chang)由(you)常務(wu)副省(sheng)(sheng)(sheng)長(chang)、分管工(gong)業(ye)的副省(sheng)(sheng)(sheng)長(chang)擔(dan)任(ren),領(ling)(ling)(ling)導(dao)小(xiao)(xiao)(xiao)組(zu)(zu)(zu)(zu)成(cheng)員由(you)省(sheng)(sheng)(sheng)政府辦(ban)公(gong)廳(ting)、省(sheng)(sheng)(sheng)委(wei)組(zu)(zu)(zu)(zu)織(zhi)部、省(sheng)(sheng)(sheng)編辦(ban)、省(sheng)(sheng)(sheng)發展改(gai)(gai)(gai)(gai)革(ge)委(wei)、省(sheng)(sheng)(sheng)經(jing)信委(wei)、省(sheng)(sheng)(sheng)財(cai)政廳(ting)、省(sheng)(sheng)(sheng)人力資(zi)源(yuan)(yuan)社會保障(zhang)廳(ting)、省(sheng)(sheng)(sheng)國(guo)(guo)土資(zi)源(yuan)(yuan)廳(ting)、省(sheng)(sheng)(sheng)國(guo)(guo)資(zi)委(wei)、省(sheng)(sheng)(sheng)國(guo)(guo)稅局(ju)、省(sheng)(sheng)(sheng)地稅局(ju)、省(sheng)(sheng)(sheng)工(gong)商局(ju)、省(sheng)(sheng)(sheng)總工(gong)會等相(xiang)關部門主要負責(ze)人組(zu)(zu)(zu)(zu)成(cheng)。領(ling)(ling)(ling)導(dao)小(xiao)(xiao)(xiao)組(zu)(zu)(zu)(zu)辦(ban)公(gong)室(shi)設在省(sheng)(sheng)(sheng)國(guo)(guo)資(zi)委(wei),省(sheng)(sheng)(sheng)國(guo)(guo)資(zi)委(wei)主任(ren)兼任(ren)辦(ban)公(gong)室(shi)主任(ren)。領(ling)(ling)(ling)導(dao)小(xiao)(xiao)(xiao)組(zu)(zu)(zu)(zu)統一組(zu)(zu)(zu)(zu)織(zhi)領(ling)(ling)(ling)導(dao)省(sheng)(sheng)(sheng)屬(shu)國(guo)(guo)有(you)企(qi)業(ye)改(gai)(gai)(gai)(gai)革(ge)工(gong)作(zuo)(zuo),負責(ze)協調解決省(sheng)(sheng)(sheng)屬(shu)國(guo)(guo)有(you)企(qi)業(ye)改(gai)(gai)(gai)(gai)革(ge)中的重大問題(ti)(ti),制定政策措施。領(ling)(ling)(ling)導(dao)小(xiao)(xiao)(xiao)組(zu)(zu)(zu)(zu)辦(ban)公(gong)室(shi)負責(ze)省(sheng)(sheng)(sheng)屬(shu)國(guo)(guo)有(you)企(qi)業(ye)改(gai)(gai)(gai)(gai)革(ge)的日(ri)常工(gong)作(zuo)(zuo),及時研究改(gai)(gai)(gai)(gai)革(ge)中存在的問題(ti)(ti),指導(dao)、審定和批復省(sheng)(sheng)(sheng)屬(shu)國(guo)(guo)有(you)企(qi)業(ye)改(gai)(gai)(gai)(gai)革(ge)方案,協調相(xiang)關部門落實改(gai)(gai)(gai)(gai)革(ge)措施。各(ge)成(cheng)員單位要高度(du)重視,加強(qiang)配合,密(mi)切協作(zuo)(zuo),把支(zhi)持深化(hua)國(guo)(guo)有(you)企(qi)業(ye)改(gai)(gai)(gai)(gai)革(ge)列入重要議事(shi)日(ri)程,切實推動省(sheng)(sheng)(sheng)屬(shu)國(guo)(guo)有(you)企(qi)業(ye)的改(gai)(gai)(gai)(gai)革(ge)。

  (十八)優化政(zheng)(zheng)策(ce)環境(jing),形成國(guo)企(qi)改革(ge)合(he)力(li)(li)。切(qie)實轉變政(zheng)(zheng)府(fu)職能,最大限度減少行政(zheng)(zheng)審批,優化制度、簡(jian)化手(shou)續、提高效率。梳理(li)完善國(guo)有企(qi)業改革(ge)涉及(ji)(ji)的工商登(deng)記(ji)、財(cai)稅管(guan)理(li)、土(tu)地變更、勞動保障、國(guo)資監(jian)管(guan)、證券監(jian)管(guan)等方(fang)面(mian)的政(zheng)(zheng)策(ce)規定,優化政(zheng)(zheng)策(ce)環境(jing)。各級(ji)政(zheng)(zheng)府(fu)及(ji)(ji)有關部門要加(jia)快政(zheng)(zheng)府(fu)職能轉變,建設服務(wu)型政(zheng)(zheng)府(fu),以綜(zong)改試(shi)驗(yan)的理(li)念,提供優惠政(zheng)(zheng)策(ce),解決企(qi)業實際困難,以政(zheng)(zheng)策(ce)動力(li)(li)激發(fa)發(fa)展活力(li)(li),為國(guo)有企(qi)業改革(ge)發(fa)展創造良(liang)好環境(jing)。

  (十九)制定政策措施,盡快解決遺留問題。依法合規、用好用活國有企業改革專項資金,研究制定有關政策措施,多渠道籌措資金,加大國有資本經營預算用于解決國有企業歷史遺留問題的力度。注重政策銜接,研究解決職工關心的實際問題,妥善安置轉崗職工,做好職工技能培訓和再就業工作,確保企業和社會穩定。
