為提(ti)升所出(chu)資(zi)(zi)企(qi)(qi)業(ye)董(dong)(dong)事會(hui)決策能力和(he)(he)管理水平、更好推動企(qi)(qi)業(ye)改(gai)革發(fa)展,廈(sha)門國資(zi)(zi)委(wei)于(yu)2014年7-8月召開廈(sha)門建發(fa)集(ji)(ji)團(tuan)(tuan)(tuan)(tuan)、路橋(qiao)集(ji)(ji)團(tuan)(tuan)(tuan)(tuan)、輕工(gong)集(ji)(ji)團(tuan)(tuan)(tuan)(tuan)、住宅集(ji)(ji)團(tuan)(tuan)(tuan)(tuan)、特房集(ji)(ji)團(tuan)(tuan)(tuan)(tuan)和(he)(he)象嶼(yu)集(ji)(ji)團(tuan)(tuan)(tuan)(tuan)等(deng)6家企(qi)(qi)業(ye)董(dong)(dong)事會(hui)年度(du)工(gong)作(zuo)(zuo)(zuo)報告專(zhuan)題會(hui)議。會(hui)上,各企(qi)(qi)業(ye)董(dong)(dong)事長報告了(le)(le)2013年度(du)主(zhu)要工(gong)作(zuo)(zuo)(zuo)并對今后(hou)工(gong)作(zuo)(zuo)(zuo)進行謀劃,廈(sha)門國資(zi)(zi)委(wei)主(zhu)任林杰和(he)(he)各企(qi)(qi)業(ye)監事會(hui)主(zhu)席對企(qi)(qi)業(ye)董(dong)(dong)事會(hui)年度(du)工(gong)作(zuo)(zuo)(zuo)作(zuo)(zuo)(zuo)出(chu)評價(jia),黃世忠、沈永貴(gui)、洪永裕(yu)等(deng)9位專(zhuan)家從第三(san)方視角(jiao)對企(qi)(qi)業(ye)董(dong)(dong)事會(hui)工(gong)作(zuo)(zuo)(zuo)提(ti)出(chu)建設性意見。董(dong)(dong)事會(hui)年度(du)工(gong)作(zuo)(zuo)(zuo)報告制度(du)是廈(sha)門國資(zi)(zi)委(wei)在全(quan)省首(shou)創,加(jia)快(kuai)了(le)(le)國資(zi)(zi)國企(qi)(qi)改(gai)革的步伐、推動了(le)(le)企(qi)(qi)業(ye)持續健康穩定發(fa)展,取得了(le)(le)以下四項成效:
一(yi)、明確(que)了(le)國(guo)(guo)(guo)(guo)資(zi)(zi)(zi)(zi)(zi)委(wei)與董(dong)事(shi)(shi)會(hui)(hui)的(de)職(zhi)能定位。圍(wei)繞黨(dang)的(de)十(shi)八屆(jie)三中(zhong)全會(hui)(hui)提出(chu)以(yi)管資(zi)(zi)(zi)(zi)(zi)本(ben)為主的(de)國(guo)(guo)(guo)(guo)有資(zi)(zi)(zi)(zi)(zi)產(chan)監管模式,廈門國(guo)(guo)(guo)(guo)資(zi)(zi)(zi)(zi)(zi)委(wei)強化了(le)積極股東的(de)角(jiao)色。根據《公(gong)司法(fa)(fa)》、《國(guo)(guo)(guo)(guo)有資(zi)(zi)(zi)(zi)(zi)產(chan)法(fa)(fa)》等法(fa)(fa)規制度(du)的(de)規定,國(guo)(guo)(guo)(guo)資(zi)(zi)(zi)(zi)(zi)委(wei)受(shou)(shou)政(zheng)府(fu)委(wei)托、代表政(zheng)府(fu)履行企業國(guo)(guo)(guo)(guo)有資(zi)(zi)(zi)(zi)(zi)本(ben)出(chu)資(zi)(zi)(zi)(zi)(zi)人(ren)的(de)職(zhi)責;國(guo)(guo)(guo)(guo)有企業董(dong)事(shi)(shi)會(hui)(hui)受(shou)(shou)國(guo)(guo)(guo)(guo)資(zi)(zi)(zi)(zi)(zi)委(wei)的(de)委(wei)托行使(shi)國(guo)(guo)(guo)(guo)有股東權利(li),并對廈門國(guo)(guo)(guo)(guo)資(zi)(zi)(zi)(zi)(zi)委(wei)負責。通過董(dong)事(shi)(shi)會(hui)(hui)年度(du)工作報(bao)(bao)告這一(yi)形式,企業董(dong)事(shi)(shi)會(hui)(hui)每年向出(chu)資(zi)(zi)(zi)(zi)(zi)人(ren)報(bao)(bao)告工作并接受(shou)(shou)質詢,清(qing)晰確(que)立(li)了(le)國(guo)(guo)(guo)(guo)資(zi)(zi)(zi)(zi)(zi)委(wei)國(guo)(guo)(guo)(guo)有資(zi)(zi)(zi)(zi)(zi)本(ben)出(chu)資(zi)(zi)(zi)(zi)(zi)人(ren)的(de)職(zhi)責,也促進了(le)企業董(dong)事(shi)(shi)會(hui)(hui)職(zhi)能作用的(de)發(fa)揮。
二、有力推動了國(guo)企(qi)(qi)深化改革轉型發展(zhan)。根據(ju)董事會(hui)(hui)年度工作報告專題(ti)(ti)會(hui)(hui)議提(ti)出(chu)的(de)各集團加快(kuai)企(qi)(qi)業(ye)(ye)(ye)轉型升(sheng)級(ji)、積極(ji)發展(zhan)混合經濟新(xin)模(mo)式(shi)的(de)意見,各國(guo)有企(qi)(qi)業(ye)(ye)(ye)進(jin)行(xing)了商(shang)業(ye)(ye)(ye)模(mo)式(shi)、經營模(mo)式(shi)、管(guan)理(li)模(mo)式(shi)和盈利模(mo)式(shi)的(de)創新(xin)。廈(sha)門建(jian)(jian)發股份的(de)供應鏈運營業(ye)(ye)(ye)務舉(ju)辦了創新(xin)專題(ti)(ti)研討(tao)會(hui)(hui),投(tou)資(zi)(zi)(zi)打造和著力推廣廈(sha)門建(jian)(jian)發汽車有限(xian)公(gong)司“福(fu)建(jian)(jian)皮(pi)皮(pi)車電子商(shang)務”;建(jian)(jian)發集團研討(tao)設立一(yi)家涉及互(hu)聯網應用(yong)、文化創意、節(jie)能環保等國(guo)家鼓勵的(de)戰略性新(xin)興產業(ye)(ye)(ye)投(tou)資(zi)(zi)(zi)項(xiang)(xiang)目(mu)的(de)新(xin)興產業(ye)(ye)(ye)投(tou)資(zi)(zi)(zi)公(gong)司;住(zhu)宅集團進(jin)一(yi)步深化資(zi)(zi)(zi)產資(zi)(zi)(zi)本化、資(zi)(zi)(zi)本證券(quan)化、物業(ye)(ye)(ye)管(guan)理(li)延(yan)伸增值服(fu)務的(de)探索,并(bing)通過意向項(xiang)(xiang)目(mu)開展(zhan)養老(lao)地產、旅游地產等多元化地產開發的(de)前期研究(jiu),積極(ji)穩妥(tuo)延(yan)伸產業(ye)(ye)(ye)鏈布局。
三、有力推(tui)動國企法(fa)人治理結構(gou)的進一(yi)步完善(shan)。為形成職責明確(que)、有效制衡的公司法(fa)人治理結構(gou),6家(jia)集團根據廈門國資委(wei)、監事(shi)會(hui)(hui)(hui)(hui)和(he)專家(jia)組的建(jian)議(yi)和(he)評價(jia)意(yi)見,繼續推(tui)動完善(shan)董(dong)(dong)事(shi)會(hui)(hui)(hui)(hui)建(jian)設(she)(she):積極探(tan)索解決(jue)“董(dong)(dong)事(shi)會(hui)(hui)(hui)(hui)與經理班子重合(he)度較高,決(jue)策(ce)權和(he)執行權重疊現象(xiang)較為普遍”等(deng)問題(ti),優化完善(shan)董(dong)(dong)事(shi)會(hui)(hui)(hui)(hui)內部結構(gou);按(an)照(zhao)《公司法(fa)》和(he)《公司章程》規定逐(zhu)步配齊(qi)董(dong)(dong)事(shi)席(xi)位,進一(yi)步完善(shan)董(dong)(dong)事(shi)會(hui)(hui)(hui)(hui)組織建(jian)設(she)(she);加(jia)強董(dong)(dong)事(shi)會(hui)(hui)(hui)(hui)各(ge)專門委(wei)員會(hui)(hui)(hui)(hui)的建(jian)設(she)(she),探(tan)索引入外部董(dong)(dong)事(shi),提高董(dong)(dong)事(shi)會(hui)(hui)(hui)(hui)決(jue)策(ce)能(neng)力和(he)水(shui)平。
四、強化了(le)企(qi)業風(feng)(feng)(feng)險(xian)(xian)(xian)(xian)管(guan)(guan)控(kong)機制(zhi)(zhi)。董(dong)(dong)事(shi)(shi)(shi)會(hui)(hui)(hui)年度(du)工作報告專題(ti)(ti)會(hui)(hui)(hui)議對企(qi)業的(de)風(feng)(feng)(feng)險(xian)(xian)(xian)(xian)管(guan)(guan)控(kong)情況進(jin)(jin)行了(le)“會(hui)(hui)(hui)診”、“把脈”。企(qi)業董(dong)(dong)事(shi)(shi)(shi)會(hui)(hui)(hui)對集團(tuan)及下屬(shu)企(qi)業的(de)風(feng)(feng)(feng)險(xian)(xian)(xian)(xian)承擔(dan)責(ze)任負(fu)有(you)監控(kong)職責(ze)。但是目前各企(qi)業的(de)全(quan)面風(feng)(feng)(feng)險(xian)(xian)(xian)(xian)管(guan)(guan)理(li)尚未(wei)完(wan)全(quan)嵌入董(dong)(dong)事(shi)(shi)(shi)會(hui)(hui)(hui)為核心的(de)公司治理(li)和集團(tuan)管(guan)(guan)控(kong)。會(hui)(hui)(hui)議建(jian)議董(dong)(dong)事(shi)(shi)(shi)會(hui)(hui)(hui)居安思(si)危、未(wei)雨綢(chou)繆,進(jin)(jin)一步(bu)健全(quan)完(wan)善風(feng)(feng)(feng)險(xian)(xian)(xian)(xian)管(guan)(guan)控(kong)體系(xi)。根(gen)據(ju)會(hui)(hui)(hui)議提(ti)(ti)出的(de)評(ping)價(jia)意見,6家企(qi)業對自身(shen)存(cun)在的(de)風(feng)(feng)(feng)險(xian)(xian)(xian)(xian)管(guan)(guan)控(kong)問題(ti)(ti)認真分析總結,明(ming)確將盡快設立風(feng)(feng)(feng)險(xian)(xian)(xian)(xian)管(guan)(guan)理(li)委員會(hui)(hui)(hui),由其協助董(dong)(dong)事(shi)(shi)(shi)會(hui)(hui)(hui)進(jin)(jin)行風(feng)(feng)(feng)險(xian)(xian)(xian)(xian)管(guan)(guan)控(kong)并向(xiang)董(dong)(dong)事(shi)(shi)(shi)會(hui)(hui)(hui)報告;試(shi)點進(jin)(jin)行風(feng)(feng)(feng)險(xian)(xian)(xian)(xian)管(guan)(guan)理(li)報告制(zhi)(zhi)度(du),要求(qiu)下屬(shu)企(qi)業和主要業務(wu)板塊定期(qi)向(xiang)董(dong)(dong)事(shi)(shi)(shi)會(hui)(hui)(hui)提(ti)(ti)交風(feng)(feng)(feng)險(xian)(xian)(xian)(xian)管(guan)(guan)理(li)報告,董(dong)(dong)事(shi)(shi)(shi)會(hui)(hui)(hui)定期(qi)聽取(qu)和審(shen)議風(feng)(feng)(feng)險(xian)(xian)(xian)(xian)管(guan)(guan)理(li)報告;嘗試(shi)將關(guan)鍵風(feng)(feng)(feng)險(xian)(xian)(xian)(xian)指標(KRI)納入績效評(ping)價(jia),切實提(ti)(ti)高企(qi)業風(feng)(feng)(feng)險(xian)(xian)(xian)(xian)控(kong)制(zhi)(zhi)水平(ping)。
