在全(quan)面深化國(guo)(guo)(guo)(guo)(guo)資(zi)(zi)(zi)國(guo)(guo)(guo)(guo)(guo)企(qi)改(gai)革的(de)(de)新(xin)形(xing)勢下,監(jian)事(shi)會作為國(guo)(guo)(guo)(guo)(guo)資(zi)(zi)(zi)監(jian)管(guan)(guan)的(de)(de)重要(yao)力量和國(guo)(guo)(guo)(guo)(guo)有企(qi)業法(fa)人治(zhi)理結(jie)構(gou)的(de)(de)重要(yao)組成部分(fen)的(de)(de)地位日益突(tu)出,近年來,廣西國(guo)(guo)(guo)(guo)(guo)資(zi)(zi)(zi)委圍繞“與(yu)國(guo)(guo)(guo)(guo)(guo)資(zi)(zi)(zi)監(jian)管(guan)(guan)相一(yi)致、與(yu)國(guo)(guo)(guo)(guo)(guo)企(qi)改(gai)革相適應、與(yu)出資(zi)(zi)(zi)人關注相銜接”的(de)(de)基本(ben)原則,及時提(ti)出了(le)(le)“適應形(xing)勢,突(tu)出重點,整體(ti)推進(jin),積(ji)極(ji)作為”的(de)(de)監(jian)事(shi)會工作思路,積(ji)極(ji)拓展外(wai)派監(jian)事(shi)會履行職責的(de)(de)新(xin)途徑(jing),不斷創新(xin)當期監(jian)督的(de)(de)方(fang)式方(fang)法(fa),在維護(hu)國(guo)(guo)(guo)(guo)(guo)有資(zi)(zi)(zi)產安全(quan)、促進(jin)企(qi)業改(gai)革發展、實現國(guo)(guo)(guo)(guo)(guo)有資(zi)(zi)(zi)產保值增值中有效(xiao)發揮了(le)(le)監(jian)事(shi)會的(de)(de)重要(yao)作用,國(guo)(guo)(guo)(guo)(guo)務院(yuan)國(guo)(guo)(guo)(guo)(guo)資(zi)(zi)(zi)委及兄弟(di)省區對廣西自治(zhi)區監(jian)事(shi)會工作給予了(le)(le)充(chong)分(fen)肯定。
一、推進(jin)“兩個(ge)融(rong)入(ru)”,促進(jin)監(jian)(jian)事會監(jian)(jian)督檢查(cha)與國資監(jian)(jian)管工作無縫對接
實行國(guo)有企(qi)業外派監事(shi)(shi)會制度后,廣西國(guo)資委堅持探索(suo)如(ru)何(he)使監事(shi)(shi)會與國(guo)資委成為“一(yi)家人(ren)(ren)”,如(ru)何(he)使監事(shi)(shi)會在企(qi)業的“三駕馬車”中發揮(hui)作(zuo)用的方(fang)式和途(tu)徑(jing)。從去年下半年開始,采取了一(yi)系(xi)列(lie)措施積極推進使監事(shi)(shi)會工作(zuo)融(rong)入國(guo)資監管體系(xi)、融(rong)入企(qi)業法(fa)人(ren)(ren)治理結(jie)構的“兩個(ge)融(rong)入”,進一(yi)步理順了監事(shi)(shi)會工作(zuo)關系(xi)。
推進監(jian)(jian)(jian)事(shi)會(hui)(hui)工(gong)(gong)作融(rong)入國資(zi)(zi)監(jian)(jian)(jian)管體(ti)系的(de)(de)(de)關鍵是(shi)讓(rang)監(jian)(jian)(jian)事(shi)會(hui)(hui)及(ji)時了(le)解(jie)出資(zi)(zi)人意(yi)圖和重(zhong)(zhong)(zhong)大決策(ce)部署(shu)。廣(guang)(guang)西國資(zi)(zi)委(wei)(wei)把(ba)國資(zi)(zi)“監(jian)(jian)(jian)”、“管”緊(jin)密(mi)結合,讓(rang)監(jian)(jian)(jian)事(shi)會(hui)(hui)全程參(can)與(yu)國資(zi)(zi)委(wei)(wei)的(de)(de)(de)所(suo)有重(zhong)(zhong)(zhong)要工(gong)(gong)作,監(jian)(jian)(jian)事(shi)會(hui)(hui)主(zhu)(zhu)席(xi)(xi)列席(xi)(xi)委(wei)(wei)黨委(wei)(wei)會(hui)(hui)、主(zhu)(zhu)任辦(ban)公(gong)會(hui)(hui)等所(suo)有重(zhong)(zhong)(zhong)要會(hui)(hui)議,參(can)加每(mei)周的(de)(de)(de)工(gong)(gong)作例會(hui)(hui);廣(guang)(guang)西國資(zi)(zi)委(wei)(wei)主(zhu)(zhu)要領導親(qin)自(zi)主(zhu)(zhu)持,每(mei)季度召開(kai)一次(ci)監(jian)(jian)(jian)事(shi)會(hui)(hui)主(zhu)(zhu)席(xi)(xi)聯席(xi)(xi)會(hui)(hui)議,每(mei)次(ci)確定(ding)一個主(zhu)(zhu)題開(kai)展(zhan)深入研(yan)究;凡出臺涉及(ji)國資(zi)(zi)國企(qi)改(gai)革發展(zhan)的(de)(de)(de)規范性文件(jian)(jian)、研(yan)究重(zhong)(zhong)(zhong)大事(shi)項、部署(shu)重(zhong)(zhong)(zhong)要工(gong)(gong)作等都充分聽取監(jian)(jian)(jian)事(shi)會(hui)(hui)的(de)(de)(de)意(yi)見建議;所(suo)有委(wei)(wei)領導傳閱(yue)的(de)(de)(de)文件(jian)(jian)都及(ji)時送監(jian)(jian)(jian)事(shi)會(hui)(hui)主(zhu)(zhu)席(xi)(xi)閱(yue)知。廣(guang)(guang)西國資(zi)(zi)委(wei)(wei)把(ba)監(jian)(jian)(jian)事(shi)會(hui)(hui)作為(wei)國資(zi)(zi)監(jian)(jian)(jian)管的(de)(de)(de)一道重(zhong)(zhong)(zhong)要“關口”,特別注意(yi)讓(rang)監(jian)(jian)(jian)事(shi)會(hui)(hui)與(yu)國資(zi)(zi)委(wei)(wei)同(tong)步了(le)解(jie)中央(yang)、廣(guang)(guang)西自(zi)治區的(de)(de)(de)政策(ce)要求(qiu)和監(jian)(jian)(jian)管企(qi)業(ye)的(de)(de)(de)重(zhong)(zhong)(zhong)要情況,創建了(le)國資(zi)(zi)委(wei)(wei)與(yu)監(jian)(jian)(jian)事(shi)會(hui)(hui)溝通協調的(de)(de)(de)良(liang)性機(ji)制(zhi),有效推進了(le)監(jian)(jian)(jian)事(shi)會(hui)(hui)工(gong)(gong)作與(yu)國資(zi)(zi)監(jian)(jian)(jian)管中心工(gong)(gong)作全面(mian)融(rong)合,受到(dao)了(le)國務院(yuan)國資(zi)(zi)委(wei)(wei)的(de)(de)(de)高度評價(jia)。
推進(jin)監事(shi)會(hui)(hui)(hui)(hui)工(gong)(gong)作(zuo)融入企(qi)(qi)(qi)(qi)(qi)(qi)業法人(ren)治理結構的(de)前提(ti)是保證監事(shi)會(hui)(hui)(hui)(hui)全方位了解企(qi)(qi)(qi)(qi)(qi)(qi)業重(zhong)(zhong)大(da)決(jue)策、重(zhong)(zhong)要經營管(guan)(guan)理活動。廣(guang)西(xi)國(guo)資(zi)(zi)委把外派監事(shi)會(hui)(hui)(hui)(hui)與企(qi)(qi)(qi)(qi)(qi)(qi)業的(de)融合(he)作(zuo)為開(kai)展監督(du)檢(jian)查(cha)(cha)工(gong)(gong)作(zuo)、提(ti)高監督(du)檢(jian)查(cha)(cha)質量(liang)的(de)基礎(chu),專門制(zhi)發了《派駐企(qi)(qi)(qi)(qi)(qi)(qi)業支持配(pei)合(he)監事(shi)會(hui)(hui)(hui)(hui)依(yi)法開(kai)展當期(qi)監督(du)工(gong)(gong)作(zuo)規則》,對(dui)企(qi)(qi)(qi)(qi)(qi)(qi)業全面(mian)開(kai)放(fang)信息資(zi)(zi)料、及(ji)時報告重(zhong)(zhong)大(da)情況、提(ti)前邀請監事(shi)會(hui)(hui)(hui)(hui)列席重(zhong)(zhong)要會(hui)(hui)(hui)(hui)議(yi)、健全監事(shi)會(hui)(hui)(hui)(hui)與企(qi)(qi)(qi)(qi)(qi)(qi)業的(de)溝通對(dui)接機(ji)制(zhi)等作(zuo)了具體(ti)明確(que),并對(dui)執行情況進(jin)行跟(gen)蹤檢(jian)查(cha)(cha)。在此基礎(chu)上(shang),廣(guang)西(xi)國(guo)資(zi)(zi)委要求企(qi)(qi)(qi)(qi)(qi)(qi)業每(mei)年就(jiu)資(zi)(zi)產和(he)效益、經營管(guan)(guan)理和(he)改革發展、經營和(he)財務(wu)風(feng)險(xian)、違法違紀違規事(shi)項(xiang)(xiang)、國(guo)資(zi)(zi)委及(ji)監事(shi)會(hui)(hui)(hui)(hui)重(zhong)(zhong)點關(guan)(guan)注事(shi)項(xiang)(xiang)、領導(dao)班子履職情況及(ji)下(xia)一年度工(gong)(gong)作(zuo)計(ji)劃(hua)等7個(ge)方面(mian)內容(rong)進(jin)行匯總,形成《企(qi)(qi)(qi)(qi)(qi)(qi)業年度工(gong)(gong)作(zuo)報告》綜合(he)報送監事(shi)會(hui)(hui)(hui)(hui)。建立監事(shi)會(hui)(hui)(hui)(hui)與企(qi)(qi)(qi)(qi)(qi)(qi)業溝通對(dui)接機(ji)制(zhi),今年各監事(shi)會(hui)(hui)(hui)(hui)共與企(qi)(qi)(qi)(qi)(qi)(qi)業領導(dao)、相關(guan)(guan)部(bu)門負責人(ren)交換意見216次,在企(qi)(qi)(qi)(qi)(qi)(qi)業召(zhao)開(kai)座談(tan)會(hui)(hui)(hui)(hui)178次,向企(qi)(qi)(qi)(qi)(qi)(qi)業發出(chu)提(ti)醒(xing)函62份、提(ti)出(chu)意見建議(yi)241條。
二、落(luo)實“重點聯系人”,實現監事會日(ri)常(chang)監督檢(jian)查常(chang)態化制度化
為了(le)解決監(jian)(jian)(jian)事(shi)會(hui)人(ren)員(yuan)少、派駐企(qi)(qi)業(ye)(ye)多、工作(zuo)范圍(wei)寬(kuan)、涉及領域廣等(deng)(deng)問題給(gei)監(jian)(jian)(jian)督(du)(du)檢(jian)查(cha)帶來的(de)困難(nan),推進監(jian)(jian)(jian)事(shi)會(hui)日常(chang)(chang)監(jian)(jian)(jian)督(du)(du)常(chang)(chang)態(tai)化,廣西國資委建立并認真落(luo)實了(le)監(jian)(jian)(jian)事(shi)會(hui)重點聯系(xi)人(ren)制度。出(chu)臺了(le)《監(jian)(jian)(jian)事(shi)會(hui)重點聯系(xi)人(ren)工作(zuo)辦法》,對(dui)(dui)人(ren)員(yuan)安(an)排、工作(zuo)任務、監(jian)(jian)(jian)督(du)(du)檢(jian)查(cha)方式方法、情況報告等(deng)(deng)作(zuo)了(le)具體規定(ding);按照“一(yi)企(qi)(qi)一(yi)人(ren)”原則,每個企(qi)(qi)業(ye)(ye)指定(ding)一(yi)名監(jian)(jian)(jian)事(shi)常(chang)(chang)駐企(qi)(qi)業(ye)(ye),隨(sui)(sui)時了(le)解和報告企(qi)(qi)業(ye)(ye)的(de)動(dong)態(tai);加(jia)強(qiang)對(dui)(dui)企(qi)(qi)業(ye)(ye)日常(chang)(chang)生(sheng)產經(jing)營(ying)活動(dong)的(de)監(jian)(jian)(jian)督(du)(du),隨(sui)(sui)時查(cha)閱企(qi)(qi)業(ye)(ye)會(hui)議記(ji)錄、財務報表(biao)、審(shen)計資料(liao)等(deng)(deng),不(bu)定(ding)期與企(qi)(qi)業(ye)(ye)相關(guan)部(bu)門負責人(ren)、業(ye)(ye)務人(ren)員(yuan)進行交流;加(jia)大了(le)對(dui)(dui)企(qi)(qi)業(ye)(ye)重大項目進展情況的(de)實地查(cha)看;加(jia)強(qiang)了(le)對(dui)(dui)企(qi)(qi)業(ye)(ye)經(jing)營(ying)管理制度建設和風(feng)險管控措施的(de)檢(jian)查(cha)。通過建立完善(shan)重點聯系(xi)人(ren)制度,使監(jian)(jian)(jian)事(shi)會(hui)日常(chang)(chang)監(jian)(jian)(jian)督(du)(du)工作(zuo)有了(le)重要(yao)抓手,延伸了(le)監(jian)(jian)(jian)督(du)(du)檢(jian)查(cha)的(de)觸(chu)角(jiao),有效加(jia)強(qiang)了(le)監(jian)(jian)(jian)事(shi)會(hui)對(dui)(dui)派駐企(qi)(qi)業(ye)(ye)的(de)情況掌握。目前(qian),每位監(jian)(jian)(jian)事(shi)平(ping)均(jun)每月(yue)在企(qi)(qi)業(ye)(ye)工作(zuo)的(de)時間達到15天。
三、強化“第一時間”報告,發揮監事會(hui)“眼睛”“耳朵”作用(yong)
及(ji)時了(le)(le)解企業(ye)(ye)重(zhong)(zhong)(zhong)大(da)生產經營活動(dong),解決出(chu)(chu)資(zi)(zi)(zi)人與出(chu)(chu)資(zi)(zi)(zi)企業(ye)(ye)信息不(bu)對稱的(de)(de)(de)問題(ti),這是實行國有(you)企業(ye)(ye)外派監(jian)事(shi)(shi)會(hui)制(zhi)度(du)的(de)(de)(de)重(zhong)(zhong)(zhong)要(yao)目標。從今年(nian)(nian)起(qi),廣西國資(zi)(zi)(zi)委對監(jian)事(shi)(shi)會(hui)“第一(yi)時間(jian)(jian)”報(bao)告重(zhong)(zhong)(zhong)要(yao)情(qing)況作(zuo)出(chu)(chu)了(le)(le)明確規定,要(yao)求監(jian)事(shi)(shi)會(hui)凡列席企業(ye)(ye)召開的(de)(de)(de)董事(shi)(shi)會(hui)、黨委會(hui)和(he)其他重(zhong)(zhong)(zhong)要(yao)決策會(hui)議(yi)的(de)(de)(de)情(qing)況必須及(ji)時上(shang)報(bao)國資(zi)(zi)(zi)委,監(jian)事(shi)(shi)會(hui)開展(zhan)專(zhuan)(zhuan)項(xiang)(xiang)檢查、專(zhuan)(zhuan)項(xiang)(xiang)審計(ji)、專(zhuan)(zhuan)題(ti)調研(yan)的(de)(de)(de)情(qing)況都要(yao)專(zhuan)(zhuan)題(ti)上(shang)報(bao)。今年(nian)(nian)前8個(ge)月,監(jian)事(shi)(shi)會(hui)5個(ge)辦事(shi)(shi)處列席企業(ye)(ye)重(zhong)(zhong)(zhong)要(yao)會(hui)議(yi)392次、開展(zhan)專(zhuan)(zhuan)項(xiang)(xiang)檢查和(he)專(zhuan)(zhuan)題(ti)調研(yan)32次、聘請(qing)會(hui)計(ji)師事(shi)(shi)務所對12個(ge)項(xiang)(xiang)目進(jin)行了(le)(le)專(zhuan)(zhuan)項(xiang)(xiang)審計(ji),共上(shang)報(bao)年(nian)(nian)度(du)報(bao)告、專(zhuan)(zhuan)題(ti)報(bao)告、情(qing)況報(bao)告226份,基本(ben)涵蓋了(le)(le)派駐(zhu)企業(ye)(ye)的(de)(de)(de)改革發展(zhan)、重(zhong)(zhong)(zhong)大(da)投(tou)融資(zi)(zi)(zi)、項(xiang)(xiang)目建(jian)設、財務資(zi)(zi)(zi)金(jin)狀況以(yi)及(ji)內部(bu)控制(zhi)制(zhi)度(du)等各方面(mian)主要(yao)內容(rong),比較好地保證了(le)(le)國資(zi)(zi)(zi)委能夠(gou)在第一(yi)時間(jian)(jian)掌握企業(ye)(ye)經營管理的(de)(de)(de)重(zhong)(zhong)(zhong)要(yao)情(qing)況并在第一(yi)時間(jian)(jian)處理緊(jin)急事(shi)(shi)項(xiang)(xiang),為(wei)國資(zi)(zi)(zi)監(jian)督管理服務。
四、 堅持“三(san)位一體”,打(da)造監事會監督檢查成果運用工(gong)作閉環
監(jian)(jian)事(shi)會(hui)(hui)(hui)(hui)的(de)核心(xin)任(ren)務(wu)是揭(jie)示企(qi)(qi)(qi)業(ye)(ye)(ye)存(cun)在的(de)問(wen)題(ti)(ti)(ti)(ti)(ti)和(he)風險,其(qi)成果集中(zhong)體現(xian)在各類監(jian)(jian)督(du)檢查報(bao)告之中(zhong)。廣(guang)西國資委(wei)把(ba)監(jian)(jian)事(shi)會(hui)(hui)(hui)(hui)反(fan)映(ying)的(de)情況(kuang)作(zuo)(zuo)(zuo)為(wei)(wei)國資監(jian)(jian)管(guan)(guan)的(de)重(zhong)要(yao)信(xin)息來源,以監(jian)(jian)事(shi)會(hui)(hui)(hui)(hui)作(zuo)(zuo)(zuo)為(wei)(wei)發現(xian)問(wen)題(ti)(ti)(ti)(ti)(ti)的(de)主(zhu)(zhu)體、國資委(wei)作(zuo)(zuo)(zuo)為(wei)(wei)處理(li)問(wen)題(ti)(ti)(ti)(ti)(ti)的(de)主(zhu)(zhu)體、企(qi)(qi)(qi)業(ye)(ye)(ye)作(zuo)(zuo)(zuo)為(wei)(wei)落實(shi)(shi)(shi)整(zheng)(zheng)改(gai)(gai)(gai)的(de)主(zhu)(zhu)體,構建了(le)(le)國資委(wei)、監(jian)(jian)事(shi)會(hui)(hui)(hui)(hui)、企(qi)(qi)(qi)業(ye)(ye)(ye)“三位一體”整(zheng)(zheng)體聯動的(de)格局,形(xing)成了(le)(le)發現(xian)問(wen)題(ti)(ti)(ti)(ti)(ti)、處理(li)問(wen)題(ti)(ti)(ti)(ti)(ti)、落實(shi)(shi)(shi)整(zheng)(zheng)改(gai)(gai)(gai)、反(fan)饋(kui)情況(kuang)的(de)監(jian)(jian)事(shi)會(hui)(hui)(hui)(hui)監(jian)(jian)督(du)檢查成果運用(yong)工作(zuo)(zuo)(zuo)閉環。在委(wei)機關層(ceng)面(mian),專(zhuan)門(men)出臺了(le)(le)《廣(guang)西國資委(wei)內部運用(yong)監(jian)(jian)事(shi)會(hui)(hui)(hui)(hui)監(jian)(jian)督(du)檢查成果暫行(xing)(xing)辦法》,對(dui)(dui)(dui)監(jian)(jian)事(shi)會(hui)(hui)(hui)(hui)成果運用(yong)的(de)范(fan)圍、路(lu)徑、程序、責任(ren)、結(jie)果等進(jin)(jin)行(xing)(xing)了(le)(le)全(quan)面(mian)規(gui)(gui)范(fan);監(jian)(jian)事(shi)會(hui)(hui)(hui)(hui)的(de)各類報(bao)告均報(bao)送委(wei)主(zhu)(zhu)要(yao)領(ling)導(dao),并在所(suo)有(you)委(wei)領(ling)導(dao)中(zhong)傳閱;對(dui)(dui)(dui)監(jian)(jian)事(shi)會(hui)(hui)(hui)(hui)反(fan)映(ying)的(de)重(zhong)點(dian)敏感問(wen)題(ti)(ti)(ti)(ti)(ti)由委(wei)領(ling)導(dao)帶隊(dui)開展專(zhuan)題(ti)(ti)(ti)(ti)(ti)調(diao)研。在企(qi)(qi)(qi)業(ye)(ye)(ye)層(ceng)面(mian),各企(qi)(qi)(qi)業(ye)(ye)(ye)逐(zhu)步認識(shi)到(dao)監(jian)(jian)事(shi)會(hui)(hui)(hui)(hui)嚴(yan)格履職(zhi)對(dui)(dui)(dui)規(gui)(gui)范(fan)經營活動、加強風險防范(fan)、確保資產安全(quan)的(de)重(zhong)要(yao)性,在落實(shi)(shi)(shi)監(jian)(jian)事(shi)會(hui)(hui)(hui)(hui)披(pi)露(lu)問(wen)題(ti)(ti)(ti)(ti)(ti)的(de)整(zheng)(zheng)改(gai)(gai)(gai)時(shi),都能認真按照國資委(wei)的(de)要(yao)求逐(zhu)條逐(zhu)項進(jin)(jin)行(xing)(xing)分析研究,并針(zhen)對(dui)(dui)(dui)每個需要(yao)整(zheng)(zheng)改(gai)(gai)(gai)的(de)項目制定具體實(shi)(shi)(shi)施方案(an),整(zheng)(zheng)改(gai)(gai)(gai)完成后都能及(ji)時(shi)向國資委(wei)報(bao)告。在監(jian)(jian)事(shi)會(hui)(hui)(hui)(hui)層(ceng)面(mian),加大了(le)(le)對(dui)(dui)(dui)企(qi)(qi)(qi)業(ye)(ye)(ye)落實(shi)(shi)(shi)整(zheng)(zheng)改(gai)(gai)(gai)情況(kuang)的(de)跟(gen)蹤掌握,同時(shi)積極反(fan)映(ying)企(qi)(qi)(qi)業(ye)(ye)(ye)在整(zheng)(zheng)改(gai)(gai)(gai)過程中(zhong)遇到(dao)的(de)困難和(he)問(wen)題(ti)(ti)(ti)(ti)(ti),為(wei)(wei)企(qi)(qi)(qi)業(ye)(ye)(ye)排憂解難。通過國資委(wei)、監(jian)(jian)事(shi)會(hui)(hui)(hui)(hui)、企(qi)(qi)(qi)業(ye)(ye)(ye)三方合力,使監(jian)(jian)事(shi)會(hui)(hui)(hui)(hui)披(pi)露(lu)企(qi)(qi)(qi)業(ye)(ye)(ye)存(cun)在的(de)問(wen)題(ti)(ti)(ti)(ti)(ti)得到(dao)了(le)(le)及(ji)時(shi)有(you)效(xiao)的(de)整(zheng)(zheng)改(gai)(gai)(gai),基(ji)本做(zuo)到(dao)了(le)(le)“事(shi)事(shi)有(you)人管(guan)(guan)、件(jian)件(jian)有(you)著落”,在提(ti)高國資監(jian)(jian)管(guan)(guan)質量、推進(jin)(jin)企(qi)(qi)(qi)業(ye)(ye)(ye)規(gui)(gui)范(fan)管(guan)(guan)理(li)上(shang)收到(dao)了(le)(le)明顯效(xiao)果。從今年起(qi),廣(guang)西國資委(wei)將企(qi)(qi)(qi)業(ye)(ye)(ye)落實(shi)(shi)(shi)監(jian)(jian)事(shi)會(hui)(hui)(hui)(hui)披(pi)露(lu)問(wen)題(ti)(ti)(ti)(ti)(ti)的(de)整(zheng)(zheng)改(gai)(gai)(gai)情況(kuang)納入企(qi)(qi)(qi)業(ye)(ye)(ye)年度業(ye)(ye)(ye)績考評內容。
五(wu)、構建(jian)“上(shang)下聯動機制”,打造企(qi)業內部(bu)監事會(hui)監督全覆蓋網絡(luo)
廣西(xi)自治區(qu)國(guo)有(you)(you)企(qi)(qi)(qi)(qi)業(ye)(ye)監(jian)(jian)(jian)事(shi)(shi)(shi)(shi)會(hui)(hui)是集(ji)(ji)團公司(si)(si)的(de)(de)監(jian)(jian)(jian)事(shi)(shi)(shi)(shi)會(hui)(hui),主要(yao)職責是監(jian)(jian)(jian)督檢查集(ji)(ji)團公司(si)(si)本級(ji)的(de)(de)重大(da)決策、經營管理及企(qi)(qi)(qi)(qi)業(ye)(ye)負責人(ren)履職行為等(deng)。廣西(xi)自治區(qu)有(you)(you)相當部(bu)分企(qi)(qi)(qi)(qi)業(ye)(ye)的(de)(de)經營實體(ti)在(zai)(zai)二、三級(ji)子(zi)企(qi)(qi)(qi)(qi)業(ye)(ye),且近幾年來(lai)在(zai)(zai)投融資(zi)、貿易、兼并重組(zu)(zu)等(deng)方(fang)面出(chu)(chu)現的(de)(de)問題(ti)大(da)多(duo)發(fa)生(sheng)在(zai)(zai)子(zi)企(qi)(qi)(qi)(qi)業(ye)(ye),推(tui)(tui)進(jin)企(qi)(qi)(qi)(qi)業(ye)(ye)各層級(ji)子(zi)企(qi)(qi)(qi)(qi)業(ye)(ye)監(jian)(jian)(jian)事(shi)(shi)(shi)(shi)會(hui)(hui)制(zhi)度的(de)(de)建(jian)立(li)和(he)完善不僅重要(yao)而且緊迫。今年,廣西(xi)國(guo)資(zi)委(wei)就此項工作(zuo)組(zu)(zu)織開展了(le)全面調研,已對子(zi)企(qi)(qi)(qi)(qi)業(ye)(ye)監(jian)(jian)(jian)事(shi)(shi)(shi)(shi)會(hui)(hui)的(de)(de)機構(gou)設置、人(ren)員組(zu)(zu)成、工作(zuo)制(zhi)度、落實措(cuo)施等(deng)進(jin)行了(le)全面探(tan)討,擬于11月底(di)以前出(chu)(chu)臺(tai)《關于推(tui)(tui)進(jin)企(qi)(qi)(qi)(qi)業(ye)(ye)內部(bu)監(jian)(jian)(jian)事(shi)(shi)(shi)(shi)會(hui)(hui)制(zhi)度建(jian)設的(de)(de)指導意(yi)見》,在(zai)(zai)確(que)保具(ju)有(you)(you)獨立(li)法人(ren)資(zi)格(ge)的(de)(de)各層級(ji)子(zi)企(qi)(qi)(qi)(qi)業(ye)(ye)建(jian)立(li)和(he)完善監(jian)(jian)(jian)事(shi)(shi)(shi)(shi)會(hui)(hui)制(zhi)度的(de)(de)基礎上,進(jin)一步(bu)構(gou)建(jian)母子(zi)公司(si)(si)監(jian)(jian)(jian)事(shi)(shi)(shi)(shi)會(hui)(hui)上下聯動機制(zhi),拉伸(shen)監(jian)(jian)(jian)事(shi)(shi)(shi)(shi)會(hui)(hui)監(jian)(jian)(jian)督檢查鏈條(tiao),打造橫向到邊(bian)、縱向到底(di)的(de)(de)監(jian)(jian)(jian)事(shi)(shi)(shi)(shi)會(hui)(hui)工作(zuo)網絡。與此同(tong)時,廣西(xi)國(guo)資(zi)委(wei)將(jiang)大(da)力推(tui)(tui)進(jin)監(jian)(jian)(jian)事(shi)(shi)(shi)(shi)會(hui)(hui)與紀(ji)檢監(jian)(jian)(jian)察、財(cai)務(wu)監(jian)(jian)(jian)管、內部(bu)審計(ji)、風險管控、安全生(sheng)產(chan)等(deng)企(qi)(qi)(qi)(qi)業(ye)(ye)內部(bu)監(jian)(jian)(jian)督力量(liang)的(de)(de)有(you)(you)效(xiao)整合(he),發(fa)揮監(jian)(jian)(jian)督合(he)力。
六、抓(zhua)住(zhu)“四(si)個重點”,積(ji)極探索(suo)新形勢下監事會工(gong)作新路子
隨著(zhu)國(guo)(guo)資(zi)國(guo)(guo)企(qi)(qi)(qi)(qi)(qi)改革的(de)不斷向(xiang)縱深(shen)推進(jin)(jin)(jin)(jin),國(guo)(guo)有(you)企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)監(jian)(jian)(jian)(jian)事(shi)(shi)(shi)(shi)會(hui)(hui)(hui)(hui)開展(zhan)工(gong)作(zuo)(zuo)(zuo)面臨很多新情(qing)況(kuang)(kuang)新課題(ti)(ti),廣(guang)西(xi)(xi)國(guo)(guo)資(zi)委(wei)著(zhu)力在以(yi)下幾個(ge)方(fang)(fang)面進(jin)(jin)(jin)(jin)行(xing)(xing)深(shen)入研究(jiu)。一是(shi)對(dui)實(shi)(shi)(shi)行(xing)(xing)政(zheng)企(qi)(qi)(qi)(qi)(qi)分(fen)開的(de)企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)監(jian)(jian)(jian)(jian)事(shi)(shi)(shi)(shi)會(hui)(hui)(hui)(hui)工(gong)作(zuo)(zuo)(zuo)進(jin)(jin)(jin)(jin)行(xing)(xing)規(gui)范(fan)管(guan)理。目前(qian),除6家企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)已(yi)移(yi)交廣(guang)西(xi)(xi)國(guo)(guo)資(zi)委(wei)監(jian)(jian)(jian)(jian)管(guan)外,尚(shang)有(you)207家企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)將(jiang)委(wei)托黨政(zheng)各部門履(lv)行(xing)(xing)出資(zi)人(ren)(ren)職責,廣(guang)西(xi)(xi)國(guo)(guo)資(zi)委(wei)將(jiang)對(dui)托管(guan)企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)的(de)監(jian)(jian)(jian)(jian)事(shi)(shi)(shi)(shi)會(hui)(hui)(hui)(hui)工(gong)作(zuo)(zuo)(zuo)作(zuo)(zuo)(zuo)出合理的(de)安排,擬參(can)(can)照現行(xing)(xing)監(jian)(jian)(jian)(jian)事(shi)(shi)(shi)(shi)會(hui)(hui)(hui)(hui)外派制度制定(ding)(ding)出臺管(guan)理辦(ban)法,并建(jian)(jian)立相應(ying)的(de)監(jian)(jian)(jian)(jian)督(du)檢(jian)查(cha)(cha)(cha)機(ji)制。二(er)是(shi)對(dui)實(shi)(shi)(shi)行(xing)(xing)分(fen)類(lei)管(guan)理的(de)企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)監(jian)(jian)(jian)(jian)事(shi)(shi)(shi)(shi)會(hui)(hui)(hui)(hui)工(gong)作(zuo)(zuo)(zuo)實(shi)(shi)(shi)施有(you)區別管(guan)理。在進(jin)(jin)(jin)(jin)行(xing)(xing)國(guo)(guo)有(you)企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)分(fen)類(lei)管(guan)理的(de)制度設計時(shi)(shi),統籌考慮監(jian)(jian)(jian)(jian)事(shi)(shi)(shi)(shi)會(hui)(hui)(hui)(hui)工(gong)作(zuo)(zuo)(zuo)的(de)相應(ying)調(diao)整和及(ji)時(shi)(shi)跟(gen)進(jin)(jin)(jin)(jin),競爭類(lei)企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)嚴(yan)格(ge)(ge)按(an)(an)照《公司法》規(gui)定(ding)(ding)全(quan)面落(luo)實(shi)(shi)(shi)監(jian)(jian)(jian)(jian)事(shi)(shi)(shi)(shi)會(hui)(hui)(hui)(hui)工(gong)作(zuo)(zuo)(zuo),公益類(lei)企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)監(jian)(jian)(jian)(jian)事(shi)(shi)(shi)(shi)會(hui)(hui)(hui)(hui)把保障民生作(zuo)(zuo)(zuo)為監(jian)(jian)(jian)(jian)督(du)檢(jian)查(cha)(cha)(cha)的(de)重(zhong)(zhong)點(dian)內容,功能類(lei)企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)監(jian)(jian)(jian)(jian)事(shi)(shi)(shi)(shi)會(hui)(hui)(hui)(hui)則(ze)側重(zhong)(zhong)對(dui)完(wan)成重(zhong)(zhong)大(da)任務(wu)項目的(de)監(jian)(jian)(jian)(jian)督(du)檢(jian)查(cha)(cha)(cha)。三(san)是(shi)對(dui)混合所有(you)制企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)監(jian)(jian)(jian)(jian)事(shi)(shi)(shi)(shi)會(hui)(hui)(hui)(hui)工(gong)作(zuo)(zuo)(zuo)嚴(yan)格(ge)(ge)按(an)(an)《章程》管(guan)理。及(ji)時(shi)(shi)向(xiang)企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)派駐監(jian)(jian)(jian)(jian)事(shi)(shi)(shi)(shi)會(hui)(hui)(hui)(hui)成員,重(zhong)(zhong)點(dian)對(dui)國(guo)(guo)有(you)資(zi)本(ben)(ben)權(quan)益進(jin)(jin)(jin)(jin)行(xing)(xing)監(jian)(jian)(jian)(jian)督(du)檢(jian)查(cha)(cha)(cha),就監(jian)(jian)(jian)(jian)督(du)檢(jian)查(cha)(cha)(cha)的(de)方(fang)(fang)式方(fang)(fang)法、監(jian)(jian)(jian)(jian)督(du)成果的(de)運用辦(ban)法、存在問題(ti)(ti)的(de)整改落(luo)實(shi)(shi)(shi)等(deng)進(jin)(jin)(jin)(jin)行(xing)(xing)深(shen)入研究(jiu)。四是(shi)強化對(dui)地(di)方(fang)(fang)金(jin)融企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)的(de)監(jian)(jian)(jian)(jian)督(du)管(guan)理。組織(zhi)北部灣銀行(xing)(xing)按(an)(an)照現代企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)制度建(jian)(jian)立健全(quan)法人(ren)(ren)治理結(jie)構,以(yi)確(que)保監(jian)(jian)(jian)(jian)事(shi)(shi)(shi)(shi)會(hui)(hui)(hui)(hui)嚴(yan)格(ge)(ge)履(lv)職,有(you)效發揮監(jian)(jian)(jian)(jian)督(du)作(zuo)(zuo)(zuo)用;指導廣(guang)西(xi)(xi)自(zi)治區農(nong)信(xin)社設立本(ben)(ben)級的(de)監(jian)(jian)(jian)(jian)督(du)機(ji)構,并參(can)(can)照《公司法》有(you)關監(jian)(jian)(jian)(jian)事(shi)(shi)(shi)(shi)會(hui)(hui)(hui)(hui)的(de)規(gui)定(ding)(ding)和《監(jian)(jian)(jian)(jian)事(shi)(shi)(shi)(shi)會(hui)(hui)(hui)(hui)暫行(xing)(xing)條(tiao)例》的(de)要求完(wan)善工(gong)作(zuo)(zuo)(zuo)機(ji)制。在此(ci)基礎上,擬專(zhuan)門針對(dui)兩(liang)家地(di)方(fang)(fang)金(jin)融企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)制定(ding)(ding)監(jian)(jian)(jian)(jian)督(du)檢(jian)查(cha)(cha)(cha)情(qing)況(kuang)(kuang)報(bao)(bao)告制度,明確(que)企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)的(de)監(jian)(jian)(jian)(jian)事(shi)(shi)(shi)(shi)會(hui)(hui)(hui)(hui)年度監(jian)(jian)(jian)(jian)督(du)檢(jian)查(cha)(cha)(cha)報(bao)(bao)告、列席董事(shi)(shi)(shi)(shi)會(hui)(hui)(hui)(hui)(理事(shi)(shi)(shi)(shi)會(hui)(hui)(hui)(hui))等(deng)重(zhong)(zhong)要決策會(hui)(hui)(hui)(hui)議的(de)情(qing)況(kuang)(kuang)、開展(zhan)專(zhuan)項檢(jian)查(cha)(cha)(cha)和專(zhuan)題(ti)(ti)調(diao)研的(de)情(qing)況(kuang)(kuang)以(yi)及(ji)企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)重(zhong)(zhong)大(da)事(shi)(shi)(shi)(shi)項的(de)情(qing)況(kuang)(kuang)等(deng),必須(xu)及(ji)時(shi)(shi)上報(bao)(bao)國(guo)(guo)資(zi)委(wei),以(yi)強化國(guo)(guo)資(zi)委(wei)對(dui)企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)經營情(qing)況(kuang)(kuang)的(de)實(shi)(shi)(shi)時(shi)(shi)掌握。
雖然監事會監督工作取得了較好成效,但也還存在一些問題需要進一步研究解決。今后,廣西國資委將進一步改進和完善監事會工作機制,更好地把對企業的監督與對企業負責人的監督結合起來,切實加強監督的針對性、有效性和權威性,努力推動監事會工作不斷邁上新臺階。
