近期,廣西(xi)國(guo)(guo)資委召開(kai)專(zhuan)題會(hui)(hui)(hui)議(yi)研究部署(shu)了2015年監(jian)(jian)(jian)事會(hui)(hui)(hui)重點(dian)工(gong)作(zuo)(zuo)。要(yao)求監(jian)(jian)(jian)事會(hui)(hui)(hui)要(yao)認真(zhen)貫徹落實黨的(de)十(shi)八大、十(shi)八屆三中(zhong)、四中(zhong)全會(hui)(hui)(hui)和中(zhong)央經(jing)濟工(gong)作(zuo)(zuo)會(hui)(hui)(hui)議(yi)、廣西(xi)經(jing)濟工(gong)作(zuo)(zuo)會(hui)(hui)(hui)議(yi)及國(guo)(guo)資監(jian)(jian)(jian)管(guan)(guan)工(gong)作(zuo)(zuo)會(hui)(hui)(hui)議(yi)精神,將監(jian)(jian)(jian)事會(hui)(hui)(hui)工(gong)作(zuo)(zuo)緊(jin)密結(jie)合和深(shen)入(ru)融(rong)合到(dao)廣西(xi)國(guo)(guo)資國(guo)(guo)企(qi)改革發(fa)展的(de)總體目標任(ren)務中(zhong),著重從完善(shan)企(qi)業(ye)監(jian)(jian)(jian)督制衡機制,增強監(jian)(jian)(jian)督實效(xiao)、強化(hua)(hua)當期監(jian)(jian)(jian)督、加大成果運(yun)用、改進(jin)(jin)工(gong)作(zuo)(zuo)方(fang)法(fa)、加強隊伍建(jian)設等6個方(fang)面下功(gong)夫,不斷深(shen)化(hua)(hua)監(jian)(jian)(jian)管(guan)(guan)協(xie)同和監(jian)(jian)(jian)管(guan)(guan)聯動(dong),進(jin)(jin)一步增強監(jian)(jian)(jian)事會(hui)(hui)(hui)監(jian)(jian)(jian)督的(de)時效(xiao)性(xing)(xing)、權(quan)威性(xing)(xing)、有效(xiao)性(xing)(xing)和靈敏性(xing)(xing),促(cu)進(jin)(jin)監(jian)(jian)(jian)管(guan)(guan)企(qi)業(ye)平穩健康發(fa)展。
一是推進(jin)企業(ye)(ye)內(nei)部(bu)監(jian)事(shi)(shi)會(hui)(hui)建(jian)(jian)(jian)設(she),加速構(gou)建(jian)(jian)(jian)“大監(jian)督、全覆蓋”工(gong)作體(ti)系。認(ren)真抓好(hao)《廣(guang)西(xi)國資委關于加強企業(ye)(ye)內(nei)部(bu)監(jian)事(shi)(shi)會(hui)(hui)制(zhi)(zhi)(zhi)度建(jian)(jian)(jian)設(she)的(de)指導意見》的(de)落實(shi)(shi)。建(jian)(jian)(jian)立健全企業(ye)(ye)內(nei)部(bu)監(jian)督體(ti)系,建(jian)(jian)(jian)立完善工(gong)作制(zhi)(zhi)(zhi)度,理(li)(li)順監(jian)督體(ti)制(zhi)(zhi)(zhi)機(ji)(ji)制(zhi)(zhi)(zhi),落實(shi)(shi)監(jian)督職(zhi)權,規范監(jian)督行為(wei)。做實(shi)(shi)子企業(ye)(ye)監(jian)事(shi)(shi)會(hui)(hui)工(gong)作,著力推動(dong)(dong)建(jian)(jian)(jian)立子企業(ye)(ye)重大事(shi)(shi)項報告制(zhi)(zhi)(zhi)度,探(tan)索(suo)建(jian)(jian)(jian)立母子公(gong)(gong)(gong)司監(jian)事(shi)(shi)會(hui)(hui)工(gong)作聯動(dong)(dong)機(ji)(ji)制(zhi)(zhi)(zhi),落實(shi)(shi)集團公(gong)(gong)(gong)司對重要子企業(ye)(ye)經營管理(li)(li)的(de)知情權和(he)監(jian)督權。通過(guo)推進(jin)監(jian)事(shi)(shi)會(hui)(hui)制(zhi)(zhi)(zhi)度在(zai)監(jian)管企業(ye)(ye)內(nei)部(bu)的(de)全面實(shi)(shi)施(shi),將各級(ji)國有資產置于各級(ji)監(jian)事(shi)(shi)會(hui)(hui)的(de)監(jian)督之(zhi)內(nei),發揮監(jian)事(shi)(shi)會(hui)(hui)在(zai)國有企業(ye)(ye)公(gong)(gong)(gong)司法(fa)人治(zhi)理(li)(li)結構(gou)中(zhong)的(de)重要作用。
二(er)是聚焦監(jian)督(du)(du)(du)內容,增強(qiang)監(jian)督(du)(du)(du)檢查(cha)的(de)(de)(de)針對(dui)性(xing)和有(you)效(xiao)性(xing)。以(yi)“問題和風(feng)險(xian)”為(wei)導向,加(jia)強(qiang)對(dui)企(qi)(qi)業(ye)(ye)(ye)“三重(zhong)一大”決策程序、企(qi)(qi)業(ye)(ye)(ye)風(feng)險(xian)管(guan)(guan)控制(zhi)度(du)、企(qi)(qi)業(ye)(ye)(ye)負責人履職行為(wei)的(de)(de)(de)監(jian)督(du)(du)(du),加(jia)大對(dui)企(qi)(qi)業(ye)(ye)(ye)經營(ying)運(yun)行信(xin)息分析和重(zhong)點經營(ying)風(feng)險(xian)的(de)(de)(de)預測預警力度(du),密(mi)切(qie)關注各項改革舉措對(dui)企(qi)(qi)業(ye)(ye)(ye)的(de)(de)(de)影響,跟(gen)(gen)蹤(zong)研(yan)判主(zhu)要業(ye)(ye)(ye)務風(feng)險(xian)點的(de)(de)(de)演變,重(zhong)點跟(gen)(gen)蹤(zong)企(qi)(qi)業(ye)(ye)(ye)非主(zhu)業(ye)(ye)(ye)投資、委貸、擔(dan)保、融資性(xing)貿易、金融衍(yan)生(sheng)品(pin)、房地產(chan)領域等業(ye)(ye)(ye)務以(yi)及混合所有(you)制(zhi)企(qi)(qi)業(ye)(ye)(ye)管(guan)(guan)理運(yun)營(ying)的(de)(de)(de)風(feng)險(xian)防范,不斷增強(qiang)監(jian)督(du)(du)(du)檢查(cha)的(de)(de)(de)針對(dui)性(xing)和有(you)效(xiao)性(xing)。
三是做(zuo)深(shen)做(zuo)實(shi)(shi)做(zuo)細(xi)當期監(jian)督,提(ti)高監(jian)督檢(jian)(jian)查的(de)質(zhi)量水(shui)平。充分發(fa)揮監(jian)事(shi)會實(shi)(shi)時動態監(jian)督、現場監(jian)督優勢,進(jin)一步強(qiang)化(hua)日常監(jian)督檢(jian)(jian)查工作。切實(shi)(shi)發(fa)揮重(zhong)(zhong)點(dian)聯(lian)系人(ren)作用,增(zeng)強(qiang)日常監(jian)督的(de)敏感性(xing)。及(ji)(ji)時歸集(ji)企業(ye)(ye)重(zhong)(zhong)要(yao)情況(kuang),圍繞問題線索延伸開(kai)展追蹤調查。圍繞出資人(ren)重(zhong)(zhong)點(dian)關注事(shi)項(xiang)以及(ji)(ji)行(xing)業(ye)(ye)企業(ye)(ye)共性(xing)、熱點(dian)問題,統一組(zu)織制定年度專(zhuan)(zhuan)項(xiang)檢(jian)(jian)查計(ji)劃(hua),深(shen)入(ru)務(wu)實(shi)(shi)開(kai)展專(zhuan)(zhuan)項(xiang)檢(jian)(jian)查。針(zhen)對重(zhong)(zhong)點(dian)企業(ye)(ye)、重(zhong)(zhong)點(dian)業(ye)(ye)務(wu)、關鍵環節以及(ji)(ji)可(ke)能(neng)存在的(de)問題和(he)風險源(yuan)點(dian),認真組(zu)織開(kai)展專(zhuan)(zhuan)項(xiang)審(shen)計(ji),以“深(shen)”、“實(shi)(shi)”、“準(zhun)”、“效”為目標,不(bu)斷(duan)提(ti)升專(zhuan)(zhuan)項(xiang)審(shen)計(ji)質(zhi)量。
四(si)是立(li)足整(zheng)(zheng)改(gai)落實(shi)(shi),強(qiang)化(hua)(hua)監(jian)(jian)(jian)(jian)(jian)督(du)(du)檢查成果(guo)(guo)的(de)(de)充分(fen)運用。進一步建立(li)健全監(jian)(jian)(jian)(jian)(jian)事會(hui)(hui)監(jian)(jian)(jian)(jian)(jian)督(du)(du)檢查成果(guo)(guo)的(de)(de)運用機制(zhi),規范完善“監(jian)(jian)(jian)(jian)(jian)事會(hui)(hui)發(fa)現(xian)問題(ti)、報告問題(ti)、指導和(he)(he)(he)(he)督(du)(du)促整(zheng)(zheng)改(gai),國(guo)資(zi)委研(yan)究批(pi)示、加強(qiang)管理(li)、督(du)(du)查督(du)(du)辦,企業整(zheng)(zheng)改(gai)落實(shi)(shi)、反饋(kui)結果(guo)(guo)”的(de)(de)監(jian)(jian)(jian)(jian)(jian)督(du)(du)檢查成果(guo)(guo)運用工(gong)作閉環(huan)。不(bu)斷提(ti)升報告的(de)(de)質量(liang)和(he)(he)(he)(he)水平,確(que)保報告的(de)(de)時效(xiao)性(xing)、信(xin)息性(xing)、客觀性(xing)和(he)(he)(he)(he)嚴謹性(xing)。繼(ji)續(xu)強(qiang)化(hua)(hua)監(jian)(jian)(jian)(jian)(jian)督(du)(du)成果(guo)(guo)在(zai)委內的(de)(de)運用,不(bu)斷深化(hua)(hua)監(jian)(jian)(jian)(jian)(jian)事會(hui)(hui)與委機關(guan)處室的(de)(de)監(jian)(jian)(jian)(jian)(jian)管協(xie)同和(he)(he)(he)(he)監(jian)(jian)(jian)(jian)(jian)管聯動,共同指導督(du)(du)促企業開展整(zheng)(zheng)改(gai)落實(shi)(shi)。著(zhu)力推動監(jian)(jian)(jian)(jian)(jian)事會(hui)(hui)監(jian)(jian)(jian)(jian)(jian)督(du)(du)成果(guo)(guo)在(zai)企業的(de)(de)運用,繼(ji)續(xu)完善企業整(zheng)(zheng)改(gai)后評價和(he)(he)(he)(he)績效(xiao)考(kao)評掛鉤工(gong)作,將監(jian)(jian)(jian)(jian)(jian)督(du)(du)成果(guo)(guo)實(shi)(shi)實(shi)(shi)在(zai)在(zai)地轉化(hua)(hua)為(wei)促進企業規范管理(li)、防范風(feng)險、健康發(fa)展的(de)(de)工(gong)作實(shi)(shi)效(xiao)。
五是適應新(xin)(xin)(xin)形(xing)(xing)勢新(xin)(xin)(xin)常(chang)態,不斷(duan)加(jia)強和(he)改進(jin)監(jian)事會(hui)工作(zuo)(zuo)(zuo)。在廣西全面深化(hua)國(guo)資(zi)國(guo)企(qi)(qi)改革,大(da)力(li)推進(jin)政企(qi)(qi)分開、實(shi)施(shi)分類監(jian)管(guan)和(he)委(wei)托監(jian)管(guan)、發展(zhan)混合所有制(zhi)經濟、推動(dong)監(jian)管(guan)企(qi)(qi)業內外部資(zi)源整合重組、健全完善(shan)現代企(qi)(qi)業制(zhi)度(du)的新(xin)(xin)(xin)形(xing)(xing)勢、新(xin)(xin)(xin)任務、新(xin)(xin)(xin)要求下(xia),進(jin)一(yi)步改進(jin)、完善(shan)、深化(hua)和(he)加(jia)強監(jian)事會(hui)工作(zuo)(zuo)(zuo)。創(chuang)新(xin)(xin)(xin)監(jian)督模式(shi)、方式(shi)和(he)手段,探索差異化(hua)監(jian)督的方式(shi)方法,健全差異化(hua)監(jian)督的權力(li)運行制(zhi)約和(he)監(jian)督體(ti)系,進(jin)一(yi)步規范完善(shan)“兩個融入”工作(zuo)(zuo)(zuo)內容,加(jia)快(kuai)構(gou)建“全覆蓋(gai)、大(da)監(jian)督”工作(zuo)(zuo)(zuo)格局(ju)。強化(hua)當(dang)期監(jian)督,努力(li)使監(jian)事會(hui)工作(zuo)(zuo)(zuo)在國(guo)資(zi)監(jian)管(guan)和(he)國(guo)有企(qi)(qi)業改革發展(zhan)中更有作(zuo)(zuo)(zuo)為。
六是加(jia)強學習培(pei)訓,提(ti)升隊伍能力(li)素質(zhi)。加(jia)大各監事會(hui)之間、與子企(qi)業監事會(hui)之間、與外省監事會(hui)之間的(de)業務交流,學習借鑒,取長(chang)補短。拓寬培(pei)訓渠道,改(gai)進(jin)培(pei)訓方式,有(you)針對性地組(zu)織開(kai)展培(pei)訓活(huo)動,提(ti)高培(pei)訓效果(guo)。圍繞深化改(gai)革(ge)的(de)新形(xing)勢、新任務、新要求,加(jia)強監督(du)實踐(jian)中的(de)熱點難點問題(ti)組(zu)織開(kai)展專題(ti)研究,結(jie)合典型案例開(kai)展研討交流,進(jin)一步提(ti)升監事會(hui)履職(zhi)水平。
