2014年,廣西國有企業監事會在廣西自治區黨委、政府和廣西國資委(wei)的(de)(de)(de)領(ling)導支持下,在國務院國資委(wei)監(jian)(jian)事(shi)會(hui)(hui)工(gong)(gong)作(zuo)局的(de)(de)(de)幫(bang)助指導下,牢(lao)牢(lao)把握(wo)“兩個融入(ru)”的(de)(de)(de)工(gong)(gong)作(zuo)總要求,積極(ji)融入(ru)國資監(jian)(jian)管(guan)工(gong)(gong)作(zuo)體(ti)(ti)系、融入(ru)企(qi)(qi)(qi)(qi)業(ye)法人治理(li)結構,充分發(fa)(fa)揮“眼睛”“耳朵”“鼻子(zi)”的(de)(de)(de)作(zuo)用(yong)(yong)(yong),日常監(jian)(jian)督(du)進(jin)一步落實;堅(jian)持以(yi)“問題和(he)風(feng)險(xian)”為(wei)導向,企(qi)(qi)(qi)(qi)業(ye)經(jing)營風(feng)險(xian)專項(xiang)檢(jian)查(cha)取(qu)得良好效果(guo);監(jian)(jian)督(du)檢(jian)查(cha)成果(guo)得到有效運用(yong)(yong)(yong),監(jian)(jian)事(shi)會(hui)(hui)工(gong)(gong)作(zuo)閉環進(jin)一步形成;推進(jin)建立整(zheng)體(ti)(ti)聯動的(de)(de)(de)監(jian)(jian)事(shi)會(hui)(hui)監(jian)(jian)督(du)檢(jian)查(cha)網絡,企(qi)(qi)(qi)(qi)業(ye)內部監(jian)(jian)事(shi)會(hui)(hui)建設(she)有所突破。為(wei)完善(shan)監(jian)(jian)管(guan)體(ti)(ti)制(zhi),提(ti)高監(jian)(jian)管(guan)協同效率,確保(bao)國有資產保(bao)值增值和(he)促進(jin)企(qi)(qi)(qi)(qi)業(ye)發(fa)(fa)展發(fa)(fa)揮了重要作(zuo)用(yong)(yong)(yong)。
一、聚焦重點,提高監督質量。各監(jian)(jian)事會堅持(chi)將國資監(jian)(jian)管中(zhong)心(xin)工作(zuo)納入監(jian)(jian)督(du)(du)(du)檢查(cha)(cha)重(zhong)點(dian)內容,以財務監(jian)(jian)督(du)(du)(du)為(wei)核心(xin),強化(hua)“問(wen)題(ti)和(he)風(feng)險(xian)”導向,進一(yi)步突(tu)出(chu)對企(qi)業(ye)“三重(zhong)一(yi)大”決策程序、生產經(jing)營(ying)風(feng)險(xian)管控制度(du)、企(qi)業(ye)負責人(ren)履職行為(wei)、出(chu)資人(ren)重(zhong)點(dian)關注事項的(de)監(jian)(jian)督(du)(du)(du)。持(chi)續加強監(jian)(jian)督(du)(du)(du)檢查(cha)(cha)的(de)深度(du)廣(guang)度(du),積極將監(jian)(jian)督(du)(du)(du)觸角向子(zi)公(gong)司延伸(shen)。積極向出(chu)資人(ren)報(bao)告(gao)情況、披(pi)(pi)露風(feng)險(xian),全(quan)年共提(ti)(ti)交監(jian)(jian)督(du)(du)(du)檢查(cha)(cha)報(bao)告(gao)、專項報(bao)告(gao)、情況報(bao)告(gao)等各類報(bao)告(gao)373份。報(bao)告(gao)質量明顯提(ti)(ti)高,各類報(bao)告(gao)共披(pi)(pi)露企(qi)業(ye)存在的(de)風(feng)險(xian)和(he)問(wen)題(ti)360項,提(ti)(ti)出(chu)合(he)理化(hua)建議(yi)395條(tiao),為(wei)出(chu)資人(ren)履行監(jian)(jian)管職責,完(wan)善(shan)提(ti)(ti)升企(qi)業(ye)管理,防(fang)范經(jing)營(ying)風(feng)險(xian),提(ti)(ti)供了重(zhong)要的(de)依據和(he)參考。
二、融入企業治理,做深做實做細日常監督。一是把列(lie)席(xi)(xi)企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)重要(yao)會議作為(wei)決策監(jian)(jian)督、有(you)效制(zhi)(zhi)衡(heng)的(de)(de)重要(yao)形式(shi)。各(ge)監(jian)(jian)事(shi)(shi)會去年(nian)全(quan)年(nian)共列(lie)席(xi)(xi)企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)的(de)(de)董事(shi)(shi)會、黨委會、黨政(zheng)聯席(xi)(xi)會、辦公會等重要(yao)會議570次。二是切實(shi)(shi)(shi)抓好重點(dian)聯系人制(zhi)(zhi)度的(de)(de)落實(shi)(shi)(shi)。各(ge)監(jian)(jian)事(shi)(shi)會努力克(ke)服人手(shou)偏少的(de)(de)實(shi)(shi)(shi)際困難,堅持完善“重點(dian)聯系人常駐企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)、AB角(jiao)互補、重大(da)問題聯手(shou)檢查(cha)”工(gong)(gong)作機制(zhi)(zhi),發揮重點(dian)聯系人現場監(jian)(jian)督、實(shi)(shi)(shi)時監(jian)(jian)督的(de)(de)特點(dian)和優勢。全(quan)年(nian),重點(dian)聯系人在(zai)企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)的(de)(de)時間平均每人達到150天,基本做(zuo)到了對企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)重大(da)事(shi)(shi)項(xiang)的(de)(de)全(quan)程跟蹤監(jian)(jian)督。三是更加注(zhu)重監(jian)(jian)督的(de)(de)時效性(xing)。各(ge)監(jian)(jian)事(shi)(shi)會切實(shi)(shi)(shi)加強與(yu)企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)的(de)(de)現場溝通、交流、反(fan)饋,在(zai)一線(xian)積(ji)極(ji)“發聲”,及(ji)時將國(guo)資委的(de)(de)工(gong)(gong)作意圖(tu)和管(guan)理要(yao)求(qiu)傳遞給(gei)企(qi)(qi)(qi)(qi)業(ye)(ye)(ye),與(yu)企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)共同謀(mou)劃(hua)提(ti)升管(guan)理、防(fang)控風險和改革發展的(de)(de)思(si)路。2014年(nian)全(quan)年(nian),各(ge)監(jian)(jian)事(shi)(shi)會共約談企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)主要(yao)負(fu)責人、與(yu)企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)領導、相關(guan)部門負(fu)責人交換意見370次,召開企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)座談會206次,向企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)直(zhi)接發函61份,及(ji)時有(you)效地督促了企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)的(de)(de)風險防(fang)范和整改落實(shi)(shi)(shi)。
三、強化監督成果運用,服務企業整改落實。監(jian)(jian)(jian)事(shi)(shi)(shi)會(hui)(hui)(hui)監(jian)(jian)(jian)督(du)(du)檢查成(cheng)(cheng)果(guo)運用的(de)(de)(de)(de)(de)力度(du)明顯加(jia)大,逐步(bu)形成(cheng)(cheng)了四個(ge)(ge)層(ceng)面(mian)(mian)(mian)整(zheng)體推動的(de)(de)(de)(de)(de)工作格局。第(di)一個(ge)(ge)層(ceng)面(mian)(mian)(mian),廣西自(zi)治區黨委(wei)(wei)(wei)、政府對(dui)(dui)監(jian)(jian)(jian)事(shi)(shi)(shi)會(hui)(hui)(hui)監(jian)(jian)(jian)督(du)(du)檢查報(bao)(bao)(bao)告(gao)(gao)越來越重(zhong)(zhong)(zhong)視,對(dui)(dui)報(bao)(bao)(bao)告(gao)(gao)中披露(lu)企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)存(cun)在(zai)(zai)的(de)(de)(de)(de)(de)重(zhong)(zhong)(zhong)大問(wen)(wen)(wen)題(ti)都有(you)(you)(you)(you)具(ju)體批(pi)示,帶有(you)(you)(you)(you)普遍性的(de)(de)(de)(de)(de)問(wen)(wen)(wen)題(ti)還(huan)組織(zhi)全面(mian)(mian)(mian)調研(yan)、推動一攬子解決(jue),個(ge)(ge)別重(zhong)(zhong)(zhong)大情(qing)況還(huan)專門調閱監(jian)(jian)(jian)事(shi)(shi)(shi)會(hui)(hui)(hui)歷(li)年來的(de)(de)(de)(de)(de)報(bao)(bao)(bao)告(gao)(gao)。第(di)二個(ge)(ge)層(ceng)面(mian)(mian)(mian),國(guo)資(zi)委(wei)(wei)(wei)領(ling)導、業(ye)(ye)(ye)(ye)(ye)務處室對(dui)(dui)監(jian)(jian)(jian)事(shi)(shi)(shi)會(hui)(hui)(hui)披露(lu)企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)存(cun)在(zai)(zai)的(de)(de)(de)(de)(de)問(wen)(wen)(wen)題(ti),都能夠認真、及(ji)時(shi)作出處理,所有(you)(you)(you)(you)報(bao)(bao)(bao)告(gao)(gao)都在(zai)(zai)委(wei)(wei)(wei)領(ling)導、監(jian)(jian)(jian)事(shi)(shi)(shi)會(hui)(hui)(hui)主席進行(xing)(xing)傳閱,重(zhong)(zhong)(zhong)要問(wen)(wen)(wen)題(ti)責成(cheng)(cheng)業(ye)(ye)(ye)(ye)(ye)務部門進行(xing)(xing)研(yan)究,特別重(zhong)(zhong)(zhong)要的(de)(de)(de)(de)(de),由(you)委(wei)(wei)(wei)領(ling)導帶隊(dui)進行(xing)(xing)專題(ti)調研(yan)。第(di)三個(ge)(ge)層(ceng)面(mian)(mian)(mian),企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)對(dui)(dui)監(jian)(jian)(jian)事(shi)(shi)(shi)會(hui)(hui)(hui)披露(lu)的(de)(de)(de)(de)(de)問(wen)(wen)(wen)題(ti)基本能正確對(dui)(dui)待,認真落(luo)(luo)實整(zheng)改,重(zhong)(zhong)(zhong)要問(wen)(wen)(wen)題(ti)的(de)(de)(de)(de)(de)整(zheng)改做到有(you)(you)(you)(you)方(fang)案(an)、有(you)(you)(you)(you)計劃(hua)、有(you)(you)(you)(you)措(cuo)施,整(zheng)改完成(cheng)(cheng)有(you)(you)(you)(you)情(qing)況報(bao)(bao)(bao)告(gao)(gao)。有(you)(you)(you)(you)些已經(jing)直接(jie)促(cu)成(cheng)(cheng)企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)改造業(ye)(ye)(ye)(ye)(ye)務流程、規范(fan)管(guan)理制度(du)、規避經(jing)營風險。第(di)四個(ge)(ge)層(ceng)面(mian)(mian)(mian),監(jian)(jian)(jian)事(shi)(shi)(shi)會(hui)(hui)(hui)發揮貼近(jin)企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)的(de)(de)(de)(de)(de)優勢(shi),更(geng)加(jia)重(zhong)(zhong)(zhong)視改進、完善和加(jia)強(qiang)(qiang)與企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)交(jiao)換意見(jian)的(de)(de)(de)(de)(de)方(fang)式(shi)方(fang)法(fa),注重(zhong)(zhong)(zhong)將監(jian)(jian)(jian)督(du)(du)成(cheng)(cheng)果(guo)轉化(hua)為(wei)改進企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)經(jing)營管(guan)理的(de)(de)(de)(de)(de)實際舉措(cuo),做到揭示問(wen)(wen)(wen)題(ti)與督(du)(du)促(cu)整(zheng)改并(bing)重(zhong)(zhong)(zhong)。發現企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)經(jing)營管(guan)理中存(cun)在(zai)(zai)不(bu)合(he)規行(xing)(xing)為(wei),及(ji)時(shi)質疑指正;對(dui)(dui)企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)應予關注并(bing)能夠自(zi)行(xing)(xing)解決(jue)的(de)(de)(de)(de)(de)風險和問(wen)(wen)(wen)題(ti),及(ji)時(shi)與企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)交(jiao)換意見(jian),督(du)(du)導企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)整(zheng)改;對(dui)(dui)綜合(he)性、普遍性和涉及(ji)全局的(de)(de)(de)(de)(de)重(zhong)(zhong)(zhong)大問(wen)(wen)(wen)題(ti),及(ji)時(shi)報(bao)(bao)(bao)告(gao)(gao)國(guo)資(zi)委(wei)(wei)(wei)后加(jia)強(qiang)(qiang)跟蹤協調,督(du)(du)促(cu)企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)按國(guo)資(zi)委(wei)(wei)(wei)的(de)(de)(de)(de)(de)要求(qiu)整(zheng)改落(luo)(luo)實。總體上,從監(jian)(jian)(jian)事(shi)(shi)(shi)會(hui)(hui)(hui)發現問(wen)(wen)(wen)題(ti)、報(bao)(bao)(bao)告(gao)(gao)問(wen)(wen)(wen)題(ti),到企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)整(zheng)改落(luo)(luo)實、結果(guo)反饋(kui)的(de)(de)(de)(de)(de)監(jian)(jian)(jian)督(du)(du)檢查成(cheng)(cheng)果(guo)運用工作閉環得到了進一步(bu)的(de)(de)(de)(de)(de)規范(fan)、完善和加(jia)強(qiang)(qiang)。
四、融入中心工作,加強協同配合。過去(qu)一(yi)年,監(jian)(jian)事會(hui)(hui)參與(yu)了(le)廣西國(guo)(guo)資(zi)(zi)委《關(guan)于深(shen)(shen)化廣西國(guo)(guo)資(zi)(zi)國(guo)(guo)企(qi)(qi)改革的(de)(de)指(zhi)導意見》、《關(guan)于全面深(shen)(shen)化監(jian)(jian)管企(qi)(qi)業(ye)改革的(de)(de)實施方(fang)案》等重要文件(jian)及(ji)“深(shen)(shen)化國(guo)(guo)有(you)企(qi)(qi)業(ye)管理體(ti)制(zhi)(zhi)機制(zhi)(zhi)改革研究”重大課(ke)題(ti)的(de)(de)研討和起草工作(zuo),發(fa)揮了(le)積極的(de)(de)作(zuo)用(yong)。同時,積極探索推(tui)進企(qi)(qi)業(ye)內(nei)(nei)部監(jian)(jian)事會(hui)(hui)制(zhi)(zhi)度(du)(du)建(jian)(jian)(jian)設、隊伍建(jian)(jian)(jian)設和構建(jian)(jian)(jian)外派監(jian)(jian)事會(hui)(hui)與(yu)各級子企(qi)(qi)業(ye)監(jian)(jian)事會(hui)(hui)協(xie)調(diao)聯動的(de)(de)有(you)效機制(zhi)(zhi),出臺(tai)《廣西國(guo)(guo)資(zi)(zi)委關(guan)于加強企(qi)(qi)業(ye)監(jian)(jian)事會(hui)(hui)制(zhi)(zhi)度(du)(du)建(jian)(jian)(jian)設的(de)(de)指(zhi)導意見》,為加快推(tui)進企(qi)(qi)業(ye)內(nei)(nei)部監(jian)(jian)事會(hui)(hui)制(zhi)(zhi)度(du)(du)建(jian)(jian)(jian)設提(ti)供(gong)了(le)制(zhi)(zhi)度(du)(du)依據(ju)和工作(zuo)指(zhi)引(yin),為加快實現監(jian)(jian)事會(hui)(hui)工作(zuo)“全覆(fu)蓋”,更好的(de)(de)發(fa)揮監(jian)(jian)督職(zhi)能提(ti)供(gong)了(le)有(you)力的(de)(de)制(zhi)(zhi)度(du)(du)保障。
廣西國資委機關與監事會進一步認真落實《廣西國資委內部運用監事會監督檢查成果暫行規定》,持續加強協同配合和業務交流。制度銜接、聯手操作、信息共享、成果運用等工作更為流暢有序,監管聯動的效率進一步提高。其中,委機關與監事會協同開展的企業年度財務決算審計、企業投資項目后評價、企業經營風險專項檢查、紀檢巡查等重點專項工作卓有成效。將各年度監事會年度監督檢查報告、企業整改情況報告、專項審計報告、經營風險專項檢查報告匯編成冊,為監督檢查成果使用各方指導、督促和服務企業,推進所揭示風險和問題的整改落實,提供了工作參考和查閱便利。各監事會更重視加強自身建設,開展監事會工作三年回顧和監督檢查典型案例編寫工作,為完善和深化監事會工作夯實基礎。
