為推動監(jian)管企業(ye)(ye)國有資本授權經營(ying)(ying)體制改革,進(jin)一步促(cu)進(jin)監(jian)管企業(ye)(ye)董事(shi)會(hui)規(gui)范運轉(zhuan),加強董事(shi)會(hui)建(jian)設,貴州國資委積極開(kai)展監(jian)管企業(ye)(ye)董事(shi)會(hui)運行評(ping)估工作,組(zu)織董事(shi)會(hui)運行評(ping)估小組(zu)對茅臺集團(tuan)、黔晟(sheng)公司等8戶(hu)獨資企業(ye)(ye)董事(shi)會(hui)運行情況進(jin)行了評(ping)估,為完善監(jian)管企業(ye)(ye)治理(li)結(jie)構、健(jian)全現代企業(ye)(ye)制度及(ji)開(kai)展授權經營(ying)(ying)試點(dian)奠定堅實(shi)基礎(chu)。
一是全面構建董事會運行評估指標體系。在借鑒國內外(wai)董(dong)(dong)(dong)事(shi)(shi)會(hui)(hui)(hui)(hui)(hui)運(yun)(yun)行(xing)(xing)(xing)評估(gu)(gu)經驗的基(ji)礎上,結合我(wo)國法律、法規(gui)、制(zhi)度等(deng)(deng)(deng)環境因素以及我(wo)委監管(guan)企業(ye)治(zhi)理實際狀況(kuang),從可操作、可考核印證等(deng)(deng)(deng)角度設計了(le)《貴(gui)(gui)州(zhou)國資(zi)委監管(guan)企業(ye)董(dong)(dong)(dong)事(shi)(shi)會(hui)(hui)(hui)(hui)(hui)運(yun)(yun)行(xing)(xing)(xing)評估(gu)(gu)要點》,著(zhu)重從董(dong)(dong)(dong)事(shi)(shi)會(hui)(hui)(hui)(hui)(hui)體系健全、運(yun)(yun)行(xing)(xing)(xing)規(gui)范、運(yun)(yun)行(xing)(xing)(xing)效(xiao)率與效(xiao)果(guo)、董(dong)(dong)(dong)事(shi)(shi)會(hui)(hui)(hui)(hui)(hui)成員履職盡(jin)責等(deng)(deng)(deng)4個維度初步構(gou)建了(le)貴(gui)(gui)州(zhou)國資(zi)委監管(guan)企業(ye)董(dong)(dong)(dong)事(shi)(shi)會(hui)(hui)(hui)(hui)(hui)運(yun)(yun)行(xing)(xing)(xing)評估(gu)(gu)指標體系,作為茅臺集團、黔晟公司等(deng)(deng)(deng)8戶(hu)企業(ye)董(dong)(dong)(dong)事(shi)(shi)會(hui)(hui)(hui)(hui)(hui)運(yun)(yun)行(xing)(xing)(xing)評估(gu)(gu)打分(fen)標準,研究制(zhi)定(ding)了(le)《監管(guan)企業(ye)董(dong)(dong)(dong)事(shi)(shi)會(hui)(hui)(hui)(hui)(hui)運(yun)(yun)行(xing)(xing)(xing)評估(gu)(gu)評級(ji)辦法》,對照《貴(gui)(gui)州(zhou)國資(zi)委監管(guan)企業(ye)董(dong)(dong)(dong)事(shi)(shi)會(hui)(hui)(hui)(hui)(hui)運(yun)(yun)行(xing)(xing)(xing)評估(gu)(gu)要點》的得分(fen)和(he)綜合評價,初步將(jiang)8戶(hu)獨(du)資(zi)企業(ye)董(dong)(dong)(dong)事(shi)(shi)會(hui)(hui)(hui)(hui)(hui)運(yun)(yun)行(xing)(xing)(xing)狀況(kuang)評定(ding)為A、B、C三個等(deng)(deng)(deng)級(ji)。
二是科學設計董事會運行評估操作流程。根據(ju)工作(zuo)需(xu)要,將此次董(dong)(dong)事(shi)會(hui)(hui)運(yun)行(xing)(xing)評(ping)估(gu)(gu)工作(zuo)設(she)(she)計(ji)為五(wu)個步驟(zou)。第(di)(di)一步,實(shi)地查看。評(ping)估(gu)(gu)小(xiao)組到(dao)8戶(hu)獨資(zi)企(qi)業(ye)采取聽取匯報、查閱資(zi)料、個別訪談(tan)、收(shou)集(ji)資(zi)料等方式對其董(dong)(dong)事(shi)會(hui)(hui)運(yun)行(xing)(xing)情況(kuang)進(jin)行(xing)(xing)了實(shi)地評(ping)估(gu)(gu)。第(di)(di)二步,綜(zong)合評(ping)分。評(ping)估(gu)(gu)小(xiao)組根據(ju)綜(zong)合評(ping)估(gu)(gu)情況(kuang)進(jin)行(xing)(xing)初(chu)步打分。第(di)(di)三步,集(ji)體討(tao)論。召開(kai)了3次委(wei)機(ji)關(guan)有關(guan)處室參(can)加(jia)的(de)專門(men)評(ping)估(gu)(gu)會(hui)(hui)議,分別對每戶(hu)企(qi)業(ye)董(dong)(dong)事(shi)會(hui)(hui)運(yun)行(xing)(xing)評(ping)估(gu)(gu)初(chu)步結果進(jin)行(xing)(xing)集(ji)體討(tao)論。第(di)(di)四步,評(ping)估(gu)(gu)評(ping)級。將企(qi)業(ye)董(dong)(dong)事(shi)會(hui)(hui)運(yun)行(xing)(xing)評(ping)估(gu)(gu)結果報貴州國資(zi)委(wei)主任辦公(gong)會(hui)(hui)議研究。最后一步,反饋意見。將8戶(hu)獨資(zi)企(qi)業(ye)董(dong)(dong)事(shi)會(hui)(hui)運(yun)行(xing)(xing)實(shi)際情況(kuang)反饋給被評(ping)估(gu)(gu)企(qi)業(ye)董(dong)(dong)事(shi)會(hui)(hui),針對評(ping)估(gu)(gu)工作(zuo)中(zhong)發現的(de)問題,提出了加(jia)強和(he)(he)改進(jin)董(dong)(dong)事(shi)會(hui)(hui)建設(she)(she)的(de)建議和(he)(he)意見。
三是充分運用董事會運行評估成果。將充分發(fa)揮(hui)董(dong)事(shi)(shi)會(hui)運行(xing)評(ping)估對監管企(qi)業董(dong)事(shi)(shi)會(hui)領(ling)導班(ban)子(zi)及董(dong)事(shi)(shi)個人導向作用(yong)。一是(shi)(shi)將董(dong)事(shi)(shi)會(hui)運行(xing)評(ping)估結(jie)果作為對董(dong)事(shi)(shi)考核、聘任的(de)(de)重要參考依據(ju)。二是(shi)(shi)根據(ju)本次董(dong)事(shi)(shi)會(hui)運行(xing)評(ping)估結(jie)果,由貴州國資委法規(gui)處、領(ling)管處等(deng)處室(shi)牽(qian)頭研究,提(ti)出(chu)對相(xiang)關(guan)企(qi)業董(dong)事(shi)(shi)會(hui)進行(xing)授權(quan)經(jing)營(ying)(ying)的(de)(de)辦法并(bing)開展授權(quan)經(jing)營(ying)(ying)試點。三(san)是(shi)(shi)將本次董(dong)事(shi)(shi)會(hui)運行(xing)評(ping)估結(jie)果的(de)(de)意見和建議反(fan)饋給(gei)相(xiang)關(guan)企(qi)業,促其改進提(ti)高(gao)。四(si)是(shi)(shi)研究提(ti)出(chu)加強和改進監管企(qi)業董(dong)事(shi)(shi)會(hui)建設的(de)(de)意見印發(fa)企(qi)業。
