為全(quan)面(mian)貫徹黨(dang)的(de)十八(ba)大和(he)十八(ba)屆三中(zhong)(zhong)、四(si)中(zhong)(zhong)、五(wu)中(zhong)(zhong)全(quan)會精神,進一步深化(hua)全(quan)區國有(you)企業改革,根據《中(zhong)(zhong)共中(zhong)(zhong)央、國務院關于深化(hua)國有(you)企業改革的(de)指導意見》(中(zhong)(zhong)發(fa)〔2015〕22號)精神,結合自(zi)治區實際,提(ti)出如下實施意見。
一、深化國有企業改(gai)革的重要(yao)意義和總體要(yao)求
1.重(zhong)要(yao)(yao)(yao)(yao)(yao)(yao)意義。國(guo)(guo)(guo)(guo)(guo)(guo)(guo)有企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)(ye)屬于全民(min)所有,是(shi)(shi)生(sheng)產(chan)資料公有制(zhi)的(de)(de)重(zhong)要(yao)(yao)(yao)(yao)(yao)(yao)實現形式,是(shi)(shi)堅(jian)(jian)持(chi)社會主(zhu)義基本(ben)經(jing)濟(ji)(ji)制(zhi)度的(de)(de)堅(jian)(jian)強(qiang)基礎,是(shi)(shi)引導(dao)、推動和調控經(jing)濟(ji)(ji)社會發(fa)(fa)(fa)展(zhan)的(de)(de)基本(ben)力(li)量,是(shi)(shi)實現廣大人民(min)群眾根本(ben)利(li)益和共同(tong)富(fu)裕的(de)(de)重(zhong)要(yao)(yao)(yao)(yao)(yao)(yao)保(bao)(bao)證(zheng)。改革(ge)(ge)(ge)開(kai)放(fang)以來,自(zi)治(zhi)區(qu)黨委、政(zheng)(zheng)(zheng)府在(zai)黨中央、國(guo)(guo)(guo)(guo)(guo)(guo)(guo)務(wu)院正(zheng)確領導(dao)下(xia),圍繞處理(li)(li)好政(zheng)(zheng)(zheng)府與(yu)企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)(ye)、企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)(ye)與(yu)市(shi)場(chang)的(de)(de)關(guan)系(xi),堅(jian)(jian)定不(bu)(bu)移推進國(guo)(guo)(guo)(guo)(guo)(guo)(guo)有企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)(ye)改革(ge)(ge)(ge),國(guo)(guo)(guo)(guo)(guo)(guo)(guo)有經(jing)濟(ji)(ji)的(de)(de)經(jing)營(ying)(ying)機(ji)制(zhi)、管(guan)理(li)(li)體(ti)(ti)系(xi)以及(ji)國(guo)(guo)(guo)(guo)(guo)(guo)(guo)有企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)(ye)面(mian)貌發(fa)(fa)(fa)生(sheng)了(le)(le)根本(ben)性變化,總體(ti)(ti)上已經(jing)同(tong)市(shi)場(chang)經(jing)濟(ji)(ji)相融合,在(zai)應(ying)對(dui)市(shi)場(chang)挑戰、保(bao)(bao)證(zheng)經(jing)濟(ji)(ji)持(chi)續健康發(fa)(fa)(fa)展(zhan)中發(fa)(fa)(fa)揮了(le)(le)重(zhong)要(yao)(yao)(yao)(yao)(yao)(yao)作(zuo)用,在(zai)結構調整和產(chan)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)(ye)轉型升(sheng)級中發(fa)(fa)(fa)揮了(le)(le)重(zhong)要(yao)(yao)(yao)(yao)(yao)(yao)作(zuo)用,在(zai)保(bao)(bao)障(zhang)和改善民(min)生(sheng)、促進各(ge)族人民(min)共同(tong)富(fu)裕中發(fa)(fa)(fa)揮了(le)(le)重(zhong)要(yao)(yao)(yao)(yao)(yao)(yao)作(zuo)用,在(zai)加強(qiang)生(sheng)態建設和環境(jing)保(bao)(bao)護、筑牢我國(guo)(guo)(guo)(guo)(guo)(guo)(guo)北方重(zhong)要(yao)(yao)(yao)(yao)(yao)(yao)生(sheng)態安全屏障(zhang)中發(fa)(fa)(fa)揮了(le)(le)重(zhong)要(yao)(yao)(yao)(yao)(yao)(yao)作(zuo)用。但內蒙古(gu)自(zi)治(zhi)區(qu)國(guo)(guo)(guo)(guo)(guo)(guo)(guo)有企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)(ye)仍然存在(zai)一(yi)些發(fa)(fa)(fa)展(zhan)中亟待解決的(de)(de)矛盾和問(wen)題,政(zheng)(zheng)(zheng)企(qi)(qi)(qi)(qi)不(bu)(bu)分、事(shi)企(qi)(qi)(qi)(qi)不(bu)(bu)分、政(zheng)(zheng)(zheng)資不(bu)(bu)分較(jiao)為(wei)突出,企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)(ye)的(de)(de)市(shi)場(chang)主(zhu)體(ti)(ti)地位需(xu)要(yao)(yao)(yao)(yao)(yao)(yao)進一(yi)步確立(li);多數國(guo)(guo)(guo)(guo)(guo)(guo)(guo)有企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)(ye)規(gui)模較(jiao)小,產(chan)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)(ye)發(fa)(fa)(fa)展(zhan)層次(ci)較(jiao)低(di),布局結構需(xu)要(yao)(yao)(yao)(yao)(yao)(yao)進一(yi)步優(you)化;企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)(ye)治(zhi)理(li)(li)結構不(bu)(bu)完善、運作(zuo)不(bu)(bu)規(gui)范(fan),經(jing)營(ying)(ying)機(ji)制(zhi)需(xu)要(yao)(yao)(yao)(yao)(yao)(yao)進一(yi)步理(li)(li)順;部(bu)分企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)(ye)管(guan)理(li)(li)混亂,國(guo)(guo)(guo)(guo)(guo)(guo)(guo)有資產(chan)流(liu)失等問(wen)題突出,國(guo)(guo)(guo)(guo)(guo)(guo)(guo)有資產(chan)監管(guan)需(xu)要(yao)(yao)(yao)(yao)(yao)(yao)進一(yi)步強(qiang)化;企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)(ye)經(jing)營(ying)(ying)機(ji)制(zhi)還不(bu)(bu)能完全適(shi)應(ying)市(shi)場(chang)競爭(zheng)的(de)(de)需(xu)要(yao)(yao)(yao)(yao)(yao)(yao),國(guo)(guo)(guo)(guo)(guo)(guo)(guo)有企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)(ye)的(de)(de)效率和競爭(zheng)力(li)需(xu)要(yao)(yao)(yao)(yao)(yao)(yao)進一(yi)步提(ti)升(sheng)。各(ge)地區(qu)各(ge)有關(guan)部(bu)門要(yao)(yao)(yao)(yao)(yao)(yao)充分認識深化國(guo)(guo)(guo)(guo)(guo)(guo)(guo)有企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)(ye)改革(ge)(ge)(ge)的(de)(de)重(zhong)要(yao)(yao)(yao)(yao)(yao)(yao)意義,以高度的(de)(de)政(zheng)(zheng)(zheng)治(zhi)責任感扎實推進國(guo)(guo)(guo)(guo)(guo)(guo)(guo)有企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)(ye)改革(ge)(ge)(ge),堅(jian)(jian)決破(po)除各(ge)方面(mian)體(ti)(ti)制(zhi)機(ji)制(zhi)障(zhang)礙(ai),努力(li)把國(guo)(guo)(guo)(guo)(guo)(guo)(guo)有企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)(ye)做(zuo)強(qiang)做(zuo)優(you)做(zuo)大。
2.指導(dao)思想。全(quan)面貫徹落實黨的十八(ba)大和(he)(he)十八(ba)屆三(san)(san)中(zhong)(zhong)、四中(zhong)(zhong)、五中(zhong)(zhong)全(quan)會(hui)精神,以鄧小平理(li)論(lun)、“三(san)(san)個代(dai)表”重(zhong)(zhong)要思想、科學發(fa)展(zhan)觀為指導(dao),深(shen)入貫徹習近平總書記系列(lie)重(zhong)(zhong)要講(jiang)話和(he)(he)考察內(nei)蒙古重(zhong)(zhong)要講(jiang)話精神,認真(zhen)貫徹自治區黨委、政府全(quan)面深(shen)化(hua)改(gai)革(ge)決策(ce)部署,堅(jian)持和(he)(he)完善基本經(jing)濟(ji)(ji)制度(du),堅(jian)持社會(hui)主義市場經(jing)濟(ji)(ji)改(gai)革(ge)方向,以規(gui)范經(jing)營決策(ce)、資產保值(zhi)增值(zhi)、公平參與競爭、提高企(qi)業(ye)(ye)效率、增強(qiang)企(qi)業(ye)(ye)活力(li)、承(cheng)擔社會(hui)責任為重(zhong)(zhong)點(dian),完善產權清晰(xi)、權責明(ming)確、政企(qi)分開(kai)、管理(li)科學的現代(dai)企(qi)業(ye)(ye)制度(du),完善國(guo)有資產監管體制,防止國(guo)有資產流失,全(quan)面推進(jin)依法治企(qi),加強(qiang)和(he)(he)改(gai)進(jin)黨對國(guo)有企(qi)業(ye)(ye)的領導(dao),做強(qiang)做優做大國(guo)有企(qi)業(ye)(ye),不斷增強(qiang)國(guo)有經(jing)濟(ji)(ji)活力(li)、影響力(li)、抗風險(xian)能(neng)力(li),推動內(nei)蒙古自治區國(guo)有經(jing)濟(ji)(ji)、國(guo)有企(qi)業(ye)(ye)創新(xin)發(fa)展(zhan)、協調發(fa)展(zhan)、綠色發(fa)展(zhan)、開(kai)放發(fa)展(zhan)、共享(xiang)發(fa)展(zhan),主動適(shi)應和(he)(he)引(yin)領經(jing)濟(ji)(ji)發(fa)展(zhan)新(xin)常態(tai),為建設現代(dai)化(hua)內(nei)蒙古、打造(zao)祖國(guo)北疆亮麗風景(jing)線作出積極貢獻。
3.基(ji)本原(yuan)則(ze)。深化國有企業改(gai)革(ge),必須(xu)認真貫(guan)徹落(luo)實黨中(zhong)央(yang)、國務院(yuan)關(guan)于(yu)深化國有企業改(gai)革(ge)的(de)一系列戰略決策,把(ba)握好以下(xia)基(ji)本原(yuan)則(ze):
——堅持和完善(shan)基(ji)本(ben)經(jing)(jing)濟(ji)制度。毫(hao)不動搖(yao)鞏固和發(fa)展(zhan)(zhan)公有(you)(you)制經(jing)(jing)濟(ji),毫(hao)不動搖(yao)鼓勵、支持、引導非(fei)(fei)公有(you)(you)制經(jing)(jing)濟(ji)發(fa)展(zhan)(zhan)。促(cu)進國有(you)(you)資本(ben)、集(ji)體資本(ben)、非(fei)(fei)公有(you)(you)資本(ben)等相互融合(he),積極探索、穩步發(fa)展(zhan)(zhan)混(hun)合(he)所(suo)有(you)(you)制經(jing)(jing)濟(ji),推動各種(zhong)所(suo)有(you)(you)制經(jing)(jing)濟(ji)取長補短、相互促(cu)進、融合(he)發(fa)展(zhan)(zhan)。
——堅(jian)持社(she)會主(zhu)(zhu)義市場(chang)經(jing)濟(ji)改(gai)革(ge)方向。牢牢把握使(shi)市場(chang)在(zai)資(zi)源(yuan)配置(zhi)中起決定性作用這條主(zhu)(zhu)線,遵循市場(chang)經(jing)濟(ji)規律(lv)和企業(ye)發展規律(lv),堅(jian)持政(zheng)(zheng)企分開、政(zheng)(zheng)資(zi)分開、所有權與經(jing)營(ying)(ying)權分離,堅(jian)持權利(li)、義務、責任相統一,堅(jian)持激勵機制和約束(shu)機制相結合(he),促使(shi)國(guo)有企業(ye)真(zhen)正成為依(yi)法(fa)自主(zhu)(zhu)經(jing)營(ying)(ying)、自負盈(ying)虧、自擔風險、自我(wo)約束(shu)、自我(wo)發展的(de)獨立市場(chang)主(zhu)(zhu)體。
——堅持增強活力與強化監管相結合(he)。繼續推(tui)進簡政(zheng)放權,依(yi)法(fa)落實企業法(fa)人財產權和(he)經營自主權,進一步激發企業活力、創造力和(he)市場競(jing)爭力,健全(quan)完善國有企業監管制度,防(fang)止(zhi)國有資(zi)(zi)產流失,確保(bao)國有資(zi)(zi)產保(bao)值(zhi)增值(zhi)。
——堅(jian)持黨(dang)(dang)(dang)對國有(you)企業的領導(dao)。貫徹全(quan)面從嚴治(zhi)黨(dang)(dang)(dang)方針,充(chong)分發揮企業黨(dang)(dang)(dang)組織的政(zheng)治(zhi)核心作用,加強企業領導(dao)班子和人才隊伍建設,創(chuang)新(xin)基層(ceng)黨(dang)(dang)(dang)建工作,深(shen)入推進黨(dang)(dang)(dang)風廉政(zheng)建設,堅(jian)持全(quan)心全(quan)意依靠(kao)工人階(jie)級,維護職(zhi)工合(he)法權益,為國有(you)企業改革發展提(ti)供堅(jian)強有(you)力的政(zheng)治(zhi)保(bao)(bao)證、組織保(bao)(bao)證和人才支撐。
——堅持積極穩妥(tuo)統(tong)籌推進。正(zheng)確處(chu)理推進改(gai)革(ge)和(he)堅持法治的(de)關(guan)系,正(zheng)確處(chu)理改(gai)革(ge)發展穩定關(guan)系,正(zheng)確處(chu)理搞好頂(ding)層(ceng)設計(ji)和(he)尊重基層(ceng)首創精神的(de)關(guan)系,突出問題導向,堅持分類(lei)推進,把(ba)握好改(gai)革(ge)的(de)次(ci)序、節奏和(he)力度,確保改(gai)革(ge)扎實推進、務(wu)求實效。
4.主(zhu)要目標(biao)。到(dao)2020年,在國(guo)有(you)企業改(gai)革重要領域和(he)(he)關鍵環節取得(de)決定性成(cheng)果,形成(cheng)更加符合(he)社會主(zhu)義市場(chang)經(jing)濟發展(zhan)要求的國(guo)有(you)資產管理體(ti)制和(he)(he)市場(chang)化經(jing)營機制,國(guo)有(you)資本布局結構更趨合(he)理,國(guo)有(you)資本整(zheng)體(ti)規模和(he)(he)實(shi)力顯著增強,打(da)造(zao)一批優強大企業集團。
——現代企業(ye)(ye)制(zhi)(zhi)度(du)進一步完善。協調運轉(zhuan)、有效(xiao)制(zhi)(zhi)衡的(de)(de)法人(ren)治理(li)結構更加(jia)健全(quan),董事(shi)(shi)會建設更加(jia)規(gui)范,派駐監事(shi)(shi)會實現全(quan)覆(fu)蓋,職(zhi)業(ye)(ye)經(jing)(jing)理(li)人(ren)制(zhi)(zhi)度(du)全(quan)面推行,人(ren)力資源、勞(lao)動、分配(pei)制(zhi)(zhi)度(du)和激(ji)勵約束市場(chang)化機制(zhi)(zhi)進一步健全(quan),企業(ye)(ye)的(de)(de)經(jing)(jing)營發展(zhan)活力明顯(xian)增強。
——國(guo)有(you)(you)資(zi)產監(jian)管(guan)體制(zhi)更加科學有(you)(you)效。按照(zhao)政(zheng)企分開、事(shi)企分開、政(zheng)資(zi)分開和所(suo)有(you)(you)權(quan)與(yu)經營(ying)權(quan)分離的原則,建成權(quan)責明確、管(guan)理規范、統籌協調的經營(ying)性(xing)國(guo)有(you)(you)資(zi)產監(jian)管(guan)體系;按照(zhao)以管(guan)資(zi)本為主的要(yao)求,不斷健(jian)全國(guo)有(you)(you)資(zi)本授權(quan)經營(ying)體制(zhi),改(gai)組若干服(fu)務于自治區(qu)戰略目標的國(guo)有(you)(you)資(zi)本投資(zi)、運營(ying)公司。
——國(guo)(guo)有資(zi)本配置效率顯(xian)著提(ti)高。國(guo)(guo)有經濟布局進(jin)一步(bu)優化(hua),國(guo)(guo)有經濟結構更趨合理,發展(zhan)質量和(he)競爭能(neng)力明顯(xian)提(ti)升;國(guo)(guo)有企(qi)業(ye)在提(ti)升自主創(chuang)新能(neng)力、保護(hu)資(zi)源(yuan)環境、加快轉型升級、履行社會責任中(zhong)的引領和(he)表率作用充(chong)分發揮;80%以(yi)上的國(guo)(guo)有資(zi)本集(ji)中(zhong)在前瞻性戰略性新興產(chan)業(ye)、支柱產(chan)業(ye)、特色優勢產(chan)業(ye)和(he)重要(yao)基礎設(she)(she)施(shi)投資(zi)建設(she)(she)領域;國(guo)(guo)有骨干企(qi)業(ye)走出去參與國(guo)(guo)際產(chan)能(neng)合作、開拓國(guo)(guo)際市(shi)場的能(neng)力明顯(xian)增(zeng)強。
——企(qi)業(ye)黨的建設全面加強。國(guo)有(you)企(qi)業(ye)黨組織在公司治理中(zhong)的政治核心(xin)作(zuo)(zuo)用充(chong)分發揮,培養一批德(de)才(cai)兼備(bei)、善于經(jing)營、充(chong)滿活力(li)的企(qi)業(ye)家(jia)人才(cai)隊伍;國(guo)有(you)企(qi)業(ye)反(fan)腐(fu)倡(chang)廉“兩(liang)個(ge)責任(ren)”全面落實,反(fan)腐(fu)倡(chang)廉制度體系、工作(zuo)(zuo)體系更加完善。
二、分類推(tui)進(jin)國有企(qi)業改革
5.合(he)(he)理界定不(bu)同國有企(qi)(qi)業(ye)(ye)功(gong)能(neng)。根據不(bu)同領(ling)域(yu)國有資本的(de)(de)戰略定位和發展目標,結合(he)(he)自治區國有企(qi)(qi)業(ye)(ye)現狀,將國有企(qi)(qi)業(ye)(ye)分為(wei)公益(yi)類(lei)、特定功(gong)能(neng)類(lei)和商業(ye)(ye)競爭類(lei)。通過(guo)界定功(gong)能(neng)、劃分類(lei)別,實行分類(lei)改革(ge)、分類(lei)監(jian)管、分類(lei)定責、分類(lei)考核(he),提(ti)高改革(ge)的(de)(de)針對性、監(jian)管的(de)(de)有效性、考核(he)評價的(de)(de)科學性,推動(dong)國有企(qi)(qi)業(ye)(ye)與市場經濟(ji)深(shen)入融合(he)(he)。
公益類(lei)國有企(qi)業(ye)的(de)主業(ye)主要分布于供(gong)水、供(gong)氣、供(gong)熱、公共交通、重要商品和(he)戰略物資儲備等行業(ye)和(he)領域(yu)。這類(lei)企(qi)業(ye)以保障民生、服務社會、提供(gong)公共產(chan)品和(he)服務為(wei)主要目標,實現社會效益最大化(hua)。
特定功能類(lei)國(guo)(guo)有企業的(de)主(zhu)(zhu)業主(zhu)(zhu)要(yao)分布于文化、軍工、電網、鐵路、石油天然氣、電信、郵政(zheng)、煙(yan)草、重大基礎設(she)施建設(she)、重要(yao)礦產資源開發(fa)、基礎共性(xing)技(ji)術研(yan)究等重要(yao)行業和關鍵領(ling)域,以(yi)及政(zheng)府各類(lei)平臺公司(si)。這類(lei)企業以(yi)服務國(guo)(guo)家和自治區戰略、保障國(guo)(guo)家安全(quan)和國(guo)(guo)民經濟(ji)運行、發(fa)展前瞻性(xing)戰略性(xing)產業以(yi)及完成(cheng)特殊(shu)任務為主(zhu)(zhu)要(yao)目(mu)標(biao),實現經濟(ji)效益(yi)與社會效益(yi)的(de)有機統(tong)一。
商業(ye)(ye)競爭類國有企(qi)業(ye)(ye)主(zhu)要(yao)分布(bu)于充分競爭行(xing)業(ye)(ye)和(he)領域。這(zhe)類企(qi)業(ye)(ye)以增強國有經濟活(huo)力、放大(da)國有資(zi)(zi)本功能、實現國有資(zi)(zi)產保值(zhi)增值(zhi)為(wei)主(zhu)要(yao)目標,兼顧社會效(xiao)益,按照市場化(hua)要(yao)求實行(xing)商業(ye)(ye)化(hua)經營(ying),依法獨立自主(zhu)開展(zhan)生產經營(ying)活(huo)動,實現優(you)勝劣汰、有序進退(tui)。
履行出(chu)資(zi)人(ren)職責的(de)機構要按(an)照(zhao)誰出(chu)資(zi)誰分類(lei)(lei)的(de)原則,制定(ding)所出(chu)資(zi)企業(ye)的(de)功(gong)能界定(ding)和分類(lei)(lei)方案,報本級政府批準。企業(ye)功(gong)能類(lei)(lei)別可根據實(shi)際(ji)情況進(jin)行動態(tai)調整。
6.推進(jin)公益(yi)類國有(you)企業(ye)改革(ge)。加(jia)大國有(you)資本(ben)投入(ru),優(you)化(hua)公益(yi)性(xing)業(ye)務(wu)(wu)資源配置,引入(ru)市場機制,提高公共服(fu)(fu)務(wu)(wu)效率和(he)能力。具(ju)備(bei)條件(jian)的公益(yi)類國有(you)企業(ye)可以推行股(gu)權多元化(hua)改革(ge),也(ye)可以通過購(gou)買(mai)服(fu)(fu)務(wu)(wu)、特許經營(ying)(ying)、委(wei)托代理等方(fang)(fang)式,鼓勵非國有(you)企業(ye)參與(yu)經營(ying)(ying)。加(jia)強對公益(yi)類國有(you)企業(ye)的產品和(he)服(fu)(fu)務(wu)(wu)質量、價格水平、運營(ying)(ying)成本(ben)、安全生(sheng)產、信息披(pi)露等方(fang)(fang)面的監管(guan)和(he)考核(he),考核(he)中要引入(ru)社會評價。

19.鼓勵國(guo)(guo)有(you)(you)資(zi)(zi)(zi)(zi)本(ben)與社(she)會(hui)資(zi)(zi)(zi)(zi)本(ben)融(rong)合發(fa)展(zhan)。開展(zhan)多種(zhong)類(lei)型政府和(he)(he)社(she)會(hui)資(zi)(zi)(zi)(zi)本(ben)合作試點,逐步推廣政府和(he)(he)社(she)會(hui)資(zi)(zi)(zi)(zi)本(ben)合作模式(shi)。鼓勵國(guo)(guo)有(you)(you)資(zi)(zi)(zi)(zi)本(ben)加(jia)(jia)強與區內(nei)外具有(you)(you)相(xiang)關優(you)勢(shi)的(de)產業(ye)(ye)(ye)(ye)資(zi)(zi)(zi)(zi)本(ben)進行合作對接,與行業(ye)(ye)(ye)(ye)上下(xia)游(you)企(qi)業(ye)(ye)(ye)(ye)發(fa)展(zhan)形成完整產業(ye)(ye)(ye)(ye)鏈。制定非(fei)國(guo)(guo)有(you)(you)資(zi)(zi)(zi)(zi)本(ben)參與國(guo)(guo)有(you)(you)企(qi)業(ye)(ye)(ye)(ye)投資(zi)(zi)(zi)(zi)項(xiang)目的(de)意見(jian),引(yin)導(dao)社(she)會(hui)資(zi)(zi)(zi)(zi)本(ben)投向(xiang)國(guo)(guo)家、自(zi)治(zhi)區重(zhong)點建(jian)設項(xiang)目,組合引(yin)入(ru)養老基(ji)金(jin)(jin)(jin)、保(bao)險基(ji)金(jin)(jin)(jin)、社(she)保(bao)基(ji)金(jin)(jin)(jin)等社(she)會(hui)資(zi)(zi)(zi)(zi)本(ben)參與自(zi)治(zhi)區重(zhong)點工程投資(zi)(zi)(zi)(zi),實(shi)行市場化經(jing)營運作。在金(jin)(jin)(jin)融(rong)、電力、交(jiao)通、資(zi)(zi)(zi)(zi)源開發(fa)、公共(gong)事業(ye)(ye)(ye)(ye)等領(ling)域,加(jia)(jia)快向(xiang)非(fei)國(guo)(guo)有(you)(you)資(zi)(zi)(zi)(zi)本(ben)推出符合產業(ye)(ye)(ye)(ye)導(dao)向(xiang)、有(you)(you)利于(yu)轉型升級(ji)的(de)項(xiang)目。利用公開的(de)信息交(jiao)易平(ping)臺,建(jian)立和(he)(he)完善國(guo)(guo)有(you)(you)資(zi)(zi)(zi)(zi)本(ben)與非(fei)國(guo)(guo)有(you)(you)資(zi)(zi)(zi)(zi)本(ben)經(jing)常性對接渠道。
20.探(tan)索實行(xing)混(hun)合(he)所(suo)有(you)(you)制(zhi)(zhi)企(qi)業員(yuan)工(gong)(gong)持(chi)(chi)(chi)股(gu)(gu)(gu)。制(zhi)(zhi)定混(hun)合(he)所(suo)有(you)(you)制(zhi)(zhi)企(qi)業實行(xing)員(yuan)工(gong)(gong)持(chi)(chi)(chi)股(gu)(gu)(gu)試點(dian)(dian)的(de)意見,在主要從事競爭(zheng)性(xing)業務(wu)的(de)國有(you)(you)控(kong)股(gu)(gu)(gu)混(hun)合(he)所(suo)有(you)(you)制(zhi)(zhi)企(qi)業開展(zhan)員(yuan)工(gong)(gong)持(chi)(chi)(chi)股(gu)(gu)(gu)試點(dian)(dian)工(gong)(gong)作。已改制(zhi)(zhi)為混(hun)合(he)所(suo)有(you)(you)制(zhi)(zhi)的(de)企(qi)業,允許員(yuan)工(gong)(gong)個人(ren)(ren)直接出資(zi)(zi)入股(gu)(gu)(gu)或以(yi)法律、行(xing)政(zheng)法規允許的(de)其他方式持(chi)(chi)(chi)股(gu)(gu)(gu)。允許國有(you)(you)企(qi)業改制(zhi)(zhi)引(yin)入外(wai)部投(tou)資(zi)(zi)者(zhe)或與(yu)外(wai)部投(tou)資(zi)(zi)者(zhe)、項目團(tuan)隊(dui)共同(tong)出資(zi)(zi)新設混(hun)合(he)所(suo)有(you)(you)制(zhi)(zhi)企(qi)業時(shi),同(tong)步引(yin)入員(yuan)工(gong)(gong)持(chi)(chi)(chi)股(gu)(gu)(gu)。優(you)先支持(chi)(chi)(chi)人(ren)(ren)力(li)和(he)技(ji)術資(zi)(zi)本要素(su)貢獻占(zhan)比較高(gao)的(de)轉制(zhi)(zhi)科研(yan)院所(suo)、高(gao)新技(ji)術企(qi)業、科技(ji)服務(wu)型企(qi)業開展(zhan)員(yuan)工(gong)(gong)持(chi)(chi)(chi)股(gu)(gu)(gu)試點(dian)(dian)。支持(chi)(chi)(chi)對企(qi)業經營業績(ji)和(he)持(chi)(chi)(chi)續(xu)發展(zhan)有(you)(you)直接或較大(da)影響的(de)科研(yan)人(ren)(ren)員(yuan)、經營管理(li)人(ren)(ren)員(yuan)、技(ji)術業務(wu)骨(gu)干等持(chi)(chi)(chi)股(gu)(gu)(gu)。規范審核、評估等操作程序(xu)(xu),建立和(he)完善員(yuan)工(gong)(gong)持(chi)(chi)(chi)股(gu)(gu)(gu)有(you)(you)序(xu)(xu)流轉和(he)退(tui)出機制(zhi)(zhi),確保員(yuan)工(gong)(gong)持(chi)(chi)(chi)股(gu)(gu)(gu)公(gong)開透明,嚴(yan)禁暗箱操作,防止利益輸送。
六、強化和完善監督機制
21.完善(shan)監(jian)督(du)體(ti)系。加快國有(you)企(qi)(qi)業(ye)行為規范制度建設(she),堅(jian)持問題(ti)導向,立足制度創(chuang)新,強化國有(you)企(qi)(qi)業(ye)內部監(jian)督(du)、出(chu)資人監(jian)督(du)、審計和(he)紀檢監(jian)督(du)以(yi)及社(she)會監(jian)督(du),加快形(xing)成(cheng)覆蓋全面(mian)、分工明確(que)、協同配合、制約有(you)力(li)的國有(you)企(qi)(qi)業(ye)監(jian)督(du)體(ti)系。明確(que)各類監(jian)督(du)主體(ti)的監(jian)督(du)職責,形(xing)成(cheng)工作合力(li)。

29.完善(shan)國(guo)(guo)(guo)(guo)(guo)(guo)有(you)企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)改革各(ge)(ge)類配套政(zheng)(zheng)策(ce)(ce)(ce)(ce)措施。各(ge)(ge)地(di)(di)區(qu)各(ge)(ge)有(you)關(guan)部門要研(yan)究制(zhi)(zhi)定相關(guan)配套政(zheng)(zheng)策(ce)(ce)(ce)(ce)措施,加(jia)大對國(guo)(guo)(guo)(guo)(guo)(guo)有(you)企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)改革的支持(chi)力度(du)。落(luo)實以國(guo)(guo)(guo)(guo)(guo)(guo)有(you)劃撥土(tu)地(di)(di)采用(yong)國(guo)(guo)(guo)(guo)(guo)(guo)家作價(jia)(jia)入股的方式(shi)支持(chi)企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)發展(zhan)的政(zheng)(zheng)策(ce)(ce)(ce)(ce),土(tu)地(di)(di)出(chu)讓(rang)價(jia)(jia)扣除補(bu)繳(jiao)土(tu)地(di)(di)價(jia)(jia)款(kuan)后的剩余(yu)部分可用(yong)于(yu)增(zeng)加(jia)原企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)的國(guo)(guo)(guo)(guo)(guo)(guo)有(you)資(zi)(zi)本金(jin),補(bu)繳(jiao)土(tu)地(di)(di)價(jia)(jia)款(kuan)可返還企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)用(yong)于(yu)安(an)置職工(gong)或解決國(guo)(guo)(guo)(guo)(guo)(guo)企(qi)(qi)(qi)改革其他遺(yi)留問題。設(she)立自治區(qu)國(guo)(guo)(guo)(guo)(guo)(guo)有(you)企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)改革重(zhong)組(zu)專項基金(jin),支持(chi)企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)改革重(zhong)組(zu)。研(yan)究完善(shan)支持(chi)國(guo)(guo)(guo)(guo)(guo)(guo)有(you)企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)改革重(zhong)組(zu)上市(shi)(shi)的財稅(shui)政(zheng)(zheng)策(ce)(ce)(ce)(ce),對涉(she)及(ji)的資(zi)(zi)產(chan)評估增(zeng)值(zhi)、債務(wu)重(zhong)組(zu)收益、土(tu)地(di)(di)房屋權(quan)(quan)屬轉移等(deng)(deng),按(an)國(guo)(guo)(guo)(guo)(guo)(guo)家有(you)關(guan)規(gui)定落(luo)實稅(shui)收優惠政(zheng)(zheng)策(ce)(ce)(ce)(ce)。健(jian)全公(gong)(gong)共(gong)服(fu)務(wu)體(ti)系,推(tui)(tui)進政(zheng)(zheng)府購買(mai)服(fu)務(wu),加(jia)快(kuai)建立穩定可靠、補(bu)償合(he)理(li)、公(gong)(gong)開透(tou)明的國(guo)(guo)(guo)(guo)(guo)(guo)有(you)企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)公(gong)(gong)共(gong)服(fu)務(wu)支出(chu)補(bu)償機(ji)制(zhi)(zhi)。依(yi)法(fa)平(ping)等(deng)(deng)保(bao)護(hu)各(ge)(ge)類產(chan)權(quan)(quan),推(tui)(tui)動國(guo)(guo)(guo)(guo)(guo)(guo)有(you)產(chan)權(quan)(quan)公(gong)(gong)開有(you)序流轉,將國(guo)(guo)(guo)(guo)(guo)(guo)有(you)產(chan)權(quan)(quan)交易統一納入公(gong)(gong)共(gong)資(zi)(zi)源(yuan)交易平(ping)臺,保(bao)障所有(you)市(shi)(shi)場主體(ti)的平(ping)等(deng)(deng)法(fa)律地(di)(di)位和(he)發展(zhan)權(quan)(quan)利(li)。深化行政(zheng)(zheng)審批制(zhi)(zhi)度(du)改革,梳理(li)和(he)完善(shan)國(guo)(guo)(guo)(guo)(guo)(guo)有(you)企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)改革涉(she)及(ji)的工(gong)商登(deng)記、財稅(shui)管理(li)、價(jia)(jia)格(ge)管理(li)、土(tu)地(di)(di)流轉、國(guo)(guo)(guo)(guo)(guo)(guo)資(zi)(zi)監管、金(jin)融證(zheng)券等(deng)(deng)方面的政(zheng)(zheng)策(ce)(ce)(ce)(ce)規(gui)定,優化政(zheng)(zheng)策(ce)(ce)(ce)(ce)、簡化手續、提高(gao)效(xiao)率,服(fu)務(wu)企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)發展(zhan)。健(jian)全企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)退出(chu)機(ji)制(zhi)(zhi),完善(shan)國(guo)(guo)(guo)(guo)(guo)(guo)有(you)企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)退出(chu)的相關(guan)配套政(zheng)(zheng)策(ce)(ce)(ce)(ce),妥善(shan)處理(li)人(ren)員安(an)置、醫療(liao)和(he)養(yang)老保(bao)險接續以及(ji)其他相關(guan)問題。
30.加快剝離(li)企(qi)(qi)業(ye)(ye)辦(ban)社(she)會職(zhi)能(neng)和解(jie)決(jue)歷史(shi)遺(yi)留(liu)(liu)問題。落實(shi)國家關(guan)于推動解(jie)決(jue)國有企(qi)(qi)業(ye)(ye)改革遺(yi)留(liu)(liu)問題的(de)政(zheng)策要求,研究制定(ding)自(zi)治(zhi)區(qu)國有企(qi)(qi)業(ye)(ye)剝離(li)辦(ban)社(she)會職(zhi)能(neng)和解(jie)決(jue)歷史(shi)遺(yi)留(liu)(liu)問題實(shi)施方案,完善配(pei)套政(zheng)策,以企(qi)(qi)業(ye)(ye)為主體,維護(hu)職(zhi)工合(he)法權益(yi),推進國有企(qi)(qi)業(ye)(ye)辦(ban)醫(yi)院、幼教(jiao)、社(she)區(qu)等(deng)公共服務機構(gou)的(de)分(fen)離(li)移(yi)交,逐步落實(shi)國有企(qi)(qi)業(ye)(ye)退休職(zhi)工社(she)會化管理等(deng)政(zheng)策措施。新改組混合(he)所有制企(qi)(qi)業(ye)(ye)必須妥善解(jie)決(jue)好(hao)歷史(shi)包袱,研究解(jie)決(jue)涉及職(zhi)工切身(shen)利益(yi)的(de)實(shi)際(ji)問題,妥善安置轉崗職(zhi)工。
31.強化國(guo)有(you)(you)企(qi)業(ye)(ye)改(gai)革的(de)組織(zhi)落實(shi)。自治(zhi)(zhi)區成立國(guo)有(you)(you)企(qi)業(ye)(ye)改(gai)革領(ling)導(dao)(dao)小組,負責(ze)全區國(guo)有(you)(you)企(qi)業(ye)(ye)改(gai)革工作的(de)協調指導(dao)(dao)。領(ling)導(dao)(dao)小組辦公室設在(zai)自治(zhi)(zhi)區國(guo)資委(wei)(wei),承擔(dan)領(ling)導(dao)(dao)小組的(de)日常工作。各(ge)級黨委(wei)(wei)、政(zheng)府要(yao)切實(shi)履行對深化國(guo)有(you)(you)企(qi)業(ye)(ye)改(gai)革的(de)領(ling)導(dao)(dao)責(ze)任(ren),加(jia)強統籌協調、明確(que)責(ze)任(ren)分工,大膽探索,試點先行,積(ji)極(ji)穩妥(tuo)推進國(guo)有(you)(you)企(qi)業(ye)(ye)改(gai)革。將國(guo)有(you)(you)企(qi)業(ye)(ye)改(gai)革創新工作納入績效考核,作為職務晉升和獎勵的(de)重要(yao)依據。注重輿論宣(xuan)傳引導(dao)(dao),凝(ning)聚改(gai)革共識,調動各(ge)方面的(de)積(ji)極(ji)性,加(jia)強新聞發(fa)布,營造支持改(gai)革的(de)良(liang)好(hao)氛圍。建立改(gai)革容錯(cuo)機(ji)制,鼓勵國(guo)有(you)(you)企(qi)業(ye)(ye)在(zai)法治(zhi)(zhi)框架內開展改(gai)革探索。
各盟(meng)市要依(yi)照《中(zhong)共中(zhong)央、國(guo)務院關于深化國(guo)有企業(ye)改(gai)革的指(zhi)導意見》和本實(shi)施(shi)意見精神,結合實(shi)際制定實(shi)施(shi)意見和配套政策措施(shi)。
