內蒙古出臺關于深化國有企業改革的具體實施意見

  為(wei)全面貫徹黨的(de)十八大和十八屆三中(zhong)、四中(zhong)、五中(zhong)全會精神,進一步深化全區國(guo)有企業(ye)改革(ge)(ge),根據《中(zhong)共中(zhong)央、國(guo)務院關于深化國(guo)有企業(ye)改革(ge)(ge)的(de)指導(dao)意見》(中(zhong)發〔2015〕22號)精神,結(jie)合(he)自治(zhi)區實(shi)際(ji),提(ti)出如下實(shi)施意見。

  一(yi)、深(shen)化國(guo)有企業改革(ge)的重要意義和總體要求

  1.重(zhong)(zhong)要(yao)(yao)(yao)(yao)意義(yi)。國(guo)(guo)(guo)有(you)(you)企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)屬于全民所有(you)(you),是(shi)生(sheng)產資料公有(you)(you)制的(de)(de)重(zhong)(zhong)要(yao)(yao)(yao)(yao)實現形式,是(shi)堅(jian)持社會(hui)主義(yi)基(ji)本經(jing)(jing)濟(ji)制度的(de)(de)堅(jian)強基(ji)礎,是(shi)引導、推動和(he)(he)(he)調控經(jing)(jing)濟(ji)社會(hui)發(fa)(fa)(fa)展(zhan)的(de)(de)基(ji)本力量,是(shi)實現廣大人民群(qun)眾根(gen)本利益和(he)(he)(he)共同富裕的(de)(de)重(zhong)(zhong)要(yao)(yao)(yao)(yao)保(bao)證。改革(ge)(ge)開(kai)放以來(lai),自(zi)治區(qu)黨(dang)委、政府在(zai)(zai)黨(dang)中(zhong)(zhong)央、國(guo)(guo)(guo)務院(yuan)正確(que)領導下,圍繞處理好政府與企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)、企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)與市場(chang)(chang)的(de)(de)關系,堅(jian)定(ding)不(bu)(bu)(bu)(bu)(bu)移推進國(guo)(guo)(guo)有(you)(you)企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)改革(ge)(ge),國(guo)(guo)(guo)有(you)(you)經(jing)(jing)濟(ji)的(de)(de)經(jing)(jing)營機(ji)(ji)制、管(guan)理體(ti)系以及國(guo)(guo)(guo)有(you)(you)企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)面貌發(fa)(fa)(fa)生(sheng)了(le)根(gen)本性變(bian)化(hua),總體(ti)上已經(jing)(jing)同市場(chang)(chang)經(jing)(jing)濟(ji)相融合(he),在(zai)(zai)應(ying)對市場(chang)(chang)挑戰、保(bao)證經(jing)(jing)濟(ji)持續健(jian)康發(fa)(fa)(fa)展(zhan)中(zhong)(zhong)發(fa)(fa)(fa)揮了(le)重(zhong)(zhong)要(yao)(yao)(yao)(yao)作(zuo)用,在(zai)(zai)結(jie)(jie)構調整和(he)(he)(he)產業(ye)(ye)(ye)轉(zhuan)型升(sheng)級中(zhong)(zhong)發(fa)(fa)(fa)揮了(le)重(zhong)(zhong)要(yao)(yao)(yao)(yao)作(zuo)用,在(zai)(zai)保(bao)障和(he)(he)(he)改善民生(sheng)、促(cu)進各(ge)族(zu)人民共同富裕中(zhong)(zhong)發(fa)(fa)(fa)揮了(le)重(zhong)(zhong)要(yao)(yao)(yao)(yao)作(zuo)用,在(zai)(zai)加強生(sheng)態建設和(he)(he)(he)環境保(bao)護、筑牢(lao)我國(guo)(guo)(guo)北方重(zhong)(zhong)要(yao)(yao)(yao)(yao)生(sheng)態安全屏障中(zhong)(zhong)發(fa)(fa)(fa)揮了(le)重(zhong)(zhong)要(yao)(yao)(yao)(yao)作(zuo)用。但內(nei)蒙古自(zi)治區(qu)國(guo)(guo)(guo)有(you)(you)企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)仍然存在(zai)(zai)一(yi)(yi)些發(fa)(fa)(fa)展(zhan)中(zhong)(zhong)亟待解決的(de)(de)矛(mao)盾和(he)(he)(he)問題(ti),政企(qi)(qi)(qi)(qi)(qi)不(bu)(bu)(bu)(bu)(bu)分(fen)(fen)、事企(qi)(qi)(qi)(qi)(qi)不(bu)(bu)(bu)(bu)(bu)分(fen)(fen)、政資不(bu)(bu)(bu)(bu)(bu)分(fen)(fen)較為(wei)突出(chu),企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)的(de)(de)市場(chang)(chang)主體(ti)地(di)位需(xu)要(yao)(yao)(yao)(yao)進一(yi)(yi)步(bu)確(que)立;多數國(guo)(guo)(guo)有(you)(you)企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)規(gui)模(mo)較小,產業(ye)(ye)(ye)發(fa)(fa)(fa)展(zhan)層次較低,布局(ju)結(jie)(jie)構需(xu)要(yao)(yao)(yao)(yao)進一(yi)(yi)步(bu)優化(hua);企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)治理結(jie)(jie)構不(bu)(bu)(bu)(bu)(bu)完善、運作(zuo)不(bu)(bu)(bu)(bu)(bu)規(gui)范,經(jing)(jing)營機(ji)(ji)制需(xu)要(yao)(yao)(yao)(yao)進一(yi)(yi)步(bu)理順(shun);部分(fen)(fen)企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)管(guan)理混亂,國(guo)(guo)(guo)有(you)(you)資產流失等問題(ti)突出(chu),國(guo)(guo)(guo)有(you)(you)資產監管(guan)需(xu)要(yao)(yao)(yao)(yao)進一(yi)(yi)步(bu)強化(hua);企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)經(jing)(jing)營機(ji)(ji)制還不(bu)(bu)(bu)(bu)(bu)能完全適應(ying)市場(chang)(chang)競爭的(de)(de)需(xu)要(yao)(yao)(yao)(yao),國(guo)(guo)(guo)有(you)(you)企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)的(de)(de)效率和(he)(he)(he)競爭力需(xu)要(yao)(yao)(yao)(yao)進一(yi)(yi)步(bu)提升(sheng)。各(ge)地(di)區(qu)各(ge)有(you)(you)關部門要(yao)(yao)(yao)(yao)充分(fen)(fen)認識深化(hua)國(guo)(guo)(guo)有(you)(you)企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)改革(ge)(ge)的(de)(de)重(zhong)(zhong)要(yao)(yao)(yao)(yao)意義(yi),以高(gao)度的(de)(de)政治責任感扎實推進國(guo)(guo)(guo)有(you)(you)企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)改革(ge)(ge),堅(jian)決破(po)除各(ge)方面體(ti)制機(ji)(ji)制障礙(ai),努力把國(guo)(guo)(guo)有(you)(you)企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)做強做優做大。

  2.指(zhi)導思想。全(quan)面(mian)貫徹(che)落實黨的十八(ba)大和(he)(he)(he)十八(ba)屆三中、四中、五中全(quan)會精神(shen),以鄧小(xiao)平(ping)(ping)理(li)論、“三個代(dai)表”重要思想、科學發(fa)展(zhan)觀為指(zhi)導,深(shen)入貫徹(che)習近(jin)平(ping)(ping)總書記系列重要講話和(he)(he)(he)考察內(nei)蒙(meng)古(gu)重要講話精神(shen),認真貫徹(che)自治(zhi)(zhi)區(qu)黨委、政府全(quan)面(mian)深(shen)化改革(ge)決(jue)(jue)策部署,堅持(chi)和(he)(he)(he)完善(shan)基本經(jing)(jing)濟(ji)制(zhi)度(du),堅持(chi)社會主義市場(chang)經(jing)(jing)濟(ji)改革(ge)方向,以規范經(jing)(jing)營決(jue)(jue)策、資產(chan)保(bao)值增值、公平(ping)(ping)參與競爭、提高企(qi)(qi)業效(xiao)率、增強企(qi)(qi)業活(huo)力、承(cheng)擔社會責任為重點,完善(shan)產(chan)權(quan)清(qing)晰、權(quan)責明確、政企(qi)(qi)分(fen)開、管理(li)科學的現代(dai)企(qi)(qi)業制(zhi)度(du),完善(shan)國(guo)有(you)(you)資產(chan)監(jian)管體制(zhi),防止國(guo)有(you)(you)資產(chan)流失,全(quan)面(mian)推(tui)進(jin)依法治(zhi)(zhi)企(qi)(qi),加強和(he)(he)(he)改進(jin)黨對國(guo)有(you)(you)企(qi)(qi)業的領(ling)導,做強做優做大國(guo)有(you)(you)企(qi)(qi)業,不(bu)斷增強國(guo)有(you)(you)經(jing)(jing)濟(ji)活(huo)力、影響力、抗風險(xian)能力,推(tui)動內(nei)蒙(meng)古(gu)自治(zhi)(zhi)區(qu)國(guo)有(you)(you)經(jing)(jing)濟(ji)、國(guo)有(you)(you)企(qi)(qi)業創新發(fa)展(zhan)、協調發(fa)展(zhan)、綠色(se)發(fa)展(zhan)、開放(fang)發(fa)展(zhan)、共享發(fa)展(zhan),主動適應和(he)(he)(he)引領(ling)經(jing)(jing)濟(ji)發(fa)展(zhan)新常(chang)態,為建設現代(dai)化內(nei)蒙(meng)古(gu)、打(da)造祖(zu)國(guo)北(bei)疆亮麗風景(jing)線作出積極(ji)貢獻(xian)。

  3.基本原(yuan)則。深(shen)化(hua)國有企業(ye)(ye)改(gai)革,必須認真(zhen)貫徹落實黨中(zhong)央、國務院(yuan)關(guan)于深(shen)化(hua)國有企業(ye)(ye)改(gai)革的一系列戰略(lve)決策,把握好以下(xia)基本原(yuan)則:

  ——堅持(chi)和(he)完善基本(ben)經(jing)(jing)濟(ji)制(zhi)度。毫不動搖鞏固和(he)發展(zhan)(zhan)公有(you)制(zhi)經(jing)(jing)濟(ji),毫不動搖鼓勵、支持(chi)、引導(dao)非(fei)公有(you)制(zhi)經(jing)(jing)濟(ji)發展(zhan)(zhan)。促進國有(you)資本(ben)、集體資本(ben)、非(fei)公有(you)資本(ben)等相互融(rong)(rong)合(he),積極探索、穩步發展(zhan)(zhan)混合(he)所有(you)制(zhi)經(jing)(jing)濟(ji),推動各種所有(you)制(zhi)經(jing)(jing)濟(ji)取長補短、相互促進、融(rong)(rong)合(he)發展(zhan)(zhan)。

  ——堅(jian)(jian)持(chi)社會主義市(shi)場(chang)經濟(ji)改革(ge)方向。牢(lao)(lao)牢(lao)(lao)把握使市(shi)場(chang)在資源配置中起決(jue)定(ding)性作用這條主線,遵(zun)循市(shi)場(chang)經濟(ji)規律和企業(ye)(ye)發展規律,堅(jian)(jian)持(chi)政企分(fen)開(kai)、政資分(fen)開(kai)、所有(you)權(quan)與經營(ying)權(quan)分(fen)離,堅(jian)(jian)持(chi)權(quan)利、義務、責任相統一,堅(jian)(jian)持(chi)激(ji)勵機制和約束機制相結(jie)合(he),促(cu)使國(guo)有(you)企業(ye)(ye)真正成為依法(fa)自(zi)(zi)主經營(ying)、自(zi)(zi)負盈(ying)虧、自(zi)(zi)擔風(feng)險、自(zi)(zi)我約束、自(zi)(zi)我發展的獨立市(shi)場(chang)主體(ti)。

  ——堅持增強(qiang)(qiang)活力(li)與強(qiang)(qiang)化(hua)監管相結合。繼續推進(jin)(jin)簡(jian)政放權,依法落實企(qi)(qi)業(ye)法人(ren)財產(chan)權和經營自主權,進(jin)(jin)一步激發(fa)企(qi)(qi)業(ye)活力(li)、創造力(li)和市場(chang)競爭(zheng)力(li),健全完善國(guo)有企(qi)(qi)業(ye)監管制(zhi)度(du),防止國(guo)有資(zi)產(chan)流失,確保國(guo)有資(zi)產(chan)保值增值。

  ——堅持黨(dang)對國(guo)有(you)企(qi)(qi)業的(de)領導。貫徹全(quan)面從嚴治黨(dang)方針,充(chong)分發揮企(qi)(qi)業黨(dang)組織的(de)政治核心作用,加強(qiang)企(qi)(qi)業領導班子和人(ren)才隊伍建設,創新基層黨(dang)建工(gong)作,深入推進(jin)黨(dang)風廉政建設,堅持全(quan)心全(quan)意依靠工(gong)人(ren)階級,維護(hu)職工(gong)合法(fa)權益,為國(guo)有(you)企(qi)(qi)業改革(ge)發展提供堅強(qiang)有(you)力的(de)政治保證、組織保證和人(ren)才支撐。

  ——堅持積(ji)極穩妥統(tong)籌推(tui)進。正(zheng)(zheng)確(que)處(chu)理(li)推(tui)進改革(ge)和(he)堅持法治的(de)關(guan)系(xi),正(zheng)(zheng)確(que)處(chu)理(li)改革(ge)發展穩定關(guan)系(xi),正(zheng)(zheng)確(que)處(chu)理(li)搞好(hao)頂層(ceng)設(she)計和(he)尊(zun)重基層(ceng)首(shou)創(chuang)精(jing)神(shen)的(de)關(guan)系(xi),突出問題導向,堅持分類推(tui)進,把握好(hao)改革(ge)的(de)次序、節奏和(he)力度,確(que)保改革(ge)扎實推(tui)進、務求實效(xiao)。

  4.主要(yao)目標。到2020年,在(zai)國(guo)(guo)有(you)企業改(gai)革重要(yao)領域和關(guan)鍵(jian)環節取得決定(ding)性(xing)成果(guo),形(xing)成更加符合(he)社會主義市場經濟發展要(yao)求的國(guo)(guo)有(you)資產管(guan)理(li)體制和市場化經營機制,國(guo)(guo)有(you)資本(ben)布局(ju)結構更趨合(he)理(li),國(guo)(guo)有(you)資本(ben)整體規模和實力顯著增強(qiang),打造一批(pi)優(you)強(qiang)大企業集團。

  ——現代企業(ye)制度進(jin)一步完善。協調運轉、有效(xiao)制衡的(de)法人治理(li)結(jie)構更加(jia)健(jian)全(quan),董(dong)事會(hui)建(jian)設更加(jia)規范,派駐監(jian)事會(hui)實(shi)現全(quan)覆蓋(gai),職業(ye)經(jing)理(li)人制度全(quan)面推(tui)行,人力(li)(li)資(zi)源(yuan)、勞動、分配(pei)制度和(he)激勵約束市場(chang)化(hua)機制進(jin)一步健(jian)全(quan),企業(ye)的(de)經(jing)營(ying)發(fa)展活力(li)(li)明顯增強。

  ——國有(you)資產監(jian)管(guan)(guan)體制更加科學(xue)有(you)效。按照政企分(fen)(fen)開(kai)、事企分(fen)(fen)開(kai)、政資分(fen)(fen)開(kai)和(he)所有(you)權與經營權分(fen)(fen)離的(de)原則,建成權責明確、管(guan)(guan)理(li)規范、統籌(chou)協調的(de)經營性國有(you)資產監(jian)管(guan)(guan)體系;按照以管(guan)(guan)資本(ben)為(wei)主(zhu)的(de)要求,不斷健全國有(you)資本(ben)授權經營體制,改組若干服務于自治區戰(zhan)略目標的(de)國有(you)資本(ben)投資、運營公(gong)司。

  ——國(guo)(guo)(guo)有(you)(you)資(zi)本配置效率顯著提(ti)高。國(guo)(guo)(guo)有(you)(you)經濟(ji)布局進一步(bu)優(you)化,國(guo)(guo)(guo)有(you)(you)經濟(ji)結構更趨合(he)理(li),發展質量和競(jing)爭能力(li)明(ming)顯提(ti)升(sheng);國(guo)(guo)(guo)有(you)(you)企業(ye)在提(ti)升(sheng)自主創(chuang)新能力(li)、保護資(zi)源環(huan)境、加(jia)快轉型(xing)升(sheng)級(ji)、履行社(she)會責(ze)任中的(de)引領(ling)(ling)和表率作(zuo)用(yong)充分發揮;80%以上的(de)國(guo)(guo)(guo)有(you)(you)資(zi)本集(ji)中在前(qian)瞻性(xing)(xing)戰略性(xing)(xing)新興產(chan)業(ye)、支柱產(chan)業(ye)、特色優(you)勢產(chan)業(ye)和重要(yao)基礎設施投資(zi)建設領(ling)(ling)域;國(guo)(guo)(guo)有(you)(you)骨干企業(ye)走出去參與(yu)國(guo)(guo)(guo)際(ji)產(chan)能合(he)作(zuo)、開拓國(guo)(guo)(guo)際(ji)市場的(de)能力(li)明(ming)顯增強(qiang)。

  ——企(qi)業黨的建設全面加強。國(guo)(guo)有企(qi)業黨組織在公(gong)司治理中的政治核心作(zuo)用充(chong)分發揮,培養一批德才(cai)兼備、善(shan)于(yu)經營、充(chong)滿活力的企(qi)業家人才(cai)隊伍(wu);國(guo)(guo)有企(qi)業反腐(fu)倡(chang)廉“兩個責任(ren)”全面落(luo)實(shi),反腐(fu)倡(chang)廉制度(du)體(ti)系、工作(zuo)體(ti)系更加完善(shan)。

  二、分類推進(jin)國有企業改革

  5.合(he)(he)理界定不同國有(you)企(qi)業(ye)(ye)功能。根據(ju)不同領(ling)域(yu)國有(you)資(zi)本(ben)的戰略定位和(he)發(fa)展目標(biao),結合(he)(he)自治區國有(you)企(qi)業(ye)(ye)現狀,將國有(you)企(qi)業(ye)(ye)分為(wei)公益類(lei)、特定功能類(lei)和(he)商業(ye)(ye)競(jing)爭類(lei)。通(tong)過界定功能、劃分類(lei)別,實行(xing)分類(lei)改(gai)革、分類(lei)監(jian)管(guan)、分類(lei)定責、分類(lei)考(kao)核,提高改(gai)革的針(zhen)對性、監(jian)管(guan)的有(you)效性、考(kao)核評(ping)價的科(ke)學(xue)性,推動國有(you)企(qi)業(ye)(ye)與市場經濟(ji)深入(ru)融(rong)合(he)(he)。

  公(gong)(gong)益類國有企業(ye)的(de)主(zhu)業(ye)主(zhu)要分(fen)布于供(gong)(gong)水、供(gong)(gong)氣、供(gong)(gong)熱(re)、公(gong)(gong)共交通(tong)、重要商品和戰略物資(zi)儲(chu)備等行(xing)業(ye)和領域(yu)。這類企業(ye)以保(bao)障(zhang)民生、服務社(she)(she)會、提供(gong)(gong)公(gong)(gong)共產品和服務為(wei)主(zhu)要目標(biao),實現社(she)(she)會效益最大(da)化。

  特(te)定功(gong)能類(lei)(lei)國有(you)企業的主業主要分布于(yu)文化、軍(jun)工、電網、鐵路、石油天然氣、電信、郵政、煙草、重(zhong)大(da)基礎設(she)施建設(she)、重(zhong)要礦產資源開發、基礎共(gong)性技術研究等重(zhong)要行業和(he)關鍵(jian)領域,以(yi)(yi)及政府各類(lei)(lei)平臺(tai)公司。這(zhe)類(lei)(lei)企業以(yi)(yi)服務(wu)國家(jia)和(he)自治(zhi)區戰略、保(bao)障國家(jia)安全和(he)國民經(jing)濟運行、發展(zhan)前瞻性戰略性產業以(yi)(yi)及完成特(te)殊任務(wu)為主要目標,實現(xian)經(jing)濟效益(yi)與社(she)會效益(yi)的有(you)機統一。

  商業競(jing)爭類國(guo)有(you)企(qi)業主(zhu)要分(fen)布于充分(fen)競(jing)爭行業和領域。這類企(qi)業以(yi)增(zeng)強國(guo)有(you)經濟活力、放(fang)大國(guo)有(you)資本(ben)功能、實現國(guo)有(you)資產(chan)保值增(zeng)值為主(zhu)要目標(biao),兼顧社會效(xiao)益,按照市場化要求(qiu)實行商業化經營(ying),依(yi)法獨立自主(zhu)開展生產(chan)經營(ying)活動,實現優(you)勝劣汰、有(you)序進退。

  履行(xing)出資(zi)人(ren)職責(ze)的(de)機(ji)構要按照誰出資(zi)誰分類的(de)原則,制定所出資(zi)企(qi)業的(de)功(gong)能界定和分類方案(an),報本級政(zheng)府批準。企(qi)業功(gong)能類別可根據實際情況(kuang)進行(xing)動態調(diao)整(zheng)。

  6.推(tui)(tui)進(jin)公(gong)益類國有(you)企(qi)業(ye)(ye)(ye)(ye)改革(ge)。加大(da)國有(you)資本投(tou)入,優化(hua)公(gong)益性業(ye)(ye)(ye)(ye)務(wu)資源配置,引(yin)入市(shi)場(chang)機制,提高(gao)公(gong)共服務(wu)效(xiao)率和(he)能(neng)力。具備(bei)條件的公(gong)益類國有(you)企(qi)業(ye)(ye)(ye)(ye)可(ke)以推(tui)(tui)行股權多元化(hua)改革(ge),也可(ke)以通(tong)過(guo)購買服務(wu)、特許(xu)經營、委托(tuo)代(dai)理等方(fang)式,鼓勵非國有(you)企(qi)業(ye)(ye)(ye)(ye)參與經營。加強對公(gong)益類國有(you)企(qi)業(ye)(ye)(ye)(ye)的產(chan)品和(he)服務(wu)質量(liang)、價格水平、運(yun)營成本、安(an)全生產(chan)、信息披露(lu)等方(fang)面的監管(guan)和(he)考核,考核中要引(yin)入社會評價。

  24.加強(qiang)社(she)會監(jian)(jian)督。完善國(guo)(guo)有(you)(you)企(qi)(qi)業(ye)信用(yong)信息公(gong)(gong)示(shi)、整(zheng)合、運用(yong)、懲戒(jie)機制(zhi)(zhi),推進企(qi)(qi)業(ye)信息公(gong)(gong)示(shi)和(he)共(gong)享,強(qiang)化企(qi)(qi)業(ye)信用(yong)約束。制(zhi)(zhi)定自治(zhi)區直屬(shu)(shu)國(guo)(guo)有(you)(you)企(qi)(qi)業(ye)財(cai)務(wu)等重大信息公(gong)(gong)開辦法(fa),借鑒上市(shi)公(gong)(gong)司(si)信息公(gong)(gong)開標準,推動自治(zhi)區直屬(shu)(shu)國(guo)(guo)有(you)(you)企(qi)(qi)業(ye)向社(she)會公(gong)(gong)開國(guo)(guo)有(you)(you)資本(ben)整(zheng)體運營和(he)監(jian)(jian)管(guan)、國(guo)(guo)有(you)(you)企(qi)(qi)業(ye)公(gong)(gong)司(si)治(zhi)理以及管(guan)理架構、經(jing)營情況(kuang)、財(cai)務(wu)情況(kuang)、關(guan)聯(lian)交易、企(qi)(qi)業(ye)負責人薪(xin)酬、“三(san)重一大”有(you)(you)關(guan)事項(xiang)等信息,保障社(she)會公(gong)(gong)眾(zhong)(zhong)對企(qi)(qi)業(ye)國(guo)(guo)有(you)(you)資產(chan)運營的(de)知情權(quan)和(he)監(jian)(jian)督權(quan)。建(jian)(jian)立(li)和(he)完善對國(guo)(guo)有(you)(you)企(qi)(qi)業(ye)的(de)社(she)會監(jian)(jian)督機制(zhi)(zhi),鼓勵公(gong)(gong)民(min)通過批評(ping)、建(jian)(jian)議、檢(jian)(jian)舉、揭發、申訴、控告等方式對國(guo)(guo)有(you)(you)企(qi)(qi)業(ye)經(jing)營管(guan)理者行權(quan)行為的(de)合法(fa)性、合理性進行監(jian)(jian)督。暢通人民(min)群(qun)眾(zhong)(zhong)反映國(guo)(guo)有(you)(you)企(qi)(qi)業(ye)問題(ti)(ti)的(de)渠(qu)道,認真(zhen)處理公(gong)(gong)眾(zhong)(zhong)關(guan)于國(guo)(guo)有(you)(you)資產(chan)流失(shi)等問題(ti)(ti)的(de)來信、來訪和(he)檢(jian)(jian)舉,及時回應社(she)會關(guan)切。

  25.嚴(yan)格責(ze)任追(zhui)(zhui)究(jiu)。制定自治區直屬國有(you)企業經(jing)營(ying)投資責(ze)任追(zhui)(zhui)究(jiu)辦法,對已經(jing)暴(bao)露或經(jing)審計及(ji)各(ge)類檢(jian)查發(fa)現的(de)應當追(zhui)(zhui)究(jiu)責(ze)任的(de)問題,嚴(yan)肅追(zhui)(zhui)究(jiu)有(you)關人員(yuan)責(ze)任。建立和(he)完善(shan)國有(you)企業重大決(jue)策失(shi)誤(wu)、失(shi)職瀆職責(ze)任追(zhui)(zhui)究(jiu)倒查機制,健全重大決(jue)策評估、決(jue)策事項(xiang)履職記錄、決(jue)策過錯認定標準等配套(tao)制度,做到有(you)錯必糾、有(you)責(ze)必問。堅持(chi)從嚴(yan)治企,嚴(yan)厲查處侵吞(tun)、貪(tan)污、輸送、揮霍國有(you)資產(chan)和(he)逃廢金融(rong)債務(wu)的(de)行為,依法嚴(yan)懲(cheng)侵害國有(you)資產(chan)的(de)腐敗行為。

  27.加強(qiang)國(guo)有企(qi)(qi)(qi)業(ye)領導班子建(jian)(jian)設和(he)人(ren)(ren)(ren)才(cai)(cai)隊(dui)(dui)伍建(jian)(jian)設。嚴格(ge)選(xuan)(xuan)人(ren)(ren)(ren)用(yong)(yong)人(ren)(ren)(ren)標準和(he)程(cheng)序,嚴格(ge)把(ba)好(hao)政治(zhi)關(guan)、品行(xing)關(guan)和(he)廉潔關(guan),創新選(xuan)(xuan)人(ren)(ren)(ren)用(yong)(yong)人(ren)(ren)(ren)方式,選(xuan)(xuan)好(hao)配強(qiang)企(qi)(qi)(qi)業(ye)領導班子特別是主要領導人(ren)(ren)(ren)員。強(qiang)化黨組織(zhi)在企(qi)(qi)(qi)業(ye)領導人(ren)(ren)(ren)員選(xuan)(xuan)拔任(ren)用(yong)(yong)、培(pei)養教育、管理(li)監(jian)督中的(de)(de)(de)責任(ren),支持(chi)董(dong)事會(hui)依(yi)法選(xuan)(xuan)擇經(jing)營(ying)管理(li)者、經(jing)營(ying)管理(li)者依(yi)法行(xing)使用(yong)(yong)人(ren)(ren)(ren)權,堅決(jue)防止和(he)整治(zhi)選(xuan)(xuan)人(ren)(ren)(ren)用(yong)(yong)人(ren)(ren)(ren)中的(de)(de)(de)不正之風。加強(qiang)對國(guo)有企(qi)(qi)(qi)業(ye)領導人(ren)(ren)(ren)員尤(you)其是主要領導人(ren)(ren)(ren)員的(de)(de)(de)日常監(jian)督管理(li)和(he)綜(zong)合考核(he)評價,及時調整不勝任(ren)、不稱職的(de)(de)(de)領導人(ren)(ren)(ren)員,切實(shi)解決(jue)企(qi)(qi)(qi)業(ye)領導人(ren)(ren)(ren)員能(neng)上不能(neng)下的(de)(de)(de)問題。加大(da)企(qi)(qi)(qi)業(ye)領導人(ren)(ren)(ren)員交流力(li)度,紀委(wei)書(shu)記、總會(hui)計(ji)師一般實(shi)行(xing)交流任(ren)職。以強(qiang)化忠(zhong)誠意(yi)識、拓展(zhan)世界眼光、提(ti)高(gao)戰略(lve)思維、增強(qiang)創新精(jing)神、鍛(duan)造(zao)優秀品行(xing)為重點(dian),加強(qiang)企(qi)(qi)(qi)業(ye)家隊(dui)(dui)伍建(jian)(jian)設,充(chong)分(fen)發揮企(qi)(qi)(qi)業(ye)家作用(yong)(yong)。以自(zi)治(zhi)區“草原英才(cai)(cai)”工程(cheng)為載體(ti),大(da)力(li)實(shi)施人(ren)(ren)(ren)才(cai)(cai)強(qiang)企(qi)(qi)(qi)戰略(lve),加大(da)自(zi)治(zhi)區直屬骨干企(qi)(qi)(qi)業(ye)急需高(gao)層(ceng)次(ci)人(ren)(ren)(ren)才(cai)(cai)引進(jin)、培(pei)養和(he)開(kai)發力(li)度,加快建(jian)(jian)立健全促進(jin)國(guo)有企(qi)(qi)(qi)業(ye)人(ren)(ren)(ren)才(cai)(cai)集聚的(de)(de)(de)體(ti)制(zhi)機制(zhi)。

  28.切實(shi)(shi)落實(shi)(shi)國(guo)有(you)(you)企(qi)業(ye)(ye)(ye)反(fan)腐倡廉“兩個(ge)責(ze)任(ren)”。國(guo)有(you)(you)企(qi)業(ye)(ye)(ye)黨組(zu)織要(yao)切實(shi)(shi)履行(xing)好(hao)主(zhu)(zhu)體責(ze)任(ren),做到黨風(feng)廉政(zheng)建(jian)設(she)、反(fan)腐敗(bai)工作與業(ye)(ye)(ye)務工作同部署、同檢查(cha)、同考核。黨組(zu)織書記要(yao)切實(shi)(shi)履行(xing)黨風(feng)廉政(zheng)建(jian)設(she)第一責(ze)任(ren)人(ren)職責(ze),黨組(zu)織領導(dao)班子成員(yuan)對(dui)職責(ze)范圍內的(de)黨風(feng)廉政(zheng)建(jian)設(she)履行(xing)好(hao)領導(dao)責(ze)任(ren)。國(guo)有(you)(you)企(qi)業(ye)(ye)(ye)紀檢監察機構要(yao)深化(hua)(hua)(hua)轉(zhuan)(zhuan)職能、轉(zhuan)(zhuan)方式、轉(zhuan)(zhuan)作風(feng),聚(ju)焦主(zhu)(zhu)業(ye)(ye)(ye)主(zhu)(zhu)責(ze),強化(hua)(hua)(hua)監督執(zhi)紀問責(ze)。推(tui)動國(guo)有(you)(you)企(qi)業(ye)(ye)(ye)紀律檢查(cha)工作雙(shuang)重領導(dao)體制具體化(hua)(hua)(hua)、程(cheng)序(xu)化(hua)(hua)(hua)、制度化(hua)(hua)(hua),強化(hua)(hua)(hua)上級(ji)紀委對(dui)下級(ji)紀委的(de)領導(dao)。堅(jian)持運用(yong)法治思維和法治方式懲治腐敗(bai),嚴格落實(shi)(shi)反(fan)“四風(feng)”規定,嚴肅查(cha)處違(wei)紀行(xing)為,努(nu)力構筑企(qi)業(ye)(ye)(ye)領導(dao)人(ren)員(yuan)不敢腐、不能腐、不想腐的(de)有(you)(you)效機制。

  八、形成推進國(guo)有企業改革的(de)合力

  29.完善(shan)國(guo)(guo)(guo)有(you)(you)(you)(you)企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)改(gai)(gai)(gai)革(ge)(ge)各類配(pei)套(tao)政(zheng)(zheng)(zheng)(zheng)策(ce)(ce)措施。各地(di)(di)(di)(di)區各有(you)(you)(you)(you)關(guan)部門要(yao)研(yan)究制(zhi)定(ding)(ding)(ding)相關(guan)配(pei)套(tao)政(zheng)(zheng)(zheng)(zheng)策(ce)(ce)措施,加(jia)大對(dui)(dui)國(guo)(guo)(guo)有(you)(you)(you)(you)企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)改(gai)(gai)(gai)革(ge)(ge)的(de)(de)(de)支(zhi)(zhi)持(chi)力度(du)。落(luo)實(shi)以國(guo)(guo)(guo)有(you)(you)(you)(you)劃撥土地(di)(di)(di)(di)采用國(guo)(guo)(guo)家(jia)作價(jia)入(ru)股的(de)(de)(de)方式支(zhi)(zhi)持(chi)企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)發展(zhan)的(de)(de)(de)政(zheng)(zheng)(zheng)(zheng)策(ce)(ce),土地(di)(di)(di)(di)出讓價(jia)扣除補(bu)(bu)繳土地(di)(di)(di)(di)價(jia)款后(hou)的(de)(de)(de)剩(sheng)余部分可用于增加(jia)原企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)的(de)(de)(de)國(guo)(guo)(guo)有(you)(you)(you)(you)資本金,補(bu)(bu)繳土地(di)(di)(di)(di)價(jia)款可返(fan)還企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)用于安置職(zhi)工或解決國(guo)(guo)(guo)企(qi)(qi)(qi)改(gai)(gai)(gai)革(ge)(ge)其他遺留問題。設立(li)自治區國(guo)(guo)(guo)有(you)(you)(you)(you)企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)改(gai)(gai)(gai)革(ge)(ge)重(zhong)組專項(xiang)基(ji)金,支(zhi)(zhi)持(chi)企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)改(gai)(gai)(gai)革(ge)(ge)重(zhong)組。研(yan)究完善(shan)支(zhi)(zhi)持(chi)國(guo)(guo)(guo)有(you)(you)(you)(you)企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)改(gai)(gai)(gai)革(ge)(ge)重(zhong)組上市(shi)(shi)的(de)(de)(de)財稅政(zheng)(zheng)(zheng)(zheng)策(ce)(ce),對(dui)(dui)涉及(ji)的(de)(de)(de)資產(chan)評估增值、債務(wu)重(zhong)組收益(yi)、土地(di)(di)(di)(di)房(fang)屋權(quan)屬轉(zhuan)移等(deng)(deng),按國(guo)(guo)(guo)家(jia)有(you)(you)(you)(you)關(guan)規定(ding)(ding)(ding)落(luo)實(shi)稅收優惠政(zheng)(zheng)(zheng)(zheng)策(ce)(ce)。健(jian)全公(gong)共(gong)服務(wu)體(ti)系,推進(jin)政(zheng)(zheng)(zheng)(zheng)府(fu)購買服務(wu),加(jia)快建立(li)穩定(ding)(ding)(ding)可靠、補(bu)(bu)償(chang)合理(li)(li)、公(gong)開透明的(de)(de)(de)國(guo)(guo)(guo)有(you)(you)(you)(you)企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)公(gong)共(gong)服務(wu)支(zhi)(zhi)出補(bu)(bu)償(chang)機制(zhi)。依法平(ping)等(deng)(deng)保(bao)護各類產(chan)權(quan),推動國(guo)(guo)(guo)有(you)(you)(you)(you)產(chan)權(quan)公(gong)開有(you)(you)(you)(you)序流轉(zhuan),將國(guo)(guo)(guo)有(you)(you)(you)(you)產(chan)權(quan)交(jiao)易(yi)統一納入(ru)公(gong)共(gong)資源交(jiao)易(yi)平(ping)臺,保(bao)障所有(you)(you)(you)(you)市(shi)(shi)場(chang)主體(ti)的(de)(de)(de)平(ping)等(deng)(deng)法律地(di)(di)(di)(di)位和(he)發展(zhan)權(quan)利。深化行政(zheng)(zheng)(zheng)(zheng)審批制(zhi)度(du)改(gai)(gai)(gai)革(ge)(ge),梳(shu)理(li)(li)和(he)完善(shan)國(guo)(guo)(guo)有(you)(you)(you)(you)企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)改(gai)(gai)(gai)革(ge)(ge)涉及(ji)的(de)(de)(de)工商登記(ji)、財稅管理(li)(li)、價(jia)格管理(li)(li)、土地(di)(di)(di)(di)流轉(zhuan)、國(guo)(guo)(guo)資監管、金融證券(quan)等(deng)(deng)方面的(de)(de)(de)政(zheng)(zheng)(zheng)(zheng)策(ce)(ce)規定(ding)(ding)(ding),優化政(zheng)(zheng)(zheng)(zheng)策(ce)(ce)、簡化手(shou)續(xu)、提高效(xiao)率,服務(wu)企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)發展(zhan)。健(jian)全企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)退(tui)出機制(zhi),完善(shan)國(guo)(guo)(guo)有(you)(you)(you)(you)企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)退(tui)出的(de)(de)(de)相關(guan)配(pei)套(tao)政(zheng)(zheng)(zheng)(zheng)策(ce)(ce),妥善(shan)處理(li)(li)人員安置、醫療和(he)養(yang)老保(bao)險(xian)接續(xu)以及(ji)其他相關(guan)問題。

  30.加快剝離(li)企(qi)(qi)業(ye)(ye)辦社會職(zhi)(zhi)能(neng)和解(jie)決歷史遺留(liu)問題(ti)。落實(shi)國(guo)(guo)家關于(yu)推動解(jie)決國(guo)(guo)有企(qi)(qi)業(ye)(ye)改革遺留(liu)問題(ti)的政(zheng)策(ce)要求,研(yan)究制(zhi)定自治區國(guo)(guo)有企(qi)(qi)業(ye)(ye)剝離(li)辦社會職(zhi)(zhi)能(neng)和解(jie)決歷史遺留(liu)問題(ti)實(shi)施(shi)方案,完善(shan)配套(tao)政(zheng)策(ce),以(yi)企(qi)(qi)業(ye)(ye)為主體,維(wei)護職(zhi)(zhi)工(gong)合(he)法權益,推進國(guo)(guo)有企(qi)(qi)業(ye)(ye)辦醫院、幼教(jiao)、社區等公共服務機構(gou)的分離(li)移交,逐步落實(shi)國(guo)(guo)有企(qi)(qi)業(ye)(ye)退休職(zhi)(zhi)工(gong)社會化(hua)管理(li)等政(zheng)策(ce)措施(shi)。新改組混合(he)所(suo)有制(zhi)企(qi)(qi)業(ye)(ye)必須妥善(shan)解(jie)決好歷史包袱,研(yan)究解(jie)決涉及職(zhi)(zhi)工(gong)切(qie)身利益的實(shi)際問題(ti),妥善(shan)安置轉崗職(zhi)(zhi)工(gong)。

  31.強(qiang)化(hua)國有(you)企業(ye)(ye)(ye)改(gai)(gai)革(ge)(ge)的(de)組織落實。自治區成立國有(you)企業(ye)(ye)(ye)改(gai)(gai)革(ge)(ge)領(ling)導小組,負(fu)責(ze)(ze)全區國有(you)企業(ye)(ye)(ye)改(gai)(gai)革(ge)(ge)工作(zuo)的(de)協(xie)(xie)調指導。領(ling)導小組辦(ban)公室設(she)在自治區國資委(wei),承擔領(ling)導小組的(de)日常(chang)工作(zuo)。各級(ji)黨委(wei)、政(zheng)府(fu)要切(qie)實履行對深(shen)化(hua)國有(you)企業(ye)(ye)(ye)改(gai)(gai)革(ge)(ge)的(de)領(ling)導責(ze)(ze)任,加(jia)強(qiang)統(tong)籌(chou)協(xie)(xie)調、明確責(ze)(ze)任分工,大膽探索,試(shi)點(dian)先(xian)行,積極穩(wen)妥推(tui)進國有(you)企業(ye)(ye)(ye)改(gai)(gai)革(ge)(ge)。將國有(you)企業(ye)(ye)(ye)改(gai)(gai)革(ge)(ge)創新工作(zuo)納入績效考核,作(zuo)為職務晉升和(he)獎(jiang)勵的(de)重要依據。注重輿論宣傳引(yin)導,凝(ning)聚改(gai)(gai)革(ge)(ge)共識,調動各方面的(de)積極性,加(jia)強(qiang)新聞發布,營造(zao)支持改(gai)(gai)革(ge)(ge)的(de)良好(hao)氛圍。建立改(gai)(gai)革(ge)(ge)容(rong)錯機(ji)制,鼓勵國有(you)企業(ye)(ye)(ye)在法治框架內開(kai)展改(gai)(gai)革(ge)(ge)探索。

  各盟市要(yao)依照《中共(gong)中央、國務院關于深化(hua)國有企(qi)業改革的(de)指導意(yi)見(jian)》和(he)本實(shi)施(shi)意(yi)見(jian)精神,結(jie)合實(shi)際制定實(shi)施(shi)意(yi)見(jian)和(he)配(pei)套(tao)政(zheng)策措施(shi)。
