今年以來,山東濰坊堅持把(ba)市屬國(guo)(guo)有(you)企業(ye)建立現代企業(ye)制度作為國(guo)(guo)企改(gai)革(ge)重要(yao)內容,在落實企業(ye)法(fa)人財產權、優化市級(ji)國(guo)(guo)有(you)經濟布局、健(jian)全企業(ye)法(fa)人治理結構、業(ye)績考核、薪酬制度改(gai)革(ge)、國(guo)(guo)有(you)企業(ye)黨(dang)建工(gong)作等方(fang)面采取多項重要(yao)舉措,積極實施,全力推進,成效顯著。
一是建(jian)(jian)章立(li)(li)(li)(li)制(zhi)(zhi)(zhi)(zhi),穩步建(jian)(jian)立(li)(li)(li)(li)現(xian)代企(qi)(qi)業(ye)(ye)(ye)(ye)制(zhi)(zhi)(zhi)(zhi)度(du)。今年(nian)(nian)5月(yue),《濰坊(fang)市(shi)(shi)(shi)屬(shu)國(guo)有(you)(you)(you)企(qi)(qi)業(ye)(ye)(ye)(ye)建(jian)(jian)立(li)(li)(li)(li)現(xian)代企(qi)(qi)業(ye)(ye)(ye)(ye)制(zhi)(zhi)(zhi)(zhi)度(du)總體(ti)(ti)方(fang)(fang)案(an)》(以(yi)下簡(jian)稱(cheng)《總體(ti)(ti)方(fang)(fang)案(an)》)正式(shi)出(chu)臺并印發,內(nei)容涉及調(diao)整優化(hua)市(shi)(shi)(shi)級國(guo)有(you)(you)(you)資本結構(gou)、建(jian)(jian)立(li)(li)(li)(li)完(wan)善(shan)企(qi)(qi)業(ye)(ye)(ye)(ye)法(fa)人(ren)(ren)治理(li)(li)結構(gou)、建(jian)(jian)立(li)(li)(li)(li)考(kao)(kao)核(he)(he)(he)激(ji)勵約(yue)(yue)束和(he)風險防控(kong)(kong)機制(zhi)(zhi)(zhi)(zhi)等(deng)(deng)多(duo)個方(fang)(fang)面(mian)。為逐(zhu)步在市(shi)(shi)(shi)屬(shu)國(guo)有(you)(you)(you)企(qi)(qi)業(ye)(ye)(ye)(ye)建(jian)(jian)立(li)(li)(li)(li)產權清晰、權責明(ming)確(que)、政企(qi)(qi)分開(kai)、管(guan)理(li)(li)科學的(de)(de)現(xian)代企(qi)(qi)業(ye)(ye)(ye)(ye)制(zhi)(zhi)(zhi)(zhi)度(du),在市(shi)(shi)(shi)屬(shu)國(guo)有(you)(you)(you)企(qi)(qi)業(ye)(ye)(ye)(ye)資本結構(gou)方(fang)(fang)面(mian),通過引入社會資本,市(shi)(shi)(shi)屬(shu)國(guo)有(you)(you)(you)獨(du)資、控(kong)(kong)股(gu)企(qi)(qi)業(ye)(ye)(ye)(ye)交(jiao)叉持股(gu),債權轉股(gu)權和(he)資本證券化(hua)等(deng)(deng)方(fang)(fang)式(shi),對市(shi)(shi)(shi)屬(shu)國(guo)有(you)(you)(you)企(qi)(qi)業(ye)(ye)(ye)(ye)尤其是國(guo)有(you)(you)(you)獨(du)資、控(kong)(kong)股(gu)企(qi)(qi)業(ye)(ye)(ye)(ye)進行股(gu)權多(duo)元化(hua)改造(zao),調(diao)整優化(hua)市(shi)(shi)(shi)級國(guo)有(you)(you)(you)資本結構(gou);在市(shi)(shi)(shi)屬(shu)國(guo)有(you)(you)(you)企(qi)(qi)業(ye)(ye)(ye)(ye)法(fa)人(ren)(ren)治理(li)(li)結構(gou)方(fang)(fang)面(mian),分別針對股(gu)東會、董(dong)事會、監事會、經(jing)理(li)(li)層的(de)(de)職權、工作(zuo)機制(zhi)(zhi)(zhi)(zhi)、考(kao)(kao)核(he)(he)(he)評價等(deng)(deng)內(nei)容進行明(ming)確(que);在考(kao)(kao)核(he)(he)(he)激(ji)勵約(yue)(yue)束方(fang)(fang)面(mian),建(jian)(jian)立(li)(li)(li)(li)年(nian)(nian)度(du)考(kao)(kao)核(he)(he)(he)與(yu)任(ren)期考(kao)(kao)核(he)(he)(he)相結合(he)、考(kao)(kao)核(he)(he)(he)結果與(yu)獎懲(cheng)相掛(gua)鉤、責任(ren)與(yu)職權相匹配的(de)(de)考(kao)(kao)核(he)(he)(he)激(ji)勵約(yue)(yue)束制(zhi)(zhi)(zhi)(zhi)度(du);在風險防控(kong)(kong)方(fang)(fang)面(mian),實行內(nei)部控(kong)(kong)制(zhi)(zhi)(zhi)(zhi)制(zhi)(zhi)(zhi)(zhi)度(du)、財(cai)務報告制(zhi)(zhi)(zhi)(zhi)度(du),建(jian)(jian)立(li)(li)(li)(li)防范利益沖突機制(zhi)(zhi)(zhi)(zhi)。目的(de)(de)是以(yi)完(wan)善(shan)的(de)(de)企(qi)(qi)業(ye)(ye)(ye)(ye)法(fa)人(ren)(ren)制(zhi)(zhi)(zhi)(zhi)度(du)為主體(ti)(ti),以(yi)有(you)(you)(you)限責任(ren)制(zhi)(zhi)(zhi)(zhi)度(du)為核(he)(he)(he)心,以(yi)公司制(zhi)(zhi)(zhi)(zhi)企(qi)(qi)業(ye)(ye)(ye)(ye)為主要形(xing)式(shi),建(jian)(jian)立(li)(li)(li)(li)符合(he)市(shi)(shi)(shi)場經(jing)濟發展要求的(de)(de)現(xian)代企(qi)(qi)業(ye)(ye)(ye)(ye)制(zhi)(zhi)(zhi)(zhi)度(du)。
二是著眼發展(zhan),調整優化(hua)市(shi)(shi)級(ji)(ji)國(guo)有資本布局。為統籌市(shi)(shi)級(ji)(ji)國(guo)有資本布局,提高對重(zhong)(zhong)點(dian)領(ling)(ling)域建設發展(zhan)的支(zhi)撐、引領(ling)(ling)、控(kong)制(zhi)能力,結合(he)(he)(he)市(shi)(shi)級(ji)(ji)投(tou)(tou)資集(ji)(ji)(ji)(ji)團(tuan)(tuan)公司發展(zhan)現狀,濰(wei)(wei)坊市(shi)(shi)今(jin)年制(zhi)定(ding)出臺(tai)了《濰(wei)(wei)坊市(shi)(shi)市(shi)(shi)級(ji)(ji)投(tou)(tou)資集(ji)(ji)(ji)(ji)團(tuan)(tuan)公司優化(hua)重(zhong)(zhong)組實施(shi)方案》。根據(ju)方案要(yao)求(qiu),濰(wei)(wei)坊市(shi)(shi)級(ji)(ji)投(tou)(tou)資集(ji)(ji)(ji)(ji)團(tuan)(tuan)公司優化(hua)重(zhong)(zhong)組工作立足城市(shi)(shi)重(zhong)(zhong)要(yao)基(ji)礎設施(shi)、重(zhong)(zhong)點(dian)片區開發、重(zhong)(zhong)點(dian)產業(ye)轉(zhuan)型升級(ji)(ji)及重(zhong)(zhong)要(yao)機制(zhi)保障(zhang)需要(yao),整合(he)(he)(he)設立市(shi)(shi)城建投(tou)(tou)資集(ji)(ji)(ji)(ji)團(tuan)(tuan)、市(shi)(shi)金控(kong)集(ji)(ji)(ji)(ji)團(tuan)(tuan)、市(shi)(shi)投(tou)(tou)資集(ji)(ji)(ji)(ji)團(tuan)(tuan)、濰(wei)(wei)坊港集(ji)(ji)(ji)(ji)團(tuan)(tuan)、濱海教育投(tou)(tou)資集(ji)(ji)(ji)(ji)團(tuan)(tuan)、食品谷集(ji)(ji)(ji)(ji)團(tuan)(tuan)、市(shi)(shi)再(zai)擔保集(ji)(ji)(ji)(ji)團(tuan)(tuan)七(qi)個市(shi)(shi)級(ji)(ji)國(guo)有控(kong)股投(tou)(tou)資集(ji)(ji)(ji)(ji)團(tuan)(tuan)公司,合(he)(he)(he)理配置資源,規范完善(shan)統一監管和(he)運行機制(zhi),逐漸形成市(shi)(shi)級(ji)(ji)投(tou)(tou)融資發展(zhan)基(ji)本框架。
三是探索創(chuang)新,建(jian)立(li)完善法(fa)人治理(li)結構。濰(wei)(wei)坊(fang)(fang)市(shi)(shi)(shi)(shi)在市(shi)(shi)(shi)(shi)屬國(guo)有企(qi)業探索實(shi)施了外(wai)部(bu)(bu)董(dong)事(shi)(shi)、專(zhuan)職(zhi)(zhi)(zhi)監(jian)(jian)事(shi)(shi)制度,以《濰(wei)(wei)坊(fang)(fang)市(shi)(shi)(shi)(shi)市(shi)(shi)(shi)(shi)管(guan)國(guo)有獨資公司(si)外(wai)部(bu)(bu)董(dong)事(shi)(shi)管(guan)理(li)試行(xing)辦法(fa)》為指(zhi)導,采取(qu)政府購(gou)買服務的(de)方式(shi),由濰(wei)(wei)坊(fang)(fang)國(guo)資委(wei)從各類(lei)企(qi)業領導人員和(he)社會中介機構、科研院所(suo)中選聘部(bu)(bu)分符(fu)合條件的(de)高級管(guan)理(li)人員和(he)專(zhuan)家學者擔任外(wai)部(bu)(bu)董(dong)事(shi)(shi),建(jian)立(li)了外(wai)部(bu)(bu)董(dong)事(shi)(shi)人才庫;同(tong)時,以《濰(wei)(wei)坊(fang)(fang)市(shi)(shi)(shi)(shi)市(shi)(shi)(shi)(shi)管(guan)企(qi)業監(jian)(jian)事(shi)(shi)會管(guan)理(li)暫行(xing)辦法(fa)》為指(zhi)導,建(jian)立(li)了專(zhuan)職(zhi)(zhi)(zhi)監(jian)(jian)事(shi)(shi)制度,加強專(zhuan)職(zhi)(zhi)(zhi)監(jian)(jian)事(shi)(shi)管(guan)理(li)。截至目前(qian),濰(wei)(wei)坊(fang)(fang)國(guo)資委(wei)已向(xiang)市(shi)(shi)(shi)(shi)投(tou)資公司(si)、濰(wei)(wei)坊(fang)(fang)市(shi)(shi)(shi)(shi)國(guo)有資產(chan)經(jing)營投(tou)資集(ji)(ji)團(tuan)等13家市(shi)(shi)(shi)(shi)屬國(guo)有企(qi)業派出了外(wai)部(bu)(bu)董(dong)事(shi)(shi),向(xiang)濰(wei)(wei)坊(fang)(fang)市(shi)(shi)(shi)(shi)城建(jian)投(tou)資集(ji)(ji)團(tuan)公司(si)、濰(wei)(wei)坊(fang)(fang)市(shi)(shi)(shi)(shi)文化旅游建(jian)設(she)投(tou)資公司(si)等13家企(qi)業派出了專(zhuan)職(zhi)(zhi)(zhi)監(jian)(jian)事(shi)(shi)。
四是加強(qiang)監管,健全激勵約束機制(zhi)。今年以來,濰坊國(guo)資委積極推進市(shi)管企(qi)(qi)業(ye)(ye)負(fu)責(ze)人(ren)(ren)經營業(ye)(ye)績考(kao)(kao)核(he)(he)制(zhi)度,落實國(guo)有資產保值增值責(ze)任(ren)(ren)。按照(zhao)《濰坊市(shi)市(shi)管企(qi)(qi)業(ye)(ye)負(fu)責(ze)人(ren)(ren)業(ye)(ye)績考(kao)(kao)核(he)(he)辦法(fa)》規定(ding)的考(kao)(kao)核(he)(he)方(fang)式與流(liu)程,按照(zhao)分類考(kao)(kao)核(he)(he)與綜合評價相(xiang)結(jie)合原則,科學(xue)確定(ding)業(ye)(ye)績考(kao)(kao)核(he)(he)年度和任(ren)(ren)期目標(biao)值,7月份(fen),正式與各企(qi)(qi)業(ye)(ye)簽訂2015年業(ye)(ye)績考(kao)(kao)核(he)(he)目標(biao)責(ze)任(ren)(ren)書,建(jian)立了(le)目標(biao)考(kao)(kao)核(he)(he)機制(zhi),完善了(le)濰坊市(shi)管企(qi)(qi)業(ye)(ye)負(fu)責(ze)人(ren)(ren)業(ye)(ye)績考(kao)(kao)核(he)(he)體系(xi)。
