以央企重組整合打造可持續發展競爭力

進入(ru)下半年以(yi)來,央(yang)(yang)企(qi)(qi)整合重組(zu)(zu)案例頻(pin)繁涌現。國(guo)務(wu)院國(guo)資(zi)委發布的(de)信息顯(xian)示,在8月(yue)20日至(zhi)28日共(gong)九天時間里(li),共(gong)有四家央(yang)(yang)企(qi)(qi)曝出(chu)了重組(zu)(zu)整合的(de)最(zui)新進展。8月(yue)21日,中(zhong)國(guo)輕(qing)工(gong)集團(tuan)公(gong)司(si)、中(zhong)國(guo)工(gong)藝(集團(tuan))公(gong)司(si)獲準整體并入(ru)中(zhong)國(guo)保利集團(tuan)公(gong)司(si),成為(wei)(wei)其(qi)全(quan)資(zi)子企(qi)(qi)業。8月(yue)28日,中(zhong)國(guo)國(guo)電集團(tuan)公(gong)司(si)與(yu)神(shen)華集團(tuan)有限責任(ren)公(gong)司(si)獲準合并重組(zu)(zu)為(wei)(wei)國(guo)家能(neng)源投資(zi)集團(tuan)有限責任(ren)公(gong)司(si)。自此,國(guo)資(zi)委直接監管(guan)的(de)央(yang)(yang)企(qi)(qi)數量減(jian)至(zhi)98家,央(yang)(yang)企(qi)(qi)戶(hu)數縮減(jian)至(zhi)百家以(yi)內(nei)的(de)目標提前完成。

一、央企重組整合的發展歷程(cheng)

回(hui)顧(gu)央企(qi)重組整合(he)的(de)歷程,自國(guo)資(zi)委(wei)2003年(nian)成(cheng)立以來(lai),中央企(qi)業的(de)整合(he)重組在(zai)“十(shi)一五”“十(shi)二五”“十(shi)三(san)五”三(san)個時期一直(zhi)都在(zai)進(jin)行之(zhi)中,可以大致劃分成(cheng)三(san)個階段(duan)。

(1)2003年—2010年(從196家減到123家):規模大(da),速(su)度快

國(guo)資委在成立(li)之初(chu)就提出,到2010年(nian)把196家(jia)央企(qi)縮減至(zhi)100家(jia)左右(you),并(bing)(bing)且要培育30—50家(jia)具有國(guo)際競爭力的大(da)企(qi)業(ye)。這一階(jie)段的央企(qi)重組最大(da)的特點是規模大(da),速度快。截至(zhi)2010年(nian)8月,央企(qi)數(shu)量已(yi)經從(cong)196家(jia)降至(zhi)123家(jia)。國(guo)務院于2010年(nian)9月發(fa)布了《關于促進企(qi)業(ye)兼并(bing)(bing)重組的意見》。該意見明確定指出,推動(dong)優(you)勢企(qi)業(ye)實施強強聯(lian)合(he)、跨(kua)地區兼并(bing)(bing)重組、境外并(bing)(bing)購和投資合(he)作。

(2)2010年(nian)—2014年(nian)(從123家減到112家):速度放緩,質量提(ti)高

隨著央(yang)企整(zheng)合的(de)難(nan)度和風(feng)險(xian)不(bu)斷暴露(lu)和問題不(bu)斷出(chu)現,央(yang)企重(zhong)組的(de)速(su)度明(ming)顯放緩(huan),放棄(qi)了(le)過于追(zhui)求速(su)度的(de)目標,更加強調“數量服從(cong)質量”,風(feng)格開(kai)始(shi)轉向“成熟一家(jia),重(zhong)組一家(jia)”。在(zai)這一階段將(jiang)近五年(nian)的(de)時間里,央(yang)企數量由123家(jia)減少至112家(jia),速(su)度有所放緩(huan),質量明(ming)顯提(ti)高。

(3)2014年—現在(從112家減到98家):第一批央改試點開(kai)始(shi)實施(shi),中央企業(ye)改革全(quan)面部署

十八大(da)(da)以來(lai)(lai),國(guo)(guo)(guo)(guo)(guo)(guo)(guo)資(zi)(zi)委(wei)(wei)按照新(xin)常態(tai)下(xia)我國(guo)(guo)(guo)(guo)(guo)(guo)(guo)經濟結構調整(zheng)優化的(de)(de)(de)(de)(de)要(yao)求,繼續(xu)推(tui)動央(yang)(yang)(yang)企(qi)(qi)(qi)(qi)重(zhong)(zhong)(zhong)(zhong)組(zu)(zu)整(zheng)合(he)(he)(he)。從政策面看,2014年(nian)(nian)(nian)5月,中(zhong)(zhong)(zhong)央(yang)(yang)(yang)發布《關于推(tui)進(jin)國(guo)(guo)(guo)(guo)(guo)(guo)(guo)有資(zi)(zi)本(ben)調整(zheng)和國(guo)(guo)(guo)(guo)(guo)(guo)(guo)有企(qi)(qi)(qi)(qi)業重(zhong)(zhong)(zhong)(zhong)組(zu)(zu)的(de)(de)(de)(de)(de)指導(dao)意(yi)見(jian)》文件,明確(que)要(yao)求加快(kuai)國(guo)(guo)(guo)(guo)(guo)(guo)(guo)有大(da)(da)型企(qi)(qi)(qi)(qi)業的(de)(de)(de)(de)(de)調整(zheng)和重(zhong)(zhong)(zhong)(zhong)組(zu)(zu),促進(jin)企(qi)(qi)(qi)(qi)業資(zi)(zi)源優化配置。2015年(nian)(nian)(nian)10月,國(guo)(guo)(guo)(guo)(guo)(guo)(guo)務(wu)院出臺《國(guo)(guo)(guo)(guo)(guo)(guo)(guo)務(wu)院關于改革和完善(shan)國(guo)(guo)(guo)(guo)(guo)(guo)(guo)有資(zi)(zi)產管理體(ti)制(zhi)的(de)(de)(de)(de)(de)若(ruo)干意(yi)見(jian)》,強調央(yang)(yang)(yang)企(qi)(qi)(qi)(qi)集(ji)團(tuan)分類合(he)(he)(he)并(bing),推(tui)進(jin)國(guo)(guo)(guo)(guo)(guo)(guo)(guo)有資(zi)(zi)本(ben)優化重(zhong)(zhong)(zhong)(zhong)組(zu)(zu),建(jian)立健全國(guo)(guo)(guo)(guo)(guo)(guo)(guo)有資(zi)(zi)本(ben)收益管理制(zhi)度(du)。從實際推(tui)進(jin)看,2014年(nian)(nian)(nian)底(di),部(bu)分央(yang)(yang)(yang)企(qi)(qi)(qi)(qi)陸續(xu)公布了合(he)(he)(he)并(bing)重(zhong)(zhong)(zhong)(zhong)組(zu)(zu)方(fang)案(an)(an),較為(wei)典型的(de)(de)(de)(de)(de)案(an)(an)例有:南北(bei)車合(he)(he)(he)并(bing)成(cheng)(cheng)(cheng)立中(zhong)(zhong)(zhong)國(guo)(guo)(guo)(guo)(guo)(guo)(guo)中(zhong)(zhong)(zhong)車、中(zhong)(zhong)(zhong)國(guo)(guo)(guo)(guo)(guo)(guo)(guo)遠洋集(ji)團(tuan)與(yu)中(zhong)(zhong)(zhong)國(guo)(guo)(guo)(guo)(guo)(guo)(guo)海運集(ji)團(tuan)重(zhong)(zhong)(zhong)(zhong)組(zu)(zu)以及中(zhong)(zhong)(zhong)電投與(yu)國(guo)(guo)(guo)(guo)(guo)(guo)(guo)家(jia)(jia)(jia)核電合(he)(he)(he)并(bing)成(cheng)(cheng)(cheng)立國(guo)(guo)(guo)(guo)(guo)(guo)(guo)家(jia)(jia)(jia)電投等。央(yang)(yang)(yang)企(qi)(qi)(qi)(qi)的(de)(de)(de)(de)(de)整(zheng)合(he)(he)(he)基本(ben)按照“成(cheng)(cheng)(cheng)熟一(yi)家(jia)(jia)(jia),重(zhong)(zhong)(zhong)(zhong)組(zu)(zu)一(yi)家(jia)(jia)(jia)”的(de)(de)(de)(de)(de)節(jie)奏(zou)推(tui)進(jin)。2016年(nian)(nian)(nian)被(bei)業內稱為(wei)“央(yang)(yang)(yang)企(qi)(qi)(qi)(qi)重(zhong)(zhong)(zhong)(zhong)組(zu)(zu)年(nian)(nian)(nian)”。央(yang)(yang)(yang)企(qi)(qi)(qi)(qi)重(zhong)(zhong)(zhong)(zhong)組(zu)(zu)步伐進(jin)一(yi)步加快(kuai),截止到(dao)2016年(nian)(nian)(nian)年(nian)(nian)(nian)底(di),中(zhong)(zhong)(zhong)央(yang)(yang)(yang)企(qi)(qi)(qi)(qi)業戶(hu)數已(yi)調整(zheng)至(zhi)102戶(hu)。2017年(nian)(nian)(nian)以來(lai)(lai),央(yang)(yang)(yang)企(qi)(qi)(qi)(qi)重(zhong)(zhong)(zhong)(zhong)組(zu)(zu)更是動作不斷(duan)。國(guo)(guo)(guo)(guo)(guo)(guo)(guo)資(zi)(zi)委(wei)(wei)的(de)(de)(de)(de)(de)最新(xin)統(tong)計顯示(shi),自十八大(da)(da)以來(lai)(lai),國(guo)(guo)(guo)(guo)(guo)(guo)(guo)資(zi)(zi)委(wei)(wei)先后完成(cheng)(cheng)(cheng)18組(zu)(zu)34家(jia)(jia)(jia)企(qi)(qi)(qi)(qi)業重(zhong)(zhong)(zhong)(zhong)組(zu)(zu),截止到(dao)8月末,國(guo)(guo)(guo)(guo)(guo)(guo)(guo)資(zi)(zi)委(wei)(wei)直接(jie)監(jian)管的(de)(de)(de)(de)(de)央(yang)(yang)(yang)企(qi)(qi)(qi)(qi)數量(liang)已(yi)由2003年(nian)(nian)(nian)國(guo)(guo)(guo)(guo)(guo)(guo)(guo)資(zi)(zi)委(wei)(wei)成(cheng)(cheng)(cheng)立之初的(de)(de)(de)(de)(de)196家(jia)(jia)(jia)降至(zhi)目前(qian)的(de)(de)(de)(de)(de)98家(jia)(jia)(jia),數量(liang)已(yi)縮(suo)減了一(yi)半。與(yu)此同時(shi),地(di)方(fang)國(guo)(guo)(guo)(guo)(guo)(guo)(guo)企(qi)(qi)(qi)(qi)兼(jian)并(bing)重(zhong)(zhong)(zhong)(zhong)組(zu)(zu)也在提速。據悉,近(jin)期包括(kuo)廣東、山西、四川等均出臺多個地(di)方(fang)國(guo)(guo)(guo)(guo)(guo)(guo)(guo)企(qi)(qi)(qi)(qi)改革方(fang)案(an)(an),把并(bing)購重(zhong)(zhong)(zhong)(zhong)組(zu)(zu)作為(wei)優化資(zi)(zi)產的(de)(de)(de)(de)(de)重(zhong)(zhong)(zhong)(zhong)要(yao)手段并(bing)提出具體(ti)“路線圖”和“時(shi)間表”,2017年(nian)(nian)(nian)下(xia)半年(nian)(nian)(nian)有望迎(ying)來(lai)(lai)國(guo)(guo)(guo)(guo)(guo)(guo)(guo)企(qi)(qi)(qi)(qi)并(bing)購重(zhong)(zhong)(zhong)(zhong)組(zu)(zu)密集(ji)落(luo)地(di)潮。

從(cong)目(mu)前來看,央企(qi)重(zhong)(zhong)(zhong)(zhong)組(zu)(zu)(zu)(zu)主(zhu)(zhu)要(yao)出于(yu)以下三(san)(san)(san)方(fang)(fang)面的(de)考慮:一是(shi)(shi)(shi)(shi)瞄準培育世界一流企(qi)業(ye)(ye)推進重(zhong)(zhong)(zhong)(zhong)組(zu)(zu)(zu)(zu),二是(shi)(shi)(shi)(shi)助力產(chan)(chan)業(ye)(ye)發展轉(zhuan)型(xing)升級推進重(zhong)(zhong)(zhong)(zhong)組(zu)(zu)(zu)(zu),三(san)(san)(san)是(shi)(shi)(shi)(shi)發揮協同效(xiao)應提(ti)(ti)(ti)升效(xiao)率推進重(zhong)(zhong)(zhong)(zhong)組(zu)(zu)(zu)(zu)。本輪央企(qi)合(he)并重(zhong)(zhong)(zhong)(zhong)組(zu)(zu)(zu)(zu)采取了(le)以下三(san)(san)(san)類方(fang)(fang)式(shi):一是(shi)(shi)(shi)(shi)橫向式(shi)的(de)同業(ye)(ye)間合(he)并。這既(ji)包(bao)括央企(qi)間的(de)“強強聯合(he)”型(xing)的(de)合(he)并重(zhong)(zhong)(zhong)(zhong)組(zu)(zu)(zu)(zu),諸如(ru)寶武合(he)并、南(nan)北(bei)車合(he)并等(deng),其主(zhu)(zhu)要(yao)目(mu)的(de)在于(yu)提(ti)(ti)(ti)高集(ji)(ji)中(zhong)度,化解(jie)過(guo)剩產(chan)(chan)能(neng),或希望通(tong)過(guo)強強聯合(he),發揮規模效(xiao)應,提(ti)(ti)(ti)高央企(qi)競爭力;也包(bao)括“強并弱”型(xing)合(he)并重(zhong)(zhong)(zhong)(zhong)組(zu)(zu)(zu)(zu),如(ru)港(gang)中(zhong)旅合(he)并中(zhong)國(guo)國(guo)旅集(ji)(ji)團(tuan)等(deng),其主(zhu)(zhu)要(yao)目(mu)的(de)在于(yu)減少(shao)國(guo)資(zi)委直接控制。二是(shi)(shi)(shi)(shi)縱向式(shi)的(de)沿產(chan)(chan)業(ye)(ye)鏈(lian)上下游(you)合(he)并,或利用資(zi)本運營公(gong)司(si)進行跨(kua)行業(ye)(ye)合(he)并。如(ru)中(zhong)糧與中(zhong)紡合(he)并、中(zhong)國(guo)機械工業(ye)(ye)集(ji)(ji)團(tuan)與中(zhong)國(guo)恒天集(ji)(ji)團(tuan)實施重(zhong)(zhong)(zhong)(zhong)組(zu)(zu)(zu)(zu)等(deng),其主(zhu)(zhu)要(yao)目(mu)的(de)在于(yu)做(zuo)大(da)做(zuo)強、發揮協同作用或推動(dong)轉(zhuan)型(xing)升級。三(san)(san)(san)是(shi)(shi)(shi)(shi)共建共享的(de)新(xin)組(zu)(zu)(zu)(zu)建方(fang)(fang)式(shi)。比如(ru)三(san)(san)(san)家通(tong)信企(qi)業(ye)(ye)共同出資(zi)成立了(le)鐵塔(ta)公(gong)司(si),節約了(le)大(da)量的(de)土地資(zi)源(yuan)、節省大(da)量投(tou)資(zi)。

統(tong)計(ji)顯示,重(zhong)(zhong)(zhong)組紅利已經開始(shi)逐(zhu)步釋放(fang)。中(zhong)(zhong)央企(qi)業通過重(zhong)(zhong)(zhong)組實現了資(zi)(zi)源向優(you)勢(shi)企(qi)業集中(zhong)(zhong),盤活(huo)了存量,減少了同業競爭和(he)重(zhong)(zhong)(zhong)復建(jian)設(she),優(you)化(hua)(hua)了國(guo)(guo)有資(zi)(zi)本的(de)布局與資(zi)(zi)源配置。比(bi)如重(zhong)(zhong)(zhong)組后(hou)(hou)的(de)國(guo)(guo)家電投加(jia)(jia)快推(tui)進了我國(guo)(guo)核電技術自(zi)主(zhu)創(chuang)新(xin),有力(li)推(tui)動了AP/CAP三代核電產(chan)業化(hua)(hua)發展和(he)核電國(guo)(guo)際化(hua)(hua)發展。重(zhong)(zhong)(zhong)組前,中(zhong)(zhong)國(guo)(guo)遠洋和(he)中(zhong)(zhong)國(guo)(guo)海(hai)運(yun)在(zai)行業中(zhong)(zhong)分列排(pai)名世(shi)界第6和(he)第8,重(zhong)(zhong)(zhong)組后(hou)(hou)中(zhong)(zhong)國(guo)(guo)遠洋海(hai)運(yun)綜合運(yun)力(li)、干散貨(huo)、油(you)輪(lun)和(he)雜貨(huo)特(te)種船(chuan)隊(dui)運(yun)力(li)規模排(pai)名世(shi)界第一。從經營業績角度看,重(zhong)(zhong)(zhong)組后(hou)(hou)經營成本明顯下(xia)降、企(qi)業效(xiao)益(yi)明顯提升(sheng)。比(bi)如中(zhong)(zhong)國(guo)(guo)遠洋海(hai)運(yun)在(zai)波羅(luo)的(de)海(hai)指數創(chuang)新(xin)低(di)的(de)情況下(xia),利潤逆(ni)勢(shi)上揚(yang),2016年實現利潤161億元,同比(bi)增(zeng)加(jia)(jia)47.3%,2017年1—4月實現利潤總額54億元,增(zeng)加(jia)(jia)17.7%。寶鋼和(he)武鋼重(zhong)(zhong)(zhong)組以后(hou)(hou),兩家企(qi)業開展了180多項(xiang)業務協同,產(chan)生了很大的(de)協同效(xiao)益(yi)。

二、繼(ji)續重組提(ti)升企(qi)業(ye)競爭力

并(bing)購重(zhong)(zhong)(zhong)(zhong)組(zu)(zu)歷來(lai)是企(qi)(qi)(qi)業(ye)規模擴(kuo)張的(de)(de)(de)重(zhong)(zhong)(zhong)(zhong)要方式。已故諾貝爾經濟(ji)學獎(jiang)得主G·斯蒂(di)格勒曾(ceng)經說過(guo):“縱觀美國(guo)著名大(da)(da)企(qi)(qi)(qi)業(ye),幾(ji)乎沒(mei)有(you)(you)哪一(yi)家不是以某種(zhong)方式、在(zai)某種(zhong)程度上應(ying)用了兼并(bing)、收(shou)購發展起來(lai)的(de)(de)(de),幾(ji)乎沒(mei)有(you)(you)一(yi)家大(da)(da)公司能主要依靠內部擴(kuo)張成(cheng)長起來(lai)。”這一(yi)點對(dui)中國(guo)企(qi)(qi)(qi)業(ye)也(ye)不例外。兼并(bing)重(zhong)(zhong)(zhong)(zhong)組(zu)(zu)一(yi)直是近年(nian)來(lai)中國(guo)企(qi)(qi)(qi)業(ye)(不只是央(yang)企(qi)(qi)(qi))做(zuo)大(da)(da)做(zuo)強(qiang)、實(shi)(shi)現(xian)跨(kua)越式發展的(de)(de)(de)重(zhong)(zhong)(zhong)(zhong)要手段(duan)。即使在(zai)金(jin)融危機影(ying)響嚴重(zhong)(zhong)(zhong)(zhong)的(de)(de)(de)2009年(nian),據不完全統計,國(guo)內大(da)(da)型企(qi)(qi)(qi)業(ye)之間共發生了50多起并(bing)購重(zhong)(zhong)(zhong)(zhong)組(zu)(zu)案(an)例。現(xian)階段(duan),央(yang)企(qi)(qi)(qi)(包(bao)括國(guo)內其(qi)他(ta)企(qi)(qi)(qi)業(ye))之間的(de)(de)(de)兼并(bing)重(zhong)(zhong)(zhong)(zhong)組(zu)(zu)有(you)(you)著多方面的(de)(de)(de)益處。由于我(wo)國(guo)的(de)(de)(de)工業(ye)化進程尚未完成(cheng),因此,對(dui)于現(xian)階段(duan)的(de)(de)(de)我(wo)國(guo)企(qi)(qi)(qi)業(ye)而言,在(zai)現(xian)有(you)(you)基礎上通(tong)過(guo)重(zhong)(zhong)(zhong)(zhong)組(zu)(zu)繼(ji)續擴(kuo)大(da)(da)規模,對(dui)于實(shi)(shi)現(xian)規模效益、提升產業(ye)集中度仍然(ran)具有(you)(you)重(zhong)(zhong)(zhong)(zhong)要的(de)(de)(de)現(xian)實(shi)(shi)意義。

國資(zi)委(wei)最近表示,下一(yi)步將加強(qiang)頂層(ceng)設計(ji),加大(da)推(tui)進(jin)(jin)力度(du),按照“成熟一(yi)戶(hu)、推(tui)進(jin)(jin)一(yi)戶(hu)”的(de)(de)原則,圍繞做強(qiang)做優做大(da)目標,加快深度(du)調整重(zhong)(zhong)組(zu)(zu)(zu)步伐,以推(tui)進(jin)(jin)煤(mei)電、重(zhong)(zhong)型裝備制造、鋼鐵(tie)等(deng)領域(yu)重(zhong)(zhong)組(zu)(zu)(zu)為重(zhong)(zhong)點,繼(ji)續推(tui)進(jin)(jin)央企集團層(ceng)面重(zhong)(zhong)組(zu)(zu)(zu)。現(xian)階段央企無疑仍有較大(da)的(de)(de)重(zhong)(zhong)組(zu)(zu)(zu)合(he)(he)并(bing)(bing)空間(jian),未來大(da)型央企間(jian)合(he)(he)并(bing)(bing)重(zhong)(zhong)組(zu)(zu)(zu)或風云再起,其(qi)路徑(jing)或首先按照同業(ye)間(jian)合(he)(he)并(bing)(bing)重(zhong)(zhong)組(zu)(zu)(zu)(強(qiang)強(qiang)聯合(he)(he))或沿產(chan)業(ye)鏈上下游(如(ru)煤(mei)電一(yi)體化),而后才利(li)用投資(zi)運營公(gong)司進(jin)(jin)行跨產(chan)業(ye)合(he)(he)并(bing)(bing)重(zhong)(zhong)組(zu)(zu)(zu)。因此(ci),“十三(san)五”時期的(de)(de)未來三(san)年仍將是中國國企重(zhong)(zhong)組(zu)(zu)(zu)的(de)(de)活躍期,淘汰(tai)案例(li)會明顯增多,參股、控(kong)股、收購(gou)兼并(bing)(bing)、通過(guo)產(chan)權市場出售資(zi)產(chan)等(deng)多種形式的(de)(de)整合(he)(he)將會加速。

綜合考(kao)慮前期央(yang)企(qi)整合重組(zu)的(de)(de)經(jing)驗與(yu)國(guo)企(qi)改革的(de)(de)政策支持環境,著眼于國(guo)有企(qi)業改革發展的(de)(de)長(chang)遠目標,未(wei)來(lai)推進(jin)央(yang)企(qi)(包(bao)括(kuo)地方國(guo)企(qi))的(de)(de)重組(zu)要充分考(kao)慮以下因(yin)素。
