國務院國資委有關負責人就《中央企業控股上市公司實施股權激勵工作指引》答記者問

近日,國(guo)(guo)(guo)務院(yuan)國(guo)(guo)(guo)資委發布了(le)(le)《關于印發<中央(yang)企業控股(gu)上市(shi)公司實(shi)施股(gu)權激(ji)勵(li)工作(zuo)指(zhi)引>的(de)通知》(國(guo)(guo)(guo)資考分〔2020〕178號,以下簡稱《指(zhi)引》)。《指(zhi)引》出臺后,國(guo)(guo)(guo)務院(yuan)國(guo)(guo)(guo)資委有關負責人接受了(le)(le)記者(zhe)采訪。

問:請介紹一下出臺《指引》的背景。

答:黨(dang)的(de)(de)(de)(de)十八(ba)屆三中(zhong)(zhong)全會以(yi)來,國(guo)(guo)資委以(yi)習近平(ping)新時代中(zhong)(zhong)國(guo)(guo)特色社會主義思想為指導,認真貫徹落(luo)實(shi)(shi)(shi)黨(dang)中(zhong)(zhong)央(yang)(yang)、國(guo)(guo)務(wu)院(yuan)各項決(jue)策(ce)部署(shu),扎實(shi)(shi)(shi)推(tui)進國(guo)(guo)有(you)企(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)改(gai)革(ge)各項工作(zuo)。目前(qian)國(guo)(guo)有(you)企(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)改(gai)革(ge)的(de)(de)(de)(de)“1+N”文件體(ti)系已經基(ji)(ji)本(ben)定(ding)型,當(dang)前(qian)制(zhi)定(ding)政(zheng)(zheng)策(ce)的(de)(de)(de)(de)重(zhong)點(dian)是具體(ti)的(de)(de)(de)(de)操(cao)作(zuo)規程。就中(zhong)(zhong)央(yang)(yang)企(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)控(kong)(kong)(kong)股(gu)上市(shi)公(gong)(gong)司股(gu)權激(ji)勵(li)(li)(li)工作(zuo)而(er)言,國(guo)(guo)資委成立(li)(li)以(yi)來,根據黨(dang)中(zhong)(zhong)央(yang)(yang)、國(guo)(guo)務(wu)院(yuan)確立(li)(li)的(de)(de)(de)(de)生產(chan)要素按(an)貢獻參與(yu)分(fen)配的(de)(de)(de)(de)原則,從適(shi)應資本(ben)市(shi)場(chang)發展(zhan)和(he)企(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)改(gai)制(zhi)上市(shi)的(de)(de)(de)(de)需(xu)要出(chu)發,按(an)照履行出(chu)資人職(zhi)責的(de)(de)(de)(de)要求,積極(ji)探索國(guo)(guo)有(you)控(kong)(kong)(kong)股(gu)上市(shi)公(gong)(gong)司實(shi)(shi)(shi)施股(gu)權激(ji)勵(li)(li)(li)的(de)(de)(de)(de)有(you)效機制(zhi),在實(shi)(shi)(shi)踐中(zhong)(zhong)不斷完(wan)善辦法(fa),尤(you)其是2019年國(guo)(guo)資委制(zhi)定(ding)出(chu)臺《關于進一(yi)步做好中(zhong)(zhong)央(yang)(yang)企(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)控(kong)(kong)(kong)股(gu)上市(shi)公(gong)(gong)司股(gu)權激(ji)勵(li)(li)(li)工作(zuo)有(you)關事項的(de)(de)(de)(de)通(tong)知》(國(guo)(guo)資發考分(fen)規〔2019〕102號),標志著(zhu)中(zhong)(zhong)央(yang)(yang)企(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)控(kong)(kong)(kong)股(gu)上市(shi)公(gong)(gong)司實(shi)(shi)(shi)施股(gu)權激(ji)勵(li)(li)(li)的(de)(de)(de)(de)政(zheng)(zheng)策(ce)體(ti)系已經基(ji)(ji)本(ben)定(ding)型。當(dang)前(qian)的(de)(de)(de)(de)重(zhong)點(dian)任(ren)務(wu)是把(ba)工作(zuo)著(zhu)力(li)點(dian)從夯基(ji)(ji)壘臺、立(li)(li)梁架柱轉(zhuan)到系統集(ji)成、協(xie)同高(gao)效、落(luo)實(shi)(shi)(shi)落(luo)地上來,推(tui)動(dong)(dong)(dong)這項制(zhi)度更加成熟更加定(ding)型。出(chu)臺《指引》就是把(ba)國(guo)(guo)有(you)控(kong)(kong)(kong)股(gu)上市(shi)公(gong)(gong)司實(shi)(shi)(shi)施股(gu)權激(ji)勵(li)(li)(li)的(de)(de)(de)(de)相關政(zheng)(zheng)策(ce)規定(ding)和(he)前(qian)期中(zhong)(zhong)央(yang)(yang)企(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)開展(zhan)此(ci)項工作(zuo)的(de)(de)(de)(de)實(shi)(shi)(shi)踐經驗進行了(le)匯總(zong)梳理(li),著(zhu)力(li)從微(wei)觀操(cao)作(zuo)層面細化對中(zhong)(zhong)央(yang)(yang)企(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)的(de)(de)(de)(de)工作(zuo)指導,進而(er)推(tui)動(dong)(dong)(dong)中(zhong)(zhong)央(yang)(yang)企(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)擴大控(kong)(kong)(kong)股(gu)上市(shi)公(gong)(gong)司實(shi)(shi)(shi)施股(gu)權激(ji)勵(li)(li)(li)的(de)(de)(de)(de)覆蓋面,構建科(ke)學、規范(fan)的(de)(de)(de)(de)中(zhong)(zhong)長期激(ji)勵(li)(li)(li)機制(zhi),推(tui)動(dong)(dong)(dong)企(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)高(gao)質(zhi)量發展(zhan)。

問:《指引》具體包含哪些方面內容?

答:《指引》共(gong)九十(shi)七條(tiao),近兩(liang)萬字,根據中央企業(ye)控股(gu)(gu)上市公司實(shi)施(shi)(shi)股(gu)(gu)權(quan)(quan)激(ji)勵(li)(li)(li)的(de)(de)各(ge)方(fang)面政策(ce)(ce)規(gui)定(ding),從(cong)股(gu)(gu)權(quan)(quan)激(ji)勵(li)(li)(li)計劃(hua)的(de)(de)內容要(yao)點、考核(he)體系、管(guan)理(li)辦法和實(shi)施(shi)(shi)程序等(deng)方(fang)面,進(jin)行了(le)政策(ce)(ce)梳理(li)、系統集成,對(dui)上市公司股(gu)(gu)權(quan)(quan)激(ji)勵(li)(li)(li)實(shi)踐規(gui)范逐一明(ming)確(que)闡釋(shi)。一是重(zhong)點介紹(shao)實(shi)施(shi)(shi)股(gu)(gu)權(quan)(quan)激(ji)勵(li)(li)(li)的(de)(de)政策(ce)(ce)依據、適用范圍(wei),實(shi)施(shi)(shi)股(gu)(gu)權(quan)(quan)激(ji)勵(li)(li)(li)的(de)(de)條(tiao)件(jian)、原則及(ji)相關要(yao)求。二(er)是對(dui)股(gu)(gu)權(quan)(quan)激(ji)勵(li)(li)(li)計劃(hua)中的(de)(de)激(ji)勵(li)(li)(li)方(fang)式、激(ji)勵(li)(li)(li)對(dui)象范圍(wei)、權(quan)(quan)益(yi)授予(yu)(yu)數量(liang)、授予(yu)(yu)價格、時間安排(pai)、激(ji)勵(li)(li)(li)收益(yi)等(deng)的(de)(de)內涵要(yao)義、政策(ce)(ce)規(gui)定(ding)、操作規(gui)范進(jin)行詳細闡釋(shi)。三是從(cong)強化公司業(ye)績考核(he)、健(jian)全(quan)激(ji)勵(li)(li)(li)對(dui)象績效考核(he)評價、科創板上市公司實(shi)施(shi)(shi)股(gu)(gu)權(quan)(quan)激(ji)勵(li)(li)(li)的(de)(de)考核(he)等(deng)方(fang)面明(ming)確(que)出資人的(de)(de)導向和要(yao)求,引導企業(ye)注重(zhong)價值(zhi)提升,實(shi)現高(gao)質量(liang)發展(zhan)。四是將規(gui)范股(gu)(gu)權(quan)(quan)激(ji)勵(li)(li)(li)管(guan)理(li)辦法、責任追究與特(te)殊情(qing)形(xing)處理(li)、財務處理(li)和稅收規(gui)定(ding)等(deng)方(fang)面的(de)(de)要(yao)求和規(gui)定(ding)進(jin)行了(le)梳理(li)明(ming)確(que)。五是歸納各(ge)級(ji)國有股(gu)(gu)東的(de)(de)職責,對(dui)股(gu)(gu)權(quan)(quan)激(ji)勵(li)(li)(li)計劃(hua)的(de)(de)決(jue)策(ce)(ce)、申報、實(shi)施(shi)(shi)、終(zhong)止等(deng)程序事項予(yu)(yu)以梳理(li),并(bing)重(zhong)申監(jian)督管(guan)理(li)、信息(xi)披露等(deng)要(yao)求。

問:《指引》在政策要求上有什么新特點?

答:《指(zhi)(zhi)(zhi)引(yin)(yin)》主(zhu)要有(you)三(san)個方(fang)面的(de)(de)(de)(de)(de)特點:一(yi)(yi)是(shi)(shi)政(zheng)(zheng)策(ce)上(shang)(shang)保持銜(xian)接一(yi)(yi)致(zhi)。《指(zhi)(zhi)(zhi)引(yin)(yin)》是(shi)(shi)在(zai)(zai)(zai)證券監管(guan)部門相關規(gui)定(ding)框架下(xia)制定(ding)的(de)(de)(de)(de)(de),與國(guo)資(zi)委此(ci)前出(chu)臺(tai)的(de)(de)(de)(de)(de)國(guo)有(you)控(kong)股(gu)(gu)上(shang)(shang)市公(gong)司實施股(gu)(gu)權(quan)激勵的(de)(de)(de)(de)(de)政(zheng)(zheng)策(ce)規(gui)定(ding)也(ye)是(shi)(shi)銜(xian)接一(yi)(yi)致(zhi)的(de)(de)(de)(de)(de),這次(ci)提出(chu)的(de)(de)(de)(de)(de)都(dou)是(shi)(shi)具體(ti)操(cao)作(zuo)上(shang)(shang)的(de)(de)(de)(de)(de)細(xi)化規(gui)程(cheng)。二是(shi)(shi)清晰界(jie)定(ding)責任(ren)與程(cheng)序(xu)。國(guo)資(zi)委落(luo)實以(yi)管(guan)資(zi)本為(wei)主(zhu)職(zhi)能轉變(bian)要求,股(gu)(gu)權(quan)激勵具體(ti)實施方(fang)案的(de)(de)(de)(de)(de)審核(he)責任(ren)在(zai)(zai)(zai)中(zhong)央(yang)企業集團(tuan)公(gong)司,《指(zhi)(zhi)(zhi)引(yin)(yin)》通(tong)過細(xi)化完(wan)善(shan)操(cao)作(zuo)層面的(de)(de)(de)(de)(de)指(zhi)(zhi)(zhi)導,幫(bang)(bang)助中(zhong)央(yang)企業更好(hao)地擔(dan)負起股(gu)(gu)權(quan)激勵主(zhu)體(ti)責任(ren),保障(zhang)該項工作(zuo)職(zhi)責中(zhong)央(yang)企業接得(de)住、管(guan)得(de)好(hao)、落(luo)得(de)實。三(san)是(shi)(shi)重點回(hui)答了(le)操(cao)作(zuo)問(wen)題。此(ci)前我們(men)出(chu)臺(tai)的(de)(de)(de)(de)(de)股(gu)(gu)權(quan)激勵相關政(zheng)(zheng)策(ce)是(shi)(shi)框架性、原則性的(de)(de)(de)(de)(de),中(zhong)央(yang)企業在(zai)(zai)(zai)實施中(zhong)遇到了(le)一(yi)(yi)些具體(ti)情況,《指(zhi)(zhi)(zhi)引(yin)(yin)》在(zai)(zai)(zai)總結(jie)經驗的(de)(de)(de)(de)(de)基(ji)礎上(shang)(shang),明確了(le)可操(cao)作(zuo)的(de)(de)(de)(de)(de)方(fang)法(fa),在(zai)(zai)(zai)政(zheng)(zheng)策(ce)框架內(nei)給予闡(chan)釋(shi)和細(xi)化,有(you)針對性地幫(bang)(bang)助企業在(zai)(zai)(zai)具體(ti)實踐(jian)操(cao)作(zuo)上(shang)(shang)與政(zheng)(zheng)策(ce)規(gui)定(ding)良好(hao)對接。

問:近些年中央企業控股上市公司實施股權激勵有哪些值得總結和提煉的有效經驗?

答(da):國(guo)(guo)(guo)資委和(he)中央企(qi)(qi)業(ye)(ye)在上(shang)市(shi)(shi)公(gong)司股(gu)(gu)(gu)(gu)權(quan)(quan)(quan)激(ji)(ji)勵(li)(li)(li)(li)實(shi)(shi)(shi)踐(jian)(jian)方面共同(tong)努(nu)力(li)、積(ji)極探索(suo),結合國(guo)(guo)(guo)有(you)企(qi)(qi)業(ye)(ye)實(shi)(shi)(shi)際情(qing)況(kuang)和(he)境內外市(shi)(shi)場(chang)(chang)實(shi)(shi)(shi)踐(jian)(jian)經(jing)驗,逐步形成了出(chu)資人(ren)指導(dao)下(xia)的(de)適合中國(guo)(guo)(guo)國(guo)(guo)(guo)企(qi)(qi)特點(dian)的(de)股(gu)(gu)(gu)(gu)權(quan)(quan)(quan)激(ji)(ji)勵(li)(li)(li)(li)機制,有(you)效(xiao)(xiao)發(fa)揮(hui)了股(gu)(gu)(gu)(gu)權(quan)(quan)(quan)激(ji)(ji)勵(li)(li)(li)(li)作(zuo)(zuo)為(wei)(wei)市(shi)(shi)場(chang)(chang)化長期(qi)(qi)激(ji)(ji)勵(li)(li)(li)(li)工具的(de)積(ji)極作(zuo)(zuo)用,一(yi)(yi)些好的(de)做法已逐漸被市(shi)(shi)場(chang)(chang)普遍采(cai)納(na)。概括起來,中央企(qi)(qi)業(ye)(ye)控(kong)股(gu)(gu)(gu)(gu)上(shang)市(shi)(shi)公(gong)司實(shi)(shi)(shi)施股(gu)(gu)(gu)(gu)權(quan)(quan)(quan)激(ji)(ji)勵(li)(li)(li)(li)主要有(you)五(wu)(wu)方面好的(de)做法:一(yi)(yi)是(shi)(shi)(shi)激(ji)(ji)勵(li)(li)(li)(li)實(shi)(shi)(shi)施與(yu)績(ji)(ji)效(xiao)(xiao)考核相同(tong)步,要求企(qi)(qi)業(ye)(ye)健全績(ji)(ji)效(xiao)(xiao)考核體系,股(gu)(gu)(gu)(gu)權(quan)(quan)(quan)激(ji)(ji)勵(li)(li)(li)(li)的(de)實(shi)(shi)(shi)施要與(yu)公(gong)司業(ye)(ye)績(ji)(ji)與(yu)激(ji)(ji)勵(li)(li)(li)(li)對(dui)象個人(ren)績(ji)(ji)效(xiao)(xiao)考核相掛鉤,考核目標要有(you)利于(yu)促進(jin)企(qi)(qi)業(ye)(ye)提(ti)高價值創造(zao)水平(ping),實(shi)(shi)(shi)現(xian)持續健康發(fa)展(zhan)。二是(shi)(shi)(shi)授予數量與(yu)薪(xin)酬(chou)(chou)水平(ping)相關聯,參照(zhao)國(guo)(guo)(guo)際慣例及市(shi)(shi)場(chang)(chang)實(shi)(shi)(shi)踐(jian)(jian),統籌薪(xin)酬(chou)(chou)結構與(yu)薪(xin)酬(chou)(chou)水平(ping),股(gu)(gu)(gu)(gu)權(quan)(quan)(quan)激(ji)(ji)勵(li)(li)(li)(li)授予價值控(kong)制在薪(xin)酬(chou)(chou)總水平(ping)的(de)40%以(yi)內,實(shi)(shi)(shi)現(xian)平(ping)穩規范(fan)起步,但對(dui)股(gu)(gu)(gu)(gu)權(quan)(quan)(quan)激(ji)(ji)勵(li)(li)(li)(li)行(xing)權(quan)(quan)(quan)收益(yi)不再進(jin)行(xing)控(kong)制。三(san)是(shi)(shi)(shi)激(ji)(ji)勵(li)(li)(li)(li)方式與(yu)公(gong)司特點(dian)相匹配(pei),指導(dao)上(shang)市(shi)(shi)公(gong)司根據(ju)所(suo)處行(xing)業(ye)(ye)、發(fa)展(zhan)階段等(deng)(deng)特點(dian),科(ke)學選擇激(ji)(ji)勵(li)(li)(li)(li)工具,并可以(yi)結合市(shi)(shi)場(chang)(chang)情(qing)況(kuang)探索(suo)創新激(ji)(ji)勵(li)(li)(li)(li)方式。四(si)是(shi)(shi)(shi)行(xing)權(quan)(quan)(quan)安排與(yu)激(ji)(ji)勵(li)(li)(li)(li)約(yue)束相統籌,引導(dao)企(qi)(qi)業(ye)(ye)分(fen)期(qi)(qi)實(shi)(shi)(shi)施股(gu)(gu)(gu)(gu)權(quan)(quan)(quan)激(ji)(ji)勵(li)(li)(li)(li),權(quan)(quan)(quan)益(yi)授予后至少鎖(suo)定兩年(nian),解(jie)鎖(suo)后在不低于(yu)三(san)年(nian)內分(fen)批生效(xiao)(xiao),體現(xian)長效(xiao)(xiao)激(ji)(ji)勵(li)(li)(li)(li)約(yue)束。五(wu)(wu)是(shi)(shi)(shi)公(gong)司治理與(yu)管理提(ti)升相協同(tong),推動企(qi)(qi)業(ye)(ye)持續完善(shan)公(gong)司治理,不斷(duan)健全經(jing)營管理、績(ji)(ji)效(xiao)(xiao)考核、勞動用工和(he)收入(ru)分(fen)配(pei)等(deng)(deng)企(qi)(qi)業(ye)(ye)基礎管理制度(du)。在《指引》的(de)制訂過(guo)程(cheng)中,我們對(dui)上(shang)述五(wu)(wu)方面股(gu)(gu)(gu)(gu)權(quan)(quan)(quan)激(ji)(ji)勵(li)(li)(li)(li)實(shi)(shi)(shi)踐(jian)(jian)經(jing)驗進(jin)行(xing)了系統提(ti)煉(lian),作(zuo)(zuo)為(wei)(wei)操作(zuo)(zuo)指引幫助(zhu)企(qi)(qi)業(ye)(ye)更加科(ke)學高效(xiao)(xiao)地開展(zhan)好這項工作(zuo)(zuo)。

問:下一步,中央企業控股上市公司實施股權激勵工作將有什么考慮?

答(da):黨的(de)(de)十(shi)(shi)九屆四中(zhong)(zhong)(zhong)(zhong)(zhong)全(quan)(quan)會明確提(ti)出,要健(jian)全(quan)(quan)生產要素由市(shi)場(chang)評價(jia)貢獻、按貢獻決(jue)定報酬的(de)(de)機制。中(zhong)(zhong)(zhong)(zhong)(zhong)共中(zhong)(zhong)(zhong)(zhong)(zhong)央(yang)(yang)、國(guo)務院(yuan)近期印(yin)發(fa)的(de)(de)《關(guan)于(yu)構建更加(jia)(jia)完善的(de)(de)要素市(shi)場(chang)化配(pei)置體制機制的(de)(de)意見》也指(zhi)(zhi)出,要全(quan)(quan)面(mian)貫徹(che)落實(shi)以(yi)(yi)增加(jia)(jia)知識(shi)價(jia)值(zhi)為導向的(de)(de)收入分配(pei)政策(ce),充(chong)分尊重(zhong)科(ke)研、技術、管(guan)(guan)理人才,充(chong)分體現技術、知識(shi)、管(guan)(guan)理、數據等要素的(de)(de)價(jia)值(zhi)。國(guo)資(zi)(zi)委將指(zhi)(zhi)導中(zhong)(zhong)(zhong)(zhong)(zhong)央(yang)(yang)企(qi)(qi)(qi)業(ye)貫徹(che)落實(shi)好黨中(zhong)(zhong)(zhong)(zhong)(zhong)央(yang)(yang)、國(guo)務院(yuan)決(jue)策(ce)部(bu)署,把推動(dong)中(zhong)(zhong)(zhong)(zhong)(zhong)央(yang)(yang)企(qi)(qi)(qi)業(ye)控(kong)股(gu)(gu)上(shang)(shang)(shang)市(shi)公(gong)司(si)規(gui)范開展(zhan)股(gu)(gu)權激(ji)(ji)勵(li)作為重(zhong)要舉措。應當(dang)說,黨的(de)(de)十(shi)(shi)九大以(yi)(yi)來,中(zhong)(zhong)(zhong)(zhong)(zhong)央(yang)(yang)企(qi)(qi)(qi)業(ye)控(kong)股(gu)(gu)上(shang)(shang)(shang)市(shi)公(gong)司(si)實(shi)施(shi)股(gu)(gu)權激(ji)(ji)勵(li)的(de)(de)數量(liang)(liang)快速增長(chang),目前(qian)已有(you)53家中(zhong)(zhong)(zhong)(zhong)(zhong)央(yang)(yang)企(qi)(qi)(qi)業(ye)控(kong)股(gu)(gu)的(de)(de)119家上(shang)(shang)(shang)市(shi)公(gong)司(si)有(you)效實(shi)施(shi)了(le)股(gu)(gu)權激(ji)(ji)勵(li),取得了(le)明顯進(jin)展(zhan),但總體上(shang)(shang)(shang)中(zhong)(zhong)(zhong)(zhong)(zhong)央(yang)(yang)企(qi)(qi)(qi)業(ye)控(kong)股(gu)(gu)境(jing)內外(wai)上(shang)(shang)(shang)市(shi)公(gong)司(si)只(zhi)有(you)不到30%實(shi)施(shi)了(le)股(gu)(gu)權激(ji)(ji)勵(li),覆(fu)(fu)蓋面(mian)還有(you)待提(ti)高(gao)。《指(zhi)(zhi)引》印(yin)發(fa)后,國(guo)資(zi)(zi)委將指(zhi)(zhi)導中(zhong)(zhong)(zhong)(zhong)(zhong)央(yang)(yang)企(qi)(qi)(qi)業(ye)積(ji)極履行主體責(ze)任,推動(dong)符合條件(jian)的(de)(de)控(kong)股(gu)(gu)上(shang)(shang)(shang)市(shi)公(gong)司(si)科(ke)學高(gao)效規(gui)范地開展(zhan)股(gu)(gu)權激(ji)(ji)勵(li)工(gong)作,加(jia)(jia)快建立健(jian)全(quan)(quan)覆(fu)(fu)蓋企(qi)(qi)(qi)業(ye)經營管(guan)(guan)理骨干和核(he)心科(ke)研技術人才的(de)(de)正向激(ji)(ji)勵(li)機制,充(chong)分調(diao)動(dong)各類人員(yuan)積(ji)極性和創造性,推動(dong)企(qi)(qi)(qi)業(ye)實(shi)現高(gao)質(zhi)量(liang)(liang)發(fa)展(zhan)。
