國務院國資委有關負責人就《中央企業控股上市公司實施股權激勵工作指引》答記者問

近日,國(guo)(guo)務(wu)院國(guo)(guo)資委發(fa)布了(le)《關(guan)于(yu)印發(fa)<中央(yang)企業控股上市(shi)公(gong)司實施股權激勵工作指(zhi)引(yin)>的(de)通(tong)知》(國(guo)(guo)資考分〔2020〕178號,以下(xia)簡稱《指(zhi)引(yin)》)。《指(zhi)引(yin)》出臺后,國(guo)(guo)務(wu)院國(guo)(guo)資委有關(guan)負責人接受了(le)記者(zhe)采訪。

問:請介紹一下出臺《指引》的背景。

答:黨(dang)的(de)(de)(de)(de)十八屆三(san)中(zhong)(zhong)(zhong)(zhong)全會以來(lai)(lai),國(guo)資(zi)委(wei)(wei)以習近平新時代中(zhong)(zhong)(zhong)(zhong)國(guo)特色社會主義思(si)想為指(zhi)導,認真貫徹落實(shi)(shi)(shi)黨(dang)中(zhong)(zhong)(zhong)(zhong)央(yang)(yang)(yang)(yang)、國(guo)務(wu)院(yuan)各(ge)項(xiang)決(jue)策部署,扎實(shi)(shi)(shi)推進(jin)國(guo)有(you)(you)(you)企業(ye)(ye)(ye)改(gai)革各(ge)項(xiang)工(gong)作(zuo)。目前(qian)國(guo)有(you)(you)(you)企業(ye)(ye)(ye)改(gai)革的(de)(de)(de)(de)“1+N”文(wen)件體(ti)系已(yi)經基(ji)(ji)本(ben)定(ding)型,當(dang)前(qian)制(zhi)(zhi)定(ding)政(zheng)策的(de)(de)(de)(de)重點是(shi)具體(ti)的(de)(de)(de)(de)操作(zuo)規(gui)程。就(jiu)中(zhong)(zhong)(zhong)(zhong)央(yang)(yang)(yang)(yang)企業(ye)(ye)(ye)控(kong)股(gu)(gu)(gu)上市(shi)(shi)(shi)公(gong)司(si)股(gu)(gu)(gu)權(quan)激(ji)勵(li)(li)工(gong)作(zuo)而言,國(guo)資(zi)委(wei)(wei)成(cheng)立(li)以來(lai)(lai),根據黨(dang)中(zhong)(zhong)(zhong)(zhong)央(yang)(yang)(yang)(yang)、國(guo)務(wu)院(yuan)確(que)立(li)的(de)(de)(de)(de)生產(chan)要素按貢獻參與分配的(de)(de)(de)(de)原則,從(cong)適(shi)應(ying)資(zi)本(ben)市(shi)(shi)(shi)場(chang)發展和(he)(he)企業(ye)(ye)(ye)改(gai)制(zhi)(zhi)上市(shi)(shi)(shi)的(de)(de)(de)(de)需(xu)要出(chu)發,按照履(lv)行(xing)出(chu)資(zi)人職(zhi)責的(de)(de)(de)(de)要求,積(ji)極探索(suo)國(guo)有(you)(you)(you)控(kong)股(gu)(gu)(gu)上市(shi)(shi)(shi)公(gong)司(si)實(shi)(shi)(shi)施(shi)股(gu)(gu)(gu)權(quan)激(ji)勵(li)(li)的(de)(de)(de)(de)有(you)(you)(you)效(xiao)機制(zhi)(zhi),在實(shi)(shi)(shi)踐(jian)中(zhong)(zhong)(zhong)(zhong)不(bu)斷完善(shan)辦法,尤其是(shi)2019年(nian)國(guo)資(zi)委(wei)(wei)制(zhi)(zhi)定(ding)出(chu)臺(tai)《關(guan)于進(jin)一步做好(hao)中(zhong)(zhong)(zhong)(zhong)央(yang)(yang)(yang)(yang)企業(ye)(ye)(ye)控(kong)股(gu)(gu)(gu)上市(shi)(shi)(shi)公(gong)司(si)股(gu)(gu)(gu)權(quan)激(ji)勵(li)(li)工(gong)作(zuo)有(you)(you)(you)關(guan)事項(xiang)的(de)(de)(de)(de)通知(zhi)》(國(guo)資(zi)發考分規(gui)〔2019〕102號(hao)),標(biao)志著中(zhong)(zhong)(zhong)(zhong)央(yang)(yang)(yang)(yang)企業(ye)(ye)(ye)控(kong)股(gu)(gu)(gu)上市(shi)(shi)(shi)公(gong)司(si)實(shi)(shi)(shi)施(shi)股(gu)(gu)(gu)權(quan)激(ji)勵(li)(li)的(de)(de)(de)(de)政(zheng)策體(ti)系已(yi)經基(ji)(ji)本(ben)定(ding)型。當(dang)前(qian)的(de)(de)(de)(de)重點任務(wu)是(shi)把工(gong)作(zuo)著力點從(cong)夯基(ji)(ji)壘(lei)臺(tai)、立(li)梁架柱(zhu)轉到系統集成(cheng)、協同高效(xiao)、落實(shi)(shi)(shi)落地上來(lai)(lai),推動這項(xiang)制(zhi)(zhi)度(du)更加成(cheng)熟更加定(ding)型。出(chu)臺(tai)《指(zhi)引》就(jiu)是(shi)把國(guo)有(you)(you)(you)控(kong)股(gu)(gu)(gu)上市(shi)(shi)(shi)公(gong)司(si)實(shi)(shi)(shi)施(shi)股(gu)(gu)(gu)權(quan)激(ji)勵(li)(li)的(de)(de)(de)(de)相關(guan)政(zheng)策規(gui)定(ding)和(he)(he)前(qian)期中(zhong)(zhong)(zhong)(zhong)央(yang)(yang)(yang)(yang)企業(ye)(ye)(ye)開展此項(xiang)工(gong)作(zuo)的(de)(de)(de)(de)實(shi)(shi)(shi)踐(jian)經驗進(jin)行(xing)了(le)匯總梳理,著力從(cong)微觀操作(zuo)層面細化對中(zhong)(zhong)(zhong)(zhong)央(yang)(yang)(yang)(yang)企業(ye)(ye)(ye)的(de)(de)(de)(de)工(gong)作(zuo)指(zhi)導,進(jin)而推動中(zhong)(zhong)(zhong)(zhong)央(yang)(yang)(yang)(yang)企業(ye)(ye)(ye)擴大(da)控(kong)股(gu)(gu)(gu)上市(shi)(shi)(shi)公(gong)司(si)實(shi)(shi)(shi)施(shi)股(gu)(gu)(gu)權(quan)激(ji)勵(li)(li)的(de)(de)(de)(de)覆蓋面,構建科學、規(gui)范的(de)(de)(de)(de)中(zhong)(zhong)(zhong)(zhong)長期激(ji)勵(li)(li)機制(zhi)(zhi),推動企業(ye)(ye)(ye)高質量發展。

問:《指引》具體包含哪些方面內容?

答:《指引》共(gong)九十七(qi)條,近兩萬字,根據中央企業(ye)控股(gu)(gu)上(shang)市公(gong)司實施(shi)(shi)股(gu)(gu)權激(ji)(ji)(ji)(ji)勵(li)(li)的(de)(de)各方(fang)(fang)(fang)面(mian)(mian)政(zheng)策規(gui)定,從股(gu)(gu)權激(ji)(ji)(ji)(ji)勵(li)(li)計(ji)劃的(de)(de)內容要點(dian)、考核體系、管理(li)辦法(fa)和實施(shi)(shi)程(cheng)(cheng)序(xu)(xu)等(deng)方(fang)(fang)(fang)面(mian)(mian),進行了(le)政(zheng)策梳理(li)、系統集成,對上(shang)市公(gong)司股(gu)(gu)權激(ji)(ji)(ji)(ji)勵(li)(li)實踐規(gui)范(fan)(fan)逐一(yi)明(ming)確闡釋(shi)。一(yi)是(shi)重點(dian)介(jie)紹實施(shi)(shi)股(gu)(gu)權激(ji)(ji)(ji)(ji)勵(li)(li)的(de)(de)政(zheng)策依據、適(shi)用范(fan)(fan)圍,實施(shi)(shi)股(gu)(gu)權激(ji)(ji)(ji)(ji)勵(li)(li)的(de)(de)條件、原則及相關要求。二是(shi)對股(gu)(gu)權激(ji)(ji)(ji)(ji)勵(li)(li)計(ji)劃中的(de)(de)激(ji)(ji)(ji)(ji)勵(li)(li)方(fang)(fang)(fang)式、激(ji)(ji)(ji)(ji)勵(li)(li)對象范(fan)(fan)圍、權益授予數量、授予價(jia)格、時間(jian)安排、激(ji)(ji)(ji)(ji)勵(li)(li)收(shou)益等(deng)的(de)(de)內涵要義、政(zheng)策規(gui)定、操(cao)作規(gui)范(fan)(fan)進行詳細闡釋(shi)。三是(shi)從強化(hua)公(gong)司業(ye)績考核、健全激(ji)(ji)(ji)(ji)勵(li)(li)對象績效考核評價(jia)、科創板(ban)上(shang)市公(gong)司實施(shi)(shi)股(gu)(gu)權激(ji)(ji)(ji)(ji)勵(li)(li)的(de)(de)考核等(deng)方(fang)(fang)(fang)面(mian)(mian)明(ming)確出資(zi)人的(de)(de)導向和要求,引導企業(ye)注(zhu)重價(jia)值提(ti)升,實現高質量發展。四(si)是(shi)將(jiang)規(gui)范(fan)(fan)股(gu)(gu)權激(ji)(ji)(ji)(ji)勵(li)(li)管理(li)辦法(fa)、責(ze)任追究與特殊情形處理(li)、財務(wu)處理(li)和稅收(shou)規(gui)定等(deng)方(fang)(fang)(fang)面(mian)(mian)的(de)(de)要求和規(gui)定進行了(le)梳理(li)明(ming)確。五是(shi)歸納各級(ji)國(guo)有股(gu)(gu)東的(de)(de)職責(ze),對股(gu)(gu)權激(ji)(ji)(ji)(ji)勵(li)(li)計(ji)劃的(de)(de)決策、申報、實施(shi)(shi)、終(zhong)止(zhi)等(deng)程(cheng)(cheng)序(xu)(xu)事(shi)項予以梳理(li),并(bing)重申監督管理(li)、信(xin)息披露等(deng)要求。

問:《指引》在政策要求上有什么新特點?

答:《指(zhi)引》主要有三個方(fang)面(mian)(mian)的(de)(de)特點:一(yi)(yi)是政(zheng)(zheng)策上保(bao)持銜接(jie)一(yi)(yi)致(zhi)(zhi)。《指(zhi)引》是在(zai)證券監管(guan)部門相關(guan)(guan)規(gui)定(ding)框架下制定(ding)的(de)(de),與(yu)國(guo)資委此前出(chu)臺(tai)(tai)的(de)(de)國(guo)有控股(gu)(gu)上市公(gong)司實(shi)(shi)施(shi)股(gu)(gu)權激勵(li)的(de)(de)政(zheng)(zheng)策規(gui)定(ding)也是銜接(jie)一(yi)(yi)致(zhi)(zhi)的(de)(de),這次提出(chu)的(de)(de)都是具(ju)體(ti)操(cao)作(zuo)上的(de)(de)細(xi)化(hua)規(gui)程。二是清晰界定(ding)責(ze)任(ren)與(yu)程序。國(guo)資委落(luo)(luo)實(shi)(shi)以管(guan)資本(ben)為主職(zhi)(zhi)能轉變(bian)要求(qiu),股(gu)(gu)權激勵(li)具(ju)體(ti)實(shi)(shi)施(shi)方(fang)案的(de)(de)審核(he)責(ze)任(ren)在(zai)中(zhong)(zhong)央企業集(ji)團公(gong)司,《指(zhi)引》通過細(xi)化(hua)完善操(cao)作(zuo)層面(mian)(mian)的(de)(de)指(zhi)導(dao),幫(bang)助中(zhong)(zhong)央企業更好(hao)(hao)地(di)擔負(fu)起股(gu)(gu)權激勵(li)主體(ti)責(ze)任(ren),保(bao)障該項工作(zuo)職(zhi)(zhi)責(ze)中(zhong)(zhong)央企業接(jie)得(de)住、管(guan)得(de)好(hao)(hao)、落(luo)(luo)得(de)實(shi)(shi)。三是重點回答了(le)操(cao)作(zuo)問題(ti)。此前我們出(chu)臺(tai)(tai)的(de)(de)股(gu)(gu)權激勵(li)相關(guan)(guan)政(zheng)(zheng)策是框架性(xing)、原則性(xing)的(de)(de),中(zhong)(zhong)央企業在(zai)實(shi)(shi)施(shi)中(zhong)(zhong)遇(yu)到了(le)一(yi)(yi)些具(ju)體(ti)情況(kuang),《指(zhi)引》在(zai)總結經驗的(de)(de)基礎(chu)上,明確了(le)可操(cao)作(zuo)的(de)(de)方(fang)法(fa),在(zai)政(zheng)(zheng)策框架內給(gei)予闡(chan)釋和細(xi)化(hua),有針對性(xing)地(di)幫(bang)助企業在(zai)具(ju)體(ti)實(shi)(shi)踐操(cao)作(zuo)上與(yu)政(zheng)(zheng)策規(gui)定(ding)良好(hao)(hao)對接(jie)。

問:近些年中央企業控股上市公司實施股權激勵有哪些值得總結和提煉的有效經驗?

答(da):國(guo)資(zi)(zi)委和(he)中(zhong)(zhong)央企(qi)(qi)(qi)業(ye)(ye)在上(shang)(shang)市(shi)(shi)(shi)公(gong)(gong)司(si)股(gu)(gu)(gu)權(quan)(quan)(quan)激(ji)(ji)(ji)勵(li)(li)(li)實(shi)踐(jian)方(fang)面(mian)共同努力、積極探索,結合國(guo)有企(qi)(qi)(qi)業(ye)(ye)實(shi)際(ji)(ji)情況(kuang)和(he)境內(nei)外(wai)市(shi)(shi)(shi)場(chang)實(shi)踐(jian)經驗,逐步(bu)形(xing)成了(le)(le)出(chu)資(zi)(zi)人指導(dao)(dao)下(xia)的適合中(zhong)(zhong)國(guo)國(guo)企(qi)(qi)(qi)特點的股(gu)(gu)(gu)權(quan)(quan)(quan)激(ji)(ji)(ji)勵(li)(li)(li)機制(zhi),有效(xiao)發揮了(le)(le)股(gu)(gu)(gu)權(quan)(quan)(quan)激(ji)(ji)(ji)勵(li)(li)(li)作(zuo)為市(shi)(shi)(shi)場(chang)化長期激(ji)(ji)(ji)勵(li)(li)(li)工(gong)(gong)(gong)具的積極作(zuo)用(yong),一些(xie)好的做法(fa)已(yi)逐漸被市(shi)(shi)(shi)場(chang)普遍采納。概括起(qi)來(lai),中(zhong)(zhong)央企(qi)(qi)(qi)業(ye)(ye)控(kong)股(gu)(gu)(gu)上(shang)(shang)市(shi)(shi)(shi)公(gong)(gong)司(si)實(shi)施(shi)(shi)股(gu)(gu)(gu)權(quan)(quan)(quan)激(ji)(ji)(ji)勵(li)(li)(li)主要有五(wu)方(fang)面(mian)好的做法(fa):一是激(ji)(ji)(ji)勵(li)(li)(li)實(shi)施(shi)(shi)與(yu)(yu)績(ji)效(xiao)考核相(xiang)同步(bu),要求(qiu)企(qi)(qi)(qi)業(ye)(ye)健全(quan)績(ji)效(xiao)考核體系,股(gu)(gu)(gu)權(quan)(quan)(quan)激(ji)(ji)(ji)勵(li)(li)(li)的實(shi)施(shi)(shi)要與(yu)(yu)公(gong)(gong)司(si)業(ye)(ye)績(ji)與(yu)(yu)激(ji)(ji)(ji)勵(li)(li)(li)對(dui)象個人績(ji)效(xiao)考核相(xiang)掛鉤,考核目標要有利于(yu)促進企(qi)(qi)(qi)業(ye)(ye)提高價(jia)(jia)值創造水平(ping),實(shi)現(xian)持續健康發展(zhan)。二是授(shou)予(yu)數量與(yu)(yu)薪(xin)酬水平(ping)相(xiang)關聯,參照(zhao)國(guo)際(ji)(ji)慣例及市(shi)(shi)(shi)場(chang)實(shi)踐(jian),統籌薪(xin)酬結構與(yu)(yu)薪(xin)酬水平(ping),股(gu)(gu)(gu)權(quan)(quan)(quan)激(ji)(ji)(ji)勵(li)(li)(li)授(shou)予(yu)價(jia)(jia)值控(kong)制(zhi)在薪(xin)酬總水平(ping)的40%以內(nei),實(shi)現(xian)平(ping)穩(wen)規范起(qi)步(bu),但(dan)對(dui)股(gu)(gu)(gu)權(quan)(quan)(quan)激(ji)(ji)(ji)勵(li)(li)(li)行(xing)權(quan)(quan)(quan)收益(yi)不(bu)再進行(xing)控(kong)制(zhi)。三是激(ji)(ji)(ji)勵(li)(li)(li)方(fang)式(shi)(shi)與(yu)(yu)公(gong)(gong)司(si)特點相(xiang)匹(pi)配,指導(dao)(dao)上(shang)(shang)市(shi)(shi)(shi)公(gong)(gong)司(si)根據所(suo)處行(xing)業(ye)(ye)、發展(zhan)階段等(deng)特點,科學(xue)選擇(ze)激(ji)(ji)(ji)勵(li)(li)(li)工(gong)(gong)(gong)具,并可以結合市(shi)(shi)(shi)場(chang)情況(kuang)探索創新激(ji)(ji)(ji)勵(li)(li)(li)方(fang)式(shi)(shi)。四是行(xing)權(quan)(quan)(quan)安排與(yu)(yu)激(ji)(ji)(ji)勵(li)(li)(li)約束相(xiang)統籌,引(yin)(yin)導(dao)(dao)企(qi)(qi)(qi)業(ye)(ye)分(fen)期實(shi)施(shi)(shi)股(gu)(gu)(gu)權(quan)(quan)(quan)激(ji)(ji)(ji)勵(li)(li)(li),權(quan)(quan)(quan)益(yi)授(shou)予(yu)后至少鎖定兩年,解鎖后在不(bu)低于(yu)三年內(nei)分(fen)批生效(xiao),體現(xian)長效(xiao)激(ji)(ji)(ji)勵(li)(li)(li)約束。五(wu)是公(gong)(gong)司(si)治理(li)(li)(li)與(yu)(yu)管(guan)理(li)(li)(li)提升相(xiang)協同,推動(dong)企(qi)(qi)(qi)業(ye)(ye)持續完善(shan)公(gong)(gong)司(si)治理(li)(li)(li),不(bu)斷健全(quan)經營管(guan)理(li)(li)(li)、績(ji)效(xiao)考核、勞動(dong)用(yong)工(gong)(gong)(gong)和(he)收入(ru)分(fen)配等(deng)企(qi)(qi)(qi)業(ye)(ye)基礎管(guan)理(li)(li)(li)制(zhi)度(du)。在《指引(yin)(yin)》的制(zhi)訂過程中(zhong)(zhong),我們(men)對(dui)上(shang)(shang)述五(wu)方(fang)面(mian)股(gu)(gu)(gu)權(quan)(quan)(quan)激(ji)(ji)(ji)勵(li)(li)(li)實(shi)踐(jian)經驗進行(xing)了(le)(le)系統提煉,作(zuo)為操作(zuo)指引(yin)(yin)幫助企(qi)(qi)(qi)業(ye)(ye)更(geng)加科學(xue)高效(xiao)地開展(zhan)好這項(xiang)工(gong)(gong)(gong)作(zuo)。

問:下一步,中央企業控股上市公司實施股權激勵工作將有什么考慮?

答:黨的(de)十(shi)九屆四中(zhong)(zhong)全(quan)會明(ming)確提出(chu),要(yao)健(jian)全(quan)生產要(yao)素由市(shi)場評(ping)價貢(gong)獻(xian)、按貢(gong)獻(xian)決定(ding)報酬的(de)機(ji)制(zhi)。中(zhong)(zhong)共(gong)中(zhong)(zhong)央(yang)(yang)、國務院(yuan)(yuan)近期印發的(de)《關(guan)于構建(jian)更加完善的(de)要(yao)素市(shi)場化配置體制(zhi)機(ji)制(zhi)的(de)意見》也指出(chu),要(yao)全(quan)面貫徹落實(shi)(shi)(shi)以(yi)增加知識價值為(wei)導(dao)向(xiang)的(de)收入分配政策(ce),充分尊重(zhong)科(ke)研、技術(shu)、管(guan)(guan)(guan)理人才,充分體現(xian)技術(shu)、知識、管(guan)(guan)(guan)理、數據(ju)等要(yao)素的(de)價值。國資委(wei)將(jiang)指導(dao)中(zhong)(zhong)央(yang)(yang)企(qi)業(ye)(ye)貫徹落實(shi)(shi)(shi)好黨中(zhong)(zhong)央(yang)(yang)、國務院(yuan)(yuan)決策(ce)部署,把推(tui)動中(zhong)(zhong)央(yang)(yang)企(qi)業(ye)(ye)控(kong)股(gu)(gu)(gu)上市(shi)公司(si)規(gui)范(fan)開展(zhan)股(gu)(gu)(gu)權(quan)激勵(li)(li)作(zuo)為(wei)重(zhong)要(yao)舉措。應(ying)當說,黨的(de)十(shi)九大以(yi)來,中(zhong)(zhong)央(yang)(yang)企(qi)業(ye)(ye)控(kong)股(gu)(gu)(gu)上市(shi)公司(si)實(shi)(shi)(shi)施股(gu)(gu)(gu)權(quan)激勵(li)(li)的(de)數量(liang)快速增長(chang),目(mu)前已有(you)(you)53家中(zhong)(zhong)央(yang)(yang)企(qi)業(ye)(ye)控(kong)股(gu)(gu)(gu)的(de)119家上市(shi)公司(si)有(you)(you)效(xiao)實(shi)(shi)(shi)施了(le)股(gu)(gu)(gu)權(quan)激勵(li)(li),取得了(le)明(ming)顯(xian)進展(zhan),但總體上中(zhong)(zhong)央(yang)(yang)企(qi)業(ye)(ye)控(kong)股(gu)(gu)(gu)境內外上市(shi)公司(si)只有(you)(you)不到30%實(shi)(shi)(shi)施了(le)股(gu)(gu)(gu)權(quan)激勵(li)(li),覆(fu)蓋(gai)面還有(you)(you)待(dai)提高。《指引(yin)》印發后,國資委(wei)將(jiang)指導(dao)中(zhong)(zhong)央(yang)(yang)企(qi)業(ye)(ye)積(ji)極(ji)履行主體責(ze)任,推(tui)動符合條件(jian)的(de)控(kong)股(gu)(gu)(gu)上市(shi)公司(si)科(ke)學高效(xiao)規(gui)范(fan)地開展(zhan)股(gu)(gu)(gu)權(quan)激勵(li)(li)工作(zuo),加快建(jian)立健(jian)全(quan)覆(fu)蓋(gai)企(qi)業(ye)(ye)經營(ying)管(guan)(guan)(guan)理骨干和核(he)心科(ke)研技術(shu)人才的(de)正(zheng)向(xiang)激勵(li)(li)機(ji)制(zhi),充分調動各類人員積(ji)極(ji)性和創造性,推(tui)動企(qi)業(ye)(ye)實(shi)(shi)(shi)現(xian)高質量(liang)發展(zhan)。
