關于做好中央企業違規經營投資責任追究工作體系建設有關事項的通知
各中央企業:
根據(ju)《國(guo)務院辦公廳(ting)關于建(jian)立國(guo)有(you)企(qi)業違規經(jing)(jing)營投資(zi)責(ze)(ze)(ze)任(ren)(ren)追(zhui)究(jiu)制(zhi)(zhi)度的(de)(de)(de)意見》(國(guo)辦發(fa)〔2016〕63號(hao),以(yi)下(xia)簡稱63號(hao)文(wen)件),按照國(guo)資(zi)委有(you)關要求,各中(zhong)央(yang)企(qi)業高度重(zhong)視,均(jun)成(cheng)立了(le)違規經(jing)(jing)營投資(zi)責(ze)(ze)(ze)任(ren)(ren)追(zhui)究(jiu)工(gong)(gong)作(zuo)領導小組(zu)或(huo)工(gong)(gong)作(zuo)小組(zu),其中(zhong)大(da)部分(fen)由企(qi)業主要負責(ze)(ze)(ze)人任(ren)(ren)組(zu)長,有(you)序推進制(zhi)(zhi)度建(jian)設(she)、組(zu)織建(jian)設(she)和(he)體系(xi)(xi)(xi)建(jian)設(she)。目(mu)前,責(ze)(ze)(ze)任(ren)(ren)追(zhui)究(jiu)工(gong)(gong)作(zuo)專門(men)制(zhi)(zhi)度、職(zhi)能部門(men)、報告(gao)機(ji)(ji)制(zhi)(zhi)已(yi)基本實現全覆(fu)蓋,責(ze)(ze)(ze)任(ren)(ren)倒查機(ji)(ji)制(zhi)(zhi)基本形(xing)成(cheng),以(yi)追(zhui)責(ze)(ze)(ze)促進企(qi)業強化管理、完善制(zhi)(zhi)度等取得積極成(cheng)效,保障企(qi)業合(he)規經(jing)(jing)營及高質量(liang)發(fa)展作(zuo)用逐(zhu)步(bu)顯現,63號(hao)文(wen)件明確的(de)(de)(de)第(di)一階(jie)段(duan)目(mu)標初步(bu)完成(cheng)。為(wei)進一步(bu)落實63號(hao)文(wen)件“在2020年底前,全面建(jian)立覆(fu)蓋各級(ji)履行出(chu)資(zi)人職(zhi)責(ze)(ze)(ze)的(de)(de)(de)機(ji)(ji)構及國(guo)有(you)企(qi)業的(de)(de)(de)責(ze)(ze)(ze)任(ren)(ren)追(zhui)究(jiu)工(gong)(gong)作(zuo)體系(xi)(xi)(xi),形(xing)成(cheng)職(zhi)責(ze)(ze)(ze)明確、流程(cheng)清(qing)晰、規范有(you)序的(de)(de)(de)責(ze)(ze)(ze)任(ren)(ren)追(zhui)究(jiu)工(gong)(gong)作(zuo)機(ji)(ji)制(zhi)(zhi)”的(de)(de)(de)第(di)二階(jie)段(duan)目(mu)標,做好(hao)中(zhong)央(yang)企(qi)業責(ze)(ze)(ze)任(ren)(ren)追(zhui)究(jiu)工(gong)(gong)作(zuo)體系(xi)(xi)(xi)建(jian)設(she),現將有(you)關事項(xiang)通知如下(xia):
一、進一步提高對(dui)責(ze)(ze)任(ren)(ren)追(zhui)(zhui)究工作(zuo)重(zhong)要(yao)性(xing)的認識。黨中(zhong)(zhong)(zhong)央、國(guo)務院(yuan)高度重(zhong)視強化國(guo)有(you)(you)資(zi)(zi)產(chan)(chan)監(jian)管、落實(shi)國(guo)有(you)(you)企業(ye)經營(ying)投資(zi)(zi)責(ze)(ze)任(ren)(ren),黨的十八(ba)屆三(san)中(zhong)(zhong)(zhong)全(quan)會以及國(guo)資(zi)(zi)國(guo)企改革系(xi)列文件對(dui)強化經營(ying)投資(zi)(zi)責(ze)(ze)任(ren)(ren)追(zhui)(zhui)究,建立健全(quan)國(guo)有(you)(you)企業(ye)重(zhong)大決策失誤和(he)失職、瀆職責(ze)(ze)任(ren)(ren)追(zhui)(zhui)究倒查機制等作(zuo)出一系(xi)列部署。各(ge)中(zhong)(zhong)(zhong)央企業(ye)要(yao)切實(shi)提高思想認識,站在守護好全(quan)體人民共同財富(fu)的高度,深刻理解責(ze)(ze)任(ren)(ren)追(zhui)(zhui)究工作(zuo)在有(you)(you)效防止國(guo)有(you)(you)資(zi)(zi)產(chan)(chan)流失、落實(shi)國(guo)有(you)(you)資(zi)(zi)產(chan)(chan)保值增值責(ze)(ze)任(ren)(ren)方面的重(zhong)要(yao)作(zuo)用(yong),將推(tui)進責(ze)(ze)任(ren)(ren)追(zhui)(zhui)究工作(zuo)體系(xi)建設作(zuo)為提升合(he)(he)規經營(ying)水平和(he)防范(fan)化解重(zhong)大風險的重(zhong)要(yao)抓手,通過有(you)(you)效開展(zhan)責(ze)(ze)任(ren)(ren)追(zhui)(zhui)究工作(zuo),促進各(ge)級經營(ying)管理人員(yuan)規范(fan)履職、勤勉盡責(ze)(ze),推(tui)動企業(ye)合(he)(he)規經營(ying)、行(xing)穩(wen)致(zhi)遠。
二(er)、深(shen)入推進(jin)組(zu)(zu)(zu)織(zhi)體系(xi)建設(she)。各中央企(qi)業(ye)要(yao)(yao)(yao)(yao)健全(quan)責(ze)(ze)任(ren)(ren)(ren)追究(jiu)(jiu)組(zu)(zu)(zu)織(zhi)體系(xi),嚴(yan)格(ge)落(luo)實(shi)(shi)責(ze)(ze)任(ren)(ren)(ren),層層傳導(dao)壓力(li)(li)(li),持(chi)續(xu)深(shen)入推進(jin)責(ze)(ze)任(ren)(ren)(ren)追究(jiu)(jiu)工(gong)(gong)作(zuo)。一要(yao)(yao)(yao)(yao)加強(qiang)(qiang)工(gong)(gong)作(zuo)組(zu)(zu)(zu)織(zhi)領導(dao)。企(qi)業(ye)主要(yao)(yao)(yao)(yao)負(fu)(fu)責(ze)(ze)人要(yao)(yao)(yao)(yao)主持(chi)研(yan)究(jiu)(jiu)審議責(ze)(ze)任(ren)(ren)(ren)追究(jiu)(jiu)工(gong)(gong)作(zuo)重要(yao)(yao)(yao)(yao)事項,統(tong)籌(chou)謀劃,部(bu)(bu)署推動,保障(zhang)工(gong)(gong)作(zuo)有效開展。分管(guan)負(fu)(fu)責(ze)(ze)人要(yao)(yao)(yao)(yao)靠(kao)前指(zhi)揮,指(zhi)導(dao)把關核(he)查(cha)質量(liang),督促工(gong)(gong)作(zuo)深(shen)入推進(jin)。職能部(bu)(bu)門(men)(men)要(yao)(yao)(yao)(yao)切(qie)實(shi)(shi)擔(dan)負(fu)(fu)起直接責(ze)(ze)任(ren)(ren)(ren),抓緊編(bian)制工(gong)(gong)作(zuo)體系(xi)建設(she)方案,與人力(li)(li)(li)資源、巡視(shi)、紀檢(jian)監察(cha)等(deng)部(bu)(bu)門(men)(men)密切(qie)配合,做(zuo)好(hao)具體組(zu)(zu)(zu)織(zhi)實(shi)(shi)施。二(er)要(yao)(yao)(yao)(yao)進(jin)一步強(qiang)(qiang)化(hua)職能部(bu)(bu)門(men)(men)建設(she)。要(yao)(yao)(yao)(yao)切(qie)實(shi)(shi)落(luo)實(shi)(shi)職能部(bu)(bu)門(men)(men)編(bian)制、人員、資金等(deng)工(gong)(gong)作(zuo)保障(zhang),確保專項工(gong)(gong)作(zuo)獨立有效開展。要(yao)(yao)(yao)(yao)配齊(qi)配強(qiang)(qiang)配優工(gong)(gong)作(zuo)隊伍(wu),加強(qiang)(qiang)培訓教育和實(shi)(shi)踐鍛煉,提(ti)升(sheng)專業(ye)能力(li)(li)(li)和專業(ye)精神。三(san)要(yao)(yao)(yao)(yao)推進(jin)所屬企(qi)業(ye)責(ze)(ze)任(ren)(ren)(ren)追究(jiu)(jiu)工(gong)(gong)作(zuo)組(zu)(zu)(zu)織(zhi)體系(xi)建設(she)。按照分級管(guan)理、分層負(fu)(fu)責(ze)(ze)的原則,結合企(qi)業(ye)實(shi)(shi)際(ji)、行(xing)業(ye)特性等(deng),實(shi)(shi)現職責(ze)(ze)主體上有人管(guan),監督范圍上全(quan)覆蓋。
三、持續完(wan)善(shan)(shan)責(ze)(ze)任(ren)(ren)(ren)追究(jiu)制(zhi)(zhi)度(du)體系。各中央(yang)企(qi)業(ye)要(yao)(yao)加快構建內(nei)容(rong)協調(diao)、流程(cheng)清(qing)晰、配套(tao)完(wan)備(bei)、有(you)(you)效管用的責(ze)(ze)任(ren)(ren)(ren)追究(jiu)制(zhi)(zhi)度(du)體系,不斷(duan)提(ti)高工(gong)作(zuo)規(gui)范(fan)化、制(zhi)(zhi)度(du)化、科學化水平。一(yi)要(yao)(yao)推進制(zhi)(zhi)度(du)深度(du)覆蓋和有(you)(you)效約(yue)束(shu)(shu)。根據所屬企(qi)業(ye)規(gui)模(mo)體量差異、業(ye)務模(mo)式特點等(deng),因企(qi)施策細化責(ze)(ze)任(ren)(ren)(ren)追究(jiu)范(fan)圍、劃分資產損(sun)失標準等(deng),防止尺(chi)度(du)范(fan)圍寬松(song),責(ze)(ze)任(ren)(ren)(ren)約(yue)束(shu)(shu)不足。二要(yao)(yao)完(wan)善(shan)(shan)配套(tao)制(zhi)(zhi)度(du)。研究(jiu)制(zhi)(zhi)定損(sun)失認(ren)定、責(ze)(ze)任(ren)(ren)(ren)認(ren)定、離職(zhi)退休人員(yuan)違(wei)規(gui)責(ze)(ze)任(ren)(ren)(ren)追究(jiu)處理等(deng)實(shi)(shi)施細則(ze),規(gui)范(fan)工(gong)作(zuo)流程(cheng)和標準,實(shi)(shi)現(xian)責(ze)(ze)任(ren)(ren)(ren)追究(jiu)工(gong)作(zuo)標準一(yi)致、有(you)(you)章可循(xun)、規(gui)范(fan)有(you)(you)序。三要(yao)(yao)夯實(shi)(shi)制(zhi)(zhi)度(du)基礎。落實(shi)(shi)63號(hao)文件要(yao)(yao)求(qiu),進一(yi)步完(wan)善(shan)(shan)重大決策評估、決策事項履職(zhi)記錄等(deng)規(gui)定;細化各類(lei)經營(ying)投資責(ze)(ze)任(ren)(ren)(ren)條款和清(qing)單,明確崗位職(zhi)責(ze)(ze)和履職(zhi)程(cheng)序;在有(you)(you)關外聘董事、職(zhi)業(ye)經理人聘任(ren)(ren)(ren)合同中,要(yao)(yao)明確違(wei)規(gui)經營(ying)投資責(ze)(ze)任(ren)(ren)(ren)追究(jiu)的原則(ze)要(yao)(yao)求(qiu)。
四、扎實(shi)做(zuo)好違規(gui)問題線(xian)索查(cha)(cha)處。各(ge)中(zhong)(zhong)央企(qi)業(ye)要(yao)(yao)違規(gui)必(bi)究(jiu),追(zhui)責(ze)(ze)必(bi)嚴,切實(shi)增強國資監管法規(gui)制度(du)(du)和企(qi)業(ye)內部管理規(gui)定(ding)剛性約(yue)束。一要(yao)(yao)加(jia)大(da)(da)責(ze)(ze)任(ren)追(zhui)究(jiu)工(gong)作力(li)度(du)(du)。對受理查(cha)(cha)辦的(de)(de)違規(gui)經營投資問題線(xian)索實(shi)行對賬(zhang)銷號管理,集中(zhong)(zhong)力(li)量(liang)抓好國有(you)資產重大(da)(da)損失調查(cha)(cha),依(yi)法依(yi)規(gui)追(zhui)究(jiu)有(you)關人(ren)員責(ze)(ze)任(ren)。對發現的(de)(de)涉嫌違紀、職(zhi)務違法及(ji)犯罪的(de)(de)問題線(xian)索,要(yao)(yao)及(ji)時移(yi)送紀檢(jian)監察或司(si)法機關查(cha)(cha)處。二要(yao)(yao)強化責(ze)(ze)任(ren)追(zhui)究(jiu)工(gong)作指導監督(du)。組織對所屬企(qi)業(ye)責(ze)(ze)任(ren)追(zhui)究(jiu)工(gong)作的(de)(de)監督(du)檢(jian)查(cha)(cha),強化定(ding)性、定(ding)損、定(ding)責(ze)(ze)等關鍵環節的(de)(de)指導把關,根(gen)據(ju)需要(yao)(yao)可由上級企(qi)業(ye)直接開展(zhan)核查(cha)(cha)。三(san)要(yao)(yao)加(jia)強案例(li)通(tong)報和有(you)關信息公(gong)開。要(yao)(yao)結(jie)(jie)合具體案例(li)的(de)(de)調查(cha)(cha)處理,在適當范(fan)圍總(zong)結(jie)(jie)、通(tong)報及(ji)公(gong)開調查(cha)(cha)處理情況,以案為(wei)鑒,發揮“追(zhui)責(ze)(ze)一個、警示一片”的(de)(de)警示教育作用,不斷提高監督(du)追(zhui)責(ze)(ze)工(gong)作的(de)(de)影響力(li)和透明度(du)(du)。
五、探(tan)索(suo)工(gong)作(zuo)方式(shi)方法。責(ze)任(ren)追(zhui)究工(gong)作(zuo)政策性(xing)強、涉及(ji)面(mian)廣、專業(ye)要(yao)(yao)(yao)(yao)求高(gao),各中央企業(ye)要(yao)(yao)(yao)(yao)積極探(tan)索(suo)工(gong)作(zuo)的(de)(de)新途徑新方法。一要(yao)(yao)(yao)(yao)探(tan)索(suo)開展(zhan)境外核(he)查(cha)追(zhui)責(ze)。逐(zhu)步(bu)(bu)推進境外損失調查(cha)和(he)(he)(he)追(zhui)責(ze)工(gong)作(zuo),關(guan)注(zhu)重(zhong)大(da)決(jue)策、重(zhong)大(da)合(he)同、大(da)額資(zi)金管(guan)控和(he)(he)(he)境外子企業(ye)治理等(deng)方面(mian)的(de)(de)資(zi)產流失風(feng)險,確保國有(you)資(zi)本投到哪(na)里,監管(guan)追(zhui)責(ze)就延伸(shen)到哪(na)里。二要(yao)(yao)(yao)(yao)探(tan)索(suo)建立追(zhui)責(ze)信息(xi)管(guan)理系統。提升工(gong)作(zuo)信息(xi)化(hua)水平(ping),逐(zhu)步(bu)(bu)實(shi)現線上填報提交責(ze)任(ren)追(zhui)究工(gong)作(zuo)報告,對受理、初步(bu)(bu)核(he)實(shi)、分(fen)類處(chu)置、核(he)查(cha)、處(chu)理和(he)(he)(he)整改等(deng)環節(jie)全過程監督,研究通過共享經營(ying)管(guan)理信息(xi)和(he)(he)(he)構建大(da)數據(ju)模型,精準發現違規問題。三(san)要(yao)(yao)(yao)(yao)探(tan)索(suo)推進容錯機制(zhi)落(luo)實(shi)落(luo)地。進一步(bu)(bu)研究落(luo)實(shi)“三(san)個(ge)區(qu)分(fen)開來”的(de)(de)落(luo)地舉措(cuo),具體(ti)問題具體(ti)分(fen)析,既(ji)防止(zhi)追(zhui)責(ze)不力(li),又防止(zhi)追(zhui)責(ze)泛化(hua)簡單化(hua)。同時,結合(he)實(shi)際,研究加強基(ji)金投資(zi)、混合(he)所(suo)有(you)制(zhi)等(deng)新業(ye)態(tai)領域的(de)(de)責(ze)任(ren)追(zhui)究工(gong)作(zuo)。
六、不(bu)斷健全(quan)以(yi)追(zhui)責促發(fa)展(zhan)(zhan)的(de)(de)(de)長(chang)效(xiao)機制(zhi)(zhi)。責任追(zhui)究(jiu)是手(shou)段不(bu)是目(mu)的(de)(de)(de),各(ge)中央企(qi)(qi)業(ye)(ye)(ye)要(yao)(yao)注重做好監督“后半(ban)篇文(wen)章”,把(ba)追(zhui)責成果轉化為(wei)促進企(qi)(qi)業(ye)(ye)(ye)健康發(fa)展(zhan)(zhan)的(de)(de)(de)監管效(xiao)能。一(yi)要(yao)(yao)促進防范化解(jie)重大風(feng)險(xian)。舉一(yi)反(fan)三,以(yi)點(dian)帶面(mian),深(shen)入開展(zhan)(zhan)共性(xing)問題核查(cha),排(pai)查(cha)問題隱患(huan),預(yu)警提(ti)示(shi)經營風(feng)險(xian)。適時(shi)介入風(feng)險(xian)事(shi)件處置,跟蹤(zong)關注或有(you)(you)資產損(sun)(sun)失,以(yi)追(zhui)責促追(zhui)損(sun)(sun),及(ji)時(shi)化解(jie)資產損(sun)(sun)失風(feng)險(xian)。二要(yao)(yao)推動(dong)完善企(qi)(qi)業(ye)(ye)(ye)內(nei)部(bu)控制(zhi)(zhi)體系。針對發(fa)現(xian)的(de)(de)(de)內(nei)控缺陷(xian)和(he)管控漏洞(dong),標本兼(jian)治(zhi)(zhi),強化整(zheng)改落實,及(ji)時(shi)制(zhi)(zhi)定修訂各(ge)項管理制(zhi)(zhi)度,完善內(nei)控體系,提(ti)升(sheng)管理水平。三要(yao)(yao)保障(zhang)企(qi)(qi)業(ye)(ye)(ye)合規(gui)經營健康發(fa)展(zhan)(zhan)。以(yi)責任追(zhui)究(jiu)為(wei)重要(yao)(yao)抓手(shou),通過懲治(zhi)(zhi)教育建設相結合,強化各(ge)級管理人員合規(gui)履(lv)職的(de)(de)(de)自覺性(xing)和(he)主動(dong)性(xing),全(quan)面(mian)推進依法治(zhi)(zhi)企(qi)(qi),有(you)(you)效(xiao)促進企(qi)(qi)業(ye)(ye)(ye)穩健經營和(he)可(ke)持(chi)續發(fa)展(zhan)(zhan)。
國(guo)資(zi)(zi)委(wei)將加強對各中(zhong)央企(qi)業(ye)責任追(zhui)(zhui)究工作(zuo)的(de)指(zhi)導,組織培訓和交流(liu),根據需要(yao)(yao)(yao)檢查企(qi)業(ye)貫徹落實(shi)63號(hao)文件、《中(zhong)央企(qi)業(ye)違(wei)規經營投資(zi)(zi)責任追(zhui)(zhui)究實(shi)施辦法(fa)(試行)》(國(guo)資(zi)(zi)委(wei)令(ling)第(di)37號(hao),以下簡(jian)稱37號(hao)令(ling))的(de)工作(zuo)情(qing)況(kuang)等。各中(zhong)央企(qi)業(ye)要(yao)(yao)(yao)認真制(zhi)定責任追(zhui)(zhui)究工作(zuo)體系(xi)建(jian)(jian)設方(fang)案并于2019年(nian)5月底(di)前將有(you)關情(qing)況(kuang)書面報(bao)送(song)(song)國(guo)資(zi)(zi)委(wei),具(ju)體實(shi)施落實(shi)情(qing)況(kuang)納入(ru)年(nian)度定期報(bao)告(gao)一并報(bao)送(song)(song)。同(tong)時(shi),要(yao)(yao)(yao)注(zhu)意收集執行37號(hao)令(ling)以及(ji)推進責任追(zhui)(zhui)究工作(zuo)體系(xi)建(jian)(jian)設過程中(zhong)的(de)新情(qing)況(kuang)、新問題,及(ji)時(shi)報(bao)告(gao)國(guo)資(zi)(zi)委(wei)。
