關于做好2016年度《企業年度工作報告》填報工作的通知

各中央企業:

依照《國(guo)有企業(ye)監(jian)(jian)(jian)事(shi)會暫(zan)行條例(li)》(國(guo)務(wu)院令第283號)、《關(guan)于加強和改進國(guo)有企業(ye)監(jian)(jian)(jian)事(shi)會工作(zuo)(zuo)的若(ruo)干意見(jian)》(國(guo)資發監(jian)(jian)(jian)督(du)〔2006〕174號)和《關(guan)于進一步(bu)支持配合監(jian)(jian)(jian)事(shi)會開展監(jian)(jian)(jian)督(du)檢查工作(zuo)(zuo)有關(guan)事(shi)項的通知》(國(guo)資發監(jian)(jian)(jian)督(du)〔2012〕120號)的有關(guan)規(gui)定,各中央(yang)企業(ye)每年(nian)(nian)(nian)向監(jian)(jian)(jian)事(shi)會報(bao)送《企業(ye)年(nian)(nian)(nian)度工作(zuo)(zuo)報(bao)告》(以下簡稱年(nian)(nian)(nian)度報(bao)告)。為(wei)做(zuo)好2016年(nian)(nian)(nian)度報(bao)告填報(bao)工作(zuo)(zuo),現將有關(guan)事(shi)項通知如下:

一(yi)、加強組織(zhi)領導,健全工作體系(xi)

各中(zhong)央企(qi)業要(yao)(yao)高(gao)度(du)(du)(du)重(zhong)視年(nian)(nian)(nian)度(du)(du)(du)報告工(gong)(gong)(gong)作(zuo),健全組織(zhi)領導(dao)機(ji)制(zhi),成立(li)年(nian)(nian)(nian)度(du)(du)(du)報告工(gong)(gong)(gong)作(zuo)領導(dao)小組或聯(lian)席(xi)會議,統(tong)(tong)籌謀劃、協(xie)同推動(dong)(dong)各項工(gong)(gong)(gong)作(zuo)。要(yao)(yao)研究制(zhi)定年(nian)(nian)(nian)度(du)(du)(du)報告工(gong)(gong)(gong)作(zuo)落(luo)實方案,明(ming)(ming)確工(gong)(gong)(gong)作(zuo)目標、具體措(cuo)施、責(ze)任(ren)(ren)(ren)(ren)主體和進(jin)度(du)(du)(du)要(yao)(yao)求(qiu),強(qiang)化(hua)部(bu)門(men)聯(lian)動(dong)(dong),結合(he)企(qi)業實際編(bian)制(zhi)可(ke)追溯(su)、可(ke)量化(hua)、可(ke)評價、可(ke)考核的(de)工(gong)(gong)(gong)作(zuo)任(ren)(ren)(ren)(ren)務分解(jie)臺賬。企(qi)業法定代表人要(yao)(yao)認真履(lv)(lv)行(xing)好(hao)年(nian)(nian)(nian)度(du)(du)(du)報告工(gong)(gong)(gong)作(zuo)第一(yi)(yi)責(ze)任(ren)(ren)(ren)(ren)人職責(ze),強(qiang)化(hua)領導(dao)、落(luo)實責(ze)任(ren)(ren)(ren)(ren),嚴(yan)格(ge)把關(guan)、確保質量;分管(guan)領導(dao)要(yao)(yao)履(lv)(lv)行(xing)好(hao)直接責(ze)任(ren)(ren)(ren)(ren)人職責(ze),深(shen)入一(yi)(yi)線(xian)、靠前指揮(hui),把控關(guan)鍵、重(zhong)點督(du)辦(ban);牽頭部(bu)門(men)要(yao)(yao)加強(qiang)組織(zhi)協(xie)調,及時分解(jie)落(luo)實任(ren)(ren)(ren)(ren)務、規(gui)范(fan)工(gong)(gong)(gong)作(zuo)流程、細(xi)化(hua)工(gong)(gong)(gong)作(zuo)要(yao)(yao)求(qiu)、密(mi)切跟(gen)蹤督(du)促、強(qiang)化(hua)過程控制(zhi);協(xie)同部(bu)門(men)要(yao)(yao)明(ming)(ming)確任(ren)(ren)(ren)(ren)務分工(gong)(gong)(gong),主動(dong)(dong)參(can)與、積極配合(he),細(xi)化(hua)落(luo)實工(gong)(gong)(gong)作(zuo)責(ze)任(ren)(ren)(ren)(ren),形成有效工(gong)(gong)(gong)作(zuo)合(he)力。中(zhong)央企(qi)業集團(tuan)總部(bu)要(yao)(yao)加強(qiang)對子(zi)企(qi)業年(nian)(nian)(nian)度(du)(du)(du)報告工(gong)(gong)(gong)作(zuo)的(de)統(tong)(tong)籌領導(dao),做到統(tong)(tong)一(yi)(yi)部(bu)署、統(tong)(tong)一(yi)(yi)標準、統(tong)(tong)一(yi)(yi)實施、統(tong)(tong)一(yi)(yi)審核,建(jian)立(li)完善橫向全面覆蓋、縱向責(ze)任(ren)(ren)(ren)(ren)到人的(de)組織(zhi)管(guan)理體系(xi)。

二、圍繞中心工(gong)作,全面梳理排(pai)查(cha)

各中(zhong)(zhong)央(yang)企業(ye)(ye)要(yao)(yao)(yao)以年(nian)(nian)度(du)報告(gao)工(gong)作(zuo)(zuo)(zuo)為(wei)抓手(shou),緊密(mi)圍繞中(zhong)(zhong)心工(gong)作(zuo)(zuo)(zuo),全(quan)(quan)面(mian)總結一年(nian)(nian)來(lai)企業(ye)(ye)經營(ying)管(guan)理(li)(li)(li)和改(gai)(gai)革發展情(qing)況,深(shen)入排(pai)查重(zhong)(zhong)大(da)(da)問題和風險(xian)隱患,探(tan)索建立企業(ye)(ye)自查問題清單,認(ren)真分析查找原因,制定(ding)(ding)切實(shi)(shi)可行的(de)整(zheng)(zheng)改(gai)(gai)措施。要(yao)(yao)(yao)圍繞黨(dang)中(zhong)(zhong)央(yang)、國(guo)(guo)務(wu)院重(zhong)(zhong)大(da)(da)決策(ce)部署及國(guo)(guo)資(zi)監管(guan)政策(ce)規定(ding)(ding)執行情(qing)況,系統梳(shu)理(li)(li)(li)深(shen)化國(guo)(guo)企國(guo)(guo)資(zi)改(gai)(gai)革和推進供給側結構性改(gai)(gai)革、瘦身健體(ti)、提質(zhi)增效(xiao)等(deng)重(zhong)(zhong)點任務(wu)落實(shi)(shi)情(qing)況,著重(zhong)(zhong)分析化解過(guo)剩產能、處置(zhi)“僵尸企業(ye)(ye)”、特困企業(ye)(ye)專(zhuan)項治(zhi)理(li)(li)(li)、壓縮(suo)管(guan)理(li)(li)(li)層級、減少法人數量、加快解決歷史(shi)遺留(liu)問題等(deng)重(zhong)(zhong)點專(zhuan)項工(gong)作(zuo)(zuo)(zuo)情(qing)況及存(cun)在(zai)的(de)問題。要(yao)(yao)(yao)以提高發展質(zhi)量和效(xiao)益為(wei)中(zhong)(zhong)心,全(quan)(quan)面(mian)梳(shu)理(li)(li)(li)、集中(zhong)(zhong)排(pai)查企業(ye)(ye)內(nei)部控制、財務(wu)管(guan)理(li)(li)(li)、運營(ying)管(guan)控、境外資(zi)產管(guan)理(li)(li)(li)、黨(dang)建及公司(si)治(zhi)理(li)(li)(li)等(deng)方(fang)(fang)面(mian)存(cun)在(zai)的(de)重(zhong)(zhong)要(yao)(yao)(yao)管(guan)控缺陷(xian),詳細報告(gao)企業(ye)(ye)重(zhong)(zhong)大(da)(da)資(zi)產減值、重(zhong)(zhong)大(da)(da)資(zi)產損(sun)失(shi)、重(zhong)(zhong)大(da)(da)經營(ying)風險(xian)、債務(wu)違約(yue)風險(xian)等(deng)重(zhong)(zhong)要(yao)(yao)(yao)風險(xian)事項。要(yao)(yao)(yao)建立健全(quan)(quan)年(nian)(nian)度(du)報告(gao)揭示問題整(zheng)(zheng)改(gai)(gai)落實(shi)(shi)機制,形成部門(men)間齊抓共(gong)管(guan)、整(zheng)(zheng)改(gai)(gai)聯動的(de)工(gong)作(zuo)(zuo)(zuo)局面(mian),有效(xiao)發揮(hui)年(nian)(nian)度(du)報告(gao)在(zai)系統診斷和風險(xian)預判方(fang)(fang)面(mian)的(de)重(zhong)(zhong)要(yao)(yao)(yao)作(zuo)(zuo)(zuo)用。

三(san)、加強溝(gou)通(tong)配合,明確范圍重點

各中(zhong)央(yang)企(qi)業(ye)(ye)(ye)(ye)要(yao)(yao)(yao)深入(ru)貫徹落實中(zhong)央(yang)企(qi)業(ye)(ye)(ye)(ye)監(jian)(jian)事(shi)(shi)(shi)(shi)會(hui)工(gong)(gong)(gong)作(zuo)會(hui)議精神,按照(zhao)“兩個(ge)融入(ru)”、“五個(ge)必須(xu)”的總體要(yao)(yao)(yao)求(qiu),進(jin)一步加強與派(pai)駐本企(qi)業(ye)(ye)(ye)(ye)監(jian)(jian)事(shi)(shi)(shi)(shi)會(hui)的溝通配合(he),根(gen)據(ju)監(jian)(jian)事(shi)(shi)(shi)(shi)會(hui)監(jian)(jian)督(du)檢查(cha)工(gong)(gong)(gong)作(zuo)需要(yao)(yao)(yao),結合(he)企(qi)業(ye)(ye)(ye)(ye)經營規模(mo)、組織(zhi)架構(gou)、管控(kong)模(mo)式、行業(ye)(ye)(ye)(ye)特點(dian)、區域(yu)分(fen)(fen)布、發展階段等(deng)情況,共同確定企(qi)業(ye)(ye)(ye)(ye)填(tian)報(bao)(bao)范圍(wei)(wei)和年度(du)重(zhong)(zhong)點(dian)披(pi)露事(shi)(shi)(shi)(shi)項。原則上(shang),年度(du)報(bao)(bao)告填(tian)報(bao)(bao)范圍(wei)(wei)包(bao)括企(qi)業(ye)(ye)(ye)(ye)集團、境(jing)內(外(wai)(wai))二級單位(wei)、各級金融子企(qi)業(ye)(ye)(ye)(ye)以及所(suo)托(tuo)管企(qi)業(ye)(ye)(ye)(ye);整體上(shang)市中(zhong)央(yang)企(qi)業(ye)(ye)(ye)(ye)填(tian)報(bao)(bao)范圍(wei)(wei)包(bao)括控(kong)股(gu)上(shang)市公(gong)司所(suo)屬境(jing)內(外(wai)(wai))二級單位(wei);離岸公(gong)司、殼公(gong)司等(deng)特殊子企(qi)業(ye)(ye)(ye)(ye)不納(na)入(ru)填(tian)報(bao)(bao)范圍(wei)(wei),監(jian)(jian)事(shi)(shi)(shi)(shi)會(hui)另有(you)要(yao)(yao)(yao)求(qiu)的除外(wai)(wai)。三級(含)以下重(zhong)(zhong)要(yao)(yao)(yao)子企(qi)業(ye)(ye)(ye)(ye)及重(zhong)(zhong)要(yao)(yao)(yao)非法人(ren)實體等(deng)填(tian)報(bao)(bao)范圍(wei)(wei)與監(jian)(jian)事(shi)(shi)(shi)(shi)會(hui)共同商定,根(gen)據(ju)監(jian)(jian)事(shi)(shi)(shi)(shi)會(hui)工(gong)(gong)(gong)作(zuo)需要(yao)(yao)(yao)及年度(du)監(jian)(jian)督(du)檢查(cha)計劃安排,納(na)入(ru)填(tian)報(bao)(bao)范圍(wei)(wei)。鼓(gu)勵有(you)條(tiao)件的中(zhong)央(yang)企(qi)業(ye)(ye)(ye)(ye)試行全級次報(bao)(bao)送。要(yao)(yao)(yao)根(gen)據(ju)派(pai)駐本企(qi)業(ye)(ye)(ye)(ye)監(jian)(jian)事(shi)(shi)(shi)(shi)會(hui)的要(yao)(yao)(yao)求(qiu),分(fen)(fen)行業(ye)(ye)(ye)(ye)、分(fen)(fen)業(ye)(ye)(ye)(ye)務板塊梳理重(zhong)(zhong)點(dian)關注事(shi)(shi)(shi)(shi)項和重(zhong)(zhong)點(dian)填(tian)報(bao)(bao)內容。

四、融入日常(chang)管(guan)控(kong),完善長效機制(zhi)

各中央(yang)企業(ye)要(yao)深(shen)入(ru)推進(jin)年(nian)(nian)(nian)度(du)(du)報(bao)(bao)告工(gong)作(zuo)與(yu)(yu)企業(ye)日常管(guan)控工(gong)作(zuo)的深(shen)度(du)(du)融合(he),努力實(shi)(shi)現(xian)工(gong)作(zuo)聯動、信(xin)息(xi)共享、資(zi)源(yuan)整(zheng)合(he)、成果(guo)共用(yong)(yong),著力形成以年(nian)(nian)(nian)度(du)(du)報(bao)(bao)告為抓手(shou)的企業(ye)自我診斷、自我完善(shan)的長(chang)效(xiao)工(gong)作(zuo)機制(zhi)。要(yao)加強(qiang)年(nian)(nian)(nian)度(du)(du)報(bao)(bao)告制(zhi)度(du)(du)建(jian)(jian)設,建(jian)(jian)立統一工(gong)作(zuo)規(gui)(gui)范和標(biao)準體(ti)系(xi),科學安排工(gong)作(zuo)進(jin)度(du)(du),細化(hua)規(gui)(gui)范工(gong)作(zuo)標(biao)準,嚴格審核評價流程(cheng),實(shi)(shi)現(xian)全程(cheng)閉環(huan)管(guan)理。要(yao)建(jian)(jian)立內部(bu)協(xie)同聯動機制(zhi),充分利用(yong)(yong)已有管(guan)理系(xi)統、內部(bu)成果(guo)、工(gong)作(zuo)報(bao)(bao)告等信(xin)息(xi)載(zai)體(ti),避免(mian)重(zhong)復(fu)歸集、重(zhong)復(fu)報(bao)(bao)送。要(yao)實(shi)(shi)現(xian)年(nian)(nian)(nian)度(du)(du)報(bao)(bao)告與(yu)(yu)企業(ye)信(xin)息(xi)化(hua)工(gong)作(zuo)有效(xiao)對接,充分利用(yong)(yong)信(xin)息(xi)化(hua)建(jian)(jian)設基礎(chu),以大數據為核心推進(jin)年(nian)(nian)(nian)度(du)(du)報(bao)(bao)告信(xin)息(xi)化(hua)建(jian)(jian)設,創(chuang)新(xin)工(gong)作(zuo)方法,提高工(gong)作(zuo)效(xiao)率,分享信(xin)息(xi)資(zi)源(yuan),深(shen)化(hua)成果(guo)應(ying)用(yong)(yong)。要(yao)建(jian)(jian)立健全年(nian)(nian)(nian)度(du)(du)報(bao)(bao)告質量綜合(he)評價機制(zhi),研究制(zhi)定(ding)年(nian)(nian)(nian)度(du)(du)報(bao)(bao)告工(gong)作(zuo)及支持配合(he)監(jian)事會工(gong)作(zuo)與(yu)(yu)業(ye)績考核掛鉤(gou)的具體(ti)措施(shi),完善(shan)激勵約束長(chang)效(xiao)機制(zhi),推動年(nian)(nian)(nian)度(du)(du)報(bao)(bao)告工(gong)作(zuo)落到實(shi)(shi)處。

五、落實(shi)填(tian)報任務,按時備(bei)案(an)報送(song)

(一)請(qing)各中央企(qi)業(ye)于(yu)2016年12月15日前將與派駐本企(qi)業(ye)監事(shi)會共同(tong)確定(ding)的擬(ni)報送年度報告有關事(shi)項,以正式(shi)文件形式(shi)(式(shi)樣見附件1)報監事(shi)會工作局備(bei)案。

(二)請各中央企業(ye)于2017年(nian)2月28日前將集(ji)團公司與(yu)各級子(zi)企業(ye)年(nian)度(du)報告(gao)一并以正式(shi)文件(jian)形式(shi)(式(shi)樣見附件(jian)2)報送派駐本企業(ye)監事會(hui)(紙質材料1套,光(guang)盤2套),同時將年(nian)度(du)報告(gao)(光(guang)盤1套)及正式(shi)文件(jian)報送監事會(hui)工作局(ju)備案(an)。

(三)年度(du)報(bao)(bao)告繼續(xu)使用軟件(jian)(jian)填(tian)報(bao)(bao)。《2016年度(du)企業(ye)年度(du)工作(zuo)報(bao)(bao)告格式文(wen)本及編制說明(ming)》安(an)裝在填(tian)報(bao)(bao)軟件(jian)(jian)中,繼續(xu)探索(suo)推進信息化報(bao)(bao)送和綜合應(ying)用。需要填(tian)報(bao)(bao)軟件(jian)(jian)及紙(zhi)質材(cai)料(liao)的企業(ye)請與監事會(hui)工作(zuo)局聯系。

(四)國資委將組織召開“2016年度中央企(qi)業(ye)年度工作報告布(bu)置培(pei)訓視頻會議”,屆時請(qing)各(ge)中央企(qi)業(ye)按通(tong)知(zhi)要(yao)求組織相關人員(yuan)參(can)會。

各(ge)中央企業(ye)在填報過程(cheng)中遇(yu)到(dao)的問題,請及時與(yu)派(pai)駐本企業(ye)監事(shi)會或監事(shi)會工作(zuo)局(ju)聯系。
