關于做好2016年度《企業年度工作報告》填報工作的通知

各中央企業:

依照(zhao)《國(guo)有(you)(you)企(qi)業(ye)監(jian)(jian)事會(hui)(hui)暫行條例》(國(guo)務院(yuan)令第283號(hao))、《關于加強和改進(jin)國(guo)有(you)(you)企(qi)業(ye)監(jian)(jian)事會(hui)(hui)工(gong)(gong)作的(de)(de)若干意見》(國(guo)資發(fa)監(jian)(jian)督〔2006〕174號(hao))和《關于進(jin)一步支持配(pei)合監(jian)(jian)事會(hui)(hui)開展(zhan)監(jian)(jian)督檢(jian)查(cha)工(gong)(gong)作有(you)(you)關事項的(de)(de)通知》(國(guo)資發(fa)監(jian)(jian)督〔2012〕120號(hao))的(de)(de)有(you)(you)關規(gui)定,各中央企(qi)業(ye)每年(nian)向監(jian)(jian)事會(hui)(hui)報送(song)《企(qi)業(ye)年(nian)度工(gong)(gong)作報告(gao)》(以(yi)下簡稱年(nian)度報告(gao))。為做好2016年(nian)度報告(gao)填(tian)報工(gong)(gong)作,現(xian)將(jiang)有(you)(you)關事項通知如下:

一、加強組織領導,健(jian)全(quan)工作體系(xi)

各中央企(qi)業(ye)要高度(du)(du)重(zhong)(zhong)視年(nian)度(du)(du)報(bao)告(gao)工(gong)作(zuo)(zuo)(zuo)(zuo),健全(quan)(quan)組(zu)織領(ling)導(dao)(dao)機制,成(cheng)立年(nian)度(du)(du)報(bao)告(gao)工(gong)作(zuo)(zuo)(zuo)(zuo)領(ling)導(dao)(dao)小組(zu)或聯席會議,統(tong)(tong)(tong)籌謀劃、協同推動各項工(gong)作(zuo)(zuo)(zuo)(zuo)。要研究制定(ding)年(nian)度(du)(du)報(bao)告(gao)工(gong)作(zuo)(zuo)(zuo)(zuo)落實(shi)(shi)方(fang)案,明確工(gong)作(zuo)(zuo)(zuo)(zuo)目標(biao)、具體措施、責(ze)(ze)(ze)任(ren)(ren)主(zhu)體和進(jin)度(du)(du)要求,強(qiang)化部門聯動,結合(he)企(qi)業(ye)實(shi)(shi)際(ji)編制可追(zhui)溯(su)、可量化、可評(ping)價(jia)、可考核(he)的工(gong)作(zuo)(zuo)(zuo)(zuo)任(ren)(ren)務分(fen)解臺賬。企(qi)業(ye)法(fa)定(ding)代表人(ren)要認(ren)真(zhen)履行(xing)好(hao)年(nian)度(du)(du)報(bao)告(gao)工(gong)作(zuo)(zuo)(zuo)(zuo)第一(yi)責(ze)(ze)(ze)任(ren)(ren)人(ren)職責(ze)(ze)(ze),強(qiang)化領(ling)導(dao)(dao)、落實(shi)(shi)責(ze)(ze)(ze)任(ren)(ren),嚴格把(ba)關、確保(bao)質量;分(fen)管領(ling)導(dao)(dao)要履行(xing)好(hao)直(zhi)接責(ze)(ze)(ze)任(ren)(ren)人(ren)職責(ze)(ze)(ze),深入一(yi)線、靠前指揮,把(ba)控(kong)關鍵、重(zhong)(zhong)點督辦;牽(qian)頭(tou)部門要加(jia)強(qiang)組(zu)織協調,及時分(fen)解落實(shi)(shi)任(ren)(ren)務、規范工(gong)作(zuo)(zuo)(zuo)(zuo)流程、細化工(gong)作(zuo)(zuo)(zuo)(zuo)要求、密切跟蹤督促、強(qiang)化過程控(kong)制;協同部門要明確任(ren)(ren)務分(fen)工(gong),主(zhu)動參與、積極(ji)配合(he),細化落實(shi)(shi)工(gong)作(zuo)(zuo)(zuo)(zuo)責(ze)(ze)(ze)任(ren)(ren),形(xing)成(cheng)有(you)效(xiao)工(gong)作(zuo)(zuo)(zuo)(zuo)合(he)力。中央企(qi)業(ye)集團總部要加(jia)強(qiang)對子企(qi)業(ye)年(nian)度(du)(du)報(bao)告(gao)工(gong)作(zuo)(zuo)(zuo)(zuo)的統(tong)(tong)(tong)籌領(ling)導(dao)(dao),做到統(tong)(tong)(tong)一(yi)部署、統(tong)(tong)(tong)一(yi)標(biao)準、統(tong)(tong)(tong)一(yi)實(shi)(shi)施、統(tong)(tong)(tong)一(yi)審核(he),建立完(wan)善橫向全(quan)(quan)面覆蓋、縱向責(ze)(ze)(ze)任(ren)(ren)到人(ren)的組(zu)織管理體系。

二、圍繞(rao)中心工作,全面梳(shu)理排(pai)查

各中央(yang)(yang)企(qi)業(ye)要(yao)(yao)(yao)以年度報告(gao)工(gong)作(zuo)(zuo)為(wei)抓手,緊密圍繞(rao)中心(xin)工(gong)作(zuo)(zuo),全面總結一(yi)年來企(qi)業(ye)經(jing)營(ying)(ying)管(guan)(guan)理(li)(li)和改(gai)革發展情況(kuang),深(shen)入排查(cha)重(zhong)(zhong)大(da)問(wen)題(ti)(ti)和風(feng)(feng)險(xian)隱患,探索(suo)建立企(qi)業(ye)自查(cha)問(wen)題(ti)(ti)清(qing)單(dan),認真分(fen)析查(cha)找原因,制定切(qie)實可(ke)行(xing)的整(zheng)改(gai)措施。要(yao)(yao)(yao)圍繞(rao)黨中央(yang)(yang)、國(guo)務(wu)(wu)(wu)院(yuan)重(zhong)(zhong)大(da)決策(ce)部署及國(guo)資(zi)監管(guan)(guan)政策(ce)規定執行(xing)情況(kuang),系統梳(shu)理(li)(li)深(shen)化(hua)國(guo)企(qi)國(guo)資(zi)改(gai)革和推(tui)進供給側結構性改(gai)革、瘦(shou)身(shen)健(jian)體、提(ti)(ti)質增效等(deng)重(zhong)(zhong)點(dian)任(ren)務(wu)(wu)(wu)落(luo)實情況(kuang),著重(zhong)(zhong)分(fen)析化(hua)解過(guo)剩產能(neng)、處置“僵(jiang)尸企(qi)業(ye)”、特困(kun)企(qi)業(ye)專(zhuan)項(xiang)治理(li)(li)、壓縮管(guan)(guan)理(li)(li)層(ceng)級、減少法人數(shu)量(liang)、加(jia)快(kuai)解決歷(li)史遺留問(wen)題(ti)(ti)等(deng)重(zhong)(zhong)點(dian)專(zhuan)項(xiang)工(gong)作(zuo)(zuo)情況(kuang)及存在的問(wen)題(ti)(ti)。要(yao)(yao)(yao)以提(ti)(ti)高發展質量(liang)和效益為(wei)中心(xin),全面梳(shu)理(li)(li)、集中排查(cha)企(qi)業(ye)內部控制、財務(wu)(wu)(wu)管(guan)(guan)理(li)(li)、運營(ying)(ying)管(guan)(guan)控、境外(wai)資(zi)產管(guan)(guan)理(li)(li)、黨建及公司治理(li)(li)等(deng)方面存在的重(zhong)(zhong)要(yao)(yao)(yao)管(guan)(guan)控缺(que)陷,詳(xiang)細報告(gao)企(qi)業(ye)重(zhong)(zhong)大(da)資(zi)產減值、重(zhong)(zhong)大(da)資(zi)產損失、重(zhong)(zhong)大(da)經(jing)營(ying)(ying)風(feng)(feng)險(xian)、債(zhai)務(wu)(wu)(wu)違約風(feng)(feng)險(xian)等(deng)重(zhong)(zhong)要(yao)(yao)(yao)風(feng)(feng)險(xian)事項(xiang)。要(yao)(yao)(yao)建立健(jian)全年度報告(gao)揭示問(wen)題(ti)(ti)整(zheng)改(gai)落(luo)實機制,形成部門間(jian)齊抓共管(guan)(guan)、整(zheng)改(gai)聯動的工(gong)作(zuo)(zuo)局面,有效發揮年度報告(gao)在系統診(zhen)斷(duan)和風(feng)(feng)險(xian)預判(pan)方面的重(zhong)(zhong)要(yao)(yao)(yao)作(zuo)(zuo)用。

三(san)、加強溝通配合(he),明確范(fan)圍(wei)重(zhong)點

各中(zhong)央(yang)企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)要(yao)(yao)深入貫(guan)徹落(luo)實中(zhong)央(yang)企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)監(jian)(jian)事(shi)(shi)會(hui)工(gong)作會(hui)議(yi)精(jing)神,按照“兩個(ge)融(rong)入”、“五個(ge)必須”的總體(ti)(ti)(ti)要(yao)(yao)求(qiu)(qiu),進一步(bu)加強與派(pai)駐本企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)監(jian)(jian)事(shi)(shi)會(hui)的溝(gou)通配(pei)合(he)(he),根(gen)據(ju)監(jian)(jian)事(shi)(shi)會(hui)監(jian)(jian)督(du)檢查(cha)工(gong)作需(xu)要(yao)(yao),結合(he)(he)企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)經營規模、組織架構(gou)、管(guan)(guan)控模式(shi)、行業(ye)(ye)(ye)(ye)(ye)特(te)點(dian)、區域(yu)分(fen)布、發展(zhan)階(jie)段等(deng)(deng)情況,共同確定(ding)企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)填(tian)(tian)(tian)報范(fan)圍(wei)(wei)和年(nian)度重點(dian)披露事(shi)(shi)項。原(yuan)則上,年(nian)度報告填(tian)(tian)(tian)報范(fan)圍(wei)(wei)包括企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)集團、境內(外)二(er)級(ji)單位(wei)、各級(ji)金融(rong)子(zi)企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)以及所托管(guan)(guan)企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye);整體(ti)(ti)(ti)上市(shi)中(zhong)央(yang)企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)填(tian)(tian)(tian)報范(fan)圍(wei)(wei)包括控股上市(shi)公(gong)(gong)司(si)所屬(shu)境內(外)二(er)級(ji)單位(wei);離(li)岸公(gong)(gong)司(si)、殼公(gong)(gong)司(si)等(deng)(deng)特(te)殊子(zi)企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)不(bu)納(na)入填(tian)(tian)(tian)報范(fan)圍(wei)(wei),監(jian)(jian)事(shi)(shi)會(hui)另有要(yao)(yao)求(qiu)(qiu)的除外。三級(ji)(含)以下(xia)重要(yao)(yao)子(zi)企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)及重要(yao)(yao)非法人實體(ti)(ti)(ti)等(deng)(deng)填(tian)(tian)(tian)報范(fan)圍(wei)(wei)與監(jian)(jian)事(shi)(shi)會(hui)共同商定(ding),根(gen)據(ju)監(jian)(jian)事(shi)(shi)會(hui)工(gong)作需(xu)要(yao)(yao)及年(nian)度監(jian)(jian)督(du)檢查(cha)計劃安排,納(na)入填(tian)(tian)(tian)報范(fan)圍(wei)(wei)。鼓勵(li)有條件的中(zhong)央(yang)企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)試(shi)行全(quan)級(ji)次報送(song)。要(yao)(yao)根(gen)據(ju)派(pai)駐本企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)監(jian)(jian)事(shi)(shi)會(hui)的要(yao)(yao)求(qiu)(qiu),分(fen)行業(ye)(ye)(ye)(ye)(ye)、分(fen)業(ye)(ye)(ye)(ye)(ye)務板塊(kuai)梳理重點(dian)關注(zhu)事(shi)(shi)項和重點(dian)填(tian)(tian)(tian)報內容。

四(si)、融入(ru)日常管(guan)控,完善長效機制

各中央企(qi)業要(yao)深入推(tui)進(jin)年(nian)(nian)度(du)(du)報(bao)告工(gong)(gong)(gong)作(zuo)(zuo)與(yu)企(qi)業日(ri)常管控工(gong)(gong)(gong)作(zuo)(zuo)的深度(du)(du)融合(he),努力實(shi)現工(gong)(gong)(gong)作(zuo)(zuo)聯動(dong)、信(xin)(xin)息(xi)共(gong)享、資源整合(he)、成(cheng)果(guo)(guo)共(gong)用(yong),著力形成(cheng)以年(nian)(nian)度(du)(du)報(bao)告為抓手(shou)的企(qi)業自我(wo)診(zhen)斷、自我(wo)完善的長效工(gong)(gong)(gong)作(zuo)(zuo)機制。要(yao)加強年(nian)(nian)度(du)(du)報(bao)告制度(du)(du)建(jian)設,建(jian)立(li)(li)統(tong)一工(gong)(gong)(gong)作(zuo)(zuo)規(gui)(gui)范(fan)(fan)和標準(zhun)體(ti)系,科學安排工(gong)(gong)(gong)作(zuo)(zuo)進(jin)度(du)(du),細(xi)化規(gui)(gui)范(fan)(fan)工(gong)(gong)(gong)作(zuo)(zuo)標準(zhun),嚴格審(shen)核(he)評價流程(cheng),實(shi)現全程(cheng)閉環(huan)管理(li)。要(yao)建(jian)立(li)(li)內部協(xie)同聯動(dong)機制,充(chong)分利(li)用(yong)已有管理(li)系統(tong)、內部成(cheng)果(guo)(guo)、工(gong)(gong)(gong)作(zuo)(zuo)報(bao)告等信(xin)(xin)息(xi)載體(ti),避(bi)免(mian)重復歸集、重復報(bao)送。要(yao)實(shi)現年(nian)(nian)度(du)(du)報(bao)告與(yu)企(qi)業信(xin)(xin)息(xi)化工(gong)(gong)(gong)作(zuo)(zuo)有效對接,充(chong)分利(li)用(yong)信(xin)(xin)息(xi)化建(jian)設基礎,以大數據(ju)為核(he)心推(tui)進(jin)年(nian)(nian)度(du)(du)報(bao)告信(xin)(xin)息(xi)化建(jian)設,創新工(gong)(gong)(gong)作(zuo)(zuo)方法,提(ti)高(gao)工(gong)(gong)(gong)作(zuo)(zuo)效率,分享信(xin)(xin)息(xi)資源,深化成(cheng)果(guo)(guo)應(ying)用(yong)。要(yao)建(jian)立(li)(li)健全年(nian)(nian)度(du)(du)報(bao)告質量(liang)綜合(he)評價機制,研究制定年(nian)(nian)度(du)(du)報(bao)告工(gong)(gong)(gong)作(zuo)(zuo)及支持配(pei)合(he)監事會工(gong)(gong)(gong)作(zuo)(zuo)與(yu)業績考核(he)掛鉤(gou)的具體(ti)措(cuo)施(shi),完善激勵約束長效機制,推(tui)動(dong)年(nian)(nian)度(du)(du)報(bao)告工(gong)(gong)(gong)作(zuo)(zuo)落到實(shi)處。

五(wu)、落實填報任(ren)務,按時備案報送

(一)請各中(zhong)央企業(ye)(ye)于2016年12月15日前將與派駐本企業(ye)(ye)監(jian)事(shi)會共同(tong)確定的擬(ni)報(bao)(bao)送年度報(bao)(bao)告(gao)有(you)關事(shi)項,以正式文(wen)件(jian)形式(式樣見(jian)附件(jian)1)報(bao)(bao)監(jian)事(shi)會工作局備案(an)。

(二)請各中央企(qi)業(ye)于(yu)2017年2月28日前將(jiang)集團公司與各級子企(qi)業(ye)年度報(bao)告(gao)一并以(yi)正(zheng)式(shi)文件(jian)形(xing)式(shi)(式(shi)樣見(jian)附件(jian)2)報(bao)送派駐本企(qi)業(ye)監(jian)事會(hui)(紙質材料1套(tao),光(guang)盤(pan)2套(tao)),同時將(jiang)年度報(bao)告(gao)(光(guang)盤(pan)1套(tao))及正(zheng)式(shi)文件(jian)報(bao)送監(jian)事會(hui)工作局備案。

(三(san))年(nian)度報告(gao)(gao)繼續使用軟件填(tian)報。《2016年(nian)度企業年(nian)度工作報告(gao)(gao)格式文本(ben)及編制說明》安裝在填(tian)報軟件中,繼續探索推進(jin)信(xin)息化(hua)報送和綜合應(ying)用。需(xu)要填(tian)報軟件及紙質材(cai)料的企業請與監(jian)事會工作局聯(lian)系。

(四)國資委將組織(zhi)召開“2016年度(du)中(zhong)央企(qi)業(ye)年度(du)工(gong)作報告布置培(pei)訓視頻會議”,屆時(shi)請各中(zhong)央企(qi)業(ye)按通知(zhi)要求組織(zhi)相關人(ren)員(yuan)參會。

各(ge)中央企業(ye)在填報過程中遇到的問題,請及時與派駐本企業(ye)監事會或監事會工作局聯系。
