國資委關于做好2014年度《企業年度工作報告》填報工作的通知

各(ge)中央企業(ye):

  依照《國有(you)(you)企業(ye)(ye)監(jian)(jian)事(shi)(shi)會(hui)暫行條(tiao)例》(國務院令第283號),《關于(yu)加強和改進國有(you)(you)企業(ye)(ye)監(jian)(jian)事(shi)(shi)會(hui)工作的若干意見》(國資發(fa)(fa)監(jian)(jian)督〔2006〕174號)和《關于(yu)進一步支(zhi)持配合監(jian)(jian)事(shi)(shi)會(hui)開展(zhan)監(jian)(jian)督檢查工作有(you)(you)關事(shi)(shi)項的通知(zhi)(zhi)》(國資發(fa)(fa)監(jian)(jian)督〔2012〕120號)的有(you)(you)關規(gui)定(ding),各中(zhong)央企業(ye)(ye)每年(nian)(nian)向監(jian)(jian)事(shi)(shi)會(hui)報(bao)送《企業(ye)(ye)年(nian)(nian)度工作報(bao)告(gao)》(以下(xia)(xia)簡稱年(nian)(nian)度報(bao)告(gao))。為做好2014年(nian)(nian)度報(bao)告(gao)填報(bao)工作,現將(jiang)有(you)(you)關事(shi)(shi)項通知(zhi)(zhi)如下(xia)(xia):

  一、加強工作(zuo)組織,切實提升報告質(zhi)量

  年度(du)(du)(du)報(bao)(bao)(bao)告(gao)是企業(ye)向(xiang)出(chu)資(zi)人(ren)(ren)報(bao)(bao)(bao)送的(de)重(zhong)要文件。各中(zhong)央企業(ye)要高度(du)(du)(du)重(zhong)視年度(du)(du)(du)報(bao)(bao)(bao)告(gao)填(tian)(tian)(tian)(tian)報(bao)(bao)(bao)組(zu)織(zhi)(zhi)(zhi)工(gong)(gong)(gong)(gong)(gong)作,企業(ye)法定代表人(ren)(ren)切實(shi)履行好填(tian)(tian)(tian)(tian)報(bao)(bao)(bao)工(gong)(gong)(gong)(gong)(gong)作第一(yi)責(ze)任(ren)人(ren)(ren)職責(ze),強(qiang)化組(zu)織(zhi)(zhi)(zhi)領(ling)導,責(ze)成(cheng)相(xiang)關領(ling)導同志總(zong)體負責(ze),明確具體牽頭(tou)部(bu)門,構(gou)建協調(diao)聯(lian)動的(de)跨部(bu)門填(tian)(tian)(tian)(tian)報(bao)(bao)(bao)組(zu)織(zhi)(zhi)(zhi)體系。進一(yi)步(bu)加強(qiang)填(tian)(tian)(tian)(tian)報(bao)(bao)(bao)制(zhi)度(du)(du)(du)建設,將關鍵環節和質量要求(qiu)固化于制(zhi)度(du)(du)(du)流程中(zhong),完善(shan)填(tian)(tian)(tian)(tian)報(bao)(bao)(bao)工(gong)(gong)(gong)(gong)(gong)作長(chang)效機制(zhi)。積(ji)極培育(yu)穩定的(de)填(tian)(tian)(tian)(tian)報(bao)(bao)(bao)隊伍,采取(qu)多種方式開展工(gong)(gong)(gong)(gong)(gong)作交流和業(ye)務培訓,加大(da)統籌力度(du)(du)(du),形成(cheng)工(gong)(gong)(gong)(gong)(gong)作合力。增強(qiang)填(tian)(tian)(tian)(tian)報(bao)(bao)(bao)工(gong)(gong)(gong)(gong)(gong)作的(de)統一(yi)部(bu)署(shu),層(ceng)層(ceng)落實(shi)填(tian)(tian)(tian)(tian)報(bao)(bao)(bao)責(ze)任(ren),從嚴制(zhi)定審核(he)標準,逐級(ji)匯總(zong)審核(he)把(ba)關,切實(shi)提(ti)升年度(du)(du)(du)報(bao)(bao)(bao)告(gao)整(zheng)體質量。

  二、突出填報(bao)重點,確保信息真實完整

  年度(du)報(bao)(bao)告是全面展現企(qi)(qi)業(ye)(ye)工作成(cheng)果的重(zhong)要(yao)載體。各中央企(qi)(qi)業(ye)(ye)要(yao)充分利(li)用年度(du)報(bao)(bao)告系統(tong)化框架,綜(zong)合(he)反(fan)映企(qi)(qi)業(ye)(ye)一年來經營(ying)管理和改革發(fa)展成(cheng)效(xiao),突出年度(du)重(zhong)點工作和特色成(cheng)果,客(ke)觀揭(jie)示存在的問題和風險,切實保證信息的真(zhen)實完整。要(yao)全面報(bao)(bao)告企(qi)(qi)業(ye)(ye)貫徹執行有關(guan)法律法規(gui)和規(gui)章制(zhi)度(du)情況、生(sheng)產經營(ying)和財(cai)務效(xiao)益狀況;重(zhong)點描述企(qi)(qi)業(ye)(ye)負責人履職行為和效(xiao)果,企(qi)(qi)業(ye)(ye)重(zhong)大(da)決策和重(zhong)要(yao)經營(ying)管理活(huo)動情況;詳細(xi)反(fan)映境外項目(mu)、金融及其(qi)衍生(sheng)業(ye)(ye)務、高風險業(ye)(ye)務、重(zhong)大(da)經濟(ji)合(he)同、節能減(jian)排等(deng)重(zhong)點事(shi)項;充分揭(jie)示企(qi)(qi)業(ye)(ye)經營(ying)風險、違(wei)法違(wei)紀違(wei)規(gui)、法律訴(su)訟和仲裁(cai)、安(an)全生(sheng)產責任事(shi)故、突發(fa)公共事(shi)件等(deng)重(zhong)大(da)風險事(shi)項。支持(chi)有關(guan)企(qi)(qi)業(ye)(ye)補報(bao)(bao)或續(xu)報(bao)(bao)期后重(zhong)大(da)事(shi)項。

  三(san)、增進溝通交流,加大支持配合力(li)度

  年度報(bao)(bao)(bao)(bao)(bao)(bao)告是企(qi)業(ye)支持配(pei)合(he)(he)監(jian)(jian)事(shi)會(hui)(hui)有效(xiao)履職的(de)重(zhong)(zhong)要(yao)(yao)基(ji)礎。各中央(yang)企(qi)業(ye)要(yao)(yao)將(jiang)年度報(bao)(bao)(bao)(bao)(bao)(bao)告填(tian)報(bao)(bao)(bao)(bao)(bao)(bao)工(gong)作(zuo)納(na)入(ru)支持配(pei)合(he)(he)監(jian)(jian)事(shi)會(hui)(hui)工(gong)作(zuo)體(ti)系,以(yi)填(tian)報(bao)(bao)(bao)(bao)(bao)(bao)工(gong)作(zuo)為(wei)契機,進(jin)一步增進(jin)與派駐本企(qi)業(ye)監(jian)(jian)事(shi)會(hui)(hui)的(de)溝通(tong)配(pei)合(he)(he),加強監(jian)(jian)事(shi)會(hui)(hui)對年度報(bao)(bao)(bao)(bao)(bao)(bao)告填(tian)報(bao)(bao)(bao)(bao)(bao)(bao)工(gong)作(zuo)的(de)組織部署和(he)過程指導。認真聽取(qu)派駐本企(qi)業(ye)監(jian)(jian)事(shi)會(hui)(hui)意見,共同(tong)確(que)定填(tian)報(bao)(bao)(bao)(bao)(bao)(bao)范圍和(he)年度重(zhong)(zhong)點披露事(shi)項,抓好重(zhong)(zhong)點、難點、亮點內容填(tian)報(bao)(bao)(bao)(bao)(bao)(bao)。總體(ti)填(tian)報(bao)(bao)(bao)(bao)(bao)(bao)范圍應當包括(kuo)企(qi)業(ye)集團(tuan)、境內(外)二級單位、各級金(jin)融子企(qi)業(ye)以(yi)及(ji)所托管(guan)企(qi)業(ye);三級(含(han))以(yi)下重(zhong)(zhong)要(yao)(yao)子企(qi)業(ye)及(ji)重(zhong)(zhong)要(yao)(yao)非(fei)法人實體(ti)等填(tian)報(bao)(bao)(bao)(bao)(bao)(bao)范圍可與監(jian)(jian)事(shi)會(hui)(hui)共同(tong)商(shang)定;離(li)岸公(gong)司、殼公(gong)司等特殊(shu)子企(qi)業(ye)不納(na)入(ru)填(tian)報(bao)(bao)(bao)(bao)(bao)(bao)范圍。鼓勵(li)有條件的(de)中央(yang)企(qi)業(ye)試(shi)行(xing)全級次報(bao)(bao)(bao)(bao)(bao)(bao)送(song)。

  四、細化考核評價,推動報告成果(guo)應用

  年度(du)報(bao)(bao)告(gao)(gao)是展(zhan)示(shi)企(qi)業精細(xi)化管理狀況的(de)(de)重(zhong)要(yao)(yao)平臺。各中央企(qi)業要(yao)(yao)加(jia)大年度(du)報(bao)(bao)告(gao)(gao)審核(he)力度(du),逐(zhu)項(xiang)規(gui)范審核(he)標準,嚴格執行多層(ceng)(ceng)審核(he)制(zhi)度(du),落實審核(he)問(wen)題(ti)反(fan)饋、整改督辦、補報(bao)(bao)重(zhong)報(bao)(bao)等工作(zuo)機(ji)制(zhi)。要(yao)(yao)結合(he)本企(qi)業實際(ji),開展(zhan)自我評(ping)價和總(zong)結,著(zhu)重(zhong)加(jia)強重(zhong)點子(zi)企(qi)業、基(ji)層(ceng)(ceng)子(zi)企(qi)業和關(guan)鍵業務內容的(de)(de)評(ping)價,建立(li)健(jian)全填報(bao)(bao)質(zhi)(zhi)量評(ping)價體(ti)系和通報(bao)(bao)機(ji)制(zhi),確保(bao)填報(bao)(bao)質(zhi)(zhi)量不斷提(ti)高。年度(du)報(bao)(bao)告(gao)(gao)重(zhong)在(zai)應用,在(zai)滿足(zu)監事(shi)會監督檢(jian)查工作(zuo)需(xu)要(yao)(yao)的(de)(de)同時(shi),各中央企(qi)業要(yao)(yao)進一(yi)步加(jia)強年度(du)報(bao)(bao)告(gao)(gao)填報(bao)(bao)成果的(de)(de)綜合(he)應用和信(xin)息共享(xiang),積極推動解(jie)決(jue)年度(du)報(bao)(bao)告(gao)(gao)披露的(de)(de)重(zhong)大問(wen)題(ti)和風險隱患,充(chong)分發(fa)揮(hui)年度(du)報(bao)(bao)告(gao)(gao)促進企(qi)業規(gui)范運營(ying)、提(ti)升(sheng)管理的(de)(de)重(zhong)要(yao)(yao)作(zuo)用。

  五、落(luo)實填報(bao)任務,按時規范備案(an)報(bao)送

  (一(yi))請(qing)各(ge)中央企(qi)業于(yu)2014年12月15日前(qian)將(jiang)與派駐(zhu)本(ben)企(qi)業監事(shi)會共同確定的擬報送年度(du)報告有關(guan)事(shi)項,以正式文件形式(式樣見附件1)報監事(shi)會工(gong)作局備案。

  (二)請各中(zhong)央企(qi)業(ye)于(yu)2015年2月15日前將集(ji)團公司與各級(ji)子企(qi)業(ye)年度(du)報告一并以正式(shi)文件(jian)形(xing)式(shi)(式(shi)樣見附件(jian)2)報送派駐本企(qi)業(ye)監(jian)事會(紙質材料1套(tao),光(guang)盤2套(tao)),同時將年度(du)報告(光(guang)盤1套(tao))及(ji)正式(shi)文件(jian)報送監(jian)事會工作局備案。

  (三(san))年度報(bao)告(gao)繼續(xu)使(shi)用企(qi)(qi)業報(bao)表(biao)處理軟件填報(bao)。《2014年度〈企(qi)(qi)業年度工作報(bao)告(gao)〉格式文本(ben)及編制說明》安裝在(zai)企(qi)(qi)業報(bao)表(biao)處理軟件中,探索推進(jin)信(xin)息(xi)化(hua)報(bao)送和綜(zong)合應用。需要紙質材(cai)料的企(qi)(qi)業請與監事(shi)會工作局聯系。

  (四)2014年(nian)度(du)報告填(tian)報培訓與2014年(nian)度(du)財務決算培訓統一(yi)安排,屆時(shi)請各中央(yang)企業務必(bi)派負責年(nian)度(du)報告填(tian)報工作的(de)相(xiang)關人員參加。
