關于做好中央企業違規經營投資責任追究工作體系建設有關事項的通知
各中央企業:
根(gen)據《國(guo)務院辦公廳關于建(jian)(jian)立國(guo)有(you)企(qi)業(ye)(ye)違規(gui)(gui)經(jing)營(ying)投(tou)資責(ze)(ze)(ze)(ze)任(ren)(ren)追究(jiu)(jiu)(jiu)制(zhi)(zhi)度(du)的意(yi)見(jian)》(國(guo)辦發〔2016〕63號,以下(xia)簡稱63號文件(jian)),按照國(guo)資委(wei)有(you)關要求,各中(zhong)央企(qi)業(ye)(ye)高(gao)度(du)重視,均成(cheng)(cheng)立了違規(gui)(gui)經(jing)營(ying)投(tou)資責(ze)(ze)(ze)(ze)任(ren)(ren)追究(jiu)(jiu)(jiu)工(gong)(gong)(gong)作領導小(xiao)組(zu)或工(gong)(gong)(gong)作小(xiao)組(zu),其中(zhong)大部(bu)分由(you)企(qi)業(ye)(ye)主要負責(ze)(ze)(ze)(ze)人任(ren)(ren)組(zu)長,有(you)序推(tui)進制(zhi)(zhi)度(du)建(jian)(jian)設、組(zu)織(zhi)建(jian)(jian)設和(he)體系(xi)(xi)建(jian)(jian)設。目前,責(ze)(ze)(ze)(ze)任(ren)(ren)追究(jiu)(jiu)(jiu)工(gong)(gong)(gong)作專(zhuan)門制(zhi)(zhi)度(du)、職能部(bu)門、報告機制(zhi)(zhi)已基本實現(xian)全覆蓋,責(ze)(ze)(ze)(ze)任(ren)(ren)倒查機制(zhi)(zhi)基本形(xing)成(cheng)(cheng),以追責(ze)(ze)(ze)(ze)促進企(qi)業(ye)(ye)強化管理、完(wan)善制(zhi)(zhi)度(du)等取得積(ji)極(ji)成(cheng)(cheng)效,保障企(qi)業(ye)(ye)合規(gui)(gui)經(jing)營(ying)及(ji)高(gao)質量(liang)發展(zhan)作用逐步顯現(xian),63號文件(jian)明(ming)確(que)的第(di)一(yi)階段(duan)目標(biao)初步完(wan)成(cheng)(cheng)。為進一(yi)步落實63號文件(jian)“在2020年底(di)前,全面建(jian)(jian)立覆蓋各級(ji)履行出資人職責(ze)(ze)(ze)(ze)的機構及(ji)國(guo)有(you)企(qi)業(ye)(ye)的責(ze)(ze)(ze)(ze)任(ren)(ren)追究(jiu)(jiu)(jiu)工(gong)(gong)(gong)作體系(xi)(xi),形(xing)成(cheng)(cheng)職責(ze)(ze)(ze)(ze)明(ming)確(que)、流程清晰、規(gui)(gui)范有(you)序的責(ze)(ze)(ze)(ze)任(ren)(ren)追究(jiu)(jiu)(jiu)工(gong)(gong)(gong)作機制(zhi)(zhi)”的第(di)二(er)階段(duan)目標(biao),做好(hao)中(zhong)央企(qi)業(ye)(ye)責(ze)(ze)(ze)(ze)任(ren)(ren)追究(jiu)(jiu)(jiu)工(gong)(gong)(gong)作體系(xi)(xi)建(jian)(jian)設,現(xian)將有(you)關事項通知如下(xia):
一、進(jin)一步提高(gao)對責(ze)任(ren)追(zhui)究工(gong)作(zuo)(zuo)重(zhong)(zhong)要(yao)(yao)性的認識。黨中央(yang)、國(guo)(guo)務院高(gao)度重(zhong)(zhong)視強化國(guo)(guo)有(you)(you)資產(chan)監(jian)管(guan)、落(luo)(luo)實國(guo)(guo)有(you)(you)企(qi)(qi)業(ye)經(jing)(jing)營(ying)(ying)投資責(ze)任(ren),黨的十八屆三中全會以及國(guo)(guo)資國(guo)(guo)企(qi)(qi)改革系列文件對強化經(jing)(jing)營(ying)(ying)投資責(ze)任(ren)追(zhui)究,建立健全國(guo)(guo)有(you)(you)企(qi)(qi)業(ye)重(zhong)(zhong)大(da)(da)決策失(shi)誤和(he)失(shi)職、瀆(du)職責(ze)任(ren)追(zhui)究倒查機制等(deng)作(zuo)(zuo)出(chu)一系列部署(shu)。各(ge)中央(yang)企(qi)(qi)業(ye)要(yao)(yao)切(qie)實提高(gao)思想認識,站在(zai)守護好全體人民共同(tong)財富(fu)的高(gao)度,深刻理解責(ze)任(ren)追(zhui)究工(gong)作(zuo)(zuo)在(zai)有(you)(you)效(xiao)(xiao)防止國(guo)(guo)有(you)(you)資產(chan)流失(shi)、落(luo)(luo)實國(guo)(guo)有(you)(you)資產(chan)保值增值責(ze)任(ren)方面的重(zhong)(zhong)要(yao)(yao)作(zuo)(zuo)用,將(jiang)推(tui)進(jin)責(ze)任(ren)追(zhui)究工(gong)作(zuo)(zuo)體系建設作(zuo)(zuo)為提升合(he)規(gui)經(jing)(jing)營(ying)(ying)水平和(he)防范(fan)化解重(zhong)(zhong)大(da)(da)風險的重(zhong)(zhong)要(yao)(yao)抓手,通過有(you)(you)效(xiao)(xiao)開展責(ze)任(ren)追(zhui)究工(gong)作(zuo)(zuo),促進(jin)各(ge)級(ji)經(jing)(jing)營(ying)(ying)管(guan)理人員規(gui)范(fan)履職、勤勉盡責(ze),推(tui)動企(qi)(qi)業(ye)合(he)規(gui)經(jing)(jing)營(ying)(ying)、行穩致遠。
二(er)、深(shen)入(ru)推(tui)進(jin)組(zu)織(zhi)體(ti)系(xi)(xi)建設。各中央企(qi)業(ye)要(yao)(yao)(yao)(yao)健全責(ze)任(ren)追(zhui)究組(zu)織(zhi)體(ti)系(xi)(xi),嚴格落實(shi)責(ze)任(ren),層(ceng)層(ceng)傳導壓力,持續深(shen)入(ru)推(tui)進(jin)責(ze)任(ren)追(zhui)究工(gong)作(zuo)(zuo)。一要(yao)(yao)(yao)(yao)加強(qiang)(qiang)(qiang)工(gong)作(zuo)(zuo)組(zu)織(zhi)領導。企(qi)業(ye)主要(yao)(yao)(yao)(yao)負(fu)責(ze)人(ren)要(yao)(yao)(yao)(yao)主持研(yan)究審議責(ze)任(ren)追(zhui)究工(gong)作(zuo)(zuo)重要(yao)(yao)(yao)(yao)事項(xiang),統籌謀劃,部(bu)署推(tui)動,保(bao)障(zhang)工(gong)作(zuo)(zuo)有(you)效開展(zhan)(zhan)。分管負(fu)責(ze)人(ren)要(yao)(yao)(yao)(yao)靠前(qian)指揮,指導把關核查質量(liang),督(du)促工(gong)作(zuo)(zuo)深(shen)入(ru)推(tui)進(jin)。職(zhi)能部(bu)門要(yao)(yao)(yao)(yao)切實(shi)擔負(fu)起直(zhi)接(jie)責(ze)任(ren),抓緊編制(zhi)工(gong)作(zuo)(zuo)體(ti)系(xi)(xi)建設方案,與人(ren)力資源、巡視、紀檢監(jian)察等(deng)(deng)部(bu)門密切配(pei)(pei)合(he)(he),做好具體(ti)組(zu)織(zhi)實(shi)施(shi)。二(er)要(yao)(yao)(yao)(yao)進(jin)一步強(qiang)(qiang)(qiang)化職(zhi)能部(bu)門建設。要(yao)(yao)(yao)(yao)切實(shi)落實(shi)職(zhi)能部(bu)門編制(zhi)、人(ren)員、資金等(deng)(deng)工(gong)作(zuo)(zuo)保(bao)障(zhang),確保(bao)專(zhuan)項(xiang)工(gong)作(zuo)(zuo)獨立有(you)效開展(zhan)(zhan)。要(yao)(yao)(yao)(yao)配(pei)(pei)齊配(pei)(pei)強(qiang)(qiang)(qiang)配(pei)(pei)優工(gong)作(zuo)(zuo)隊伍(wu),加強(qiang)(qiang)(qiang)培訓(xun)教(jiao)育和實(shi)踐(jian)鍛煉,提升專(zhuan)業(ye)能力和專(zhuan)業(ye)精神。三要(yao)(yao)(yao)(yao)推(tui)進(jin)所屬企(qi)業(ye)責(ze)任(ren)追(zhui)究工(gong)作(zuo)(zuo)組(zu)織(zhi)體(ti)系(xi)(xi)建設。按照分級管理、分層(ceng)負(fu)責(ze)的原則,結(jie)合(he)(he)企(qi)業(ye)實(shi)際(ji)、行業(ye)特性等(deng)(deng),實(shi)現職(zhi)責(ze)主體(ti)上有(you)人(ren)管,監(jian)督(du)范圍上全覆(fu)蓋。
三、持續完(wan)(wan)善責(ze)(ze)任(ren)(ren)(ren)追(zhui)究(jiu)制(zhi)(zhi)(zhi)度(du)(du)體系。各(ge)中央企(qi)業(ye)(ye)要加快構建內容協調(diao)、流程(cheng)清晰、配套完(wan)(wan)備、有(you)(you)效管(guan)用的(de)責(ze)(ze)任(ren)(ren)(ren)追(zhui)究(jiu)制(zhi)(zhi)(zhi)度(du)(du)體系,不斷提高工(gong)(gong)作規(gui)(gui)(gui)范化(hua)、制(zhi)(zhi)(zhi)度(du)(du)化(hua)、科學化(hua)水平。一(yi)要推進制(zhi)(zhi)(zhi)度(du)(du)深(shen)度(du)(du)覆蓋和(he)有(you)(you)效約束。根據所(suo)屬企(qi)業(ye)(ye)規(gui)(gui)(gui)模體量(liang)差異、業(ye)(ye)務模式特點等,因(yin)企(qi)施策細化(hua)責(ze)(ze)任(ren)(ren)(ren)追(zhui)究(jiu)范圍、劃分(fen)資(zi)產損(sun)失標準等,防止(zhi)尺度(du)(du)范圍寬(kuan)松,責(ze)(ze)任(ren)(ren)(ren)約束不足。二要完(wan)(wan)善配套制(zhi)(zhi)(zhi)度(du)(du)。研究(jiu)制(zhi)(zhi)(zhi)定損(sun)失認定、責(ze)(ze)任(ren)(ren)(ren)認定、離職(zhi)(zhi)退休人員違(wei)規(gui)(gui)(gui)責(ze)(ze)任(ren)(ren)(ren)追(zhui)究(jiu)處(chu)理等實(shi)施細則,規(gui)(gui)(gui)范工(gong)(gong)作流程(cheng)和(he)標準,實(shi)現責(ze)(ze)任(ren)(ren)(ren)追(zhui)究(jiu)工(gong)(gong)作標準一(yi)致(zhi)、有(you)(you)章可循(xun)、規(gui)(gui)(gui)范有(you)(you)序。三要夯實(shi)制(zhi)(zhi)(zhi)度(du)(du)基礎。落實(shi)63號文件要求,進一(yi)步完(wan)(wan)善重大決策評估、決策事項履職(zhi)(zhi)記錄等規(gui)(gui)(gui)定;細化(hua)各(ge)類經(jing)營(ying)投(tou)(tou)資(zi)責(ze)(ze)任(ren)(ren)(ren)條款和(he)清單,明確(que)崗位職(zhi)(zhi)責(ze)(ze)和(he)履職(zhi)(zhi)程(cheng)序;在有(you)(you)關外聘(pin)董事、職(zhi)(zhi)業(ye)(ye)經(jing)理人聘(pin)任(ren)(ren)(ren)合同中,要明確(que)違(wei)規(gui)(gui)(gui)經(jing)營(ying)投(tou)(tou)資(zi)責(ze)(ze)任(ren)(ren)(ren)追(zhui)究(jiu)的(de)原(yuan)則要求。
四、扎實(shi)(shi)做好違(wei)規(gui)(gui)問題線(xian)索(suo)查(cha)處(chu)(chu)。各中(zhong)央企(qi)業(ye)要(yao)(yao)(yao)(yao)違(wei)規(gui)(gui)必究(jiu)(jiu),追責(ze)(ze)必嚴(yan),切(qie)實(shi)(shi)增強(qiang)國(guo)資監管法規(gui)(gui)制(zhi)度和企(qi)業(ye)內部管理(li)(li)規(gui)(gui)定剛性約束。一要(yao)(yao)(yao)(yao)加(jia)大(da)責(ze)(ze)任追究(jiu)(jiu)工(gong)作(zuo)力(li)度。對受理(li)(li)查(cha)辦(ban)的(de)(de)(de)違(wei)規(gui)(gui)經營(ying)投資問題線(xian)索(suo)實(shi)(shi)行對賬銷(xiao)號管理(li)(li),集中(zhong)力(li)量抓好國(guo)有(you)(you)(you)資產重(zhong)大(da)損失調查(cha),依法依規(gui)(gui)追究(jiu)(jiu)有(you)(you)(you)關(guan)(guan)人(ren)員責(ze)(ze)任。對發現的(de)(de)(de)涉(she)嫌違(wei)紀、職務違(wei)法及(ji)犯罪的(de)(de)(de)問題線(xian)索(suo),要(yao)(yao)(yao)(yao)及(ji)時移送紀檢監察或司法機關(guan)(guan)查(cha)處(chu)(chu)。二要(yao)(yao)(yao)(yao)強(qiang)化責(ze)(ze)任追究(jiu)(jiu)工(gong)作(zuo)指(zhi)導(dao)監督。組(zu)織對所屬企(qi)業(ye)責(ze)(ze)任追究(jiu)(jiu)工(gong)作(zuo)的(de)(de)(de)監督檢查(cha),強(qiang)化定性、定損、定責(ze)(ze)等(deng)關(guan)(guan)鍵環節的(de)(de)(de)指(zhi)導(dao)把關(guan)(guan),根據需要(yao)(yao)(yao)(yao)可由上級企(qi)業(ye)直接(jie)開(kai)展核查(cha)。三要(yao)(yao)(yao)(yao)加(jia)強(qiang)案例通(tong)(tong)報(bao)和有(you)(you)(you)關(guan)(guan)信息公開(kai)。要(yao)(yao)(yao)(yao)結(jie)合具體案例的(de)(de)(de)調查(cha)處(chu)(chu)理(li)(li),在適當范圍(wei)總結(jie)、通(tong)(tong)報(bao)及(ji)公開(kai)調查(cha)處(chu)(chu)理(li)(li)情況(kuang),以(yi)案為鑒,發揮“追責(ze)(ze)一個(ge)、警示(shi)一片”的(de)(de)(de)警示(shi)教育作(zuo)用,不斷(duan)提高監督追責(ze)(ze)工(gong)作(zuo)的(de)(de)(de)影響力(li)和透明度。
五、探(tan)索(suo)(suo)(suo)工(gong)作(zuo)方(fang)式方(fang)法(fa)。責(ze)(ze)任(ren)追究(jiu)(jiu)工(gong)作(zuo)政策性(xing)強(qiang)、涉(she)及(ji)面(mian)廣、專業要(yao)(yao)求高(gao),各中(zhong)央(yang)企(qi)(qi)業要(yao)(yao)積極探(tan)索(suo)(suo)(suo)工(gong)作(zuo)的(de)(de)新(xin)途徑新(xin)方(fang)法(fa)。一要(yao)(yao)探(tan)索(suo)(suo)(suo)開展境外(wai)核(he)查追責(ze)(ze)。逐步(bu)(bu)推進(jin)境外(wai)損失調查和追責(ze)(ze)工(gong)作(zuo),關注重(zhong)大決策、重(zhong)大合同、大額資金(jin)管控和境外(wai)子企(qi)(qi)業治(zhi)理等(deng)(deng)方(fang)面(mian)的(de)(de)資產流失風險,確保國有(you)資本投到哪(na)里(li),監(jian)管追責(ze)(ze)就(jiu)延伸到哪(na)里(li)。二要(yao)(yao)探(tan)索(suo)(suo)(suo)建立追責(ze)(ze)信息管理系統。提(ti)(ti)升工(gong)作(zuo)信息化(hua)(hua)水平,逐步(bu)(bu)實(shi)現線上填(tian)報(bao)提(ti)(ti)交責(ze)(ze)任(ren)追究(jiu)(jiu)工(gong)作(zuo)報(bao)告,對受理、初(chu)步(bu)(bu)核(he)實(shi)、分(fen)類處(chu)置、核(he)查、處(chu)理和整改等(deng)(deng)環節(jie)全過程監(jian)督,研究(jiu)(jiu)通過共享(xiang)經營管理信息和構建大數據模(mo)型(xing),精準發現違規問(wen)題。三(san)要(yao)(yao)探(tan)索(suo)(suo)(suo)推進(jin)容錯(cuo)機(ji)制(zhi)(zhi)落(luo)實(shi)落(luo)地。進(jin)一步(bu)(bu)研究(jiu)(jiu)落(luo)實(shi)“三(san)個(ge)區分(fen)開來(lai)”的(de)(de)落(luo)地舉措,具體(ti)問(wen)題具體(ti)分(fen)析,既防止追責(ze)(ze)不力,又防止追責(ze)(ze)泛化(hua)(hua)簡單化(hua)(hua)。同時,結合實(shi)際,研究(jiu)(jiu)加強(qiang)基(ji)金(jin)投資、混合所(suo)有(you)制(zhi)(zhi)等(deng)(deng)新(xin)業態領域(yu)的(de)(de)責(ze)(ze)任(ren)追究(jiu)(jiu)工(gong)作(zuo)。
六、不(bu)斷健(jian)全以追(zhui)責促(cu)(cu)發(fa)展(zhan)的(de)長效機制。責任(ren)追(zhui)究(jiu)是(shi)手段不(bu)是(shi)目的(de),各中央企(qi)業要(yao)(yao)注重做好監(jian)督“后半篇文章”,把(ba)追(zhui)責成(cheng)果轉(zhuan)化(hua)(hua)為(wei)促(cu)(cu)進(jin)企(qi)業健(jian)康發(fa)展(zhan)的(de)監(jian)管(guan)(guan)效能。一(yi)要(yao)(yao)促(cu)(cu)進(jin)防范化(hua)(hua)解重大(da)風險。舉一(yi)反(fan)三,以點帶面,深入開展(zhan)共性問(wen)題(ti)核(he)查(cha),排查(cha)問(wen)題(ti)隱患,預警提示經(jing)(jing)營風險。適時(shi)介入風險事件處置,跟蹤(zong)關注或有(you)資產損失(shi),以追(zhui)責促(cu)(cu)追(zhui)損,及時(shi)化(hua)(hua)解資產損失(shi)風險。二要(yao)(yao)推動完善(shan)企(qi)業內(nei)部控(kong)(kong)制體系。針(zhen)對發(fa)現的(de)內(nei)控(kong)(kong)缺陷(xian)和(he)管(guan)(guan)控(kong)(kong)漏洞,標本兼治,強(qiang)化(hua)(hua)整(zheng)改落實(shi),及時(shi)制定修訂各項管(guan)(guan)理制度,完善(shan)內(nei)控(kong)(kong)體系,提升管(guan)(guan)理水(shui)平。三要(yao)(yao)保障企(qi)業合規經(jing)(jing)營健(jian)康發(fa)展(zhan)。以責任(ren)追(zhui)究(jiu)為(wei)重要(yao)(yao)抓(zhua)手,通過懲治教育建(jian)設(she)相(xiang)結合,強(qiang)化(hua)(hua)各級管(guan)(guan)理人員合規履職(zhi)的(de)自覺性和(he)主動性,全面推進(jin)依法治企(qi),有(you)效促(cu)(cu)進(jin)企(qi)業穩健(jian)經(jing)(jing)營和(he)可(ke)持續發(fa)展(zhan)。
國資委將加(jia)強對(dui)各中央企業(ye)(ye)責任(ren)追(zhui)究(jiu)工作的指導,組織培(pei)訓(xun)和(he)交流,根據需要(yao)檢(jian)查企業(ye)(ye)貫徹落實(shi)63號(hao)文件(jian)、《中央企業(ye)(ye)違規經營投(tou)資責任(ren)追(zhui)究(jiu)實(shi)施(shi)辦法(試行(xing))》(國資委令(ling)第37號(hao),以下簡稱37號(hao)令(ling))的工作情況(kuang)等。各中央企業(ye)(ye)要(yao)認真制定(ding)責任(ren)追(zhui)究(jiu)工作體(ti)系(xi)建設方案并(bing)于2019年(nian)5月底前將有關情況(kuang)書面報送國資委,具體(ti)實(shi)施(shi)落實(shi)情況(kuang)納入年(nian)度定(ding)期報告一并(bing)報送。同時,要(yao)注意收集執行(xing)37號(hao)令(ling)以及(ji)推進(jin)責任(ren)追(zhui)究(jiu)工作體(ti)系(xi)建設過程中的新(xin)情況(kuang)、新(xin)問題,及(ji)時報告國資委。
