國(guo)(guo)(guo)(guo)(guo)(guo)有(you)企(qi)(qi)業(ye)(ye)(ye)(ye)(ye)屬(shu)于全(quan)民(min)所(suo)有(you),是(shi)推(tui)進國(guo)(guo)(guo)(guo)(guo)(guo)家現代化、保障人民(min)共同(tong)利益的(de)(de)重(zhong)(zhong)要力量,是(shi)我(wo)們黨(dang)和(he)(he)(he)國(guo)(guo)(guo)(guo)(guo)(guo)家事業(ye)(ye)(ye)(ye)(ye)發(fa)(fa)展(zhan)(zhan)的(de)(de)重(zhong)(zhong)要物(wu)質(zhi)基(ji)礎和(he)(he)(he)政治(zhi)基(ji)礎。改(gai)革開(kai)放以(yi)來,國(guo)(guo)(guo)(guo)(guo)(guo)有(you)企(qi)(qi)業(ye)(ye)(ye)(ye)(ye)改(gai)革發(fa)(fa)展(zhan)(zhan)不斷取得(de)重(zhong)(zhong)大(da)(da)進展(zhan)(zhan),總(zong)體上已經(jing)(jing)同(tong)市場(chang)經(jing)(jing)濟(ji)相融合,運(yun)行質(zhi)量和(he)(he)(he)效益明顯提升,在(zai)國(guo)(guo)(guo)(guo)(guo)(guo)際(ji)國(guo)(guo)(guo)(guo)(guo)(guo)內市場(chang)競爭中(zhong)(zhong)(zhong)涌現出(chu)一批具有(you)核心(xin)競爭力的(de)(de)骨干(gan)企(qi)(qi)業(ye)(ye)(ye)(ye)(ye),為推(tui)動經(jing)(jing)濟(ji)社會(hui)發(fa)(fa)展(zhan)(zhan)、保障和(he)(he)(he)改(gai)善民(min)生、開(kai)拓國(guo)(guo)(guo)(guo)(guo)(guo)際(ji)市場(chang)、增(zeng)強我(wo)國(guo)(guo)(guo)(guo)(guo)(guo)綜合實(shi)力作出(chu)了重(zhong)(zhong)大(da)(da)貢獻,國(guo)(guo)(guo)(guo)(guo)(guo)有(you)企(qi)(qi)業(ye)(ye)(ye)(ye)(ye)經(jing)(jing)營(ying)管(guan)理者隊(dui)伍總(zong)體上是(shi)好的(de)(de),廣大(da)(da)職工付出(chu)了不懈努(nu)力,成(cheng)就是(shi)突(tu)(tu)出(chu)的(de)(de)。但(dan)也(ye)要看到,國(guo)(guo)(guo)(guo)(guo)(guo)有(you)企(qi)(qi)業(ye)(ye)(ye)(ye)(ye)仍(reng)然存在(zai)一些(xie)亟(ji)待(dai)(dai)解決的(de)(de)突(tu)(tu)出(chu)矛盾和(he)(he)(he)問(wen)題(ti)(ti),一些(xie)企(qi)(qi)業(ye)(ye)(ye)(ye)(ye)市場(chang)主體地(di)位(wei)尚未(wei)真(zhen)正確立(li),現代企(qi)(qi)業(ye)(ye)(ye)(ye)(ye)制(zhi)(zhi)度還不健全(quan),國(guo)(guo)(guo)(guo)(guo)(guo)有(you)資(zi)產監管(guan)體制(zhi)(zhi)有(you)待(dai)(dai)完(wan)善,國(guo)(guo)(guo)(guo)(guo)(guo)有(you)資(zi)本運(yun)行效率需進一步提高;一些(xie)企(qi)(qi)業(ye)(ye)(ye)(ye)(ye)管(guan)理混亂(luan),內部(bu)人控制(zhi)(zhi)、利益輸送、國(guo)(guo)(guo)(guo)(guo)(guo)有(you)資(zi)產流失等問(wen)題(ti)(ti)突(tu)(tu)出(chu),企(qi)(qi)業(ye)(ye)(ye)(ye)(ye)辦社會(hui)職能和(he)(he)(he)歷(li)史遺留問(wen)題(ti)(ti)還未(wei)完(wan)全(quan)解決;一些(xie)企(qi)(qi)業(ye)(ye)(ye)(ye)(ye)黨(dang)組織管(guan)黨(dang)治(zhi)黨(dang)責任不落(luo)實(shi)、作用被弱化。面向未(wei)來,國(guo)(guo)(guo)(guo)(guo)(guo)有(you)企(qi)(qi)業(ye)(ye)(ye)(ye)(ye)面臨日益激烈(lie)的(de)(de)國(guo)(guo)(guo)(guo)(guo)(guo)際(ji)競爭和(he)(he)(he)轉型升級的(de)(de)巨大(da)(da)挑(tiao)戰(zhan)(zhan)。在(zai)推(tui)動我(wo)國(guo)(guo)(guo)(guo)(guo)(guo)經(jing)(jing)濟(ji)保持(chi)中(zhong)(zhong)(zhong)高速增(zeng)長和(he)(he)(he)邁(mai)向中(zhong)(zhong)(zhong)高端(duan)水平(ping)、完(wan)善和(he)(he)(he)發(fa)(fa)展(zhan)(zhan)中(zhong)(zhong)(zhong)國(guo)(guo)(guo)(guo)(guo)(guo)特色社會(hui)主義(yi)制(zhi)(zhi)度、實(shi)現中(zhong)(zhong)(zhong)華民(min)族偉大(da)(da)復(fu)興(xing)中(zhong)(zhong)(zhong)國(guo)(guo)(guo)(guo)(guo)(guo)夢的(de)(de)進程(cheng)中(zhong)(zhong)(zhong),國(guo)(guo)(guo)(guo)(guo)(guo)有(you)企(qi)(qi)業(ye)(ye)(ye)(ye)(ye)肩負(fu)著重(zhong)(zhong)大(da)(da)歷(li)史使命和(he)(he)(he)責任。要認(ren)真(zhen)貫(guan)徹落(luo)實(shi)黨(dang)中(zhong)(zhong)(zhong)央(yang)、國(guo)(guo)(guo)(guo)(guo)(guo)務院戰(zhan)(zhan)略決策,按(an)照(zhao)“四(si)個全(quan)面”戰(zhan)(zhan)略布局的(de)(de)要求(qiu),以(yi)經(jing)(jing)濟(ji)建設為中(zhong)(zhong)(zhong)心(xin),堅持(chi)問(wen)題(ti)(ti)導向,繼續(xu)推(tui)進國(guo)(guo)(guo)(guo)(guo)(guo)有(you)企(qi)(qi)業(ye)(ye)(ye)(ye)(ye)改(gai)革,切實(shi)破除(chu)體制(zhi)(zhi)機制(zhi)(zhi)障礙,堅定不移做強做優做大(da)(da)國(guo)(guo)(guo)(guo)(guo)(guo)有(you)企(qi)(qi)業(ye)(ye)(ye)(ye)(ye)。為此,提出(chu)以(yi)下意見。
一、總體要求
(一)指導思想
高舉(ju)中(zhong)(zhong)國(guo)(guo)(guo)特色社會(hui)主義偉大(da)(da)旗(qi)幟,認真貫徹落實黨的十八大(da)(da)和(he)十八屆(jie)三中(zhong)(zhong)、四中(zhong)(zhong)全會(hui)精神,深入學(xue)習(xi)貫徹習(xi)近平總書(shu)記系列重要講話精神,堅持和(he)完(wan)善(shan)基本經(jing)(jing)濟(ji)(ji)制度(du),堅持社會(hui)主義市場(chang)(chang)經(jing)(jing)濟(ji)(ji)改(gai)革方向,適應(ying)市場(chang)(chang)化(hua)、現(xian)代(dai)化(hua)、國(guo)(guo)(guo)際(ji)化(hua)新形勢(shi),以解放和(he)發展社會(hui)生(sheng)產力(li)(li)為標(biao)準,以提高國(guo)(guo)(guo)有(you)(you)(you)資(zi)本效率、增強國(guo)(guo)(guo)有(you)(you)(you)企(qi)(qi)業活力(li)(li)為中(zhong)(zhong)心,完(wan)善(shan)產權清晰、權責(ze)明(ming)確、政(zheng)企(qi)(qi)分(fen)開、管(guan)(guan)理(li)科(ke)學(xue)的現(xian)代(dai)企(qi)(qi)業制度(du),完(wan)善(shan)國(guo)(guo)(guo)有(you)(you)(you)資(zi)產監管(guan)(guan)體制,防止(zhi)國(guo)(guo)(guo)有(you)(you)(you)資(zi)產流失,全面推進(jin)依法治(zhi)企(qi)(qi),加強和(he)改(gai)進(jin)黨對國(guo)(guo)(guo)有(you)(you)(you)企(qi)(qi)業的領導(dao),做強做優做大(da)(da)國(guo)(guo)(guo)有(you)(you)(you)企(qi)(qi)業,不斷增強國(guo)(guo)(guo)有(you)(you)(you)經(jing)(jing)濟(ji)(ji)活力(li)(li)、控(kong)制力(li)(li)、影響力(li)(li)、抗風險能力(li)(li),主動適應(ying)和(he)引領經(jing)(jing)濟(ji)(ji)發展新常(chang)態,為促進(jin)經(jing)(jing)濟(ji)(ji)社會(hui)持續健康(kang)發展、實現(xian)中(zhong)(zhong)華民族偉大(da)(da)復興(xing)中(zhong)(zhong)國(guo)(guo)(guo)夢作出積極貢獻。
(二)基本原則
——堅(jian)持(chi)和完善基本(ben)經(jing)濟(ji)制(zhi)度。這是深化國有(you)(you)企業改(gai)革必(bi)須把(ba)握的根本(ben)要求(qiu)。必(bi)須毫不動(dong)搖(yao)鞏固和發展(zhan)公(gong)(gong)有(you)(you)制(zhi)經(jing)濟(ji),毫不動(dong)搖(yao)鼓勵(li)、支(zhi)持(chi)、引導(dao)非(fei)公(gong)(gong)有(you)(you)制(zhi)經(jing)濟(ji)發展(zhan)。堅(jian)持(chi)公(gong)(gong)有(you)(you)制(zhi)主(zhu)體地(di)位,發揮國有(you)(you)經(jing)濟(ji)主(zhu)導(dao)作用,積(ji)極促(cu)進國有(you)(you)資本(ben)、集(ji)體資本(ben)、非(fei)公(gong)(gong)有(you)(you)資本(ben)等交叉持(chi)股、相互(hu)融合,推動(dong)各種所(suo)有(you)(you)制(zhi)資本(ben)取長補短、相互(hu)促(cu)進、共同發展(zhan)。
——堅(jian)持(chi)(chi)社會(hui)主義市場經濟改革方向(xiang)。這是深化國(guo)有(you)企業改革必(bi)須遵(zun)循的基本規(gui)律。國(guo)有(you)企業改革要遵(zun)循市場經濟規(gui)律和(he)(he)企業發(fa)展規(gui)律,堅(jian)持(chi)(chi)政企分(fen)開、政資分(fen)開、所有(you)權(quan)與經營(ying)權(quan)分(fen)離,堅(jian)持(chi)(chi)權(quan)利、義務、責任相(xiang)(xiang)統一,堅(jian)持(chi)(chi)激(ji)勵(li)機制和(he)(he)約束機制相(xiang)(xiang)結合,促使國(guo)有(you)企業真正成(cheng)為依法自(zi)主經營(ying)、自(zi)負盈虧、自(zi)擔風險、自(zi)我約束、自(zi)我發(fa)展的獨立(li)市場主體(ti)。社會(hui)主義市場經濟條(tiao)件下(xia)的國(guo)有(you)企業,要成(cheng)為自(zi)覺(jue)履行(xing)社會(hui)責任的表率。
——堅持增強(qiang)活力(li)和(he)強(qiang)化監(jian)管相結合。這是(shi)深化國(guo)(guo)(guo)有(you)(you)(you)(you)(you)企(qi)(qi)業改(gai)革必(bi)須把握(wo)的(de)(de)重(zhong)要關(guan)系(xi)。增強(qiang)活力(li)是(shi)搞好(hao)國(guo)(guo)(guo)有(you)(you)(you)(you)(you)企(qi)(qi)業的(de)(de)本(ben)質要求,加強(qiang)監(jian)管是(shi)搞好(hao)國(guo)(guo)(guo)有(you)(you)(you)(you)(you)企(qi)(qi)業的(de)(de)重(zhong)要保(bao)障,要切實做到兩者的(de)(de)有(you)(you)(you)(you)(you)機統(tong)一。繼續推進(jin)簡政放權(quan)(quan),依法落實企(qi)(qi)業法人財產權(quan)(quan)和(he)經(jing)營自主權(quan)(quan),進(jin)一步(bu)(bu)激發企(qi)(qi)業活力(li)、創造力(li)和(he)市(shi)場競(jing)爭力(li)。進(jin)一步(bu)(bu)完善國(guo)(guo)(guo)有(you)(you)(you)(you)(you)企(qi)(qi)業監(jian)管制度,切實防止(zhi)國(guo)(guo)(guo)有(you)(you)(you)(you)(you)資(zi)產流失,確保(bao)國(guo)(guo)(guo)有(you)(you)(you)(you)(you)資(zi)產保(bao)值增值。
——堅(jian)(jian)持黨(dang)對(dui)國有(you)企(qi)(qi)(qi)(qi)業的(de)領(ling)導。這是深化國有(you)企(qi)(qi)(qi)(qi)業改(gai)革必須堅(jian)(jian)守(shou)的(de)政(zheng)(zheng)治方向、政(zheng)(zheng)治原則。要(yao)貫(guan)徹全面從(cong)嚴治黨(dang)方針(zhen),充(chong)分(fen)發揮企(qi)(qi)(qi)(qi)業黨(dang)組織(zhi)政(zheng)(zheng)治核心(xin)作(zuo)用,加強企(qi)(qi)(qi)(qi)業領(ling)導班子建(jian)設,創新(xin)基層黨(dang)建(jian)工(gong)作(zuo),深入(ru)開展黨(dang)風(feng)廉政(zheng)(zheng)建(jian)設,堅(jian)(jian)持全心(xin)全意依靠(kao)工(gong)人(ren)階級,維護職工(gong)合法權(quan)益,為國有(you)企(qi)(qi)(qi)(qi)業改(gai)革發展提(ti)供堅(jian)(jian)強有(you)力的(de)政(zheng)(zheng)治保證、組織(zhi)保證和人(ren)才支撐(cheng)。
——堅(jian)持積(ji)極穩妥統(tong)籌推(tui)(tui)進。這是深(shen)化(hua)國有企業(ye)改(gai)(gai)革必須(xu)采用的(de)科學方法。要正(zheng)確處理推(tui)(tui)進改(gai)(gai)革和(he)堅(jian)持法治的(de)關(guan)(guan)系,正(zheng)確處理改(gai)(gai)革發展穩定(ding)關(guan)(guan)系,正(zheng)確處理搞好(hao)頂層(ceng)設計和(he)尊重基層(ceng)首創精神(shen)的(de)關(guan)(guan)系,突(tu)出問題導向,堅(jian)持分(fen)類推(tui)(tui)進,把握好(hao)改(gai)(gai)革的(de)次序、節奏、力度,確保改(gai)(gai)革扎實(shi)推(tui)(tui)進、務(wu)求(qiu)實(shi)效。
(三)主要目標
到(dao)2020年,在國(guo)有(you)(you)企(qi)業改革(ge)重要領(ling)域和關鍵環節取得決(jue)定性成果,形成更(geng)加符合我國(guo)基本(ben)經濟制度和社(she)會主義(yi)市場(chang)經濟發展(zhan)要求的(de)(de)國(guo)有(you)(you)資產管理(li)(li)體制、現代(dai)企(qi)業制度、市場(chang)化經營機制,國(guo)有(you)(you)資本(ben)布(bu)局結構更(geng)趨合理(li)(li),造就一(yi)大批德(de)才兼(jian)備(bei)、善于經營、充滿活(huo)(huo)力(li)的(de)(de)優(you)秀企(qi)業家,培育一(yi)大批具有(you)(you)創新能(neng)力(li)和國(guo)際競(jing)爭力(li)的(de)(de)國(guo)有(you)(you)骨(gu)干企(qi)業,國(guo)有(you)(you)經濟活(huo)(huo)力(li)、控制力(li)、影響(xiang)力(li)、抗風險能(neng)力(li)明顯增強。
——國(guo)有企業公司制改革基本(ben)完成,發展混合所有制經(jing)濟取(qu)得積極進展,法人治理(li)結(jie)構更加健全,優勝(sheng)劣汰、經(jing)營自(zi)主靈活、內(nei)部管(guan)理(li)人員能上能下、員工(gong)能進能出、收入能增能減的(de)市場化機制更加完善。
——國(guo)有(you)資(zi)(zi)產監(jian)管制度更(geng)加成(cheng)熟,相(xiang)關法(fa)律法(fa)規更(geng)加健(jian)全,監(jian)管手段和方(fang)式不斷優化,監(jian)管的科(ke)學性、針(zhen)對性、有(you)效性進一步提高,經營性國(guo)有(you)資(zi)(zi)產實現(xian)集中(zhong)統一監(jian)管,國(guo)有(you)資(zi)(zi)產保值增值責(ze)任全面落實。
——國(guo)有(you)(you)資本(ben)配置效率顯(xian)著(zhu)提高,國(guo)有(you)(you)經濟(ji)布局結(jie)構不(bu)斷優化、主導作用有(you)(you)效發揮(hui),國(guo)有(you)(you)企(qi)業在提升自主創新能力、保護資源環(huan)境、加快轉型(xing)升級、履行社會(hui)責任中的引領和表(biao)率作用充(chong)分發揮(hui)。
——企業(ye)黨的(de)建設(she)全面(mian)加(jia)強,反腐倡廉制度體(ti)系、工作體(ti)系更(geng)加(jia)完(wan)善(shan),國有企業(ye)黨組織在公司治(zhi)理(li)中的(de)法定地位更(geng)加(jia)鞏固,政治(zhi)核心作用充分發揮。
二、分類推進國有企業改革
(四)劃(hua)分(fen)國(guo)(guo)有企(qi)(qi)(qi)業不同類(lei)別。根據國(guo)(guo)有資本(ben)的(de)戰(zhan)略定(ding)位和(he)發(fa)展目(mu)標(biao),結(jie)合(he)不同國(guo)(guo)有企(qi)(qi)(qi)業在經濟社會發(fa)展中的(de)作用(yong)、現狀和(he)發(fa)展需要,將國(guo)(guo)有企(qi)(qi)(qi)業分(fen)為商(shang)業類(lei)和(he)公(gong)益類(lei)。通過(guo)界(jie)定(ding)功(gong)能、劃(hua)分(fen)類(lei)別,實(shi)行分(fen)類(lei)改革(ge)、分(fen)類(lei)發(fa)展、分(fen)類(lei)監管、分(fen)類(lei)定(ding)責、分(fen)類(lei)考核,提高改革(ge)的(de)針對性(xing)、監管的(de)有效性(xing)、考核評價的(de)科(ke)學性(xing),推(tui)動國(guo)(guo)有企(qi)(qi)(qi)業同市場經濟深(shen)入融合(he),促進國(guo)(guo)有企(qi)(qi)(qi)業經濟效益和(he)社會效益有機統(tong)一。按照(zhao)誰(shui)出資誰(shui)分(fen)類(lei)的(de)原則,由履行出資人職(zhi)責的(de)機構負(fu)責制定(ding)所出資企(qi)(qi)(qi)業的(de)功(gong)能界(jie)定(ding)和(he)分(fen)類(lei)方案(an),報本(ben)級政(zheng)府批(pi)準。各地(di)區可(ke)結(jie)合(he)實(shi)際(ji),劃(hua)分(fen)并(bing)動態(tai)調整(zheng)本(ben)地(di)區國(guo)(guo)有企(qi)(qi)(qi)業功(gong)能類(lei)別。
(五)推進(jin)商業(ye)(ye)類國有企(qi)業(ye)(ye)改革。商業(ye)(ye)類國有企(qi)業(ye)(ye)按(an)照市場(chang)化要(yao)求實行商業(ye)(ye)化運作,以增強國有經(jing)(jing)濟活(huo)力、放大國有資本(ben)功能、實現國有資產保值(zhi)增值(zhi)為主要(yao)目標,依法獨立自主開展(zhan)生產經(jing)(jing)營活(huo)動,實現優勝劣汰、有序(xu)進(jin)退。
主(zhu)業(ye)處于充分競爭行業(ye)和(he)領域的商業(ye)類(lei)國(guo)有(you)(you)企業(ye),原則上都要(yao)實(shi)行公司制股份制改革(ge),積極引(yin)入其他國(guo)有(you)(you)資本或各類(lei)非國(guo)有(you)(you)資本實(shi)現股權多元化,國(guo)有(you)(you)資本可以(yi)絕(jue)對控(kong)股、相對控(kong)股,也可以(yi)參股,并著力(li)推進整體(ti)上市。對這些國(guo)有(you)(you)企業(ye),重點考核經營業(ye)績指標、國(guo)有(you)(you)資產(chan)保值(zhi)增值(zhi)和(he)市場競爭能力(li)。
主(zhu)業(ye)(ye)處于關系國(guo)(guo)(guo)家安(an)全(quan)、國(guo)(guo)(guo)民經(jing)(jing)濟命(ming)脈的(de)(de)(de)重要行(xing)(xing)(xing)(xing)業(ye)(ye)和(he)關鍵(jian)領域、主(zhu)要承(cheng)擔重大(da)專項(xiang)任(ren)務(wu)的(de)(de)(de)商業(ye)(ye)類國(guo)(guo)(guo)有(you)企業(ye)(ye),要保持國(guo)(guo)(guo)有(you)資(zi)(zi)本(ben)控股(gu)地位,支(zhi)持非國(guo)(guo)(guo)有(you)資(zi)(zi)本(ben)參股(gu)。對(dui)自(zi)然壟斷行(xing)(xing)(xing)(xing)業(ye)(ye),實(shi)行(xing)(xing)(xing)(xing)以政(zheng)企分開、政(zheng)資(zi)(zi)分開、特(te)許(xu)經(jing)(jing)營、政(zheng)府監管為(wei)主(zhu)要內容的(de)(de)(de)改革,根據不同行(xing)(xing)(xing)(xing)業(ye)(ye)特(te)點(dian)實(shi)行(xing)(xing)(xing)(xing)網運(yun)分開、放(fang)開競爭(zheng)性(xing)業(ye)(ye)務(wu),促進(jin)公(gong)共資(zi)(zi)源配(pei)置市(shi)場化;對(dui)需要實(shi)行(xing)(xing)(xing)(xing)國(guo)(guo)(guo)有(you)全(quan)資(zi)(zi)的(de)(de)(de)企業(ye)(ye),也要積極引(yin)入其(qi)他國(guo)(guo)(guo)有(you)資(zi)(zi)本(ben)實(shi)行(xing)(xing)(xing)(xing)股(gu)權多(duo)元化;對(dui)特(te)殊(shu)業(ye)(ye)務(wu)和(he)競爭(zheng)性(xing)業(ye)(ye)務(wu)實(shi)行(xing)(xing)(xing)(xing)業(ye)(ye)務(wu)板塊(kuai)有(you)效分離,獨立(li)(li)運(yun)作、獨立(li)(li)核(he)算。對(dui)這些國(guo)(guo)(guo)有(you)企業(ye)(ye),在考核(he)經(jing)(jing)營業(ye)(ye)績指標和(he)國(guo)(guo)(guo)有(you)資(zi)(zi)產(chan)保值增值情況(kuang)的(de)(de)(de)同時,加強對(dui)服務(wu)國(guo)(guo)(guo)家戰略、保障(zhang)國(guo)(guo)(guo)家安(an)全(quan)和(he)國(guo)(guo)(guo)民經(jing)(jing)濟運(yun)行(xing)(xing)(xing)(xing)、發展前(qian)瞻性(xing)戰略性(xing)產(chan)業(ye)(ye)以及完(wan)成特(te)殊(shu)任(ren)務(wu)的(de)(de)(de)考核(he)。
(六)推進公益(yi)類(lei)國(guo)(guo)有(you)(you)(you)企(qi)業(ye)(ye)(ye)改革。公益(yi)類(lei)國(guo)(guo)有(you)(you)(you)企(qi)業(ye)(ye)(ye)以(yi)保(bao)障民生、服(fu)務社會、提供公共產品和服(fu)務為主(zhu)要目標(biao)(biao),引入市場機制,提高公共服(fu)務效率(lv)和能力(li)。這類(lei)企(qi)業(ye)(ye)(ye)可以(yi)采取國(guo)(guo)有(you)(you)(you)獨資(zi)(zi)形式(shi)(shi),具(ju)備條(tiao)件的也可以(yi)推行投資(zi)(zi)主(zhu)體多元化,還可以(yi)通過購買服(fu)務、特(te)許經(jing)營(ying)(ying)、委(wei)托代理等方式(shi)(shi),鼓勵非(fei)國(guo)(guo)有(you)(you)(you)企(qi)業(ye)(ye)(ye)參與經(jing)營(ying)(ying)。對公益(yi)類(lei)國(guo)(guo)有(you)(you)(you)企(qi)業(ye)(ye)(ye),重點(dian)考核成本(ben)控制、產品服(fu)務質量、營(ying)(ying)運(yun)效率(lv)和保(bao)障能力(li),根據企(qi)業(ye)(ye)(ye)不(bu)同特(te)點(dian)有(you)(you)(you)區別地考核經(jing)營(ying)(ying)業(ye)(ye)(ye)績指(zhi)標(biao)(biao)和國(guo)(guo)有(you)(you)(you)資(zi)(zi)產保(bao)值增(zeng)值情(qing)況(kuang),考核中要引入社會評價。
三、完善現代企業制度
(七)推(tui)進(jin)公司(si)制股(gu)份(fen)制改革。加大集團(tuan)層面公司(si)制改革力度,積極(ji)引(yin)入各類投(tou)資(zi)者實現股(gu)權(quan)多(duo)(duo)元(yuan)化,大力推(tui)動國有(you)企業改制上市,創造條(tiao)件實現集團(tuan)公司(si)整體上市。根據(ju)不同(tong)企業的(de)功能定位,逐步調整國有(you)股(gu)權(quan)比例,形成股(gu)權(quan)結構(gou)多(duo)(duo)元(yuan)、股(gu)東行為規(gui)范(fan)、內部約束有(you)效、運行高效靈活的(de)經營機制。允許將(jiang)部分國有(you)資(zi)本轉化為優先股(gu),在少數(shu)特定領域探索建立(li)國家特殊管理(li)股(gu)制度。

(九)建(jian)立國有(you)(you)(you)企業(ye)領(ling)導(dao)人員分(fen)類分(fen)層管(guan)(guan)(guan)理(li)(li)(li)制度(du)。堅持黨(dang)管(guan)(guan)(guan)干部原(yuan)則與董(dong)事會依法(fa)產生、董(dong)事會依法(fa)選擇(ze)經(jing)營(ying)管(guan)(guan)(guan)理(li)(li)(li)者(zhe)、經(jing)營(ying)管(guan)(guan)(guan)理(li)(li)(li)者(zhe)依法(fa)行使用人權相結(jie)合(he),不(bu)(bu)斷創(chuang)新有(you)(you)(you)效實(shi)(shi)現(xian)形式(shi)。上級黨(dang)組織和(he)國有(you)(you)(you)資產監管(guan)(guan)(guan)機(ji)構按照管(guan)(guan)(guan)理(li)(li)(li)權限加(jia)強對國有(you)(you)(you)企業(ye)領(ling)導(dao)人員的(de)管(guan)(guan)(guan)理(li)(li)(li),廣開推(tui)薦渠道,依規考(kao)察提名,嚴格履行選用程序。根(gen)據(ju)不(bu)(bu)同企業(ye)類別和(he)層級,實(shi)(shi)行選任制、委任制、聘(pin)任制等不(bu)(bu)同選人用人方式(shi)。推(tui)行職(zhi)(zhi)業(ye)經(jing)理(li)(li)(li)人制度(du),實(shi)(shi)行內部培養(yang)和(he)外(wai)部引進相結(jie)合(he),暢通現(xian)有(you)(you)(you)經(jing)營(ying)管(guan)(guan)(guan)理(li)(li)(li)者(zhe)與職(zhi)(zhi)業(ye)經(jing)理(li)(li)(li)人身份(fen)轉換通道,董(dong)事會按市場化方式(shi)選聘(pin)和(he)管(guan)(guan)(guan)理(li)(li)(li)職(zhi)(zhi)業(ye)經(jing)理(li)(li)(li)人,合(he)理(li)(li)(li)增加(jia)市場化選聘(pin)比例,加(jia)快建(jian)立退(tui)出機(ji)制。推(tui)行企業(ye)經(jing)理(li)(li)(li)層成員任期制和(he)契(qi)約化管(guan)(guan)(guan)理(li)(li)(li),明確責任、權利、義務,嚴格任期管(guan)(guan)(guan)理(li)(li)(li)和(he)目標考(kao)核。
(十)實(shi)行(xing)與(yu)社(she)會主(zhu)義(yi)市場經(jing)濟相適(shi)應的(de)企業(ye)(ye)薪(xin)(xin)酬分(fen)(fen)(fen)配制(zhi)(zhi)度。企業(ye)(ye)內(nei)部(bu)的(de)薪(xin)(xin)酬分(fen)(fen)(fen)配權(quan)是企業(ye)(ye)的(de)法(fa)定(ding)權(quan)利,由企業(ye)(ye)依法(fa)依規自主(zhu)決定(ding),完善既有激勵(li)(li)又(you)有約(yue)束(shu)、既講效率又(you)講公(gong)平(ping)、既符合企業(ye)(ye)一般規律又(you)體現國(guo)有企業(ye)(ye)特點的(de)分(fen)(fen)(fen)配機(ji)(ji)(ji)制(zhi)(zhi)。建立健全與(yu)勞動(dong)力(li)市場基本(ben)適(shi)應、與(yu)企業(ye)(ye)經(jing)濟效益和(he)勞動(dong)生產率掛(gua)鉤的(de)工資決定(ding)和(he)正常(chang)增長(chang)機(ji)(ji)(ji)制(zhi)(zhi)。推(tui)進全員(yuan)績效考核,以業(ye)(ye)績為導向,科學評價不同崗位員(yuan)工的(de)貢獻,合理(li)拉開收(shou)(shou)入分(fen)(fen)(fen)配差距,切實(shi)做到收(shou)(shou)入能增能減和(he)獎(jiang)懲分(fen)(fen)(fen)明,充分(fen)(fen)(fen)調動(dong)廣(guang)大職工積極性。對國(guo)有企業(ye)(ye)領(ling)導人(ren)員(yuan)實(shi)行(xing)與(yu)選(xuan)任方式(shi)相匹配、與(yu)企業(ye)(ye)功能性質相適(shi)應、與(yu)經(jing)營業(ye)(ye)績相掛(gua)鉤的(de)差異化薪(xin)(xin)酬分(fen)(fen)(fen)配辦法(fa)。對黨中(zhong)(zhong)央、國(guo)務院(yuan)和(he)地(di)方黨委、政府及(ji)其部(bu)門(men)任命的(de)國(guo)有企業(ye)(ye)領(ling)導人(ren)員(yuan),合理(li)確定(ding)基本(ben)年薪(xin)(xin)、績效年薪(xin)(xin)和(he)任期激勵(li)(li)收(shou)(shou)入。對市場化選(xuan)聘(pin)的(de)職業(ye)(ye)經(jing)理(li)人(ren)實(shi)行(xing)市場化薪(xin)(xin)酬分(fen)(fen)(fen)配機(ji)(ji)(ji)制(zhi)(zhi),可以采取多種方式(shi)探索完善中(zhong)(zhong)長(chang)期激勵(li)(li)機(ji)(ji)(ji)制(zhi)(zhi)。健全與(yu)激勵(li)(li)機(ji)(ji)(ji)制(zhi)(zhi)相對稱的(de)經(jing)濟責(ze)任審(shen)計、信(xin)息(xi)披露、延期支(zhi)付、追索扣回等約(yue)束(shu)機(ji)(ji)(ji)制(zhi)(zhi)。嚴格規范(fan)履職待遇(yu)、業(ye)(ye)務支(zhi)出(chu),嚴禁將(jiang)公(gong)款用于(yu)個(ge)人(ren)支(zhi)出(chu)。

(十七)引(yin)入(ru)非(fei)(fei)(fei)國(guo)(guo)有資(zi)本(ben)(ben)參與國(guo)(guo)有企(qi)業改(gai)革。鼓勵非(fei)(fei)(fei)國(guo)(guo)有資(zi)本(ben)(ben)投資(zi)主體(ti)通過(guo)出資(zi)入(ru)股(gu)(gu)、收購股(gu)(gu)權(quan)、認購可轉債、股(gu)(gu)權(quan)置換(huan)等(deng)多種方式,參與國(guo)(guo)有企(qi)業改(gai)制重(zhong)組或國(guo)(guo)有控股(gu)(gu)上市公(gong)司增(zeng)資(zi)擴股(gu)(gu)以及(ji)企(qi)業經(jing)營管理。實行同股(gu)(gu)同權(quan),切實維護各(ge)類(lei)股(gu)(gu)東合法權(quan)益。在石油、天然氣、電力、鐵路、電信、資(zi)源開發、公(gong)用事業等(deng)領(ling)域,向非(fei)(fei)(fei)國(guo)(guo)有資(zi)本(ben)(ben)推(tui)(tui)出符合產(chan)業政策(ce)、有利(li)于轉型升級(ji)的項目。依照外(wai)商投資(zi)產(chan)業指導目錄和相關安(an)全(quan)審(shen)(shen)查規(gui)定,完善外(wai)資(zi)安(an)全(quan)審(shen)(shen)查工作(zuo)機(ji)制。開展多類(lei)型政府和社會(hui)資(zi)本(ben)(ben)合作(zuo)試點(dian),逐步推(tui)(tui)廣政府和社會(hui)資(zi)本(ben)(ben)合作(zuo)模式。
(十八)鼓(gu)勵(li)國有(you)(you)資(zi)(zi)(zi)本以(yi)多種方(fang)式入股(gu)(gu)非(fei)國有(you)(you)企業。充分發揮國有(you)(you)資(zi)(zi)(zi)本投(tou)(tou)資(zi)(zi)(zi)、運(yun)營公司的資(zi)(zi)(zi)本運(yun)作平(ping)臺作用,通(tong)過市(shi)場化方(fang)式,以(yi)公共(gong)服務(wu)、高新技術、生態(tai)環保、戰略性產業為(wei)重點領域,對發展潛力(li)大、成長性強的非(fei)國有(you)(you)企業進行股(gu)(gu)權投(tou)(tou)資(zi)(zi)(zi)。鼓(gu)勵(li)國有(you)(you)企業通(tong)過投(tou)(tou)資(zi)(zi)(zi)入股(gu)(gu)、聯合投(tou)(tou)資(zi)(zi)(zi)、重組等多種方(fang)式,與非(fei)國有(you)(you)企業進行股(gu)(gu)權融合、戰略合作、資(zi)(zi)(zi)源整合。
(十九)探索實行(xing)混合所有(you)制(zhi)企業(ye)(ye)員(yuan)(yuan)工(gong)(gong)持(chi)股(gu)(gu)。堅持(chi)試(shi)點先行(xing),在(zai)取得經驗(yan)基礎上穩妥有(you)序推進,通過(guo)實行(xing)員(yuan)(yuan)工(gong)(gong)持(chi)股(gu)(gu)建立(li)激勵約(yue)束長效機制(zhi)。優先支持(chi)人(ren)才資本和(he)技(ji)(ji)術要素貢獻占比較高的轉制(zhi)科研院所、高新技(ji)(ji)術企業(ye)(ye)、科技(ji)(ji)服務型企業(ye)(ye)開展(zhan)員(yuan)(yuan)工(gong)(gong)持(chi)股(gu)(gu)試(shi)點,支持(chi)對企業(ye)(ye)經營業(ye)(ye)績(ji)和(he)持(chi)續發(fa)展(zhan)有(you)直接或較大(da)影響(xiang)的科研人(ren)員(yuan)(yuan)、經營管理(li)人(ren)員(yuan)(yuan)和(he)業(ye)(ye)務骨干(gan)等持(chi)股(gu)(gu)。員(yuan)(yuan)工(gong)(gong)持(chi)股(gu)(gu)主要采取增資擴股(gu)(gu)、出(chu)資新設等方式。完善相(xiang)關政策,健全(quan)審核程序,規范操作流程,嚴格資產評估,建立(li)健全(quan)股(gu)(gu)權流轉和(he)退(tui)出(chu)機制(zhi),確(que)保員(yuan)(yuan)工(gong)(gong)持(chi)股(gu)(gu)公開透(tou)明,嚴禁(jin)暗(an)箱操作,防止利益輸送。

(二十二)實施信息(xi)公(gong)開加強社會(hui)監(jian)督。完(wan)善國有(you)(you)資(zi)產和國有(you)(you)企(qi)業(ye)信息(xi)公(gong)開制(zhi)度,設立統一(yi)的(de)信息(xi)公(gong)開網(wang)絡平臺,依法依規、及(ji)(ji)時(shi)準(zhun)確披露國有(you)(you)資(zi)本整體運(yun)營(ying)(ying)和監(jian)管、國有(you)(you)企(qi)業(ye)公(gong)司治理以及(ji)(ji)管理架構(gou)、經營(ying)(ying)情況、財務狀況、關聯(lian)交易(yi)、企(qi)業(ye)負責人薪酬等信息(xi),建設陽光國企(qi)。認真處理人民群眾關于(yu)國有(you)(you)資(zi)產流失(shi)等問(wen)題的(de)來信、來訪(fang)和檢舉,及(ji)(ji)時(shi)回應社會(hui)關切。充(chong)分發揮媒(mei)體輿(yu)論監(jian)督作用,有(you)(you)效(xiao)保障(zhang)社會(hui)公(gong)眾對(dui)企(qi)業(ye)國有(you)(you)資(zi)產運(yun)營(ying)(ying)的(de)知(zhi)情權和監(jian)督權。
(二十三)嚴格責(ze)任追(zhui)究(jiu)。建立(li)健(jian)全(quan)國(guo)有企業重(zhong)大(da)(da)決策失(shi)誤和(he)失(shi)職(zhi)(zhi)(zhi)、瀆職(zhi)(zhi)(zhi)責(ze)任追(zhui)究(jiu)倒查(cha)(cha)機(ji)制(zhi),建立(li)和(he)完善重(zhong)大(da)(da)決策評估(gu)、決策事(shi)項履職(zhi)(zhi)(zhi)記錄、決策過錯認定標準等配套(tao)制(zhi)度,嚴厲(li)查(cha)(cha)處(chu)侵吞、貪污、輸送、揮霍國(guo)有資產和(he)逃廢金融債務(wu)的行為(wei)。建立(li)健(jian)全(quan)企業國(guo)有資產的監督問責(ze)機(ji)制(zhi),對企業重(zhong)大(da)(da)違法(fa)違紀問題敷衍不追(zhui)、隱匿不報、查(cha)(cha)處(chu)不力的,嚴格追(zhui)究(jiu)有關人員(yuan)失(shi)職(zhi)(zhi)(zhi)瀆職(zhi)(zhi)(zhi)責(ze)任,視(shi)不同情形給予(yu)紀律處(chu)分(fen)或行政處(chu)分(fen),構成(cheng)犯罪的,由(you)司(si)法(fa)機(ji)關依法(fa)追(zhui)究(jiu)刑事(shi)責(ze)任。

(二(er)十五)進一步加(jia)強國有企(qi)業(ye)(ye)領(ling)(ling)(ling)(ling)導(dao)班子(zi)建(jian)設和人(ren)(ren)(ren)(ren)才隊伍(wu)建(jian)設。根據(ju)企(qi)業(ye)(ye)改革(ge)發展(zhan)需(xu)要(yao),明確選(xuan)人(ren)(ren)(ren)(ren)用(yong)人(ren)(ren)(ren)(ren)標準和程序,創新(xin)選(xuan)人(ren)(ren)(ren)(ren)用(yong)人(ren)(ren)(ren)(ren)方式。強化黨組織(zhi)在企(qi)業(ye)(ye)領(ling)(ling)(ling)(ling)導(dao)人(ren)(ren)(ren)(ren)員(yuan)選(xuan)拔任用(yong)、培養教(jiao)育、管(guan)(guan)理(li)監(jian)(jian)督中的(de)責任,支(zhi)持董事會(hui)依法選(xuan)擇(ze)經營管(guan)(guan)理(li)者(zhe)、經營管(guan)(guan)理(li)者(zhe)依法行使(shi)用(yong)人(ren)(ren)(ren)(ren)權(quan),堅決防止和整治選(xuan)人(ren)(ren)(ren)(ren)用(yong)人(ren)(ren)(ren)(ren)中的(de)不(bu)正之風。加(jia)強對國有企(qi)業(ye)(ye)領(ling)(ling)(ling)(ling)導(dao)人(ren)(ren)(ren)(ren)員(yuan)尤(you)其是主要(yao)領(ling)(ling)(ling)(ling)導(dao)人(ren)(ren)(ren)(ren)員(yuan)的(de)日常(chang)監(jian)(jian)督管(guan)(guan)理(li)和綜合(he)考核(he)評價,及時調整不(bu)勝任、不(bu)稱職的(de)領(ling)(ling)(ling)(ling)導(dao)人(ren)(ren)(ren)(ren)員(yuan),切實(shi)解決企(qi)業(ye)(ye)領(ling)(ling)(ling)(ling)導(dao)人(ren)(ren)(ren)(ren)員(yuan)能上不(bu)能下(xia)的(de)問題。以強化忠誠意識、拓展(zhan)世(shi)界眼光(guang)、提(ti)高戰略思(si)維(wei)、增強創新(xin)精(jing)神、鍛造(zao)優(you)秀品行為重(zhong)點,加(jia)強企(qi)業(ye)(ye)家隊伍(wu)建(jian)設,充分發揮企(qi)業(ye)(ye)家作用(yong)。大力實(shi)施(shi)人(ren)(ren)(ren)(ren)才強企(qi)戰略,加(jia)快建(jian)立健(jian)全國有企(qi)業(ye)(ye)集聚(ju)人(ren)(ren)(ren)(ren)才的(de)體制機制。

八、為國有企業改革創造良好環境條件
(二十七)完(wan)(wan)善(shan)相(xiang)(xiang)關(guan)(guan)法(fa)律法(fa)規和配套政(zheng)策(ce)。加強國(guo)有(you)企(qi)業(ye)相(xiang)(xiang)關(guan)(guan)法(fa)律法(fa)規立改(gai)廢釋工(gong)作(zuo),確保重大改(gai)革(ge)于(yu)法(fa)有(you)據。切實轉(zhuan)變(bian)政(zheng)府職能,減少審(shen)批、優化制度、簡化手續、提高效率。完(wan)(wan)善(shan)公共服(fu)務(wu)體系,推(tui)進政(zheng)府購買服(fu)務(wu),加快建立穩定(ding)可靠、補償合理、公開(kai)透明的企(qi)業(ye)公共服(fu)務(wu)支出補償機(ji)制。完(wan)(wan)善(shan)和落實國(guo)有(you)企(qi)業(ye)重組(zu)整(zheng)合涉及的資產評估增值、土地變(bian)更登記(ji)和國(guo)有(you)資產無償劃轉(zhuan)等(deng)方(fang)面稅收優惠政(zheng)策(ce)。完(wan)(wan)善(shan)國(guo)有(you)企(qi)業(ye)退出的相(xiang)(xiang)關(guan)(guan)政(zheng)策(ce),依法(fa)妥善(shan)處(chu)理勞動(dong)關(guan)(guan)系調整(zheng)、社會保險關(guan)(guan)系接(jie)續等(deng)問題。
(二十八)加(jia)快(kuai)剝(bo)離(li)企(qi)(qi)業(ye)(ye)(ye)辦(ban)社會職能和(he)(he)解(jie)決歷史(shi)遺(yi)留問(wen)題。完善(shan)相關政(zheng)策,建(jian)立政(zheng)府(fu)和(he)(he)國(guo)有(you)企(qi)(qi)業(ye)(ye)(ye)合理分擔成本(ben)的機(ji)制(zhi),多渠道籌措資(zi)金(jin),采(cai)取分離(li)移交、重組改(gai)(gai)制(zhi)、關閉撤銷等方式,剝(bo)離(li)國(guo)有(you)企(qi)(qi)業(ye)(ye)(ye)職工家屬區“三供(gong)一業(ye)(ye)(ye)”和(he)(he)所(suo)辦(ban)醫院、學校、社區等公(gong)共服務(wu)機(ji)構,繼續(xu)推進(jin)廠(chang)辦(ban)大集(ji)體(ti)改(gai)(gai)革(ge),對國(guo)有(you)企(qi)(qi)業(ye)(ye)(ye)退休人員實施(shi)社會化管(guan)理,妥善(shan)解(jie)決國(guo)有(you)企(qi)(qi)業(ye)(ye)(ye)歷史(shi)遺(yi)留問(wen)題,為國(guo)有(you)企(qi)(qi)業(ye)(ye)(ye)公(gong)平參(can)與市(shi)場競爭(zheng)創造條件。
(二十(shi)九)形成(cheng)鼓(gu)勵(li)(li)改革(ge)創新(xin)的氛(fen)圍。堅持解(jie)放(fang)思想、實(shi)事求是(shi),鼓(gu)勵(li)(li)探索、實(shi)踐(jian)、創新(xin)。全面準確評價國有(you)企(qi)業(ye)(ye),大力宣(xuan)(xuan)傳(chuan)(chuan)中央關于全面深化國有(you)企(qi)業(ye)(ye)改革(ge)的方針政策(ce),宣(xuan)(xuan)傳(chuan)(chuan)改革(ge)的典型案例和(he)經驗,營造有(you)利(li)于國有(you)企(qi)業(ye)(ye)改革(ge)的良好輿論環境。
(三十)加(jia)(jia)強對(dui)國(guo)(guo)有企業(ye)改革(ge)的(de)(de)組織領導(dao)。各(ge)級黨委和(he)政(zheng)府要統(tong)一思想,以高度的(de)(de)政(zheng)治責(ze)任感(gan)和(he)歷史使命感(gan),切實(shi)(shi)履行(xing)對(dui)深(shen)(shen)化國(guo)(guo)有企業(ye)改革(ge)的(de)(de)領導(dao)責(ze)任。要根(gen)據本指導(dao)意(yi)見,結合實(shi)(shi)際制定(ding)實(shi)(shi)施意(yi)見,加(jia)(jia)強統(tong)籌協調、明確責(ze)任分工、細化目標任務、強化督(du)促落實(shi)(shi),確保深(shen)(shen)化國(guo)(guo)有企業(ye)改革(ge)順(shun)利推進,取得實(shi)(shi)效(xiao)。
金融、文化等國(guo)有(you)企業的(de)改(gai)革,中央另(ling)有(you)規定(ding)的(de)依(yi)其規定(ding)執行。
