各(ge)省(sheng)、自治區、直轄市人(ren)民政府,國務院各(ge)部委、各(ge)直屬機構(gou):
完(wan)(wan)善(shan)(shan)國(guo)有(you)企業法(fa)人治(zhi)理(li)(li)結(jie)構是全面推進依法(fa)治(zhi)企、推進國(guo)家治(zhi)理(li)(li)體系和治(zhi)理(li)(li)能(neng)(neng)力現(xian)代(dai)(dai)化的(de)(de)內在要求,是新一(yi)輪國(guo)有(you)企業改革(ge)(ge)的(de)(de)重要任務。當前(qian),多數國(guo)有(you)企業已初步建(jian)立(li)現(xian)代(dai)(dai)企業制(zhi)(zhi)度,但(dan)從(cong)實踐(jian)情況看,現(xian)代(dai)(dai)企業制(zhi)(zhi)度仍不完(wan)(wan)善(shan)(shan),部分(fen)企業尚(shang)未(wei)形成有(you)效(xiao)的(de)(de)法(fa)人治(zhi)理(li)(li)結(jie)構,權責不清、約束不夠(gou)、缺乏(fa)制(zhi)(zhi)衡等問題較為(wei)突(tu)出,一(yi)些董(dong)事會形同虛設(she),未(wei)能(neng)(neng)發揮應有(you)作用(yong)。根據(ju)《中(zhong)共中(zhong)央(yang) 國(guo)務院(yuan)關于深化國(guo)有(you)企業改革(ge)(ge)的(de)(de)指導(dao)意(yi)見(jian)》等文件(jian)精神,為(wei)改進國(guo)有(you)企業法(fa)人治(zhi)理(li)(li)結(jie)構,完(wan)(wan)善(shan)(shan)國(guo)有(you)企業現(xian)代(dai)(dai)企業制(zhi)(zhi)度,經國(guo)務院(yuan)同意(yi),現(xian)提出以下意(yi)見(jian):
一、總體(ti)要求
(一)指導思想。
全(quan)(quan)面貫徹黨的十八(ba)大和十八(ba)屆三中、四中、五中、六中全(quan)(quan)會(hui)精(jing)(jing)神,深入貫徹習近平總(zong)書記系列重要講話精(jing)(jing)神和治國理政新理念(nian)新思(si)想新戰(zhan)略,認真落實(shi)黨中央(yang)、國務院決策部署,統(tong)籌推進“五位(wei)一體”總(zong)體布(bu)局(ju)和協(xie)調(diao)推進“四個(ge)全(quan)(quan)面”戰(zhan)略布(bu)局(ju),牢固樹立和貫徹落實(shi)創新、協(xie)調(diao)、綠色、開放、共享的發(fa)展理念(nian),從國有(you)企(qi)業實(shi)際情況出發(fa),以建立健(jian)全(quan)(quan)產權清晰、權責(ze)明確(que)、政企(qi)分開、管理科(ke)學(xue)的現(xian)代(dai)企(qi)業制(zhi)度為(wei)方向,積極(ji)適應國有(you)企(qi)業改(gai)革的新形勢新要求,堅持黨的領(ling)導、加強黨的建設,完善體制(zhi)機(ji)制(zhi),依法(fa)(fa)規范權責(ze),根據功能分類,把握(wo)重點,進一步(bu)健(jian)全(quan)(quan)各司其職(zhi)、各負其責(ze)、協(xie)調(diao)運轉、有(you)效(xiao)制(zhi)衡的國有(you)企(qi)業法(fa)(fa)人(ren)治理結構(gou)。
(二(er))基(ji)本原則。
1.堅持深化改革。尊重企業(ye)市(shi)場(chang)主體地位(wei),遵循市(shi)場(chang)經濟(ji)規律和(he)企業(ye)發展(zhan)規律,以規范(fan)決策機制和(he)完善制衡機制為重點,堅持激勵機制與約束機制相結(jie)合,體現效率原則與公平原則,充分(fen)調(diao)動企業(ye)家(jia)積極性,提升企業(ye)的市(shi)場(chang)化、現代化經營水(shui)平。
2.堅(jian)持黨的(de)領導。落實(shi)全面從嚴治黨(dang)戰略(lve)部署,把加強黨(dang)的(de)領導和完善公司治理統一起來(lai),明確(que)國(guo)有企業黨(dang)組(zu)織(zhi)在法(fa)人治理結構中的(de)法(fa)定地(di)位,發揮國(guo)有企業黨(dang)組(zu)織(zhi)的(de)領導核心和政治核心作用,保證(zheng)黨(dang)組(zu)織(zhi)把方(fang)向(xiang)、管(guan)(guan)大(da)局、保落實(shi)。堅(jian)持黨(dang)管(guan)(guan)干部原則與董事會依(yi)法(fa)選擇(ze)經(jing)營管(guan)(guan)理者(zhe)、經(jing)營管(guan)(guan)理者(zhe)依(yi)法(fa)行使用人權相(xiang)結合,積極探索有效實(shi)現形式,完善反腐倡(chang)廉制度(du)體系。
3.堅持依法(fa)治企。依據(ju)《中(zhong)華人民共和(he)國公司法(fa)》、《中(zhong)華人民共和(he)國企(qi)業(ye)國有(you)資產(chan)法(fa)》等法(fa)律法(fa)規,以公司章程為(wei)行(xing)(xing)為(wei)準則,規范權責定位和(he)行(xing)(xing)權方式;法(fa)無(wu)授(shou)權,任(ren)何政府部門(men)和(he)機構不得干預企(qi)業(ye)正常生產(chan)經營活動(dong),實現深化改革(ge)與依法(fa)治(zhi)企(qi)的(de)有(you)機統一。
4.堅持權責對等。堅持權(quan)利(li)義務責任(ren)(ren)相統一,規范權(quan)力運行(xing)、強化權(quan)利(li)責任(ren)(ren)對等,改革國有資本(ben)授權(quan)經營體制,深化權(quan)力運行(xing)和監督機制改革,構建符合國情的(de)監管體系,完(wan)善履職評價和責任(ren)(ren)追究機制,對失職、瀆職行(xing)為嚴格追責,建立決策、執行(xing)和監督環(huan)節的(de)終身責任(ren)(ren)追究制度。
(三(san))主(zhu)要目標。
2017年(nian)年(nian)底(di)前,國(guo)(guo)有企(qi)(qi)業公司(si)制改(gai)革基本完(wan)成(cheng)(cheng)。到(dao)2020年(nian),黨組織在國(guo)(guo)有企(qi)(qi)業法(fa)人治理結構(gou)中的法(fa)定(ding)地位更加(jia)牢固,充(chong)分發(fa)揮公司(si)章程在企(qi)(qi)業治理中的基礎作(zuo)用(yong),國(guo)(guo)有獨資(zi)、全資(zi)公司(si)全面(mian)(mian)建立外部董(dong)事(shi)(shi)(shi)占多數的董(dong)事(shi)(shi)(shi)會,國(guo)(guo)有控股企(qi)(qi)業實行外部董(dong)事(shi)(shi)(shi)派(pai)出制度,完(wan)成(cheng)(cheng)外派(pai)監(jian)(jian)事(shi)(shi)(shi)會改(gai)革;充(chong)分發(fa)揮企(qi)(qi)業家作(zuo)用(yong),造就一大批政(zheng)治堅定(ding)、善于經營、充(chong)滿活力的董(dong)事(shi)(shi)(shi)長和(he)職(zhi)業經理人,培育一支德才兼(jian)備(bei)、業務(wu)精通、勇于擔當(dang)的董(dong)事(shi)(shi)(shi)、監(jian)(jian)事(shi)(shi)(shi)隊伍;黨風廉(lian)政(zheng)建設主體責(ze)任(ren)(ren)和(he)監(jian)(jian)督責(ze)任(ren)(ren)全面(mian)(mian)落實,企(qi)(qi)業民(min)主監(jian)(jian)督和(he)管理明顯改(gai)善;遵循市(shi)(shi)場經濟(ji)規(gui)律和(he)企(qi)(qi)業發(fa)展規(gui)律,使(shi)國(guo)(guo)有企(qi)(qi)業成(cheng)(cheng)為依(yi)法(fa)自主經營、自負盈(ying)虧、自擔風險、自我約束、自我發(fa)展的市(shi)(shi)場主體。
二(er)、規范(fan)主體(ti)權(quan)責
健全以公(gong)司章程為核心的企業(ye)(ye)制(zhi)度體系(xi),充分發揮公(gong)司章程在企業(ye)(ye)治(zhi)(zhi)理中(zhong)的基礎作(zuo)用(yong),依照法(fa)(fa)律(lv)法(fa)(fa)規(gui)和公(gong)司章程,嚴格規(gui)范履行出資人職(zhi)責(ze)的機(ji)構(以下簡(jian)稱(cheng)出資人機(ji)構)、股東會(hui)(包括股東大會(hui),下同)、董事會(hui)、經理層(ceng)、監(jian)事會(hui)、黨組織和職(zhi)工代表大會(hui)的權(quan)責(ze),強化權(quan)利(li)責(ze)任對等,保障有效履職(zhi),完善(shan)符合市場經濟規(gui)律(lv)和我(wo)國(guo)國(guo)情(qing)的國(guo)有企業(ye)(ye)法(fa)(fa)人治(zhi)(zhi)理結構,進一(yi)步提升國(guo)有企業(ye)(ye)運行效率(lv)。
(一)理順出資(zi)人職責,轉變監管方式(shi)。
1.股(gu)東會是公司的(de)權力機(ji)構(gou)。股(gu)東會主要依(yi)據法(fa)律法(fa)規和(he)公司章程,通過(guo)委(wei)派或更換(huan)董(dong)事(shi)、監(jian)事(shi)(不含職工代表),審核批準(zhun)董(dong)事(shi)會、監(jian)事(shi)會年度工作報告,批準(zhun)公司財務預(yu)決(jue)算(suan)、利(li)(li)潤分(fen)配方(fang)案等方(fang)式,對董(dong)事(shi)會、監(jian)事(shi)會以(yi)及董(dong)事(shi)、監(jian)事(shi)的(de)履職情況(kuang)進行評價和(he)監(jian)督。出資人機(ji)構(gou)根據本(ben)級人民政府授權對國家出資企(qi)業依(yi)法(fa)享有股(gu)東權利(li)(li)。
2.國(guo)(guo)有(you)(you)(you)獨資(zi)公司不(bu)設(she)股(gu)(gu)東(dong)會(hui),由出資(zi)人機(ji)(ji)(ji)構(gou)依法行使股(gu)(gu)東(dong)會(hui)職(zhi)權(quan)。以(yi)管(guan)資(zi)本(ben)(ben)為主改(gai)革國(guo)(guo)有(you)(you)(you)資(zi)本(ben)(ben)授權(quan)經營體制(zhi),對(dui)直接出資(zi)的(de)國(guo)(guo)有(you)(you)(you)獨資(zi)公司,出資(zi)人機(ji)(ji)(ji)構(gou)重點管(guan)好國(guo)(guo)有(you)(you)(you)資(zi)本(ben)(ben)布局、規(gui)范資(zi)本(ben)(ben)運作、強化(hua)資(zi)本(ben)(ben)約束、提高(gao)資(zi)本(ben)(ben)回報、維護資(zi)本(ben)(ben)安(an)全。對(dui)國(guo)(guo)有(you)(you)(you)全資(zi)公司、國(guo)(guo)有(you)(you)(you)控(kong)股(gu)(gu)企業(ye),出資(zi)人機(ji)(ji)(ji)構(gou)主要依據股(gu)(gu)權(quan)份額通過參(can)加股(gu)(gu)東(dong)會(hui)議、審核需由股(gu)(gu)東(dong)決定(ding)的(de)事項、與其他股(gu)(gu)東(dong)協商作出決議等(deng)方(fang)式履行職(zhi)責(ze),除法律法規(gui)或公司章程另(ling)有(you)(you)(you)規(gui)定(ding)外,不(bu)得干預企業(ye)自主經營活動。
3.出(chu)資(zi)人機(ji)構依(yi)據法(fa)律法(fa)規(gui)(gui)(gui)和(he)公(gong)司章(zhang)(zhang)程規(gui)(gui)(gui)定(ding)行(xing)使(shi)股(gu)東權利(li)、履行(xing)股(gu)東義務,有關監管(guan)(guan)內容應依(yi)法(fa)納(na)入公(gong)司章(zhang)(zhang)程。按照以管(guan)(guan)資(zi)本為主的要(yao)求,出(chu)資(zi)人機(ji)構要(yao)轉變工作職(zhi)能、改進工作方式,加強公(gong)司章(zhang)(zhang)程管(guan)(guan)理,清理有關規(gui)(gui)(gui)章(zhang)(zhang)、規(gui)(gui)(gui)范性文件,研究提(ti)出(chu)出(chu)資(zi)人機(ji)構審批事項清單,建立對(dui)董事會(hui)重大決(jue)策(ce)的合規(gui)(gui)(gui)性審查機(ji)制(zhi),制(zhi)定(ding)監事會(hui)建設、責任(ren)追(zhui)究等具體措(cuo)施,適(shi)時制(zhi)定(ding)國有資(zi)本優(you)先(xian)股(gu)和(he)國家特殊管(guan)(guan)理股(gu)管(guan)(guan)理辦(ban)法(fa)。
(二)加強(qiang)董事會(hui)建設,落(luo)實董事會(hui)職權。
1.董(dong)事(shi)(shi)會(hui)(hui)是公(gong)(gong)司的決策(ce)機構,要對股東會(hui)(hui)負責,執行(xing)(xing)股東會(hui)(hui)決定,依照法定程序(xu)和(he)公(gong)(gong)司章(zhang)程授權決定公(gong)(gong)司重(zhong)大事(shi)(shi)項,接受(shou)股東會(hui)(hui)、監事(shi)(shi)會(hui)(hui)監督(du)(du),認真(zhen)履行(xing)(xing)決策(ce)把關、內部管理(li)、防范風險、深(shen)化改革等(deng)職責。國有獨資公(gong)(gong)司要依法落實(shi)和(he)維護董(dong)事(shi)(shi)會(hui)(hui)行(xing)(xing)使重(zhong)大決策(ce)、選人(ren)用人(ren)、薪酬分配等(deng)權利,增強董(dong)事(shi)(shi)會(hui)(hui)的獨立(li)性和(he)權威性,落實(shi)董(dong)事(shi)(shi)會(hui)(hui)年(nian)度工(gong)作報告制度;董(dong)事(shi)(shi)會(hui)(hui)應與(yu)黨組織(zhi)充分溝通,有序(xu)開展國有獨資公(gong)(gong)司董(dong)事(shi)(shi)會(hui)(hui)選聘(pin)經理(li)層(ceng)試點,加強對經理(li)層(ceng)的管理(li)和(he)監督(du)(du)。
2.優化董(dong)(dong)(dong)事(shi)(shi)會(hui)(hui)(hui)組成(cheng)結(jie)構(gou)。國有(you)(you)(you)獨(du)資(zi)(zi)、全資(zi)(zi)公(gong)(gong)司的(de)(de)(de)董(dong)(dong)(dong)事(shi)(shi)長(chang)、總(zong)經理原則上分設,應(ying)(ying)均為(wei)內部(bu)執行董(dong)(dong)(dong)事(shi)(shi),定(ding)期向(xiang)董(dong)(dong)(dong)事(shi)(shi)會(hui)(hui)(hui)報(bao)告工(gong)作(zuo)。國有(you)(you)(you)獨(du)資(zi)(zi)公(gong)(gong)司的(de)(de)(de)董(dong)(dong)(dong)事(shi)(shi)長(chang)作(zuo)為(wei)企業法(fa)定(ding)代(dai)表人,對(dui)企業改革發展(zhan)負首(shou)要(yao)責任,要(yao)及(ji)時向(xiang)董(dong)(dong)(dong)事(shi)(shi)會(hui)(hui)(hui)和國有(you)(you)(you)股(gu)東(dong)(dong)(dong)(dong)報(bao)告重(zhong)大(da)經營問(wen)題和經營風險。國有(you)(you)(you)獨(du)資(zi)(zi)公(gong)(gong)司的(de)(de)(de)董(dong)(dong)(dong)事(shi)(shi)對(dui)出(chu)資(zi)(zi)人機構(gou)負責,接(jie)受出(chu)資(zi)(zi)人機構(gou)指(zhi)導,其中(zhong)外(wai)部(bu)董(dong)(dong)(dong)事(shi)(shi)人選(xuan)由(you)(you)出(chu)資(zi)(zi)人機構(gou)商有(you)(you)(you)關部(bu)門(men)提名(ming),并按(an)照(zhao)法(fa)定(ding)程序任命。國有(you)(you)(you)全資(zi)(zi)公(gong)(gong)司、國有(you)(you)(you)控(kong)股(gu)企業的(de)(de)(de)董(dong)(dong)(dong)事(shi)(shi)由(you)(you)相關股(gu)東(dong)(dong)(dong)(dong)依(yi)據(ju)股(gu)權份額推薦派出(chu),由(you)(you)股(gu)東(dong)(dong)(dong)(dong)會(hui)(hui)(hui)選(xuan)舉或更(geng)換(huan),國有(you)(you)(you)股(gu)東(dong)(dong)(dong)(dong)派出(chu)的(de)(de)(de)董(dong)(dong)(dong)事(shi)(shi)要(yao)積極(ji)維(wei)護國有(you)(you)(you)資(zi)(zi)本權益;國有(you)(you)(you)全資(zi)(zi)公(gong)(gong)司的(de)(de)(de)外(wai)部(bu)董(dong)(dong)(dong)事(shi)(shi)人選(xuan)由(you)(you)控(kong)股(gu)股(gu)東(dong)(dong)(dong)(dong)商其他股(gu)東(dong)(dong)(dong)(dong)推薦,由(you)(you)股(gu)東(dong)(dong)(dong)(dong)會(hui)(hui)(hui)選(xuan)舉或更(geng)換(huan);國有(you)(you)(you)控(kong)股(gu)企業應(ying)(ying)有(you)(you)(you)一(yi)定(ding)比例的(de)(de)(de)外(wai)部(bu)董(dong)(dong)(dong)事(shi)(shi),由(you)(you)股(gu)東(dong)(dong)(dong)(dong)會(hui)(hui)(hui)選(xuan)舉或更(geng)換(huan)。
3.規范董事(shi)(shi)(shi)(shi)(shi)會(hui)(hui)(hui)議事(shi)(shi)(shi)(shi)(shi)規則。董事(shi)(shi)(shi)(shi)(shi)會(hui)(hui)(hui)要嚴格實行集體(ti)審(shen)(shen)議、獨立(li)表(biao)決(jue)、個人負責(ze)的決(jue)策制(zhi)度(du)(du),平等充(chong)分發表(biao)意(yi)見,一人一票表(biao)決(jue),建立(li)規范透明的重大(da)事(shi)(shi)(shi)(shi)(shi)項信息(xi)公開和對(dui)外披露制(zhi)度(du)(du),保障董事(shi)(shi)(shi)(shi)(shi)會(hui)(hui)(hui)會(hui)(hui)(hui)議記錄和提案資料(liao)的完整性,建立(li)董事(shi)(shi)(shi)(shi)(shi)會(hui)(hui)(hui)決(jue)議跟(gen)蹤(zong)落實以及后評估制(zhi)度(du)(du),做(zuo)好與(yu)其(qi)他治理主體(ti)的聯系溝通。董事(shi)(shi)(shi)(shi)(shi)會(hui)(hui)(hui)應當設立(li)提名(ming)委員(yuan)會(hui)(hui)(hui)、薪酬與(yu)考核(he)委員(yuan)會(hui)(hui)(hui)、審(shen)(shen)計委員(yuan)會(hui)(hui)(hui)等專門委員(yuan)會(hui)(hui)(hui),為董事(shi)(shi)(shi)(shi)(shi)會(hui)(hui)(hui)決(jue)策提供咨詢,其(qi)中薪酬與(yu)考核(he)委員(yuan)會(hui)(hui)(hui)、審(shen)(shen)計委員(yuan)會(hui)(hui)(hui)應由外部(bu)董事(shi)(shi)(shi)(shi)(shi)組成(cheng)。改進董事(shi)(shi)(shi)(shi)(shi)會(hui)(hui)(hui)和董事(shi)(shi)(shi)(shi)(shi)評價辦法,完善年度(du)(du)和任期(qi)考核(he)制(zhi)度(du)(du),逐步(bu)形成(cheng)符合企業(ye)特點的考核(he)評價體(ti)系及激勵機制(zhi)。
4.加(jia)強董(dong)(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)隊伍(wu)建(jian)(jian)設(she)。開(kai)展董(dong)(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)任(ren)前和(he)(he)任(ren)期(qi)培訓,做(zuo)好董(dong)(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)派出和(he)(he)任(ren)期(qi)管(guan)理工作。建(jian)(jian)立完善(shan)外(wai)(wai)(wai)部(bu)董(dong)(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)選(xuan)(xuan)聘(pin)和(he)(he)管(guan)理制度(du),嚴格(ge)資格(ge)認定和(he)(he)考試考察程序,拓寬外(wai)(wai)(wai)部(bu)董(dong)(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)來源(yuan)渠(qu)道,擴(kuo)大(da)專職外(wai)(wai)(wai)部(bu)董(dong)(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)隊伍(wu),選(xuan)(xuan)聘(pin)一批現職國(guo)有(you)企業(ye)負責人(ren)轉任(ren)專職外(wai)(wai)(wai)部(bu)董(dong)(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi),定期(qi)報告外(wai)(wai)(wai)部(bu)董(dong)(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)履職情況。國(guo)有(you)獨資公司要健全外(wai)(wai)(wai)部(bu)董(dong)(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)召集(ji)人(ren)制度(du),召集(ji)人(ren)由(you)外(wai)(wai)(wai)部(bu)董(dong)(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)定期(qi)推選(xuan)(xuan)產生。外(wai)(wai)(wai)部(bu)董(dong)(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)要與(yu)出資人(ren)機構加(jia)強溝通。
(三)維(wei)護經營(ying)自主(zhu)權,激發經理層活力。
1.經(jing)理(li)層是(shi)公司的(de)執行(xing)機構,依(yi)法由董(dong)(dong)事(shi)會(hui)聘(pin)(pin)任或(huo)解聘(pin)(pin),接受(shou)董(dong)(dong)事(shi)會(hui)管理(li)和監(jian)事(shi)會(hui)監(jian)督。總經(jing)理(li)對董(dong)(dong)事(shi)會(hui)負責,依(yi)法行(xing)使管理(li)生(sheng)產經(jing)營、組織實施董(dong)(dong)事(shi)會(hui)決議等職權,向董(dong)(dong)事(shi)會(hui)報(bao)告工(gong)作,董(dong)(dong)事(shi)會(hui)閉會(hui)期間向董(dong)(dong)事(shi)長報(bao)告工(gong)作。
2.建(jian)立規(gui)范的(de)經(jing)(jing)理(li)層(ceng)授權管理(li)制(zhi)度,對經(jing)(jing)理(li)層(ceng)成(cheng)員實行(xing)(xing)(xing)與(yu)(yu)選任方式相(xiang)匹配(pei)(pei)、與(yu)(yu)企業(ye)(ye)功(gong)能性(xing)質(zhi)相(xiang)適應、與(yu)(yu)經(jing)(jing)營(ying)業(ye)(ye)績相(xiang)掛鉤(gou)的(de)差異化薪酬(chou)(chou)分配(pei)(pei)制(zhi)度,國(guo)有獨資公(gong)司經(jing)(jing)理(li)層(ceng)逐步實行(xing)(xing)(xing)任期(qi)制(zhi)和契約化管理(li)。根據企業(ye)(ye)產權結(jie)構、市場(chang)(chang)化程度等不同情況,有序推進職(zhi)業(ye)(ye)經(jing)(jing)理(li)人(ren)制(zhi)度建(jian)設,逐步擴大職(zhi)業(ye)(ye)經(jing)(jing)理(li)人(ren)隊伍,有序實行(xing)(xing)(xing)市場(chang)(chang)化薪酬(chou)(chou),探(tan)索完善中(zhong)長期(qi)激勵(li)機制(zhi),研(yan)究(jiu)出臺相(xiang)關指導意見(jian)。國(guo)有獨資公(gong)司要積極探(tan)索推行(xing)(xing)(xing)職(zhi)業(ye)(ye)經(jing)(jing)理(li)人(ren)制(zhi)度,實行(xing)(xing)(xing)內部培養和外部引(yin)進相(xiang)結(jie)合,暢通企業(ye)(ye)經(jing)(jing)理(li)層(ceng)成(cheng)員與(yu)(yu)職(zhi)業(ye)(ye)經(jing)(jing)理(li)人(ren)的(de)身份轉換通道(dao)。開(kai)展出資人(ren)機構委派國(guo)有獨資公(gong)司總會(hui)計師試點(dian)。
(四(si))發揮監督作用(yong),完(wan)善(shan)問(wen)責機制。
1.監(jian)(jian)(jian)事(shi)會(hui)是公司的監(jian)(jian)(jian)督機構,依(yi)照有(you)關法律法規和公司章程設立,對(dui)董事(shi)會(hui)、經理層成(cheng)員(yuan)的職務行為進行監(jian)(jian)(jian)督。要提(ti)高專職監(jian)(jian)(jian)事(shi)比例,增(zeng)強監(jian)(jian)(jian)事(shi)會(hui)的獨立性和權威性。對(dui)國有(you)資產(chan)監(jian)(jian)(jian)管機構所出資企業(ye)依(yi)法實行外派(pai)監(jian)(jian)(jian)事(shi)會(hui)制度。外派(pai)監(jian)(jian)(jian)事(shi)會(hui)由政府派(pai)出,負責檢(jian)查企業(ye)財務,監(jian)(jian)(jian)督企業(ye)重(zhong)大決策和關鍵環節以(yi)及董事(shi)會(hui)、經理層履職情(qing)況,不參與、不干(gan)預企業(ye)經營管理活動。
2.健全以職工(gong)代表大(da)會(hui)為基本形式的企(qi)業(ye)(ye)民主管(guan)理制度,支持和保證職工(gong)代表大(da)會(hui)依法行使(shi)職權(quan)(quan),加(jia)強職工(gong)民主管(guan)理與監督,維護職工(gong)合法權(quan)(quan)益。國(guo)有(you)獨資、全資公(gong)司的董(dong)事(shi)會(hui)、監事(shi)會(hui)中須有(you)職工(gong)董(dong)事(shi)和職工(gong)監事(shi)。建立國(guo)有(you)企(qi)業(ye)(ye)重大(da)事(shi)項信息(xi)公(gong)開和對外披露(lu)制度。
3.強化責任意(yi)識,明確(que)權責邊界(jie),建立(li)與(yu)治理主體履職相適(shi)應(ying)(ying)的(de)(de)責任追(zhui)究(jiu)(jiu)制(zhi)度(du)。董(dong)(dong)(dong)事(shi)、監(jian)事(shi)、經(jing)(jing)理層成(cheng)員(yuan)應(ying)(ying)當遵守(shou)法律(lv)法規(gui)(gui)(gui)和(he)(he)公(gong)(gong)(gong)司(si)(si)章(zhang)程,對公(gong)(gong)(gong)司(si)(si)負有忠(zhong)實義務和(he)(he)勤勉義務;要(yao)(yao)將(jiang)其信用(yong)記錄納入全國(guo)(guo)信用(yong)信息共享(xiang)平臺,違(wei)約(yue)失(shi)(shi)信的(de)(de)按(an)規(gui)(gui)(gui)定(ding)在“信用(yong)中國(guo)(guo)”網站公(gong)(gong)(gong)開(kai)。董(dong)(dong)(dong)事(shi)應(ying)(ying)當出(chu)席(xi)董(dong)(dong)(dong)事(shi)會(hui)(hui)會(hui)(hui)議(yi),對董(dong)(dong)(dong)事(shi)會(hui)(hui)決議(yi)承擔責任;董(dong)(dong)(dong)事(shi)會(hui)(hui)決議(yi)違(wei)反法律(lv)法規(gui)(gui)(gui)或公(gong)(gong)(gong)司(si)(si)章(zhang)程、股(gu)東(dong)會(hui)(hui)決議(yi),致使(shi)(shi)公(gong)(gong)(gong)司(si)(si)遭受(shou)嚴(yan)重(zhong)損失(shi)(shi)的(de)(de),應(ying)(ying)依法追(zhui)究(jiu)(jiu)有關董(dong)(dong)(dong)事(shi)責任。經(jing)(jing)理層成(cheng)員(yuan)違(wei)反法律(lv)法規(gui)(gui)(gui)或公(gong)(gong)(gong)司(si)(si)章(zhang)程,致使(shi)(shi)公(gong)(gong)(gong)司(si)(si)遭受(shou)損失(shi)(shi)的(de)(de),應(ying)(ying)依法追(zhui)究(jiu)(jiu)有關經(jing)(jing)理層成(cheng)員(yuan)責任。執行董(dong)(dong)(dong)事(shi)和(he)(he)經(jing)(jing)理層成(cheng)員(yuan)未(wei)及時向董(dong)(dong)(dong)事(shi)會(hui)(hui)或國(guo)(guo)有股(gu)東(dong)報告重(zhong)大經(jing)(jing)營問題和(he)(he)經(jing)(jing)營風險的(de)(de),應(ying)(ying)依法追(zhui)究(jiu)(jiu)相關人(ren)員(yuan)責任。企(qi)業(ye)黨組織(zhi)成(cheng)員(yuan)履職過(guo)程中有重(zhong)大失(shi)(shi)誤和(he)(he)失(shi)(shi)職、瀆職行為的(de)(de),應(ying)(ying)按(an)照黨組織(zhi)有關規(gui)(gui)(gui)定(ding)嚴(yan)格追(zhui)究(jiu)(jiu)責任。按(an)照“三個區(qu)分(fen)開(kai)來”的(de)(de)要(yao)(yao)求,建立(li)必(bi)要(yao)(yao)的(de)(de)改革(ge)容(rong)錯(cuo)糾錯(cuo)機制(zhi),激勵企(qi)業(ye)領導人(ren)員(yuan)干事(shi)創(chuang)業(ye)。
(五)堅持黨(dang)的領導(dao),發揮政治(zhi)優勢。
1.堅持(chi)黨(dang)(dang)的領(ling)(ling)導、加強黨(dang)(dang)的建(jian)設是國有企(qi)業(ye)(ye)的獨特優勢。要明確黨(dang)(dang)組織在(zai)國有企(qi)業(ye)(ye)法人治(zhi)(zhi)理(li)結構(gou)中的法定地位,將黨(dang)(dang)建(jian)工(gong)作總體要求納入(ru)國有企(qi)業(ye)(ye)章程,明確黨(dang)(dang)組織在(zai)企(qi)業(ye)(ye)決策(ce)、執行(xing)、監督(du)各環(huan)節(jie)的權責(ze)和(he)工(gong)作方式(shi),使黨(dang)(dang)組織成為企(qi)業(ye)(ye)法人治(zhi)(zhi)理(li)結構(gou)的有機(ji)組成部分。要充分發(fa)揮(hui)黨(dang)(dang)組織的領(ling)(ling)導核心和(he)政(zheng)治(zhi)(zhi)核心作用(yong),領(ling)(ling)導企(qi)業(ye)(ye)思(si)想政(zheng)治(zhi)(zhi)工(gong)作,支持(chi)董事會、監事會、經理(li)層依法履行(xing)職責(ze),保證黨(dang)(dang)和(he)國家方針政(zheng)策(ce)的貫(guan)徹執行(xing)。
2.充(chong)分(fen)發揮紀(ji)(ji)檢(jian)監察、巡(xun)視(shi)、審計等監督作用,國有(you)企業董(dong)事、監事、經理層中的(de)黨員(yuan)每年要(yao)定期(qi)向黨組(zu)(zu)(黨委(wei)(wei))報告個人履職和廉潔自律情況。上級黨組(zu)(zu)織(zhi)對國有(you)企業紀(ji)(ji)檢(jian)組(zu)(zu)組(zu)(zu)長(chang)(紀(ji)(ji)委(wei)(wei)書記(ji))實(shi)行(xing)委(wei)(wei)派(pai)制度和定期(qi)輪(lun)崗制度,紀(ji)(ji)檢(jian)組(zu)(zu)組(zu)(zu)長(chang)(紀(ji)(ji)委(wei)(wei)書記(ji))要(yao)堅持原(yuan)則(ze)、強化監督。紀(ji)(ji)檢(jian)組(zu)(zu)組(zu)(zu)長(chang)(紀(ji)(ji)委(wei)(wei)書記(ji))可列席(xi)董(dong)事會和董(dong)事會專(zhuan)門委(wei)(wei)員(yuan)會的(de)會議(yi)。
3.積(ji)極(ji)探(tan)索(suo)黨(dang)(dang)管干部(bu)原則與董(dong)(dong)(dong)(dong)事(shi)(shi)會(hui)(hui)選(xuan)聘(pin)(pin)經(jing)(jing)營管理(li)(li)(li)人(ren)員(yuan)有(you)機(ji)結合(he)(he)的途徑和方(fang)(fang)法。堅持和完善(shan)雙(shuang)向進(jin)(jin)入(ru)(ru)、交叉任職(zhi)(zhi)的領導(dao)體制(zhi),符合(he)(he)條件的國(guo)有(you)企(qi)業(ye)黨(dang)(dang)組(zu)(黨(dang)(dang)委(wei))領導(dao)班(ban)子成(cheng)員(yuan)可以通(tong)過(guo)法定程(cheng)序進(jin)(jin)入(ru)(ru)董(dong)(dong)(dong)(dong)事(shi)(shi)會(hui)(hui)、監(jian)事(shi)(shi)會(hui)(hui)、經(jing)(jing)理(li)(li)(li)層(ceng)(ceng),董(dong)(dong)(dong)(dong)事(shi)(shi)會(hui)(hui)、監(jian)事(shi)(shi)會(hui)(hui)、經(jing)(jing)理(li)(li)(li)層(ceng)(ceng)成(cheng)員(yuan)中(zhong)符合(he)(he)條件的黨(dang)(dang)員(yuan)可以依照有(you)關(guan)規定和程(cheng)序進(jin)(jin)入(ru)(ru)黨(dang)(dang)組(zu)(黨(dang)(dang)委(wei));黨(dang)(dang)組(zu)(黨(dang)(dang)委(wei))書(shu)記、董(dong)(dong)(dong)(dong)事(shi)(shi)長一般由一人(ren)擔任,推(tui)(tui)進(jin)(jin)中(zhong)央企(qi)業(ye)黨(dang)(dang)組(zu)(黨(dang)(dang)委(wei))專職(zhi)(zhi)副(fu)書(shu)記進(jin)(jin)入(ru)(ru)董(dong)(dong)(dong)(dong)事(shi)(shi)會(hui)(hui)。在(zai)董(dong)(dong)(dong)(dong)事(shi)(shi)會(hui)(hui)選(xuan)聘(pin)(pin)經(jing)(jing)理(li)(li)(li)層(ceng)(ceng)成(cheng)員(yuan)工作中(zhong),上(shang)級黨(dang)(dang)組(zu)織(zhi)及(ji)其(qi)組(zu)織(zhi)部(bu)門、國(guo)有(you)資產(chan)監(jian)管機(ji)構黨(dang)(dang)委(wei)應當發(fa)揮確定標準、規范(fan)程(cheng)序、參與考察(cha)、推(tui)(tui)薦人(ren)選(xuan)等作用。積(ji)極(ji)探(tan)索(suo)董(dong)(dong)(dong)(dong)事(shi)(shi)會(hui)(hui)通(tong)過(guo)差額方(fang)(fang)式選(xuan)聘(pin)(pin)經(jing)(jing)理(li)(li)(li)層(ceng)(ceng)成(cheng)員(yuan)。
三、做好(hao)組織實(shi)施(shi)
(一)及(ji)時總(zong)結經驗,分層有序(xu)實(shi)施。在國(guo)(guo)有(you)(you)企(qi)(qi)業(ye)建(jian)設規范(fan)(fan)董事會試(shi)點基礎上,總結經驗、完(wan)善(shan)制度,國(guo)(guo)務(wu)院國(guo)(guo)資(zi)委監管的中央企(qi)(qi)業(ye)要依法改制為國(guo)(guo)有(you)(you)獨資(zi)公司或國(guo)(guo)有(you)(you)控(kong)股公司,全(quan)面建(jian)立規范(fan)(fan)的董事會。國(guo)(guo)有(you)(you)資(zi)本投資(zi)、運營公司法人治(zhi)(zhi)理結構要“一(yi)企(qi)(qi)一(yi)策”地在公司章程中予以細化(hua)。其他中央企(qi)(qi)業(ye)和地方(fang)國(guo)(guo)有(you)(you)企(qi)(qi)業(ye)要根據自身(shen)實際,由出資(zi)人機構負責完(wan)善(shan)國(guo)(guo)有(you)(you)企(qi)(qi)業(ye)法人治(zhi)(zhi)理結構。
(二)精心規(gui)范運作,做好相(xiang)互(hu)銜接。國有企(qi)業要按(an)照完善法人治理結構的要求,全面推進(jin)依法治企(qi),完善公(gong)司章(zhang)程,明確內(nei)部組織(zhi)機構的權利、義務、責任,實現各負(fu)其責、規范(fan)運作(zuo)、相互銜接(jie)、有效制衡。國務院(yuan)國資委(wei)要會(hui)同有關部門和(he)單位抓緊制定國有企(qi)業公(gong)司章(zhang)程審(shen)核和(he)批準管理辦法。
金融、文化等國(guo)有企業(ye)的(de)改革(ge),中(zhong)央(yang)另有規(gui)定的(de)依其規(gui)定執行。
