近日,國務(wu)院國資委(wei)印發了《關于切實加強(qiang)金融(rong)(rong)衍(yan)(yan)生業務(wu)管理有關事項的通知(zhi)》(國資發財評規〔2020〕8號,以下簡稱《通知(zhi)》),對原有金融(rong)(rong)衍(yan)(yan)生業務(wu)監(jian)管制度進行了整(zheng)合、修(xiu)訂(ding)。《通知(zhi)》出(chu)臺后,國務(wu)院國資委(wei)有關負(fu)責(ze)人接受了記者(zhe)采(cai)訪(fang)。
1.問:請介紹一下《通知》出臺的背景。
答:金(jin)融(rong)(rong)衍(yan)(yan)生(sheng)(sheng)(sheng)業(ye)(ye)(ye)(ye)務(wu)(wu)(wu)(wu)是大型企(qi)(qi)業(ye)(ye)(ye)(ye)管(guan)(guan)(guan)(guan)理(li)價格(ge)風(feng)(feng)險(xian)的(de)常用手段,可有效(xiao)對沖現貨(huo)價格(ge)波(bo)動風(feng)(feng)險(xian),促進(jin)企(qi)(qi)業(ye)(ye)(ye)(ye)平穩(wen)運行(xing)。但金(jin)融(rong)(rong)衍(yan)(yan)生(sheng)(sheng)(sheng)業(ye)(ye)(ye)(ye)務(wu)(wu)(wu)(wu)本身也是一把(ba)“雙刃劍”,具有高杠(gang)桿性(xing)、高風(feng)(feng)險(xian)性(xing)和復雜(za)性(xing),如管(guan)(guan)(guan)(guan)控(kong)不(bu)當,易發(fa)(fa)生(sheng)(sheng)(sheng)損失風(feng)(feng)險(xian)。為指導(dao)企(qi)(qi)業(ye)(ye)(ye)(ye)加(jia)強(qiang)金(jin)融(rong)(rong)衍(yan)(yan)生(sheng)(sheng)(sheng)業(ye)(ye)(ye)(ye)務(wu)(wu)(wu)(wu)風(feng)(feng)險(xian)管(guan)(guan)(guan)(guan)控(kong),國(guo)資委先后(hou)印發(fa)(fa)了(le)《關于進(jin)一步(bu)加(jia)強(qiang)中(zhong)(zhong)(zhong)央(yang)(yang)(yang)企(qi)(qi)業(ye)(ye)(ye)(ye)金(jin)融(rong)(rong)衍(yan)(yan)生(sheng)(sheng)(sheng)業(ye)(ye)(ye)(ye)務(wu)(wu)(wu)(wu)監(jian)(jian)管(guan)(guan)(guan)(guan)的(de)通(tong)知》(國(guo)資發(fa)(fa)評(ping)價〔2009〕19號)、《關于建(jian)立中(zhong)(zhong)(zhong)央(yang)(yang)(yang)企(qi)(qi)業(ye)(ye)(ye)(ye)金(jin)融(rong)(rong)衍(yan)(yan)生(sheng)(sheng)(sheng)業(ye)(ye)(ye)(ye)務(wu)(wu)(wu)(wu)臨時監(jian)(jian)管(guan)(guan)(guan)(guan)機制的(de)通(tong)知》(國(guo)資發(fa)(fa)評(ping)價〔2010〕187號)、《關于取消中(zhong)(zhong)(zhong)央(yang)(yang)(yang)企(qi)(qi)業(ye)(ye)(ye)(ye)境外(wai)商品衍(yan)(yan)生(sheng)(sheng)(sheng)業(ye)(ye)(ye)(ye)務(wu)(wu)(wu)(wu)核(he)準(zhun)事(shi)項的(de)通(tong)知》(國(guo)資發(fa)(fa)評(ping)價〔2015〕42號),構建(jian)了(le)中(zhong)(zhong)(zhong)央(yang)(yang)(yang)企(qi)(qi)業(ye)(ye)(ye)(ye)金(jin)融(rong)(rong)衍(yan)(yan)生(sheng)(sheng)(sheng)業(ye)(ye)(ye)(ye)務(wu)(wu)(wu)(wu)監(jian)(jian)管(guan)(guan)(guan)(guan)制度框架體(ti)系(xi)。多年來,中(zhong)(zhong)(zhong)央(yang)(yang)(yang)企(qi)(qi)業(ye)(ye)(ye)(ye)按照監(jian)(jian)管(guan)(guan)(guan)(guan)要求,審慎開(kai)展業(ye)(ye)(ye)(ye)務(wu)(wu)(wu)(wu),有效(xiao)管(guan)(guan)(guan)(guan)控(kong)風(feng)(feng)險(xian),業(ye)(ye)(ye)(ye)務(wu)(wu)(wu)(wu)總體(ti)運行(xing)平穩(wen)。但監(jian)(jian)管(guan)(guan)(guan)(guan)中(zhong)(zhong)(zhong)發(fa)(fa)現,有部分企(qi)(qi)業(ye)(ye)(ye)(ye)存在集團管(guan)(guan)(guan)(guan)控(kong)不(bu)到位、業(ye)(ye)(ye)(ye)務(wu)(wu)(wu)(wu)審批不(bu)嚴格(ge)、操作程(cheng)序不(bu)規范、激勵趨向投機以及業(ye)(ye)(ye)(ye)務(wu)(wu)(wu)(wu)報(bao)告不(bu)及時、不(bu)準(zhun)確等問題。同時,隨著近(jin)年來中(zhong)(zhong)(zhong)央(yang)(yang)(yang)企(qi)(qi)業(ye)(ye)(ye)(ye)加(jia)快“走出去”步(bu)伐,積(ji)極拓展國(guo)際(ji)業(ye)(ye)(ye)(ye)務(wu)(wu)(wu)(wu),運用金(jin)融(rong)(rong)衍(yan)(yan)生(sheng)(sheng)(sheng)工(gong)具對沖大宗(zong)商品價格(ge)、利率、匯率波(bo)動風(feng)(feng)險(xian)的(de)需求增多,開(kai)展金(jin)融(rong)(rong)衍(yan)(yan)生(sheng)(sheng)(sheng)業(ye)(ye)(ye)(ye)務(wu)(wu)(wu)(wu)出現一些新(xin)情(qing)況、新(xin)變化(hua),現行(xing)監(jian)(jian)管(guan)(guan)(guan)(guan)制度已不(bu)能充分滿足企(qi)(qi)業(ye)(ye)(ye)(ye)實際(ji)業(ye)(ye)(ye)(ye)務(wu)(wu)(wu)(wu)需要。
貫徹落實(shi)(shi)十九(jiu)屆(jie)四中全會(hui)關(guan)于“增強國有(you)經濟抗風險能力”的(de)精神,為進(jin)一步指導(dao)中央(yang)企(qi)業規范開展金融衍生(sheng)業務,在發揮其(qi)功能作用的(de)同時(shi),切實(shi)(shi)有(you)效管(guan)控風險,國資委(wei)在廣泛征求中央(yang)企(qi)業和有(you)關(guan)監(jian)管(guan)部(bu)門(men)意見(jian)的(de)基礎上,對監(jian)管(guan)制(zhi)度進(jin)行了整合、修訂,研(yan)究制(zhi)定(ding)了《通知》,經由(you)國資委(wei)黨委(wei)會(hui)議審議通過后印(yin)發中央(yang)企(qi)業執行。
2.問:制定《通知》的主要原則是什么?
答:總體原(yuan)則是(shi),堅持(chi)從嚴(yan)管控(kong),堅持(chi)套期保值,堅持(chi)風(feng)險(xian)可控(kong),嚴(yan)把“入口(kou)關(guan)(guan)”、“規模關(guan)(guan)”、“操作關(guan)(guan)”,進一步(bu)明(ming)確(que)各級主(zhu)體責(ze)任,進一步(bu)明(ming)晰業(ye)(ye)(ye)(ye)務原(yuan)則,進一步(bu)規范(fan)操作流程,進一步(bu)加強監(jian)督(du)檢查,指導企業(ye)(ye)(ye)(ye)建立“嚴(yan)格(ge)管控(kong)、規范(fan)操作、風(feng)險(xian)可控(kong)”的金(jin)(jin)融衍生業(ye)(ye)(ye)(ye)務監(jian)管體系,切實(shi)發(fa)揮(hui)好(hao)金(jin)(jin)融衍生業(ye)(ye)(ye)(ye)務促進企業(ye)(ye)(ye)(ye)平穩運行(xing)的作用。
在《通知(zhi)》起草過程(cheng)中(zhong),注重(zhong)與原(yuan)制(zhi)度(du)相銜(xian)接,實現平穩(wen)過渡;注重(zhong)以問題和風(feng)險為導(dao)向,解決企(qi)業實踐中(zhong)存在的突出問題,補足制(zhi)度(du)短(duan)板;注重(zhong)立足企(qi)業實際,充分吸收企(qi)業好的做(zuo)法和管理經驗(yan),提(ti)煉為制(zhi)度(du)規定,力求指導(dao)性(xing)、可操(cao)作(zuo)性(xing)強。
3.問:《通知》主要在哪些方面進行了修訂?
答:《通知》包括六個(ge)部分內容,覆蓋事前、事中(zhong)和事后的關鍵(jian)環(huan)節。較原(yuan)有制度的變化(hua)主要體(ti)現在以下幾個(ge)方面。
一(yi)是落實各主(zhu)體(ti)管控(kong)責任(ren)。進一(yi)步(bu)明(ming)確集(ji)團董事會、集(ji)團管理層及集(ji)團職能部門、操作(zuo)主(zhu)體(ti)的職責,建立健(jian)全三級(ji)管理體(ti)系,嚴格業務管控(kong)。
二是強化套期(qi)保(bao)值原則。在(zai)堅持(chi)交易(yi)品種與主業(ye)相(xiang)關、交易(yi)時(shi)間、規(gui)模、方向與實(shi)貨(huo)匹(pi)配等要(yao)求的(de)基礎上,進(jin)一步(bu)強調套期(qi)保(bao)值的(de)實(shi)質和(he)原則,即以降(jiang)低實(shi)貨(huo)風險(xian)敞口為(wei)目(mu)的(de),禁止(zhi)(zhi)投機(ji)(ji)交易(yi);通過(guo)增加總(zong)量和(he)時(shi)點(dian)規(gui)模雙管(guan)控,嚴防超規(gui)模交易(yi);通過(guo)要(yao)求建立科學的(de)激勵約束和(he)業(ye)務效果綜(zong)合評判機(ji)(ji)制,防止(zhi)(zhi)片面(mian)追求金融衍(yan)生(sheng)業(ye)務單邊盈利(li)導致投機(ji)(ji)行為(wei)。
三是實(shi)施分類管控。針對貨(huo)幣類、商品類衍生業務的不同特點和(he)風險程度(du),在業務規模、崗位設置(zhi)、信息系(xi)統等方面區別對待,即體現從(cong)嚴監管,又貼合企業實(shi)際。
四是細(xi)化風險管控(kong)要(yao)(yao)求(qiu)。在監控(kong)手段上,增加有(you)關建立(li)信息系統(tong)的要(yao)(yao)求(qiu),實現在線(xian)監測,固化制(zhi)度規(gui)定;在風險預警上,提出采用定量及定性方(fang)法及時識別各類風險的要(yao)(yao)求(qiu);在應急處理(li)上,明(ming)確處理(li)要(yao)(yao)求(qiu),妥善做好(hao)應對。
五是嚴控操作(zuo)關鍵(jian)節點。堅持前中(zhong)后臺分(fen)離原則,嚴格(ge)合規管(guan)(guan)理(li);強(qiang)調(diao)授權(quan)審批要求,嚴防(fang)越(yue)權(quan)違規操作(zuo);增加保(bao)證金(jin)管(guan)(guan)控要求,規范資金(jin)使用,防(fang)范資金(jin)風(feng)險;建立風(feng)險管(guan)(guan)理(li)日報告、部門月核對、管(guan)(guan)理(li)層季溝通機制,加強(qiang)業務動態(tai)管(guan)(guan)理(li)。
六是強(qiang)化監督(du)檢查。對審(shen)計監督(du)的(de)原則(ze)性要求進(jin)行(xing)細(xi)化,明(ming)確集(ji)團(tuan)歸(gui)口管(guan)理部門和內審(shen)部門的(de)監督(du)檢查責任和側重點,嚴防違規事項,確保制(zhi)度落實。
4.問:國資委將采取哪些監管措施?
答:國資委的監(jian)管仍然聚(ju)焦(jiao)在(zai)事(shi)中(zhong)跟蹤監(jian)測與事(shi)后監(jian)督檢(jian)查,督促企業(ye)加強風險(xian)管控。一是(shi)在(zai)日常(chang)工(gong)作(zuo)中(zhong),建立定(ding)期報告制度,要(yao)求企業(ye)按季(ji)、按年報告業(ye)務開展情況,對(dui)于(yu)重大事(shi)項(xiang),要(yao)求24小時內(nei)專(zhuan)項(xiang)報告。二是(shi)嚴肅問責(ze)追(zhui)責(ze),對(dui)于(yu)發生重大損失風險(xian)、造成嚴重影響等問題的,將(jiang)在(zai)業(ye)績考核中(zhong)予以(yi)扣分或降級處理(li),并根據(ju)干部(bu)管理(li)權限開展責(ze)任追(zhui)究。三是(shi)會同有(you)關部(bu)門,通過定(ding)期會商、信息共享、聯合(he)檢(jian)查等方式,形成監(jian)管合(he)力,提升(sheng)監(jian)管專(zhuan)業(ye)性(xing)。
5.問:國資委對抓好《通知》的落實有什么具體工作安排?
答:《通(tong)知》下發后,國(guo)資委將對(dui)(dui)中(zhong)央企業(ye)和(he)地方(fang)國(guo)資監管(guan)部(bu)門進(jin)行(xing)培訓,就修訂的(de)重點內(nei)容(rong)進(jin)行(xing)講解(jie)和(he)說明(ming),幫助準確理解(jie)和(he)把握《通(tong)知》的(de)內(nei)容(rong)和(he)要求。做好日常對(dui)(dui)口指導,答(da)疑(yi)解(jie)惑,及時幫助解(jie)決工作中(zhong)遇到的(de)困(kun)難和(he)問題。加強對(dui)(dui)《通(tong)知》執行(xing)情況(kuang)的(de)跟蹤評測,督促企業(ye)切實將《通(tong)知》要求落實到位。
