近日,國(guo)務院國(guo)資(zi)委(wei)發布了《關(guan)于印(yin)發<中央企業控股上市公司實施股權激(ji)勵工作指(zhi)引>的通知》(國(guo)資(zi)考分〔2020〕178號,以下簡(jian)稱《指(zhi)引》)。《指(zhi)引》出(chu)臺后,國(guo)務院國(guo)資(zi)委(wei)有關(guan)負責人接受了記者采(cai)訪(fang)。
問:請介紹一下出臺《指引》的背景。
答:黨(dang)(dang)的(de)(de)(de)(de)十八屆(jie)三中(zhong)(zhong)(zhong)(zhong)全會以來(lai),國資委以習近平新時代中(zhong)(zhong)(zhong)(zhong)國特色社(she)會主義(yi)思想為指導,認真(zhen)貫(guan)徹(che)落實(shi)(shi)黨(dang)(dang)中(zhong)(zhong)(zhong)(zhong)央、國務院(yuan)各項決策(ce)(ce)(ce)部署(shu),扎實(shi)(shi)推(tui)(tui)進(jin)國有(you)(you)(you)企(qi)(qi)業(ye)改革各項工(gong)作(zuo)(zuo)。目前國有(you)(you)(you)企(qi)(qi)業(ye)改革的(de)(de)(de)(de)“1+N”文件體系(xi)(xi)已經基(ji)(ji)本(ben)定(ding)(ding)(ding)型,當前制(zhi)(zhi)(zhi)定(ding)(ding)(ding)政(zheng)策(ce)(ce)(ce)的(de)(de)(de)(de)重點是(shi)具(ju)體的(de)(de)(de)(de)操(cao)作(zuo)(zuo)規程。就中(zhong)(zhong)(zhong)(zhong)央企(qi)(qi)業(ye)控(kong)股(gu)上(shang)市(shi)(shi)(shi)公(gong)司(si)(si)股(gu)權(quan)激(ji)(ji)勵(li)(li)工(gong)作(zuo)(zuo)而(er)(er)言(yan),國資委成(cheng)立(li)以來(lai),根(gen)據黨(dang)(dang)中(zhong)(zhong)(zhong)(zhong)央、國務院(yuan)確立(li)的(de)(de)(de)(de)生產(chan)要素(su)按貢獻參與(yu)分配的(de)(de)(de)(de)原則,從(cong)適應資本(ben)市(shi)(shi)(shi)場發(fa)(fa)展和(he)企(qi)(qi)業(ye)改制(zhi)(zhi)(zhi)上(shang)市(shi)(shi)(shi)的(de)(de)(de)(de)需(xu)要出(chu)(chu)發(fa)(fa),按照履(lv)行出(chu)(chu)資人職責的(de)(de)(de)(de)要求(qiu),積極探(tan)索國有(you)(you)(you)控(kong)股(gu)上(shang)市(shi)(shi)(shi)公(gong)司(si)(si)實(shi)(shi)施(shi)股(gu)權(quan)激(ji)(ji)勵(li)(li)的(de)(de)(de)(de)有(you)(you)(you)效(xiao)機(ji)制(zhi)(zhi)(zhi),在實(shi)(shi)踐中(zhong)(zhong)(zhong)(zhong)不斷完(wan)善辦法,尤其(qi)是(shi)2019年國資委制(zhi)(zhi)(zhi)定(ding)(ding)(ding)出(chu)(chu)臺(tai)《關于進(jin)一步做好(hao)中(zhong)(zhong)(zhong)(zhong)央企(qi)(qi)業(ye)控(kong)股(gu)上(shang)市(shi)(shi)(shi)公(gong)司(si)(si)股(gu)權(quan)激(ji)(ji)勵(li)(li)工(gong)作(zuo)(zuo)有(you)(you)(you)關事項的(de)(de)(de)(de)通知》(國資發(fa)(fa)考分規〔2019〕102號),標(biao)志著中(zhong)(zhong)(zhong)(zhong)央企(qi)(qi)業(ye)控(kong)股(gu)上(shang)市(shi)(shi)(shi)公(gong)司(si)(si)實(shi)(shi)施(shi)股(gu)權(quan)激(ji)(ji)勵(li)(li)的(de)(de)(de)(de)政(zheng)策(ce)(ce)(ce)體系(xi)(xi)已經基(ji)(ji)本(ben)定(ding)(ding)(ding)型。當前的(de)(de)(de)(de)重點任務是(shi)把工(gong)作(zuo)(zuo)著力(li)點從(cong)夯基(ji)(ji)壘臺(tai)、立(li)梁架柱轉到(dao)系(xi)(xi)統集(ji)成(cheng)、協(xie)同高效(xiao)、落實(shi)(shi)落地上(shang)來(lai),推(tui)(tui)動(dong)這項制(zhi)(zhi)(zhi)度更加(jia)成(cheng)熟(shu)更加(jia)定(ding)(ding)(ding)型。出(chu)(chu)臺(tai)《指引》就是(shi)把國有(you)(you)(you)控(kong)股(gu)上(shang)市(shi)(shi)(shi)公(gong)司(si)(si)實(shi)(shi)施(shi)股(gu)權(quan)激(ji)(ji)勵(li)(li)的(de)(de)(de)(de)相關政(zheng)策(ce)(ce)(ce)規定(ding)(ding)(ding)和(he)前期(qi)中(zhong)(zhong)(zhong)(zhong)央企(qi)(qi)業(ye)開展此項工(gong)作(zuo)(zuo)的(de)(de)(de)(de)實(shi)(shi)踐經驗進(jin)行了(le)匯總梳理,著力(li)從(cong)微觀操(cao)作(zuo)(zuo)層面(mian)(mian)細化對中(zhong)(zhong)(zhong)(zhong)央企(qi)(qi)業(ye)的(de)(de)(de)(de)工(gong)作(zuo)(zuo)指導,進(jin)而(er)(er)推(tui)(tui)動(dong)中(zhong)(zhong)(zhong)(zhong)央企(qi)(qi)業(ye)擴大控(kong)股(gu)上(shang)市(shi)(shi)(shi)公(gong)司(si)(si)實(shi)(shi)施(shi)股(gu)權(quan)激(ji)(ji)勵(li)(li)的(de)(de)(de)(de)覆蓋面(mian)(mian),構(gou)建(jian)科學、規范的(de)(de)(de)(de)中(zhong)(zhong)(zhong)(zhong)長期(qi)激(ji)(ji)勵(li)(li)機(ji)制(zhi)(zhi)(zhi),推(tui)(tui)動(dong)企(qi)(qi)業(ye)高質量發(fa)(fa)展。
問:《指引》具體包含哪些方面內容?
答:《指(zhi)引》共(gong)九十七(qi)條,近兩萬字,根據(ju)中(zhong)央(yang)企(qi)業控股(gu)上市公司實(shi)(shi)(shi)(shi)施股(gu)權(quan)(quan)(quan)(quan)激(ji)(ji)勵(li)(li)的(de)(de)各方(fang)面(mian)(mian)政策(ce)規(gui)(gui)定,從股(gu)權(quan)(quan)(quan)(quan)激(ji)(ji)勵(li)(li)計劃的(de)(de)內(nei)容要(yao)點、考核(he)體系(xi)、管(guan)(guan)(guan)理(li)辦法和實(shi)(shi)(shi)(shi)施程(cheng)序(xu)等方(fang)面(mian)(mian),進(jin)行了政策(ce)梳理(li)、系(xi)統集成,對(dui)上市公司股(gu)權(quan)(quan)(quan)(quan)激(ji)(ji)勵(li)(li)實(shi)(shi)(shi)(shi)踐規(gui)(gui)范逐一明確(que)闡釋。一是(shi)重(zhong)(zhong)(zhong)點介紹實(shi)(shi)(shi)(shi)施股(gu)權(quan)(quan)(quan)(quan)激(ji)(ji)勵(li)(li)的(de)(de)政策(ce)依據(ju)、適用范圍,實(shi)(shi)(shi)(shi)施股(gu)權(quan)(quan)(quan)(quan)激(ji)(ji)勵(li)(li)的(de)(de)條件(jian)、原則及相關要(yao)求(qiu)。二是(shi)對(dui)股(gu)權(quan)(quan)(quan)(quan)激(ji)(ji)勵(li)(li)計劃中(zhong)的(de)(de)激(ji)(ji)勵(li)(li)方(fang)式、激(ji)(ji)勵(li)(li)對(dui)象范圍、權(quan)(quan)(quan)(quan)益授予(yu)數(shu)量、授予(yu)價(jia)格(ge)、時間安(an)排、激(ji)(ji)勵(li)(li)收益等的(de)(de)內(nei)涵要(yao)義、政策(ce)規(gui)(gui)定、操作規(gui)(gui)范進(jin)行詳細闡釋。三(san)是(shi)從強化公司業績考核(he)、健(jian)全激(ji)(ji)勵(li)(li)對(dui)象績效考核(he)評價(jia)、科創板上市公司實(shi)(shi)(shi)(shi)施股(gu)權(quan)(quan)(quan)(quan)激(ji)(ji)勵(li)(li)的(de)(de)考核(he)等方(fang)面(mian)(mian)明確(que)出資人的(de)(de)導(dao)向(xiang)和要(yao)求(qiu),引導(dao)企(qi)業注重(zhong)(zhong)(zhong)價(jia)值提升(sheng),實(shi)(shi)(shi)(shi)現高質(zhi)量發(fa)展(zhan)。四是(shi)將規(gui)(gui)范股(gu)權(quan)(quan)(quan)(quan)激(ji)(ji)勵(li)(li)管(guan)(guan)(guan)理(li)辦法、責(ze)任追究與特(te)殊情形處(chu)理(li)、財務處(chu)理(li)和稅收規(gui)(gui)定等方(fang)面(mian)(mian)的(de)(de)要(yao)求(qiu)和規(gui)(gui)定進(jin)行了梳理(li)明確(que)。五(wu)是(shi)歸納各級(ji)國有股(gu)東的(de)(de)職責(ze),對(dui)股(gu)權(quan)(quan)(quan)(quan)激(ji)(ji)勵(li)(li)計劃的(de)(de)決(jue)策(ce)、申報、實(shi)(shi)(shi)(shi)施、終止(zhi)等程(cheng)序(xu)事(shi)項(xiang)予(yu)以梳理(li),并重(zhong)(zhong)(zhong)申監督管(guan)(guan)(guan)理(li)、信(xin)息披(pi)露等要(yao)求(qiu)。
問:《指引》在政策要求上有什么新特點?
答:《指(zhi)(zhi)引》主(zhu)要有(you)三(san)個(ge)方(fang)面的(de)(de)特點:一是(shi)政(zheng)策(ce)上(shang)保持銜接(jie)一致(zhi)(zhi)。《指(zhi)(zhi)引》是(shi)在(zai)證券監(jian)管(guan)部(bu)門相關(guan)(guan)規定(ding)框(kuang)架下(xia)制定(ding)的(de)(de),與國(guo)資委(wei)此(ci)前出(chu)臺的(de)(de)國(guo)有(you)控股(gu)上(shang)市公司(si)實(shi)(shi)施(shi)股(gu)權(quan)(quan)激勵(li)的(de)(de)政(zheng)策(ce)規定(ding)也是(shi)銜接(jie)一致(zhi)(zhi)的(de)(de),這次提(ti)出(chu)的(de)(de)都是(shi)具(ju)(ju)體(ti)操(cao)作(zuo)上(shang)的(de)(de)細(xi)(xi)化規程。二是(shi)清(qing)晰界定(ding)責(ze)(ze)任(ren)與程序。國(guo)資委(wei)落實(shi)(shi)以管(guan)資本為(wei)主(zhu)職能(neng)轉變要求(qiu),股(gu)權(quan)(quan)激勵(li)具(ju)(ju)體(ti)實(shi)(shi)施(shi)方(fang)案(an)的(de)(de)審核責(ze)(ze)任(ren)在(zai)中(zhong)央(yang)企(qi)(qi)業(ye)(ye)集團公司(si),《指(zhi)(zhi)引》通(tong)過(guo)細(xi)(xi)化完善操(cao)作(zuo)層面的(de)(de)指(zhi)(zhi)導(dao),幫助中(zhong)央(yang)企(qi)(qi)業(ye)(ye)更好(hao)地擔負起股(gu)權(quan)(quan)激勵(li)主(zhu)體(ti)責(ze)(ze)任(ren),保障該項工(gong)作(zuo)職責(ze)(ze)中(zhong)央(yang)企(qi)(qi)業(ye)(ye)接(jie)得(de)住、管(guan)得(de)好(hao)、落得(de)實(shi)(shi)。三(san)是(shi)重點回答了(le)操(cao)作(zuo)問(wen)題。此(ci)前我們出(chu)臺的(de)(de)股(gu)權(quan)(quan)激勵(li)相關(guan)(guan)政(zheng)策(ce)是(shi)框(kuang)架性(xing)、原則性(xing)的(de)(de),中(zhong)央(yang)企(qi)(qi)業(ye)(ye)在(zai)實(shi)(shi)施(shi)中(zhong)遇到了(le)一些具(ju)(ju)體(ti)情況(kuang),《指(zhi)(zhi)引》在(zai)總結經驗的(de)(de)基礎(chu)上(shang),明確了(le)可操(cao)作(zuo)的(de)(de)方(fang)法,在(zai)政(zheng)策(ce)框(kuang)架內(nei)給(gei)予闡(chan)釋和細(xi)(xi)化,有(you)針對(dui)性(xing)地幫助企(qi)(qi)業(ye)(ye)在(zai)具(ju)(ju)體(ti)實(shi)(shi)踐操(cao)作(zuo)上(shang)與政(zheng)策(ce)規定(ding)良好(hao)對(dui)接(jie)。
問:近些年中央企業控股上市公司實施股權激勵有哪些值得總結和提煉的有效經驗?

問:下一步,中央企業控股上市公司實施股權激勵工作將有什么考慮?
答:黨(dang)的(de)(de)(de)十(shi)九屆(jie)四中(zhong)(zhong)全會明確(que)提出,要健全生產(chan)要素由市(shi)(shi)場(chang)評價貢獻、按貢獻決定報酬的(de)(de)(de)機制。中(zhong)(zhong)共中(zhong)(zhong)央(yang)(yang)、國(guo)務(wu)院(yuan)近期印(yin)(yin)發的(de)(de)(de)《關于構(gou)建更加(jia)完善的(de)(de)(de)要素市(shi)(shi)場(chang)化(hua)配置體(ti)制機制的(de)(de)(de)意見》也(ye)指(zhi)出,要全面貫徹落實以增加(jia)知識價值(zhi)為導向的(de)(de)(de)收入分配政策,充(chong)(chong)(chong)分尊重(zhong)科(ke)研、技術(shu)、管理(li)人(ren)(ren)才,充(chong)(chong)(chong)分體(ti)現技術(shu)、知識、管理(li)、數(shu)據等(deng)要素的(de)(de)(de)價值(zhi)。國(guo)資委(wei)將指(zhi)導中(zhong)(zhong)央(yang)(yang)企(qi)業貫徹落實好(hao)黨(dang)中(zhong)(zhong)央(yang)(yang)、國(guo)務(wu)院(yuan)決策部署(shu),把推動(dong)中(zhong)(zhong)央(yang)(yang)企(qi)業控股(gu)上(shang)市(shi)(shi)公(gong)司規范開展(zhan)(zhan)股(gu)權(quan)激(ji)勵(li)作為重(zhong)要舉(ju)措。應(ying)當說,黨(dang)的(de)(de)(de)十(shi)九大以來,中(zhong)(zhong)央(yang)(yang)企(qi)業控股(gu)上(shang)市(shi)(shi)公(gong)司實施股(gu)權(quan)激(ji)勵(li)的(de)(de)(de)數(shu)量快(kuai)速增長,目前已有53家(jia)中(zhong)(zhong)央(yang)(yang)企(qi)業控股(gu)的(de)(de)(de)119家(jia)上(shang)市(shi)(shi)公(gong)司有效(xiao)實施了股(gu)權(quan)激(ji)勵(li),取得了明顯進展(zhan)(zhan),但總(zong)體(ti)上(shang)中(zhong)(zhong)央(yang)(yang)企(qi)業控股(gu)境內外上(shang)市(shi)(shi)公(gong)司只有不到(dao)30%實施了股(gu)權(quan)激(ji)勵(li),覆(fu)蓋面還有待提高。《指(zhi)引》印(yin)(yin)發后,國(guo)資委(wei)將指(zhi)導中(zhong)(zhong)央(yang)(yang)企(qi)業積極(ji)履行主體(ti)責任,推動(dong)符合條(tiao)件(jian)的(de)(de)(de)控股(gu)上(shang)市(shi)(shi)公(gong)司科(ke)學(xue)高效(xiao)規范地開展(zhan)(zhan)股(gu)權(quan)激(ji)勵(li)工(gong)作,加(jia)快(kuai)建立健全覆(fu)蓋企(qi)業經營管理(li)骨干和核心科(ke)研技術(shu)人(ren)(ren)才的(de)(de)(de)正向激(ji)勵(li)機制,充(chong)(chong)(chong)分調動(dong)各類人(ren)(ren)員積極(ji)性(xing)和創造性(xing),推動(dong)企(qi)業實現高質(zhi)量發展(zhan)(zhan)。
